The Disclosing Party and the Receiving Party are hereinafter individually referred to as a "Party" and collectively as the "Parties".

WHEREAS, the Disclosing Party is engaged in the business of [Description of Business] and possesses certain proprietary and confidential information relating thereto;

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

  1. Definitions and Interpretation

    1. In this Agreement, unless the context otherwise requires, the following terms shall bear the meanings respectively ascribed to them below.

    2. "Affiliate" shall mean, with respect to any entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with such entity, where "control" denotes the ownership, directly or indirectly, of more than fifty percent (50%) of the voting securities or equity interests of such entity, or the power to direct or cause the direction of the management and policies of such entity, whether through the ownership of voting securities, by contract, or otherwise.

    3. "Confidential Information" shall have the meaning ascribed to it in the section titled Confidential Information of this Agreement, and shall encompass all information disclosed by or on behalf of the Disclosing Party to the Receiving Party, whether in oral, written, electronic, visual, or any other tangible or intangible form, which relates to the business, operations, affairs, or prospects of the Disclosing Party.

    4. "Representatives" shall mean, with respect to the Receiving Party, its directors, officers, employees, Affiliates, legal counsel, accountants, financial advisors, and other professional advisors who have a bona fide need to know the Confidential Information for the Purpose and who are bound by written obligations of confidentiality no less protective than those contained herein.

    5. "Purpose" shall mean the evaluation, negotiation, and potential consummation of a business transaction or project between the Parties, including without limitation all discussions, analyses, assessments, and related activities incidental thereto.

    6. The headings and captions used in this Agreement are inserted for convenience of reference only and shall not affect the construction or interpretation of any provision hereof.

    7. Words importing the singular shall include the plural and vice versa, and words importing any gender shall include all genders. Any reference to a "person" shall include any natural person, corporation, partnership, limited liability company, association, or other entity.

    8. Any reference herein to a section or clause shall be deemed a reference to a section or clause of this Agreement unless otherwise expressly stated.

  2. Purpose of Disclosure

    1. The Parties acknowledge and agree that the Confidential Information shall be disclosed by the Disclosing Party to the Receiving Party solely for the Purpose, and for no other purpose whatsoever, unless expressly consented to in writing by both Parties.

    2. The Receiving Party shall use the Confidential Information exclusively in connection with the Purpose and shall not exploit, utilize, or apply such Confidential Information, in whole or in part, for its own benefit or for the benefit of any third party, or in any manner that is detrimental to the interests of the Disclosing Party.

    3. Nothing in this Agreement shall be construed as obligating either Party to proceed with, consummate, or continue any discussions or negotiations relating to the Purpose, and each Party reserves the absolute right to terminate such discussions or negotiations at any time, in its sole discretion, without liability therefor, save for the continuing obligations expressly set forth herein.

    4. The disclosure of Confidential Information under this Agreement shall not create any obligation on the part of the Disclosing Party to disclose any particular information, nor shall it entitle the Receiving Party to require the disclosure of any such information.

    5. The Receiving Party acknowledges that its evaluation of any potential transaction or project shall be conducted at its own expense and risk, and that neither the Disclosing Party nor its Representatives shall be liable for any costs incurred by the Receiving Party in connection therewith.

    6. The Purpose shall not, under any circumstances, be construed to grant the Receiving Party any right to commercialize, replicate, reverse engineer, or otherwise derive economic benefit from the Confidential Information outside the scope expressly contemplated herein.

  3. Exclusions from Confidential Information

    1. Notwithstanding anything to the contrary contained in this Agreement, Confidential Information shall not include any information which the Receiving Party can demonstrate, by competent written evidence:

    2. Was already lawfully known to the Receiving Party, free from any obligation of confidentiality, prior to its disclosure by the Disclosing Party hereunder;

    3. Is or becomes publicly available or part of the public domain through no act, omission, breach, or fault of the Receiving Party or any of its Representatives;

    4. Is lawfully obtained by the Receiving Party from a third party who, to the Receiving Party's knowledge after reasonable inquiry, is under no obligation of confidentiality to the Disclosing Party with respect to such information and who had the lawful right to disclose the same;

    5. Is independently developed by the Receiving Party or its Representatives without any use of, reference to, or reliance upon the Confidential Information disclosed by the Disclosing Party, as evidenced by contemporaneous written records;

    6. Is approved for release or disclosure by the prior express written authorization of the Disclosing Party;

    7. Is required to be retained by the Receiving Party pursuant to applicable law, regulation, or professional standard, provided that such retained information shall remain subject to the confidentiality obligations herein for so long as it is retained.

  4. Confidential Information

    1. For purposes of this Agreement, "Confidential Information" shall mean any and all information, data, materials, documents, and knowledge of a confidential, proprietary, or non-public nature disclosed by or on behalf of the Disclosing Party to the Receiving Party, whether before, on, or after the Effective Date, in oral, written, visual, electronic, or any other form, and whether or not marked, designated, or otherwise identified as "confidential" or "proprietary" at the time of disclosure.

    2. Confidential Information shall include, without limitation, trade secrets, know-how, inventions, discoveries, techniques, processes, formulae, methods, specifications, designs, drawings, software, source and object code, algorithms, data, databases, research, development plans, business plans, strategies, forecasts, financial information, pricing, costs, customer and supplier lists and information, personnel information, marketing plans, and any other technical, commercial, financial, operational, or strategic information of the Disclosing Party or its Affiliates.

    3. Confidential Information shall also include the existence, terms, and subject matter of this Agreement, the fact that discussions or negotiations are taking place between the Parties concerning the Purpose, and the status thereof.

    4. All analyses, compilations, studies, memoranda, notes, extracts, reports, and other materials prepared by the Receiving Party or its Representatives that contain, reflect, incorporate, or are derived from any Confidential Information shall likewise be deemed Confidential Information and subject to the terms of this Agreement.

    5. The absence of any marking or designation of information as "confidential" or "proprietary" shall not relieve the Receiving Party of its obligations hereunder where the information is of a nature that a reasonable person would understand it to be confidential given the circumstances of its disclosure.

    6. All Confidential Information shall remain the sole and exclusive property of the Disclosing Party, and the disclosure thereof shall not confer upon the Receiving Party any right, title, or interest therein save as expressly provided herein.

  5. Obligations of the Receiving Party

    1. The Receiving Party shall hold all Confidential Information in strict confidence and shall exercise at least the same degree of care in protecting the Confidential Information as it exercises in protecting its own confidential information of a similar nature, but in no event less than a reasonable degree of care.

    2. The Receiving Party shall not, without the prior express written consent of the Disclosing Party, disclose, divulge, publish, communicate, or otherwise make available any Confidential Information, in whole or in part, to any third party, except as expressly permitted under this Agreement.

    3. The Receiving Party shall limit access to the Confidential Information strictly to those of its Representatives who have a demonstrable need to know such information for the Purpose, and shall ensure that each such Representative is informed of the confidential nature of the information and is bound by written obligations of confidentiality and non-use at least as protective as those contained herein. The Receiving Party shall remain fully liable for any act or omission of its Representatives that would constitute a breach of this Agreement if committed by the Receiving Party.

    4. The Receiving Party shall not copy, reproduce, duplicate, or otherwise replicate any Confidential Information, in whole or in part, except to the extent reasonably necessary for the Purpose, and all such copies shall be clearly marked as confidential and shall remain subject to the obligations of this Agreement.

    5. The Receiving Party shall implement and maintain appropriate technical, physical, and organizational security measures to safeguard the Confidential Information against unauthorized access, use, disclosure, alteration, loss, or destruction.

    6. The Receiving Party shall promptly notify the Disclosing Party in writing upon becoming aware of any actual, suspected, or threatened unauthorized access, use, disclosure, loss, or misappropriation of any Confidential Information, and shall cooperate fully with the Disclosing Party, at the Receiving Party's reasonable expense to the extent such breach was caused by the Receiving Party's fault, in investigating and mitigating the effects of such incident.

    7. The Receiving Party shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the composition, structure, or underlying ideas of any Confidential Information or any tangible embodiment thereof.

  6. Term and Duration of Obligations

    1. This Agreement shall commence on the Effective Date and shall remain in full force and effect for a period of two (2) years from the Effective Date, unless earlier terminated by mutual written agreement of the Parties (the "Term").

    2. Notwithstanding the expiration or termination of this Agreement for any reason, the Receiving Party's obligations of confidentiality and non-use with respect to Confidential Information disclosed during the Term shall survive and continue in full force and effect for a period of two (2) years from the date of expiration or termination of this Agreement.

    3. Either Party may terminate this Agreement at any time by providing not less than thirty (30) days' prior written notice of termination to the other Party.

    4. The expiration or termination of this Agreement shall not affect any rights or obligations of the Parties that accrued prior to the effective date of such expiration or termination, nor shall it relieve either Party of any liability for any breach of this Agreement occurring prior thereto.

    5. With respect to any Confidential Information that constitutes a trade secret under applicable law, the obligations of confidentiality and non-use set forth herein shall continue to apply only for the duration specified in this section, and thereafter the Receiving Party shall have no further obligation with respect to such information under this Agreement, without prejudice to any protections afforded by applicable law independently of this Agreement.

    6. The provisions of the sections titled Return or Destruction of Confidential Information, Remedies for Breach, Notices, Severability, and Governing Law and Dispute Resolution, together with any provision which by its nature is intended to survive, shall survive the expiration or termination of this Agreement.

  7. Permitted Disclosures

    1. Notwithstanding the obligations of confidentiality set forth herein, the Receiving Party may disclose Confidential Information to the extent such disclosure is required by applicable law, regulation, court order, or lawful request of a governmental, regulatory, or judicial authority of competent jurisdiction.

    2. In the event that the Receiving Party becomes legally compelled to disclose any Confidential Information pursuant to the foregoing clause, the Receiving Party shall, to the extent legally permissible, promptly notify the Disclosing Party in writing prior to such disclosure, so as to afford the Disclosing Party a reasonable opportunity to seek a protective order, injunction, or other appropriate remedy, or to waive compliance with the provisions of this Agreement.

    3. The Receiving Party shall cooperate reasonably with the Disclosing Party, at the Disclosing Party's reasonable expense, in any such efforts to limit or prevent such disclosure or to obtain confidential treatment of the Confidential Information to be disclosed.

    4. In the event that a protective order or other remedy is not obtained, or the Disclosing Party waives compliance with the provisions of this Agreement, the Receiving Party shall disclose only that portion of the Confidential Information which it is advised by its legal counsel is legally required to be disclosed, and shall use its reasonable endeavors to ensure that the disclosed information is accorded confidential treatment by the recipient thereof.

    5. Disclosures made in accordance with this section shall not constitute a breach of this Agreement, provided that the Receiving Party has complied with the notification and cooperation obligations set forth herein and that the Confidential Information so disclosed shall otherwise remain subject to the obligations of this Agreement.

    6. The Receiving Party may also disclose Confidential Information to its Representatives in accordance with the section titled Obligations of the Receiving Party, provided that such disclosure is strictly limited to that which is necessary for the Purpose.

  8. Return or Destruction of Confidential Information

    1. Upon the earlier of (i) the written request of the Disclosing Party at any time, (ii) the completion or abandonment of the Purpose, or (iii) the expiration or termination of this Agreement, the Receiving Party shall, at the Disclosing Party's election, promptly return to the Disclosing Party or destroy all Confidential Information in its possession, custody, or control, together with all copies, extracts, summaries, analyses, and other materials containing or derived therefrom.

    2. Where the Disclosing Party elects destruction, the Receiving Party shall destroy the Confidential Information in a manner that renders it unreadable, unusable, and unrecoverable, and shall, upon request, furnish the Disclosing Party with a written certification signed by a duly authorized officer confirming that such destruction has been duly effected.

    3. Notwithstanding the foregoing, the Receiving Party may retain one (1) copy of the Confidential Information solely to the extent necessary to comply with applicable law, regulation, or bona fide internal document retention policies or professional standards, or where retention arises from automated electronic backup procedures from which deletion is not reasonably practicable.

    4. Any Confidential Information so retained shall remain subject to the confidentiality and non-use obligations of this Agreement for so long as it is retained by the Receiving Party, notwithstanding the expiration or termination of this Agreement or the duration specified in the section titled Term and Duration of Obligations.

    5. The costs and expenses associated with the return or destruction of Confidential Information shall be borne by the Disclosing Party, save where such return or destruction is occasioned by a breach of this Agreement by the Receiving Party, in which case such costs shall be borne by the Receiving Party.

    6. The return or destruction of Confidential Information shall not relieve the Receiving Party of any of its other obligations under this Agreement.

  9. Remedies for Breach

    1. The Receiving Party acknowledges that any breach or threatened breach of this Agreement may cause the Disclosing Party irreparable harm for which monetary damages alone may be inadequate, and accordingly, the Disclosing Party shall be entitled to seek injunctive relief, specific performance, and other equitable remedies, in addition to any other rights or remedies available at law or in equity.

    2. The Receiving Party agrees that, in connection with any application for injunctive relief or equitable remedies, the Disclosing Party shall not be required to post a bond or other security, except to the minimum extent required by applicable law and incapable of being waived.

    3. The remedies set forth in this section shall be cumulative and not exclusive, and the pursuit of any one remedy shall not preclude the pursuit of any other remedy available under this Agreement, at law, or in equity.

    4. In the event of a breach of this Agreement by the Receiving Party, the Receiving Party shall be liable to the Disclosing Party for direct damages actually suffered by the Disclosing Party as a proximate result of such breach, subject to the Disclosing Party's duty to mitigate such damages.

    5. Notwithstanding anything to the contrary herein, in no event shall the Receiving Party be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including but not limited to loss of profits, loss of goodwill, or loss of business opportunity, arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.

    6. The aggregate liability of the Receiving Party under or in connection with this Agreement shall in no event exceed [Currency] [Amount], save in the case of willful misconduct or gross negligence of the Receiving Party, where mandatory applicable law would preclude such limitation.

    7. Each Party shall bear its own costs and expenses incurred in connection with the enforcement of this Agreement, including attorneys' fees, unless otherwise determined by a court or arbitral tribunal of competent jurisdiction.

  10. No License or Transfer of Rights

    1. Nothing contained in this Agreement shall be construed as granting or conferring upon the Receiving Party, whether expressly, impliedly, by estoppel, or otherwise, any right, title, interest, license, or ownership in or to any Confidential Information, or any patent, copyright, trademark, trade secret, or other intellectual property right of the Disclosing Party.

    2. All Confidential Information and all intellectual property rights therein shall remain the sole and exclusive property of the Disclosing Party or its licensors, as the case may be.

    3. The disclosure of Confidential Information hereunder shall not be construed as an offer, agreement, or commitment by the Disclosing Party to sell, license, assign, or otherwise transfer any product, service, intellectual property, or other right to the Receiving Party.

    4. Any license, assignment, or transfer of rights in respect of the Confidential Information shall only be effective if made pursuant to a separate written agreement duly executed by authorized representatives of both Parties.

    5. The Receiving Party shall not file, prosecute, or maintain any patent application, trademark application, or other intellectual property registration based upon, derived from, or incorporating any Confidential Information, without the prior express written consent of the Disclosing Party.

    6. Nothing in this Agreement shall restrict the Receiving Party from independently developing or acquiring information or materials similar to the Confidential Information, provided that such development or acquisition is accomplished without any use of, reference to, or reliance upon the Confidential Information disclosed hereunder.

  11. Representations and Warranties

    1. Each Party represents and warrants to the other that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution, delivery, and performance of this Agreement have been duly authorized by all requisite corporate action.

    2. Each Party represents that the execution and performance of this Agreement does not and will not violate any agreement, instrument, order, judgment, or law to which it is a party or by which it is bound.

    3. The Disclosing Party makes no representation or warranty, express or implied, as to the accuracy, completeness, sufficiency, quality, non-infringement, merchantability, or fitness for any particular purpose of the Confidential Information disclosed hereunder, and all Confidential Information is provided on an "as is" and "as available" basis.

    4. The Receiving Party acknowledges and agrees that it shall not rely upon the Confidential Information for any purpose other than the Purpose, and that any decisions, actions, or omissions taken on the basis of such Confidential Information shall be at the Receiving Party's sole risk and responsibility.

    5. Neither the Disclosing Party nor any of its Representatives shall have any liability to the Receiving Party or its Representatives arising from or relating to the Confidential Information or its use, save to the extent arising from willful misconduct or where such liability cannot be excluded under mandatory applicable law.

    6. Nothing in this Agreement shall be construed as a representation or warranty by either Party that any transaction or project will be consummated between the Parties.

  12. No Waiver

    1. No failure or delay by either Party in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any further exercise thereof or the exercise of any other right, power, or privilege.

    2. A waiver of any provision of this Agreement or of any breach hereof shall be effective only if made in writing and signed by a duly authorized representative of the Party against whom such waiver is sought to be enforced.

    3. Any waiver of any particular breach of this Agreement shall not constitute a waiver of any subsequent or other breach of the same or any other provision hereof.

    4. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law or in equity.

    5. No course of dealing, course of performance, or usage of trade between the Parties shall be deemed to modify, waive, or amend any provision of this Agreement.

  13. Assignment

    1. Neither Party may assign, transfer, delegate, or otherwise dispose of this Agreement or any of its rights or obligations hereunder, in whole or in part, whether voluntarily, by operation of law, or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed.

    2. Notwithstanding the foregoing, either Party may assign this Agreement, without the consent of the other Party, to any Affiliate or to any successor in interest in connection with a merger, consolidation, reorganization, or sale of all or substantially all of the business or assets to which this Agreement relates, provided that the assignee agrees in writing to be bound by the terms of this Agreement.

    3. Any purported assignment, transfer, or delegation in violation of this section shall be null, void, and of no force or effect.

    4. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective permitted successors and assigns.

    5. The assigning Party shall provide the other Party with prompt written notice of any permitted assignment, including the identity of the assignee and the effective date thereof.

  14. Notices

    1. All notices, requests, consents, demands, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when delivered (i) by hand with written acknowledgment of receipt, (ii) by internationally recognized overnight courier, with tracking confirmation, (iii) by registered or certified mail, return receipt requested, or (iv) by electronic mail, provided that a confirmation of transmission is retained and no notice of non-delivery is received.

    2. Notices shall be addressed to the Parties at the addresses first set forth above, or at such other address as a Party may designate by written notice to the other in accordance with this section.

    3. For notices to the Disclosing Party: Attention: [Name/Title], Address: [Address], Email: [Email Address].

    4. For notices to the Receiving Party: Attention: [Name/Title], Address: [Address], Email: [Email Address].

    5. A notice shall be deemed received: (i) if delivered by hand, upon acknowledgment of receipt; (ii) if sent by overnight courier, on the next business day following dispatch; (iii) if sent by registered or certified mail, five (5) business days after posting; and (iv) if sent by electronic mail, on the date of transmission, provided that if such date is not a business day in the place of receipt, on the next following business day.

    6. Either Party may change its address for notices by providing written notice of such change to the other Party in accordance with this section, such change to be effective five (5) business days after receipt of such notice.

  15. Severability

    1. If any provision of this Agreement is held by a court or tribunal of competent jurisdiction to be invalid, illegal, unenforceable, or void, in whole or in part, under any applicable law, such provision shall be deemed severed from this Agreement to the extent of such invalidity, illegality, or unenforceability.

    2. The remaining provisions of this Agreement shall continue in full force and effect and shall not be affected or impaired by such severance, provided that the essential purpose and intent of the Parties, as expressed in this Agreement, is not materially frustrated thereby.

    3. The Parties shall negotiate in good faith to replace any such invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that most closely approximates the original intent and economic effect of the severed provision.

    4. The invalidity or unenforceability of any provision in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.

    5. If any provision is held to be excessive in scope, duration, or geographic reach, such provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable, and shall be enforced as so modified.

  16. Entire Agreement and Amendments

    1. This Agreement, together with any documents expressly incorporated herein by reference, constitutes the entire agreement and understanding between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, negotiations, representations, understandings, and communications, whether oral or written, between the Parties relating to such subject matter.

    2. Each Party acknowledges that, in entering into this Agreement, it has not relied upon any statement, representation, warranty, assurance, or undertaking of any nature, whether in writing or oral, made by or on behalf of the other Party, except as expressly set forth in this Agreement.

    3. No amendment, modification, supplement, or variation of this Agreement shall be effective unless made in writing and signed by duly authorized representatives of both Parties.

    4. No oral statement, course of conduct, or course of dealing shall modify or amend any provision of this Agreement.

    5. The Parties acknowledge that this Agreement has been negotiated at arm's length and that any rule of construction to the effect that ambiguities are to be resolved against the drafting Party shall not be applied in the interpretation of this Agreement.

    6. In the event of any conflict between this Agreement and any prior or contemporaneous understanding, this Agreement shall prevail.

  17. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed, and enforced in accordance with the laws of [Governing Jurisdiction], without regard to its conflict of laws principles.

    2. Any dispute, controversy, claim, or difference arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach, or termination, shall first be submitted to good faith negotiations between senior representatives of the Parties for a period of not less than thirty (30) days from the date of written notice of such dispute by one Party to the other.

    3. In the event that the dispute is not resolved through good faith negotiations within the aforesaid period, the dispute shall be finally resolved by binding arbitration in accordance with the rules of [Arbitration Institution] by [Number] arbitrator(s) appointed in accordance with the said rules.

    4. The seat of arbitration shall be [City], and the language of the arbitration shall be [Language]. The award rendered by the arbitrator(s) shall be final and binding upon the Parties and may be entered and enforced in any court of competent jurisdiction.

    5. Notwithstanding the foregoing, either Party shall be entitled to seek interim, injunctive, or equitable relief from any court of competent jurisdiction to protect its rights, including its rights in Confidential Information, pending the resolution of any dispute by arbitration.

    6. Each Party shall bear its own costs and expenses of the arbitration, including attorneys' fees, provided that the arbitrator(s) shall have the discretion to award costs and fees to the prevailing Party.

    7. The Parties agree that the existence, conduct, and outcome of any arbitration proceeding under this Agreement shall be treated as confidential and shall not be disclosed to any third party, except as required by law or to enforce any arbitral award.

IN WITNESS WHEREOF, the Parties hereto have caused this Non-Disclosure Agreement to be duly executed by their respective authorized representatives as of the Effective Date first above written.
