This Confidentiality Agreement (hereinafter referred to as the "Agreement") is entered into and made effective as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

[Full Legal Name of Party A], a company duly organized and existing under the laws of [Country], having its registered office at [Registered Address], registration number [Registration Number], represented by [Name of Representative], acting in the capacity of [Title] (hereinafter referred to as "Party A"); and

[Full Legal Name of Party B], a company duly organized and existing under the laws of [Country], having its registered office at [Registered Address], registration number [Registration Number], represented by [Name of Representative], acting in the capacity of [Title] (hereinafter referred to as "Party B").

Party A and Party B are hereinafter collectively referred to as the "Parties" and individually as a "Party". Each Party may act as a Disclosing Party or a Receiving Party under this Agreement.

WHEREAS, the Parties are engaged in preliminary discussions concerning a potential business transaction, commercial relationship, collaboration or project between them (the "Purpose");

WHEREAS, in furtherance of the Purpose, each Party may disclose to the other certain confidential, proprietary and non-public information relating to its business, operations, finances, technology, personnel and affairs;

WHEREAS, the Parties desire to establish the terms and conditions upon which such Confidential Information shall be exchanged, protected and used;

NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  1. Definitions and Interpretation

    1. In this Agreement, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below.

    2. "Affiliate" shall mean, with respect to any Party, any entity that directly or indirectly controls, is controlled by, or is under common control with such Party, where "control" denotes the ownership of more than fifty percent (50%) of the voting securities or equivalent ownership interests, or the power to direct the management or policies of such entity, whether through ownership of voting securities, by contract, or otherwise.

    3. "Confidential Information" shall mean any and all non-public, proprietary, commercial, technical, financial or business information disclosed, communicated or made available by or on behalf of the Disclosing Party to the Receiving Party, directly or indirectly, in any form or medium, whether oral, written, electronic, visual or tangible, before, on or after the Effective Date, in connection with the Purpose, as further particularized in the section entitled "Confidential Information" of this Agreement.

    4. "Disclosing Party" shall mean the Party (together with its Affiliates and Representatives) that discloses, communicates or otherwise makes available Confidential Information under or in connection with this Agreement.

    5. "Receiving Party" shall mean the Party (together with its Affiliates and Representatives) that receives, obtains or otherwise accesses Confidential Information disclosed by the Disclosing Party under or in connection with this Agreement.

    6. "Representatives" shall mean, with respect to each Party, its Affiliates and the directors, officers, employees, agents, advisors (including, without limitation, legal, financial, tax, accounting and technical advisors), consultants and subcontractors of such Party and its Affiliates, who have a bona fide need to know the Confidential Information for the Purpose.

    7. The headings used in this Agreement are inserted for convenience of reference only and shall not affect the construction or interpretation of any provision hereof. Words importing the singular include the plural and vice versa; words importing one gender include every gender; and references to persons shall include natural persons, companies, partnerships, associations and other legal entities.

    8. References to any section, clause or paragraph are references to the sections, clauses or paragraphs of this Agreement, and the words "herein", "hereof", "hereunder" and words of similar import shall refer to this Agreement as a whole and not to any particular section or provision.

  2. Confidential Information

    1. For purposes of this Agreement, Confidential Information shall include, without limitation, all information of a confidential, proprietary or sensitive nature pertaining to the Disclosing Party, its Affiliates, its business, operations, strategies, products, services, technologies, customers, suppliers, personnel and finances, whether or not expressly designated as "confidential", "proprietary" or by any similar legend or marking.

    2. Confidential Information shall encompass, by way of illustration and not limitation, trade secrets, know-how, inventions (whether patentable or not), discoveries, concepts, ideas, designs, specifications, drawings, blueprints, diagrams, flow charts, models, samples, prototypes, formulae, processes, methodologies, techniques, algorithms, source and object code, software, databases and technical data.

    3. Confidential Information shall further include business plans, marketing and sales plans, pricing and cost information, financial statements and projections, budgets, forecasts, customer and supplier lists, contractual arrangements, corporate strategies, acquisition and divestiture plans, personnel information, organizational structures and any analyses, compilations, studies, memoranda, notes or other documents prepared by the Receiving Party or its Representatives that contain, reflect or are derived from any of the foregoing.

    4. The fact that the Parties are engaged in discussions or negotiations relating to the Purpose, the existence and the subject matter of this Agreement, and the contents of any communications exchanged between the Parties in connection therewith, shall themselves constitute Confidential Information.

    5. Confidential Information disclosed in oral, visual or intangible form shall be treated as Confidential Information whether or not subsequently reduced to writing or marked as confidential, provided that the nature of the information or the circumstances of its disclosure would reasonably indicate to a prudent business person that such information is confidential.

    6. All Confidential Information shall remain the sole and exclusive property of the Disclosing Party, and no transfer of ownership of any Confidential Information is intended, implied or effected by its disclosure under this Agreement.

  3. Exclusions from Confidential Information

    1. The obligations of confidentiality and restricted use set forth in this Agreement shall not apply to any information which the Receiving Party can demonstrate, by competent written evidence, falls within one or more of the following categories.

    2. Information that is or becomes generally available to or known by the public other than as a result of a disclosure or any other act or omission by the Receiving Party or any of its Representatives in breach of this Agreement.

    3. Information that was lawfully in the possession of the Receiving Party, free of any obligation of confidentiality, prior to its disclosure by or on behalf of the Disclosing Party, as evidenced by the Receiving Party's contemporaneous written records.

    4. Information that is lawfully obtained by the Receiving Party from a third party who, to the Receiving Party's knowledge after reasonable inquiry, is under no obligation of confidentiality to the Disclosing Party and who has the right to disclose such information.

    5. Information that is independently developed by the Receiving Party or its Representatives without any use of, reference to, or reliance upon the Confidential Information of the Disclosing Party, as evidenced by the Receiving Party's contemporaneous written records.

    6. Information for which the Disclosing Party has provided its prior express written consent to disclosure or use by the Receiving Party without restriction.

    7. The burden of establishing the applicability of any of the foregoing exclusions shall rest upon the Receiving Party, which shall maintain and produce, upon reasonable request, documentary evidence sufficient to substantiate any such claim.

  4. Purpose and Permitted Use

    1. The Receiving Party shall use the Confidential Information solely and exclusively for the Purpose, namely for the evaluation, discussion, negotiation, and, if applicable, the implementation of a potential business transaction, commercial relationship, collaboration or project between the Parties.

    2. The Receiving Party shall not use the Confidential Information, directly or indirectly, for any other purpose whatsoever, including, without limitation, for any commercial, competitive, personal or other advantage of the Receiving Party or any third party, or in any manner detrimental to the interests of the Disclosing Party.

    3. The Receiving Party shall not use the Confidential Information to develop, manufacture, market or sell any products or services that compete, directly or indirectly, with those of the Disclosing Party, or to reverse engineer, decompile, disassemble or otherwise attempt to derive the underlying ideas, structure, composition or functionality of any Confidential Information.

    4. Nothing in this Agreement shall be construed as obligating the Disclosing Party to disclose any particular Confidential Information to the Receiving Party, nor as creating any obligation on either Party to enter into any further agreement or business arrangement with the other.

    5. The Parties expressly acknowledge that discussions, exchanges of information and other activities undertaken pursuant to this Agreement are preliminary in nature, and that no legally binding commitment to proceed with any transaction shall arise except pursuant to a definitive written agreement duly executed by authorized representatives of both Parties.

  5. Obligations of the Receiving Party

    1. The Receiving Party shall hold all Confidential Information in strict confidence and shall not disclose, publish, disseminate, communicate, transmit or otherwise make available any Confidential Information to any third party, except as expressly permitted by this Agreement or with the prior written consent of the Disclosing Party.

    2. The Receiving Party may disclose Confidential Information only to those of its Representatives who have a bona fide need to know such information for the Purpose, provided that each such Representative is bound by written obligations of confidentiality and restricted use that are no less protective than those set forth in this Agreement, or is otherwise bound by professional or statutory obligations of confidentiality of equivalent effect.

    3. The Receiving Party shall be fully responsible and liable for any act or omission of its Representatives in relation to the Confidential Information as if such act or omission had been that of the Receiving Party itself, and shall take all reasonable measures to ensure compliance by its Representatives with the terms of this Agreement.

    4. The Receiving Party shall maintain a written record of all persons to whom Confidential Information has been disclosed and shall, upon the reasonable written request of the Disclosing Party, provide a copy of such record for verification purposes.

    5. The Receiving Party shall promptly notify the Disclosing Party in writing upon becoming aware of any unauthorized use, disclosure, loss, theft or compromise of any Confidential Information, and shall take all reasonable steps, at its own expense, to mitigate the consequences of such event and to prevent any further unauthorized use or disclosure.

    6. The Receiving Party shall not make, retain or create copies, reproductions, extracts, summaries, abstracts or derivative works of the Confidential Information, in whole or in part, except to the extent strictly necessary for the Purpose, and all such copies and derivatives shall be clearly marked as confidential and shall remain subject to the obligations set forth in this Agreement.

    7. The Receiving Party shall not remove, obscure, alter or deface any proprietary notices, trademarks, confidentiality legends or similar markings appearing on or attached to any Confidential Information.

  6. No License or Proprietary Rights

    1. The disclosure of Confidential Information under this Agreement shall not be construed as granting, by implication, estoppel or otherwise, any right, title, license, interest or ownership in or to the Confidential Information, or any patent, copyright, trademark, trade secret, know-how or other intellectual property right of the Disclosing Party.

    2. All Confidential Information, including all intellectual property rights therein, shall remain the sole and exclusive property of the Disclosing Party, and nothing herein shall be deemed to transfer, assign or convey any such rights to the Receiving Party.

    3. The Receiving Party shall not file or prosecute any application for a patent, copyright, trademark or other form of intellectual property protection, in any jurisdiction, that claims or embodies, in whole or in part, any Confidential Information of the Disclosing Party.

    4. Any feedback, comments, suggestions or recommendations provided by the Receiving Party to the Disclosing Party in relation to the Confidential Information shall be deemed non-confidential and may be used by the Disclosing Party without restriction and without any obligation of attribution, compensation or accounting to the Receiving Party.

    5. No implied licenses or rights of any nature are granted by this Agreement, and any rights not expressly granted herein are reserved to the Disclosing Party.

  7. Standard of Care

    1. The Receiving Party shall protect the Confidential Information with the same degree of care that it uses to protect its own confidential and proprietary information of similar sensitivity, but in no event with less than a reasonable degree of care.

    2. The Receiving Party shall implement and maintain appropriate administrative, physical, organizational and technical safeguards designed to prevent any unauthorized access to, use of, disclosure of, alteration or loss of the Confidential Information, including, without limitation, secure storage, access controls, encryption where appropriate, and employee training.

    3. The Receiving Party shall segregate the Confidential Information from information belonging to third parties and, where reasonably practicable, from its own information, so as to prevent any inadvertent commingling or disclosure.

    4. The Receiving Party shall promptly, upon the reasonable request of the Disclosing Party, provide information concerning the measures taken to protect the Confidential Information and shall cooperate in good faith with any reasonable audit or inspection by the Disclosing Party of such measures, subject to appropriate confidentiality undertakings.

    5. The Receiving Party acknowledges that no particular standard of care shall relieve it of its obligations in the event of any actual breach of this Agreement, and that compliance with this clause shall be assessed independently of the Receiving Party's own internal practices to the extent they fall short of the standard set forth herein.

  8. Compelled Disclosure

    1. In the event that the Receiving Party or any of its Representatives is required by applicable law, regulation, court order, subpoena, governmental authority, stock exchange rule or other legal or regulatory process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible and reasonably practicable, provide prompt written notice to the Disclosing Party of such requirement prior to any disclosure.

    2. Such notice shall be furnished in sufficient time to afford the Disclosing Party a reasonable opportunity to seek a protective order, confidential treatment or other appropriate remedy, and the Receiving Party shall, at the Disclosing Party's request and expense, cooperate reasonably with the Disclosing Party in seeking any such remedy.

    3. If, in the absence of a protective order or other remedy, or the receipt of a waiver from the Disclosing Party, the Receiving Party is nonetheless legally compelled to disclose Confidential Information, the Receiving Party may disclose only that portion of the Confidential Information which it is legally required to disclose, based on the advice of its legal counsel.

    4. The Receiving Party shall use commercially reasonable efforts to obtain reliable assurance that confidential treatment will be accorded to any Confidential Information so disclosed.

    5. Compelled disclosure in accordance with this section shall not relieve the Receiving Party of its obligations of confidentiality with respect to any other Confidential Information or any further use thereof.

  9. Term and Survival

    1. This Agreement shall come into force on the Effective Date and shall remain in force for a period of two (2) years thereafter, unless earlier terminated by mutual written agreement of the Parties or by either Party upon thirty (30) days' prior written notice to the other Party.

    2. Notwithstanding the termination or expiration of this Agreement, the obligations of confidentiality, non-use and all other obligations imposed upon the Receiving Party under this Agreement with respect to Confidential Information disclosed hereunder shall survive for a period of two (2) years from the date of such termination or expiration.

    3. With respect to any Confidential Information that constitutes a trade secret under applicable law, the obligations of confidentiality and non-use set forth herein shall continue for so long as such information retains its status as a trade secret, notwithstanding the expiration of the periods set forth above.

    4. Termination or expiration of this Agreement shall not affect any rights or obligations of the Parties that have accrued prior to such termination or expiration, nor shall it affect any provisions of this Agreement that, by their nature, are intended to survive termination.

    5. The following sections shall expressly survive the termination or expiration of this Agreement: "Confidential Information", "Exclusions from Confidential Information", "Obligations of the Receiving Party", "No License or Proprietary Rights", "Return or Destruction of Confidential Information", "Remedies and Injunctive Relief", "Notices", "Governing Law and Dispute Resolution" and "Miscellaneous", together with any other provisions that by their nature are intended to survive.

  10. Return or Destruction of Confidential Information

    1. Upon the earlier of (i) the written request of the Disclosing Party at any time, (ii) the termination of this Agreement, or (iii) the completion or abandonment of the Purpose, the Receiving Party shall, at the Disclosing Party's election, promptly return to the Disclosing Party or destroy all Confidential Information in its possession or under its control, including all copies, reproductions, extracts, summaries and derivative works thereof, in any form or medium whatsoever.

    2. Where destruction is elected, the Receiving Party shall destroy the Confidential Information in a secure manner and, upon the written request of the Disclosing Party, shall certify in writing, through an authorized officer, that such destruction has been completed in accordance with this Agreement.

    3. Notwithstanding the foregoing, the Receiving Party may retain (a) one copy of the Confidential Information to the extent required to comply with any applicable law, regulation or bona fide internal record-keeping or compliance policy, and (b) Confidential Information contained in automatically generated electronic back-up files that cannot reasonably be deleted in the ordinary course of business.

    4. Any Confidential Information so retained shall continue to be subject to the obligations of confidentiality and non-use set forth in this Agreement for so long as such information is retained, notwithstanding any expiration of the periods specified in the section entitled "Term and Survival".

    5. The return or destruction of Confidential Information shall not relieve the Receiving Party of any of its obligations under this Agreement, including, without limitation, its obligations of confidentiality and non-use.

  11. Remedies and Injunctive Relief

    1. The Receiving Party acknowledges and agrees that the Confidential Information is of a special, unique, extraordinary and intellectual character, and that any breach or threatened breach of this Agreement by the Receiving Party or its Representatives may cause irreparable harm to the Disclosing Party for which monetary damages would be inadequate and difficult to ascertain.

    2. Accordingly, the Disclosing Party shall be entitled, in addition to any other rights and remedies available to it at law or in equity, to seek and obtain injunctive relief, specific performance and other equitable remedies to prevent or restrain any actual or threatened breach of this Agreement by the Receiving Party or its Representatives, without the necessity of posting any bond or other security, and without proof of actual damages.

    3. The rights and remedies of the Disclosing Party under this Agreement are cumulative and not exclusive of any other rights or remedies available at law, in equity or under any other agreement, and the exercise of one remedy shall not preclude the exercise of any other.

    4. No failure or delay by either Party in exercising any right, power or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of such right, power or remedy.

    5. Each Party shall bear its own costs and expenses incurred in connection with the enforcement of this Agreement, provided that nothing herein shall preclude a court of competent jurisdiction from awarding costs and reasonable attorneys' fees to the prevailing Party in any action or proceeding arising out of or relating to this Agreement.

  12. Representations and Warranties

    1. Each Party represents and warrants to the other that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution, delivery and performance of this Agreement have been duly authorized by all requisite corporate action.

    2. Each Party represents and warrants that this Agreement constitutes a legal, valid and binding obligation of such Party, enforceable against it in accordance with its terms, subject to applicable laws affecting creditors' rights generally.

    3. Each Party represents and warrants that its execution, delivery and performance of this Agreement does not and will not violate any applicable law, regulation, order, judgment or agreement to which it is a party or by which it is bound.

    4. Except as expressly set forth in this Agreement, all Confidential Information is provided "as is" and the Disclosing Party makes no representations or warranties, express or implied, as to the accuracy, completeness, fitness for a particular purpose, non-infringement or any other matter relating to the Confidential Information.

    5. The Receiving Party acknowledges that it shall not be entitled to rely upon the accuracy or completeness of any Confidential Information for any purpose other than the Purpose, and that any decision to enter into a definitive business arrangement with the Disclosing Party shall be made solely on the basis of representations and warranties expressly set forth in such definitive agreement.

    6. Neither Party shall be liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with this Agreement or the Confidential Information, however caused and under any theory of liability, even if advised of the possibility of such damages, save for liability which cannot be excluded or limited by applicable law.

  13. No Obligation to Proceed

    1. Nothing in this Agreement shall be construed as obligating either Party to enter into, continue or conclude any business transaction, agreement, collaboration or other arrangement with the other Party, nor as creating any exclusivity, partnership, joint venture, agency or fiduciary relationship between the Parties.

    2. Each Party reserves the right, in its sole and absolute discretion, to terminate discussions and negotiations relating to the Purpose at any time and for any reason or no reason, without liability to the other Party, subject only to the surviving obligations expressly set forth in this Agreement.

    3. No legally binding obligation to proceed with the Purpose or any transaction contemplated thereby shall arise except pursuant to a definitive written agreement duly executed by authorized representatives of both Parties, and until such execution each Party shall be free to pursue alternative transactions and arrangements with third parties.

    4. Each Party shall bear its own costs and expenses incurred in connection with the negotiation, preparation, execution and performance of this Agreement and the evaluation of the Purpose, regardless of whether any further transaction is ultimately consummated.

    5. Neither Party shall make any public announcement or statement regarding the existence of this Agreement, the discussions between the Parties or the Purpose, without the prior written consent of the other Party, except as may be required by applicable law or regulatory authority.

  14. Notices

    1. All notices, requests, consents, demands and other communications required or permitted to be given under this Agreement shall be in writing and shall be delivered personally, sent by internationally recognized courier service, or transmitted by electronic mail with confirmation of receipt, to the addresses of the Parties set forth below or to such other address as either Party may designate by written notice to the other.

    2. If to Party A: [Name], [Address], Attention: [Contact Person], Email: [Email Address].

    3. If to Party B: [Name], [Address], Attention: [Contact Person], Email: [Email Address].

    4. Notices shall be deemed effectively given (i) upon actual receipt, if delivered personally, (ii) one (1) business day after dispatch, if sent by internationally recognized courier service with tracking, and (iii) on the date of transmission, if sent by electronic mail prior to 5:00 p.m. local time of the recipient on a business day, or on the next business day if sent after such time or on a non-business day.

    5. Either Party may change its address or contact details for notices by giving written notice to the other Party in accordance with the provisions of this section, such change to be effective upon receipt of such notice.

    6. Routine operational communications relating to the Purpose may be exchanged by electronic mail between the authorized representatives of the Parties without being subject to the formal notice requirements of this section, provided that no such communication shall constitute a formal notice under this Agreement.

  15. Assignment

    1. Neither Party shall assign, transfer, delegate or otherwise dispose of any of its rights or obligations under this Agreement, whether voluntarily, involuntarily, by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned or delayed.

    2. Notwithstanding the foregoing, either Party may assign this Agreement, without the other Party's consent, to an Affiliate or to a successor-in-interest in connection with a merger, consolidation, reorganization or sale of all or substantially all of its assets or business to which this Agreement relates, provided that the assignee agrees in writing to be bound by the terms of this Agreement.

    3. Any purported assignment or transfer in violation of this section shall be null and void and of no force or effect.

    4. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the Parties and their respective permitted successors and assigns.

    5. The assigning Party shall provide written notice to the other Party of any permitted assignment within a reasonable time after its effective date, together with evidence satisfactory to the non-assigning Party that the assignee has assumed all obligations of the assignor under this Agreement.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed and interpreted in accordance with the laws of [Country/Jurisdiction], without regard to its conflict of laws principles that would require the application of the laws of any other jurisdiction.

    2. The Parties shall endeavor to resolve amicably, by good faith negotiations between their authorized representatives, any dispute, controversy or claim arising out of or relating to this Agreement, including the breach, termination, validity or interpretation thereof.

    3. If any such dispute is not resolved through good faith negotiations within thirty (30) days after written notice of the dispute is given by one Party to the other, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of [City/Jurisdiction], and each Party hereby irrevocably submits to the jurisdiction of such courts and waives any objection based on inconvenient forum or venue.

    4. Notwithstanding the foregoing, either Party may at any time apply to any court of competent jurisdiction for interim, injunctive, equitable or conservatory relief, including, without limitation, measures to prevent any actual or threatened breach of this Agreement, without being obliged first to engage in negotiations or any other dispute resolution procedure.

    5. The prevailing Party in any action or proceeding arising out of or relating to this Agreement shall be entitled to recover from the non-prevailing Party its reasonable attorneys' fees, costs and expenses incurred in connection therewith, in addition to any other relief to which it may be entitled.

    6. The Parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods to this Agreement.

  17. Miscellaneous

    1. This Agreement, together with any documents expressly referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations and agreements, whether oral or written, relating to such subject matter.

    2. No amendment, modification, supplement or waiver of any provision of this Agreement shall be effective unless in writing and signed by the duly authorized representatives of both Parties, and no waiver of any breach shall be deemed a waiver of any subsequent breach of the same or any other provision.

    3. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the severed provision with a valid, legal and enforceable provision that most closely reflects the original intent of the Parties.

    4. Nothing contained in this Agreement shall be construed as creating any partnership, joint venture, agency, employment or fiduciary relationship between the Parties, and neither Party shall have the authority to bind the other or to incur any obligation on behalf of the other.

    5. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement (other than obligations relating to the protection of Confidential Information or payment obligations) resulting from any cause beyond its reasonable control, including, without limitation, acts of God, war, terrorism, strikes, labor disputes, governmental actions, epidemics, pandemics and natural disasters.

    6. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic signatures and signatures transmitted by electronic means (including by portable document format) shall be deemed to have the same legal effect as original signatures.

    7. The Parties acknowledge that they have had the opportunity to seek independent legal advice regarding this Agreement, and that this Agreement shall not be construed against the drafting Party.

    8. Each Party shall bear its own costs, expenses and taxes incurred in connection with the negotiation, execution and performance of this Agreement.

IN WITNESS WHEREOF, the Parties hereto have caused this Confidentiality Agreement to be executed by their duly authorized representatives as of the Effective Date first above written.
