WHEREAS, the Receiving Party is willing to receive such Confidential Information and to undertake the obligations of confidentiality set forth herein, subject to and upon the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows.

  1. Definitions and Interpretation

    1. For the purposes of this Agreement, the term "Confidential Information" shall mean any and all information, data, materials, know-how or trade secrets of a non-public nature, in whatever form or medium, whether written, oral, electronic, visual or otherwise, disclosed, made available or otherwise communicated by or on behalf of the Disclosing Party to the Receiving Party, whether before, on or after the Effective Date, in connection with the Purpose, and which is either marked or otherwise identified as confidential, proprietary or similar, or which, by its nature or the circumstances of its disclosure, ought reasonably to be understood by the Receiving Party to be confidential.

    2. The term "Representatives" shall mean, with respect to the Receiving Party, its directors, officers, employees, agents, professional advisors, consultants, subcontractors and affiliates who have a legitimate need to know the Confidential Information strictly for the Purpose and who are bound by written obligations of confidentiality no less protective than those contained herein.

    3. The term "Purpose" shall mean the evaluation, negotiation, performance and consummation of the potential or actual business relationship described in the recitals to this Agreement, and no other use whatsoever.

    4. The term "Affiliate" shall mean, in respect of any entity, any other entity that directly or indirectly controls, is controlled by or is under common control with such first entity, where "control" means the ownership of more than fifty percent (50%) of the voting securities or equivalent interests, or the power to direct the management and policies of such entity.

    5. Headings and section titles are inserted for convenience of reference only and shall not affect the construction or interpretation of this Agreement. Words importing the singular shall include the plural and vice versa, and words importing any gender shall include all genders.

    6. Any reference to a "day", "month" or "year" shall mean a calendar day, month or year unless otherwise specified. Any reference to "writing" shall include electronic communications, including email.

  2. Scope of Confidential Information

    1. Confidential Information shall encompass, without limitation, all technical, commercial, financial, operational, strategic, legal and personnel information of the Disclosing Party, including but not limited to business plans, forecasts, budgets, pricing, customer lists, supplier information, marketing strategies, product designs, specifications, formulas, processes, methodologies, software, source code, algorithms, databases, inventions, discoveries, improvements, research and development data, know-how and trade secrets.

    2. Confidential Information shall further include any and all information relating to the existence, subject matter, status, terms or conditions of this Agreement, as well as the fact that discussions or negotiations are taking place or have taken place between the Parties concerning the Purpose.

    3. Confidential Information shall include any copies, extracts, summaries, analyses, compilations, studies, notes, reports or other materials prepared by the Receiving Party or any of its Representatives that contain, reflect, incorporate or are derived from, in whole or in part, any Confidential Information of the Disclosing Party (hereinafter "Derivative Materials"), and all such Derivative Materials shall be deemed Confidential Information for all purposes under this Agreement.

    4. Information disclosed orally, visually or by inspection shall constitute Confidential Information regardless of whether it is subsequently reduced to writing or marked as confidential, provided that such information was identified as confidential at the time of disclosure or would reasonably be understood to be confidential given its nature or the circumstances of disclosure.

    5. The absence of any legend, marking or designation of confidentiality on any item of information shall not operate to waive, diminish or otherwise affect the confidential nature of such information, where such information otherwise satisfies the definition of Confidential Information set forth in this Agreement.

    6. Confidential Information shall remain at all times the sole and exclusive property of the Disclosing Party, and no disclosure hereunder shall be construed as a transfer, assignment or conveyance of any proprietary right, title or interest in or to any such information.

    7. Confidential Information may be disclosed in tangible or intangible form, and may include samples, prototypes, equipment, components, models or other physical items furnished by the Disclosing Party, all of which shall be subject to the terms and conditions of this Agreement.

  3. Use of Confidential Information

    1. The Receiving Party covenants and agrees that it shall use the Confidential Information solely and exclusively for the Purpose and for no other purpose whatsoever, including without limitation any purpose that is competitive with, detrimental to, or otherwise prejudicial to the interests of the Disclosing Party.

    2. The Receiving Party shall not, directly or indirectly, use, exploit, commercialize, reverse engineer, decompile, disassemble, analyze or seek to derive any Confidential Information or any component thereof for its own benefit or for the benefit of any third party.

    3. The Receiving Party shall not, without the prior written consent of the Disclosing Party, make, retain or create any copies, duplicates, reproductions, abstracts, summaries or other derivatives of the Confidential Information, except to the extent strictly necessary for the Purpose, and all such permitted copies shall be marked or otherwise identified as confidential.

    4. The Receiving Party acknowledges that any unauthorized use of the Confidential Information, including any use beyond the scope of the Purpose, shall constitute a material breach of this Agreement and shall entitle the Disclosing Party to all remedies available at law or in equity.

    5. The Receiving Party shall not use the Confidential Information to develop, directly or indirectly, any products, services, processes or technologies that are the same as, substantially similar to, or competitive with those of the Disclosing Party.

    6. The Receiving Party shall not combine any Confidential Information with any other information or materials in any manner that would compromise, dilute or jeopardize the confidential status of such Confidential Information.

    7. The permissions and limitations set forth in this section shall apply equally to the Receiving Party and to each of its Representatives, and the Receiving Party shall be fully and unconditionally responsible for ensuring compliance by its Representatives with the terms of this Agreement.

  4. Obligations of the Receiving Party

    1. The Receiving Party shall hold the Confidential Information in strict confidence and shall exercise at least the same degree of care to prevent the unauthorized disclosure, use, copying or dissemination of the Confidential Information as it uses to protect its own confidential information of a similar nature, and in no event less than a reasonable degree of care commensurate with the sensitivity of the Confidential Information.

    2. The Receiving Party shall limit access to the Confidential Information strictly to those of its Representatives who have a bona fide need to know such information for the Purpose, and shall ensure that each such Representative is informed of the confidential nature of the Confidential Information and is bound by written obligations of confidentiality and non-use at least as restrictive as those contained in this Agreement.

    3. The Receiving Party shall be fully responsible and liable for any act, omission, breach or default by any of its Representatives in respect of the Confidential Information as if such act, omission, breach or default were committed by the Receiving Party itself.

    4. The Receiving Party shall implement and maintain appropriate technical, physical, administrative and organizational safeguards designed to protect the Confidential Information against unauthorized access, use, disclosure, alteration, loss or destruction, including without limitation secure storage, access controls, encryption where appropriate, and secure disposal procedures.

    5. The Receiving Party shall promptly notify the Disclosing Party in writing upon becoming aware of any actual, suspected or threatened loss, misappropriation, unauthorized access, use or disclosure of the Confidential Information, and shall take all reasonable steps, at its own cost, to mitigate the effects of such incident and to prevent any further loss or unauthorized access.

    6. The Receiving Party shall cooperate fully with the Disclosing Party in any investigation, enforcement action or other proceeding relating to any actual or suspected breach of this Agreement, and shall provide such assistance and information as the Disclosing Party may reasonably require.

    7. The Receiving Party shall maintain accurate records of all Confidential Information received from the Disclosing Party, and shall, upon reasonable request from the Disclosing Party, provide an inventory and status report concerning such Confidential Information.

    8. The Receiving Party shall not remove, alter, obscure or deface any proprietary notices, legends, markings or designations contained on or affixed to any item or copy of the Confidential Information.

  5. Permitted Disclosures

    1. Notwithstanding anything to the contrary contained herein, the Receiving Party may disclose Confidential Information to the extent, and only to the extent, that such disclosure is required by applicable law, regulation, court order, subpoena or other binding directive of a competent governmental, judicial, regulatory or administrative authority of competent jurisdiction.

    2. In the event that the Receiving Party becomes legally compelled to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide the Disclosing Party with prompt prior written notice of such requirement, together with reasonable details concerning the scope, nature and source of such requirement, so that the Disclosing Party may seek a protective order, confidential treatment or other appropriate remedy.

    3. The Receiving Party shall cooperate with the Disclosing Party, at the Disclosing Party's reasonable cost, in any effort to obtain such protective order, confidential treatment or other appropriate remedy, and shall not oppose any such action undertaken by the Disclosing Party.

    4. If, after providing such notice and cooperation, the Receiving Party remains legally compelled to disclose Confidential Information, the Receiving Party shall disclose only that portion of the Confidential Information which it is strictly and legally required to disclose, and shall use its reasonable efforts to obtain written assurances that confidential treatment will be accorded to such disclosed information.

    5. Any disclosure made in accordance with this section shall not relieve the Receiving Party of its other obligations under this Agreement with respect to the Confidential Information, and all information so disclosed shall continue to be deemed Confidential Information hereunder.

    6. The Receiving Party may disclose Confidential Information to its professional advisors (including legal counsel, accountants and auditors) bound by professional duties of confidentiality, strictly to the extent necessary for the Purpose, provided that the Receiving Party shall remain liable for any breach of confidentiality by such advisors.

  6. Representations and Warranties

    1. Each Party represents and warrants to the other Party that it is duly organized, validly existing and in good standing under the laws of its jurisdiction of incorporation, and that it has full corporate power, right and authority to enter into this Agreement and to perform its obligations hereunder.

    2. Each Party represents and warrants that the execution, delivery and performance of this Agreement have been duly authorized by all necessary corporate action, and that this Agreement constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms.

    3. Each Party represents and warrants that the execution, delivery and performance of this Agreement do not and will not conflict with, violate or constitute a breach or default under any applicable law, regulation, judicial order or contractual obligation to which such Party is subject.

    4. The Disclosing Party represents and warrants that, to the best of its knowledge, it has the right and authority to disclose the Confidential Information to the Receiving Party in accordance with this Agreement.

    5. Save as expressly set forth in this Agreement, the Confidential Information is provided on an "as is" basis, and the Disclosing Party makes no representation or warranty, express or implied, as to the accuracy, completeness, performance, merchantability, fitness for a particular purpose or non-infringement of any Confidential Information, and shall have no liability to the Receiving Party in respect thereof.

    6. The Receiving Party acknowledges and agrees that it shall not rely on any representation, warranty or statement not expressly contained in this Agreement, and that any decisions made or actions taken on the basis of the Confidential Information shall be at the Receiving Party's own risk and discretion.

    7. Neither Party shall be liable to the other for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or in connection with the disclosure, receipt or use of the Confidential Information, except in cases of willful misconduct or breach of confidentiality obligations hereunder.

  7. No License or Transfer of Rights

    1. Nothing contained in this Agreement shall be construed as granting or conferring, whether expressly, impliedly, by estoppel or otherwise, any license, right, title or interest in or to any Confidential Information, intellectual property right, patent, copyright, trademark, trade secret, know-how or other proprietary right of the Disclosing Party.

    2. All Confidential Information shall remain the sole and exclusive property of the Disclosing Party, and the Receiving Party shall acquire no right, title or interest therein by virtue of the disclosure thereof or the performance of this Agreement.

    3. The disclosure of Confidential Information shall not be construed as an obligation on the part of the Disclosing Party to enter into any further agreement, business relationship, transaction or arrangement with the Receiving Party, or to continue any discussions or negotiations currently underway.

    4. The Receiving Party shall not file or prosecute any patent application, trademark application, copyright registration or any other application for registration of intellectual property rights based upon, derived from or incorporating any Confidential Information of the Disclosing Party.

    5. Any improvements, modifications, enhancements, derivatives or developments made by the Receiving Party based on, derived from or incorporating any Confidential Information shall belong exclusively to the Disclosing Party, and the Receiving Party hereby assigns to the Disclosing Party all right, title and interest therein, including all intellectual property rights.

    6. The Receiving Party shall not challenge, dispute or contest the validity, enforceability, ownership or scope of any intellectual property rights of the Disclosing Party in or relating to the Confidential Information.

    7. The provision of samples, prototypes, documentation or other tangible items by the Disclosing Party shall not transfer ownership of such items to the Receiving Party, and such items shall remain the property of the Disclosing Party and shall be subject to return in accordance with the provisions of this Agreement.

  8. Exclusions from Confidential Information

    1. The obligations of confidentiality and non-use set forth in this Agreement shall not apply to information which the Receiving Party can demonstrate, by competent written evidence:

    2. (i) was already in the lawful possession of the Receiving Party, free of any obligation of confidentiality, prior to its disclosure by the Disclosing Party;

    3. (ii) is or becomes generally available to the public through no act, omission or breach of this Agreement by the Receiving Party or any of its Representatives;

    4. (iii) is lawfully received by the Receiving Party from a third party who, to the Receiving Party's knowledge after reasonable inquiry, had the right to disclose such information and was not bound by any obligation of confidentiality in respect thereof;

    5. (iv) is independently developed by the Receiving Party or its Representatives without any use of, reference to or reliance upon the Confidential Information and without the participation of individuals who have had access to the Confidential Information.

    6. The burden of proving the applicability of any of the foregoing exclusions shall rest exclusively with the Receiving Party, and such burden shall be discharged only by the production of clear, cogent and contemporaneous written evidence.

    7. The exclusions set forth in this section shall not apply to any specific combination of features or elements of the Confidential Information, or to any specific implementation thereof, merely because individual features or elements fall within one or more of the exclusions, unless the specific combination or implementation itself falls within such exclusion.

    8. The exclusions set forth in this section shall not operate to permit the disclosure or use of Confidential Information in violation of any applicable law, regulation or third-party right.

  9. Return of Confidential Materials

    1. Upon the earlier of (i) the termination or expiration of this Agreement, (ii) the completion or abandonment of the Purpose, or (iii) the written request of the Disclosing Party at any time, the Receiving Party shall, within [Number] days of such event, return to the Disclosing Party all Confidential Information in its possession or control, together with all copies, extracts, summaries, Derivative Materials and other reproductions thereof, in whatever form or medium.

    2. The obligation to return Confidential Information shall extend to all tangible materials, including but not limited to documents, drawings, specifications, samples, prototypes, equipment, electronic storage media and any other physical embodiments of the Confidential Information.

    3. With respect to Confidential Information stored in electronic form on computer systems or storage media which cannot practicably be returned, the Receiving Party shall permanently delete, erase or destroy such Confidential Information in a manner that renders it irretrievable, and shall confirm such action in writing to the Disclosing Party.

    4. The Receiving Party shall, upon the written request of the Disclosing Party, provide a written certificate signed by a duly authorized officer confirming that all Confidential Information has been returned or, where applicable, permanently deleted or destroyed in accordance with this section.

    5. Notwithstanding the foregoing, the Receiving Party may retain one (1) archival copy of the Confidential Information solely for the purpose of complying with mandatory legal, regulatory or internal record-retention requirements, provided that such retained copy shall remain subject to the obligations of confidentiality and non-use set forth in this Agreement for so long as it is retained.

    6. The return, deletion or destruction of Confidential Information in accordance with this section shall not relieve the Receiving Party of any of its continuing obligations under this Agreement with respect to such Confidential Information.

    7. All costs and expenses associated with the return, deletion or destruction of Confidential Information shall be borne by the Receiving Party.

  10. Duration of Confidentiality Obligations

    1. The obligations of confidentiality, non-use and non-disclosure set forth in this Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of two (2) years from the date of disclosure of each item of Confidential Information, notwithstanding any earlier termination or expiration of this Agreement.

    2. Notwithstanding the foregoing, with respect to any Confidential Information that constitutes a trade secret under applicable law, the obligations of confidentiality, non-use and non-disclosure shall continue for so long as such information retains its status as a trade secret.

    3. The expiration of the confidentiality period set forth in this section shall not relieve the Receiving Party of any liability for any breach of this Agreement occurring prior to such expiration.

    4. The Receiving Party acknowledges that the duration of the confidentiality obligations set forth in this section is reasonable and necessary to protect the legitimate business interests of the Disclosing Party.

    5. Upon the expiration of the applicable confidentiality period, the Receiving Party shall nonetheless remain subject to any obligations imposed by applicable law relating to the protection of trade secrets, personal data or other legally protected information.

    6. Any extension of the duration of the confidentiality obligations shall require a written amendment to this Agreement duly executed by both Parties.

  11. Remedies and Injunctive Relief

    1. The Receiving Party acknowledges and agrees that any actual or threatened breach of this Agreement by the Receiving Party or any of its Representatives may cause irreparable harm and injury to the Disclosing Party for which monetary damages alone would be an inadequate remedy.

    2. Accordingly, the Disclosing Party shall be entitled, in addition to any other rights and remedies available to it at law or in equity, to seek and obtain injunctive relief, specific performance and other equitable remedies to prevent or restrain any actual or threatened breach of this Agreement, without the necessity of posting any bond or other security, and without being required to prove actual damages.

    3. The Receiving Party expressly waives any defense or objection it may have to the granting of such injunctive or equitable relief, including any defense based on the adequacy of monetary damages or the balance of equities.

    4. The rights and remedies of the Disclosing Party set forth in this Agreement are cumulative and not exclusive, and the exercise or pursuit of any one right or remedy shall not preclude or waive the exercise of any other right or remedy available to the Disclosing Party.

    5. The failure or delay of the Disclosing Party in exercising any right or remedy under this Agreement shall not constitute a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise thereof.

    6. In the event of any legal action or proceeding brought by the Disclosing Party to enforce the provisions of this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees, costs and expenses incurred in connection therewith.

  12. Term and Termination

    1. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number] years, unless earlier terminated in accordance with the provisions of this section.

    2. Either Party may terminate this Agreement for convenience by providing the other Party with not less than [Number] days' prior written notice of termination.

    3. Either Party may terminate this Agreement with immediate effect by written notice to the other Party in the event that the other Party commits a material breach of this Agreement and, where such breach is capable of being remedied, fails to remedy such breach within [Number] days after receipt of written notice specifying the breach.

    4. Either Party may terminate this Agreement with immediate effect by written notice to the other Party in the event that the other Party becomes insolvent, enters into liquidation (whether voluntary or compulsory), has a receiver, administrator or similar officer appointed over all or any part of its assets, enters into any composition or arrangement with its creditors, or ceases or threatens to cease to carry on business.

    5. The termination or expiration of this Agreement shall not affect any rights, remedies, obligations or liabilities of the Parties that have accrued up to the date of termination or expiration, or that are expressly or by implication intended to survive such termination or expiration.

    6. The provisions of this Agreement relating to confidentiality obligations, exclusions from Confidential Information, return of materials, duration of confidentiality obligations, remedies, governing law and dispute resolution, notices and miscellaneous provisions shall survive the termination or expiration of this Agreement in accordance with their respective terms.

    7. Upon termination or expiration of this Agreement, the Receiving Party shall promptly comply with its obligations relating to the return or destruction of Confidential Information as set forth in this Agreement.

  13. Notices

    1. All notices, requests, demands, consents and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when delivered by hand, sent by internationally recognized courier service with tracking, or transmitted by email with confirmation of receipt, to the Party to be notified at the address specified below or at such other address as such Party may designate by written notice.

    2. Notices to the Disclosing Party shall be sent to: [Name], [Title], [Address], Email: [Email Address].

    3. Notices to the Receiving Party shall be sent to: [Name], [Title], [Address], Email: [Email Address].

    4. Notices delivered by hand shall be deemed given on the date of actual delivery. Notices sent by courier shall be deemed given on the date of confirmed delivery. Notices sent by email shall be deemed given on the date of transmission, provided that no delivery failure notification is received by the sender.

    5. Each Party shall promptly notify the other Party in writing of any change in its notice address or contact details, and until such notice is received, notices sent to the previously designated address shall be deemed validly given.

    6. Any notice given on a day that is not a business day in the place of receipt, or after 5:00 p.m. local time at the place of receipt, shall be deemed to have been given on the next following business day.

  14. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed and enforced in accordance with the laws of [Country/Jurisdiction], without regard to its conflict of laws principles.

    2. The Parties shall use their reasonable endeavors to resolve amicably, through good faith negotiations between their respective senior representatives, any dispute, claim, controversy or difference arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach or termination.

    3. In the event that any such dispute cannot be resolved amicably within [Number] days from the date on which one Party notifies the other Party in writing of the existence of the dispute, either Party may refer the dispute to the exclusive jurisdiction of the courts of [City, Country], and the Parties hereby irrevocably submit to the jurisdiction of such courts.

    4. Notwithstanding the foregoing, the Disclosing Party shall at all times be entitled to seek injunctive, equitable or other urgent relief from any court of competent jurisdiction, in any jurisdiction where the Receiving Party or its Representatives may be found or where any breach may occur, in order to protect its Confidential Information or enforce its rights under this Agreement.

    5. Each Party irrevocably waives any objection it may have to the venue of any proceeding brought in accordance with this section, including any claim that such proceeding has been brought in an inconvenient forum.

    6. The provisions of this section shall survive the termination or expiration of this Agreement.

  15. Miscellaneous Provisions

    1. This Agreement constitutes the entire agreement and understanding between the Parties with respect to its subject matter, and supersedes all prior and contemporaneous agreements, representations, understandings and communications, whether oral or written, between the Parties relating to such subject matter.

    2. No amendment, modification, supplement or waiver of any provision of this Agreement shall be valid or binding unless made in writing and duly executed by authorized representatives of both Parties.

    3. The Receiving Party shall not assign, transfer, delegate, subcontract or otherwise dispose of any of its rights or obligations under this Agreement, in whole or in part, without the prior written consent of the Disclosing Party, and any purported assignment or transfer in violation of this provision shall be null and void. The Disclosing Party may freely assign this Agreement to any Affiliate or successor in interest.

    4. If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely reflects the original intent of the Parties.

    5. No failure or delay by any Party in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise of any other right, power or privilege hereunder.

    6. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, employment or fiduciary relationship between the Parties, and neither Party shall have the authority to bind, represent or create any obligation on behalf of the other Party.

    7. Each Party shall bear its own costs and expenses incurred in connection with the negotiation, preparation, execution and performance of this Agreement.

    8. This Agreement may be executed in any number of counterparts, each of which when executed shall constitute an original, and all of which together shall constitute one and the same instrument. The Parties agree that electronic signatures and signatures transmitted by email or other electronic means shall have the same legal force and effect as original handwritten signatures.

    9. Neither Party shall issue any press release or public announcement, or otherwise disclose to any third party the existence or terms of this Agreement or the business relationship contemplated hereby, without the prior written consent of the other Party, except as required by applicable law.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be duly executed by their respective authorized representatives as of the Effective Date first above written.
