The First Party and the Second Party may each be referred to individually as a "Party" and collectively as the "Parties."

  1. Recitals and Purpose

    1. WHEREAS, the First Party is engaged in the business of [description of First Party's business and relevant expertise], and possesses certain capabilities, resources, technology, and experience that may be of material value to a cooperative endeavor between the Parties;

    2. WHEREAS, the Second Party is engaged in the business of [description of Second Party's business and relevant expertise], and likewise possesses complementary capabilities, resources, and expertise that may be of material value to a cooperative endeavor between the Parties;

    3. WHEREAS, the Parties have conducted preliminary discussions concerning a potential business cooperation relating to [brief description of the project, opportunity, or transaction] (the "Project"), and desire to formalize, in a non-binding manner (except as expressly provided herein), the general framework, principles, and intentions governing their mutual exploration of the Project;

    4. WHEREAS, the Parties intend, subject to the satisfactory completion of further investigation, due diligence, negotiation, and the approval of their respective governing bodies, to negotiate in good faith one or more definitive, written, legally binding agreements (collectively, the "Definitive Agreement") that will set forth the final terms and conditions of their cooperation;

    5. WHEREAS, the Parties acknowledge that, except as expressly stated herein, this Memorandum is intended as an expression of mutual interest and good faith only, and shall not be construed to create, evidence, or imply any legally binding obligation to enter into the Definitive Agreement or to consummate any transaction contemplated hereby;

    6. NOW, THEREFORE, in consideration of the mutual covenants, understandings, and intentions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

  2. Areas of Cooperation

    1. The purpose of the cooperation contemplated hereunder is to explore, develop, and prepare the groundwork for a potential business arrangement between the Parties with respect to the Project, as more particularly described in the Recitals above.

    2. The Parties intend to collaborate, in a non-exclusive manner except as expressly set forth in the exclusivity provisions hereof, in such areas as may include, without limitation: (i) joint evaluation of market opportunities relating to the Project; (ii) technical, operational, and commercial feasibility studies; (iii) exchange of relevant information, data, and know-how; (iv) joint planning of resources, personnel, and timelines; and (v) preparation and negotiation of the Definitive Agreement.

    3. The Parties further contemplate that the cooperation may extend to [additional areas of cooperation, such as co-development, co-marketing, licensing, distribution, joint ventures, or research and development activities], as the Parties may mutually agree in writing from time to time.

    4. Each Party shall designate one or more representatives to serve as the principal points of contact for the coordination of cooperation activities, and such representatives shall meet, whether in person or by electronic means, with such frequency as the Parties shall mutually determine to be appropriate.

    5. The Parties acknowledge that the scope of cooperation set forth in this section is indicative and not exhaustive, and that the ultimate scope, terms, and conditions of the cooperation shall be defined in the Definitive Agreement, if and when executed.

    6. The cooperation activities contemplated hereunder shall be carried out primarily in the United States, and more particularly in [State/City], unless otherwise mutually agreed by the Parties in writing.

    7. Nothing contained in this section shall be deemed to obligate either Party to engage in any specific activity, to contribute any specific resources, or to achieve any particular result, except as may be expressly agreed in writing by the Parties.

  3. Responsibilities of the Parties

    1. The First Party shall, on a reasonable efforts basis and subject to its internal policies and procedures: (i) make available such personnel, information, and materials as it deems appropriate to facilitate the cooperation; (ii) participate in good faith in the discussions and planning sessions contemplated hereunder; and (iii) [additional responsibilities of the First Party, such as providing specific expertise, access to facilities, or preliminary analyses].

    2. The Second Party shall, on a reasonable efforts basis and subject to its internal policies and procedures: (i) make available such personnel, information, and materials as it deems appropriate to facilitate the cooperation; (ii) participate in good faith in the discussions and planning sessions contemplated hereunder; and (iii) [additional responsibilities of the Second Party, such as providing specific expertise, access to facilities, or preliminary analyses].

    3. The Parties shall jointly: (i) establish a working group or steering committee composed of equal representation from each Party to oversee the cooperation activities; (ii) develop and maintain a mutually agreed work plan reflecting the activities, deliverables, and schedule for the Project; and (iii) communicate regularly to ensure the orderly progress of the cooperation.

    4. Each Party shall perform its respective responsibilities in a professional and workmanlike manner, consistent with industry standards applicable to its business, and in compliance with all applicable federal, state, and local laws, regulations, and ordinances of the United States.

    5. Each Party shall promptly notify the other of any material event, circumstance, or development that may materially affect its ability to perform the activities contemplated hereunder, or that may materially affect the viability or desirability of the Project.

    6. Neither Party shall have authority to bind, represent, or otherwise act on behalf of the other Party, and no Party shall hold itself out as having such authority, except as may be expressly authorized in writing by the other Party.

    7. The allocation of responsibilities set forth herein is preliminary and indicative only, and shall be superseded in all respects by the Definitive Agreement, if and when executed by the Parties.

  4. Timeline and Milestones

    1. The Parties intend that the activities contemplated under this Memorandum shall commence on or about the Effective Date and shall proceed in accordance with such schedule as the Parties may mutually determine from time to time.

    2. The Parties contemplate the following indicative milestones: (i) completion of preliminary feasibility and due diligence activities by [Milestone Date 1]; (ii) submission and review of preliminary proposals and term sheets by [Milestone Date 2]; (iii) commencement of negotiations of the Definitive Agreement by [Milestone Date 3]; and (iv) execution of the Definitive Agreement by [Milestone Date 4].

    3. The Parties acknowledge that the foregoing timeline and milestones are aspirational in nature, are subject to change based on the progress of the cooperation and the mutual agreement of the Parties, and do not create any binding obligation on either Party to achieve any such milestone by any particular date.

    4. The Parties shall review the progress of the cooperation at such intervals as they shall mutually determine, and shall endeavor in good faith to adjust the timeline and milestones as reasonably necessary to reflect the actual progress of the Project.

    5. Any material delay or inability to meet a milestone shall be communicated promptly between the Parties, together with a proposed revised schedule for consideration.

    6. Nothing in this section shall be construed to require either Party to continue the cooperation, enter into the Definitive Agreement, or incur any obligation or liability by reason of the passage of any milestone date.

  5. Non-Binding Nature of the Memorandum

    1. Except with respect to the provisions expressly identified as binding in the section titled "Binding Provisions" below, this Memorandum reflects the Parties' current intentions and understandings and is not intended to be, and shall not be construed as, a legally binding or enforceable contract between the Parties.

    2. Without limiting the generality of the foregoing, neither Party shall be under any legal obligation to: (i) continue negotiations or discussions with respect to the Project; (ii) enter into the Definitive Agreement or any other contractual arrangement; (iii) perform any of the activities described in the sections concerning Areas of Cooperation, Responsibilities of the Parties, or Timeline and Milestones; or (iv) refrain from entering into any transaction or arrangement with any third party, except as expressly provided in the Exclusivity section hereof.

    3. The Parties acknowledge and agree that any legally binding obligations relating to the Project (other than the Binding Provisions hereof) shall arise only upon the execution and delivery of the Definitive Agreement by duly authorized representatives of both Parties.

    4. No course of dealing, course of performance, prior negotiations, or oral representations of any kind shall be deemed to modify the non-binding nature of this Memorandum, except as the Parties may expressly agree in a writing executed by both Parties.

    5. Each Party acknowledges that it has conducted its own independent evaluation of the merits of the Project and is not relying upon any representation, warranty, or statement of the other Party, except as may be expressly set forth in the Definitive Agreement.

    6. Neither Party shall have any liability to the other for any costs, expenses, losses, or damages (whether direct, indirect, consequential, incidental, or otherwise) arising out of or relating to the non-consummation of the Definitive Agreement or the termination or discontinuation of the discussions contemplated hereunder.

  6. Binding Provisions

    1. Notwithstanding the general non-binding nature of this Memorandum, the Parties expressly agree that the following sections, and only the following sections, shall be legally binding and enforceable in accordance with their respective terms: (i) Non-Binding Nature of the Memorandum; (ii) Binding Provisions; (iii) Confidentiality; (iv) Exclusivity; (v) Costs and Expenses; (vi) Term and Termination; (vii) Governing Law and Dispute Resolution; (viii) Notices; (ix) Assignment; (x) Amendments and Waivers; (xi) Entire Understanding; and (xii) Miscellaneous Provisions (collectively, the "Binding Provisions").

    2. The remaining provisions of this Memorandum, including without limitation the sections titled Recitals and Purpose, Areas of Cooperation, Responsibilities of the Parties, Timeline and Milestones, Intellectual Property (except to the extent any portion thereof relates to the protection of pre-existing proprietary rights and Confidential Information, which shall be binding), and Representations and Warranties, are intended as statements of mutual intention only and shall not create any legally binding obligation on either Party.

    3. Each Party acknowledges that the Binding Provisions shall survive the expiration or termination of this Memorandum in accordance with their respective terms, and shall remain in full force and effect notwithstanding any failure of the Parties to execute the Definitive Agreement.

    4. The characterization of any provision as binding or non-binding shall be determined solely by reference to this section, and no inference to the contrary shall be drawn from the language or placement of any particular provision in this Memorandum.

    5. In the event of any ambiguity or inconsistency regarding whether a particular provision is binding, such provision shall be deemed non-binding unless the Parties expressly agree in writing to the contrary.

  7. Confidentiality

    1. For purposes of this Memorandum, "Confidential Information" shall mean any and all non-public, proprietary, or confidential information, in whatever form or medium, disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with the Project or the cooperation contemplated hereunder, including without limitation business plans, financial information, customer and supplier information, technical data, trade secrets, know-how, software, designs, processes, and the existence and contents of this Memorandum itself.

    2. The Receiving Party shall: (i) hold the Confidential Information in strict confidence; (ii) use the Confidential Information solely for the purpose of evaluating, negotiating, and implementing the Project; (iii) not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party, except as permitted herein; and (iv) protect the Confidential Information using at least the same degree of care that it uses to protect its own confidential information of similar importance, but in no event less than a reasonable degree of care.

    3. The Receiving Party may disclose Confidential Information to its directors, officers, employees, affiliates, agents, attorneys, accountants, and professional advisors (collectively, "Representatives") who have a bona fide need to know such information for the purposes set forth herein, provided that such Representatives are bound by obligations of confidentiality no less protective than those set forth herein, and the Receiving Party shall be responsible for any breach of such obligations by its Representatives.

    4. The obligations of confidentiality shall not apply to any information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was lawfully known to the Receiving Party prior to disclosure by the Disclosing Party, as evidenced by contemporaneous written records; (iii) is lawfully received by the Receiving Party from a third party without obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of or reference to the Confidential Information.

    5. If the Receiving Party is required by applicable law, regulation, or legal process to disclose any Confidential Information, it shall, to the extent legally permissible, promptly notify the Disclosing Party in writing to enable the Disclosing Party to seek a protective order or other appropriate remedy, and shall disclose only that portion of the Confidential Information that is legally required to be disclosed.

    6. Upon the earlier of (i) the written request of the Disclosing Party or (ii) the termination or expiration of this Memorandum, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all Confidential Information in its possession or control, together with all copies, summaries, and extracts thereof, and shall certify such return or destruction in writing to the Disclosing Party; provided, however, that the Receiving Party may retain one archival copy for legal and compliance purposes and shall not be required to destroy electronic backups made in the ordinary course of business.

    7. The obligations set forth in this Confidentiality section shall survive the termination or expiration of this Memorandum for a period of [three (3)] years, except with respect to Confidential Information that constitutes a trade secret, which shall remain protected for so long as it retains its status as a trade secret under applicable law.

    8. The Parties acknowledge that any breach of this Confidentiality section may cause irreparable harm for which monetary damages would be an inadequate remedy, and accordingly the Disclosing Party shall be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.

  8. Exclusivity

    1. During the Exclusivity Period (as defined below), neither Party shall, directly or indirectly, through its affiliates, Representatives, or otherwise: (i) solicit, initiate, encourage, or entertain any inquiry, proposal, or offer from any third party relating to a transaction substantially similar to the Project; (ii) engage in, continue, or resume any discussions or negotiations with any third party concerning any such transaction; or (iii) furnish any Confidential Information of the other Party to any third party in connection with any such transaction.

    2. The "Exclusivity Period" shall commence on the Effective Date and shall continue until the earlier of: (i) the execution of the Definitive Agreement; (ii) the mutual written agreement of the Parties to terminate the Exclusivity Period; or (iii) the termination or expiration of this Memorandum in accordance with the Term and Termination section hereof.

    3. Each Party shall promptly notify the other Party in writing of any unsolicited inquiry, proposal, or offer received by it from a third party during the Exclusivity Period relating to a transaction that would, if accepted or pursued, violate the exclusivity obligations set forth herein, provided that such notification shall not include the identity of the third party or the specific terms of such inquiry if restricted by applicable confidentiality obligations.

    4. The exclusivity obligations set forth herein shall not restrict either Party from conducting its ordinary course business operations, including entering into transactions and arrangements that do not conflict with or materially impair the Project.

    5. Each Party acknowledges that the exclusivity obligations are a material inducement for the other Party's willingness to enter into this Memorandum and devote resources to the exploration of the Project, and that any breach of such obligations may cause irreparable harm for which monetary damages would be an inadequate remedy.

    6. In the event of a breach or threatened breach of the exclusivity obligations, the non-breaching Party shall be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.

  9. Costs and Expenses

    1. Except as otherwise expressly provided in this Memorandum or as the Parties may otherwise mutually agree in writing, each Party shall bear its own costs and expenses, including without limitation fees and expenses of legal counsel, accountants, financial advisors, consultants, and other professional advisors, incurred in connection with the negotiation, preparation, and execution of this Memorandum and the exploration, evaluation, and negotiation of the Project and the Definitive Agreement.

    2. Neither Party shall be entitled to reimbursement from the other Party for any such costs or expenses, regardless of whether the Definitive Agreement is ultimately executed or the Project is ultimately consummated.

    3. Any costs or expenses that the Parties mutually agree to share or allocate differently shall be documented in a separate written agreement executed by duly authorized representatives of both Parties.

    4. Each Party shall be solely responsible for all taxes, duties, levies, and governmental charges imposed on it by reason of its participation in the activities contemplated hereunder.

    5. The provisions of this section shall survive the termination or expiration of this Memorandum.

  10. Intellectual Property

    1. Each Party shall retain all right, title, and interest in and to any intellectual property, know-how, data, materials, and other proprietary rights owned, controlled, or developed by it prior to the Effective Date or independently of the cooperation contemplated hereunder (collectively, "Background IP"), and nothing in this Memorandum shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Background IP of the other Party.

    2. The Parties acknowledge that any intellectual property, invention, discovery, improvement, or work product that may be jointly developed in the course of the cooperation prior to the execution of the Definitive Agreement (collectively, "Preliminary Joint IP") shall be addressed in the Definitive Agreement, and until such time the Parties agree not to commercially exploit any such Preliminary Joint IP without the prior written consent of the other Party.

    3. Each Party shall ensure that its Representatives who participate in the cooperation have executed appropriate agreements vesting in such Party all rights in any intellectual property contributed by such Representatives to the cooperation.

    4. Nothing in this Memorandum shall obligate either Party to disclose or make available any of its Background IP to the other Party, except to the extent, and subject to such terms and conditions, as the Parties may mutually agree in writing.

    5. The provisions of this section regarding the protection of Background IP and the confidentiality of proprietary rights disclosed hereunder shall be read in conjunction with the Confidentiality section hereof, and to the extent any provision hereof constitutes a protection of pre-existing proprietary rights or Confidential Information, such provision shall be deemed binding in accordance with the Binding Provisions section.

    6. The definitive allocation of rights in and to any intellectual property arising from or related to the Project shall be set forth in the Definitive Agreement.

  11. Representations and Warranties

    1. Each Party represents and warrants to the other Party, as of the Effective Date, that: (i) it is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its formation; (ii) it has the requisite corporate power and authority to execute, deliver, and perform its obligations under the binding provisions of this Memorandum; (iii) the execution, delivery, and performance of this Memorandum have been duly authorized by all necessary corporate action; and (iv) this Memorandum, with respect to its Binding Provisions, constitutes a legal, valid, and binding obligation of such Party, enforceable against it in accordance with its terms.

    2. Each Party further represents and warrants that its execution and performance of this Memorandum does not and will not: (i) violate any provision of its organizational documents; (ii) violate any applicable law, rule, regulation, judgment, order, or decree; or (iii) conflict with, result in a breach of, or constitute a default under any material contract or agreement to which it is a party or by which it is bound.

    3. Each Party acknowledges that, except as expressly set forth herein, no representations or warranties of any kind, express or implied, are made by either Party in connection with this Memorandum, and all other representations and warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, are hereby expressly disclaimed.

    4. The representations and warranties set forth in this section are made solely for purposes of this Memorandum and shall not be deemed to be representations or warranties with respect to the Project or the Definitive Agreement, which shall be the subject of separate representations and warranties, if any, to be set forth in the Definitive Agreement.

    5. Each Party acknowledges that in entering into this Memorandum it has not relied upon any representation, warranty, promise, or statement, express or implied, made by or on behalf of the other Party, other than those expressly set forth herein.

  12. Term and Termination

    1. This Memorandum shall become effective on the Effective Date and shall remain in effect until the earlier of: (i) the execution and delivery by both Parties of the Definitive Agreement; (ii) the mutual written agreement of the Parties to terminate this Memorandum; or (iii) termination by either Party in accordance with the provisions of this section.

    2. Either Party may terminate this Memorandum, with or without cause, at any time upon not less than [thirty (30)] days' prior written notice to the other Party.

    3. Either Party may terminate this Memorandum immediately upon written notice to the other Party in the event that: (i) the other Party materially breaches any of the Binding Provisions and fails to cure such breach within [fifteen (15)] days after receipt of written notice specifying the nature of the breach; or (ii) the other Party becomes insolvent, makes an assignment for the benefit of creditors, files or has filed against it a petition in bankruptcy, or ceases to carry on its business.

    4. Upon termination or expiration of this Memorandum for any reason: (i) each Party shall promptly return or destroy the Confidential Information of the other Party in accordance with the Confidentiality section hereof; (ii) each Party shall cease all activities contemplated hereunder; and (iii) neither Party shall have any further obligation to the other Party under this Memorandum, except with respect to the provisions that expressly survive termination.

    5. The following provisions shall survive the termination or expiration of this Memorandum: Non-Binding Nature of the Memorandum, Binding Provisions, Confidentiality (for the period set forth therein), Costs and Expenses, Representations and Warranties (with respect to Binding Provisions), Governing Law and Dispute Resolution, Notices, Assignment, Amendments and Waivers, Entire Understanding, and Miscellaneous Provisions.

    6. Termination of this Memorandum shall not affect any rights or obligations of the Parties that have accrued prior to the effective date of termination.

  13. Governing Law and Dispute Resolution

    1. This Memorandum, and all matters arising out of or relating to this Memorandum, including its negotiation, formation, performance, breach, interpretation, and termination, shall be governed by and construed in accordance with the laws of the State of [State], United States of America, without giving effect to any choice-of-law or conflict-of-law provisions that would require the application of the laws of any other jurisdiction.

    2. The Parties shall endeavor in good faith to resolve any dispute, controversy, or claim arising out of or relating to this Memorandum (each, a "Dispute") through amicable negotiations between senior executives of the Parties, which negotiations shall commence promptly after written notice of the Dispute is given by one Party to the other.

    3. In the event that any Dispute is not resolved through negotiation within [thirty (30)] days after the delivery of such written notice, the Parties agree to submit the Dispute to non-binding mediation administered by a mutually agreed mediator in [City, State], with each Party bearing its own costs and sharing equally the fees and expenses of the mediator.

    4. If the Dispute is not resolved through mediation within [sixty (60)] days after the appointment of the mediator, either Party may initiate litigation in the state or federal courts located in [County, State], and each Party hereby irrevocably submits to the exclusive jurisdiction of such courts for the resolution of any such Dispute.

    5. Each Party hereby waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal proceeding directly or indirectly arising out of or relating to this Memorandum.

    6. Notwithstanding the foregoing, either Party may at any time seek injunctive or other equitable relief from any court of competent jurisdiction to protect its Confidential Information, intellectual property, or exclusivity rights, without first complying with the negotiation and mediation procedures set forth herein.

  14. Notices

    1. All notices, requests, consents, demands, and other communications required or permitted to be given under this Memorandum shall be in writing and shall be deemed to have been duly given when: (i) delivered personally; (ii) sent by nationally recognized overnight courier service with tracking and signature confirmation; (iii) sent by certified or registered mail, return receipt requested, postage prepaid; or (iv) sent by electronic mail with confirmation of receipt, provided that a copy is also sent by one of the other methods set forth above.

    2. Notices shall be sent to the addresses set forth below, or to such other address as a Party may designate by written notice given in accordance with this section:

    3. If to the First Party: [First Party Name], [First Party Address], Attention: [Contact Person], Email: [Email Address].

    6. Each Party shall be responsible for keeping the other Party informed of any changes to its notice address or contact information, and failure to do so shall not relieve the non-notifying Party of its obligations hereunder.

  15. Assignment

    1. Neither Party may assign, transfer, or delegate this Memorandum or any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed.

    2. Notwithstanding the foregoing, either Party may assign this Memorandum, without the consent of the other Party, to: (i) an affiliate of such Party; or (ii) a successor in interest in connection with a merger, consolidation, reorganization, or sale of all or substantially all of its assets or equity, provided that such assignee agrees in writing to be bound by the terms of this Memorandum.

    3. Any purported assignment, transfer, or delegation in violation of this section shall be null and void and of no force or effect.

    4. Subject to the foregoing, this Memorandum shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.

    5. The assigning Party shall provide prompt written notice to the other Party of any permitted assignment made in accordance with this section.

  16. Amendments and Waivers

    1. No amendment, modification, or supplement to this Memorandum shall be effective unless set forth in a writing signed by duly authorized representatives of both Parties and expressly stated to be an amendment hereto.

    2. No waiver of any provision of this Memorandum, or of any breach or default hereunder, shall be effective unless set forth in a writing signed by the Party against whom such waiver is asserted.

    3. The failure of either Party to insist upon strict performance of any provision of this Memorandum, or to exercise any right or remedy hereunder, shall not be deemed a waiver of such provision, right, or remedy, or of any subsequent breach or default.

    4. No single or partial exercise of any right or remedy by a Party shall preclude any other or further exercise thereof or the exercise of any other right or remedy.

    5. The rights and remedies provided in this Memorandum are cumulative and not exclusive of any rights or remedies otherwise available at law or in equity.

  17. Entire Understanding

    1. This Memorandum, together with any schedules, exhibits, or attachments expressly referenced herein, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, discussions, representations, understandings, and agreements, whether oral or written, between the Parties relating to such subject matter.

    2. The Parties acknowledge that no promises, representations, warranties, or understandings have been made by either Party except as expressly set forth herein.

    3. In the event of any conflict or inconsistency between the provisions of this Memorandum and any prior writing or communication between the Parties, the provisions of this Memorandum shall control.

    4. Any modification, expansion, or supplementation of the understandings set forth herein shall require a written instrument executed by both Parties in accordance with the Amendments and Waivers section hereof.

    5. This Memorandum shall be superseded in all respects by the Definitive Agreement upon its execution, except with respect to such provisions hereof as the Definitive Agreement expressly incorporates or preserves.

  18. Miscellaneous Provisions

    1. The relationship of the Parties under this Memorandum is that of independent contractors, and nothing herein shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the Parties.

    2. If any provision of this Memorandum is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from this Memorandum and the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely reflects the Parties' original intent.

    3. The headings and section titles used in this Memorandum are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.

    4. This Memorandum may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by facsimile, electronic mail (including PDF), or other electronic transmission shall be as effective as delivery of an original executed counterpart.

    5. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Memorandum (other than the obligation to pay money, if any) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, pandemics, or failures of utilities or telecommunications.

    6. Nothing in this Memorandum, express or implied, is intended to or shall confer upon any person or entity other than the Parties and their respective successors and permitted assigns any legal or equitable right, benefit, or remedy of any nature whatsoever.

    7. Each Party shall, upon the reasonable request of the other Party, execute and deliver such additional documents and take such further actions as may be reasonably necessary or appropriate to carry out the intent and purposes of this Memorandum.

    8. This Memorandum has been negotiated between the Parties with the benefit of legal counsel, and no provision hereof shall be construed against either Party by reason of such Party having drafted such provision.
