MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (hereinafter referred to as the "Memorandum") is entered into and made effective as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between [Party A Legal Name], a company duly organized and existing under the laws of [Country], having its registered office at [Registered Address of Party A], represented by [Name of Authorized Representative], acting in the capacity of [Title] (hereinafter referred to as "Party A"), and [Party B Legal Name], a company duly organized and existing under the laws of [Country], having its registered office at [Registered Address of Party B], represented by [Name of Authorized Representative], acting in the capacity of [Title] (hereinafter referred to as "Party B"). Party A and Party B shall hereinafter be referred to individually as a "Party" and collectively as the "Parties."
WHEREAS, Party A is engaged in the business of [Description of Party A's Business] and possesses certain expertise, resources, and capabilities relevant to the contemplated cooperation described herein;
WHEREAS, Party B is engaged in the business of [Description of Party B's Business] and possesses certain expertise, resources, and capabilities complementary to those of Party A;
WHEREAS, the Parties have engaged in preliminary discussions concerning a potential cooperation relating to [General Description of the Project or Business Relationship] (hereinafter referred to as the "Project");
WHEREAS, the Parties desire to document their mutual understanding regarding the principles upon which they intend to explore, negotiate, and potentially formalize such cooperation through one or more definitive agreements to be executed at a later date;
NOW, THEREFORE, in consideration of the mutual covenants and understandings set forth herein, and intending to be legally bound only with respect to those provisions expressly designated as binding, the Parties hereby acknowledge and record the following:
Purpose and Scope of Cooperation
The purpose of this Memorandum is to set forth the general framework, principles, and mutual understandings pursuant to which the Parties intend to collaborate with a view toward evaluating, developing, and ultimately consummating the Project, and to establish a basis upon which the Parties may pursue negotiations in good faith toward one or more definitive agreements.
The scope of the contemplated cooperation shall encompass, without limitation, the exchange of information, the undertaking of joint analyses, the assessment of commercial and technical feasibility, the identification of potential markets or beneficiaries, and such other preparatory activities as the Parties may from time to time mutually determine to be appropriate for the advancement of the Project.
The Parties acknowledge that the particulars of the Project, including without limitation its technical specifications, deliverables, geographic reach, and commercial parameters, shall be more fully elaborated during the course of their discussions and shall be reduced to definitive terms only within such subsequent agreement or agreements as may hereafter be executed between the Parties.
Each Party shall endeavor to conduct itself in a cooperative, transparent, and diligent manner throughout the term of this Memorandum, and shall furnish such reasonable assistance to the other Party as may be necessary to facilitate the orderly evaluation and development of the Project.
Nothing contained in this section shall be construed to require either Party to disclose any information or undertake any activity beyond that which such Party, in its sole discretion, deems appropriate for the purposes contemplated herein.
The Parties expressly acknowledge that the scope of cooperation set forth herein is preliminary and indicative in nature, and that the actual scope of any binding engagement shall be governed solely by the terms of a definitive written agreement executed by duly authorized representatives of both Parties.
Roles and Responsibilities of the Parties
Party A shall, in a manner and to an extent to be more particularly defined in subsequent discussions and ultimately in the definitive agreement, undertake responsibility for [Description of Party A's Anticipated Contributions and Responsibilities], together with such additional tasks as the Parties may mutually agree in writing from time to time.
Party B shall, in a manner and to an extent to be more particularly defined in subsequent discussions and ultimately in the definitive agreement, undertake responsibility for [Description of Party B's Anticipated Contributions and Responsibilities], together with such additional tasks as the Parties may mutually agree in writing from time to time.
Each Party shall designate one or more representatives to serve as the principal points of contact for all matters arising under this Memorandum, and such representatives shall be authorized to coordinate day-to-day interactions, convene meetings, and transmit information between the Parties.
The Parties may, by mutual agreement, establish one or more working groups, steering committees, or other coordinating bodies to oversee the progress of discussions, to review preliminary deliverables, and to make non-binding recommendations with respect to the development of the Project.
Each Party shall act in its own name and for its own account, and nothing herein shall be construed as authorizing either Party to assume or create any obligation on behalf of the other Party, nor to bind the other Party in any manner whatsoever to any third party.
Each Party shall bear sole responsibility for ensuring that its personnel, agents, and subcontractors engaged in activities under this Memorandum act in conformity with the terms hereof and with all applicable laws, regulations, and standards of professional conduct.
The allocation of roles and responsibilities set forth herein is indicative only and shall be subject to further refinement, modification, or supersession upon execution of any definitive agreement between the Parties.
Intellectual Property Rights
Each Party shall retain all right, title, and interest in and to any and all intellectual property, including without limitation patents, copyrights, trademarks, trade secrets, know-how, and proprietary information, which it owned or controlled prior to the Effective Date, or which it develops independently of this Memorandum and without reliance upon the confidential information of the other Party (hereinafter referred to as "Background Intellectual Property").
Nothing in this Memorandum shall be construed as granting, by implication, estoppel, or otherwise, any license or right of use in or to the Background Intellectual Property of either Party, save as may be expressly provided in a definitive written agreement subsequently executed between the Parties.
Any intellectual property that may be jointly conceived, created, or developed by the Parties in the course of activities contemplated under this Memorandum (hereinafter referred to as "Foreground Intellectual Property") shall be addressed, in terms of ownership, licensing, exploitation, and enforcement, exclusively within the framework of the definitive agreement to be negotiated and executed between the Parties.
Pending the execution of such definitive agreement, each Party shall refrain from making any filing, registration, publication, or other act of appropriation with respect to any Foreground Intellectual Property without the prior written consent of the other Party.
Each Party warrants that, to the best of its knowledge as of the Effective Date, the information and materials it furnishes to the other Party in connection with this Memorandum do not infringe upon the intellectual property rights of any third party.
In the event that either Party becomes aware of any actual or threatened infringement of intellectual property rights potentially affecting the Project, such Party shall promptly notify the other Party and the Parties shall consult in good faith regarding an appropriate course of action.
The provisions of this section shall survive the expiration or termination of this Memorandum solely to the extent necessary to preserve each Party's pre-existing proprietary rights.
Timeline and Milestones
The Parties intend to pursue their preliminary discussions and evaluations in accordance with an indicative timetable, pursuant to which the Parties shall endeavor to achieve the following milestones: (i) completion of initial feasibility assessment by [Date]; (ii) exchange of preliminary technical and commercial proposals by [Date]; (iii) commencement of negotiations toward a definitive agreement by [Date]; and (iv) execution of such definitive agreement by [Target Date].
The dates and milestones set forth above are indicative only and do not constitute binding obligations upon either Party. The Parties may, by mutual written understanding, revise, extend, or supplement such milestones from time to time as the circumstances of their discussions may warrant.
Each Party shall use commercially reasonable efforts to make its personnel and resources available in a timely manner so as to facilitate the orderly progression of discussions in accordance with the aforementioned indicative schedule.
The Parties shall convene periodic meetings, whether in person or by means of electronic communication, at intervals of not less than [Frequency] during the term of this Memorandum, for the purpose of reviewing progress and addressing any issues that may arise.
Should either Party anticipate a material delay in meeting any of the aforementioned milestones, such Party shall promptly notify the other Party in writing and the Parties shall consult in good faith with a view toward adjusting the timetable accordingly.
Failure to meet any milestone shall not, in and of itself, give rise to any liability or cause of action, nor shall it constitute a breach of this Memorandum, it being understood that the achievement of such milestones is aspirational and conditional upon the mutual satisfaction of the Parties.
Financial Considerations and Resource Allocation
Save as expressly provided herein or as the Parties may hereafter agree in writing, each Party shall bear its own costs, expenses, and overhead incurred in connection with the preparation, negotiation, and performance of activities contemplated under this Memorandum, including without limitation legal, accounting, travel, and personnel expenses.
No payment, remuneration, or other financial consideration shall be due or payable from one Party to the other by virtue of the execution of this Memorandum or the undertaking of preliminary activities hereunder.
Should the Parties determine, in the course of their discussions, that specific expenditures should be shared or that one Party should bear particular costs, such arrangements shall be documented in writing and shall take effect only upon the signature of duly authorized representatives of both Parties.
Any resources, including without limitation personnel, equipment, facilities, or materials, that either Party may make available in connection with activities under this Memorandum shall be furnished at such Party's sole discretion and shall remain under its exclusive ownership and control.
Projected financial contributions, capital commitments, revenue allocations, and other economic terms relating to the Project, including without limitation anticipated investment of approximately [Currency] [Amount] by each Party, shall be addressed and definitively established exclusively within the framework of the definitive agreement.
Each Party shall be solely responsible for all taxes, levies, duties, and charges imposed upon it in connection with its own activities under this Memorandum, and neither Party shall be liable for the tax obligations of the other.
Nothing herein shall be construed as creating any obligation on the part of either Party to extend credit, provide financing, or guarantee the obligations of the other Party in any respect whatsoever.
Confidentiality and Non-Disclosure Obligations
For purposes of this section, "Confidential Information" shall mean any and all non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, in writing, electronically, visually, or in any other form, which is designated as confidential or proprietary, or which by its nature or the circumstances of its disclosure ought reasonably to be regarded as confidential, including without limitation technical data, trade secrets, know-how, business plans, financial information, customer and supplier lists, pricing information, and the existence and content of discussions between the Parties.
The Receiving Party shall hold all Confidential Information in strict confidence, shall exercise no lesser degree of care in safeguarding such information than it employs in protecting its own confidential information of comparable importance (and in no event less than a reasonable degree of care), and shall not disclose, publish, disseminate, or otherwise make available any Confidential Information to any third party without the prior written consent of the Disclosing Party.
The Receiving Party shall use Confidential Information solely for the purposes contemplated by this Memorandum and shall not exploit, replicate, or derive commercial benefit from such information for any other purpose whatsoever.
The Receiving Party may disclose Confidential Information to its directors, officers, employees, affiliates, and professional advisors who have a demonstrable need to know such information for the purposes of this Memorandum, provided that each such recipient is bound by obligations of confidentiality no less stringent than those set forth herein, and the Receiving Party shall remain liable for any breach by such recipients.
The obligations of confidentiality shall not apply to information which: (i) was lawfully in the possession of the Receiving Party prior to disclosure; (ii) is or becomes publicly available through no fault or breach of the Receiving Party; (iii) is lawfully received from a third party without obligation of confidentiality; (iv) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (v) is required to be disclosed by law, regulation, or order of a court or governmental authority of competent jurisdiction, provided that the Receiving Party, where legally permissible, promptly notifies the Disclosing Party so as to afford it the opportunity to seek protective measures.
Upon written request of the Disclosing Party, and in any event upon the expiration or termination of this Memorandum, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all Confidential Information in its possession or control, together with all copies, extracts, and derivative materials, and shall certify such return or destruction in writing, save that the Receiving Party may retain one archival copy solely for compliance and record-keeping purposes.
The confidentiality obligations set forth in this section shall survive the expiration or termination of this Memorandum for a period of [Number] years thereafter, and shall remain in force indefinitely with respect to any Confidential Information constituting a trade secret under applicable law.
The Parties expressly acknowledge and agree that the provisions of this section are intended to be, and shall be, legally binding and enforceable upon the Parties notwithstanding the generally non-binding nature of this Memorandum as set forth in the following section.
Non-Binding Nature of the Memorandum
The Parties expressly acknowledge, agree, and declare that, save and except for the provisions contained in the section entitled "Confidentiality and Non-Disclosure Obligations," this Memorandum is intended to constitute a non-binding statement of mutual intent and understanding, and shall not create, give rise to, or be construed as creating any legally enforceable obligation, duty, right, or liability of either Party in favor of the other.
Without limiting the generality of the foregoing, no provision of this Memorandum, other than those expressly designated as binding herein, shall be deemed to constitute an offer, acceptance, agreement to agree, contract, option, letter of intent carrying contractual force, or any undertaking enforceable at law or in equity.
Any legally binding rights and obligations between the Parties with respect to the subject matter hereof shall arise solely upon the execution and delivery by both Parties of one or more definitive written agreements, duly authorized and signed by their respective authorized representatives.
Neither Party shall have any claim against the other, whether for damages, specific performance, reliance expenditures, lost opportunity, or otherwise, arising from or in connection with the discontinuance of discussions, the failure to execute a definitive agreement, or the pursuit by either Party of alternative transactions or arrangements.
Each Party acknowledges that it has not relied, and shall not rely, upon any statement, representation, assurance, or warranty of the other Party made in or in connection with this Memorandum, save for the binding confidentiality obligations expressly set forth herein.
Nothing in this Memorandum shall be construed as establishing a partnership, joint venture, agency, employment, fiduciary, or similar legal relationship between the Parties.
The provisions of this section shall prevail over any contrary or inconsistent provision contained elsewhere in this Memorandum.
Exclusivity and Independent Activities
Nothing contained in this Memorandum shall be construed as granting or implying any form of exclusivity between the Parties, and each Party shall remain fully entitled to engage, negotiate, cooperate, or enter into agreements with any third parties, including competitors of the other Party, with respect to any matter, including matters similar or identical to the subject matter of the Project.
Each Party expressly reserves the right to conduct, develop, pursue, or participate in any business activity, venture, project, investment, or opportunity, whether independently or in conjunction with others, without any obligation of notification, consultation, or accounting to the other Party.
Neither Party shall be restricted in any manner from continuing or expanding its existing business activities or from pursuing new business opportunities, including those that may compete with or overlap the scope of the Project contemplated hereunder.
The Parties acknowledge that each may be concurrently engaged in discussions or negotiations concerning similar transactions or arrangements with other parties, and no such engagement shall constitute a breach of this Memorandum or a violation of any duty, express or implied.
Each Party shall nonetheless exercise due care to ensure that its independent activities and third-party engagements are conducted in a manner that does not compromise the confidentiality obligations set forth herein.
Should the Parties wish to establish any form of exclusivity, right of first refusal, or similar restriction with respect to the Project, such arrangement shall be effective only if set forth in a separate written instrument executed by duly authorized representatives of both Parties.
Term and Expiration
This Memorandum shall enter into force on the Effective Date and shall remain in effect until such time as the Parties execute a definitive written agreement with respect to the Project, which agreement shall supersede this Memorandum in its entirety, save with respect to such provisions as are expressly stated to survive.
Notwithstanding the foregoing, if no definitive agreement has been executed within [Number] months from the Effective Date, this Memorandum shall automatically expire upon the lapse of such period, unless the Parties mutually agree in writing to extend the term hereof for an additional specified period.
Upon the expiration of this Memorandum, all preliminary activities undertaken hereunder shall cease, save for the fulfillment of any surviving obligations, and neither Party shall have any further obligation to the other save as expressly provided herein.
The expiration of this Memorandum shall not affect any rights or obligations of the Parties that have accrued prior to such expiration, nor shall it release either Party from its obligations under the section entitled "Confidentiality and Non-Disclosure Obligations" or any other provision expressly intended to survive.
The Parties may, prior to the expiration of this Memorandum, mutually agree in writing to renew or extend its term upon such terms and conditions as they may jointly determine.
The occurrence of the expiration date shall not, in and of itself, preclude the Parties from thereafter resuming discussions or entering into a new memorandum or definitive agreement, if they so elect.
Representations and Warranties
Each Party represents and warrants to the other that it is a company duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation, and that it possesses the requisite corporate power and authority to enter into this Memorandum and to perform its obligations hereunder.
Each Party represents and warrants that the execution and delivery of this Memorandum have been duly authorized by all necessary corporate action, and that the individual signing on its behalf is duly empowered to do so.
Each Party represents and warrants that the execution and performance of this Memorandum do not and shall not violate or conflict with any provision of its constitutional documents, any agreement to which it is a party, or any law, regulation, order, or decree applicable to it.
Each Party represents and warrants that there is no pending or, to its knowledge, threatened litigation, arbitration, or governmental proceeding that would materially impair its ability to perform its obligations under this Memorandum.
Each Party represents and warrants that it shall comply with all applicable laws, regulations, and governmental requirements in the performance of its activities under this Memorandum, including without limitation those pertaining to anti-corruption, anti-bribery, trade sanctions, and data protection.
Save as expressly set forth herein, neither Party makes any representation or warranty of any kind, whether express, implied, statutory, or otherwise, with respect to the Project, the information exchanged hereunder, or any other matter, and all such other representations and warranties are hereby expressly disclaimed to the fullest extent permitted by law.
Termination by Mutual Agreement
This Memorandum may be terminated prior to its expiration solely by the mutual written agreement of both Parties, executed by their duly authorized representatives, and no unilateral termination by either Party shall be permitted hereunder.
Any such mutual termination shall take effect upon the date specified in the written instrument of termination, or, in the absence of such specification, upon the date of execution thereof by both Parties.
Upon mutual termination, the Parties shall cooperate in good faith to wind down any ongoing preliminary activities in an orderly manner and to settle any outstanding matters as between themselves.
The termination of this Memorandum shall not affect any rights or obligations of the Parties that have accrued prior to the effective date of such termination, nor shall it relieve either Party of its continuing obligations under the section entitled "Confidentiality and Non-Disclosure Obligations" or any other provision expressly intended to survive.
Upon termination, each Party shall promptly return or destroy the Confidential Information of the other Party in accordance with the provisions of the section entitled "Confidentiality and Non-Disclosure Obligations."
The Parties expressly waive any right they might otherwise have to terminate this Memorandum unilaterally, whether for convenience, breach, change of circumstances, or any other reason, save as expressly provided herein.
Governing Law and Dispute Resolution
This Memorandum, and the binding provisions contained herein, shall be governed by and construed in accordance with the laws of [Country], without regard to its conflict of laws principles.
In the event of any dispute, controversy, or claim arising out of or in connection with this Memorandum, including any question regarding its existence, validity, interpretation, or breach of the binding provisions hereof, the Parties shall first endeavor to resolve such matter amicably through good faith consultation and negotiation between their senior representatives.
Should such consultations fail to produce a resolution within [Number] days from the date on which one Party notifies the other of the existence of the dispute, either Party may refer the matter to be finally resolved by [arbitration/the competent courts] in accordance with the following provisions.
If the Parties elect arbitration, such arbitration shall be conducted under the rules of [Arbitral Institution] by [Number] arbitrator(s) appointed in accordance with such rules, the seat of arbitration shall be [City, Country], and the language of the arbitration shall be [Language].
If the Parties elect judicial resolution, the courts of [City, Country] shall have exclusive jurisdiction over any such dispute, and each Party hereby irrevocably submits to such jurisdiction and waives any objection it may have as to venue or forum non conveniens.
Notwithstanding the foregoing, each Party shall be entitled to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Confidential Information or intellectual property rights, without first exhausting the procedures set forth above.
The prevailing Party in any dispute arising hereunder shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, to the extent permitted by applicable law.
Notices and Communications
Any notice, communication, or other document required or permitted to be given under this Memorandum shall be in writing and in the [Language] language, and shall be delivered by hand, by internationally recognized courier service, by registered mail with acknowledgment of receipt, or by electronic mail with confirmation of receipt, to the addresses set forth below or to such other address as either Party may hereafter designate by written notice.
For Party A: [Name], [Title], [Address], [Email Address], [Telephone Number].
For Party B: [Name], [Title], [Address], [Email Address], [Telephone Number].
Any notice shall be deemed to have been duly given: (i) upon actual delivery, if delivered by hand or by courier; (ii) upon the date indicated on the acknowledgment of receipt, if delivered by registered mail; or (iii) upon confirmation of successful transmission, if delivered by electronic mail during business hours of the recipient, failing which, on the next business day.
Each Party shall promptly notify the other of any change in its designated contact details, and until such notice is given, communications sent to the previously designated contact details shall be deemed validly given.
Routine operational communications between the Parties' designated representatives may be conducted by such informal means as the representatives may agree, provided that any communication intended to have legal effect under this Memorandum shall be given in accordance with the formalities set forth above.
Amendments and Modifications
No amendment, modification, variation, or supplement to this Memorandum shall be valid or effective unless made in writing and signed by duly authorized representatives of both Parties.
The Parties may, from time to time, mutually agree in writing to amend any provision of this Memorandum, or to add or delete provisions, as the evolving circumstances of their discussions may warrant.
No waiver by either Party of any provision of this Memorandum, or of any breach or default by the other Party, shall be effective unless made in writing and signed by the waiving Party, nor shall any such waiver constitute a waiver of any subsequent breach or default.
The failure or delay of either Party to enforce any provision of this Memorandum, or to exercise any right or remedy hereunder, shall not constitute a waiver of such provision, right, or remedy, nor shall it preclude the subsequent enforcement thereof.
Any proposed amendment or modification shall be considered in good faith by both Parties, and neither Party shall be under any obligation to accept any proposed change, it being understood that the terms of this Memorandum reflect a mutually agreed framework.
Oral statements, course of dealing, course of performance, and usage of trade shall not operate to amend or modify any provision of this Memorandum.
Entire Understanding and Severability
This Memorandum constitutes the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, discussions, negotiations, representations, and communications, whether oral or written, between the Parties relating to such subject matter.
The Parties acknowledge that they have not relied upon any statement, representation, or assurance not expressly set forth in this Memorandum in deciding to enter into this Memorandum.
If any provision of this Memorandum is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
In the event of such invalidity, illegality, or unenforceability, the Parties shall negotiate in good faith with a view toward replacing the affected provision with a valid, legal, and enforceable provision that, to the greatest extent possible, achieves the original intent and economic effect of the affected provision.
The headings used in this Memorandum are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.
This Memorandum may be executed in any number of counterparts, each of which when executed shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic means (including by scanned PDF or qualified electronic signature) shall be as effective as delivery of a manually executed original.
Neither Party may assign, transfer, or delegate any of its rights or obligations under this Memorandum without the prior written consent of the other Party, save that either Party may assign this Memorandum to an affiliate or to a successor in connection with a merger, consolidation, or sale of substantially all of its assets, subject to the continued observance of the confidentiality obligations hereunder.
IN WITNESS WHEREOF, the Parties hereto have caused this Memorandum of Understanding to be executed by their duly authorized representatives as of the Effective Date first above written.
