  2. Engagement and Scope of Services

    1. The Client hereby engages the Freelancer, and the Freelancer hereby accepts such engagement, to perform the Services upon the terms and subject to the conditions set forth in this Agreement.

    2. The Services to be rendered by the Freelancer shall consist of [Detailed Description of Services, including the nature of the project such as design, writing, development or similar professional services], together with all tasks, duties, functions and responsibilities reasonably incidental or ancillary thereto as may be necessary for the complete and satisfactory performance of the engagement.

    4. The scope of Services may be expanded, reduced, or otherwise modified only by mutual written agreement of the Parties duly executed by their respective authorized representatives, and any such modification shall, where appropriate, be accompanied by a corresponding adjustment to the Fees, Milestones, or Timeline as the Parties may agree.

    5. Any work, task, or activity not expressly included within the scope of Services as defined herein shall be deemed to fall outside the scope of this Agreement, and the Freelancer shall not be entitled to any additional remuneration in respect of work performed voluntarily or without the Client's prior written authorization.

    6. The Freelancer acknowledges and agrees that the Client shall at all times retain the right to supervise, inspect, and review the progress, quality, and conformity of the Services and the Deliverables, and the Freelancer shall promptly comply with any reasonable directions, requests, or feedback issued by the Client in connection therewith.

    7. The Freelancer shall personally perform the Services and shall not subcontract, assign, delegate, or otherwise transfer any portion of the Services to any third party without the prior written consent of the Client, which consent may be withheld in the Client's sole and absolute discretion.

  3. Fees and Payment Terms

    1. In consideration of the due and proper performance of the Services and the delivery of the Deliverables, the Client shall pay to the Freelancer a fixed total fee in the amount of [Amount] [Currency] (the "Total Fee"), exclusive of any applicable taxes which shall be the sole responsibility of the Freelancer.

    2. The Total Fee shall be payable in instalments corresponding to the achievement of the Milestones set forth in Section 8 of this Agreement, in such proportions as are specified therein, and no portion of the Total Fee shall become due or payable prior to the written acceptance by the Client of the Deliverables associated with the relevant Milestone.

    3. The Freelancer shall issue an invoice to the Client in respect of each Milestone payment within [Number] business days following the Client's written acceptance of the relevant Deliverables, and each such invoice shall contain all particulars reasonably required by the Client, including without limitation the Milestone reference, a description of the Deliverables, the amount payable, and the Freelancer's banking particulars.

    4. The Client shall settle each duly rendered and undisputed invoice within [Number] days following receipt thereof, by means of bank transfer to the account nominated in writing by the Freelancer, and payment shall be deemed to have been effected upon the Client's instruction to its banking institution.

    5. In the event that the Client disputes in good faith all or any portion of an invoice, the Client shall notify the Freelancer in writing within [Number] days of receipt of the relevant invoice, specifying the grounds for the dispute, and the Client shall be entitled to withhold payment of the disputed portion pending resolution thereof, without such withholding constituting a breach of this Agreement.

    6. The Total Fee is inclusive of all costs, charges, and expenses incurred by the Freelancer in the performance of the Services, including without limitation travel, subsistence, equipment, software, and administrative expenses, and no additional sums shall be payable by the Client save with its prior written consent.

    7. The Freelancer shall be solely responsible for the declaration and payment of all taxes, levies, social security contributions, and other charges of whatever nature which may arise in respect of the Fees received hereunder, and the Freelancer shall indemnify and hold the Client harmless from and against any claims, demands, or liabilities arising from any failure to do so.

    8. Any sums wrongfully paid to the Freelancer, whether by reason of overpayment, duplicate payment, or otherwise, shall be refunded by the Freelancer to the Client within [Number] days of written demand therefor.

  4. Deliverables and Acceptance

    1. The Freelancer shall submit each Deliverable to the Client in accordance with the format, medium, and specifications agreed between the Parties and in accordance with the Timeline set forth in Section 8 hereof.

    2. Upon submission of each Deliverable, the Client shall have a period of [Number] business days (the "Review Period") within which to examine and evaluate the Deliverable and to notify the Freelancer in writing of its acceptance or rejection thereof.

    3. Acceptance shall be contingent upon the Deliverable conforming in all material respects to the agreed specifications, meeting the professional standards set forth in this Agreement, and being free from material defects, errors, or omissions.

    4. In the event that the Client determines that a Deliverable fails to conform to the applicable requirements, the Client shall notify the Freelancer in writing of the specific deficiencies identified, and the Freelancer shall, at no additional cost to the Client, remedy such deficiencies and resubmit the corrected Deliverable within such reasonable period as may be stipulated by the Client.

    5. The acceptance procedure set forth in this Section shall be repeated in respect of each resubmission until the Deliverable is accepted by the Client, provided that persistent failure by the Freelancer to produce a conforming Deliverable after [Number] attempts shall constitute a material breach of this Agreement entitling the Client to the remedies set forth in Section 16 hereof.

    6. Payment of any sum by the Client, whether by way of advance, instalment, or otherwise, shall not constitute acceptance of any Deliverable, nor shall it operate as a waiver of the Client's right to require conformity with the specifications and standards set forth in this Agreement.

    7. The Client shall be entitled, in its sole discretion, to accept a Deliverable notwithstanding minor non-conformities, in which event the Freelancer shall remain obliged to remedy such non-conformities within a reasonable time at no additional cost.

    8. Deliverables shall be deemed accepted only upon the Client's express written notification of acceptance, and no implied acceptance shall arise by reason of the lapse of time, the Client's silence, or the Client's use of the Deliverable for evaluation purposes.

  5. Revisions and Modifications

    1. The Client shall be entitled to request an unlimited number of revisions, modifications, or amendments to any Deliverable, provided that such requested revisions fall within the scope of Services as defined in Section 2 of this Agreement, and the Freelancer shall effect such revisions at no additional cost to the Client.

    2. A revision shall be deemed to fall within scope where it concerns the refinement, correction, adjustment, or improvement of a Deliverable in order to bring it into conformity with the agreed specifications, the Client's reasonable preferences, or the professional standards expected of the engagement.

    3. Where the Client requests a modification which, in the reasonable opinion of the Freelancer, constitutes a material expansion of or departure from the originally agreed scope of Services, the Freelancer shall promptly notify the Client in writing, specifying the reasons for such opinion and providing an estimate of any additional fees and time required.

    4. No additional fees shall be payable in respect of any requested change unless and until the Parties have expressly agreed in writing upon the nature, extent, cost, and timing of such additional work, and in the absence of such written agreement the Freelancer shall continue to perform the Services within the original scope and for the original Fees.

    5. The Freelancer shall effect requested revisions within such reasonable period as may be specified by the Client, taking into account the nature and complexity of the revision and the overall project Timeline, and failure to do so shall constitute a breach of this Agreement.

    6. The Freelancer shall maintain complete and accurate records of all revisions requested and performed, and shall furnish such records to the Client upon reasonable request.

    7. All revised, modified, or amended Deliverables shall be subject to the acceptance procedure set forth in Section 4 of this Agreement in the same manner as the original Deliverables.

  6. Obligations of the Client

    1. The Client shall provide to the Freelancer such information, materials, instructions, and access as may be reasonably necessary to enable the Freelancer to perform the Services, within such timeframes as may be reasonably agreed between the Parties.

    2. The Client shall designate a representative or point of contact who shall be authorized to receive communications, provide approvals, and issue instructions on behalf of the Client in connection with this Agreement.

    3. The Client shall make payment of the Fees in accordance with the terms set forth in Section 3 of this Agreement, subject always to the proper performance of the Services and the acceptance of the Deliverables.

    4. The Client shall provide the Freelancer with reasonable access to its premises during normal business hours for the purpose of performing the Services on-site, together with such workspace, equipment, and facilities as may be reasonably required.

    5. The Client shall respond to requests for feedback, approvals, and clarifications submitted by the Freelancer within reasonable timeframes, provided that any delay by the Client in providing such responses shall not entitle the Freelancer to any additional remuneration save as expressly agreed in writing.

    6. The Client shall notify the Freelancer promptly of any material changes to the project requirements, specifications, or Timeline, and shall cooperate in good faith with the Freelancer in addressing any resulting adjustments to the Services.

  7. Obligations of the Freelancer

    1. The Freelancer shall perform the Services with the utmost professional skill, care, diligence, and competence, in accordance with the highest standards of the trade or profession applicable to the nature of the engagement.

    2. The Freelancer shall devote such time, attention, and resources as are reasonably necessary for the proper and timely performance of the Services and shall not undertake any other engagement which would materially interfere with the performance of this Agreement.

    3. The Freelancer shall comply with all applicable laws, regulations, codes of practice, and professional standards relevant to the performance of the Services, and shall obtain and maintain at the Freelancer's own cost all necessary licenses, permits, registrations, and authorizations.

    4. The Freelancer shall, when performing the Services on the Client's premises, comply with all reasonable policies, procedures, security protocols, and codes of conduct of the Client as may be notified from time to time, including without limitation those relating to health and safety, data protection, and workplace behavior.

    5. The Freelancer shall provide regular progress reports to the Client at such intervals and in such form as the Client may reasonably require, and shall promptly notify the Client of any actual or anticipated delay, impediment, or difficulty which may affect the performance of the Services.

    6. The Freelancer shall maintain, at the Freelancer's own cost, such professional indemnity, public liability, and other insurance coverage as is appropriate to the nature of the Services and the risks involved, and shall furnish evidence of such coverage to the Client upon request.

    7. The Freelancer shall not during the term of this Agreement, nor for a period of [Number] months thereafter, engage in any activity which competes directly with the Client's business in such manner as would involve the use or disclosure of Confidential Information.

    8. The Freelancer shall act honestly, in good faith, and in the best interests of the Client at all times during the performance of the Services, and shall disclose promptly to the Client any actual or potential conflict of interest.

  8. Timeline and Milestones

    1. The Freelancer shall perform the Services and deliver the Deliverables in accordance with the following schedule of Milestones:

    2. Milestone 1: [Description of Milestone 1], to be completed by [Date], upon acceptance of which [Percentage] of the Total Fee shall become payable.

    3. Milestone 2: [Description of Milestone 2], to be completed by [Date], upon acceptance of which [Percentage] of the Total Fee shall become payable.

    4. Milestone 3: [Description of Milestone 3], to be completed by [Date], upon acceptance of which [Percentage] of the Total Fee shall become payable.

    5. [Additional Milestones as applicable]

    6. Time shall be of the essence in respect of each Milestone date set forth in this Section, and any failure by the Freelancer to achieve a Milestone by the stipulated date shall, unless caused by Client delay or Force Majeure, constitute a material breach of this Agreement.

    7. The Freelancer shall promptly notify the Client in writing of any circumstances which may cause or threaten to cause a delay in the achievement of any Milestone, together with the measures proposed to mitigate such delay.

    8. Where delay in the achievement of a Milestone is attributable solely to acts or omissions of the Client, the relevant Milestone date shall be extended by a period equal to the duration of such delay, provided that the Freelancer shall use all reasonable endeavors to mitigate the consequences of such delay.

    9. The Parties may by mutual written agreement adjust the Timeline or the Milestones to reflect changes to the Services, revisions to the project scope, or other circumstances justifying such adjustment.

  9. Place of Performance and Access to Premises

    1. The Services shall be performed primarily on-site at the Client's premises located at [Address of Client's Premises], or at such other location of the Client as may be designated in writing from time to time.

    2. The Client shall provide the Freelancer with reasonable access to its premises during the Client's normal business hours, being [Hours of Access], together with such workspace, equipment, and ancillary facilities as the Client in its reasonable discretion considers necessary for the performance of the Services.

    3. The Freelancer acknowledges and agrees that access to the Client's premises is granted solely for the purpose of performing the Services under this Agreement and does not create any proprietary, tenancy, or possessory right in favor of the Freelancer.

    4. The Freelancer shall, while present on the Client's premises, comply with all applicable health and safety regulations, security procedures, visitor protocols, access control measures, and other internal policies of the Client as may be notified from time to time.

    5. The Freelancer shall exercise due care in the use of the Client's premises, equipment, and facilities, and shall be liable for any loss or damage caused by the Freelancer's negligent, wilful, or unauthorized acts or omissions.

    6. The Client reserves the right, at its sole discretion, to revoke, suspend, or restrict the Freelancer's access to its premises at any time, including but not limited to circumstances involving security concerns, breach of policy, or termination of this Agreement, and the Freelancer shall vacate the premises promptly upon request.

    7. Where the nature of the Services permits, the Freelancer may, with the Client's prior written consent, perform certain tasks remotely, provided that such remote performance does not compromise the quality, security, or timeliness of the Services.

  10. Independent Contractor Status

    1. It is expressly understood and agreed between the Parties that the Freelancer is engaged under this Agreement as an independent contractor operating as a sole trader, and that nothing herein shall be construed as creating a relationship of employment, partnership, joint venture, agency, or franchise between the Parties.

    2. The Freelancer shall have no authority to bind the Client, to enter into any contract on the Client's behalf, to incur any liability in the Client's name, or to represent itself as an employee, agent, or representative of the Client, save as may be expressly authorized in writing.

    3. The Freelancer shall be solely responsible for determining the manner, method, means, and sequence of performing the Services, subject only to the specifications, requirements, and reasonable instructions of the Client, and the Freelancer shall exercise independent professional judgment in the discharge of its obligations.

    4. The Freelancer shall not be entitled to any salary, wages, holiday pay, sick pay, pension contributions, benefits, bonuses, or other emoluments ordinarily associated with employment, and the Fees payable hereunder shall constitute the Freelancer's sole and exclusive remuneration.

    5. The Freelancer shall be solely and exclusively responsible for the payment of all income tax, value added tax or equivalent indirect taxation, social security contributions, insurance premiums, and all other statutory charges arising from the Fees received hereunder, and shall indemnify the Client against any and all claims, demands, assessments, penalties, interest, or liabilities whatsoever which may be imposed upon the Client by any taxation or governmental authority in connection therewith.

    6. The Freelancer shall, at the Freelancer's own expense, provide all tools, equipment, materials, and insurance necessary for the performance of the Services, save to the extent that specific facilities are made available on the Client's premises pursuant to Section 9 hereof.

    7. The Freelancer shall be free to render similar services to other clients during the term of this Agreement, provided that such other engagements do not interfere with the performance of the Services hereunder, do not involve a conflict of interest, and do not entail the use or disclosure of the Client's Confidential Information.

  11. Intellectual Property Rights

    1. The Freelancer hereby irrevocably and unconditionally assigns to the Client, with full title guarantee and free from all encumbrances, all Intellectual Property Rights, title, and interest, whether existing now or arising in the future, throughout the world and in perpetuity, in and to all Deliverables and any other works, materials, or inventions created, developed, or produced by the Freelancer in the course of performing the Services.

    2. Such assignment shall take effect automatically and immediately upon the creation of the relevant Deliverable or material, provided that if and to the extent any assignment is contingent upon payment, the assignment shall take effect upon payment of the corresponding Milestone instalment, and the Freelancer shall grant the Client a worldwide, royalty-free licence to use the relevant materials pending such assignment.

    3. The Freelancer hereby waives, to the fullest extent permitted by law, all moral rights and any analogous rights in and to the Deliverables, and consents to any and all acts which, but for such waiver, would constitute an infringement of such rights.

    4. The Freelancer shall, at the Client's cost but without additional remuneration, execute all such further documents and perform all such further acts as the Client may reasonably require to perfect, protect, register, enforce, or defend the Intellectual Property Rights assigned hereunder, and the Freelancer hereby irrevocably appoints the Client as its attorney for the purpose of executing any such documents in its name should the Freelancer fail to do so within [Number] days of written request.

    5. The Freelancer warrants and represents that all Deliverables shall be original to the Freelancer, shall not infringe upon the Intellectual Property Rights of any third party, and shall be free from any claims, liens, or encumbrances whatsoever.

    6. Where any pre-existing material of the Freelancer or of any third party is incorporated into a Deliverable, the Freelancer shall first obtain the Client's written consent and shall ensure that the Client is granted a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable licence to use, modify, exploit, and sublicense such pre-existing material as part of the Deliverable.

    7. The Freelancer shall not use the Deliverables, or any part thereof, for any purpose other than the performance of this Agreement, and shall not include the Deliverables in any portfolio, publication, or promotional material without the prior written consent of the Client, which may be granted or withheld in the Client's sole discretion.

    8. Upon termination of this Agreement for any reason, the Freelancer shall deliver to the Client all materials, documents, drafts, work-in-progress, and other items embodying or relating to the Intellectual Property Rights assigned hereunder, and shall destroy any copies retained by the Freelancer save as required by law.

  12. Confidentiality

    1. For the purposes of this Agreement, "Confidential Information" shall mean any and all information, in whatever form or medium, disclosed by or on behalf of the Client to the Freelancer, or otherwise acquired by the Freelancer in the course of the engagement, which is of a confidential, proprietary, or sensitive nature, including without limitation technical, commercial, financial, operational, strategic, personnel, and client information, trade secrets, know-how, business plans, and any information marked or identified as confidential or which by its nature ought reasonably to be regarded as confidential.

    2. The Freelancer undertakes to hold all Confidential Information in strict confidence, to use the same solely for the purposes of performing the Services, and not to disclose, reproduce, publish, or otherwise divulge any Confidential Information to any third party without the prior written consent of the Client.

    3. The Freelancer shall apply at least the same degree of care to safeguard the Confidential Information as it applies to its own confidential information of a similar nature, and in any event no less than a reasonable degree of care.

    4. The obligations of confidentiality set forth in this Section shall not apply to information which: is or becomes publicly available otherwise than through breach of this Agreement; was lawfully in the Freelancer's possession prior to disclosure by the Client without any obligation of confidence; is lawfully received from a third party without restriction and without breach of any confidentiality obligation; or is required to be disclosed by law, court order, or competent regulatory authority, provided that the Freelancer shall promptly notify the Client of any such requirement and shall cooperate in any efforts to limit or resist such disclosure.

    5. The Freelancer shall not, without the prior written consent of the Client, disclose Confidential Information to any employee, agent, subcontractor, or representative, save to the extent necessary for the performance of the Services and subject to such person being bound by obligations of confidentiality no less onerous than those set forth herein.

    6. Upon termination or expiry of this Agreement, or earlier upon written request by the Client, the Freelancer shall promptly return or, at the Client's option, destroy all Confidential Information in its possession or control, together with all copies, extracts, and summaries thereof, and shall certify in writing to the Client that such return or destruction has been effected.

    7. The obligations of confidentiality set forth in this Section shall survive the termination or expiry of this Agreement for a period of [Number] years, or indefinitely in respect of information constituting trade secrets.

    8. The Freelancer acknowledges that any breach of this Section may cause irreparable harm to the Client for which monetary damages would be an inadequate remedy, and accordingly the Client shall be entitled to seek injunctive and other equitable relief in addition to any other remedies available at law or in equity.

  13. Warranties and Representations

    1. The Freelancer warrants, represents, and undertakes to the Client that: the Freelancer possesses the necessary skills, qualifications, experience, and expertise to perform the Services to the highest professional standards; the Services shall be performed with due skill, care, and diligence; and the Deliverables shall conform in all material respects to the specifications set forth in this Agreement.

    2. The Freelancer warrants that it has full right, power, and authority to enter into this Agreement and to perform the obligations hereunder, and that the execution and performance of this Agreement will not conflict with or constitute a breach of any other agreement, obligation, or duty binding upon the Freelancer.

    3. The Freelancer warrants that all Deliverables shall be original works created by the Freelancer and shall not infringe upon the Intellectual Property Rights, confidentiality rights, privacy rights, or any other rights of any third party.

    4. The Freelancer warrants that the Services and the Deliverables shall comply with all applicable laws, regulations, codes, and standards, and that the Freelancer holds and shall maintain all licenses, permits, and authorizations necessary for the lawful performance of the Services.

    5. The Freelancer warrants that the Deliverables shall be free from any viruses, malware, trojans, backdoors, or other malicious code, and shall not contain any disabling device, time bomb, or similar mechanism which could impair the operation of the Deliverables or any system on which they are used.

    6. The Freelancer warrants that it is not aware of any circumstances, financial or otherwise, which could reasonably be expected to prevent, delay, or impair its ability to perform the Services in accordance with this Agreement.

    7. The Client warrants that it has full right, power, and authority to enter into this Agreement and that any materials, information, or specifications provided by the Client to the Freelancer for the purposes of the Services shall not knowingly infringe the rights of any third party.

    8. Each Party acknowledges that in entering into this Agreement it has not relied upon any representation, warranty, or statement not expressly set forth herein, and that this Agreement constitutes the entire basis of the engagement.

  14. Indemnification

    1. The Freelancer shall indemnify, defend, and hold harmless the Client, its affiliates, officers, directors, employees, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, suits, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: any breach by the Freelancer of any warranty, representation, obligation, or undertaking set forth in this Agreement; any negligent, wilful, or wrongful act or omission of the Freelancer in the performance of the Services; any infringement or alleged infringement of any Intellectual Property Rights or other third-party rights by the Services or Deliverables; any claim relating to the status of the Freelancer as an independent contractor, including any claim for employment status, taxes, social security contributions, or employment-related benefits; and any breach of confidentiality obligations under Section 12 hereof.

    2. The Client shall promptly notify the Freelancer in writing of any claim in respect of which indemnification is sought, provided that any failure or delay in giving such notice shall not relieve the Freelancer of its indemnification obligations save to the extent that the Freelancer is materially prejudiced thereby.

    3. The Freelancer shall, at its own cost, assume and conduct the defense of any such claim with counsel reasonably acceptable to the Client, provided that the Client shall at all times be entitled to participate in the defense at its own cost, and no settlement shall be entered into without the Client's prior written consent.

    4. The Client shall provide the Freelancer, at the Freelancer's cost, with such reasonable cooperation and assistance as the Freelancer may reasonably require for the defense of any indemnified claim.

    5. The indemnification obligations set forth in this Section shall survive the termination or expiry of this Agreement and shall not be subject to any limitation of liability set forth elsewhere in this Agreement.

    6. The Freelancer shall maintain, at its own expense, appropriate professional indemnity insurance and public liability insurance in such amounts as are commensurate with the risks associated with the Services, and shall furnish evidence of such insurance to the Client upon request.

  15. Limitation of Liability

    1. Nothing in this Agreement shall exclude or limit the liability of either Party for: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; wilful misconduct; breach of confidentiality obligations; infringement of Intellectual Property Rights; the Freelancer's indemnification obligations under Section 14 hereof; or any other liability which cannot be excluded or limited by applicable law.

    2. Subject to the preceding clause, the aggregate liability of the Client to the Freelancer arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no event exceed the total amount of Fees actually paid by the Client to the Freelancer under this Agreement in the [Number] months preceding the event giving rise to the claim.

    3. The Client shall not be liable to the Freelancer, whether in contract, tort, or otherwise, for any indirect, incidental, consequential, special, punitive, or exemplary damages, nor for any loss of profit, loss of revenue, loss of business, loss of opportunity, loss of goodwill, or loss of anticipated savings, howsoever arising.

    4. Each Party shall take reasonable steps to mitigate any loss or damage which it may suffer in consequence of the other Party's breach of this Agreement.

    5. The limitations and exclusions of liability set forth in this Section shall apply to the fullest extent permitted by applicable law and shall survive the termination or expiry of this Agreement.

    6. The Parties acknowledge that the allocation of risk reflected in this Section is a fundamental element of the bargain between them and that the Fees payable hereunder reflect such allocation of risk.

  16. Term and Termination

    1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion and acceptance of all Deliverables and the discharge of all obligations hereunder, unless earlier terminated in accordance with this Section.

    2. The Client may terminate this Agreement at any time, for any reason or for no reason, by giving the Freelancer not less than [Number] days' prior written notice, in which event the Freelancer shall be entitled to payment of Fees in respect of Milestones duly completed and accepted prior to the effective date of termination, together with reasonable payment for work-in-progress to the extent of its value to the Client.

    3. The Freelancer may terminate this Agreement by giving the Client not less than [Number] days' prior written notice, provided that the Freelancer shall use its best endeavors to complete any Milestone then in progress and to effect an orderly handover of all materials and work-in-progress.

    4. Either Party may terminate this Agreement with immediate effect by written notice to the other Party in the event that: the other Party commits a material breach of this Agreement which, if capable of remedy, is not remedied within [Number] days of written notice specifying the breach and requiring its remedy; the other Party becomes insolvent, enters into any arrangement with creditors, becomes subject to any insolvency, bankruptcy, or winding-up proceedings, or ceases or threatens to cease to carry on business; or the other Party commits a persistent or repeated breach of any obligation under this Agreement.

    5.
