    3. Where the Company has approved the reimbursement of any expense in accordance with the foregoing, such expense shall be reimbursed at actual cost, without mark-up, and shall be supported by original receipts, invoices, and such other documentary evidence as the Company may reasonably require.

    4. The Contractor shall at all times observe and comply with any travel and expense policies, procedures, and limits adopted by the Company and communicated to the Contractor from time to time.

    5. Reimbursable expenses shall be invoiced separately from Fees and shall be payable in accordance with the invoicing and payment terms set forth in this Agreement.

    6. The Company reserves the right to reject, dispute, or require further substantiation of any claimed expense that, in its reasonable judgment, is not duly supported, not pre-approved, or not properly incurred in the performance of the Services.

  4. Term and Commencement

    1. This Agreement shall commence on the Effective Date and, unless earlier terminated in accordance with its terms, shall continue in full force and effect until [End Date] or until the completion of the Services to the Company's reasonable satisfaction, whichever occurs first (the "Term").

    2. Notwithstanding the foregoing, the Term may be extended for such further period or periods and upon such terms and conditions as may be agreed in writing by the Parties prior to the expiration of the then-current Term.

    3. Time shall be of the essence with respect to the Contractor's performance of the Services and the delivery of the Deliverables in accordance with any schedules, milestones, or delivery dates set forth in this Agreement or otherwise agreed between the Parties.

    4. In the event that the Contractor anticipates or becomes aware of any delay, impediment, or inability to perform any of its obligations hereunder in accordance with the agreed schedule, the Contractor shall promptly notify the Company in writing, specifying the cause of the delay, its anticipated duration, and the measures proposed to be taken to remedy or mitigate the delay.

    5. Notification of a delay pursuant to the foregoing shall not relieve the Contractor from liability for such delay or from any obligation hereunder, except where the delay is caused by an event of Force Majeure as contemplated in the Miscellaneous section of this Agreement.

    6. The provisions of this Agreement which by their nature are intended to survive the expiration or termination hereof shall so survive and continue in full force and effect in accordance with their terms.

  5. Place of Performance

    2. The Contractor shall, during the performance of the Services at the Company's premises, comply with all applicable rules, policies, procedures, security protocols, health and safety requirements, codes of conduct, and other regulations in force at such premises, as the same may be communicated to the Contractor or amended by the Company from time to time.

    3. The Contractor acknowledges and agrees that any access granted to the Company's premises, systems, networks, equipment, or information shall be limited to such access as is strictly necessary for the proper performance of the Services, and shall be subject to the Company's sole and absolute discretion to restrict, modify, suspend, or revoke such access at any time.

    4. The provision of premises, workspace, utilities, equipment, or facilities by the Company to the Contractor for the purpose of performing the Services shall not, in any manner, be construed as creating any employment relationship, tenancy, licence, or other right of occupation in favour of the Contractor, and shall not alter the independent contractor status set forth in this Agreement.

    5. Where the nature of the Services or specific tasks reasonably permits or requires, and subject to the prior written consent of the Company, the Contractor may perform certain portions of the Services at the Contractor's own premises or at such other location as may be approved in writing by the Company.

    6. The Contractor shall bear sole responsibility for any damage, loss, or injury caused to the Company's premises, property, equipment, or personnel, or to any third party, arising out of or in connection with the acts, omissions, negligence, or wilful misconduct of the Contractor or any of its personnel or permitted subcontractors.

  6. Fees and Invoicing

    1. In consideration of the full, proper, and timely performance of the Services, the Company shall pay to the Contractor a fixed fee in the amount of [Amount] [Currency] (the "Fees"), which shall constitute the Contractor's sole and exclusive compensation for the Services rendered under this Agreement.

    2. The Fees are expressed exclusive of any applicable value added tax, goods and services tax, sales tax, or similar indirect taxes, which, where properly chargeable, shall be added to the Fees and payable by the Company upon receipt of a valid tax invoice issued in accordance with applicable law.

    3. The Fees shall be invoiced by the Contractor in accordance with the following schedule: [description of invoicing milestones or schedule, e.g. upon completion of specific milestones, upon final acceptance of the Deliverables, or in equal instalments]. Each invoice shall quote this Agreement, specify the Services or milestones to which it relates, state the amount payable, and provide such other information as the Company may reasonably require.

    4. Subject to receipt of a duly issued and undisputed invoice, the Company shall pay the amount properly due within thirty (30) days from the date of receipt of such invoice, by bank transfer to the bank account designated in writing by the Contractor.

    5. The Company shall be entitled to withhold payment of any amount which is the subject of a bona fide dispute pending resolution of such dispute, and no interest shall accrue or be payable on any amount so withheld.

    6. The Company shall be entitled to set off, deduct, or withhold from any sums payable to the Contractor hereunder any amounts owed by the Contractor to the Company or any of its Affiliates, whether under this Agreement or otherwise.

    7. The Contractor shall be solely responsible for the declaration and payment of all taxes, duties, levies, social security contributions, pension contributions, and other statutory charges and withholdings arising in connection with the Fees received hereunder, and shall indemnify and hold the Company harmless from and against any and all liabilities, claims, assessments, penalties, interest, and costs arising from the Contractor's failure to do so.

    8. The Company reserves the right to deduct or withhold from any payment hereunder any amount required to be deducted or withheld by applicable law, and payment of such reduced amount shall constitute full and valid discharge of the Company's payment obligation to the extent of the amount withheld.

  7. Independent Contractor Status

    1. The Contractor is engaged by the Company as an independent contractor and not as an employee, agent, partner, joint venturer, or representative of the Company. Nothing in this Agreement shall be construed or interpreted as creating a relationship of employment, agency, partnership, joint venture, or any similar relationship between the Parties.

    2. The Contractor shall have no authority, and shall not represent or hold itself out as having any authority, to bind the Company or to enter into any contract, undertaking, commitment, or obligation on behalf of the Company, nor to make any representation or warranty on behalf of the Company, without the prior express written authorization of the Company.

    3. The Contractor shall be solely responsible for determining the methods, means, manner, and sequence of performing the Services, subject always to the Contractor's obligation to achieve the results, standards, quality, deadlines, and specifications required under this Agreement and to comply with the reasonable instructions of the Company as to the ends to be achieved.

    4. The Contractor shall not be entitled to any employee benefits provided by the Company to its employees, including without limitation paid leave, sick pay, holiday pay, pension or retirement benefits, medical or health insurance, disability or life insurance, bonuses, profit-sharing, stock options, or any other employee benefits, perquisites, or entitlements, whether of a statutory, contractual, or discretionary nature.

    5. The Contractor shall be solely responsible for all matters relating to the engagement, management, supervision, remuneration, insurance, taxation, and dismissal of its own personnel, and shall ensure that any such personnel acknowledge and comply with the terms of this Agreement to the extent applicable.

    6. The Contractor shall maintain in force, at its own cost, such insurances as are appropriate and customary for the performance of the Services, including without limitation professional indemnity insurance, public liability insurance, and, where applicable, workers' compensation insurance, in each case with reputable insurers and in such amounts as are reasonable having regard to the nature and scope of the Services.

    7. The Contractor shall indemnify and hold the Company harmless from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with any claim by any governmental, tax, social security, or other authority, or by the Contractor or any of its personnel, that the Contractor or any of its personnel is or was an employee, worker, agent, or partner of the Company.

  8. Intellectual Property Rights

    1. All Intellectual Property Rights in and to the Deliverables, and in and to any and all work product, inventions, discoveries, improvements, designs, materials, documents, data, and other items created, developed, conceived, authored, generated, or reduced to practice by the Contractor, either alone or jointly with others, in the course of or arising out of the performance of the Services (collectively, the "Work Product"), shall vest exclusively in the Company immediately upon creation.

    2. To the fullest extent permitted by applicable law, the Contractor hereby irrevocably and unconditionally assigns, transfers, and conveys to the Company, by way of present assignment of present and future rights, the entire right, title, and interest in and to all Intellectual Property Rights in the Work Product, together with the right to sue for and recover damages and other remedies in respect of past, present, and future infringements thereof, in all cases on a worldwide basis, in perpetuity, and for all media and modes of exploitation now known or hereafter devised.

    3. To the extent that any Intellectual Property Rights in the Work Product do not or cannot vest in or be assigned to the Company by operation of the foregoing, the Contractor shall hold the same on trust for the Company and shall grant, and hereby grants, to the Company an exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sub-licensable licence to use, exploit, reproduce, modify, adapt, translate, distribute, communicate, display, and otherwise deal with the same in any manner and for any purpose whatsoever.

    4. The Contractor hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable law, all moral rights, rights of paternity, integrity, disclosure, and withdrawal, and any similar rights, which the Contractor may have in or to the Work Product, in favour of the Company and its successors, assigns, and licensees.

    5. The Contractor shall, at the Company's request and expense, promptly execute all such documents and do all such acts and things as may be necessary or desirable to perfect, record, protect, or enforce the Company's ownership of, and rights in, the Work Product and the Intellectual Property Rights therein, including without limitation the filing and prosecution of applications for registration thereof in any jurisdiction.

    6. The Contractor warrants that the Work Product and the Deliverables shall be original to the Contractor and shall not infringe, misappropriate, or violate any Intellectual Property Rights, moral rights, or other proprietary or personal rights of any third party, and that the Contractor has or will have obtained all necessary rights, consents, licences, permissions, and waivers required to enable the full assignment and licence contemplated by this section.

    7. Any pre-existing intellectual property owned by the Contractor and incorporated into the Deliverables ("Background IP") shall remain the property of the Contractor; provided, however, that the Contractor hereby grants to the Company a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, and sub-licensable licence to use, exploit, modify, and otherwise deal with such Background IP solely to the extent necessary for the full use and enjoyment of the Deliverables and the Work Product.

    8. The Contractor shall not incorporate into the Deliverables any open source software, third-party components, or other materials that would restrict, encumber, or qualify the Company's ownership of, or rights in, the Work Product, without the prior express written consent of the Company.

  9. Obligations of the Contractor

    1. The Contractor shall perform the Services with the highest degree of professional skill, care, diligence, and expertise, in accordance with best industry standards and practices, and in a timely, efficient, and workmanlike manner.

    2. The Contractor shall comply with all applicable laws, regulations, rules, codes, orders, and governmental requirements applicable to the performance of the Services, and shall obtain and maintain in force all licences, permits, authorizations, consents, and approvals required for the lawful performance of the Services.

    3. The Contractor shall at all times observe and comply with the policies, procedures, codes of conduct, and ethical standards of the Company as the same may be communicated to the Contractor or amended by the Company from time to time, including without limitation those relating to anti-bribery and anti-corruption, anti-money laundering, modern slavery, information security, data protection, and health and safety.

    4. The Contractor shall devote such attention and resources to the performance of the Services as are reasonably necessary to achieve the results, standards, and deadlines required hereunder, and shall ensure that any personnel engaged in the performance of the Services possess the requisite skills, qualifications, experience, and training.

    5. The Contractor shall promptly notify the Company in writing of any actual or anticipated conflict of interest, impediment, delay, defect, or circumstance which may adversely affect the performance of the Services or the Contractor's ability to comply with its obligations hereunder.

    6. The Contractor shall maintain accurate and complete records of the Services performed, the Deliverables produced, and any expenses incurred, and shall make such records available for inspection, review, and audit by the Company or its authorized representatives upon reasonable notice during the Term and for a period of [number] years thereafter.

    7. The Contractor shall cooperate fully with the Company, its employees, agents, representatives, auditors, and other contractors, and shall act in good faith at all times in connection with the performance of this Agreement.

    8. The Contractor shall not, directly or indirectly, offer, pay, promise to pay, or authorize the payment of any money, gift, or anything of value to any person, including any public official, for the purpose of influencing any act or decision for the benefit of the Company, the Contractor, or any other person, and shall comply with all applicable anti-bribery and anti-corruption laws.

  10. Representations and Warranties

    1. The Contractor represents, warrants, and undertakes to the Company that:

    2. The Contractor has the full legal right, power, authority, and capacity to enter into this Agreement and to perform its obligations hereunder, and the execution, delivery, and performance of this Agreement has been duly authorized by all necessary corporate or personal action and does not violate any law, regulation, order, contract, undertaking, or obligation to which the Contractor is subject;

    3. The Contractor possesses the requisite skills, qualifications, experience, expertise, resources, equipment, and personnel to perform the Services in accordance with the terms of this Agreement and to the standards of care and skill required hereunder;

    4. The performance of the Services and the delivery of the Deliverables shall not infringe, misappropriate, or violate any Intellectual Property Rights, confidential information, contractual rights, or other proprietary or personal rights of any third party;

    5. The Contractor is not subject to, and will not during the Term enter into, any agreement, obligation, or restriction which conflicts with, prevents, restricts, or impairs its ability to perform the Services or to comply with its obligations hereunder in full;

    6. The Contractor shall perform the Services and conduct its business in compliance with all applicable laws, regulations, and governmental requirements, including without limitation those relating to taxation, employment, social security, anti-bribery and anti-corruption, anti-money laundering, data protection, export control, and sanctions;

    7. The Contractor and its personnel are not disqualified, debarred, suspended, or otherwise ineligible to perform services for the Company or to engage in the activities contemplated by this Agreement, and no circumstances exist which, with the giving of notice or the passage of time, would result in any such disqualification, debarment, suspension, or ineligibility;

    8. The Deliverables shall conform to the specifications, requirements, and standards agreed between the Parties and shall be fit for the purposes for which they are intended, free from material defects in design, workmanship, and materials, and provided together with such documentation as is reasonably necessary for their proper use and exploitation.

  11. Confidentiality

    1. The Contractor shall hold all Confidential Information of the Company in strict confidence and shall not, without the prior express written consent of the Company, use, disclose, reproduce, copy, or permit the use or disclosure of any Confidential Information, except to the extent strictly necessary for the proper performance of the Services.

    2. The Contractor shall apply, in protecting the Confidential Information, no lesser standard of care than it applies to its own confidential information of a similar nature, and in any event no less than a reasonable standard of care.

    3. The Contractor may disclose Confidential Information only to those of its personnel who have a strict need to know such information for the purpose of performing the Services, and only after such personnel have been informed of the confidential nature of such information and have undertaken written obligations of confidentiality no less onerous than those contained in this Agreement.

    4. The obligations of confidentiality set forth herein shall not apply to information which: (i) is or becomes publicly available otherwise than through a breach of this Agreement; (ii) was lawfully in the possession of the Contractor, free of any obligation of confidentiality, prior to its disclosure by or on behalf of the Company; (iii) is lawfully received from a third party free of any obligation of confidentiality; or (iv) is independently developed by the Contractor without reference to or use of the Confidential Information.

    5. If the Contractor is required by law, regulation, court order, or governmental or regulatory authority to disclose any Confidential Information, the Contractor shall, to the extent legally permitted, promptly notify the Company in writing prior to such disclosure, cooperate with the Company in seeking a protective order or other appropriate remedy, and disclose only such portion of the Confidential Information as is legally required to be disclosed.

    6. Upon the expiration or termination of this Agreement, or at any earlier time upon the request of the Company, the Contractor shall promptly return to the Company, or at the Company's option destroy, all Confidential Information in its possession or control, together with all copies, extracts, summaries, and derivatives thereof, and shall certify in writing to the Company the completion of such return or destruction.

    7. The obligations of confidentiality set forth in this section shall continue in full force and effect during the Term and for a period of five (5) years after the expiration or termination of this Agreement; provided, however, that in respect of information constituting a trade secret, such obligations shall continue for so long as such information retains the status of a trade secret under applicable law.

    8. The Contractor acknowledges that any breach or threatened breach of the obligations of confidentiality set forth herein may cause irreparable harm to the Company for which monetary damages would be an inadequate remedy, and that the Company shall accordingly be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.

  12. Data Protection

    1. To the extent that the Contractor processes any personal data on behalf of or in connection with the Company in the course of performing the Services, the Contractor shall do so solely in accordance with the documented instructions of the Company and in compliance with all applicable data protection and privacy laws.

    2. The Contractor shall implement and maintain appropriate technical and organizational measures to ensure the security, confidentiality, integrity, and availability of any personal data processed in connection with this Agreement, and to protect such personal data against unauthorized or unlawful processing, accidental loss, destruction, damage, alteration, or disclosure.

    3. The Contractor shall ensure that any of its personnel authorized to process personal data have committed themselves to confidentiality or are under appropriate statutory obligations of confidentiality, and have received adequate training in data protection matters.

    4. The Contractor shall not transfer any personal data to any third country or international organization, nor engage any sub-processor to process personal data, without the prior express written consent of the Company and subject to such additional safeguards as the Company may require.

    5. The Contractor shall promptly, and in any event without undue delay, notify the Company upon becoming aware of any actual or suspected breach of security, loss, unauthorized access, disclosure, or other incident affecting any personal data processed in connection with this Agreement, and shall provide the Company with all information and cooperation reasonably required to enable the Company to comply with its own obligations under applicable data protection laws.

    6. The Contractor shall provide the Company with all information and assistance reasonably necessary to enable the Company to respond to requests from data subjects, to conduct data protection impact assessments, to consult with supervisory authorities, and otherwise to comply with its obligations under applicable data protection laws.

    7. Upon the expiration or termination of this Agreement, or upon the completion of the relevant processing activities, the Contractor shall, at the Company's option, return or securely destroy all personal data processed in connection with this Agreement, together with all copies thereof, unless retention is required by applicable law.

  13. Non-Competition and Non-Solicitation

    1. The Contractor undertakes that, during the Term and for a period of [twelve (12)] months following the expiration or termination of this Agreement for any reason, the Contractor shall not, whether directly or indirectly, whether alone or in conjunction with, or on behalf of, any other person, and whether as principal, agent, partner, employee, consultant, shareholder, director, or in any other capacity:

    2. Engage in, carry on, be concerned or interested in, or provide any services to, any business which is in competition with, or likely to be in competition with, any business carried on by the Company or any of its Affiliates in which the Contractor was involved or in respect of which the Contractor had access to Confidential Information during the Term, within the territory of [geographic area];

    3. Solicit, canvass, entice, or endeavour to entice away from the Company or any of its Affiliates any person who is, or who at any time during the twelve (12) months immediately preceding the expiration or termination of this Agreement was, a customer, client, supplier, or business partner of the Company or any of its Affiliates with whom the Contractor had material dealings during the Term, for the purpose of providing goods or services competitive with those provided by the Company or its Affiliates;

    4. Solicit, induce, entice, or endeavour to induce or entice away from the employment or engagement of the Company or any of its Affiliates any director, officer, employee, consultant, or independent contractor of the Company or any of its Affiliates with whom the Contractor had material dealings during the Term, or employ or engage any such person, whether or not such person would commit a breach of their contract by reason of leaving;

    5. Interfere with, or seek to interfere with, the continuance of any supplies, services, or business relationship enjoyed by the Company or any of its Affiliates from any supplier, service provider, or business partner, or on terms less favourable to the Company or its Affiliates than those currently enjoyed.

    6. The Contractor acknowledges and agrees that the restrictions set forth in this section are reasonable and necessary for the protection of the legitimate business interests of the Company, including without limitation the protection of its Confidential Information, trade secrets, customer and supplier connections, and workforce stability.

    7. Each of the restrictions set forth in this section constitutes a separate, severable, and independent restriction, and if any such restriction is held to be invalid, unenforceable, or unreasonable, in whole or in part, the remaining restrictions shall continue to apply and to be binding, and such invalid, unenforceable, or unreasonable restriction shall be reduced in scope, duration, or geographic area to the minimum extent necessary to render it valid, enforceable, and reasonable.

    8. The Contractor acknowledges that any breach or threatened breach of the restrictions set forth in this section may cause irreparable harm to the Company for which monetary damages would be an inadequate remedy, and that the Company shall be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.

  14. Indemnification

    1. The Contractor shall indemnify, defend, and hold harmless the Company and its Affiliates, and their respective directors, officers, employees, agents, successors, and assigns (collectively, the "Indemnified Parties"), from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees and disbursements) suffered or incurred by any of the Indemnified Parties arising out of or in connection with:

    2. Any breach by the Contractor of any representation, warranty, covenant, obligation, or undertaking contained in this Agreement;

    3. Any negligence, wilful misconduct, fraud, or dishonest act or omission of the Contractor or any of its personnel or permitted subcontractors in the performance of the Services or otherwise in connection with this Agreement;

    4. Any actual or alleged infringement, misappropriation, or violation of any Intellectual Property Rights, confidential information, moral rights, or other proprietary or personal rights of any third party arising out of or in connection with the Services, the Deliverables, or any Work Product;

    5. Any claim by any governmental, tax, social security, labour, or other authority, or by the Contractor or any of its personnel, that the Contractor or any of its personnel is or was an employee, worker, agent, or partner of the Company, or any claim for taxes, social security contributions, or similar charges in connection with the Fees;

    6. Any personal injury, death, or damage to property caused by, or arising out of, the acts, omissions, negligence, or wilful misconduct of the Contractor or any of its personnel or permitted subcontractors;

    7. Any breach by the Contractor of any applicable law, regulation, or governmental requirement, including without limitation those relating to anti-bribery and anti-corruption, anti-money laundering, data protection, and sanctions.

    8. The Contractor's indemnification obligations hereunder shall apply irrespective of any limitation of liability set forth elsewhere in this Agreement, and shall survive the expiration or termination of this Agreement.

    9. The Indemnified Parties shall provide the Contractor with reasonable notice of any claim giving rise to the indemnification obligations hereunder, and shall cooperate with the Contractor in the defence or settlement of such claim; provided, however, that the Company shall retain the right, at its option, to participate in the defence of any such claim with counsel of its own choosing, and no settlement that imposes any obligation or liability on, or admits any wrongdoing by, any Indemnified Party shall be entered into without the prior written consent of such Indemnified Party.

  15. Limitation of Liability

    1. Nothing in this Agreement shall operate to exclude or limit either Party's liability for: (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; (iii) wilful misconduct; or (iv) any other liability which cannot lawfully be excluded or limited.

    2. Subject to the foregoing paragraph, the Company's aggregate liability to the Contractor arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no event exceed the total amount of Fees actually paid by the Company to the Contractor under this Agreement during the twelve (12) months immediately preceding the event giving rise to the liability.

    3. Subject to the first paragraph of this section, in no event shall the Company be liable to the Contractor for any loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of opportunity, loss or corruption of data, or for any indirect, consequential, special, incidental, exemplary, or punitive damages, whether or not foreseeable and whether or not the Company has been advised of the possibility of such damages.

    4. The limitations and exclusions of liability set forth in this section shall not apply to the Contractor's liability under the indemnification provisions of this Agreement, nor to the Contractor's liability for breach of its obligations relating to confidentiality, data protection, intellectual property, or non-competition and non-solicitation.

    5. The Contractor acknowledges and agrees that the allocation of risk set forth in this Agreement, including the limitations and exclusions of liability contained herein, is reasonable in the circumstances and reflects a fair and equitable allocation of risk between the Parties having regard to the Fees payable hereunder.

    6. Each Party shall take all reasonable steps to mitigate any loss or damage that it may suffer in connection with this Agreement.

  16. Termination

    1. The Company may terminate this Agreement at any time, for any reason or no reason, by giving the Contractor not less than [number] days' prior written notice.

    2. The Contractor may terminate this Agreement by giving the Company not less than [number] days' prior written notice, provided that the Contractor shall first have completed, or made adequate arrangements for the completion of, any Services or Deliverables then in progress to the Company's reasonable satisfaction.

    3. Either Party may terminate this Agreement with immediate effect by written notice to the other Party if the other Party commits a material breach of this Agreement which, if capable of remedy, is not remedied within thirty (30) days of receipt of written notice specifying the breach and requiring its remedy.

    4. The Company may terminate this Agreement with immediate effect by written notice to the Contractor if: (i) the Contractor becomes insolvent, is unable to pay its debts as they fall due, enters into any arrangement with its creditors, has a receiver, administrator, liquidator, or similar officer appointed over any of its assets, or ceases or threatens to cease to carry on business; (ii) the Contractor undergoes a change of control; (iii) the Contractor is convicted of any offence involving dishonesty, fraud, or moral turpitude; (iv) the Contractor commits any act or omission which brings or is likely to bring the Company or any of its Affiliates into disrepute; or (v) the Contractor breaches any provision of this Agreement relating to confidentiality, data protection, intellectual property, or non-competition and non-solicitation.

    5. Either Party may terminate this Agreement with immediate effect by written notice to the other Party if performance of this Agreement is rendered impossible or unlawful by reason of any change in applicable law, regulation, or governmental requirement.

    6. The right to terminate this Agreement shall be without prejudice to any other right or remedy of the terminating Party in respect of the breach concerned (if any) or any other breach, and shall not relieve either Party of any obligation accrued prior to the date of termination.

  17. Consequences of Termination

    1. Upon the expiration or termination of this Agreement for any reason:

    2. The Contractor shall immediately cease performance of the Services, except to the extent otherwise expressly instructed in writing by the Company;

    3. The Contractor shall promptly deliver to the Company all Deliverables (whether completed or in progress), Work Product, Confidential Information, documents, materials, data, records, and other property of the Company in its possession or control, together with all copies thereof;

    4. The Contractor shall provide the Company with such reasonable assistance and cooperation as the Company may require to effect an orderly transition of the Services, including the handover of work in progress and the transfer of knowledge to the Company or any successor contractor designated by the Company;

    5. The Company shall pay to the Contractor all Fees properly accrued and due in respect of Services properly performed up to the effective date of termination, less any amounts owed by the Contractor to the Company and any damages or losses suffered by the Company as a result of any breach by the Contractor;

    6. Where this Agreement is terminated by the Company for cause pursuant to the Termination section, the Company shall be entitled to withhold any further payment to the Contractor and to recover from the Contractor any Fees paid in respect of Services or Deliverables that are incomplete, defective, or otherwise non-conforming;

    7. The accrued rights, remedies, obligations, and liabilities of the Parties as at the date of expiration or termination shall not be affected, and the provisions of this Agreement which by their nature are intended to survive the expiration or termination hereof, including without limitation those relating to intellectual property, confidentiality, data protection, non-competition and non-solicitation, indemnification, limitation of liability, consequences of termination, and governing law and dispute resolution, shall so survive.

  18. Governing Law and Dispute Resolution

    1. This Agreement, and any dispute, claim, or controversy arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of [Country], without regard to its conflict of laws principles.

    2. The Parties shall endeavour in good faith to resolve any dispute, claim, or controversy arising out of or in connection with this Agreement through amicable negotiations between their respective authorized representatives.

    3. If any such dispute, claim, or controversy is not resolved through amicable negotiations within thirty (30) days from the date on which one Party notifies the other Party in writing of the existence of the dispute, either Party may refer the dispute to [mediation / arbitration / the exclusive jurisdiction of the competent courts of [City, Country]] in accordance with the following paragraph.

    4. [Any dispute, claim, or controversy arising out of or in connection with this Agreement which is not resolved through amicable negotiations shall be finally resolved by arbitration under the rules of [name of arbitral institution] by one or more arbitrators appointed in accordance with the said rules. The arbitral award shall be final and binding upon the Parties / shall be subject to the exclusive jurisdiction of the courts of [City, Country]].

    5. Notwithstanding the foregoing, either Party shall be entitled to seek injunctive, interim, or other equitable relief in any court of competent jurisdiction in order to protect its rights, including without limitation its Intellectual Property Rights and Confidential Information.

    6. Each Party irrevocably waives, to the fullest extent permitted by applicable law, any objection which it may now or hereafter have to the laying of venue of any dispute in any forum designated pursuant to this section and any claim that any such dispute has been brought in an inconvenient forum.

  19. Miscellaneous

    1. This Agreement constitutes the entire agreement and understanding between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations, warranties, and communications, whether oral or written, between the Parties with respect to such subject matter.

    2. No amendment, modification, variation, or supplement to this Agreement shall be effective unless made in writing and signed by duly authorized representatives of both Parties.

    3. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. No waiver shall be effective unless made in writing.

    4. The Contractor shall not assign, transfer, charge, sub-contract, or otherwise dispose of this Agreement or any of its rights or obligations hereunder without the prior express written consent of the Company. The Company may assign, transfer, or novate this Agreement or any of its rights or obligations hereunder to any of its Affiliates or to any successor in interest without the consent of the Contractor.

    5. If any provision of this Agreement is held by any court or other competent authority to be invalid, illegal, or unenforceable, in whole or in part, such provision shall, to the extent of such invalidity, illegality, or unenforceability, be deemed severed from this Agreement, and the remaining provisions shall continue in full force and effect; the Parties shall negotiate in good faith to replace any severed provision with a valid and enforceable provision which, to the greatest extent possible, achieves the same commercial effect.

    6. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement (other than payment obligations) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, epidemic, pandemic, or failure of utilities or telecommunications ("Force Majeure"), provided that the affected Party promptly notifies the other Party and uses reasonable endeavours to mitigate the effects of the Force Majeure event.

    7. All notices and other communications required or permitted to be given under this Agreement shall be in writing and shall be delivered by hand, by internationally recognized courier, by registered mail, or by electronic mail to the address of the receiving Party set forth in this Agreement, or to such other address as such Party may designate by written notice given in accordance with this clause.

    8. Nothing in this Agreement is intended to confer, or shall be construed as conferring, any right or benefit on any person other than the Parties and their respective permitted successors and assigns.

    9. This Agreement may be executed in any number of counterparts, each of which when executed shall constitute an original, and all counterparts together shall constitute one and the same instrument.
