FREELANCE SERVICES AGREEMENT

This Freelance Services Agreement (the "Agreement") is made and entered into as of [Effective Date] (the "Effective Date") by and between [Client Legal Name], a [State of Formation] [entity type] with its principal place of business located at [Client Address] (hereinafter referred to as the "Client"), and [Freelancer Legal Name], an individual self-employed independent contractor residing at [Freelancer Address] (hereinafter referred to as the "Freelancer"). The Client and the Freelancer are hereinafter referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Client is engaged in the business of [Client Business Description] and desires to engage the services of a qualified freelance professional to perform certain professional services more particularly described herein;

WHEREAS, the Freelancer holds himself/herself/themselves out as a skilled independent professional with experience in [design, writing, development, marketing, and/or related professional disciplines] and is prepared, willing, and able to render such services to the Client on a non-exclusive, independent contractor basis;

WHEREAS, the Parties desire to set forth, in writing, the terms and conditions upon which the Freelancer shall provide, and the Client shall accept and pay for, such professional services;

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, warranties, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  1. Engagement and Scope of Services

    1. The Client hereby engages the Freelancer, and the Freelancer hereby accepts such engagement, to render those professional services generally described as [description of the Project, e.g., design, writing, software development, marketing services] and more particularly specified as follows: [detailed description of the Project, deliverables, specifications, and performance requirements] (collectively, the "Services" and, where applicable, the "Project").

    2. The Freelancer shall perform the Services in a professional, workmanlike manner, consistent with generally accepted industry standards applicable to the type of work undertaken, and in conformity with the specifications, parameters, and requirements set forth in this Agreement.

    3. The Freelancer shall furnish, at the Freelancer's sole cost and expense, all tools, equipment, software, hardware, internet access, workspace, and other resources reasonably necessary to perform the Services, except as otherwise expressly agreed in writing by the Parties.

    4. The Services shall be performed remotely from the Freelancer's location, and the Freelancer shall not be required to maintain regular hours at any premises of the Client; provided, however, that the Freelancer shall remain reasonably available during ordinary business hours to communicate with the Client regarding the progress and performance of the Services.

    5. Any additional services not expressly set forth within the scope described above shall be deemed outside the scope of this Agreement and shall be undertaken, if at all, only pursuant to a mutually executed written change order as further described herein.

    6. The Freelancer may, with the Client's prior written consent (which shall not be unreasonably withheld), engage subcontractors or assistants to perform portions of the Services; provided that the Freelancer shall remain fully responsible and liable for the acts, omissions, and work product of such subcontractors and shall ensure that each such subcontractor is bound by written obligations of confidentiality and intellectual property assignment no less protective than those set forth herein.

    7. The engagement contemplated hereunder is non-exclusive, and nothing herein shall preclude the Freelancer from rendering services to other clients or the Client from engaging other service providers, subject to the confidentiality and intellectual property obligations set forth in this Agreement.

  2. Term and Commencement

    1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the earlier of (a) the completion and acceptance of the Services and payment in full of all amounts due hereunder, or (b) the termination of this Agreement in accordance with the provisions set forth herein (the "Term").

    2. The Freelancer shall commence performance of the Services on [Commencement Date], or on such other date as the Parties may mutually agree in writing, and shall diligently prosecute the Services to completion in accordance with the schedule set forth herein.

    3. The anticipated date for substantial completion of the Services is [Completion Date], subject to such extensions as may be warranted by Client-caused delays, approved change orders, or events of Force Majeure.

    4. Time is of the essence with respect to all deadlines, milestones, and delivery dates expressly designated as such in writing by the Parties; all other scheduling references shall be construed as targets to be met with commercially reasonable diligence.

    5. Should the Freelancer reasonably anticipate any material delay in meeting a scheduled milestone or deadline, the Freelancer shall promptly notify the Client in writing, specifying the cause of the anticipated delay, its expected duration, and the proposed mitigation measures.

    6. Upon mutual written agreement, the Parties may extend the Term or any individual deadline hereunder, provided that any such extension shall be documented in a writing signed by both Parties.

  3. Deliverables, Deadlines, and Milestones

    1. The Freelancer shall prepare and deliver to the Client those tangible and intangible work products, materials, documents, files, designs, source code, copy, strategies, reports, or other outputs more particularly described as [description of Deliverables] (collectively, the "Deliverables"), in accordance with the milestones and deadlines set forth herein.

    2. The Services and corresponding Deliverables shall be performed and delivered in accordance with the following milestone schedule: [Milestone 1 description, due date, and associated payment]; [Milestone 2 description, due date, and associated payment]; [Milestone 3 description, due date, and associated payment]; [additional milestones as applicable] (collectively, the "Milestones").

    3. The Deliverables shall be transmitted to the Client in such format and by such means as the Parties shall reasonably agree, including electronic transmission to [Client Contact Email] or upload to such shared repository as the Parties may designate.

    4. Upon receipt of each Deliverable, the Client shall have a period of [number, e.g., ten (10)] business days (the "Review Period") within which to inspect, test, and evaluate the Deliverable and to notify the Freelancer in writing of its acceptance or of any specific deficiencies warranting rejection, with reasonable particularity.

    5. If the Client fails to deliver written notice of acceptance or rejection within the Review Period, the Deliverable shall be deemed accepted for all purposes under this Agreement.

    6. In the event of a timely written rejection, the Freelancer shall, at no additional charge, promptly correct the specified deficiencies and resubmit the Deliverable for a further Review Period of equal duration, subject to the limitations on revisions set forth in the following section.

    7. The Client's acceptance of a Deliverable, whether express or deemed, shall constitute completion of the corresponding Milestone and shall trigger the Client's obligation to remit the associated milestone payment in accordance with the payment provisions hereof.

  4. Revisions and Change Orders

    1. The Freelancer shall include, as part of the fees payable hereunder and without additional charge, up to two (2) rounds of revisions per Deliverable, each such round to be requested by the Client in writing within the applicable Review Period and to be reasonably consistent with the originally agreed scope and specifications of the Deliverable.

    2. For purposes of this Agreement, a "round of revisions" shall consist of a single, consolidated set of change requests communicated by the Client to the Freelancer at one time, rather than piecemeal or sequential requests.

    3. Any revisions requested beyond the two (2) included rounds, or any revisions that materially alter the originally agreed scope, specifications, functionality, aesthetic direction, or complexity of the Deliverable, shall constitute additional work subject to a written change order.

    4. Any change to the scope of the Services, the Deliverables, the Milestones, the schedule, or the fees hereunder shall be effective only upon the mutual execution of a written change order (a "Change Order") specifying the nature of the change, any adjustment to the fees, and any corresponding adjustment to the schedule or Milestones.

    5. The Freelancer shall not be obligated to commence any additional work described in a proposed Change Order until such Change Order has been executed by both Parties, and any delay in execution of a Change Order shall extend corresponding deadlines on a day-for-day basis.

    6. The Freelancer shall charge for additional revisions and out-of-scope work at the hourly rate of [Hourly Rate] per hour, or at such other rate as may be set forth in the applicable Change Order, with time billed in increments of [time increment].

    7. Nothing in this section shall obligate the Freelancer to perform any additional work on an unpaid or discounted basis, and all additional work shall be invoiced and paid in accordance with the fee provisions set forth herein.

  5. Fees, Invoicing, and Payment Terms

    1. In consideration for the full and faithful performance of the Services and delivery of the Deliverables, the Client shall pay to the Freelancer a fixed project fee in the aggregate amount of [Total Project Fee] (the "Fees"), payable in installments corresponding to the Milestones set forth herein.

    2. The Fees shall be allocated among the Milestones as follows: [Milestone 1 payment amount]; [Milestone 2 payment amount]; [Milestone 3 payment amount]; [additional milestone allocations as applicable], with each installment becoming due and payable upon the Client's acceptance (or deemed acceptance) of the corresponding Milestone.

    3. The Freelancer may, in the Freelancer's reasonable discretion, require an initial deposit or retainer in the amount of [Deposit Amount] or [percentage]% of the Total Project Fee to be paid prior to commencement of the Services, which deposit shall be non-refundable except in the event of a material breach by the Freelancer.

    4. The Freelancer shall issue invoices to the Client at the completion of each Milestone, which invoices shall itemize the Services performed, the Milestone achieved, and any approved Change Order charges or reimbursable expenses.

    5. The Client shall remit payment of each undisputed invoice within [number, e.g., fifteen (15)] days following the date of receipt, by electronic funds transfer, check, or such other method as the Parties may mutually agree.

    6. Any portion of an invoice not disputed in writing within [number] days of receipt shall be deemed undisputed and payable in full; any good-faith dispute shall be raised in writing with reasonable specificity and the undisputed portion shall nonetheless be paid when due.

    7. Any amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the original due date until paid in full, together with reasonable costs of collection, including attorneys' fees.

    8. All Fees are stated exclusive of any applicable sales, use, value-added, or similar transaction-based taxes, which, if applicable, shall be the responsibility of the Client; the Freelancer shall be solely responsible for all income, self-employment, and similar taxes imposed on the Freelancer's earnings hereunder.

  6. Expenses and Reimbursements

    1. The Fees set forth herein are inclusive of all ordinary costs incurred by the Freelancer in connection with the performance of the Services, including the costs of the Freelancer's workspace, equipment, software licenses, internet connectivity, and routine supplies.

    2. The Client shall reimburse the Freelancer for extraordinary, out-of-pocket expenses reasonably incurred in the performance of the Services, provided that such expenses have been approved in advance in writing by the Client.

    3. Reimbursable expenses may include, by way of example and without limitation, travel and lodging expenses incurred at the Client's request, third-party software or stock asset licenses specifically required for the Project, printing and production costs, and fees paid to third-party vendors engaged with the Client's consent.

    4. The Freelancer shall submit requests for reimbursement together with reasonable supporting documentation (such as receipts and invoices) along with the regular Milestone invoices, and such reimbursable amounts shall be payable on the same terms as the Fees.

    5. The Freelancer shall exercise prudence in incurring reimbursable expenses and shall adhere to any reasonable written expense policies communicated by the Client in advance.

    6. Reimbursements shall be made at actual cost without markup, and the Freelancer shall retain original documentation substantiating all reimbursed expenses for a period of not less than two (2) years following the termination of this Agreement.

  7. Independent Contractor Status

    1. The Freelancer is engaged by the Client as an independent contractor, and nothing contained in this Agreement shall be construed to create, nor shall the relationship of the Parties be deemed to constitute, an employer-employee, partnership, joint venture, agency, or fiduciary relationship of any kind.

    2. The Freelancer shall retain sole and exclusive control over the manner, means, methods, and timing of the performance of the Services, subject only to the specifications, Deliverables, Milestones, and deadlines set forth herein.

    3. Neither Party shall have the authority to bind the other to any contract, obligation, or representation, nor to hold itself out as having such authority, except as may be expressly authorized in writing.

    4. The Freelancer shall be solely responsible for the payment of all federal, state, and local income taxes, self-employment taxes, estimated taxes, unemployment insurance contributions, and workers' compensation premiums arising out of the Freelancer's receipt of compensation hereunder, and the Client shall not withhold any such amounts from payments made to the Freelancer.

    5. The Freelancer acknowledges that the Freelancer is not entitled to any employee benefits provided by the Client to its employees, including, without limitation, health insurance, retirement benefits, paid time off, workers' compensation coverage, or unemployment insurance.

    6. The Freelancer shall, at the Freelancer's own cost and expense, obtain and maintain any licenses, permits, registrations, or professional certifications necessary to perform the Services in compliance with applicable law.

    7. The Freelancer shall indemnify, defend, and hold harmless the Client from and against any claim, assessment, or liability arising out of any assertion that the Freelancer should be treated as an employee of the Client for any purpose, to the extent such treatment arises out of the Freelancer's own tax filings or representations.

  8. Representations and Warranties

    1. Each Party represents and warrants to the other that it has full right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and performance of this Agreement do not and will not conflict with or constitute a breach of any other agreement to which it is a party or by which it is bound.

    2. The Freelancer represents and warrants that the Services shall be performed in a professional and workmanlike manner, consistent with prevailing industry standards applicable to the type of work undertaken, and by personnel possessing the requisite skill, training, and experience.

    3. The Freelancer further represents and warrants that the Deliverables, as delivered by the Freelancer, shall be the original work of the Freelancer (or shall be properly licensed from third parties with the Client's prior written knowledge) and shall not knowingly infringe upon any copyright, trademark, patent, trade secret, right of publicity, or other proprietary right of any third party.

    4. The Freelancer represents and warrants that, to the Freelancer's knowledge, there is no pending or threatened claim, litigation, or proceeding that would materially impair the Freelancer's ability to perform the Services hereunder.

    5. The Client represents and warrants that any materials, information, content, or specifications furnished by the Client to the Freelancer for incorporation into the Deliverables shall not infringe upon any third-party proprietary right and that the Client has the full right and authority to furnish the same for such purpose.

    6. The Client represents and warrants that it shall cooperate reasonably with the Freelancer, including by providing timely access to information, approvals, feedback, and materials necessary for the Freelancer to perform the Services.

    7. EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES SET FORTH IN THIS SECTION, EACH PARTY DISCLAIMS ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

  9. Intellectual Property Rights and Assignment

    1. Subject to the Client's payment in full of all Fees, expenses, and other amounts due hereunder with respect to a given Deliverable, the Freelancer hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest, including all copyright, trademark, patent, trade secret, moral rights, and other intellectual property rights, in and to such Deliverable, which shall thereupon constitute a "work made for hire" to the fullest extent permitted by law, and otherwise shall be deemed assigned to the Client pursuant to this provision.

    2. Prior to the Client's payment in full for a given Deliverable, all right, title, and interest in and to such Deliverable shall remain with the Freelancer, and the Client shall have no right to use, reproduce, distribute, modify, display, or otherwise exploit the Deliverable for any purpose.

    3. Notwithstanding the foregoing, the Freelancer shall retain all right, title, and interest in and to any pre-existing works, tools, methodologies, processes, templates, know-how, libraries, frameworks, and other materials created by or owned by the Freelancer prior to or independently of this Agreement (collectively, the "Freelancer Background IP").

    4. To the extent any Freelancer Background IP is incorporated into or necessary for the use of a Deliverable, the Freelancer hereby grants to the Client, upon payment in full for the applicable Deliverable, a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up license to use, reproduce, modify, display, and distribute such Freelancer Background IP solely as embedded within or necessary for the use of such Deliverable.

    5. The Client shall retain all right, title, and interest in and to any materials, trademarks, content, data, or information furnished by the Client to the Freelancer (the "Client Materials"), and the Freelancer is granted a limited, non-exclusive license to use the Client Materials solely for the purpose of performing the Services.

    6. The Freelancer shall, at the Client's reasonable request and expense, execute such further documents and take such further actions as may be necessary to perfect, record, or enforce the Client's rights in and to the Deliverables following payment in full.

    7. Subject to the Client's confidentiality rights, the Freelancer may, upon the Client's prior written consent (not to be unreasonably withheld), reference the Project and display non-confidential portions of the Deliverables in the Freelancer's portfolio and promotional materials for the purpose of showcasing the Freelancer's professional work.

  10. Confidentiality and Non-Disclosure

    1. For purposes of this Agreement, "Confidential Information" shall mean any and all non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, in writing, or in any other form, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure, including, without limitation, business plans, financial information, customer lists, technical data, product designs, marketing strategies, and the Deliverables prior to their public release.

    2. The Receiving Party shall (a) hold the Confidential Information in strict confidence, (b) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement, and (c) not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party, except as expressly permitted herein.

    3. The Receiving Party shall protect the Confidential Information using the same degree of care that it uses to protect its own confidential information of similar sensitivity, but in no event less than a reasonable degree of care.

    4. The obligations set forth herein shall not apply to information that (a) is or becomes publicly available through no fault of the Receiving Party, (b) was lawfully in the Receiving Party's possession without obligation of confidentiality prior to disclosure by the Disclosing Party, (c) is independently developed by the Receiving Party without reference to or use of the Confidential Information, or (d) is rightfully received from a third party without obligation of confidentiality.

    5. The Receiving Party may disclose Confidential Information to the extent required by applicable law, regulation, or valid judicial or governmental order; provided that the Receiving Party gives the Disclosing Party, where legally permissible, prompt written notice of such requirement and reasonable cooperation in seeking a protective order or other appropriate remedy.

    6. The confidentiality obligations set forth in this section shall survive the expiration or termination of this Agreement for a period of [number, e.g., three (3)] years thereafter; provided, however, that with respect to any Confidential Information constituting a trade secret under applicable law, such obligations shall continue for so long as such information retains its status as a trade secret.

    7. Upon termination of this Agreement or upon the Disclosing Party's written request, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all tangible materials containing Confidential Information of the Disclosing Party, and shall certify such return or destruction in writing upon request, except that the Receiving Party may retain archival copies as required for legal compliance or by its routine backup procedures.

  11. Indemnification

    1. The Freelancer shall indemnify, defend, and hold harmless the Client and its officers, directors, employees, and agents from and against any and all third-party claims, demands, actions, suits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) (collectively, "Losses") arising out of or relating to (a) the Freelancer's material breach of this Agreement, including any representation or warranty herein; (b) any claim that the Deliverables, as delivered by the Freelancer and excluding any Client Materials or Client-directed content, infringe the intellectual property rights of a third party; or (c) the gross negligence or willful misconduct of the Freelancer.

    2. The Client shall indemnify, defend, and hold harmless the Freelancer from and against any and all Losses arising out of or relating to (a) the Client's material breach of this Agreement, including any representation or warranty herein; (b) any claim arising out of the Client Materials or Client-directed content incorporated into the Deliverables at the Client's instruction; or (c) the gross negligence or willful misconduct of the Client.

    3. The indemnified Party shall promptly notify the indemnifying Party in writing of any claim for which indemnification is sought; provided, however, that failure to provide prompt notice shall not relieve the indemnifying Party of its obligations hereunder except to the extent such failure materially prejudices the defense of the claim.

    4. The indemnifying Party shall have the right to assume and control the defense of the claim with counsel of its own choosing, reasonably acceptable to the indemnified Party, and the indemnified Party shall provide reasonable cooperation in such defense at the indemnifying Party's expense.

    5. The indemnifying Party shall not settle any claim in a manner that imposes any admission of liability, injunctive relief, or non-monetary obligation upon the indemnified Party without the indemnified Party's prior written consent, which shall not be unreasonably withheld.

    6. The indemnified Party may participate in the defense of any claim with counsel of its own choosing at its own expense; provided that if a conflict of interest arises or if the indemnifying Party fails to diligently defend, the indemnified Party may assume control of the defense at the indemnifying Party's reasonable expense.

  12. Limitation of Liability

    1. EXCEPT WITH RESPECT TO (A) BREACHES OF CONFIDENTIALITY, (B) INDEMNIFICATION OBLIGATIONS FOR THIRD-PARTY CLAIMS, (C) INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY RIGHTS, OR (D) A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    2. EXCEPT WITH RESPECT TO THE EXCLUSIONS SET FORTH IN THE PRECEDING CLAUSE, THE AGGREGATE LIABILITY OF EITHER PARTY TO THE OTHER ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE FREELANCER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    3. The limitations and exclusions of liability set forth in this section shall apply to the fullest extent permitted by applicable law and shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

    4. The Parties acknowledge that the limitations and exclusions set forth herein constitute an essential element of the bargain between them and that the Fees would be substantially different in the absence of such limitations and exclusions.

    5. No action, regardless of form, arising out of or relating to this Agreement may be brought by either Party more than two (2) years after the cause of action has accrued, except for actions for non-payment of amounts due hereunder.

  13. Termination and Suspension

    1. Either Party may terminate this Agreement at any time, for any reason or no reason, upon not less than [number, e.g., fourteen (14)] days' prior written notice to the other Party (termination "for convenience").

    2. Either Party may terminate this Agreement immediately upon written notice to the other Party in the event that the other Party (a) materially breaches this Agreement and fails to cure such breach within [number, e.g., ten (10)] days after receipt of written notice specifying the breach with reasonable particularity; (b) becomes insolvent, makes an assignment for the benefit of creditors, or becomes the subject of any voluntary or involuntary bankruptcy or insolvency proceeding not dismissed within sixty (60) days; or (c) ceases to conduct business in the ordinary course.

    3. The Client may, upon written notice, suspend performance of the Services for a specified period not to exceed [number] days; provided that during any such suspension the Client shall remain liable for payment of all Fees for Services performed and expenses incurred through the effective date of suspension, and the schedule and Milestones shall be equitably adjusted to reflect the suspension period.

    4. Upon any termination, the Client shall pay the Freelancer (a) all Fees earned for Milestones completed and accepted (or deemed accepted) through the effective date of termination, (b) a pro rata portion of the Fees attributable to any Milestone in progress based upon the percentage of work completed, and (c) all approved reimbursable expenses incurred through the effective date of termination.

    5. Upon termination, the Freelancer shall promptly deliver to the Client all work in progress for which payment has been or will be made, and the Client shall promptly return to the Freelancer any Freelancer-owned materials in the Client's possession.

    6. For the avoidance of doubt, intellectual property rights in Deliverables shall transfer to the Client only to the extent of payment actually made in accordance with the Intellectual Property Rights and Assignment provisions hereof.

    7. Those provisions of this Agreement which by their nature are intended to survive termination, including provisions relating to intellectual property, confidentiality, representations and warranties, indemnification, limitation of liability, governing law, and dispute resolution, shall survive the expiration or termination of this Agreement.

  14. Force Majeure

    1. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement (except for the payment of amounts already due) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, government action, labor disturbances, epidemics, pandemics, public health emergencies, failures of the internet or telecommunications infrastructure, or widespread power outages (each, a "Force Majeure Event").

    2. The Party affected by a Force Majeure Event shall give prompt written notice to the other Party, specifying the nature, anticipated duration, and effect of such event, and shall use commercially reasonable efforts to mitigate the effects of such event and to resume performance as soon as reasonably practicable.

    3. During the continuance of a Force Majeure Event, the obligations of the affected Party (other than payment obligations) shall be suspended, and the time for performance shall be extended by a period equal to the duration of the Force Majeure Event.

    4. If a Force Majeure Event continues for a period of more than [number, e.g., thirty (30)] consecutive days, either Party may terminate this Agreement upon written notice to the other Party, without liability except for amounts accrued through the date of termination.

    5. A Force Majeure Event shall not excuse any obligation that accrued prior to the occurrence of the event, nor shall it excuse the Client's obligation to pay Fees for Services already performed and accepted.

  15. Notices

    1. All notices, consents, requests, demands, and other communications required or permitted under this Agreement shall be in writing and shall be deemed effectively given upon (a) personal delivery, (b) the business day following transmission by nationally recognized overnight courier, (c) three (3) business days after deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, or (d) upon transmission by electronic mail with written confirmation of receipt by the recipient (an automated out-of-office reply shall not constitute confirmation).

    2. Notices to the Client shall be sent to: [Client Legal Name], Attention: [Client Contact Name/Title], [Client Address], Email: [Client Email].

    3. Notices to the Freelancer shall be sent to: [Freelancer Legal Name], [Freelancer Address], Email: [Freelancer Email].

    4. Either Party may change its address for notice by providing written notice of such change to the other Party in accordance with this section.

    5. Routine, operational communications between the Parties in the ordinary course of the Project (such as feedback on Deliverables, status updates, and informal correspondence) may be exchanged by email, instant messaging, or project management platforms without constituting formal notice hereunder.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [Governing State], United States of America, without giving effect to any choice of law or conflict of laws provisions that would require the application of the laws of any other jurisdiction.

    2. The Parties shall first attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to this Agreement through informal negotiation between designated representatives of the Parties, which negotiation shall commence within [number, e.g., ten (10)] business days following written notice of the dispute.

    3. If the Parties are unable to resolve the dispute through informal negotiation within [number, e.g., thirty (30)] days of such notice, the Parties shall submit the dispute to non-binding mediation administered by a mutually agreed mediator in [City, State], with the costs of mediation to be shared equally by the Parties.

    4. If mediation does not result in resolution within [number, e.g., sixty (60)] days of the request for mediation, any unresolved dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, with the seat of arbitration in [City, State], and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

    5. Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or other matters for which monetary damages would be inadequate.

    6. In any arbitration or action to enforce this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and costs from the non-prevailing Party, in addition to any other relief awarded.

    7. Each Party irrevocably waives, to the fullest extent permitted by law, any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement.

  17. Miscellaneous Provisions

    1. This Agreement, together with all duly executed Change Orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral, relating thereto.

    2. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a writing signed by authorized representatives of both Parties; no waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

    3. Neither Party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party; provided, however, that the Client may assign this Agreement, without such consent, to a successor in interest in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

    4. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, or if not possible, severed from this Agreement, and the remaining provisions shall continue in full force and effect.

    5. The headings and captions used in this Agreement are for convenience of reference only and shall not affect the interpretation or construction of any provision hereof.

    6. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument; signatures delivered by facsimile, electronic mail (including PDF), or electronic signature platform shall be deemed valid and binding to the same extent as original signatures.

    7. The relationship of the Parties is that of independent contractors, and nothing in this Agreement shall be construed to create any third-party beneficiary rights in any person or entity not a party hereto.

    8. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise thereof.

IN WITNESS WHEREOF, the Parties hereto have executed this Freelance Services Agreement as of the Effective Date first above written.
