The Photographer and the Clients are hereinafter referred to individually as a "Party" and collectively as the "Parties."
WHEREAS, the Clients intend to be married on [WEDDING DATE] at [WEDDING VENUE AND ADDRESS] (the "Event"), and desire to engage a professional photographer to document the Event and such related activities as are set forth herein;
WHEREAS, the Photographer is engaged in the business of providing professional wedding photography services and holds himself, herself, or itself out as possessing the requisite skill, experience, and equipment necessary to render such services in a competent and workmanlike manner;
WHEREAS, the Parties desire to set forth in writing the terms and conditions upon which the Photographer shall provide, and the Clients shall receive and compensate the Photographer for, such photography services;
NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.
Definitions and Interpretation
For purposes of this Agreement, the following capitalized terms shall have the meanings ascribed to them below, and such definitions shall apply equally to the singular and plural forms thereof. The term "Event" shall mean the wedding ceremony, reception, and such ancillary occurrences occurring on the date and at the location set forth in the recitals above, together with any pre-ceremony or post-ceremony activities expressly identified herein as falling within the Photographer's engagement.
The term "Images" shall mean all photographic images, whether in digital or physical form, captured by the Photographer or any Second Photographer or assistant in connection with the performance of this Agreement, including, without limitation, raw files, proofs, edited files, and final deliverables.
The term "Delivered Images" shall mean those edited and processed Images selected by the Photographer, in the exercise of the Photographer's professional judgment, for delivery to the Clients in accordance with the terms of this Agreement.
The term "Retainer" shall mean the non-refundable sum paid by the Clients to the Photographer upon execution of this Agreement to reserve the Event date and compensate the Photographer for foregone opportunities, as more particularly described herein.
The term "Business Day" shall mean any day other than a Saturday, Sunday, or federal holiday recognized in the United States of America.
The headings and captions appearing in this Agreement are inserted for convenience of reference only and shall not affect the construction or interpretation of any provision hereof. Words denoting one gender shall include all genders, and words denoting the singular shall include the plural and vice versa. The words "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation."
Any reference in this Agreement to a particular section or clause shall be construed as a reference to the corresponding section or clause of this Agreement. In the event of any conflict or inconsistency between any provisions of this Agreement, the Parties shall endeavor in good faith to reconcile such provisions so as to give effect to the manifest intent of the Parties.
Scope of Photography Services
The Photographer agrees to provide, and the Clients agree to engage the Photographer to provide, professional wedding photography services in connection with the Event, as more particularly described herein (collectively, the "Services"). The Services shall include the photographic coverage of such portions of the Event as are enumerated in the coverage schedule set forth in Section 3 hereof.
The Services shall further include the following components, except to the extent expressly excluded in writing by the Parties: pre-Event consultation; attendance at the Event on the date and at the location specified; capture of photographic Images utilizing professional-grade equipment; post-production editing and color correction of selected Images; and delivery of the Delivered Images in the manner and within the timeframe specified in Section 5.
The Photographer shall perform the Services with the degree of skill, care, and diligence customarily exercised by professional wedding photographers of comparable experience and reputation operating within the United States. The Photographer shall exercise his, her, or its professional artistic judgment in the composition, lighting, posing, and selection of Images, and the Clients acknowledge that photography is a subjective art form.
The following services are expressly excluded from the scope of the Services unless otherwise agreed in writing: videography; wedding albums or physical prints beyond those specifically enumerated in the chosen package; travel outside the geographic area specified herein; and any additional hours of coverage beyond those contracted for.
Any modifications, additions, or substitutions to the Services shall be effective only if set forth in a written amendment executed by both Parties, and may be subject to additional fees as mutually agreed in advance.
The Clients shall provide the Photographer with reasonable cooperation and assistance in the performance of the Services, including, without limitation, timely communication regarding the Event schedule, provision of accurate venue information, designation of a point of contact for coordination purposes, and notification to the Event venue and vendors of the Photographer's engagement.
The Clients shall ensure that the Photographer is afforded reasonable access to the Event, including access to all venues, locations, and events for which photography coverage is contracted, and shall use commercially reasonable efforts to ensure that any venue restrictions, religious observances, or vendor limitations known to the Clients are communicated to the Photographer in advance of the Event.
Coverage Hours and Shot List
The Photographer shall provide photographic coverage of the Event for a total of [NUMBER OF HOURS] consecutive hours, commencing at [START TIME] on the Event date and concluding at [END TIME] on the Event date (the "Coverage Period"). The specific start and end times may be adjusted by mutual written agreement of the Parties no later than [NUMBER OF DAYS] days prior to the Event.
Should the Clients request, and the Photographer agree, to extend the Coverage Period beyond the hours contracted herein, additional coverage shall be billed at the rate of [HOURLY OVERTIME RATE] per hour or fraction thereof, payable within [NUMBER OF DAYS] Business Days following the Event. The Photographer shall be under no obligation to accede to any request for extended coverage, but shall act reasonably in evaluating such requests.
The Clients shall provide the Photographer with a reasonably detailed shot list or list of desired images not later than [NUMBER OF DAYS] days prior to the Event (the "Shot List"). The Shot List may include specific posed photographs, family groupings, and any particular moments or details of significance to the Clients.
The Photographer shall use commercially reasonable efforts to accommodate all requests set forth in the Shot List; provided, however, that the Photographer shall not be deemed in breach of this Agreement for failing to capture any particular image, as the dynamic and unpredictable nature of wedding events may render certain shots impracticable or impossible.
The Clients shall designate one or more individuals to assist the Photographer in identifying family members and other participants for group portraits, and shall be responsible for ensuring the timely assembly of such individuals at the designated location for formal portrait sessions.
A meal and short break period shall be provided for the Photographer and any Second Photographer or assistant for any Coverage Period exceeding [NUMBER] hours. Such meal break shall be of reasonable duration and shall be taken at a time that does not materially interfere with key photographic moments.
Travel time to and from the Event, as well as time spent setting up and breaking down equipment, shall not count against the Coverage Period, provided that such activities are reasonable in duration and scope.
Fees, Retainer, and Payment Terms
In consideration of the Services to be rendered hereunder, the Clients shall pay to the Photographer the total sum of [TOTAL FEE AMOUNT] United States Dollars (the "Total Fee"), payable in accordance with the schedule set forth in this Section 4.
Upon execution of this Agreement, the Clients shall pay to the Photographer a non-refundable retainer in the amount of [RETAINER AMOUNT] United States Dollars (the "Retainer"), which Retainer shall be applied against the Total Fee. The Parties expressly acknowledge and agree that the Retainer is non-refundable under any circumstances other than as expressly provided in Sections 10 and 11 hereof, and represents compensation to the Photographer for reserving the Event date, declining other engagements, and undertaking preparatory work.
The remaining balance of the Total Fee, in the amount of [BALANCE AMOUNT] United States Dollars, shall be paid in full not later than [NUMBER OF DAYS] days prior to the Event date. The Photographer shall be under no obligation to perform the Services if the balance has not been received in full by such date.
All payments shall be made by [PAYMENT METHOD(S)] to the account or address designated by the Photographer. Any payment not received by its respective due date shall bear interest at the rate of [INTEREST RATE] percent per annum, or the maximum rate permitted by applicable law, whichever is lower, from the due date until paid in full.
The Clients shall reimburse the Photographer for all reasonable out-of-pocket expenses incurred in connection with the performance of the Services, including, but not limited to, travel beyond [NUMBER] miles from the Photographer's principal place of business, lodging where overnight accommodation is required, parking fees, and venue-imposed vendor fees, provided that any individual expense exceeding [AMOUNT] United States Dollars shall require the prior written approval of the Clients.
All fees stated herein are exclusive of applicable sales, use, or other transactional taxes, which shall be the responsibility of the Clients to the extent imposed by law.
Any additional products, services, prints, albums, or additional hours of coverage requested by the Clients beyond those included in the contracted package shall be billed separately at the Photographer's then-prevailing rates and shall be payable upon invoice.
Delivery of Photographs and Timeline
The Photographer shall deliver to the Clients a gallery of Delivered Images consisting of not less than [NUMBER] edited photographs, in high-resolution digital format, within [NUMBER OF WEEKS] weeks following the Event (the "Delivery Date"), subject to any delays expressly contemplated herein.
The Delivered Images shall be made available to the Clients via a secure online gallery, downloadable digital files, or other delivery method as the Photographer may elect. The Clients shall be responsible for downloading, saving, and backing up the Delivered Images within [NUMBER OF DAYS] days of their being made available, after which period the Photographer shall have no obligation to maintain or re-deliver the Delivered Images.
The selection of Images for inclusion among the Delivered Images shall be made by the Photographer in the exercise of his, her, or its professional artistic judgment. Raw, unedited, or unselected Images shall not be delivered to the Clients and shall remain the sole property of the Photographer, who may dispose of such Images in his, her, or its sole discretion after a reasonable retention period.
Post-production editing shall include color correction, exposure adjustment, cropping, and such other standard editing procedures as the Photographer customarily applies. Extensive retouching, compositing, or similar extraordinary editing shall not be included in the standard Services and may be available for an additional fee.
Should the Clients desire physical prints, albums, or other tangible products, such items may be ordered through the Photographer at the Photographer's then-prevailing rates. The Photographer makes no warranty as to the color accuracy or quality of prints produced by third parties not engaged by the Photographer.
The Delivery Date may be extended by a reasonable period in the event of circumstances beyond the Photographer's reasonable control, including, without limitation, illness, equipment failure requiring data recovery, acts of God, or events constituting Force Majeure. The Photographer shall provide the Clients with prompt notice of any anticipated delay.
The Clients acknowledge that preview or "sneak peek" images, if provided, are furnished as a courtesy and shall not be deemed to constitute delivery of the Delivered Images for purposes of this Agreement.
Copyright Ownership and Usage License
The Photographer shall retain all right, title, and interest in and to the copyright in all Images, including all Delivered Images, as the sole author and owner thereof under applicable copyright law of the United States. Nothing in this Agreement shall be construed as a transfer or assignment of any copyright or other intellectual property rights to the Clients.
Subject to the Clients' payment in full of all amounts owing hereunder, the Photographer hereby grants to the Clients a non-exclusive, non-transferable, royalty-free license to use, reproduce, display, and distribute the Delivered Images for personal, non-commercial purposes, including, without limitation, the production of personal prints, display in the Clients' home, sharing with family and friends, and posting on the Clients' personal social media accounts.
The Clients are further permitted to share the Delivered Images on personal social media platforms, provided that, where reasonably practicable, the Clients shall credit the Photographer by name or by tagging the Photographer's professional social media account. The Clients shall not crop out, remove, or obscure any watermark, signature, or copyright notice embedded in or affixed to the Delivered Images.
The Clients shall not sell, license, sublicense, or otherwise commercially exploit the Delivered Images, nor shall the Clients provide the Delivered Images to any third-party vendor, publication, or commercial entity for commercial use without the prior written consent of the Photographer, which consent may be granted or withheld in the Photographer's sole discretion and may be conditioned upon the payment of additional licensing fees.
The Clients shall not materially alter, modify, or create derivative works of the Delivered Images, including, without limitation, by applying filters, color alterations, or edits that materially change the artistic character of the Images, without the Photographer's prior written consent. Minor cropping for purposes of personal display and standard social media formatting shall be permitted.
Family members of the Clients may receive and use copies of the Delivered Images for their own personal, non-commercial purposes under the terms of this license, provided that such family members shall not have any greater rights than the Clients themselves.
The Photographer reserves the right to pursue any and all available legal and equitable remedies in the event of any unauthorized use, reproduction, or distribution of the Images in violation of the terms hereof.
Engagement of Second Photographer and Assistants
The Photographer may, in his, her, or its sole discretion, engage one or more additional photographers (each a "Second Photographer") and/or assistants to aid in the performance of the Services. Any such engagement shall be at the Photographer's sole cost and expense unless the Parties have expressly agreed in writing that a Second Photographer shall be included as part of the contracted package.
Where a Second Photographer is included as part of the contracted package, the identity of the Second Photographer shall be determined by the Photographer in his, her, or its sole discretion. The Clients acknowledge that the specific identity of the Second Photographer may not be known at the time of execution of this Agreement and may be subject to change.
Any Second Photographer or assistant engaged by the Photographer shall be deemed to be acting as the agent or subcontractor of the Photographer, and all Images captured by any such person in connection with the Event shall be owned by the Photographer and shall be subject to the terms of this Agreement.
The Photographer shall be responsible for ensuring that any Second Photographer or assistant engaged hereunder possesses the requisite skill and experience to perform the tasks assigned, and shall supervise their work consistent with the standard of care set forth in Section 2.
The Clients shall extend to any Second Photographer or assistant the same courtesies, access, and cooperation afforded to the Photographer under this Agreement, including the provision of a meal where required under Section 3.
The Photographer shall indemnify and hold harmless the Clients from and against any claims brought by any Second Photographer or assistant for compensation, provided that such claims arise solely out of the Photographer's engagement of such persons and not out of any act or omission of the Clients.
Backup Procedures and Equipment Failure
The Photographer shall utilize professional-grade equipment in the performance of the Services and shall maintain such equipment in good working order. The Photographer shall bring to the Event redundant equipment, including, without limitation, backup camera bodies, lenses, memory cards, batteries, and lighting apparatus, so as to minimize the risk of service interruption due to equipment failure.
The Photographer shall employ reasonable data backup procedures throughout the Event, including the use of in-camera dual-card recording where equipment permits, and shall maintain multiple copies of all captured Image files from the conclusion of the Event through the Delivery Date and for a reasonable retention period thereafter.
Notwithstanding the foregoing, the Clients acknowledge that photography is subject to inherent risks of equipment failure, data corruption, and loss, and that no technology or procedure can wholly eliminate such risks.
In the event of partial loss of Images due to equipment failure, data corruption, or other similar causes, the Photographer shall promptly notify the Clients and shall deliver all Images that remain available. In such event, the Photographer's liability shall be limited as provided in Section 13.
In the event of total loss of all Images due to equipment failure, data corruption, or other similar causes occurring prior to delivery and not attributable to the Clients, the Photographer shall refund to the Clients the Total Fee actually paid, less the Retainer, as the Clients' sole and exclusive remedy therefor.
The Photographer shall retain the Delivered Image files for a period of not less than [NUMBER] months following the Delivery Date, after which period the Photographer shall have no obligation to retain or re-deliver the files. The Clients are strongly encouraged to make and maintain their own backup copies of all Delivered Images.
Substitution and Replacement Photographer
In the event that the Photographer is unable to perform the Services due to illness, injury, death in the family, or other personal emergency, or due to equipment failure that cannot be remedied in time, the Photographer shall use commercially reasonable efforts to arrange for a qualified replacement photographer of comparable skill and experience to perform the Services (the "Replacement Photographer").
The Photographer shall promptly notify the Clients upon becoming aware of any circumstance giving rise to the engagement of a Replacement Photographer and shall provide the Clients with such information regarding the Replacement Photographer as is reasonably available.
Any Replacement Photographer engaged pursuant to this Section 9 shall be bound by the terms of this Agreement, and the Clients shall not be charged any additional fees in connection with such substitution.
Should the Photographer, despite commercially reasonable efforts, be unable to arrange a Replacement Photographer, or should no Replacement Photographer be reasonably available, the Photographer shall promptly notify the Clients and shall refund all amounts previously paid by the Clients, including the Retainer, as the Clients' sole and exclusive remedy therefor.
Where a Replacement Photographer has been engaged in accordance with this Section 9, the Clients shall not have the right to terminate this Agreement or seek a refund on the basis of such substitution, unless the Replacement Photographer is objectively unqualified or unable to perform the Services.
Any Images captured by the Replacement Photographer shall, upon payment of the Total Fee, be subject to the same copyright and licensing provisions set forth in Section 6, with the Photographer or the Replacement Photographer (as applicable per their engagement arrangement) retaining the copyright therein.
Cancellation and Rescheduling
The Clients may cancel this Agreement at any time by providing written notice to the Photographer. In the event of such cancellation, the following cancellation fees shall apply, which the Parties acknowledge are a reasonable estimation of the Photographer's damages, which are difficult or impossible to ascertain with precision.
Upon any cancellation by the Clients, the Retainer shall be forfeited in full and shall not be refunded under any circumstances. In addition to the forfeiture of the Retainer, the following sliding-scale cancellation fees shall apply: (i) cancellation more than [NUMBER] days prior to the Event, no additional fee beyond forfeiture of the Retainer; (ii) cancellation between [NUMBER] and [NUMBER] days prior to the Event, [PERCENTAGE] percent of the Total Fee; (iii) cancellation between [NUMBER] and [NUMBER] days prior to the Event, [PERCENTAGE] percent of the Total Fee; and (iv) cancellation less than [NUMBER] days prior to the Event, the full Total Fee shall be due and payable.
The Clients may request to reschedule the Event to a different date by providing written notice to the Photographer not less than [NUMBER] days prior to the originally scheduled Event date. Any rescheduling shall be subject to the Photographer's availability on the proposed new date.
If the Photographer is available on the proposed new date, the Retainer and any other sums paid shall be applied to the rescheduled Event, subject to the payment of a rescheduling fee in the amount of [RESCHEDULING FEE AMOUNT] United States Dollars to compensate the Photographer for administrative costs and any adjustments to the Photographer's schedule.
If the Photographer is not available on the proposed new date, the Clients may either (a) select an alternate new date on which the Photographer is available, or (b) treat the rescheduling request as a cancellation subject to the provisions set forth above.
Only one rescheduling of the Event shall be permitted hereunder without additional fees beyond the rescheduling fee set forth above. Any subsequent rescheduling shall be treated as a cancellation and shall be subject to a new agreement between the Parties.
If the Photographer cancels this Agreement for any reason other than those described in Section 9 or Section 11, the Photographer shall refund to the Clients all amounts previously paid by the Clients, including the Retainer, as the Clients' sole and exclusive remedy therefor.
Postponement and Force Majeure
In the event that the Event must be postponed due to circumstances beyond the reasonable control of either Party, including, without limitation, acts of God, natural disasters, pandemics, epidemics, government-imposed restrictions, acts of terrorism, war, civil unrest, or similar events (each a "Force Majeure Event"), the affected Party shall promptly notify the other Party in writing of the Force Majeure Event and its anticipated impact on performance.
Upon the occurrence of a Force Majeure Event preventing the holding of the Event on the originally scheduled date, the Parties shall cooperate in good faith to reschedule the Event to a mutually agreeable alternative date within [NUMBER] months of the originally scheduled date.
If the Photographer is available on the rescheduled date, the Retainer and any other sums paid shall be applied to the rescheduled Event without additional rescheduling fees, provided that any out-of-pocket costs reasonably incurred by the Photographer in connection with the original date shall be reimbursed by the Clients.
If the Photographer is not available on the rescheduled date, the Photographer shall use commercially reasonable efforts to arrange for a Replacement Photographer in accordance with Section 9. If no Replacement Photographer can be arranged, the Clients may elect either to select an alternative date on which the Photographer is available or to terminate this Agreement, in which event the Retainer shall be retained by the Photographer in consideration for the opportunity costs incurred.
Neither Party shall be liable to the other for any failure or delay in performance under this Agreement to the extent such failure or delay is caused by a Force Majeure Event, provided that the affected Party uses commercially reasonable efforts to mitigate the effects of the Force Majeure Event and to resume performance as soon as reasonably practicable.
The provisions of this Section 11 shall not relieve either Party of any payment obligation that accrued prior to the Force Majeure Event, nor shall they excuse any obligation that is not actually prevented by the Force Majeure Event.
Representations and Warranties
Each Party represents and warrants to the other that: (a) it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement does not and will not violate any agreement or obligation to which it is a party or by which it is bound; and (c) it shall perform its obligations hereunder in compliance with all applicable laws, rules, and regulations.
The Photographer represents and warrants that he, she, or it possesses the professional skill, experience, equipment, and expertise necessary to perform the Services in a competent and workmanlike manner, consistent with the standards of the professional wedding photography industry in the United States.
The Photographer further represents and warrants that he, she, or it maintains, or will maintain prior to the Event, such insurance coverage as is customary for professional wedding photographers operating in the United States, including general liability insurance in such amounts as are commercially reasonable.
The Clients represent and warrant that they have the authority to engage the Photographer to perform the Services, including the authority to grant access to all venues at which the Services are to be rendered, and that they shall obtain any permissions, licenses, or consents required from venue operators, religious officiants, or other third parties.
The Clients represent and warrant that they shall provide the Photographer with accurate and complete information regarding the Event, including dates, times, locations, participants, and any special requirements, and shall promptly notify the Photographer of any material changes thereto.
Except as expressly set forth in this Agreement, the Photographer makes no other representations or warranties, express or implied, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, all of which are hereby expressly disclaimed to the maximum extent permitted by applicable law.
Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PHOTOGRAPHER'S TOTAL LIABILITY TO THE CLIENTS ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEE ACTUALLY PAID BY THE CLIENTS TO THE PHOTOGRAPHER HEREUNDER.
IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF ENJOYMENT, OR EMOTIONAL DISTRESS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The limitations set forth in this Section 13 shall not apply to: (a) the Photographer's gross negligence or willful misconduct; (b) either Party's indemnification obligations under this Section 13; or (c) any liability that cannot be limited or excluded under applicable law.
The Clients shall indemnify, defend, and hold harmless the Photographer and his, her, or its officers, directors, employees, agents, Second Photographers, and assistants (collectively, the "Photographer Indemnified Parties") from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) the Clients' breach of this Agreement; (ii) the acts or omissions of the Clients, their guests, family members, or other vendors; (iii) any injury to persons or damage to property occurring at the Event; and (iv) any venue restrictions or third-party claims arising from the performance of the Services at the Clients' direction.
The Photographer shall indemnify, defend, and hold harmless the Clients from and against any claims by third parties arising out of the Photographer's gross negligence or willful misconduct in the performance of the Services, or any claim that the Delivered Images, as created by the Photographer and apart from any content supplied by the Clients, infringe the intellectual property rights of a third party.
The Clients acknowledge that the Photographer cannot guarantee the capture of any specific moment or image during the Event, and that the Photographer shall not be liable for the failure to capture any particular image resulting from the dynamic nature of the Event, obstruction by guests or other vendors, or similar circumstances beyond the Photographer's reasonable control.
The indemnifying Party's obligations under this Section 13 are conditioned upon the indemnified Party providing prompt written notice of any claim, granting the indemnifying Party sole control of the defense and settlement thereof (provided that no settlement imposing non-monetary obligations on the indemnified Party shall be made without such Party's consent), and providing reasonable cooperation at the indemnifying Party's expense.
Model Release and Use of Images for Promotion
The Clients hereby grant to the Photographer the perpetual, worldwide, royalty-free right and license to use, reproduce, display, distribute, and publish the Images in which the Clients appear, for the Photographer's professional and promotional purposes, including, without limitation, display on the Photographer's website, social media accounts, portfolio, blog, printed marketing materials, competition entries, publications, and studio displays.
The Clients further authorize the Photographer to use their first names in connection with the display of Images in any promotional context, provided that the Photographer shall not disclose the Clients' last names, home addresses, telephone numbers, or other personally identifying information without the Clients' prior written consent.
The Clients shall use commercially reasonable efforts to obtain any necessary consents from members of the wedding party, family members, and other principal participants in the Event for the capture, use, and display of their likenesses in the manner contemplated by this Agreement. The Photographer shall not be responsible for securing such consents.
Should any individual appearing in the Images object to the Photographer's use of a particular Image for promotional purposes and so notify the Photographer in writing, the Photographer shall, within a reasonable period, discontinue the promotional use of the specific Image containing such individual, provided that the Photographer shall have no obligation to retrieve or alter copies of such Image previously disseminated.
The Clients may, by written notice to the Photographer within [NUMBER] days of delivery of the Delivered Images, designate specific Delivered Images that the Clients wish the Photographer not to use for promotional purposes. The Photographer shall endeavor in good faith to honor such designations, provided that reasonable limits on the number of excluded Images may apply.
Nothing in this Section 14 shall be construed as granting the Photographer any right to use the Images in any manner that would be defamatory, obscene, or otherwise harmful to the reputation of the Clients.
Confidentiality and Privacy
Each Party shall treat as confidential any non-public information disclosed by the other Party in connection with this Agreement, including, without limitation, personal contact information, financial information, and details regarding the Event not generally known to the public, and shall not disclose such information to any third party except as necessary to perform this Agreement or as required by law.
The Photographer shall handle all personal data of the Clients in accordance with applicable privacy laws and the Photographer's privacy practices. The Photographer shall not sell, rent, or otherwise commercially exploit the Clients' personal contact information.
The Clients acknowledge that the Photographer may collect, store, and process personal information relating to the Clients and persons appearing in the Images for purposes of performing this Agreement, maintaining business records, and providing the Services and ancillary services.
The Photographer shall implement reasonable technical and organizational measures to protect the Clients' personal information and the Images from unauthorized access, alteration, disclosure, or destruction.
The confidentiality obligations set forth in this Section 15 shall survive the termination or expiration of this Agreement for a period of [NUMBER] years, provided that the Photographer's rights to use Images for promotional purposes as set forth in Section 14 shall continue in accordance with the terms thereof.
Neither Party shall make any public statement, press release, or other disclosure disparaging the other Party or impugning the other Party's reputation, whether during the term of this Agreement or thereafter.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of [GOVERNING STATE], United States of America, without regard to its conflict of laws principles.
The Parties shall attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to this Agreement (each a "Dispute") through informal negotiation. Either Party may initiate such negotiation by providing written notice to the other Party describing the Dispute in reasonable detail.
If the Parties are unable to resolve a Dispute through informal negotiation within [NUMBER] days following written notice thereof, the Parties agree to submit the Dispute to non-binding mediation administered by a mutually agreed-upon mediator in [CITY, STATE]. The costs of mediation shall be shared equally by the Parties, each Party bearing its own attorneys' fees.
If mediation does not resolve the Dispute within [NUMBER] days of commencement, either Party may commence legal proceedings in the state or federal courts located in [COUNTY, STATE], and the Parties hereby irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to venue therein.
Each Party hereby waives its right to a trial by jury in any action or proceeding arising out of or relating to this Agreement, to the maximum extent permitted by applicable law.
In the event of any legal proceeding arising out of or relating to this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, in addition to any other relief to which such Party may be entitled.
Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first complying with the informal negotiation and mediation requirements set forth above.
Miscellaneous Provisions
This Agreement, together with any written amendments executed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written, relating thereto.
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a writing signed by both Parties. No waiver of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable, or if such modification is not possible, severed from this Agreement, and the remaining provisions shall continue in full force and effect.
Neither Party may assign or transfer this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party, except that the Photographer may, without such consent, engage a Replacement Photographer or Second Photographer as expressly contemplated herein.
This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, personal representatives, successors, and permitted assigns. Nothing herein shall be construed as creating any third-party beneficiary rights.
All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by email with confirmation of receipt, or sent by nationally recognized overnight courier to the addresses set forth above or such other addresses as the Parties may designate in writing.
The relationship of the Parties is that of independent contractors. Nothing in this Agreement shall be construed as creating any partnership, joint venture, agency, employment, or fiduciary relationship between the Parties.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means (including by scanned PDF or electronic signature platform) shall be deemed to have the same legal effect as original signatures.
The provisions of this Agreement that by their nature are intended to survive termination or expiration, including, without limitation, Sections 6, 13, 14, 15, 16, and 17, shall so survive.
IN WITNESS WHEREOF, the Parties have executed this Wedding Photography Contract as of the Effective Date first above written.
