    6. "Photographs" shall mean each and every photographic image, whether in digital or any other form, captured by the Photographer in the course of performing its obligations hereunder.

    7. "Fees" shall mean the aggregate consideration payable by the Client to the Photographer for the services rendered pursuant to this Agreement, inclusive of the Deposit.

    8. "Deposit" shall mean the non-refundable sum payable by the Client to the Photographer upon execution hereof in order to secure the Photographer's availability on the date of the Event.

    9. In this Agreement, words importing the singular shall include the plural and vice versa; words importing any gender shall include all genders; references to persons shall include natural and juridical persons; and headings are inserted for convenience only and shall not affect the construction hereof.

  2. Engagement of Services

    1. The Client hereby engages the Photographer, and the Photographer hereby accepts such engagement, to perform the Photo Shoot and to provide the photographic services described herein upon the terms and subject to the conditions set out in this Agreement.

    2. The Photographer shall render its services as an independent contractor and nothing herein contained shall be construed as creating any relationship of employment, partnership, joint venture, agency or fiduciary character between the Parties.

    3. The Photographer reserves the right to engage second shooters, assistants, apprentices or other personnel to assist in the performance of its obligations hereunder, and the Client acknowledges and consents to the attendance of such personnel at the Event.

    4. The Photographer retains full and exclusive artistic discretion over the manner, style, composition, lighting, posing, selection and post-production processing of the Photographs, which shall be exercised in a manner consistent with the Photographer's established professional portfolio and aesthetic.

    5. The engagement is personal to the Photographer's business and the Client shall not be entitled to assign, transfer or otherwise deal with the benefit of this Agreement without the prior written consent of the Photographer.

    6. The Photographer makes no representation or warranty that any specific moment, person, item or occurrence at the Event shall be captured, it being acknowledged that photographic coverage is inherently selective and dependent upon prevailing conditions.

  3. Delivery of Photographs

    1. The Photographer shall deliver the Deliverables to the Client within [Number] weeks from the date of the Event, such period being an estimate and not of the essence of this Agreement.

    2. The Deliverables shall be furnished in high-resolution digital format via online gallery, download link or such other electronic means as the Photographer may elect, and the Client shall be solely responsible for timely downloading, backing up and storing the same.

    3. The Photographer shall retain copies of the delivered Deliverables for a minimum period of [Number] months following delivery, after which the Photographer shall be entitled, but not obliged, to delete all files relating to the Photo Shoot without further notice to the Client.

    4. The Client acknowledges that the number of final Deliverables shall be determined by the Photographer in its sole professional discretion, having regard to the quality, usability and artistic merit of the exposures captured, and no minimum or maximum quantity is warranted save as expressly stated as [Number] photographs.

    5. Raw, unedited or rejected files shall not form part of the Deliverables and shall under no circumstances be released, licensed or made available to the Client, such files remaining the sole and exclusive property of the Photographer.

    6. Any request by the Client for expedited delivery, additional editing, retouching, printing or supplementary services beyond those expressly provided for herein shall be subject to a separate written agreement and the payment of additional fees at the Photographer's then-prevailing rates.

    7. Risk of loss or corruption of the Deliverables shall pass to the Client upon first making available of the online gallery or delivery link, and the Photographer shall bear no liability for the Client's failure to retrieve, download or preserve the Deliverables within the retention period aforesaid.

  4. Scope of the Photo Shoot

    1. The Photo Shoot shall consist of professional photographic coverage of the Event in such style, manner and format as the Photographer customarily provides for engagements of a similar nature, including without limitation [description of coverage: ceremony, reception, portraits, candid photography, etc.].

    2. The scope of the Photo Shoot shall include [Number] hours of continuous on-site photographic coverage, together with associated pre-shoot preparation and post-production editing as the Photographer in its professional judgment considers appropriate.

    3. Any services, items or deliverables not expressly enumerated in this section shall be deemed excluded from the scope of the Photo Shoot and shall, if subsequently requested, be chargeable as additional services at rates to be mutually agreed in writing.

    4. The Client acknowledges that videography, aerial drone footage, printed albums, framed prints, physical media, second-day coverage and travel beyond the agreed location are not comprised within the scope hereof unless expressly stated in writing.

    5. Should the Client wish to vary the scope of the Photo Shoot, such variation shall be effective only if reduced to writing and signed by both Parties, and the Photographer reserves the right to adjust the Fees and timelines accordingly.

    6. The Photographer shall be entitled to decline any request that would, in its reasonable opinion, be unsafe, unlawful, contrary to professional standards, or incompatible with its artistic integrity.

  5. Date, Location and Duration

    1. The Event shall take place on [Date], commencing at [Start Time] and concluding at [End Time], at the following location: [Full Address of Venue] (the "Venue").

    2. Should the Event comprise multiple locations, each such location shall be identified herein as follows: [Additional Locations], and travel time between locations shall count towards the hours of coverage.

    3. The Photographer shall arrive at the Venue a reasonable time in advance of the agreed commencement in order to prepare equipment and shall depart upon the expiry of the agreed hours or completion of the agreed coverage, whichever first occurs.

    4. Overtime coverage, if requested by the Client at the Event and agreed by the Photographer in its discretion, shall be billed at the rate of [Currency][Amount] per hour or part thereof, payable within [Number] days of invoice.

    5. Any travel beyond [Number] kilometres from the Photographer's principal place of business, and any associated expenses including accommodation, meals, parking, tolls and transportation, shall be borne by the Client and are not included in the Fees unless expressly stated.

    6. Where the Venue is situated in a location requiring overnight accommodation, the Client shall arrange and pay for suitable lodging for the Photographer and any accompanying personnel, failing which the Photographer may invoice the Client for the reasonable cost thereof.

    7. The Client shall promptly notify the Photographer in writing of any change to the date, time or location of the Event, and any such change shall be subject to the Photographer's availability and the rescheduling provisions set forth hereinafter.

  6. Photographer's Obligations

    1. The Photographer shall perform the Photo Shoot with reasonable skill, care and diligence consonant with the standards of the professional photography industry.

    2. The Photographer shall supply all photographic equipment, cameras, lenses, lighting apparatus, memory cards and other technical means reasonably necessary for the proper execution of the Photo Shoot.

    3. The Photographer shall maintain backup equipment of a comparable standard and, in the event of equipment failure, shall use reasonable endeavours to continue coverage without interruption.

    4. The Photographer shall edit, process and curate the Photographs in accordance with its customary professional style and shall deliver the Deliverables within the timeframe prescribed herein, subject to the operation of any force majeure event.

    5. The Photographer shall conduct itself at the Event in a professional, courteous and unobtrusive manner, and shall endeavour to comply with any reasonable restrictions imposed by the Venue, officiants or other authorities present.

    6. The Photographer shall maintain in force appropriate professional indemnity and public liability insurance in such amounts as it considers prudent, the particulars of which may be made available to the Client upon reasonable written request.

    7. The Photographer's obligations hereunder are subject to and conditional upon the Client's full and timely performance of its own obligations under this Agreement, including without limitation the payment of all sums due.

  7. Fees, Deposit and Payment Terms

    1. In consideration of the services to be rendered hereunder, the Client shall pay to the Photographer the aggregate sum of [Currency][Amount] (the "Fees"), exclusive of any applicable taxes, duties or levies, which shall be borne by the Client.

    2. The Client shall pay a non-refundable deposit in the sum of [Currency][Amount], representing [Percentage]% of the Fees, upon execution of this Agreement (the "Deposit"), and this Agreement shall not become effective until the Deposit has been received in cleared funds.

    3. The balance of the Fees, being [Currency][Amount], shall be paid by the Client to the Photographer no later than [Number] days prior to the date of the Event, time being of the essence in respect of such payment.

    4. The Deposit is non-refundable in any and all circumstances whatsoever, including without limitation cancellation, postponement, non-attendance, or termination of this Agreement for any reason other than material breach by the Photographer, and shall be retained by the Photographer as liquidated damages in respect of the reservation of the date and the opportunity cost of foregone bookings.

    5. All payments shall be made in [Currency] by bank transfer to such account as the Photographer may designate in writing, or by such other method as the Photographer may from time to time accept, and shall be made without any deduction, set-off, counterclaim or withholding whatsoever.

    6. Any sum not paid when due shall bear interest at the rate of [Percentage]% per month, or the maximum rate permitted by applicable law if lower, calculated from the due date until the date of actual payment, both before and after any judgment.

    7. In the event that any payment remains outstanding on the date of the Event, the Photographer shall be entitled, at its sole discretion and without prejudice to any other right or remedy, to decline to attend the Event or to withhold delivery of the Deliverables until payment in full is received.

    8. Any additional services, overtime, travel expenses or ancillary charges shall be invoiced separately and shall be payable within [Number] days of the date of invoice.

  8. Usage Rights and Licence

    1. Subject to full payment of the Fees and compliance with the terms of this Agreement, the Photographer hereby grants to the Client a non-exclusive, non-transferable, non-sublicensable, royalty-free licence to use, reproduce and display the Deliverables solely for the Client's personal, private and non-commercial purposes (the "Licence").

    2. The Licence shall permit the Client to make personal prints, to display the Deliverables within the Client's private residence, to share the Deliverables with family and friends via personal social media accounts (with photographic credit to the Photographer), and to produce personal photographic albums for private use.

    3. The Licence shall expressly exclude any commercial, promotional, advertising, editorial, competitive or business use whatsoever, and the Client shall not sell, licence, sub-licence, assign, rent, lease or otherwise commercially exploit the Deliverables in any manner.

    4. The Client shall not submit the Deliverables to any photographic contest, publication, magazine, exhibition or third-party platform without the prior written consent of the Photographer.

    5. The Client shall not crop, edit, alter, filter, overlay, manipulate or create derivative works of the Deliverables without the prior written consent of the Photographer, save for incidental resizing or format conversion required for personal display.

    6. Where the Client shares the Deliverables on social media or similar platforms, the Client shall, where reasonably practicable, credit the Photographer by name and tag the Photographer's professional accounts.

    7. The Licence is personal to the Client and shall not extend to any third party, including without limitation the venue, officiants, suppliers, vendors or guests, save that the Client may provide copies to immediate family members for their personal use only.

    8. Any breach of the terms of the Licence shall entitle the Photographer to terminate the same forthwith and to pursue all available legal and equitable remedies, including without limitation injunctive relief and damages.

  9. Client's Obligations and Cooperation

    1. The Client shall provide the Photographer with all information reasonably necessary for the proper planning and execution of the Photo Shoot, including without limitation the schedule of the Event, contact details of key participants, venue details and any special requirements.

    2. The Client shall ensure that the Photographer has unimpeded access to the Venue, to all areas required for the proper execution of the Photo Shoot, and to all persons whose photographs are to be taken.

    3. The Client shall be responsible for obtaining all permissions, licences, consents and authorisations required from the Venue, officiants, authorities or any third party for the taking of photographs, and shall indemnify the Photographer against any claim arising from the absence or inadequacy of the same.

    4. The Client shall ensure that suitable conditions prevail at the Venue, including adequate lighting, space and safety, and shall inform the Photographer in advance of any restriction on flash photography, movement or positioning.

    5. The Client shall provide reasonable refreshment, including meals and non-alcoholic beverages, to the Photographer and any accompanying personnel where the duration of coverage exceeds [Number] hours.

    6. The Client shall cooperate with the Photographer in good faith, shall respect the Photographer's artistic direction, and shall use reasonable endeavours to ensure that guests and participants do likewise.

    7. The Client shall nominate one representative to liaise with the Photographer during the Event and to make any decisions required on the Client's behalf.

    8. The Client shall notify the Photographer in writing, as soon as reasonably practicable, of any change in circumstances that may affect the Photo Shoot.

  10. Intellectual Property and Copyright

    1. The Photographer shall be and remain the sole and exclusive owner of all right, title and interest, including copyright and all other intellectual property rights, in and to all Photographs, Deliverables, raw files, outtakes and derivative works arising from the Photo Shoot, in perpetuity and throughout the universe.

    2. Nothing in this Agreement shall be construed as a transfer, assignment or waiver of the Photographer's copyright or moral rights, which are expressly reserved.

    3. The Photographer shall be entitled to use, reproduce, display, publish, distribute, exhibit and otherwise exploit the Photographs for any lawful purpose, including without limitation self-promotion, marketing, portfolio, website, social media, competitions, exhibitions, print publications and editorial submissions, without further consent of or payment to the Client.

    4. The Client hereby grants to the Photographer an irrevocable, perpetual, worldwide, royalty-free licence to use the Client's name, likeness and image as appearing in the Photographs for the purposes set out in the preceding clause.

    5. The Client shall not remove, obscure or alter any copyright notice, watermark, signature or other proprietary marking affixed to or associated with the Photographs or Deliverables.

    6. Any infringement of the Photographer's intellectual property rights by the Client, or by any third party as a consequence of the Client's act or omission, shall constitute a material breach of this Agreement and shall entitle the Photographer to pursue all available legal and equitable remedies.

    7. The Client acknowledges that any unauthorised commercial use of the Deliverables shall render the Client liable to the Photographer for damages equal to the Photographer's commercial licensing rate for such use, together with all legal costs incurred in enforcement.

  11. Cancellation and Rescheduling

    1. In the event of cancellation of the Photo Shoot by the Client for any reason whatsoever, the Deposit shall be forfeited to the Photographer and shall be retained in full as liquidated damages, and no further fee or compensation shall be due from the Client in respect of such cancellation, save for any sums already invoiced in respect of services actually rendered or expenses actually incurred.

    2. Where cancellation occurs after payment of the balance of the Fees but prior to the Event, the Photographer shall refund the balance less the Deposit and less any non-recoverable expenses already committed on behalf of the Client.

    3. Cancellation shall be effective only upon receipt by the Photographer of written notice from the Client, which may be given by electronic mail to the address designated for such purpose.

    4. The Client may request to reschedule the Event to an alternative date, subject to the Photographer's availability, and any such request shall be made in writing at the earliest reasonable opportunity.

    5. Rescheduling shall be permitted on one occasion only without additional charge, provided that the new date falls within [Number] months of the originally scheduled date and that the Photographer is available on such date; otherwise, the request shall be treated as a cancellation.

    6. In the event that the Photographer is available for a rescheduled date, all sums already paid shall be applied towards the rescheduled Event, save that the Photographer reserves the right to adjust the Fees to reflect any change in its then-current rates.

    7. In the event of cancellation by the Photographer other than by reason of force majeure or material breach by the Client, the Photographer shall refund all sums paid by the Client, including the Deposit, and shall use reasonable endeavours to recommend a suitable alternative photographer, but shall otherwise bear no further liability to the Client.

  12. Force Majeure

    1. Neither Party shall be liable to the other for any failure or delay in the performance of its obligations hereunder to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, extreme weather, fire, flood, earthquake, pandemic, epidemic, government action, civil disturbance, terrorism, war, strike, lockout, transportation failure, serious illness or injury, bereavement or equipment failure not attributable to the fault of the affected Party ("Force Majeure").

    2. The Party affected by a Force Majeure event shall notify the other Party in writing as soon as reasonably practicable, specifying the nature and expected duration of the event.

    3. Upon the occurrence of a Force Majeure event affecting the Photographer, the Parties shall use reasonable endeavours to agree a rescheduled date, and the provisions of this Agreement shall apply mutatis mutandis to such rescheduled Event.

    4. Where no rescheduled date can reasonably be agreed within [Number] months, either Party may terminate this Agreement by written notice, in which case the Photographer shall refund to the Client all sums paid, less the Deposit and less any non-recoverable expenses already incurred.

    5. Where the Photographer is prevented by Force Majeure from attending the Event personally, the Photographer shall use reasonable endeavours to arrange a suitably qualified substitute photographer at no additional cost to the Client, subject to availability.

    6. Neither Party shall be liable to the other for any consequential, indirect or incidental loss or damage arising from a Force Majeure event.

  13. Limitation of Liability and Indemnity

    1. The Photographer's total aggregate liability to the Client, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, in connection with this Agreement, shall not in any circumstances exceed the total amount of Fees actually paid by the Client to the Photographer hereunder.

    2. In no event shall the Photographer be liable to the Client for any indirect, incidental, consequential, special, exemplary or punitive damages, including without limitation loss of profit, loss of enjoyment, loss of opportunity, loss of goodwill or emotional distress, howsoever arising.

    3. In the event of any technical failure, loss, corruption or destruction of Photographs or Deliverables prior to delivery, whether by reason of equipment failure, software error, media corruption, theft, damage or otherwise, the Photographer's liability shall be limited to a refund of the proportion of the Fees reasonably attributable to the lost materials, and the Client agrees that such refund shall constitute full and final settlement of all claims arising therefrom.

    4. The Photographer shall not be liable for any failure to photograph any particular person, moment, item or occurrence at the Event, nor for any limitation in the Photographs arising from conditions beyond the Photographer's reasonable control, including lighting, weather, venue restrictions, interference by guests or technical limitations.

    5. The Client shall indemnify and hold harmless the Photographer, its personnel, agents and representatives against any and all claims, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with any breach by the Client of this Agreement, any wrongful act or omission of the Client, or any claim brought by a third party in respect of the Photographs or the Photo Shoot.

    6. The Client shall be responsible for any damage caused to the Photographer's equipment by the Client, the Client's guests or persons under the Client's control at the Event, and shall indemnify the Photographer in respect of the reasonable cost of repair or replacement.

    7. Nothing in this Agreement shall operate to exclude or limit any liability that cannot lawfully be excluded or limited under applicable law.

  14. Confidentiality and Data Protection

    1. Each Party shall treat as confidential all information of a confidential nature received from the other Party in connection with this Agreement, and shall not disclose the same to any third party without the prior written consent of the other Party, save as required by law.

    2. The Photographer shall process any personal data of the Client in accordance with applicable data protection laws and the Photographer's privacy policy, a copy of which is available upon request.

    3. The Client acknowledges and consents to the Photographer's collection, processing, storage and use of the Client's personal data for the purposes of performing this Agreement, delivering the Deliverables, administering the Photographer's business and, where consent is given, marketing.

    4. The Client acknowledges that the Photographs may contain personal data of the Client and of third parties attending the Event, and that the processing of such data by the Photographer for the purposes contemplated in this Agreement is necessary for the performance of the contract and the pursuit of the Photographer's legitimate interests.

    5. The Client shall be responsible for informing guests and third parties at the Event that photography shall be undertaken, and for obtaining any consents required by applicable law for such photography.

    6. The obligations of confidentiality contained in this section shall survive the termination or expiry of this Agreement for a period of [Number] years.

    7. The Photographer shall implement reasonable technical and organisational measures to protect personal data against unauthorised access, loss or disclosure, but shall not be liable for any breach arising from circumstances beyond its reasonable control.

  15. Model Release and Image Approval

    1. The Client hereby grants to the Photographer an irrevocable, perpetual, worldwide, royalty-free consent and release to photograph the Client, to use the Client's name, image, likeness and voice as captured in the Photographs, and to use, reproduce, publish, display, distribute and exploit the Photographs for any lawful purpose, including without limitation portfolio, marketing, promotion, advertising, website, social media, print, exhibition and competition entries.

    2. The Client warrants that it has obtained, or shall obtain, equivalent consents from any person whose image is to be captured in the Photographs where such consent is required by applicable law, and shall indemnify the Photographer against any claim arising from the absence of such consent.

    3. The Client acknowledges that the Photographer's artistic discretion in the selection, editing, processing and style of the Photographs is absolute, and that no image shall be excluded from the Photographer's portfolio or promotional use solely on the ground that the Client does not consider it flattering.

    4. The Client shall have no right of prior approval, veto or editorial control over the Photographer's selection of Photographs for inclusion in the Deliverables or for the Photographer's own use.

    5. Where the Client wishes any specific image to be excluded from the Photographer's public use, the Client shall notify the Photographer in writing with particulars of the image, and the Photographer shall consider such request in good faith but shall not be obliged to accede thereto.

    6. The consents granted by the Client under this section shall survive the termination of this Agreement in perpetuity.

  16. Term and Termination

    1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Photographer's obligations hereunder and the expiry of all surviving rights and obligations.

    2. Either Party may terminate this Agreement forthwith by written notice to the other in the event that the other Party commits a material breach of this Agreement which is incapable of remedy, or which, being capable of remedy, is not remedied within [Number] days of written notice requiring its remedy.

    3. The Photographer may terminate this Agreement forthwith by written notice to the Client in the event of non-payment of any sum due hereunder by its due date, or in the event that the Client's conduct, or that of its guests or representatives, renders the performance of the Photo Shoot impracticable, unsafe or contrary to professional standards.

    4. Upon termination of this Agreement by the Photographer for any cause attributable to the Client, the Deposit and all other sums paid shall be forfeited, and the Client shall remain liable for any further sums due in respect of services already rendered or expenses already incurred.

    5. Upon termination of this Agreement by the Client for any cause other than material breach by the Photographer, the provisions of the cancellation clauses hereof shall apply.

    6. Termination of this Agreement shall be without prejudice to any rights or remedies accrued to either Party prior to termination.

    7. Those provisions of this Agreement which by their nature are intended to survive termination, including without limitation those relating to intellectual property, licence, confidentiality, limitation of liability and governing law, shall so survive.

  17. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by and construed in accordance with the laws of [Country], without regard to its conflict of laws principles.

    2. The Parties shall use their reasonable endeavours to resolve any dispute, controversy or claim arising out of or in connection with this Agreement amicably through good faith negotiations between them.

    3. In the event that any such dispute cannot be resolved by negotiation within [Number] days from the date on which written notice of the dispute is served by one Party on the other, the Parties shall endeavour in good faith to settle the dispute by mediation administered by a mutually agreed mediator.

    4. Should mediation fail to resolve the dispute within [Number] days from the appointment of the mediator, the dispute shall be finally submitted to the exclusive jurisdiction of the competent courts of [Country].

    5. Nothing in this section shall preclude either Party from seeking urgent injunctive, interim or interlocutory relief from any court of competent jurisdiction for the protection of its rights, including without limitation intellectual property rights.

    6. Each Party shall bear its own costs of any negotiation or mediation, and the costs of any proceedings shall be awarded in accordance with the applicable rules of the forum.

  18. Miscellaneous Provisions

    1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, understandings and negotiations, whether oral or written.

    2. No amendment, variation or modification of this Agreement shall be effective unless made in writing and signed by both Parties.

    3. No waiver by either Party of any breach of this Agreement shall constitute a waiver of any subsequent or other breach, and no failure or delay by either Party in exercising any right or remedy shall operate as a waiver thereof.

    4. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

    5. This Agreement is personal to the Parties and neither Party may assign, transfer, charge or otherwise deal with its rights or obligations hereunder without the prior written consent of the other Party, save that the Photographer may assign this Agreement to any successor to its business.

    6. Any notice required or permitted to be given under this Agreement shall be in writing and shall be delivered personally, sent by registered post, or sent by electronic mail to the address of the recipient Party set out in this Agreement, or to such other address as may be notified in writing from time to time.

    7. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures and signatures transmitted by electronic means shall be deemed valid and binding.

    8. Nothing in this Agreement shall confer any right upon any person who is not a Party hereto.

    9. The Parties acknowledge that they have read this Agreement, understood its terms, and had the opportunity to seek independent legal advice prior to execution.

IN WITNESS WHEREOF, the Parties hereto have executed this Photography Contract as of the Effective Date first above written.
