References herein to any statute, regulation, or governmental authority shall be deemed to include any successor or replacement thereof, and references to any Party shall include such Party's permitted successors and assigns.
Master Lease and Landlord Consent
The Subtenant hereby acknowledges having received, reviewed, and understood a true and complete copy of the Master Lease prior to the execution of this Agreement, and the Subtenant accepts and agrees to be bound by all terms, covenants, and conditions of the Master Lease to the extent applicable to the Premises and the Subtenant's occupancy thereof, save and except for the payment of rent and other sums payable thereunder by the Tenant to the Landlord, which shall remain the sole obligation of the Tenant as between the Tenant and the Landlord.
This Agreement is expressly made subject and subordinate in all respects to the Master Lease, and nothing herein contained shall be construed as modifying, waiving, or altering any of the terms, covenants, or conditions of the Master Lease, each of which shall remain in full force and effect.
The effectiveness of this Agreement is expressly conditioned upon the Landlord's prior written consent to this Sublease, to the extent such consent is required under the Master Lease or applicable law. The Tenant shall use commercially reasonable efforts to obtain such consent prior to the Commencement Date, and the Subtenant shall reasonably cooperate in connection therewith, including by providing such information and documentation as the Landlord may reasonably request.
In the event the Landlord's consent is not obtained on or before the Commencement Date, either Party may terminate this Agreement by written notice to the other, whereupon any sums paid by the Subtenant hereunder shall be promptly refunded, and neither Party shall have any further liability or obligation to the other, save for those obligations which by their nature survive termination.
The Subtenant shall not do, suffer, or permit to be done any act or thing that would constitute a default under the Master Lease or that would cause the Master Lease to be terminated, forfeited, or surrendered by reason of any right of termination or forfeiture reserved or vested in the Landlord.
If the Master Lease is terminated for any reason prior to the Expiration Date hereof, this Sublease shall likewise terminate concurrently therewith, without any liability on the part of the Tenant to the Subtenant, provided that such termination of the Master Lease was not caused by the willful misconduct or gross negligence of the Tenant.
The Tenant represents and warrants to the Subtenant that, as of the Effective Date, the Master Lease is in full force and effect, no default by the Tenant exists thereunder, and the Tenant has not received any notice of default from the Landlord that remains uncured.
Demise of Premises
Subject to and upon the terms, covenants, and conditions herein set forth, the Tenant does hereby demise, let, and sublease unto the Subtenant, and the Subtenant does hereby hire, take, and accept from the Tenant, the entirety of the Premises for the Term and for the Rent hereinafter specified.
The Subtenant shall have exclusive right of use and occupancy of the Premises during the Term, together with the non-exclusive right to use, in common with others entitled thereto, all common areas, facilities, and appurtenances serving the Premises as provided under the Master Lease.
The demise hereunder includes any furniture, appliances, equipment, and personal property of the Tenant located within the Premises as of the Commencement Date, an inventory of which, if any, shall be mutually acknowledged in writing by the Parties contemporaneously with the delivery of possession.
The Tenant reserves no right to occupy, enter, or use the Premises during the Term, except upon reasonable prior written notice to the Subtenant (and except in cases of emergency), and only for purposes of inspection, performance of repairs required or permitted hereunder or under the Master Lease, or showing the Premises to prospective tenants during the final [30/60] days of the Term.
The Subtenant acknowledges that no easement for light, air, or view is granted hereunder, and that any such obstruction occurring during the Term shall not affect this Sublease nor impose any liability upon the Tenant.
Term of Sublease
The term of this Sublease (the "Term") shall commence on [Commencement Date] (the "Commencement Date") and, unless sooner terminated in accordance with the provisions hereof, shall expire at 11:59 p.m. local time on [Expiration Date] (the "Expiration Date"), without the necessity of any notice from either Party to the other.
In no event shall the Expiration Date hereof extend beyond the expiration or earlier termination date of the Master Lease, and in the event of any discrepancy, the Expiration Date shall be deemed automatically adjusted to the day immediately preceding the expiration or termination of the Master Lease.
If the Tenant is unable to deliver possession of the Premises to the Subtenant on the Commencement Date for any reason beyond the Tenant's reasonable control, the Commencement Date shall be deferred until such date as possession is tendered, and the Rent shall be abated on a pro rata daily basis for the period of such delay; provided, however, that if such delay exceeds [number] days, the Subtenant may terminate this Agreement upon written notice to the Tenant and receive a full refund of all sums paid hereunder.
This Sublease shall not automatically renew upon expiration of the Term. Any continuation of occupancy by the Subtenant beyond the Expiration Date without the written consent of the Tenant (and the Landlord, where required) shall constitute a tenancy at sufferance, terminable at will, and shall subject the Subtenant to holdover rent as hereinafter provided.
The Parties may, by mutual written agreement executed prior to the Expiration Date and subject to the Landlord's written consent, extend the Term upon such terms and conditions as the Parties may then agree.
If the Subtenant remains in possession of the Premises beyond the Expiration Date without written consent, the Subtenant shall pay to the Tenant, as liquidated damages for such unauthorized holding over, a daily rate equal to one hundred fifty percent (150%) of the daily equivalent of the Rent then in effect, and shall further indemnify the Tenant against any and all claims, damages, and liabilities arising from such holdover, including any claims asserted by the Landlord.
Rent
The Subtenant covenants and agrees to pay to the Tenant, as rent for the Premises, the sum of [Monthly Rent Amount in Dollars] ($[amount]) per calendar month (the "Rent"), payable in advance on or before the [first] day of each and every calendar month during the Term, without demand, deduction, offset, or counterclaim of any kind whatsoever, except as expressly permitted herein.
Rent for any partial calendar month at the commencement or expiration of the Term shall be prorated based upon the actual number of days in the applicable month.
Rent shall be payable in lawful money of the United States of America by [check / electronic transfer / ACH / other method] to the Tenant at the address designated for notices hereunder, or to such other address or by such other method as the Tenant may from time to time designate in writing.
If any installment of Rent is not received by the Tenant within [five (5)] days after the date due, the Subtenant shall pay to the Tenant a late charge equal to [five percent (5%)] of the overdue installment, or [$amount], whichever is greater, as reasonable compensation for the administrative costs occasioned by such late payment, which late charge shall not be deemed a waiver of the Tenant's right to declare a default hereunder.
Any sum of money payable by the Subtenant to the Tenant hereunder which is not paid when due shall bear interest from the due date until paid at the rate of [ten percent (10%)] per annum, or the maximum rate permitted by applicable law, whichever is lesser.
All payments received from the Subtenant shall be applied first to accrued late charges and interest, then to any outstanding charges other than Rent, and finally to Rent, notwithstanding any designation or endorsement to the contrary.
The Subtenant's covenant to pay Rent is independent of every other covenant contained in this Agreement, and the Subtenant's obligation to pay Rent shall not be excused, abated, or diminished by reason of any claim, dispute, or alleged breach by the Tenant, except as expressly provided herein or as mandated by applicable law.
Security Deposit
Upon execution of this Agreement, the Subtenant shall deposit with the Tenant the sum of [Security Deposit Amount in Dollars] ($[amount]) (the "Security Deposit"), as security for the faithful performance and observance by the Subtenant of each and every term, covenant, and condition of this Sublease.
The Security Deposit shall be held by the Tenant in accordance with applicable law of the state in which the Premises are located, and shall not be deemed an advance payment of Rent or a measure of the Tenant's damages in the event of a default by the Subtenant.
In the event the Subtenant defaults in the performance of any of the terms, covenants, or conditions of this Sublease, including the payment of Rent, the Tenant may, but shall not be obligated to, apply or retain the whole or any part of the Security Deposit to the extent required for the payment of any Rent or other sum as to which the Subtenant is in default, or for any sum which the Tenant may expend or be required to expend by reason of the Subtenant's default, including any damages or deficiency.
Within such time period as is required by applicable law (and in no event later than [thirty (30) / forty-five (45)] days) following the expiration or earlier termination of the Term and the Subtenant's surrender of the Premises in accordance herewith, the Tenant shall return to the Subtenant the Security Deposit, or the balance thereof after lawful deductions, together with an itemized written statement of any deductions made therefrom.
The Subtenant shall not have the right to apply the Security Deposit to any installment of Rent or other sum due hereunder, and the existence of the Security Deposit shall not relieve the Subtenant of the obligation to pay Rent and other charges when due.
In the event any portion of the Security Deposit is applied by the Tenant during the Term, the Subtenant shall, within [ten (10)] days following written demand, deposit with the Tenant such additional sum as may be necessary to restore the Security Deposit to its original amount.
Utilities and Recurring Charges
The Subtenant shall be solely responsible for, and shall pay directly to the applicable service providers, all charges for utilities and recurring services furnished to or consumed at the Premises during the Term, including, without limitation, electricity, gas, water, sewer, trash and recycling collection, telephone, cable television, internet, and any other similar services.
The Subtenant shall, where applicable, promptly cause all such utility accounts to be transferred into the Subtenant's name as of the Commencement Date, and shall maintain such accounts in good standing throughout the Term.
Upon expiration or earlier termination of this Sublease, the Subtenant shall cause all utility accounts to be properly closed or transferred, and shall pay all final bills attributable to the Subtenant's period of occupancy.
The Tenant makes no representation or warranty concerning the adequacy, quality, or continuity of any utility service, and shall not be liable to the Subtenant for any interruption, curtailment, or failure of such services, except to the extent caused by the Tenant's willful misconduct or gross negligence.
In the event any utility or service cannot be separately metered or billed to the Subtenant, the Parties shall allocate such charges in a reasonable and equitable manner, which allocation shall be set forth in writing and signed by both Parties.
The Subtenant shall also be responsible for any other recurring charges associated with occupancy of the Premises that are not expressly included within the Rent, including, without limitation, charges for pest control, landscaping (if applicable), and any association, amenity, or parking fees payable in respect of the Subtenant's use.
Any charges or assessments payable to a homeowners' association, condominium association, or similar body in respect of the Premises shall remain the responsibility of the Tenant, unless expressly agreed otherwise in writing, provided the Subtenant complies with all rules and regulations of such association.
Use and Occupancy of the Premises
The Subtenant shall use and occupy the Premises solely for residential purposes as a private dwelling for the Subtenant and the Subtenant's immediate family or household members identified herein, and for no other purpose whatsoever, without the prior written consent of the Tenant and the Landlord.
The maximum number of persons permitted to reside at the Premises shall be [number], and the names of all authorized occupants shall be listed as follows: [names of occupants]. No other persons shall occupy the Premises on a permanent or extended basis without the prior written consent of the Tenant.
The Subtenant shall not use or permit the Premises to be used for any unlawful, immoral, or hazardous purpose, nor for any purpose that would violate the Master Lease, any applicable zoning or land use ordinance, any insurance policy covering the Premises, or any rules or regulations of any governmental authority or homeowners' association.
The Subtenant shall not commit, suffer, or permit any waste, nuisance, or annoyance in, on, or about the Premises, nor shall the Subtenant interfere with the quiet enjoyment of neighboring residents.
The keeping of pets or animals of any kind at the Premises is [permitted / prohibited], except as follows: [description of permitted pets, if any]. In the event pets are permitted, the Subtenant shall comply with all rules, regulations, and requirements imposed by the Landlord or any applicable association, and shall be fully responsible for any damage caused by such pets.
Smoking of any substance, including tobacco and cannabis, is [permitted / prohibited] within the interior of the Premises. The Subtenant shall comply with all applicable laws concerning the use, possession, and cultivation of any controlled substances.
The Subtenant shall not conduct any business, trade, or commercial activity at the Premises, except for incidental home office use that does not involve regular visits by clients or customers, does not violate zoning laws, and does not increase insurance premiums or risk.
Condition of the Premises
The Subtenant acknowledges that, prior to taking possession, the Subtenant has had the opportunity to inspect the Premises and accepts the Premises in its "AS IS, WHERE IS" condition as of the Commencement Date, subject only to such latent defects as may render the Premises uninhabitable and of which the Tenant has actual knowledge but has failed to disclose.
The Tenant represents, to the best of the Tenant's actual knowledge, that as of the Commencement Date the Premises are in a condition fit for residential occupancy, and comply in all material respects with applicable building, housing, and health codes.
Promptly following the Commencement Date, the Parties shall jointly conduct a walk-through inspection of the Premises and shall document in writing the condition of the Premises, including any existing damage or deficiencies, which written record shall be signed by both Parties and shall serve as the baseline for determining the Subtenant's responsibility upon surrender.
The Subtenant shall promptly notify the Tenant in writing of any defective condition, needed repair, or safety concern discovered during the Term.
The Tenant makes no warranty, express or implied, regarding the fitness of the Premises for any particular use beyond ordinary residential occupancy, and all warranties implied by law are hereby disclaimed to the fullest extent permitted by applicable law, except for any non-waivable warranty of habitability.
Maintenance, Repairs, and Alterations
The Subtenant shall, at all times during the Term, keep and maintain the Premises in a clean, safe, sanitary, and good condition and repair, reasonable wear and tear and damage by casualty excepted, and shall promptly make all minor repairs necessitated by the Subtenant's use.
The Subtenant shall be responsible for the cost of all repairs to the Premises necessitated by the negligence, misuse, or willful misconduct of the Subtenant, the Subtenant's family, guests, invitees, or agents, including, without limitation, repairs to appliances, fixtures, walls, flooring, and plumbing.
All structural repairs, major system repairs (including heating, ventilation, air conditioning, plumbing, and electrical systems), and repairs that are the Landlord's obligation under the Master Lease shall remain the responsibility of the Landlord or the Tenant, as applicable, and the Subtenant shall not be required to undertake the same.
The Subtenant shall not make any alterations, additions, or improvements to the Premises, nor install any fixtures, appliances, or equipment of a permanent nature, without the prior written consent of the Tenant and, where required, the Landlord. Any permitted alterations shall be performed at the Subtenant's sole cost and expense, in a good and workmanlike manner, and in compliance with all applicable laws.
All alterations, additions, and improvements made to the Premises shall, at the option of the Tenant or the Landlord, become the property of the Landlord upon installation and shall remain upon the Premises at the expiration or earlier termination of the Term, or shall be removed by the Subtenant at the Subtenant's cost, with the Premises restored to its original condition.
The Subtenant shall not paint, wallpaper, or otherwise materially alter the appearance of the Premises without the prior written consent of the Tenant.
The Subtenant shall not place or permit any lien to be filed against the Premises or any part thereof, and shall indemnify the Tenant and the Landlord against any such lien arising from the Subtenant's actions or inactions.
Subtenant Covenants and Obligations
The Subtenant covenants and agrees to perform and observe all terms, covenants, and conditions of the Master Lease applicable to the Premises during the Term, with the same force and effect as though the Subtenant were the tenant thereunder, except for the payment of base rent and other sums expressly payable by the Tenant to the Landlord.
The Subtenant shall comply with all applicable federal, state, and local laws, ordinances, rules, and regulations, including, without limitation, those pertaining to health, safety, environmental protection, and fair housing, in connection with the use and occupancy of the Premises.
The Subtenant shall comply with all reasonable rules and regulations promulgated by the Landlord and by any applicable homeowners' association, condominium association, or similar governing body, as the same may be amended from time to time.
The Subtenant shall not do, suffer, or permit anything to be done on or about the Premises that would increase the premiums for, or invalidate, any insurance policy covering the Premises or the building in which the Premises are located.
The Subtenant shall promptly deliver to the Tenant copies of any notices, demands, or communications received from the Landlord, any governmental authority, or any association concerning the Premises or the Subtenant's occupancy thereof.
The Subtenant shall permit the Tenant and the Landlord (and their respective agents and representatives) to enter the Premises upon reasonable prior notice (and without notice in case of emergency) for purposes of inspection, repair, maintenance, or showing the Premises to prospective tenants or purchasers.
The Subtenant shall not change any locks on the Premises without the prior written consent of the Tenant and shall promptly furnish the Tenant with duplicate keys to any replacement locks.
The Subtenant shall be responsible for the conduct of the Subtenant's family members, guests, invitees, and agents, and shall ensure that all such persons comply with the terms of this Sublease and the Master Lease.
Tenant's Continuing Obligations to Landlord
Notwithstanding this Sublease, the Tenant shall remain primarily liable to the Landlord for the performance of all obligations under the Master Lease, including the timely payment of all rent and other sums payable thereunder, and this Sublease shall not operate as an assignment of the Master Lease or release the Tenant from any obligation thereunder.
The Tenant shall timely pay all rent and other charges due to the Landlord under the Master Lease, and shall perform all other obligations of the tenant thereunder, so as not to cause any default thereof that could result in forfeiture or termination affecting the Subtenant's quiet enjoyment of the Premises.
The Tenant shall promptly notify the Subtenant of any notice of default, termination, or other material communication received from the Landlord that may affect the Premises or the Subtenant's rights hereunder.
In the event the Tenant intends to vacate, terminate, or materially modify the Master Lease, the Tenant shall provide the Subtenant with written notice thereof not less than [thirty (30) / sixty (60)] days in advance, to the extent reasonably practicable.
The Tenant covenants that, so long as the Subtenant is not in default hereunder, the Subtenant shall peacefully and quietly have, hold, and enjoy the Premises for the Term, free from any interference by the Tenant or any party claiming by, through, or under the Tenant.
The Tenant shall cooperate with the Subtenant in all reasonable respects in enforcing, as against the Landlord, the Landlord's obligations under the Master Lease pertaining to the Premises, including undertaking at the Subtenant's reasonable request and expense such enforcement actions as the Subtenant is not permitted to undertake directly.
Insurance and Indemnification
The Subtenant shall, throughout the Term and at the Subtenant's sole cost and expense, maintain in full force and effect a policy of renter's (tenant's) insurance covering the Subtenant's personal property located at the Premises and providing personal liability coverage in an amount of not less than [$300,000 / $500,000] per occurrence, naming the Tenant and, where required, the Landlord as additional insureds.
The Subtenant shall furnish the Tenant with a certificate of insurance evidencing such coverage prior to the Commencement Date and shall provide updated certificates upon renewal or upon the Tenant's written request.
The Tenant shall not be liable for any damage to, or loss of, the Subtenant's personal property located at the Premises, regardless of cause, except to the extent such damage or loss is caused by the gross negligence or willful misconduct of the Tenant.
The Subtenant shall indemnify, defend, and hold harmless the Tenant from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with (i) the Subtenant's use or occupancy of the Premises, (ii) any act or omission of the Subtenant or the Subtenant's family, guests, invitees, or agents, or (iii) any breach by the Subtenant of this Sublease or the Master Lease.
The Tenant shall indemnify, defend, and hold harmless the Subtenant from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (i) any breach by the Tenant of the Master Lease (other than a breach caused by the Subtenant), or (ii) any gross negligence or willful misconduct of the Tenant.
Each Party hereby waives any and all rights of recovery, claim, action, or cause of action against the other Party for any loss or damage covered by insurance carried by the waiving Party, to the extent of such insurance coverage, and each Party shall cause its insurance policies to contain or be endorsed with a provision waiving such rights of subrogation.
The provisions of this section pertaining to indemnification shall survive the expiration or earlier termination of this Sublease.
Assignment and Further Subletting
The Subtenant shall not assign, transfer, mortgage, pledge, hypothecate, or encumber this Sublease, nor further sublet the Premises or any portion thereof, nor permit the Premises to be occupied by any person or entity other than the Subtenant and the authorized occupants named herein, without the prior written consent of the Tenant and the Landlord, which consent of the Tenant may be withheld in the Tenant's reasonable discretion.
Any attempted assignment, transfer, or further subletting in violation of this section shall be null and void and shall constitute a material default hereunder.
No consent by the Tenant to any assignment or further subletting shall be deemed a consent to any subsequent assignment or further subletting, and each such transaction shall require separate written consent.
In the event of any permitted assignment or further subletting, the Subtenant shall remain fully liable for the performance of all obligations under this Sublease.
The Tenant may freely assign its interest under this Sublease, together with its interest under the Master Lease (to the extent permitted thereby), to any successor landlord or assignee, and the Subtenant shall attorn to any such successor upon written notice thereof.
Default and Remedies
Each of the following events shall constitute a material default (an "Event of Default") by the Subtenant hereunder: (i) failure to pay any installment of Rent or other sum due hereunder within [five (5)] days after written notice from the Tenant that the same is overdue; (ii) failure to perform or observe any other covenant, condition, or obligation of this Sublease within [ten (10)] days after written notice specifying such failure (or such longer period as may be reasonably necessary to cure, provided the Subtenant commences cure within such period and diligently prosecutes the same); (iii) the Subtenant's abandonment of the Premises; (iv) the filing by or against the Subtenant of any petition in bankruptcy or insolvency not dismissed within sixty (60) days; or (v) any act or omission of the Subtenant that causes a default under the Master Lease.
Upon the occurrence of any Event of Default and the expiration of any applicable notice and cure period, the Tenant may, at its option and in addition to any other remedies available at law or in equity, (i) terminate this Sublease by written notice to the Subtenant and recover possession of the Premises; (ii) re-enter and take possession of the Premises, with or without terminating this Sublease, and relet the same for the account of the Subtenant; (iii) recover from the Subtenant all Rent and other sums then due and all damages caused by such default, including the costs of recovering possession, reletting, and reasonable attorneys' fees; and (iv) pursue any and all other remedies available under applicable law.
The Tenant's failure to insist upon strict performance of any covenant or condition of this Sublease, or to exercise any right or remedy upon any default, shall not be construed as a waiver of such covenant, condition, right, or remedy, nor as a waiver of any subsequent default.
The remedies provided herein shall be cumulative and not exclusive, and the exercise of any one remedy shall not preclude the exercise of any other.
The Tenant shall use commercially reasonable efforts to mitigate its damages following any default by the Subtenant, to the extent required by applicable law.
In the event of any default by the Tenant in the performance of any of its obligations hereunder, the Subtenant shall provide written notice thereof to the Tenant, and the Tenant shall have [thirty (30)] days (or such longer period as may be reasonably necessary) within which to cure such default. If the Tenant fails to cure within such period, the Subtenant may pursue such remedies as are available at law or in equity.
The prevailing Party in any action or proceeding brought to enforce this Sublease shall be entitled to recover its reasonable attorneys' fees, court costs, and other litigation expenses from the non-prevailing Party.
Early Termination and Notice
Either Party may terminate this Sublease prior to the Expiration Date by delivering written notice of termination to the other Party not less than [sixty (60)] days prior to the effective date of termination specified in such notice, provided that the terminating Party is not then in material default hereunder.
In the event of early termination pursuant to this section, the Subtenant shall surrender the Premises in the condition required hereunder on or before the effective date of termination, and all Rent and other sums shall be prorated through such effective date.
In the event the Subtenant exercises the early termination right, the Subtenant shall pay to the Tenant, in addition to all Rent and other sums due through the effective date of termination, an early termination fee equal to [one (1)] month's Rent, as liquidated damages and not as a penalty, representing the Parties' reasonable estimate of the Tenant's costs of re-letting.
In the event the Tenant exercises the early termination right, no termination fee shall be payable, and the Tenant shall refund to the Subtenant the unused portion of any prepaid Rent, together with the Security Deposit (subject to lawful deductions).
Early termination shall not relieve either Party of any obligation accrued prior to the effective date of termination, nor of any obligation which by its nature survives termination.
Nothing herein shall limit either Party's right to terminate this Sublease for cause pursuant to the section pertaining to Default and Remedies, or pursuant to any other provision expressly permitting termination.
In the event the Premises are rendered untenantable by fire, casualty, or other cause not attributable to the Subtenant, and such condition is not remedied within [thirty (30)] days, either Party may terminate this Sublease by written notice to the other, whereupon the Rent shall abate from the date of such casualty.
Surrender of Premises
Upon the expiration or earlier termination of this Sublease, the Subtenant shall peaceably and quietly surrender possession of the Premises to the Tenant in the same condition as existed on the Commencement Date, reasonable wear and tear and damage by casualty (not caused by the Subtenant) excepted.
Prior to surrender, the Subtenant shall remove all of the Subtenant's personal property from the Premises, repair any damage caused by such removal, thoroughly clean the Premises, and return all keys, access cards, remote controls, and similar items to the Tenant.
Any personal property of the Subtenant remaining at the Premises after surrender shall be deemed abandoned, and the Tenant may dispose of the same in such manner as the Tenant deems appropriate, at the Subtenant's cost, subject to any requirements imposed by applicable law.
The Parties shall jointly conduct a move-out inspection of the Premises on or about the date of surrender, and shall document the condition of the Premises in writing, which record shall be used to determine any deductions from the Security Deposit.
The Subtenant's obligation to surrender the Premises in the required condition shall survive the expiration or earlier termination of this Sublease.
Any failure by the Subtenant to timely surrender the Premises shall subject the Subtenant to the holdover provisions set forth in the section pertaining to Term of Sublease, and shall further render the Subtenant liable for any damages incurred by the Tenant as a result thereof, including damages payable to the Landlord or to any succeeding tenant.

Governing Law and Dispute Resolution
This Sublease shall be governed by, and construed and enforced in accordance with, the laws of the State of [State in which Premises are located], without regard to its conflict of laws principles. The Parties acknowledge that this Sublease is executed and performed within the United States of America.
The Parties shall first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to this Sublease through informal negotiation. Either Party may initiate such negotiation by delivering written notice to the other Party describing the nature of the dispute.
If any dispute is not resolved through informal negotiation within [thirty (30)] days following written notice thereof, the Parties shall, prior to initiating formal litigation, attempt in good faith to resolve such dispute through mediation administered by a mutually agreed mediator or mediation service, with the costs of mediation to be shared equally between the Parties.
If mediation fails to resolve the dispute within [sixty (60)] days following the commencement thereof, either Party may initiate legal proceedings in the state or federal courts located in [County, State], and the Parties hereby irrevocably submit to the exclusive jurisdiction of such courts and waive any objection based on venue or forum non conveniens.
Each Party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right to trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Sublease.
Nothing herein shall preclude either Party from seeking injunctive or other equitable relief in any court of competent jurisdiction in the event of a breach or threatened breach requiring immediate relief, including summary eviction proceedings available to the Tenant under applicable landlord-tenant law.
Miscellaneous Provisions
This Sublease constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, understandings, and agreements, whether written or oral, with respect thereto.
No amendment, modification, or waiver of any provision of this Sublease shall be effective unless set forth in a writing signed by both Parties and, where required, consented to in writing by the Landlord.
If any provision of this Sublease is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this Sublease shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, to the extent that the essential terms and conditions of this Sublease remain valid, binding, and enforceable.
The failure of either Party to enforce any provision of this Sublease shall not be deemed a waiver of such provision or of the right to enforce the same thereafter.
This Sublease shall be binding upon and inure to the benefit of the Parties and their respective heirs, personal representatives, successors, and permitted assigns.
Nothing in this Sublease shall be construed to create any partnership, joint venture, agency, or employment relationship between the Parties, nor to confer any rights upon any third party, except that the Landlord shall be an intended third-party beneficiary of those provisions requiring the Subtenant to comply with the Master Lease.
This Sublease may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission (including PDF or electronic signature platforms) shall be deemed as effective as original signatures.
Time is of the essence with respect to the performance of each and every obligation under this Sublease.
Each Party acknowledges that it has had the opportunity to consult with independent legal counsel of its own choosing before executing this Sublease, and that this Sublease shall be construed as if drafted jointly by the Parties, with no presumption or burden of proof arising in favor of or against either Party by virtue of authorship.
IN WITNESS WHEREOF, the Parties have executed this Sublease Agreement as of the Effective Date first above written.
