The Sublessor and the Subtenant are hereinafter referred to individually as a "Party" and collectively as the "Parties".
WHEREAS, the Sublessor is the lessee of certain residential premises more particularly described herein, pursuant to a certain lease agreement dated [Date of Master Lease] entered into between the Sublessor, as tenant, and [Landlord Full Legal Name], as landlord (the "Landlord"), in respect of the premises located at [Full Address of Premises] (the "Master Lease");
WHEREAS, the Sublessor desires to sublease a portion of, or the entirety of, the premises demised to it under the Master Lease to the Subtenant, and the Subtenant desires to take and accept such sublease, upon and subject to the terms, covenants and conditions hereinafter set forth;
WHEREAS, the Landlord has consented, or shall consent, to the subletting of the premises to the Subtenant upon the terms and conditions herein;

Definitions and Interpretation
In this Sublease, unless the context otherwise requires, the following terms shall have the meanings respectively ascribed to them below, and such defined terms shall apply equally to the singular and plural forms thereof.
"Master Lease" means the lease agreement dated [Date of Master Lease] by and between the Landlord and the Sublessor in respect of the Premises, as the same may be amended, modified, supplemented, renewed or extended from time to time, a copy of which has been furnished to and reviewed by the Subtenant prior to the execution hereof.
"Premises" or "Demised Premises" means the residential dwelling situated at [Full Address of Premises], together with all fixtures, fittings, appurtenances, common areas and rights of ingress and egress appertaining thereto, as more fully described in Section 2 of this Sublease.
"Rent" means the monthly rental amount payable by the Subtenant to the Sublessor pursuant to Section 5 hereof, together with any additional sums characterised as rent hereunder.
"Security Deposit" means the sum deposited by the Subtenant with the Sublessor as security for the faithful performance by the Subtenant of its obligations hereunder, as set forth in Section 5.
"Term" means the fixed period during which this Sublease shall remain in force and effect, as specified in Section 4 hereof, unless sooner terminated in accordance with the provisions hereof.
"Landlord's Consent" means the written consent of the Landlord to the subletting of the Premises by the Sublessor to the Subtenant, in such form as may be required by the Master Lease or by applicable law.
Words importing any gender shall include all genders; references to persons shall include natural persons and bodies corporate; and references to Sections and Clauses are to Sections and Clauses of this Sublease unless the context otherwise requires. The headings used herein are inserted for convenience of reference only and shall not affect the construction or interpretation of this Sublease.
Demised Premises
The Sublessor hereby demises, lets and subleases unto the Subtenant, and the Subtenant hereby takes and accepts from the Sublessor, the Premises situated at [Full Address of Premises], consisting of [Number] bedroom(s), [Number] bathroom(s), and such other rooms, areas, and ancillary spaces as are more particularly described herein and as currently exist at the Premises.
The Demised Premises shall include the use of all fixtures, fittings, appliances, furniture (if any), and furnishings presently situated therein, a list of which shall be documented in a written inventory prepared and signed by the Parties contemporaneously with the delivery of possession.
The Subtenant shall also enjoy the non-exclusive right to use, in common with other authorised occupants, any and all common areas, facilities, amenities, parking spaces, storage areas and appurtenances appertaining to the Premises, subject at all times to the rules and regulations established by the Landlord and by any applicable homeowners' or residents' association.
The Sublessor represents that the Premises are, as of the Effective Date, in a condition fit for residential occupation, and shall deliver vacant possession thereof to the Subtenant on the Commencement Date (as hereinafter defined), free of all occupants, personal effects not forming part of the inventory, and encumbrances that would materially interfere with the Subtenant's quiet enjoyment.
The Subtenant acknowledges having had a full and fair opportunity to inspect the Demised Premises prior to the execution hereof; provided, however, that such acknowledgement shall not derogate from, limit or waive any representation, warranty or obligation of the Sublessor expressly set forth in this Sublease, nor shall it preclude the Subtenant from asserting claims in respect of latent defects or non-apparent conditions not reasonably discoverable upon such inspection.
Any discrepancy between the condition of the Premises as described herein or in the inventory and the actual condition as of the delivery of possession shall be notified by the Subtenant to the Sublessor in writing within [Number] days of the Commencement Date, failing which the Premises shall be deemed accepted in the condition then prevailing, save in respect of latent defects.
Use and Occupancy of Premises
The Subtenant shall use and occupy the Demised Premises solely and exclusively for lawful residential purposes as a private dwelling for the Subtenant and the members of the Subtenant's immediate household, and for no other purpose whatsoever without the prior written consent of the Sublessor and the Landlord.
The maximum number of persons permitted to reside at the Premises shall not exceed [Number] individuals, inclusive of the Subtenant. The names of all permitted occupants shall be disclosed in writing to the Sublessor prior to taking occupancy.
The Subtenant covenants not to use the Premises, nor permit the same to be used, for any unlawful, immoral, hazardous, noxious, offensive or disorderly purpose, nor for any trade, business, manufacture, profession or occupation of any kind, nor in any manner which may constitute a nuisance or annoyance to the Landlord, to neighbouring occupiers or to any other person.
The Subtenant shall comply with all laws, ordinances, regulations and lawful requirements of any governmental or quasi-governmental authority applicable to the Premises and the Subtenant's use and occupancy thereof, as well as with all rules and regulations promulgated by the Landlord or by any applicable homeowners' or residents' association, provided that copies thereof have been furnished to the Subtenant.
The keeping of pets or animals of any kind upon the Premises shall be [permitted / prohibited], and if permitted, shall be subject to such reasonable conditions as the Sublessor and the Landlord may impose. Smoking within the interior of the Premises shall be [permitted / prohibited].
The Subtenant shall not, without the prior written consent of the Sublessor, make or permit to be made any alterations, additions, improvements or structural changes to the Premises, nor install any fixtures of a permanent nature. Decorative changes of a non-permanent nature, such as the hanging of pictures by minor means, shall be permitted.
The Subtenant shall be entitled to the quiet and peaceable enjoyment of the Demised Premises throughout the Term, without any interruption or disturbance by the Sublessor or any person lawfully claiming by, through or under the Sublessor, subject to the terms and conditions of this Sublease and the Master Lease.
Term of Sublease
The term of this Sublease shall be for a fixed period commencing on [Commencement Date] (the "Commencement Date") and expiring, without the necessity of any notice to quit, on [Expiration Date] (the "Expiration Date"), both dates inclusive, unless sooner terminated in accordance with the provisions of this Sublease (the "Term").
In no event shall the Term of this Sublease extend beyond the expiration or earlier termination of the Master Lease, and, notwithstanding anything to the contrary herein contained, this Sublease shall automatically terminate concurrently with any termination of the Master Lease, provided that such termination shall not have been occasioned by the default or wrongful act of the Sublessor.
Possession of the Premises shall be delivered to the Subtenant on or before the Commencement Date. In the event that the Sublessor is unable, for any reason not attributable to the Subtenant, to deliver possession on the Commencement Date, Rent shall be abated pro rata for each day of such delay, and if such delay exceeds [Number] days, the Subtenant shall have the right, exercisable by written notice, to terminate this Sublease and receive a full refund of all sums theretofore paid hereunder, without prejudice to any other remedies available to the Subtenant.
This Sublease shall not automatically renew upon the expiration of the Term. Any extension or renewal shall be subject to the mutual written agreement of the Parties and, where required, the consent of the Landlord.
Should the Subtenant hold over in possession of the Premises after the Expiration Date without the written consent of the Sublessor, such holding over shall not constitute a renewal of this Sublease but shall create a tenancy at sufferance only, terminable at will by the Sublessor.
Time shall be of the essence with respect to all dates and periods specified in this Section 4.
Rent and Security Deposit
The Subtenant shall pay to the Sublessor, as rent for the Demised Premises during the Term, the sum of [Currency] [Amount] per calendar month (the "Rent"), payable in advance, without demand, deduction, set-off or counterclaim, on or before the [Day] day of each calendar month throughout the Term.
Rent shall be paid directly to the Sublessor by [bank transfer / electronic funds transfer / other agreed method] to the account designated by the Sublessor in writing, or by such other method as the Parties may from time to time agree. The Sublessor shall furnish the Subtenant with a receipt for each payment of Rent promptly upon request.
If the Commencement Date or the Expiration Date falls on a date other than the first or last day of a calendar month, Rent for such partial month shall be prorated on the basis of the actual number of days in the applicable month.
The Subtenant shall, upon execution of this Sublease, deposit with the Sublessor the sum of [Currency] [Amount] as a security deposit (the "Security Deposit") to secure the faithful performance by the Subtenant of all its obligations hereunder. The Security Deposit shall not be deemed to be, nor shall it be applied by the Subtenant as, payment of Rent for any period, including the final month of the Term.
The Sublessor shall hold the Security Deposit in accordance with applicable law and shall not commingle such funds with its own operating funds where such commingling is prohibited by law. The Subtenant shall be entitled to interest on the Security Deposit only to the extent required by applicable law.
Within [Number] days following the expiration or earlier termination of this Sublease and the surrender of the Premises in the condition required hereunder, the Sublessor shall return to the Subtenant the Security Deposit, less such sums as may be lawfully retained to compensate the Sublessor for unpaid Rent, damage to the Premises beyond ordinary wear and tear, or other sums properly chargeable to the Subtenant hereunder, accompanied by a written and itemised statement of any such deductions.
The Sublessor's right to retain any portion of the Security Deposit shall not limit the Subtenant's liability for any amount owing in excess thereof, nor shall it preclude the Subtenant from challenging in good faith the propriety of any deduction.
Representations and Warranties
The Sublessor represents, warrants and covenants to the Subtenant, as of the Effective Date and as of the Commencement Date, as follows:
That the Sublessor is the lawful tenant of the Premises under the Master Lease, that the Master Lease is in full force and effect, that the Sublessor is not in default thereunder, and that no event has occurred which, with the giving of notice or the passage of time, would constitute a default under the Master Lease.
That the Sublessor has full right, power and authority to enter into this Sublease and to grant the sublease of the Premises hereunder, and that the Master Lease permits such subletting, or that the Landlord has consented thereto in writing, a copy of which consent has been or shall be provided to the Subtenant.
That the Sublessor has disclosed to the Subtenant all material terms of the Master Lease that affect the Subtenant's rights, obligations or enjoyment of the Premises, and has furnished the Subtenant with a true and complete copy of the Master Lease.
That, to the best of the Sublessor's knowledge, the Premises are, as of the Commencement Date, in compliance with all applicable building, housing, safety, health and sanitation codes and regulations, and are fit for habitation.
That there is no pending or threatened litigation, proceeding or claim which could reasonably be expected to materially impair the Subtenant's use and enjoyment of the Premises.
The Subtenant represents and warrants to the Sublessor that the Subtenant has the legal capacity to enter into this Sublease and to perform the obligations hereunder.
The representations and warranties set forth in this Section 6 shall survive the execution and delivery of this Sublease, and the Sublessor shall indemnify and hold harmless the Subtenant from and against any loss, damage, cost or expense (including reasonable attorneys' fees) suffered or incurred by the Subtenant as a result of any breach thereof.
Utilities and Ongoing Charges
The Subtenant shall be responsible for the timely payment of all charges for utilities and services consumed at or supplied to the Premises during the Term, including but not limited to electricity, gas, water, sewer, refuse collection, telephone, internet, cable or satellite television, and any other utilities serving the Premises exclusively.
Where any such utility or service is separately metered or billed in respect of the Premises, the Subtenant shall, where feasible, cause the account to be placed in its own name as of the Commencement Date, and shall arrange for the transfer of such account to the Sublessor or its designee upon the expiration or earlier termination of this Sublease.
Where a utility or service cannot be separately metered or billed, the Subtenant shall reimburse the Sublessor for the actual cost thereof within [Number] days of receipt of a written invoice accompanied by reasonable supporting documentation evidencing the charge.
The Subtenant shall not be responsible for any utility or service charges accruing prior to the Commencement Date or subsequent to the expiration or earlier termination of this Sublease, nor for any charges attributable to usage by persons other than the Subtenant and its permitted occupants and guests.
Any interruption, failure or discontinuance of utility services arising from causes beyond the reasonable control of the Sublessor, including acts of the utility provider, acts of the Landlord, or force majeure events, shall not constitute a breach of this Sublease by the Sublessor, nor entitle the Sublessor to terminate the same; provided, however, that in the event of any such interruption rendering the Premises materially uninhabitable for a period exceeding [Number] consecutive days through no fault of the Subtenant, the Rent shall be abated proportionately for the duration of such interruption, and the Subtenant shall be entitled to terminate this Sublease upon written notice if the interruption continues beyond [Number] days.
Charges for utilities included in the Rent under the Master Lease and paid by the Sublessor to the Landlord, if any, shall be identified in writing by the Sublessor and shall not be separately recoverable from the Subtenant.
Condition, Maintenance and Repairs
The Sublessor shall deliver the Premises to the Subtenant on the Commencement Date in good, clean, safe and tenantable condition, with all fixtures, appliances, plumbing, heating, electrical and mechanical systems in good working order.
The Subtenant shall, throughout the Term, keep and maintain the interior of the Premises in a clean, sanitary and orderly condition, and shall use all fixtures, appliances and systems in a prudent and workmanlike manner, in accordance with their intended use.
The Subtenant shall be responsible only for minor and routine maintenance of a cosmetic nature, such as the replacement of lightbulbs and the cleaning of readily accessible filters, and for the repair of damage caused by the wilful misconduct or gross negligence of the Subtenant, members of its household or its invitees.
All other maintenance and repair obligations, including without limitation structural repairs, repairs to the roof, exterior walls, foundations, plumbing systems, electrical systems, heating, ventilation and air-conditioning systems, major appliances, and all repairs necessitated by ordinary wear and tear, latent defects, acts of God, or the act or omission of any party other than the Subtenant, shall be the sole responsibility of the Sublessor or, as applicable, the Landlord under the Master Lease.
The Subtenant shall promptly notify the Sublessor in writing of any need for repair or maintenance that comes to the Subtenant's attention. The Sublessor shall, promptly upon receipt of such notice, undertake or cause to be undertaken all necessary repairs, and shall use its best efforts to procure performance by the Landlord of any repair obligations resting upon the Landlord under the Master Lease.
In the event that the Sublessor fails to undertake necessary repairs within a reasonable time (not to exceed [Number] days from the date of notice, or such shorter period as may be reasonable in the circumstances of an emergency), the Subtenant shall be entitled, upon further written notice to the Sublessor, to effect such repairs itself and to deduct the reasonable cost thereof from succeeding instalments of Rent, without prejudice to any other remedies available to the Subtenant.
Ordinary wear and tear resulting from reasonable use of the Premises shall not constitute damage for which the Subtenant is responsible, and no deduction shall be made from the Security Deposit on account thereof.
The Sublessor shall have the right, upon not less than [Number] hours' prior written notice to the Subtenant (except in the case of a bona fide emergency), to enter the Premises at reasonable times for the purposes of inspection, repair or exhibition, provided that such entry shall be conducted in a manner that minimises disturbance to the Subtenant.
Assignment and Further Subletting
The Subtenant shall not assign, transfer, mortgage, hypothecate or otherwise encumber this Sublease, nor further sublet the Premises or any part thereof, nor permit the occupation of the Premises by any person other than the Subtenant and the permitted occupants expressly identified herein, without, in each case, the prior written consent of the Sublessor and, where required under the Master Lease, the Landlord.
The consent of the Sublessor to any such assignment or further subletting shall not be unreasonably withheld, conditioned or delayed, and any denial of consent shall be accompanied by a written statement of the reasons therefor.
Any purported assignment, transfer or further subletting in violation of this Section 9 shall be void ab initio and shall constitute a material breach of this Sublease.
The Subtenant shall be entitled to permit occasional and short-term guests to stay at the Premises for periods not exceeding [Number] consecutive days without the consent of the Sublessor, provided that such guests do not become permanent occupants and do not cause disturbance or damage.
No consent to any assignment or further subletting shall be deemed to be consent to any subsequent assignment or further subletting, nor shall it relieve the Subtenant of its obligations hereunder, unless expressly so provided in writing by the Sublessor.
Consent of Landlord and Incorporation of Master Lease
This Sublease is in all respects subject and subordinate to the Master Lease and to all of its terms, covenants and conditions. The Sublessor shall, prior to or contemporaneously with the Commencement Date, obtain and deliver to the Subtenant the written consent of the Landlord to this Sublease, where such consent is required by the Master Lease or applicable law.
In the event that the Landlord's consent is required and is not obtained by the Commencement Date, the Subtenant shall have the right, at its sole option, to terminate this Sublease by written notice to the Sublessor, whereupon all sums theretofore paid by the Subtenant shall be refunded in full, without prejudice to any other remedies available to the Subtenant.
Except as expressly modified or excluded herein, the terms, covenants and conditions of the Master Lease are hereby incorporated into this Sublease by reference, and the Subtenant covenants to observe and perform all such terms, covenants and conditions on the part of the tenant to be observed and performed thereunder, insofar as they relate to the Premises and are applicable to the Subtenant's use and occupancy thereof.
Notwithstanding the foregoing, the Subtenant shall not be bound by any provision of the Master Lease that: (i) obligates the Subtenant to pay rent or other sums to the Landlord in excess of or in addition to the Rent and charges expressly payable by the Subtenant hereunder; (ii) imposes obligations arising from acts or omissions of the Sublessor prior to the Commencement Date; or (iii) is inconsistent with the express terms of this Sublease, in which case the terms of this Sublease shall prevail as between the Sublessor and the Subtenant.
The Sublessor covenants to perform all of its obligations under the Master Lease, including without limitation the timely payment of rent and all other sums owing to the Landlord, so long as this Sublease remains in effect, and shall not, by its act or omission, cause the Master Lease to be terminated or materially modified in any manner that would adversely affect the rights of the Subtenant hereunder.
The Sublessor shall promptly deliver to the Subtenant copies of any notices received from the Landlord that affect the Premises or the Subtenant's rights hereunder, and shall promptly deliver to the Landlord any notices received from the Subtenant that require delivery to the Landlord.
In the event of any default by the Sublessor under the Master Lease, the Subtenant shall have the right (but not the obligation) to cure such default on behalf of the Sublessor and to deduct the costs of such cure from succeeding instalments of Rent payable hereunder.
Insurance and Indemnification
The Subtenant shall, throughout the Term, maintain at its own expense a renter's or tenant's insurance policy covering the Subtenant's personal property situated at the Premises against loss or damage by fire and other usual perils, and providing personal liability coverage in an amount not less than [Currency] [Amount] per occurrence.
The Sublessor shall maintain, or cause to be maintained, such insurance as is required of the tenant under the Master Lease, including without limitation any policies of property and liability insurance in respect of the Premises.
Each Party shall, upon the written request of the other, furnish a certificate evidencing the insurance coverage required to be maintained hereunder.
The Subtenant shall indemnify, defend and hold harmless the Sublessor from and against all claims, demands, actions, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of the wilful misconduct or gross negligence of the Subtenant, its household members or invitees in the use and occupancy of the Premises, save and except to the extent caused by the negligence or wilful misconduct of the Sublessor or any party for whom the Sublessor is responsible.
The Sublessor shall indemnify, defend and hold harmless the Subtenant from and against all claims, demands, actions, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of: (i) any breach by the Sublessor of this Sublease or the Master Lease; (ii) any defect in the Premises existing as of the Commencement Date; (iii) any claim by the Landlord that would not have been asserted but for the Sublessor's act, omission or default; and (iv) the negligence or wilful misconduct of the Sublessor or any party for whom the Sublessor is responsible.
The Parties hereby mutually waive, to the extent permitted by their respective insurance policies, all rights of subrogation against each other for any loss covered by such insurance.
Neither Party shall be liable to the other for any indirect, consequential, special or punitive damages arising out of or relating to this Sublease, except in cases of wilful misconduct or fraud.
Default and Remedies
Each of the following shall constitute an event of default by the Subtenant under this Sublease: (i) the failure of the Subtenant to pay any instalment of Rent or other sum when due and the continuation of such failure for a period of [Number] days after written notice from the Sublessor; (ii) the breach by the Subtenant of any other material covenant or obligation hereunder and the failure to cure such breach within [Number] days after written notice from the Sublessor specifying the nature of the breach; or (iii) the abandonment of the Premises by the Subtenant without notice to the Sublessor.
Each of the following shall constitute an event of default by the Sublessor under this Sublease: (i) the failure of the Sublessor to perform any material obligation hereunder, including without limitation its obligations under the Master Lease insofar as the same affect the Subtenant, and the failure to cure such default within [Number] days after written notice from the Subtenant; (ii) any act or omission of the Sublessor giving rise to a notice of default under the Master Lease; or (iii) any misrepresentation or breach of warranty made by the Sublessor hereunder.
Upon the occurrence and during the continuance of an event of default by the Subtenant, the Sublessor shall be entitled, in addition to any other remedies available at law or in equity, to recover unpaid Rent and damages suffered, and, following observance of all notice periods and legal procedures mandated by applicable law, to terminate this Sublease and recover possession of the Premises.
Upon the occurrence and during the continuance of an event of default by the Sublessor, the Subtenant shall be entitled, in addition to any other remedies available at law or in equity, to: (i) terminate this Sublease upon written notice and recover a refund of all prepaid Rent and the Security Deposit; (ii) cure the default on behalf of the Sublessor and recover the cost thereof, together with interest at the rate of [Number]% per annum, by way of set-off against Rent or otherwise; (iii) seek specific performance; and (iv) recover all damages, costs and expenses, including reasonable attorneys' fees, suffered or incurred as a result of such default.
The Sublessor shall be obligated to mitigate its damages following any default by the Subtenant, including by using reasonable efforts to re-let the Premises on commercially reasonable terms.
No remedy conferred upon or reserved to either Party under this Sublease shall be exclusive of any other remedy, and all such remedies shall be cumulative. No waiver by either Party of any breach by the other Party shall constitute a waiver of any subsequent or other breach.
Early Termination
Notwithstanding anything to the contrary contained herein, the Subtenant shall have the right to terminate this Sublease prior to the Expiration Date by giving the Sublessor not less than [Number] days' prior written notice of such termination, specifying the effective date thereof (the "Early Termination Date").
The Sublessor shall have the right to terminate this Sublease prior to the Expiration Date only for cause, namely upon an uncured event of default by the Subtenant as set forth in Section 12, or upon the termination of the Master Lease through no fault of the Sublessor, and in no event may the Sublessor terminate this Sublease for mere convenience.
Upon any early termination of this Sublease by the Subtenant in accordance with Clause 13.1, the Subtenant shall pay all Rent and other sums accruing through the Early Termination Date, and no early termination fee or penalty shall be payable by the Subtenant, save as expressly set forth herein.
The Sublessor shall, within [Number] days following the Early Termination Date and the surrender of the Premises in accordance with Section 14, return to the Subtenant the Security Deposit, less any lawful deductions, in accordance with Section 5.
If early termination is occasioned by any material breach by the Sublessor of this Sublease or the Master Lease, by the uninhabitability of the Premises, or by the termination of the Master Lease for any reason not attributable to the Subtenant, the Subtenant shall be entitled to a full refund of the Security Deposit and any prepaid Rent attributable to the period following the Early Termination Date, without the application of any abatement, deduction or penalty.
Upon early termination, the Parties shall be released from all obligations hereunder accruing after the Early Termination Date, save for those obligations which by their nature survive termination, including without limitation payment, indemnification, and the return of the Security Deposit.
Surrender of Premises
Upon the expiration or earlier termination of this Sublease, the Subtenant shall peaceably and quietly surrender and deliver up the Demised Premises to the Sublessor in substantially the same condition as existed on the Commencement Date, ordinary wear and tear, damage by casualty not caused by the Subtenant, and alterations consented to by the Sublessor excepted.
The Subtenant shall remove all of its personal property and effects from the Premises prior to surrender. Any personal property remaining at the Premises after surrender shall, following not less than [Number] days' written notice to the Subtenant and failure to collect the same, be deemed abandoned and may be disposed of by the Sublessor without liability.
The Subtenant shall return to the Sublessor all keys, access cards, remote controls and similar items furnished to the Subtenant in connection with the Premises.
The Parties shall, immediately prior to or contemporaneously with the surrender, jointly inspect the Premises and prepare a written statement of the condition thereof, which shall be signed by both Parties. The Subtenant shall be given reasonable notice of, and the opportunity to be present at, such inspection.
The Subtenant shall not be liable for any defect, damage or condition of the Premises that existed as of the Commencement Date and was noted in the move-in inventory or that constitutes ordinary wear and tear, latent defect, or damage not caused by the Subtenant, members of its household or its invitees.
Notices
All notices, demands, requests, consents and other communications required or permitted to be given hereunder shall be in writing and shall be delivered: (i) personally; (ii) by nationally or internationally recognised courier service with proof of delivery; (iii) by registered or certified mail, return receipt requested; or (iv) by electronic mail with confirmation of receipt, to the respective addresses of the Parties set forth below or to such other address as either Party may hereafter designate by notice given in accordance with this Section.
If to the Sublessor: [Sublessor Name], [Sublessor Address], Email: [Sublessor Email].
If to the Subtenant: [Subtenant Name], [Subtenant Address] (or, following the Commencement Date, at the Premises), Email: [Subtenant Email].
Notices shall be deemed to have been duly given: (i) upon delivery, if delivered personally; (ii) on the next business day following deposit with a recognised courier; (iii) on the fifth business day following deposit in the mail; or (iv) upon confirmation of receipt, if sent by electronic mail.
The refusal to accept delivery, or the inability to deliver because of a changed address of which no notice was given, shall be deemed to constitute receipt of such notice.
Either Party may change its address for notice by giving written notice of such change to the other Party in the manner herein provided.
Governing Law and Dispute Resolution
This Sublease shall be governed by, construed and enforced in accordance with the laws of [Country/State/Jurisdiction], without regard to its conflict of laws principles.
The Parties shall endeavour, in the first instance, to resolve any dispute, controversy or claim arising out of or in connection with this Sublease, or the breach, termination or validity thereof, by amicable negotiation in good faith.
In the event that any such dispute cannot be resolved by negotiation within [Number] days of written notice by one Party to the other of the existence thereof, the Parties shall endeavour to resolve the dispute by mediation administered by a mutually acceptable mediator, with the costs of mediation to be borne equally.
Should mediation fail to resolve the dispute within a further [Number] days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of [Jurisdiction], and each Party hereby irrevocably submits to such jurisdiction.
Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief from a court of competent jurisdiction at any time to prevent irreparable harm.
In any proceeding to enforce the terms of this Sublease, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, to the extent permitted by applicable law.
Miscellaneous Provisions
This Sublease, together with the Master Lease (to the extent incorporated herein), constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written.
No modification, amendment or waiver of any provision of this Sublease shall be effective unless in writing and signed by both Parties, and, where required, consented to by the Landlord.
If any provision of this Sublease is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Sublease, and the remaining provisions shall continue in full force and effect.
The failure of either Party to insist upon strict performance of any provision of this Sublease, or to exercise any right or remedy hereunder, shall not constitute a waiver thereof or of any subsequent breach.
This Sublease shall be binding upon and inure to the benefit of the Parties and their respective heirs, legal representatives, successors and permitted assigns.
Neither Party shall be deemed to be in breach of this Sublease by reason of any delay or failure in performance (other than the payment of monies) resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, civil unrest, governmental action or epidemics.
This Sublease may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including scanned PDF or electronic signature platforms) shall be deemed to constitute originals for all purposes.
Nothing in this Sublease shall be construed to create a partnership, joint venture, agency or employment relationship between the Parties.
The provisions of this Sublease which, by their nature, are intended to survive the expiration or earlier termination hereof (including without limitation provisions relating to indemnification, return of the Security Deposit, and dispute resolution) shall so survive.
IN WITNESS WHEREOF, the Parties hereto have executed this Sublease Agreement as of the Effective Date first above written.
