  2. Grant of Franchise

    1. Subject to the terms and conditions of this Agreement, the Franchisor hereby grants to the Franchisee, and the Franchisee hereby accepts, the limited, non-exclusive, non-transferable right and licence to operate one (1) Franchised Business utilising the System and the Marks solely at the Franchised Location and solely within the Territory for the duration of the Term.

    2. The grant made hereunder is personal to the Franchisee and does not confer upon the Franchisee any right, title or interest in or to the System, the Marks, the Operations Manual or any other proprietary asset of the Franchisor, save for the limited right of use expressly set forth in this Agreement.

    3. The Franchisee shall not establish, operate, relocate or move any Franchised Business, nor conduct any aspect of the Franchised Business, at or from any location other than the Franchised Location without the prior express written consent of the Franchisor, which consent may be granted, withheld or conditioned in the Franchisor's sole and absolute discretion.

    4. Nothing in this Agreement shall be construed as granting the Franchisee any right of first refusal, option, priority or preference with respect to the development of additional Franchised Businesses, whether within the Territory or elsewhere.

    5. The Franchisee expressly acknowledges and agrees that the Franchisor reserves unto itself all rights not expressly granted to the Franchisee hereunder, including without limitation the right, at any time and from time to time, directly or through affiliates, licensees, franchisees or other third parties, to engage in any lawful business activity whatsoever, under the Marks or otherwise, including activities competitive with the Franchised Business.

    6. The Franchisee shall operate the Franchised Business as an independent contractor. Nothing contained herein shall be construed to create a partnership, joint venture, agency, fiduciary or employment relationship between the Parties, and neither Party shall have the authority to bind or obligate the other in any manner whatsoever.

  3. Training and Ongoing Support

    1. The Franchisor shall provide, or cause to be provided, an initial training programme for the Franchisee and up to [Number] designated personnel of the Franchisee, covering such topics as the Franchisor deems necessary or desirable for the proper operation of the Franchised Business, including operational procedures, use of the Marks, compliance with the Operations Manual and customer service standards.

    2. Such initial training programme shall be conducted at the Franchisor's designated training facility or at such other location as the Franchisor may designate, and shall commence not later than [Number] days prior to the opening of the Franchised Business. All costs of travel, lodging, meals, wages and other personal expenses incurred by the Franchisee and its personnel in connection with attendance at the initial training programme shall be borne exclusively by the Franchisee.

    3. The Franchisee acknowledges that successful completion of the initial training programme, to the satisfaction of the Franchisor assessed in its sole discretion, is a condition precedent to the opening and operation of the Franchised Business. The Franchisor reserves the right to require the Franchisee to engage additional or replacement personnel should any trainee fail to satisfy the Franchisor's standards.

    4. The Franchisor may, from time to time at its discretion, offer or require the Franchisee and its personnel to attend refresher, advanced or supplemental training programmes, seminars, workshops or conferences. The Franchisor may charge a reasonable fee for such supplemental training, and all travel, lodging and ancillary costs shall be borne by the Franchisee.

    5. The Franchisor shall provide ongoing operational guidance and advisory support to the Franchisee during normal business hours, by such means and through such channels of communication as the Franchisor shall from time to time designate, concerning the operation of the Franchised Business under the System.

    6. The Franchisor may, at its discretion but without any obligation to do so, make available to the Franchisee such additional services as site evaluation assistance, assistance in the preparation of pre-opening promotional activities, periodic updates to the Operations Manual, bulletins and newsletters, and introductions to approved suppliers.

    7. Any additional on-site assistance requested by the Franchisee and agreed to be provided by the Franchisor beyond the services expressly enumerated herein shall be subject to the payment by the Franchisee of the Franchisor's then-prevailing fees for such services, together with reimbursement of all travel, lodging and incidental expenses incurred by the Franchisor's personnel.

  4. Term and Renewal

    1. The initial term of this Agreement (the "Initial Term") shall commence on the Effective Date and, unless sooner terminated in accordance with the provisions hereof, shall continue in full force and effect for a period of five (5) years thereafter.

    2. The Franchisee shall have the option, exercisable on a one-time basis only, to renew this Agreement for one (1) additional term of five (5) years (the "Renewal Term", and together with the Initial Term, the "Term"), provided that the Franchisee shall have satisfied each and all of the conditions set forth in this Section.

    3. Not less than twelve (12) months and not more than eighteen (18) months prior to the expiration of the Initial Term, the Franchisee shall give written notice to the Franchisor of its intention to exercise its right of renewal. Failure to provide such notice within the prescribed period shall constitute an irrevocable waiver of the right of renewal.

    4. The right of renewal shall be conditional upon: (i) the Franchisee being in full compliance with this Agreement and all other agreements with the Franchisor, and the absence of any uncured material breach during the Initial Term; (ii) the Franchisee having timely paid all monetary obligations owing to the Franchisor and its affiliates; (iii) the Franchisee having maintained the Franchised Location in accordance with the Franchisor's then-current image, décor and equipment standards, including completion of any refurbishment, remodelling or re-equipment required by the Franchisor; (iv) the Franchisee executing the Franchisor's then-current standard form of franchise agreement, which may contain terms (including as to fees and territory) materially different from those contained herein; (v) the Franchisee executing a general release, in a form satisfactory to the Franchisor, of all claims against the Franchisor and its affiliates, officers, directors, employees and agents; and (vi) the payment by the Franchisee of a renewal fee in the amount of [Amount] [Currency].

    5. Upon expiration of the Term without valid renewal, this Agreement shall terminate automatically and the Franchisee shall have no further right whatsoever to operate under the Marks or the System.

  5. Territory

    1. The Territory granted to the Franchisee pursuant to this Agreement is non-exclusive. The Franchisee expressly acknowledges that it shall have no exclusive, protected or preferential rights of any nature within the Territory.

    2. The Franchisor reserves and retains the unrestricted right, in its sole and absolute discretion, to establish, operate, authorise others to establish and operate, or franchise additional Franchised Businesses or any other businesses, under the Marks or any other marks, within the Territory, adjacent to the Territory or elsewhere, on such terms and conditions as the Franchisor may determine.

    3. The Franchisor further reserves the right, exercisable without the consent of or notice to the Franchisee and without any obligation to pay compensation of any kind, to market, sell or distribute, directly or indirectly through any channel whatsoever (including without limitation wholesale, retail, mail order, catalogue, telemarketing, internet, mobile applications, electronic commerce and other alternative distribution channels), any products or services, whether or not identified by the Marks and whether or not competitive with those offered by the Franchisee, to customers located within the Territory.

    4. The Franchisee shall not, directly or indirectly, solicit customers outside the Territory, nor shall it establish or maintain any website, social media presence, delivery service or other channel targeting customers outside the Territory, without the prior written approval of the Franchisor.

    5. The Franchisee shall promptly refer to the Franchisor all enquiries received from prospective franchisees, licensees or business partners, and shall not engage in any discussions or negotiations with any such party.

    6. The Franchisor shall not be liable to the Franchisee, nor shall the Franchisee be entitled to any abatement, reduction or refund of any fees payable hereunder, on account of any encroachment, competition or dilution, whether actual or perceived, resulting from the exercise by the Franchisor of any of its reserved rights.

  6. Brand Standards and System Compliance

    1. The Franchisee shall at all times operate the Franchised Business in strict conformity with the standards, specifications, procedures, policies, techniques, systems and requirements prescribed by the Franchisor in the Operations Manual or otherwise communicated in writing to the Franchisee from time to time.

    2. The Franchisee acknowledges that uniform compliance with the System is essential to protect the goodwill associated with the Marks and to assure consistency of products, services and customer experience throughout the Franchisor's network, and the Franchisee shall not deviate from the System in any respect without the prior written consent of the Franchisor.

    3. The Franchisor shall have the right, at any time and from time to time, in its sole discretion, to modify, add to, delete from or substitute any portion of the System, the Marks, the Operations Manual, the authorised products or services, the equipment, décor and trade dress specifications, and any other standards applicable to the Franchised Business, and the Franchisee shall, at its sole cost and expense, promptly implement all such modifications within such reasonable period as the Franchisor shall specify.

    4. The Franchisee shall purchase and use in the operation of the Franchised Business only such products, equipment, supplies, materials, services and items as conform to the Franchisor's specifications and standards, which may include a requirement to purchase from the Franchisor, from its affiliates, or from suppliers designated or approved in writing by the Franchisor.

    5. The Franchisor and its authorised representatives shall have the right, at any time during business hours and without prior notice, to enter upon the Franchised Location to conduct inspections, audits, evaluations and mystery shopping exercises, to interview personnel and customers, and to photograph, video record or otherwise document the condition and operation of the Franchised Business.

    6. In the event any inspection reveals any deficiency, deviation or non-compliance, the Franchisee shall remedy the same within such period as the Franchisor shall specify, and shall bear all costs associated with any re-inspection necessitated thereby.

    7. The Franchisee shall display the Marks and all signage, uniforms, forms, stationery, promotional materials and other items bearing the Marks strictly in accordance with the Franchisor's specifications, and shall not use the Marks in any manner not expressly authorised in writing by the Franchisor.

    8. The Franchisee shall comply with all applicable laws, regulations, ordinances, rules, orders and governmental requirements, and shall obtain and maintain in full force and effect all licences, permits, authorisations and consents required for the lawful conduct of the Franchised Business.

  7. Fees, Royalties and Marketing Fund

    1. In consideration of the grant of the franchise hereunder, the Franchisee shall pay to the Franchisor a non-refundable initial franchise fee in the amount of [Amount] [Currency], payable in full upon execution of this Agreement. The initial franchise fee shall be fully earned by the Franchisor upon receipt and shall under no circumstances be refundable in whole or in part.

    2. Throughout the Term, the Franchisee shall pay to the Franchisor a continuing royalty fee equal to [Percentage] percent of the Gross Revenues of the Franchised Business for each calendar month, which royalty shall be payable not later than the [Number] day of the calendar month immediately following the month in which such Gross Revenues were derived.

    3. The Franchisee shall further contribute to the Marketing Fund an amount equal to [Percentage] percent of the Gross Revenues of the Franchised Business, payable concurrently with and in the same manner as the royalty fee. Contributions to the Marketing Fund shall be administered and expended by the Franchisor in its sole discretion for such regional, national, international or systemwide advertising, marketing, promotional, public relations, market research and brand development activities as the Franchisor shall determine, with no obligation to expend any particular amount in or for the benefit of the Territory.

    4. All fees, royalties, contributions and other sums payable to the Franchisor hereunder shall be made in [Currency] by electronic funds transfer or such other method as the Franchisor shall designate, free and clear of and without deduction or withholding for any taxes, duties, levies, imposts, assessments or charges of any nature. In the event any such deduction or withholding is required by law, the Franchisee shall gross up the payment so that the Franchisor receives the full amount which it would have received had no such deduction or withholding been required.

    5. Any sum not paid when due shall bear interest from the due date until the date of actual payment at the rate of [Percentage] percent per month, or the maximum rate permitted by applicable law, whichever is lower, together with a late payment administrative charge of [Amount] [Currency] for each instance of late payment.

    6. The Franchisee shall maintain, at the Franchised Location and in accordance with sound accounting principles, complete and accurate books, records and accounts reflecting all aspects of the Franchised Business, and shall retain such records for a period of not less than [Number] years. The Franchisee shall submit to the Franchisor such periodic financial reports, sales reports, statistical data and other information as the Franchisor shall from time to time require.

    7. The Franchisor and its authorised representatives shall have the right, at any time and without prior notice, to inspect, audit and copy the books and records of the Franchisee. If any such audit discloses an understatement of Gross Revenues of two percent (2%) or more for any period examined, the Franchisee shall, in addition to paying the deficient amount with interest, reimburse the Franchisor for all costs and expenses of the audit, without prejudice to any other rights or remedies of the Franchisor.

    8. The Franchisee shall be solely responsible for and shall timely pay all taxes, duties and governmental charges arising out of or in connection with the Franchised Business or any payment made hereunder, and shall indemnify and hold the Franchisor harmless from and against any claim or liability in respect thereof.

  8. Intellectual Property Rights

    1. The Franchisee acknowledges and agrees that the Franchisor is the sole and exclusive owner of all right, title and interest in and to the Marks, the System, the Operations Manual, the Confidential Information and all other intellectual property utilised in connection with the Franchised Business, including without limitation all copyrights, trademarks, service marks, trade dress, trade names, logos, domain names, patents, patent applications, trade secrets, know-how, designs, databases and goodwill associated therewith (collectively, the "Intellectual Property").

    2. Nothing in this Agreement shall be construed as transferring or assigning to the Franchisee any ownership interest in the Intellectual Property. The Franchisee's rights are limited to the licence expressly granted herein, which licence shall terminate automatically upon the expiration or earlier termination of this Agreement.

    3. The Franchisee shall use the Marks only in the form and manner, and with such legends, notices and markings, as the Franchisor shall prescribe, and only in connection with the operation of the Franchised Business. The Franchisee shall not use the Marks as part of its corporate, business, trading or domain name, nor combine the Marks with any other word, symbol, mark or device, without the prior written consent of the Franchisor.

    4. All goodwill arising from the Franchisee's use of the Marks shall inure solely and exclusively to the benefit of the Franchisor, and the Franchisee shall acquire no right, title, interest or claim in or to the Marks or such goodwill as a result of such use.

    5. The Franchisee shall not, during the Term or at any time thereafter, directly or indirectly: (i) contest or assist others in contesting the validity, ownership or enforceability of any of the Intellectual Property; (ii) register, apply to register or cause to be registered any of the Marks or any colourable imitation thereof in any jurisdiction; (iii) use any name, mark or device confusingly similar to any of the Marks; or (iv) take any action inconsistent with the Franchisor's ownership of the Intellectual Property.

    6. The Franchisee shall promptly notify the Franchisor in writing of any actual or suspected infringement, misappropriation, dilution, challenge or unauthorised use of any of the Intellectual Property of which it becomes aware. The Franchisor shall have the sole and exclusive right, but not the obligation, to take such action as it deems appropriate in respect thereof, and the Franchisee shall cooperate fully in any such action at the Franchisor's request and expense.

    7. Any improvements, modifications, enhancements, adaptations, derivative works, suggestions or feedback relating to the System, the Marks or any Intellectual Property conceived, developed or made by or on behalf of the Franchisee, whether alone or jointly with others, shall be the sole and exclusive property of the Franchisor, and the Franchisee hereby irrevocably assigns, transfers and conveys to the Franchisor all right, title and interest therein, and shall execute such further documents as the Franchisor may reasonably require to perfect such assignment.

  9. Obligations of the Franchisor

    1. The Franchisor shall make available to the Franchisee the use of the Marks and the System on the terms set forth in this Agreement.

    2. The Franchisor shall provide the initial training programme described in this Agreement and shall make available such ongoing operational guidance as the Franchisor, in its reasonable judgement, deems appropriate.

    3. The Franchisor shall loan or make electronically available to the Franchisee one (1) copy of the Operations Manual for use during the Term, which Operations Manual shall remain the sole property of the Franchisor at all times and shall be returned forthwith upon the expiration or earlier termination of this Agreement.

    4. The Franchisor shall administer the Marketing Fund in its sole discretion and shall develop or cause to be developed such advertising, marketing and promotional programmes and materials as it deems appropriate for the benefit of the System as a whole.

    5. The Franchisor may, from time to time and in its sole discretion, develop and offer new products, services, programmes, technologies or operational enhancements, and may require the Franchisee to adopt and implement the same at the Franchisee's cost.

    6. The obligations of the Franchisor under this Agreement are limited to those expressly set forth herein. The Franchisor makes no representations, warranties or guarantees of any nature, express or implied, including without limitation any representation, warranty or guarantee as to the profitability, success, viability or future performance of the Franchised Business, all of which are expressly disclaimed to the fullest extent permitted by law.

  10. Obligations of the Franchisee

    1. The Franchisee shall devote its best efforts, full time and attention to the operation and development of the Franchised Business, and shall at all times act in a manner designed to enhance the goodwill and reputation of the Marks and the System.

    2. The Franchisee shall, at its sole cost and expense, secure, construct, equip, furnish, open and continuously operate the Franchised Business at the Franchised Location in accordance with the Franchisor's standards and specifications, and shall maintain the Franchised Location in a clean, safe, orderly and attractive condition and in good repair at all times.

    3. The Franchisee shall employ a sufficient number of qualified, competent, well-trained, neatly attired and courteous personnel to operate the Franchised Business in accordance with the standards of the System, and shall be solely responsible for all matters relating to such personnel, including recruitment, hiring, training, supervision, discipline, compensation, benefits and termination.

    4. The Franchisee shall timely pay all fees, royalties, contributions, taxes, charges and other sums due to the Franchisor and to any third parties, and shall discharge all liabilities and obligations arising out of the operation of the Franchised Business as and when they fall due.

    5. The Franchisee shall purchase, maintain and use only such products, equipment, supplies and materials as conform to the Franchisor's specifications, and shall offer for sale only such products and services as are expressly authorised by the Franchisor from time to time.

    6. The Franchisee shall comply with all applicable laws, regulations and governmental requirements, and shall maintain in full force and effect all licences, permits, consents and authorisations necessary for the lawful operation of the Franchised Business, copies of which shall be provided to the Franchisor upon request.

    7. The Franchisee shall promptly notify the Franchisor in writing of any event, circumstance, claim, action or proceeding that could reasonably be expected to have an adverse effect on the Franchised Business, the Franchisee, the Franchisor, the Marks or the System.

    8. The Franchisee shall at all times conduct the Franchised Business with honesty, integrity, courtesy and fair dealing, shall deal fairly with customers, suppliers and employees, and shall refrain from any conduct that could reflect adversely on or impair the goodwill of the Franchisor or the System.

  11. Confidentiality

    1. The Franchisee acknowledges that in connection with this Agreement it will have access to Confidential Information of the Franchisor, which Confidential Information is proprietary to and constitutes trade secrets of the Franchisor, the unauthorised disclosure or use of which would cause the Franchisor irreparable harm.

    2. The Franchisee shall, during the Term and at all times thereafter, hold all Confidential Information in strict confidence, shall use the Confidential Information solely for the purpose of operating the Franchised Business in accordance with this Agreement, and shall not disclose, divulge, publish, communicate or disseminate any Confidential Information to any third party without the prior written consent of the Franchisor.

    3. The Franchisee shall adopt and maintain such reasonable security measures as the Franchisor shall from time to time require to protect the Confidential Information against unauthorised access, use, disclosure, duplication, loss or theft.

    4. The Franchisee shall restrict access to the Confidential Information to those of its personnel who have a strict need to know such information for the purposes of operating the Franchised Business, and shall ensure that each such person is bound by written confidentiality undertakings substantially equivalent to those contained in this Section. The Franchisee shall be fully responsible and liable for any breach of such undertakings by any such person.

    5. The obligations of confidentiality set forth herein shall not apply to information which: (i) is or becomes publicly available other than through the fault of the Franchisee or any of its personnel; or (ii) is required to be disclosed by applicable law, court order or governmental authority, provided that the Franchisee shall give the Franchisor prompt prior written notice thereof so that the Franchisor may seek a protective order or other appropriate remedy.

    6. The Franchisee shall promptly notify the Franchisor in writing of any actual or suspected unauthorised disclosure, use, loss or theft of any Confidential Information, and shall take all such actions as the Franchisor shall direct to mitigate the consequences thereof.

    7. Upon the expiration or earlier termination of this Agreement, the Franchisee shall promptly return to the Franchisor all Confidential Information in its possession or control, together with all copies, extracts and derivative works thereof, in whatever form or medium, and shall certify in writing to the Franchisor that it has done so.

    8. The Franchisee acknowledges that any breach of this Section would cause irreparable harm to the Franchisor for which monetary damages would be inadequate, and the Franchisor shall be entitled, in addition to any other remedies available to it, to seek injunctive relief without the necessity of posting bond or proving actual damages.

  12. Insurance and Indemnification

    1. The Franchisee shall, at its sole cost and expense, procure and maintain in full force and effect throughout the Term such insurance policies as the Franchisor shall from time to time require, including without limitation commercial general liability insurance, product liability insurance, property insurance, business interruption insurance, workers' compensation insurance and such other coverages as the Franchisor shall specify, each with limits not less than those prescribed by the Franchisor from time to time.

    2. All insurance policies required hereunder shall be issued by reputable insurers acceptable to the Franchisor, shall name the Franchisor and its affiliates as additional insureds, shall provide that no cancellation, non-renewal or material modification shall be effective without at least thirty (30) days' prior written notice to the Franchisor, and shall contain waivers of subrogation in favour of the Franchisor.

    3. The Franchisee shall furnish to the Franchisor certificates of insurance evidencing compliance with the requirements of this Section prior to the commencement of operations and thereafter upon each renewal and upon request. The maintenance of such insurance shall in no way limit, reduce or otherwise affect the Franchisee's liability or indemnification obligations under this Agreement.

    4. The Franchisee shall indemnify, defend and hold harmless the Franchisor, its affiliates, and their respective officers, directors, shareholders, employees, agents, successors and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgements, settlements, costs and expenses (including reasonable attorneys' fees and court costs) of any nature whatsoever, directly or indirectly arising out of or in connection with: (i) the operation of the Franchised Business; (ii) any breach by the Franchisee of this Agreement; (iii) any act, omission, negligence, wilful misconduct or violation of law by the Franchisee or any of its personnel; (iv) any injury, death, loss or damage sustained by any person or property in connection with the Franchised Business; (v) any dispute involving the Franchisee's employees, suppliers, customers or landlord; and (vi) any tax, duty, levy or governmental charge assessed in connection with the Franchised Business.

    5. The Franchisor shall have the right, at its election, to assume the defence of any matter subject to indemnification hereunder with counsel of its own choosing, at the Franchisee's cost, and the Franchisee shall not settle or compromise any such matter without the prior written consent of the Franchisor.

    6. In no event shall the Franchisor be liable to the Franchisee for any indirect, incidental, special, consequential, punitive or exemplary damages, including without limitation lost profits, lost revenues, loss of goodwill or loss of business opportunity, arising out of or in connection with this Agreement, regardless of the form of action, whether in contract, tort, strict liability or otherwise, and whether or not the Franchisor has been advised of the possibility of such damages.

    7. The aggregate liability of the Franchisor to the Franchisee under or in connection with this Agreement, howsoever arising, shall not in any event exceed an amount equal to the total royalty fees actually paid by the Franchisee to the Franchisor during the twelve (12) months immediately preceding the event giving rise to the claim.

  13. Assignment and Transfer

    1. This Agreement is personal to the Franchisee and is entered into by the Franchisor in reliance upon and in consideration of the individual qualifications, character, skill, aptitude, business ability and financial capacity of the Franchisee and its principals.

    2. The Franchisee shall not, directly or indirectly, voluntarily, involuntarily, by operation of law or otherwise, assign, transfer, sublicense, pledge, mortgage, encumber, delegate or otherwise dispose of this Agreement, any rights or interests hereunder, the Franchised Business, any ownership interest in the Franchisee or any assets of the Franchised Business, in whole or in part, without the prior written consent of the Franchisor, which consent may be granted, withheld or conditioned in the Franchisor's sole and absolute discretion. Any purported transfer in violation of this Section shall be void ab initio and shall constitute a material breach of this Agreement.

    3. Without limiting the generality of the foregoing, any change in the ownership, voting control or management of the Franchisee, any merger, consolidation, reorganisation, dissolution or liquidation of the Franchisee, and any transfer upon death or incapacity, shall be deemed a transfer requiring the Franchisor's prior written consent.

    4. As a condition to any proposed transfer, the Franchisor may require, among other things: (i) that the proposed transferee satisfy the Franchisor's then-current standards for new franchisees, including training, financial and operational qualifications; (ii) that the proposed transferee execute the Franchisor's then-current standard form of franchise agreement, which may contain terms materially different from those contained herein; (iii) that the Franchisee and all guarantors execute a general release of all claims against the Franchisor and its affiliates; (iv) that all monetary obligations to the Franchisor and its affiliates be paid in full and all defaults cured; (v) that the Franchisee pay a transfer fee in the amount of [Amount] [Currency] or such other amount as the Franchisor shall then prescribe to defray administrative, legal and training expenses; and (vi) satisfaction of such other conditions as the Franchisor shall reasonably require.

    5. The Franchisor shall have the right of first refusal to purchase, upon the same terms and conditions as are offered by any bona fide third party, any interest proposed to be transferred by the Franchisee. The Franchisee shall promptly deliver to the Franchisor a complete and accurate copy of all terms of such proposed transfer, and the Franchisor shall have a period of sixty (60) days within which to exercise its right of first refusal.

    6. The Franchisor may, at any time and without the consent of or notice to the Franchisee, assign, transfer or otherwise dispose of this Agreement, in whole or in part, and any of its rights or obligations hereunder, to any person or entity, and the Franchisee shall execute all such instruments as the Franchisor may reasonably require to give effect to any such assignment.

  14. Termination

    1. This Agreement may be terminated by the Franchisor, with immediate effect and without opportunity to cure, upon written notice to the Franchisee, upon the occurrence of any of the following events: (i) the Franchisee becomes insolvent, makes an assignment for the benefit of creditors, files or has filed against it a petition in bankruptcy, reorganisation or similar proceeding, has a receiver, trustee or liquidator appointed over all or any substantial part of its assets, or ceases to carry on business in the ordinary course; (ii) the Franchisee or any of its principals is convicted of, or pleads guilty or no contest to, any felony, crime of moral turpitude or any offence that is reasonably likely to have an adverse effect on the Marks, the System or the goodwill of the Franchisor; (iii) the Franchisee abandons, surrenders or transfers control of the Franchised Business, or ceases to operate the Franchised Business for a period of [Number] consecutive days without the Franchisor's prior written consent; (iv) the Franchisee makes any material misrepresentation or omission in connection with the acquisition or operation of the Franchised Business; (v) the Franchisee discloses or divulges Confidential Information in violation of this Agreement; (vi) the Franchisee effects or purports to effect any unauthorised transfer; (vii) the Franchisee misuses the Marks or infringes any of the Intellectual Property; (viii) the Franchisee fails on three (3) or more occasions within any twelve (12) month period to comply with any one or more obligations under this Agreement, whether or not such failures are cured; or (ix) any governmental authority revokes, suspends or fails to renew any licence, permit or authorisation necessary for the operation of the Franchised Business.

    2. The Franchisor may terminate this Agreement upon the Franchisee's failure to pay any sum due to the Franchisor or any affiliate thereof when due, if such failure continues for a period of ten (10) days after written notice from the Franchisor.

    3. The Franchisor may terminate this Agreement upon any other material breach of this Agreement by the Franchisee which is not cured within thirty (30) days after written notice from the Franchisor specifying the nature of the breach, or such shorter period as applicable law may permit.

    4. The Franchisor's right to terminate this Agreement shall be in addition to, and not in lieu of, any other rights or remedies available to the Franchisor at law or in equity, including the right to seek damages, specific performance and injunctive relief.

    5. Upon the giving of notice of termination, all rights granted to the Franchisee hereunder shall cease, and the Franchisee shall immediately take all actions required to effect an orderly cessation of the Franchised Business and compliance with its post-termination obligations.

    6. No delay or failure by the Franchisor to exercise any right of termination, and no acceptance by the Franchisor of any payment or performance after any default, shall constitute a waiver of the Franchisor's right to terminate this Agreement with respect to such default or any subsequent default.

  15. Post-Termination Obligations and Restrictive Covenants

    1. Upon the expiration or earlier termination of this Agreement for any reason whatsoever, the Franchisee shall immediately: (i) cease to operate the Franchised Business; (ii) cease to use, in any manner whatsoever, the Marks, the System, the Operations Manual, the Confidential Information and all other Intellectual Property of the Franchisor; (iii) cease to hold itself out as a present or former franchisee of the Franchisor; (iv) remove, at its own cost, all signage, displays, trade dress, décor and other items bearing the Marks from the Franchised Location and all vehicles, uniforms, forms, stationery and promotional materials; and (v) take all such actions as may be necessary to cancel any assumed name, business name, trade name or similar registration containing any of the Marks.

    2. The Franchisee shall promptly return to the Franchisor the Operations Manual, all Confidential Information, all customer lists and data, and all other materials and property of the Franchisor in its possession or control, together with all copies, extracts and derivative works thereof, and shall certify in writing to the Franchisor that it has done so.

    3. The Franchisor shall have the option, exercisable within sixty (60) days after the expiration or termination of this Agreement, to purchase from the Franchisee any or all of the equipment, fixtures, furniture, signs, inventory and supplies of the Franchised Business at their then fair market value, less such amounts as are necessary to cure defaults, pay outstanding sums owing to the Franchisor, and compensate the Franchisor for the cost of such purchase.

    4. The Franchisor shall have the right to assume the Franchisee's telephone numbers, facsimile numbers, email addresses, website domain names, social media accounts and listings associated with the Franchised Business, and the Franchisee shall execute all documents and take all actions necessary to effect such transfer.

    5. The Franchisee covenants and agrees that, during the Term and for a period of two (2) years following the expiration or termination of this Agreement for any reason, the Franchisee shall not, directly or indirectly, for its own account or on behalf of any other person or entity, own, operate, manage, invest in, lend to, be employed by, consult for, or have any other interest in any business that offers products or services the same as or substantially similar to those offered by the Franchised Business or any other business within the System, where such business is located or operates within the Territory or within a radius of [Number] kilometres of the Franchised Location or any other Franchised Business operating under the System.

    6. The Franchisee further covenants and agrees that, during the Term and for a period of two (2) years following the expiration or termination of this Agreement, it shall not, directly or indirectly: (i) solicit, induce or attempt to induce any employee of the Franchisor or of any other franchisee of the System to leave such employment; (ii) employ or engage any person who was an employee of the Franchisor or of any other franchisee of the System within the preceding twelve (12) months; or (iii) solicit, divert or attempt to solicit or divert any customer, supplier, licensee or business relation of the Franchisor or any other franchisee of the System.

    7. The Franchisee acknowledges that the restrictive covenants set forth herein are reasonable and necessary to protect the legitimate business interests of the Franchisor, the goodwill associated with the Marks and the System, and the Confidential Information. Should any court of competent jurisdiction determine that any such covenant is unenforceable by reason of its scope, duration or geographic area, such covenant shall be reformed to the minimum extent necessary to render it enforceable and shall then be enforced as so reformed.

    8. Any breach of the post-termination obligations and restrictive covenants set forth in this Section shall entitle the Franchisor to injunctive relief without the necessity of posting bond or proving actual damages, in addition to any other remedies available at law or in equity. The periods specified herein shall be tolled during any period of breach.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed and interpreted in accordance with the laws of [Country], without regard to its conflict of laws principles.

    2. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, performance, breach or termination, shall be submitted to the exclusive jurisdiction of the competent courts of [City, Country], and the Parties hereby irrevocably submit to the jurisdiction of such courts and waive any objection to such venue on grounds of forum non conveniens or otherwise.

    3. Notwithstanding the foregoing, the Franchisor shall be entitled, at its sole option, to institute proceedings against the Franchisee in any court of competent jurisdiction in any location where the Franchisee resides, maintains assets, conducts business or where enforcement of a judgement may be sought, including without limitation for the purpose of seeking injunctive or other equitable relief.

    4. The Parties hereby irrevocably waive, to the fullest extent permitted by applicable law, any right they may have to a trial by jury in any legal proceeding arising out of or in connection with this Agreement.

    5. Prior to commencing any judicial proceeding (other than an action for injunctive or other equitable relief), the Parties shall attempt in good faith to resolve any dispute through amicable negotiations between senior representatives of the Parties, for a period of not less than thirty (30) days from the date on which one Party gives written notice to the other of the dispute.

    6. In any action, suit or proceeding brought to enforce or interpret this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees, court costs and other expenses incurred in connection therewith.

    7. The Franchisee hereby waives, to the fullest extent permitted by applicable law, any right to join any claim arising under or in connection with this Agreement with any claim of any other person or entity, and any right to participate in or bring any class, collective or representative action.

  17. Notices

    1. All notices, demands, requests, consents, approvals and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when: (i) delivered personally; (ii) sent by internationally recognised overnight courier service with tracking; (iii) sent by registered or certified mail with postage prepaid and return receipt requested; or (iv) sent by electronic mail, provided that a confirmation copy is simultaneously dispatched by one of the foregoing methods.

    2. Notices shall be addressed to the Parties at the addresses set forth below, or at such other address as either Party may from time to time designate by notice given in accordance with this Section:

    3. If to the Franchisor: [Franchisor Address], Attention: [Name/Title], Email: [Email Address].

    4. If to the Franchisee: [Franchisee Address], Attention: [Name/Title], Email: [Email Address].

    5. 6. A Party may change its address or designated recipient for notices by giving written notice of such change to the other Party in accordance with this Section, such change to be effective ten (10) days after receipt of such notice.

    7. The failure to deliver a courtesy copy of any notice shall not affect the validity or effectiveness of any notice otherwise duly given.

  18. Miscellaneous

    1. This Agreement, together with all documents expressly incorporated herein by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations and discussions, whether oral or written, with respect thereto. The Franchisee acknowledges that it has not been induced to enter into this Agreement by any representation, warranty, promise or statement not expressly set forth herein.

    2. No amendment, modification, supplement or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorised representatives of both Parties, provided however that the Franchisor may unilaterally modify the Operations Manual and the System from time to time in accordance with this Agreement.

    3. No failure or delay by the Franchisor in exercising any right, power or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of such right, power or remedy. All rights and remedies of the Franchisor hereunder are cumulative and in addition to any other rights and remedies available at law or in equity.

    4. If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from this Agreement and the remaining provisions shall continue in full force and effect. The Parties shall negotiate in good faith to replace any such invalid provision with a valid provision that reflects as closely as possible the original intent of the Parties.

    5. Neither Party shall be liable for any delay or failure to perform any obligation under this Agreement (other than any obligation for the payment of money) by reason of any cause beyond its reasonable control, including without limitation acts of God, war, terrorism, civil disturbance, fire, flood, earthquake, pandemic, governmental action or labour dispute, provided that the affected Party gives prompt written notice to the other and uses reasonable efforts to resume performance.

    6. The relationship of the Parties is that of independent contractors. Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, fiduciary or employment relationship between the Parties. Neither Party shall have the authority to bind, obligate or make any representation on behalf of the other.

    7. This Agreement is for the exclusive benefit of the Parties hereto and their permitted successors and assigns, and no third party shall have any right, interest or claim hereunder or be entitled to enforce any provision hereof.

    8. The provisions of this Agreement which by their nature are intended to survive the expiration or termination of this Agreement, including without limitation those relating to intellectual property, confidentiality, indemnification, post-termination obligations and restrictive covenants, governing law and dispute resolution, shall survive such expiration or termination.

    9. This Agreement may be executed in any number of counterparts, each of which when executed shall be deemed an original and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be as effective as delivery of an originally executed counterpart.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be duly executed by their respective authorised representatives as of the Effective Date first above written.
