NOW, THEREFORE, in consideration of the mutual covenants, representations, and warranties contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto agree as follows.

    2. "Franchised Business" shall mean the business operated by the Franchisee pursuant to this Agreement at the Approved Location, utilizing the System and the Marks, and conforming in all respects to the standards, specifications, and operating procedures prescribed by the Franchisor from time to time, as further elaborated in the Operations Manual.

    3. "Approved Location" shall mean the premises situated at [Address], or such other premises within the Territory as may be approved in writing by the Franchisor, at which the Franchisee shall operate the Franchised Business and no other location whatsoever without the prior written consent of the Franchisor.

    4. "Gross Revenue" shall mean the aggregate of all revenues, receipts, and income of every kind and nature derived by the Franchisee from the operation of the Franchised Business, whether received in cash, credit, or by way of barter, and whether collected or not, excluding only bona fide refunds to customers and taxes required by law to be collected from customers and remitted to taxing authorities.

    5. "Operations Manual" shall mean the confidential manual or manuals, in whatever form or medium, prepared by the Franchisor and made available to the Franchisee, containing the mandatory and recommended standards, specifications, procedures, and policies for the operation of the Franchised Business, as the same may be amended, supplemented, or revised by the Franchisor from time to time in its reasonable discretion.

    9. In the event of any inconsistency between any provision of this Agreement and any provision of the Operations Manual, the provisions of this Agreement shall prevail. The recitals set forth above are incorporated herein by this reference and form an integral part of this Agreement.

  2. Grant of Franchise

    1. Subject to the terms, conditions, covenants, and restrictions contained in this Agreement, the Franchisor hereby grants to the Franchisee, and the Franchisee hereby accepts, the right and license to establish, operate, and conduct the Franchised Business under the Marks and in accordance with the System, exclusively within the Territory and solely at the Approved Location, for the Term set forth herein.

    2. The grant of franchise set forth herein is personal to the Franchisee and shall not be assigned, transferred, sublicensed, pledged, or otherwise encumbered, in whole or in part, whether by operation of law or otherwise, without the prior written consent of the Franchisor, which consent shall not be unreasonably withheld, delayed, or conditioned.

    3. The Franchisee acknowledges and agrees that the rights granted hereunder are limited to the operation of the Franchised Business as contemplated by this Agreement and do not extend to any other business, activity, product line, distribution channel, or location, and that the Franchisor retains all rights not expressly granted herein.

    4. The relationship created by this Agreement is that of independent contractors. Nothing contained herein shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between the Parties, and neither Party shall have the power or authority to bind, obligate, or incur any liability on behalf of the other Party, except as expressly provided herein.

    5. The Franchisee shall conspicuously identify itself at the Approved Location, on all business correspondence, invoices, and other materials, as an independent owner and operator of the Franchised Business pursuant to a franchise granted by the Franchisor, in such form and manner as the Franchisor may reasonably require.

    6. The Franchisee shall not, during the Term of this Agreement, engage directly or indirectly in any business that is competitive with or similar to the Franchised Business, nor shall the Franchisee own, operate, or have any financial interest in any such competing business, whether within or outside the Territory, without the prior written consent of the Franchisor.

    7. The grant of franchise is conditional upon the continuing compliance by the Franchisee with all terms and conditions of this Agreement, and any breach thereof may give rise to the remedies available to the Franchisor hereunder, including without limitation the right of termination.

  3. Marketing and Advertising Fund

    1. The Franchisee shall contribute to a marketing and advertising fund (the "Marketing Fund") established and administered by the Franchisor for the purpose of promoting, advertising, and enhancing the public image, goodwill, and recognition of the Marks and the System generally. Such contribution shall be in the amount of [Percentage]% of the Franchisee's Gross Revenue, payable concurrently with and in the same manner as the royalty payments provided for herein.

    2. The Marketing Fund shall be utilized by the Franchisor, in its reasonable discretion, for the development, production, placement, and dissemination of advertising, promotional, and marketing materials and campaigns, including without limitation print, broadcast, digital, social media, and outdoor advertising, market research, public relations, and the maintenance of a system-wide website.

    3. The Franchisor shall not be obligated to ensure that expenditures from the Marketing Fund within or benefiting the Territory are proportionate or equivalent to the contributions made by the Franchisee, and the Franchisee acknowledges that the Marketing Fund is intended to maximize general public recognition and acceptance of the Marks and System for the benefit of all franchisees, which may inure to the Franchisee indirectly rather than directly.

    4. The Franchisor shall maintain accurate records of all contributions received into and expenditures made from the Marketing Fund, and shall, upon written request made no more than once per calendar year, provide the Franchisee with a summary statement of such receipts and expenditures for the preceding fiscal year.

    5. In addition to the required contributions to the Marketing Fund, the Franchisee shall, at its own cost and expense, expend not less than [Percentage]% of its Gross Revenue on local advertising and promotional activities within the Territory, all of which materials and activities shall be subject to the prior written approval of the Franchisor as to form, content, and placement.

    6. The Franchisee shall not undertake any advertising, promotional, or marketing activity utilizing the Marks or referencing the System without first obtaining the Franchisor's written approval of all materials, media, and placements, which approval the Franchisor may grant or withhold in its reasonable discretion based on considerations of brand integrity and consistency.

    7. The Franchisor reserves the right, from time to time and upon reasonable prior notice, to adjust the percentage contribution to the Marketing Fund, provided that any such adjustment shall not exceed [Maximum Percentage]% of Gross Revenue and shall apply uniformly to all franchisees similarly situated within the System.

  4. Exclusive Territory

    1. The Franchisor hereby grants to the Franchisee, during the Term and subject to the terms and conditions hereof, the exclusive right to operate the Franchised Business within the geographic area described as follows: [Detailed Description of Territory, including boundaries, postal codes, administrative divisions, or other defining criteria] (the "Territory").

    2. During the Term of this Agreement and provided that the Franchisee is not in default hereunder, the Franchisor shall not establish, nor grant to any other person or entity the right to establish, any other franchised or company-owned outlet operating under the Marks and System within the Territory.

    3. Notwithstanding the exclusivity granted herein, the Franchisor expressly reserves unto itself and its affiliates the following rights, which are not within the scope of exclusivity: the right to sell products bearing the Marks through alternative channels of distribution, including without limitation electronic commerce, mail order, wholesale, and institutional sales; the right to operate and license the operation of other business concepts distinct from the Franchised Business; and the right to acquire, be acquired by, or merge with any other business, including competing businesses, whether or not operating within the Territory.

    4. The Franchisee shall not, directly or indirectly, solicit customers, advertise, or otherwise conduct the Franchised Business outside the Territory, nor establish any additional outlet, branch, or point of sale outside the Approved Location, without the prior written consent of the Franchisor.

    5. The Franchisor undertakes to use commercially reasonable efforts to enforce the territorial rights of its franchisees against infringement by other franchisees or by itself, and shall take appropriate action against any franchisee that materially encroaches upon the Territory, provided that the Franchisee shall first notify the Franchisor in writing of any alleged encroachment with reasonable particulars.

    6. Should the Franchisor wish to establish any additional franchised or company-owned outlet within the Territory, whether under the Marks or under any other brand owned or controlled by the Franchisor, the Franchisor shall first offer the Franchisee a right of first refusal on commercially reasonable terms, which right shall be exercisable by the Franchisee within [Number] days of receipt of such offer.

    7. Any modification, reduction, or redrawing of the Territory during the Term shall require the prior written consent of the Franchisee, which consent may be withheld in the Franchisee's sole discretion.

  5. Term and Renewal

    1. The initial term of this Agreement shall be a period of five (5) years, commencing on the Effective Date and expiring on the fifth anniversary thereof, unless sooner terminated in accordance with the provisions hereof (the "Initial Term").

    2. Upon the expiration of the Initial Term, the Franchisee shall have the right, exercisable at its option, to renew this Agreement for successive additional terms of five (5) years each (each a "Renewal Term," and together with the Initial Term, the "Term"), subject to and in accordance with the conditions set forth below.

    3. To exercise its right of renewal, the Franchisee shall provide written notice of its intention to renew to the Franchisor not less than [Number] months and not more than [Number] months prior to the expiration of the then-current Term.

    4. Renewal shall be conditional upon the Franchisee being in substantial compliance with the material terms of this Agreement at the time of renewal, having cured any outstanding defaults that may have been noticed by the Franchisor, and executing the Franchisor's then-current form of franchise agreement, provided that the renewal shall not require the payment of any additional initial franchise fee and shall preserve the territorial and economic terms substantially equivalent to those contained herein.

    5. The Franchisor shall not unreasonably withhold or delay its consent to the renewal of this Agreement, and any refusal to renew shall be supported by a written statement setting forth the specific grounds therefor, delivered to the Franchisee not less than [Number] months prior to the expiration of the then-current Term.

    6. In the event of renewal, all terms and conditions of this Agreement shall continue to apply during the Renewal Term, subject only to such modifications as may be reasonably necessary to reflect the Franchisor's then-current standard franchise agreement and provided that no modification shall materially diminish the rights of the Franchisee hereunder or impose materially greater obligations without the Franchisee's consent.

    7. Should the Franchisee elect not to renew, this Agreement shall expire at the end of the then-current Term, and the provisions of the section titled Consequences of Termination and Post-Termination Obligations shall apply mutatis mutandis.

  6. Obligations of the Franchisor

    1. The Franchisor shall, prior to the commencement of the Franchised Business and thereafter during the Term, make available to the Franchisee the Operations Manual and such other written materials, specifications, standards, and guidelines as the Franchisor deems necessary or appropriate for the proper operation of the Franchised Business.

    2. The Franchisor shall provide to the Franchisee and its designated personnel an initial training program, as more particularly described in the section titled Training and Ongoing Support, at such location or locations and in such manner as the Franchisor may reasonably designate.

    5. The Franchisor shall undertake, at its own cost and expense, the registration, maintenance, protection, and enforcement of the Marks within the Territory and shall take such action as the Franchisor deems necessary and appropriate to prevent unauthorized use of the Marks by third parties.

    6. The Franchisor shall establish and administer the Marketing Fund in accordance with the section titled Marketing and Advertising Fund, and shall develop and make available system-wide advertising, promotional, and marketing programs and materials for use by franchisees.

  7. Initial Fees and Ongoing Royalties

    1. In consideration of the grant of franchise and the rights conferred herein, the Franchisee shall pay to the Franchisor an initial franchise fee in the amount of [Amount] [Currency] (the "Initial Fee"), payable in full upon execution of this Agreement, which Initial Fee shall be fully earned by the Franchisor upon receipt and shall be non-refundable except as expressly provided herein.

    2. In addition to the Initial Fee, the Franchisee shall pay to the Franchisor a continuing royalty in the amount of [Percentage]% of the Franchisee's Gross Revenue (the "Royalty") throughout the Term of this Agreement.

    3. The Royalty and the Marketing Fund contribution shall be computed on the basis of the Franchisee's Gross Revenue for each calendar month and shall be paid to the Franchisor not later than the [Number] day of the month following the month in which such Gross Revenue was generated, together with a statement in such form as the Franchisor may reasonably prescribe showing the computation thereof.

    4. All payments due to the Franchisor hereunder shall be made in [Currency] by electronic funds transfer to such account as the Franchisor may from time to time designate in writing, and shall be made free and clear of any deduction, set-off, or counterclaim, save for any withholding required by applicable law.

    5. Any amount not paid when due shall bear interest from the due date until paid at the rate of [Percentage]% per month or the maximum rate permitted by applicable law, whichever is less, without prejudice to any other remedy available to the Franchisor; provided, however, that no interest shall accrue on amounts disputed by the Franchisee in good faith until the dispute is resolved, and in no event shall the Franchisor be entitled to charge compounded or punitive interest.

    6. All fees, royalties, and other charges payable by the Franchisee under this Agreement are exclusive of any applicable sales, use, value added, or similar taxes, which shall be the responsibility of the Party upon whom such taxes are imposed by law.

    7. The Franchisor shall not increase or impose any new fees, royalties, or financial obligations upon the Franchisee during the Term beyond those expressly set forth in this Agreement, except with the prior written consent of the Franchisee or as otherwise expressly permitted hereunder.

  8. Training and Ongoing Support

    1. Prior to the commencement of the Franchised Business, the Franchisor shall provide to the Franchisee and up to [Number] of its designated personnel a comprehensive initial training program, of such duration and content as the Franchisor may reasonably determine, covering the operation of the Franchised Business, the use of the System, the Marks, and the Operations Manual.

    2. The initial training program shall be provided by the Franchisor without additional charge beyond the Initial Fee, provided that the Franchisee shall be responsible for all travel, lodging, meals, wages, and other personal expenses incurred by its personnel in attending such training.

    3. 4. The Franchisor shall provide ongoing operational support to the Franchisee throughout the Term, including without limitation telephone, electronic mail, and other remote consultation during normal business hours, periodic on-site visits by field representatives, and the dissemination of operational bulletins, product updates, and system enhancements.

    6. The Franchisor shall make reasonable efforts to respond promptly to requests for assistance and guidance from the Franchisee and shall endeavor to provide such assistance in a manner that supports the successful operation of the Franchised Business.

    7. Any mandatory training required by the Franchisor after the initial training program shall be provided at a cost no greater than the Franchisor's actual direct cost of providing such training, and the Franchisor shall provide reasonable advance notice of the schedule and location of such training.

  9. Brand Standards and System Compliance

    5. The Franchisee shall conduct the Franchised Business during such days and hours as the Franchisor may prescribe, and shall maintain adequate staffing, inventory, and operational capacity to meet customer demand.

    6. The Franchisor may, upon reasonable prior notice and during normal business hours, conduct inspections of the Approved Location and the operations of the Franchised Business to verify compliance with the standards and specifications set forth in the Operations Manual.

    7. 2. The Franchisee's use of the Marks and other intellectual property of the Franchisor shall inure solely to the benefit of the Franchisor, and the Franchisee shall acquire no right, title, or interest in or to such intellectual property by virtue of this Agreement or its performance hereunder, other than the limited license expressly granted herein.

    3. The Franchisee shall use the Marks only in such form and manner, and in connection with such products and services, as are specifically authorized by the Franchisor in writing, and shall not use the Marks in combination with any other mark, name, or symbol without the prior written consent of the Franchisor.

    4. The Franchisee shall not, during or after the Term, directly or indirectly, challenge, contest, or impair, nor assist any third party in challenging, contesting, or impairing, the validity or ownership of the Marks or any other intellectual property of the Franchisor, nor shall the Franchisee register or seek to register the Marks or any confusingly similar mark in its own name or on behalf of any other person.

    5. The Franchisee shall promptly notify the Franchisor in writing of any infringement, imitation, misuse, or unauthorized use of the Marks or other intellectual property of the Franchisor of which the Franchisee becomes aware, and shall cooperate reasonably with the Franchisor in any action taken by the Franchisor to protect such intellectual property.

    6. The Franchisor shall have the sole right to determine whether and how to pursue legal action against any alleged infringer, and shall bear all costs and expenses of such action and shall be entitled to retain all recoveries therefrom.

    7. The Franchisor shall indemnify, defend, and hold harmless the Franchisee from and against any claim brought by a third party alleging that the Franchisee's authorized use of the Marks in accordance with this Agreement infringes the intellectual property rights of such third party, provided that the Franchisee promptly notifies the Franchisor of such claim and cooperates in the defense thereof.

    8. 8. In the event of any breach or threatened breach of this section, the Franchisor shall be entitled, in addition to all other remedies available at law or in equity, to seek and obtain injunctive relief without the necessity of posting a bond or proving actual damages.

  13. Insurance and Indemnification

    1. The Franchisee shall, at its own cost and expense, obtain and maintain throughout the Term insurance coverage of such types and in such amounts as are customary for businesses of the type and size of the Franchised Business, and as may be reasonably required by the Franchisor, including without limitation general commercial liability insurance, property insurance, workers' compensation insurance where required by law, and business interruption insurance.

    6. Notwithstanding any other provision of this Agreement, in no event shall either Party be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with this Agreement, provided that this limitation shall not apply to breaches of confidentiality obligations, infringement of intellectual property rights, or indemnification obligations in respect of third-party claims.

  14. Books, Records, and Audit Rights

    1. 6. 7. The Franchisor shall maintain in confidence all non-public information obtained in the course of any audit or inspection conducted pursuant to this section, and shall use such information solely for purposes connected with the enforcement and administration of this Agreement.

    7. The rights of termination set forth in this section are in addition to, and not in derogation of, any other rights or remedies available to the Parties at law or in equity, and the exercise of any such right or remedy shall not preclude the exercise of any other.

  16. Consequences of Termination and Post-Termination Obligations

    1. 4. 5. The Franchisee shall not assign this Agreement or any rights or obligations hereunder without the prior written consent of the Franchisor.
