TUTORING AGREEMENT

This Tutoring Agreement (the "Agreement") is entered into and made effective as of [EFFECTIVE DATE] (the "Effective Date"), by and between [TUTOR FULL LEGAL NAME], a private individual residing at [TUTOR ADDRESS], [CITY, STATE, ZIP CODE], United States (hereinafter referred to as the "Tutor"), and [PARENT OR GUARDIAN FULL LEGAL NAME], an individual residing at [PARENT OR GUARDIAN ADDRESS], [CITY, STATE, ZIP CODE], United States, acting in his or her capacity as parent or legal guardian of [MINOR STUDENT FULL NAME], a minor born on [DATE OF BIRTH] (hereinafter referred to as the "Student"), such parent or guardian being hereinafter referred to as the "Client." The Tutor and the Client are hereinafter referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Tutor is a private individual engaged in the provision of academic tutoring services and possesses the knowledge, skill, and experience necessary to deliver instruction in the subject matter contemplated herein;

WHEREAS, the Client desires to engage the Tutor to provide private, individualized tutoring services to the Student, and the Tutor is willing to provide such services upon the terms and subject to the conditions set forth in this Agreement;

WHEREAS, the Parties intend that all tutoring sessions shall be conducted remotely by means of an online video conferencing platform mutually acceptable to the Parties; and

WHEREAS, the Parties wish to set forth in writing their mutual rights, duties, obligations, and understandings with respect to the engagement.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  1. Engagement and Scope of Tutoring Services

    1. The Client hereby engages the Tutor, and the Tutor hereby accepts such engagement, to provide private academic tutoring services (the "Services") to the Student upon the terms and conditions set forth in this Agreement. The Services shall consist of individualized instruction, explanation of academic concepts, review of coursework, preparation for examinations and assessments, and such related academic support as the Parties may reasonably agree from time to time.

    2. The Tutor shall render the Services as an independent contractor and private individual, and nothing contained in this Agreement shall be construed to create a relationship of employer and employee, principal and agent, partnership, joint venture, or franchise between the Parties. The Tutor shall be solely responsible for the determination of his or her own federal, state, and local tax obligations arising from the compensation received hereunder.

    3. The Services shall be provided on a non-exclusive basis, and nothing herein shall preclude the Tutor from providing comparable services to other students or clients, nor shall anything herein preclude the Client from engaging other tutors or educational service providers for the benefit of the Student.

    4. The Tutor shall perform the Services with reasonable care, diligence, and professional skill consistent with prevailing standards for private tutors engaged in similar subject matter, and shall at all times conduct himself or herself in a courteous, respectful, and professional manner toward the Student and the Client.

    5. The Tutor may not subcontract, assign, or delegate the performance of the Services, in whole or in part, to any third party without the prior written consent of the Client, it being expressly understood that the Services are of a personal nature and are to be rendered by the Tutor individually.

    6. The scope of the Services may be modified, expanded, or reduced from time to time only by mutual written agreement of the Parties, which agreement may be evidenced by exchange of email or other durable electronic communication.

  2. Subjects, Objectives, and Learning Goals

    1. The Services shall encompass instruction in the following subject or subjects (the "Subjects"): [LIST OF SUBJECTS, GRADE LEVEL, OR CURRICULUM]. The Tutor represents that he or she possesses adequate competence to deliver instruction in the Subjects at the level appropriate to the Student.

    2. The Parties have identified the following general learning objectives and goals for the engagement (the "Learning Goals"): [DESCRIPTION OF LEARNING GOALS, DESIRED OUTCOMES, EXAMINATIONS, OR MILESTONES]. The Learning Goals are aspirational in nature and shall not constitute a guarantee or warranty of any particular academic result.

    3. The Tutor shall endeavor to tailor the instructional methodology, pace, and content of each lesson to the individual learning style, strengths, and areas of improvement of the Student, and shall revise the instructional approach from time to time as the Tutor, in his or her reasonable professional judgment, deems appropriate.

    4. The Client acknowledges that the attainment of the Learning Goals is dependent in substantial part upon the diligence, preparation, attendance, and engagement of the Student, as well as upon factors beyond the control of the Tutor, including but not limited to the Student's prior academic foundation, aptitude, and extracurricular commitments.

    5. The Parties may, by mutual written agreement, modify, supplement, or amend the Subjects or the Learning Goals from time to time as the Student's needs evolve, and any such modification shall be reflected in a written communication between the Parties.

    6. The Tutor shall maintain reasonable familiarity with the curriculum, syllabus, or examination framework applicable to the Subjects, and the Client shall furnish to the Tutor such syllabi, textbooks, assignments, and other reference materials as may be reasonably necessary to permit the Tutor to render the Services effectively.

  3. Lesson Schedule, Duration, and Online Platform

    1. Tutoring sessions (each, a "Lesson") shall be scheduled to occur on [DAYS OF WEEK] at [TIME], or at such other dates and times as may be mutually agreed upon by the Parties from time to time. Each Lesson shall have a duration of [LESSON DURATION IN MINUTES] minutes, unless otherwise agreed in writing.

    2. All Lessons shall be conducted online by means of the [NAME OF ONLINE PLATFORM] video conferencing platform, or such other comparable platform as the Parties may mutually agree upon in writing (the "Platform"). The Tutor shall be responsible for initiating and hosting each Lesson and shall transmit the applicable meeting link, access credentials, or invitation to the Client with reasonable advance notice.

    3. Each Party shall be solely responsible, at its own cost and expense, for procuring and maintaining the hardware, software, internet connectivity, peripheral equipment, and ambient conditions necessary to permit full participation in Lessons via the Platform, including, without limitation, a functioning computer or tablet, webcam, microphone, and stable broadband internet connection.

    4. In the event that technical difficulties attributable to the Platform, the internet, or the equipment of either Party materially impair the conduct of a Lesson, the Parties shall cooperate reasonably and in good faith to reschedule the affected Lesson or complete the remaining portion thereof at a mutually convenient time without additional charge.

    5. The Tutor shall endeavor to commence each Lesson punctually at the scheduled time. In the event that the Student arrives late to a Lesson, the Tutor shall not be obligated to extend the Lesson beyond its scheduled conclusion time, and the full fee for the Lesson shall remain payable.

    6. If the Tutor arrives late to a scheduled Lesson, the Tutor shall, at the Client's election, either extend the Lesson by the amount of time lost or deduct a pro rata portion of the fee from the invoice for such Lesson.

    7. The Parties acknowledge that the online format imposes certain inherent limitations and agree to communicate openly regarding any adjustments to format, pacing, or scheduling that may enhance the educational experience of the Student.

  4. Fees, Invoicing, and Payment Terms

    1. In consideration of the Services, the Client shall pay to the Tutor a fee of [AMOUNT IN U.S. DOLLARS] per Lesson (the "Fee"). The Fee shall be inclusive of ordinary preparation time, instructional time, and routine post-Lesson follow-up, unless otherwise expressly agreed in writing.

    2. The Fee shall be invoiced and payable on a per-Lesson basis, with payment due within [NUMBER] days following the conclusion of each Lesson. Payment shall be made by means of [PAYMENT METHOD, e.g., bank transfer, Zelle, PayPal, Venmo] to the account designated by the Tutor in writing.

    3. The Tutor shall furnish to the Client a written invoice, receipt, or electronic confirmation of each Lesson, which document shall set forth the date, duration, and Fee associated with the Lesson, and shall be sufficient to constitute a demand for payment.

    4. Any Fee not paid when due shall bear interest at the rate of [INTEREST RATE, e.g., 1.5]% per month, or the maximum rate permitted by applicable law, whichever is lower, from the due date until paid in full. The Tutor shall also be entitled to recover reasonable costs of collection, including attorneys' fees, in the event of persistent nonpayment.

    5. The Fee is exclusive of any applicable sales, use, or similar taxes that may be imposed by any governmental authority, which taxes, if any, shall be borne by the Client.

    6. The Tutor may adjust the Fee prospectively upon not less than thirty (30) days' prior written notice to the Client. Any such adjustment shall apply only to Lessons conducted after the effective date of the adjustment, and the Client shall have the right to terminate this Agreement, without penalty, prior to the effective date of the adjustment by delivering written notice of termination to the Tutor.

    7. In the event that the Client's account becomes delinquent by more than [NUMBER] days, the Tutor may, at the Tutor's sole discretion and without further notice, suspend the rendering of further Lessons until the delinquency is cured in full.

  5. Cancellation, Rescheduling, and Make-Up Lessons

    1. Either Party may cancel or request the rescheduling of a scheduled Lesson by delivering notice to the other Party not less than twenty-four (24) hours prior to the scheduled commencement time of the Lesson (the "Notice Period"). Such notice may be given by email, text message, or other electronic communication to which the recipient has access.

    2. A Lesson cancelled or rescheduled within the Notice Period shall be rescheduled to a mutually convenient alternative date and time without any additional charge or forfeiture of fees, provided that the rescheduled Lesson shall take place within [NUMBER] days of the originally scheduled date, unless otherwise agreed.

    3. In the event that the Client cancels, reschedules, or fails to attend a Lesson without having provided notice at least twenty-four (24) hours in advance, the full Fee for such Lesson shall be payable, except where the cancellation results from the illness of the Student, a bona fide family emergency, or other extraordinary circumstance beyond the Client's reasonable control, in which case the Tutor shall offer one (1) rescheduled Lesson at no additional charge.

    4. In the event that the Tutor cancels or reschedules a Lesson without having provided notice at least twenty-four (24) hours in advance, no Fee shall be payable in respect of such Lesson, and the Tutor shall offer a make-up Lesson at a mutually convenient time at no additional charge, except where such cancellation is attributable to illness of the Tutor, a bona fide emergency, or other extraordinary circumstance beyond the Tutor's reasonable control, in which case the Tutor shall provide notice as soon as reasonably practicable.

    5. Make-up Lessons shall be of the same duration and shall be subject to the same terms and conditions as the original Lesson. Make-up Lessons that are not completed within [NUMBER] days of the originally scheduled Lesson shall be forfeited unless the Parties mutually agree otherwise in writing.

    6. Persistent failure by the Student to attend scheduled Lessons, or repeated last-minute cancellations by the Client, shall, at the Tutor's option, constitute grounds for termination of this Agreement pursuant to the provisions governing termination set forth herein.

  6. Instructional Materials and Intellectual Property

    1. The Tutor shall furnish, or make reference to, such instructional materials, exercises, worksheets, problem sets, slides, and other learning resources as the Tutor deems appropriate to the delivery of the Services (collectively, the "Materials"). The Client shall be responsible for ensuring that the Student has access to any required textbooks, workbooks, or external resources prescribed by the Student's school or examination body.

    2. All Materials prepared or originated by the Tutor in the course of rendering the Services, including, without limitation, custom notes, exercises, assessments, and lesson plans, shall remain the sole and exclusive intellectual property of the Tutor, who shall retain all right, title, and interest therein, including all copyright and other proprietary rights.

    3. The Tutor hereby grants to the Client and the Student a limited, non-exclusive, non-transferable, royalty-free license to use the Materials solely for the personal, non-commercial educational purposes of the Student. The license shall not include any right to reproduce, redistribute, publish, upload to any public forum, sell, sublicense, or create derivative works from the Materials.

    4. Any third-party materials incorporated or referenced within the instruction shall remain the property of their respective owners, and the Client and the Student shall use such third-party materials in accordance with the terms imposed by the applicable rights holders.

    5. The Client shall not record, in audio or video form, any Lesson or portion thereof, nor transmit, publish, or share any recording, screenshot, or likeness of the Tutor, without the prior written consent of the Tutor. Similarly, the Tutor shall not record any Lesson without the prior written consent of the Client.

    6. Any work product generated by the Student during Lessons, including completed exercises, essays, and projects, shall remain the property of the Student, subject to the Tutor's underlying rights in any template, prompt, or framework provided by the Tutor.

    7. Upon termination of this Agreement, the license granted to the Client and the Student in respect of the Materials shall survive for the sole purpose of permitting continued personal reference by the Student, but shall not expand into any broader right of use.

  7. Progress Reporting and Communication with Parent or Guardian

    1. The Tutor shall, upon the reasonable request of the Client, and in any event not less frequently than [FREQUENCY, e.g., once per month], provide to the Client a written or oral report summarizing the Student's progress, areas of strength, areas warranting further attention, and recommendations for ongoing study.

    2. The Tutor shall promptly inform the Client of any material concerns that come to the Tutor's attention regarding the Student's academic performance, engagement, behavior during Lessons, or well-being, insofar as such matters are observable to the Tutor in the course of rendering the Services.

    3. Routine communication between the Tutor and the Client shall be conducted via [PREFERRED COMMUNICATION METHOD, e.g., email or text message] at the contact details designated by each Party. The Tutor shall endeavor to respond to communications from the Client within [NUMBER] business days.

    4. All substantive communications regarding the Student, including scheduling, progress, invoicing, and payment, shall be directed to the Client, and not to the Student, unless the Client has provided prior written authorization permitting direct communication with the Student outside of Lessons.

    5. The Client agrees to furnish to the Tutor, in a timely manner, such information regarding the Student's school assignments, upcoming examinations, grades, and academic requirements as may be reasonably necessary to permit the Tutor to render the Services effectively.

    6. The Tutor shall not communicate directly with the Student's school, teachers, or other third parties regarding the Student without the prior written authorization of the Client, except as may be required by applicable law.

    7. Progress reports and communications provided by the Tutor shall reflect the Tutor's good-faith professional observations and shall not constitute a formal academic evaluation, diagnostic assessment, or guarantee of future performance.

  8. No Guarantee of Academic Results

    1. The Client expressly acknowledges and agrees that the Tutor makes no representation, warranty, or guarantee, whether express or implied, as to the attainment by the Student of any specific grade, test score, examination result, admission outcome, course placement, or other academic achievement.

    2. The outcome of the Student's academic endeavors depends upon numerous factors beyond the Tutor's control, including, without limitation, the Student's innate aptitude, prior preparation, effort, consistency of attendance, independent study, health, emotional disposition, and the subjective judgment of third-party examiners, teachers, or admissions bodies.

    3. The Tutor's obligation hereunder is one of means and reasonable professional effort, and not of result. The Tutor shall render the Services competently and in good faith, but shall not be deemed to have breached this Agreement by reason of the Student's failure to attain any particular academic objective.

    4. No statement, projection, estimate, or encouragement offered by the Tutor regarding the Student's likely progress or expected examination performance shall be construed as a promise, guarantee, or warranty of any particular outcome.

    5. The Client agrees that the Tutor shall not be liable for any direct or indirect academic, financial, or personal consequences arising from the Student's failure to achieve any particular academic result, including, without limitation, loss of scholarship opportunity, loss of admission to a desired educational institution, or the cost of remedial instruction.

  9. Safety, Conduct, and Online Etiquette

    1. The Tutor shall at all times conduct himself or herself in a safe, professional, and age-appropriate manner during Lessons and in all communications with the Student, and shall refrain from any conduct that could reasonably be considered inappropriate, offensive, discriminatory, or harassing.

    2. The Student shall likewise be expected to conduct himself or herself with courtesy and respect toward the Tutor during Lessons, and shall refrain from disruptive, abusive, or disrespectful behavior. The Client shall reinforce such expectations with the Student.

    3. During online Lessons, both the Tutor and the Student shall appear in a quiet, well-lit setting appropriate for instruction, shall be dressed in a manner suitable for a professional educational environment, and shall avoid distractions, extraneous persons, or background activity that may interfere with the Lesson.

    4. Neither the Tutor nor the Student shall share, publish, or distribute Lesson access credentials, invitation links, or meeting passwords to any third party, nor permit any unauthorized third party to join, observe, or participate in a Lesson, except that a parent or guardian may observe Lessons involving the Student at any time.

    5. The Tutor shall not engage in any private communication, outside the context of scheduled Lessons and official correspondence, with the Student through social media, personal messaging applications, or other channels, except through communication channels approved in writing by the Client.

    6. In the event of any safety concern, inappropriate conduct, or incident of concern, the affected Party shall promptly notify the other, and the Parties shall address the matter in good faith. Material breach of this section shall constitute grounds for immediate termination of this Agreement.

    7. The Tutor shall not administer any medication, provide any medical advice, or offer any counseling or therapeutic service to the Student. In the event of a medical emergency during a Lesson, the Tutor shall immediately notify the Client and, if circumstances warrant, contact emergency services.

  10. Supervision of Minor Student and Parental Responsibilities

    1. The Client acknowledges that the Student is a minor, and that primary responsibility for the Student's safety, supervision, well-being, and conduct rests at all times with the Client, including during the conduct of online Lessons.

    2. The Client shall ensure that a responsible adult is present in the home, or is otherwise reasonably accessible, during the conduct of each Lesson, so as to be available in the event of any technical, safety, behavioral, or emergency situation requiring adult intervention.

    3. The Client shall configure the Student's online environment in a manner conducive to focused instruction, and shall take such steps as the Client deems appropriate to monitor the Student's use of the Platform, the internet, and any ancillary digital tools employed in connection with the Services.

    4. The Client shall be solely responsible for ensuring that the Student logs in to each scheduled Lesson in a timely manner, with properly functioning equipment and necessary Materials at hand, and shall provide the Student with reasonable encouragement to prepare for and engage with the Lessons.

    5. The Client represents and warrants that he or she possesses full legal authority to enter into this Agreement on behalf of the Student, as the Student's parent or legal guardian, and that the Client has obtained the consent of any other parent or guardian whose consent may be required under applicable law.

    6. The Client shall promptly inform the Tutor of any medical, psychological, learning-related, or behavioral condition of which the Tutor should reasonably be aware in order to render the Services safely and effectively, subject to the Client's discretion as to the extent of information disclosed.

  11. Confidentiality and Protection of Personal Information

    1. Each Party shall treat as confidential all non-public information disclosed by the other Party in connection with this Agreement, including, without limitation, personal information regarding the Student, academic records, assessment results, family circumstances, and the terms of this Agreement (collectively, "Confidential Information").

    2. Neither Party shall disclose Confidential Information to any third party, except (i) with the prior written consent of the disclosing Party, (ii) to professional advisors bound by comparable duties of confidentiality, or (iii) as required by applicable law, legal process, or order of a court or governmental authority of competent jurisdiction.

    3. The Tutor shall collect, use, store, and process personal information concerning the Student and the Client solely for the purposes of rendering the Services, communicating with the Client, invoicing, and maintaining reasonable records, and shall implement reasonable physical, administrative, and technical safeguards to protect such information from unauthorized access, disclosure, or loss.

    4. The Tutor shall not use the name, image, voice, likeness, academic work, or testimonial of the Student or the Client in any marketing, promotional, or public-facing material without the prior express written consent of the Client, which consent may be withheld or revoked at the Client's sole discretion.

    5. The obligations of confidentiality set forth in this section shall survive the termination or expiration of this Agreement for a period of [NUMBER] years, except with respect to information constituting a trade secret, as to which the obligations shall survive indefinitely.

    6. Upon termination of this Agreement, each Party shall, upon the written request of the other, return or destroy Confidential Information in its possession, subject to reasonable retention for recordkeeping, tax, legal, or regulatory purposes.

  12. Limitation of Liability and Indemnification

    1. To the maximum extent permitted by applicable law, the aggregate liability of the Tutor to the Client, the Student, or any person claiming through either of them, arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total amount of Fees actually paid by the Client to the Tutor under this Agreement during the three (3) months immediately preceding the event giving rise to the claim.

    2. In no event shall either Party be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, loss of profits, loss of opportunity, loss of educational benefit, or emotional distress, whether or not such Party has been advised of the possibility of such damages.

    3. The limitations of liability set forth in this section shall not apply to (i) liability for gross negligence or willful misconduct, (ii) liability for personal injury or death caused by a Party's negligence, (iii) liability for breach of confidentiality obligations, or (iv) any other liability that cannot be excluded or limited under applicable law.

    4. The Client shall indemnify, defend, and hold harmless the Tutor from and against any and all third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) the acts or omissions of the Student outside the conduct of Lessons, (ii) any breach by the Client of this Agreement, or (iii) any inaccuracy in the representations and warranties of the Client set forth herein.

    5. The Tutor shall indemnify, defend, and hold harmless the Client from and against any and all third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) the gross negligence or willful misconduct of the Tutor in rendering the Services or (ii) any breach by the Tutor of this Agreement.

    6. The indemnified Party shall provide prompt written notice of any indemnifiable claim to the indemnifying Party and shall cooperate reasonably with the defense thereof. The indemnifying Party shall have the right to control the defense and settlement of such claim, provided that no settlement that imposes any non-monetary obligation on the indemnified Party shall be entered into without such Party's prior written consent.

  13. Term and Termination

    1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated in accordance with the provisions of this section (the "Term").

    2. Either Party may terminate this Agreement, with or without cause, by delivering written notice of termination to the other Party not less than [NUMBER, e.g., 7 or 14] days prior to the effective date of termination.

    3. Either Party may terminate this Agreement with immediate effect, by written notice to the other Party, in the event that the other Party (i) materially breaches this Agreement and fails to cure such breach, if curable, within ten (10) days after receiving written notice of the breach, or (ii) engages in conduct that materially endangers the safety, well-being, or dignity of the other Party or of the Student.

    4. Upon termination of this Agreement for any reason, the Client shall promptly pay to the Tutor all Fees for Lessons completed prior to the effective date of termination, together with any accrued and unpaid interest or other amounts due hereunder.

    5. Termination of this Agreement shall not relieve either Party of any obligation accrued prior to the date of termination, nor shall it affect any provision that by its nature is intended to survive termination, including, without limitation, provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law.

    6. Upon termination, the Parties shall cooperate reasonably to effect an orderly conclusion of the engagement, including the return or destruction of Confidential Information and the settlement of any outstanding financial obligations.

  14. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed in accordance with, the laws of the State of [GOVERNING STATE], United States of America, without regard to its conflict of laws principles.

    2. The Parties shall endeavor in good faith to resolve amicably, through direct negotiation, any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof (a "Dispute"), prior to resorting to formal proceedings.

    3. In the event that a Dispute cannot be resolved through direct negotiation within thirty (30) days after written notice of the Dispute is given by one Party to the other, the Parties shall first attempt to resolve the Dispute through non-binding mediation administered by a mutually agreed-upon mediator in [CITY, STATE], with the costs of mediation to be shared equally between the Parties.

    4. If the Dispute is not resolved through mediation within sixty (60) days after the commencement thereof, either Party may submit the Dispute to the exclusive jurisdiction of the state or federal courts located in [COUNTY, STATE], and each Party hereby irrevocably consents to the personal jurisdiction and venue of such courts.

    5. Each Party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal proceeding arising out of or relating to this Agreement.

    6. In any action, suit, or proceeding brought to enforce or interpret this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, in addition to such other relief as may be awarded.

  15. Notices

    1. All notices, requests, demands, and other communications required or permitted under this Agreement shall be in writing and shall be deemed duly given when (i) delivered personally, (ii) sent by email with confirmation of receipt, (iii) sent by nationally recognized overnight courier, or (iv) sent by certified or registered mail, postage prepaid, return receipt requested.

    5. Routine operational communications, including scheduling matters, Lesson confirmations, and invoicing, may be conducted by email, text message, or other informal electronic means and shall not require the formalities set forth above.

  16. Miscellaneous Provisions

    1. This Agreement, together with any exhibits or writings expressly incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

    2. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in writing and signed by both Parties. No waiver of any breach shall constitute a waiver of any subsequent breach, whether or not of a similar nature.

    3. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

    4. Neither Party shall assign, transfer, or delegate this Agreement, or any rights or obligations hereunder, without the prior written consent of the other Party, and any purported assignment in violation of this section shall be null and void.

    5. Neither Party shall be liable for any delay or failure to perform its obligations hereunder (other than payment obligations) to the extent that such delay or failure is caused by circumstances beyond its reasonable control, including, without limitation, acts of God, natural disaster, epidemic, pandemic, governmental action, war, civil unrest, or widespread failure of telecommunications infrastructure.

    6. The headings used in this Agreement are for convenience of reference only and shall not affect the interpretation of any provision hereof. The words "including" and "include" shall be construed as meaning "including, without limitation."
