SEVERANCE AGREEMENT AND GENERAL RELEASE

This Severance Agreement and General Release (hereinafter the "Agreement") is made and entered into effective as of [Effective Date] (the "Effective Date"), by and between [Employer Legal Name], a [State of Incorporation] [entity type] with its principal place of business located at [Employer Address] (hereinafter referred to as the "Employer" or the "Company"), and [Employee Full Name], an individual residing at [Employee Address] (hereinafter referred to as the "Employee"). The Employer and the Employee are hereinafter referred to individually as a "Party" and collectively as the "Parties."

  1. Recitals and Consideration

    1. WHEREAS, the Employee has been employed by the Employer in the position of [Position/Title] since [Employment Start Date];

    2. WHEREAS, the Employer and the Employee have mutually determined that the Employee's employment with the Employer shall terminate effective as of the Separation Date (as hereinafter defined);

    3. WHEREAS, the Employer desires to provide the Employee with certain severance benefits, to which the Employee would not otherwise be entitled, in consideration for, and conditioned upon, the Employee's execution of this Agreement and the general release of claims contained herein;

    4. WHEREAS, the Employee acknowledges that the consideration provided hereunder constitutes good, valuable, and sufficient consideration, exceeding anything of value to which the Employee is already entitled from the Employer;

    5. WHEREAS, the Parties desire to resolve, fully and finally, any and all matters between them relating to the Employee's employment with the Employer and the cessation thereof, upon the terms and conditions set forth herein;

    6. NOW, THEREFORE, in consideration of the foregoing recitals, the mutual promises, covenants, and obligations contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  2. Separation Date and Final Wages

    1. The Employee's employment with the Employer shall terminate effective as of the close of business on [Separation Date] (the "Separation Date"). From and after the Separation Date, the Employee shall cease to hold any position, office, directorship, or other role with the Employer or any of its parents, subsidiaries, or affiliates (collectively, the "Company Group"), and the Employee hereby resigns from all such positions effective as of the Separation Date.

    2. On or before the next regularly scheduled payroll date following the Separation Date, or such earlier date as may be required by applicable law, the Employer shall pay to the Employee all earned but unpaid base wages or salary through and including the Separation Date, less all applicable withholdings and deductions required by law.

    3. The Employer shall also pay to the Employee, in accordance with applicable law and the Employer's standard policies, any accrued but unused paid time off, vacation, or similar leave, to the extent such payment is required under applicable law or the written policies of the Employer in effect as of the Separation Date.

    4. The Employee shall submit to the Employer, no later than [Expense Submission Deadline] days following the Separation Date, any outstanding and reimbursable business expenses incurred by the Employee prior to the Separation Date, together with supporting documentation reasonably satisfactory to the Employer, and the Employer shall reimburse such approved expenses in accordance with its standard reimbursement policies.

    5. The Employee acknowledges and agrees that, except as expressly set forth in this Agreement, the Employee is not entitled to and shall not receive any additional compensation, wages, bonuses, commissions, incentive payments, equity, benefits, or other remuneration from the Employer in connection with the Employee's employment or the termination thereof.

    6. The payments described in this section shall be made regardless of whether the Employee executes this Agreement, and are not conditioned upon the Employee's acceptance of the severance benefits set forth herein.

  3. Severance Payment

    1. In consideration for the Employee's execution of, non-revocation of, and compliance with this Agreement, and provided that the Employee has not revoked this Agreement during the Revocation Period (as hereinafter defined), the Employer shall pay to the Employee a lump sum severance payment in the gross amount of [Severance Amount in Figures and Words] (the "Severance Payment").

    2. The Severance Payment shall be paid in a single lump sum, by direct deposit or check as mutually agreed, on or before [Payment Date], which shall be a date falling after the expiration of the Revocation Period and no later than [Outside Payment Date].

    3. The Severance Payment shall be subject to all applicable federal, state, and local tax withholdings, deductions, and reporting obligations, including but not limited to income tax withholding and employment tax withholdings. The Employer shall report the Severance Payment on a Form W-2 or such other form as may be required by applicable law.

    4. The Employee acknowledges and agrees that the Severance Payment constitutes consideration over and above anything of value to which the Employee is already entitled, and that but for the Employee's execution of this Agreement and the release of claims contained herein, the Employee would not be entitled to receive the Severance Payment.

    5. The Employee shall be solely responsible for any and all tax liabilities, interest, and penalties arising from or attributable to the Severance Payment, other than the Employer's share of applicable employment taxes. The Employer makes no representation or warranty concerning the tax treatment of the Severance Payment, and the Employee is advised to consult with the Employee's own tax advisor.

    6. In the event the Employee materially breaches this Agreement or any surviving obligation to the Employer, the Employer shall be entitled, in addition to all other remedies available at law or in equity, to cease any further payment and to recover any amounts previously paid pursuant to this section, less the sum of [Nominal Consideration Amount], which the Parties agree shall be retained by the Employee as consideration for the release of claims contained herein.

  4. Continuation of Benefits

    1. Subject to the Employee's timely and proper election of continuation coverage pursuant to applicable federal and state law, the Employer shall pay or reimburse the applicable premiums required to continue the Employee's group health insurance coverage (including, where applicable, medical, dental, and vision coverage) at the same level of coverage in effect immediately prior to the Separation Date, for a period of [Number] months following the Separation Date (the "Benefits Continuation Period").

    2. Following the expiration of the Benefits Continuation Period, the Employee shall be solely responsible for the full cost of any continued coverage elected, in accordance with the terms of applicable law and the governing benefit plan documents.

    3. The Employer's obligation to pay or reimburse premiums under this section shall cease immediately upon the Employee becoming eligible for group health insurance coverage through subsequent employment or any other source, and the Employee shall promptly notify the Employer in writing of any such eligibility.

    4. Except as expressly set forth herein, the Employee's participation in all other employee benefit plans, programs, and arrangements of the Employer, including without limitation any retirement, pension, disability, life insurance, or incentive plans, shall cease as of the Separation Date, in accordance with the terms of the applicable plan documents and applicable law.

    5. Nothing in this Agreement shall be construed to limit, reduce, or impair any vested rights that the Employee may have, as of the Separation Date, under any tax-qualified retirement plan or any other benefit plan governed by applicable federal law, which rights shall be administered in accordance with the terms of the governing plan documents.

    6. The provision of continued benefits hereunder is intended to comply with, and shall be administered in a manner consistent with, all applicable laws, including those governing nondiscrimination in employer-provided health coverage, and the Employer reserves the right to modify the manner of providing such benefits (including by paying cash in lieu of coverage) to the extent necessary to avoid adverse tax consequences or legal noncompliance.

  5. Release of Claims

    1. In consideration of the Severance Payment and other benefits provided to the Employee pursuant to this Agreement, the Employee, on behalf of the Employee and the Employee's heirs, executors, administrators, successors, assigns, and representatives (collectively, the "Releasors"), hereby irrevocably and unconditionally releases, acquits, and forever discharges the Employer and each member of the Company Group, and their respective past, present, and future parents, subsidiaries, affiliates, predecessors, successors, assigns, officers, directors, shareholders, members, managers, partners, employees, agents, representatives, attorneys, insurers, and benefit plans and the fiduciaries, administrators, and trustees thereof (collectively, the "Released Parties"), from any and all claims, demands, actions, causes of action, suits, liabilities, debts, damages, costs, expenses, attorneys' fees, and obligations of every kind and character whatsoever, whether known or unknown, suspected or unsuspected, matured or unmatured, foreseen or unforeseen, in law or in equity (collectively, "Claims"), that the Releasors ever had, now have, or hereafter may have against any of the Released Parties, arising from or relating to any act, omission, event, or circumstance occurring on or prior to the date on which the Employee executes this Agreement.

    2. Without limiting the generality of the foregoing, the Claims released hereunder include, but are not limited to, any and all Claims arising from or relating to the Employee's employment with the Employer, the terms and conditions of such employment, and the cessation thereof, including without limitation Claims for wages, salary, bonuses, commissions, incentive compensation, equity or equity-based awards, severance, vacation or paid time off, expense reimbursement, benefits, breach of contract (express or implied), breach of covenant of good faith and fair dealing, wrongful discharge, constructive discharge, retaliation, defamation, invasion of privacy, intentional or negligent infliction of emotional distress, fraud, misrepresentation, negligence, and any and all Claims arising under any federal, state, or local statute, ordinance, regulation, or common law prohibiting discrimination, harassment, or retaliation on the basis of any protected characteristic, or otherwise relating to employment.

    3. The Employee expressly waives and relinquishes any and all rights and benefits conferred by any statute or principle of common law that would otherwise limit the scope of a general release to those claims known or suspected to exist in the Employee's favor at the time of executing the release, and the Employee acknowledges that the Employee may hereafter discover facts in addition to or different from those which the Employee now knows or believes to be true, but that it is nonetheless the Employee's intention to fully and finally settle and release any and all Claims.

    4. Notwithstanding the foregoing, this release does not waive, release, or discharge: (i) any Claims that cannot be waived as a matter of law; (ii) any Claims arising after the date the Employee executes this Agreement; (iii) any Claims for enforcement of this Agreement; (iv) any vested rights under any tax-qualified retirement or benefit plan; (v) any rights to indemnification or advancement of expenses to which the Employee is entitled under applicable law, the governing documents of the Employer, or any applicable insurance policy; or (vi) any rights to unemployment compensation or workers' compensation benefits to the extent not waivable under applicable law.

    5. Nothing in this Agreement shall be construed to prohibit or restrict the Employee from filing a charge or complaint with, communicating with, or participating in any investigation or proceeding conducted by any federal, state, or local governmental agency or commission, including but not limited to the Equal Employment Opportunity Commission, the National Labor Relations Board, the Securities and Exchange Commission, or any comparable agency. However, the Employee hereby waives any right to recover individual monetary relief or other individual remedies in connection with any such charge, complaint, investigation, or proceeding, except that the Employee is not prohibited from receiving any whistleblower award or bounty to which the Employee may be entitled under applicable law.

    6. The release contained in this section is intended to be as broad and comprehensive as permitted by applicable law and shall be construed accordingly.

  6. Covenant Not to Sue

    1. The Employee covenants and agrees that the Employee shall not, at any time after the Effective Date, commence, prosecute, maintain, or participate in, voluntarily or involuntarily, directly or indirectly, any lawsuit, arbitration, administrative proceeding, or other legal action against any of the Released Parties, in any court, tribunal, or forum, asserting any Claim released under this Agreement.

    2. In the event the Employee breaches this covenant not to sue, the Employee shall indemnify and hold harmless the Released Parties from and against any and all costs and expenses incurred in defending against any such action, including without limitation reasonable attorneys' fees, to the fullest extent permitted by applicable law.

    3. Notwithstanding the foregoing, this covenant not to sue shall not apply to, and shall not be construed to bar: (i) any action to enforce the terms of this Agreement; (ii) the filing of a charge, complaint, or communication with any governmental agency as described in the preceding section; (iii) any Claim that cannot be waived as a matter of law; or (iv) any challenge to the validity of this Agreement under applicable federal age discrimination laws.

    4. The Employee represents and warrants that, as of the date of execution of this Agreement, the Employee has not filed, caused to be filed, or permitted to be filed, any Claim, charge, complaint, or action against any of the Released Parties in any court, agency, or forum, other than any such matters that have been previously disclosed in writing to the Employer.

    5. To the extent the Employee has filed any Claim released hereunder, the Employee agrees to take all steps necessary to promptly withdraw and dismiss such Claim with prejudice, including executing any documents reasonably requested by the Employer in furtherance thereof.

  7. No Admission of Liability

    1. This Agreement, and the Severance Payment and other consideration provided hereunder, shall not be construed as, and do not constitute, an admission by the Employer or any of the Released Parties of any liability, wrongdoing, violation of law, breach of contract, or improper conduct of any kind whatsoever.

    2. The Employer expressly denies any and all liability to the Employee, and the execution of this Agreement is intended solely to effect the amicable resolution of the Parties' relationship and to avoid the burdens, risks, and expenses of potential litigation or dispute.

    3. Neither this Agreement nor any of its terms or the fact of its existence shall be admissible as evidence in any proceeding, except in a proceeding to enforce this Agreement or in defense of any Claim brought in violation of this Agreement.

    4. The Parties agree that this section is an essential and material term of this Agreement, without which the Parties would not have entered into this Agreement.

  8. Return of Company Property

    1. On or before the Separation Date (or such later date as the Employer may specify in writing), the Employee shall return to the Employer all property of the Employer and the Company Group in the Employee's possession, custody, or control, including without limitation all keys, access cards, identification badges, computers, laptops, tablets, mobile devices, storage media, credit cards, documents, files, records, manuals, correspondence, drawings, blueprints, customer lists, financial information, business plans, and all copies and derivatives thereof, whether in tangible or electronic form.

    2. The Employee shall also permanently delete and destroy any and all electronic files, data, or information belonging to the Employer or any Released Party that reside on any personal computer, device, cloud storage account, email account, or other electronic repository under the Employee's control, and shall certify such deletion in writing upon the Employer's request.

    3. The Employee shall not retain any copies, excerpts, abstracts, summaries, or reproductions of any Confidential Information (as such term is commonly understood or as defined in any prior agreement between the Parties) or other property of the Employer, in any format, whether tangible or intangible.

    4. The Employee acknowledges and reaffirms the Employee's continuing obligations under any confidentiality, proprietary information, invention assignment, or similar agreement previously entered into between the Employee and the Employer, which obligations shall survive the termination of the Employee's employment and the execution of this Agreement.

    5. The Employee's compliance with this section is a material condition precedent to the Employer's obligation to make the Severance Payment and to provide the other benefits set forth in this Agreement.

  9. Confidentiality of Agreement

    1. The Employee agrees that the existence, terms, and conditions of this Agreement, including the fact and amount of the Severance Payment, shall be and remain strictly confidential, and the Employee shall not disclose any such information to any person or entity, except: (i) to the Employee's spouse or domestic partner; (ii) to the Employee's attorneys, accountants, and tax or financial advisors, as reasonably necessary; (iii) as required by law, subpoena, or valid legal process; or (iv) as otherwise expressly permitted in writing by the Employer.

    2. Prior to any permitted disclosure to a person described in clauses (i) or (ii) above, the Employee shall advise such person of the confidentiality obligations set forth herein and shall be responsible for ensuring such person's compliance therewith.

    3. In the event the Employee is required by law or legal process to disclose any information covered by this section, the Employee shall, to the extent legally permitted, provide the Employer with prompt written notice of such requirement, so as to afford the Employer a reasonable opportunity to seek a protective order or other appropriate remedy.

    4. Nothing in this section shall be construed to prohibit the Employee from discussing or disclosing information regarding unlawful acts in the workplace, including but not limited to harassment, discrimination, or any other conduct that the Employee has reasonable cause to believe is unlawful, or from exercising any legally protected right that cannot be waived by agreement.

    5. The confidentiality obligations of this section are an essential and material term of this Agreement, and any breach thereof shall entitle the Employer to pursue all remedies available at law or in equity, in addition to any other remedies set forth herein.

  10. Non-Disparagement

    1. The Employee covenants and agrees that the Employee shall not, at any time, make, publish, or communicate to any person or entity, or in any public forum (including, without limitation, any online or social media platform), any statement, remark, or communication, whether oral or written, that disparages, defames, impugns, or otherwise reflects negatively upon the Employer, any member of the Company Group, or any of their respective products, services, officers, directors, employees, shareholders, or business affairs.

    2. The Employer agrees to instruct its executive officers and the members of its human resources department who are aware of this Agreement not to make, publish, or communicate any statement, remark, or communication, whether oral or written, that disparages, defames, impugns, or otherwise reflects negatively upon the Employee.

    3. Nothing in this section shall prohibit either Party from providing truthful testimony or information in response to a subpoena, court order, governmental investigation, or other legal process, or from making any disclosure or communication that is protected under applicable law, including communications regarding unlawful conduct in the workplace.

    4. The Parties acknowledge that the restrictions set forth in this section are reasonable and necessary to protect the legitimate business and reputational interests of the Parties, and that any breach of this section shall constitute a material breach of this Agreement.

    5. Any breach of this section shall entitle the non-breaching Party to pursue all remedies available at law or in equity, including without limitation injunctive relief and the recovery of damages.

  11. Cooperation and Transition Assistance

    1. For a period of [Cooperation Period] months following the Separation Date, the Employee shall provide reasonable cooperation and transition assistance to the Employer, as reasonably requested by the Employer, including without limitation making the Employee available to answer questions, transfer files and information, and assist with the orderly transition of the Employee's duties and responsibilities.

    2. The Employee further agrees to cooperate reasonably with the Employer and its counsel in connection with any investigation, administrative proceeding, arbitration, or litigation involving the Employer that relates to matters within the Employee's knowledge or involvement during the Employee's employment with the Employer, including without limitation by providing truthful information, attending interviews, meetings, depositions, hearings, and trials, and executing truthful declarations or affidavits.

    3. The Employer shall make reasonable efforts to schedule any cooperation requested hereunder so as not to unreasonably interfere with the Employee's subsequent employment or personal obligations.

    4. The Employer shall reimburse the Employee for all reasonable out-of-pocket expenses actually incurred by the Employee in connection with providing cooperation under this section, including reasonable travel, lodging, and meal expenses, provided such expenses are documented in accordance with the Employer's standard reimbursement practices.

    5. To the extent that the Employee's cooperation under this section requires a substantial time commitment beyond [Threshold] hours in any given month, and is not otherwise required by subpoena or legal process, the Employer shall compensate the Employee at a reasonable hourly rate to be mutually agreed upon by the Parties in writing.

    6. Nothing in this section shall be construed to require the Employee to provide any testimony or information that is untruthful or inaccurate, and the Employee's obligation hereunder is solely to provide truthful and good faith cooperation.

  12. Review and Revocation Period

    1. The Employee acknowledges that the Employee has been afforded a period of [Review Period, e.g., 21 or 45] days from the date the Employee first received this Agreement within which to consider and review the terms of this Agreement (the "Review Period") before signing it. The Employee further acknowledges that if the Employee executes this Agreement prior to the expiration of the Review Period, the Employee has done so knowingly, voluntarily, and of the Employee's own free will, and expressly waives any remaining portion of the Review Period.

    2. The Employee acknowledges that the Employee has been advised in writing, by this Agreement, to consult with an attorney of the Employee's choosing prior to executing this Agreement, and that the Employee has had a full and fair opportunity to do so.

    3. For a period of seven (7) days following the Employee's execution of this Agreement (the "Revocation Period"), the Employee may revoke this Agreement by delivering written notice of revocation to the Employer at the address specified in the Notices section hereof, which notice must be received by the Employer no later than 11:59 p.m. on the seventh (7th) day following the Employee's execution of this Agreement.

    4. In the event the Employee timely revokes this Agreement during the Revocation Period, this Agreement shall be null and void in its entirety, and neither Party shall have any rights or obligations hereunder, including without limitation the Employer's obligation to pay the Severance Payment and to provide the other benefits set forth herein.

    5. This Agreement shall not become effective or enforceable, and the Severance Payment shall not be paid, until the Revocation Period has expired without revocation by the Employee (the "Effective Date of the Release").

    6. If the Employee signs this Agreement and does not timely revoke, the Employee acknowledges that the eighth (8th) day following the Employee's execution of this Agreement shall be the Effective Date of the Release.

    7. The Employee acknowledges that any changes to this Agreement, whether material or immaterial, do not restart the running of the Review Period.

  13. Representations and Warranties

    1. The Employer represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and performance of this Agreement have been duly authorized by all necessary corporate action.

    2. The Employee represents and warrants that the Employee has read this Agreement carefully, fully understands its terms and conditions, and has had a full and fair opportunity to consult with legal counsel of the Employee's choosing prior to execution.

    3. The Employee represents and warrants that the Employee is executing this Agreement knowingly, voluntarily, and of the Employee's own free will, without any coercion, duress, undue influence, or reliance upon any representation or promise not expressly set forth herein.

    4. The Employee represents and warrants that the Employee has not assigned, transferred, or purported to assign or transfer, in whole or in part, any Claim released under this Agreement to any other person or entity.

    5. The Employee represents and warrants that the Employee has been fully and timely paid all wages, salary, bonuses, commissions, overtime, vacation pay, and other compensation and benefits owed to the Employee through the date of execution of this Agreement, other than those amounts expressly described in this Agreement.

    6. The Employee represents and warrants that the Employee has reported to the Employer any and all work-related injuries or occupational diseases known to the Employee, and that the Employee is not aware of any facts that would give rise to any Claim for workers' compensation benefits that has not been disclosed in writing to the Employer.

    7. The Employee represents and warrants that the Employee has disclosed to the Employer in writing any and all facts or circumstances known to the Employee that would reasonably be expected to constitute a violation of law, regulation, or Employer policy by the Employer or any of its officers, directors, employees, or agents.

  14. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of [Governing State], without regard to any conflict of laws principles that would require the application of the laws of any other jurisdiction.

    2. The Parties agree that any dispute, claim, controversy, or disagreement arising out of or relating to this Agreement, including the breach, interpretation, or validity thereof (a "Dispute"), shall first be addressed through good faith negotiations between the Parties for a period of not less than thirty (30) days before resorting to any formal dispute resolution mechanism.

    3. In the event any Dispute cannot be resolved through good faith negotiation, the Parties agree that such Dispute shall be submitted to final and binding arbitration before a single arbitrator in [City, State], administered by [Arbitration Provider] in accordance with its then-applicable rules for employment disputes, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

    4. Notwithstanding the foregoing, either Party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration, and the Parties hereby consent to the exclusive jurisdiction of the state and federal courts located in [County, State] for such purpose.

    5. Each Party shall bear its own costs and attorneys' fees in connection with any Dispute, except that the arbitrator or court may award attorneys' fees and costs to the prevailing Party to the extent authorized by applicable law.

    6. The Parties hereby irrevocably waive, to the fullest extent permitted by applicable law, any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement.

  15. Entire Agreement and Severability

    1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes any and all prior and contemporaneous agreements, representations, understandings, and communications between the Parties, whether oral or written, relating to such subject matter, except that any prior agreements regarding confidentiality, proprietary information, trade secrets, or assignment of inventions shall remain in full force and effect in accordance with their terms.

    2. The Parties acknowledge that neither Party has relied upon any statement, representation, warranty, or inducement not expressly set forth in this Agreement.

    3. If any provision of this Agreement, or any part thereof, is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, in whole or in part, such provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.

    4. Notwithstanding the foregoing, if the release of claims contained in this Agreement is held to be invalid or unenforceable, in whole or in part, the Employee agrees, at the Employer's option, to execute a valid and enforceable release that provides the Employer with the full scope and benefit of the release originally intended hereunder, or to return the Severance Payment and other consideration provided hereunder.

    5. The headings of the sections of this Agreement are for convenience of reference only and shall not affect the construction or interpretation hereof.

  16. Amendment and Waiver

    1. This Agreement may not be amended, modified, or supplemented, except by a written instrument signed by both Parties expressly referring to this Agreement and stating the Parties' intention to amend it.

    2. No waiver of any provision of this Agreement, or of any breach or default hereunder, shall be effective unless set forth in a written instrument signed by the Party against whom such waiver is sought to be enforced.

    3. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

    4. A waiver by either Party of any breach or default by the other Party shall not constitute a waiver of any subsequent or other breach or default of the same or any other provision of this Agreement.

  17. Notices

    1. All notices, requests, consents, demands, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given: (i) upon personal delivery; (ii) upon receipt when sent by nationally recognized overnight courier service with proof of delivery; (iii) three (3) business days after being sent by certified or registered mail, postage prepaid, return receipt requested; or (iv) upon confirmation of delivery when sent by electronic mail to the address designated below.

    2. Notices to the Employer shall be sent to: [Employer Name], Attention: [Contact Person/Title], [Employer Notice Address], with a copy by email to [Employer Email Address].

    3. Notices to the Employee shall be sent to: [Employee Name], [Employee Notice Address], with a copy by email to [Employee Email Address].

    4. Either Party may change its address or designated recipient for notices hereunder by providing written notice to the other Party in accordance with this section.

    5. A notice of revocation under the Review and Revocation Period section must be delivered strictly in accordance with the methods set forth above and must be actually received by the Employer within the Revocation Period in order to be effective.

  18. Counterparts and Electronic Signatures

    1. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

    2. The Parties agree that this Agreement may be executed and delivered by electronic signature, facsimile transmission, or by exchange of scanned PDF copies via electronic mail, and any such electronic signature or electronically transmitted signature shall be deemed to have the same legal force and effect as an original handwritten signature.

    3. Delivery of an executed counterpart of this Agreement by any of the means described in this section shall be as effective as delivery of an originally executed counterpart.
