    9. Any reference to a clause is a reference to a clause of this Contract, and any reference to a statute, regulation or legal instrument shall be construed as a reference to such instrument as amended, re-enacted or extended from time to time.

    10. Where any obligation is to be performed by a Party, such Party shall perform that obligation in a timely, diligent and professional manner.

  2. Description of the Goods

    1. The Seller agrees to sell, and the Buyer agrees to purchase, the following Goods, more particularly described as follows: [Description of Goods, including type, model, specifications, quantity, serial number(s) and any distinguishing features].

    2. The Goods shall conform in all material respects to the description, specifications and quality standards set forth in this clause 2 and in any written documentation furnished by the Seller to the Buyer prior to the execution of this Contract.

    3. The Buyer acknowledges that it has had the opportunity to examine the description, specifications and any samples of the Goods prior to entering into this Contract, and is entering into this Contract on the basis of its own judgment and the express descriptions contained herein.

    4. Minor variations in colour, dimension, weight, finish or other non-material characteristics arising from the ordinary processes of manufacture, packaging or supply shall not constitute a breach of this Contract, provided such variations do not materially impair the fitness of the Goods for their ordinary purpose.

    5. Where the Goods are supplied with user instructions, safety notices, labels or technical documentation, the Buyer shall observe and comply with the same, and shall ensure that the Goods are used strictly in accordance therewith.

    6. Any illustrations, photographs, catalogues, promotional materials or marketing descriptions issued by the Seller are intended as general guidance only, and shall not form part of this Contract unless expressly incorporated herein by reference.

    7. The Seller reserves the right to make such modifications to the specifications of the Goods as may be required to comply with any applicable statutory or regulatory requirements, provided that such modifications do not materially affect the quality or performance of the Goods.

  3. Inspection and Acceptance

    1. Upon collection and taking possession of the Goods, the Buyer shall promptly and carefully inspect the Goods for any apparent defects, damage, shortage or non-conformity with the description set forth in clause 2.

    2. The Buyer shall notify the Seller in writing of any apparent defect, damage, shortage or non-conformity within [Number] days of the date of dispatch of the Goods, failing which the Goods shall, subject always to the Buyer's non-excludable statutory rights as a consumer, be deemed to have been accepted by the Buyer as conforming to this Contract in all respects.

    3. Any notice given by the Buyer under clause 3.2 shall specify in reasonable detail the nature of the alleged defect, damage, shortage or non-conformity, and shall be accompanied by such supporting evidence as may reasonably be available, including photographs where appropriate.

    4. Where latent defects not reasonably discoverable upon ordinary inspection subsequently come to light, the Buyer shall notify the Seller in writing within [Number] days of becoming aware, or of the date upon which the Buyer ought reasonably to have become aware, of such latent defect.

    5. The Buyer shall afford the Seller, or its duly authorized representative, a reasonable opportunity to inspect, test and examine the Goods alleged to be defective, damaged, short or non-conforming, before any remedial action is undertaken by the Buyer or any third party.

    6. Nothing in this clause 3 shall operate to exclude, restrict or diminish any statutory right of the Buyer as a consumer which cannot lawfully be excluded or restricted.

  4. Price and Payment

    1. The Purchase Price for the Goods shall be [Amount] [Currency], inclusive of all applicable value-added, sales and other indirect taxes, save as otherwise expressly stated.

    2. The Buyer shall pay the Purchase Price to the Seller in full and in advance of the dispatch of the Goods, by way of [bank transfer / credit or debit card / electronic payment / such other method as the Seller may accept in writing], and no obligation of dispatch shall arise on the part of the Seller until full and cleared payment has been received.

    3. All payments shall be made in [Currency] without any set-off, counterclaim, deduction or withholding, save for any deduction or withholding required by applicable law.

    4. Any bank charges, transfer fees, currency conversion costs or similar charges imposed by the Buyer's payment service provider shall be borne solely by the Buyer, such that the Seller receives the full Purchase Price net of all such charges.

    5. In the event that payment is attempted and subsequently reversed, charged back, cancelled or otherwise rendered unavailable to the Seller through no fault of the Seller, the Seller may, at its sole discretion, suspend performance of this Contract, require re-payment by alternative means, or treat this Contract as repudiated by the Buyer.

    6. A valid payment receipt, invoice or confirmation shall be issued by the Seller to the Buyer upon receipt of cleared funds, in such form as the Seller may from time to time determine.

    7. The Buyer shall be solely responsible for any taxes, levies, duties, tariffs or charges imposed by any governmental authority in connection with the Buyer's acquisition, possession, use, importation or re-sale of the Goods, other than taxes expressly included within the Purchase Price.

  5. Delivery and Collection

    1. The Goods shall be made available for collection by the Buyer at the Collection Point during the Seller's ordinary business hours, being [Hours] on Business Days, upon such date as the Seller shall notify to the Buyer following receipt of cleared payment in full.

    2. The Buyer shall collect the Goods, or arrange for their collection by a duly authorized representative, within [Number] days of the notification of availability referred to in clause 5.1. For the avoidance of doubt, delivery shall be effected and completed at the moment the Goods are dispatched from the Seller's premises into the possession of the Buyer or its carrier.

    3. At the point of collection, the Buyer or its authorized representative shall produce such identification, order confirmation and payment documentation as the Seller may reasonably require, and shall sign a collection acknowledgment confirming receipt of the Goods.

    4. Where the Buyer appoints a third-party carrier or representative to collect the Goods on its behalf, the Seller shall be entitled to treat such third party as duly authorized upon production of the collection documentation, and the Seller shall bear no responsibility for the acts, omissions or integrity of such third party.

    5. Should the Buyer fail to collect the Goods within the period specified in clause 5.2, the Seller may charge the Buyer a reasonable storage fee of [Amount] [Currency] per day for each day of delay, and may, upon the expiry of a further [Number] days and after written notice to the Buyer, dispose of the Goods and apply the proceeds (net of all costs of storage, disposal and recovery) in or towards satisfaction of the Buyer's obligations hereunder.

    6. The Buyer shall provide and operate at its own cost all transport, equipment, personnel and insurance necessary for the safe collection and onward transportation of the Goods.

    7. Any delivery or collection dates indicated by the Seller are estimates only and shall not be of the essence of this Contract, and the Seller shall not be liable for any delay in making the Goods available where such delay arises from causes beyond the Seller's reasonable control.

  6. Consumer Rights

    1. The Seller acknowledges that the Buyer is contracting as a consumer, and that the Buyer enjoys certain statutory rights and protections under the consumer protection laws applicable in the Buyer's jurisdiction which cannot lawfully be excluded, restricted or diminished by contract.

    2. Nothing in this Contract shall operate to exclude, restrict or diminish any such mandatory statutory consumer right, and in the event of any conflict between the provisions of this Contract and such mandatory statutory rights, the latter shall prevail to the extent of the conflict.

    3. The Buyer may be entitled, under applicable consumer protection law, to a right of withdrawal, cancellation or cooling-off in respect of this Contract, exercisable within such period and upon such conditions as may be prescribed by law. Where applicable, the Buyer shall notify the Seller in writing of its intention to exercise any such right.

    4. Where the Buyer validly exercises a statutory right of withdrawal or cancellation, the Buyer shall return the Goods to the Seller in substantially the same condition in which they were received, and shall bear the cost of such return unless otherwise required by applicable law.

    5. The Seller shall refund any sums properly refundable to the Buyer within the period prescribed by applicable law, using the same means of payment as were used by the Buyer, unless the Buyer has expressly agreed otherwise.

    6. The remedies afforded to the Buyer under this clause 6 are in addition to, and not in substitution for, any other remedies available to the Buyer under this Contract or under applicable law.

    7. The Buyer confirms that it has been afforded, prior to the execution of this Contract, all information required to be furnished to it under applicable consumer protection law, including information concerning the identity of the Seller, the main characteristics of the Goods, the total price, the arrangements for payment and collection, and any applicable rights of withdrawal.

  7. Limitation of Liability

    1. Nothing in this Contract shall operate to exclude or limit the liability of the Seller for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited.

    2. Subject to clause 7.1, the aggregate liability of the Seller to the Buyer arising out of or in connection with this Contract, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, shall in no event exceed an amount equal to the Purchase Price actually paid by the Buyer in respect of the Goods giving rise to the claim.

    3. Subject to clause 7.1, the Seller shall not be liable to the Buyer for any indirect, consequential, special, incidental, punitive or exemplary loss or damage of any kind whatsoever, including without limitation loss of profit, loss of revenue, loss of opportunity, loss of goodwill or loss of anticipated savings, howsoever arising.

    4. The Seller shall not be liable for any loss or damage to the extent that the same is caused or contributed to by any act, omission, misuse, neglect, improper handling, unauthorized modification or failure to follow instructions on the part of the Buyer or any third party.

    5. The limitations and exclusions of liability set forth in this clause 7 shall apply to the fullest extent permitted by applicable law, and shall survive the termination or expiry of this Contract.

    6. Each limitation and exclusion in this clause 7 is a separate and severable provision, and if any such limitation or exclusion is held to be unenforceable, the remaining limitations and exclusions shall continue to apply with full force and effect.

    7. The Buyer acknowledges that the Purchase Price has been determined on the basis of the allocation of risk reflected in this clause 7, and that the Seller would not have entered into this Contract on the terms set forth herein in the absence of such allocation.

  8. Transfer of Title and Risk of Loss

    1. Legal and beneficial title to the Goods, and all risk of loss, damage, destruction, theft or deterioration of the Goods, shall pass from the Seller to the Buyer upon the dispatch of the Goods from the Seller's premises, being the moment at which the Goods are physically handed over to the Buyer or to a carrier or representative acting on the Buyer's behalf.

    2. From and after the moment of dispatch, the Buyer shall bear sole responsibility for the safekeeping, insurance, transport and condition of the Goods, and the Seller shall have no further responsibility therefor save as expressly provided in clause 9.

    3. The Buyer shall be solely responsible for arranging and maintaining, at its own cost, such insurance in respect of the Goods as it may deem appropriate from the moment risk passes to it.

    4. The Buyer acknowledges and agrees that the passing of risk upon dispatch is a material commercial term of this Contract, reflecting the fact that the Goods are collected by the Buyer from the Seller's premises.

    5. Where the Goods are to be transported from the Collection Point by any carrier appointed by the Buyer, the Seller shall bear no liability for any loss, damage or deterioration occurring in the course of such transportation, howsoever arising.

    6. Notwithstanding the passing of title and risk, the Seller's obligations under the limited warranty set forth in clause 9 shall subsist in accordance with the terms thereof.

  9. Limited Warranty

    1. The Seller warrants to the Buyer that, for the duration of the Warranty Period, the Goods shall be free from material defects in materials and workmanship, and shall conform in all material respects to the description and specifications set forth in clause 2.

    2. The limited warranty set forth in clause 9.1 is given subject to the following conditions: (i) that the Goods have been used, stored, handled and maintained strictly in accordance with any instructions supplied by the Seller or the manufacturer; (ii) that the Goods have not been subjected to misuse, neglect, accident, unauthorized modification, alteration or repair; and (iii) that the alleged defect has not arisen from fair wear and tear, consumable components, or the use of unsuitable accessories or spare parts.

    3. To make a claim under the limited warranty, the Buyer shall notify the Seller in writing within the Warranty Period, specifying the nature of the alleged defect and furnishing proof of purchase and such other information as the Seller may reasonably require.

    4. Where a valid warranty claim is made, the Seller shall, at its sole option and as the Buyer's exclusive remedy under this warranty, (i) repair the defective Goods, (ii) replace the defective Goods with equivalent goods, or (iii) refund the portion of the Purchase Price attributable to the defective Goods.

    5. The limited warranty set forth in this clause 9 is personal to the Buyer and is not transferable to any subsequent purchaser or transferee of the Goods.

    6. Save as expressly set forth in this clause 9, and save for any warranties or representations which cannot lawfully be excluded, all warranties, conditions and representations, whether express or implied by statute, common law, custom or otherwise, including without limitation any implied warranties of merchantability, satisfactory quality or fitness for a particular purpose, are hereby excluded to the fullest extent permitted by applicable law.

    7. Nothing in this clause 9 shall operate to exclude, restrict or affect any non-excludable statutory right of the Buyer as a consumer.

  10. Returns and Remedies

    1. Where the Buyer wishes to return Goods pursuant to a valid warranty claim under clause 9, pursuant to a statutory right of withdrawal under clause 6, or pursuant to any other right of return expressly conferred by this Contract, the Buyer shall first obtain a return authorization from the Seller.

    2. Goods returned to the Seller shall be packaged securely, shall be accompanied by proof of purchase and the return authorization reference, and shall be sent to such address as the Seller may designate.

    3. Save where otherwise required by applicable law, the costs of returning the Goods to the Seller shall be borne by the Buyer, and the risk of loss or damage in transit shall remain with the Buyer until the Goods are received by the Seller.

    4. Upon receipt and inspection of the returned Goods, the Seller shall determine whether the return is valid under the terms of this Contract and shall notify the Buyer of such determination within [Number] days.

    5. Where the return is validly made, the Seller shall effect the applicable remedy (being repair, replacement or refund, as the case may be) within [Number] days of its determination under clause 10.4.

    6. The remedies expressly set forth in this Contract constitute the Buyer's sole and exclusive contractual remedies in respect of any defect, non-conformity or breach by the Seller, without prejudice to any non-excludable statutory remedies available to the Buyer as a consumer.

    7. The Seller shall not be obliged to accept the return of Goods which have been damaged, altered, used beyond the extent necessary to establish their nature, characteristics and functioning, or otherwise rendered unfit for re-sale as a result of the acts or omissions of the Buyer, save to the extent otherwise required by applicable law.

  11. Force Majeure

    1. Neither Party shall be liable to the other for any failure or delay in the performance of its obligations under this Contract (save for obligations to make payment of sums already due) to the extent that such failure or delay is caused by any event, circumstance or cause beyond its reasonable control (a "Force Majeure Event"), including without limitation acts of God, war, armed conflict, terrorism, civil disturbance, strike, lockout, fire, flood, earthquake, epidemic, pandemic, governmental order, embargo, failure of utilities, or interruption of transportation.

    2. The Party affected by a Force Majeure Event shall promptly notify the other Party in writing of the occurrence of the Force Majeure Event, specifying the nature and expected duration of the event, and shall use reasonable endeavours to mitigate the effects thereof.

    3. The performance of the affected Party's obligations shall be suspended for the duration of the Force Majeure Event, and the time for performance shall be extended by a period equivalent to the duration of the Force Majeure Event.

    4. If the Force Majeure Event continues for a continuous period in excess of [Number] days, either Party may terminate this Contract by written notice to the other, without liability save for obligations accrued prior to the date of termination.

    5. Upon termination pursuant to clause 11.4, the Seller shall refund to the Buyer any portion of the Purchase Price paid in respect of Goods not yet dispatched, and the Buyer shall return to the Seller any Goods already received but not yet paid for.

    6. No Party shall be entitled to rely upon the provisions of this clause 11 to excuse any obligation to the extent that such obligation could have been performed by the exercise of reasonable foresight, planning or alternative means.

  12. Notices

    1. Any notice, demand, request or other communication required or permitted to be given under this Contract shall be in writing and in the [Language] language.

    2. Notices shall be deemed validly given if (i) delivered personally, (ii) sent by prepaid registered post or recognized courier service to the registered address of the recipient Party, or (iii) sent by electronic mail to the email address designated by the recipient Party for such purpose.

    3. The addresses for the service of notices on the Parties shall be as set out at the head of this Contract, or such other address as a Party may notify in writing to the other from time to time.

    4. Notices delivered personally shall be deemed received upon delivery; notices sent by registered post shall be deemed received three Business Days after posting; notices sent by courier shall be deemed received upon the courier's confirmation of delivery; and notices sent by electronic mail shall be deemed received upon the sender's receipt of a delivery confirmation, provided such receipt occurs during the ordinary business hours of the recipient.

    5. Each Party shall promptly notify the other of any change in its address or contact details for the service of notices.

    6. Notwithstanding the foregoing, routine operational communications in connection with the day-to-day performance of this Contract may be made by such informal means as the Parties may from time to time adopt.

  13. Confidentiality

    1. Each Party shall keep confidential all non-public information disclosed to it by the other Party in connection with this Contract, including information relating to the business, affairs, customers, finances or operations of the disclosing Party (the "Confidential Information").

    2. The receiving Party shall not, without the prior written consent of the disclosing Party, disclose any Confidential Information to any third party, nor use any Confidential Information for any purpose other than the performance of this Contract.

    3. The obligations set forth in this clause 13 shall not apply to information which (i) is or becomes publicly available otherwise than through breach of this Contract, (ii) was lawfully in the possession of the receiving Party prior to disclosure, (iii) is lawfully received from a third party without obligation of confidentiality, or (iv) is required to be disclosed by law, regulation or order of a competent authority.

    4. Where a receiving Party is required by law to disclose Confidential Information, it shall, where lawfully able to do so, notify the disclosing Party in advance and cooperate with any lawful efforts by the disclosing Party to limit or resist such disclosure.

    5. Each Party shall apply to Confidential Information received from the other at least the same degree of care as it applies to its own confidential information of like importance, and in any event no less than a reasonable standard of care.

    6. The obligations of confidentiality set forth in this clause 13 shall continue for a period of [Number] years from the date of termination or expiry of this Contract.

    7. Upon termination of this Contract, each Party shall, upon the written request of the other, return or destroy all Confidential Information of the other in its possession or control, save to the extent retention is required by law or by bona fide internal records retention policies.

  14. Assignment and Subcontracting

    1. The Buyer shall not assign, transfer, charge, sub-contract or otherwise dispose of this Contract, or any of its rights or obligations hereunder, without the prior written consent of the Seller.

    2. The Seller may assign, transfer, sub-contract or otherwise dispose of this Contract, or any of its rights or obligations hereunder, to any affiliate or successor-in-interest, or in connection with any merger, consolidation, reorganization or sale of all or substantially all of its assets, upon written notice to the Buyer.

    3. The Seller may engage sub-contractors to perform any of its obligations hereunder, provided that the Seller shall remain liable to the Buyer for the acts and omissions of such sub-contractors as if they were its own.

    4. Any purported assignment, transfer or sub-contracting in breach of this clause 14 shall be null and void and of no effect.

    5. This Contract shall be binding upon and shall enure to the benefit of the Parties and their respective permitted successors and assigns.

  15. Governing Law and Dispute Resolution

    1. This Contract, and any dispute, claim or controversy (whether contractual or non-contractual) arising out of or in connection with it, its subject matter or formation, shall be governed by and construed in accordance with the laws of [Country/Jurisdiction], without regard to its conflict of laws principles.

    2. The Parties shall first endeavour to resolve any dispute, claim or controversy arising out of or in connection with this Contract by amicable negotiation in good faith, through authorized representatives of each Party, for a period of not less than [Number] days from the date on which written notice of the dispute is served by one Party upon the other.

    3. In the event that the dispute is not resolved through such negotiation within the said period, either Party may, upon written notice to the other, refer the dispute to [mediation / arbitration / the courts] in accordance with clause 15.4.

    4. Any dispute not resolved by negotiation shall be submitted to the exclusive jurisdiction of the courts of [City/Jurisdiction], provided always that nothing in this clause shall operate to deprive the Buyer, as a consumer, of the protection of any mandatory statutory provision as to the forum for the resolution of consumer disputes applicable in the Buyer's country of habitual residence.

    5. Nothing in this clause 15 shall prevent either Party from seeking urgent injunctive, interim or protective relief from any court of competent jurisdiction.

    6. Each Party shall bear its own costs incurred in connection with the resolution of any dispute, save as may otherwise be determined by the tribunal or court seized of the matter.

  16. Entire Agreement

    1. This Contract constitutes the entire agreement and understanding between the Parties with respect to its subject matter, and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations and communications, whether written or oral, relating to such subject matter.

    2. Each Party acknowledges that, in entering into this Contract, it has not relied upon any statement, representation, warranty or assurance (whether made negligently or innocently) other than those expressly set out in this Contract.

    3. Nothing in this clause 16 shall limit or exclude any liability for fraud or fraudulent misrepresentation, nor shall it operate to exclude or restrict any non-excludable statutory right of the Buyer as a consumer.

    4. No variation or amendment of this Contract shall be effective unless made in writing and signed by or on behalf of both Parties.

    5. The Parties confirm that no term of this Contract is intended to confer any benefit upon, or be enforceable by, any person who is not a party hereto.

  17. Severability and Waiver

    1. If any provision of this Contract is held by a court or other competent authority to be invalid, illegal or unenforceable in whole or in part, such invalidity, illegality or unenforceability shall not affect the validity, legality or enforceability of the remaining provisions of this Contract, which shall continue in full force and effect.

    2. In the event of such invalidity, illegality or unenforceability, the Parties shall negotiate in good faith with a view to replacing the affected provision with a valid, legal and enforceable provision which achieves, to the greatest extent possible, the original commercial intent of the Parties.

    3. No failure or delay by either Party in exercising any right, power or remedy under this Contract shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof.

    4. Any waiver by either Party of any provision of this Contract, or of any breach thereof, shall be effective only if made in writing and signed by the waiving Party, and shall not constitute a waiver of any other provision or of any subsequent breach.

    5. The rights and remedies provided in this Contract are cumulative and not exclusive of any rights or remedies provided by law.

IN WITNESS WHEREOF, the Parties have executed this Contract as of the Effective Date first above written.
