ROOMMATE AGREEMENT

This Roommate Agreement (hereinafter the "Agreement") is made and entered into on this [day] day of [month], [year] (the "Effective Date"), by and between [Roommate 1 Full Legal Name], an individual residing at [current address] (hereinafter "Roommate A"), and [Roommate 2 Full Legal Name], an individual residing at [current address] (hereinafter "Roommate B"), each a "Roommate" and collectively, the "Roommates."

WHEREAS, the Roommates have jointly leased, or intend to jointly occupy, the residential premises located at [full street address, unit number, city, state, zip code] (the "Premises") pursuant to a certain lease agreement dated [date of master lease] by and between the Roommates (or one or more of them) and [Landlord Name] (the "Master Lease");

WHEREAS, the Roommates desire to set forth, in a comprehensive and binding writing, their respective rights, duties, obligations, and understandings with respect to their cohabitation at the Premises, including without limitation the apportionment of rent, utilities, deposits, household responsibilities, use of common areas, conduct of guests, and resolution of disputes;

WHEREAS, the Roommates acknowledge that this Agreement is intended to supplement, and in no manner to supersede, modify, or diminish, the obligations owed by any Roommate to the landlord under the Master Lease;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements hereinafter set forth, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Roommates, intending to be legally bound, do hereby covenant and agree as follows:

  1. Definitions and Interpretation

    1. For the purposes of this Agreement, the following terms shall have the meanings ascribed to them herein. The term "Premises" shall mean the residential dwelling identified in the recitals above, together with all rooms, closets, storage areas, parking spaces, and appurtenances demised under the Master Lease. The term "Master Lease" shall mean the written lease agreement between the Roommates (or either of them) and the landlord of record, as the same may be amended, extended, or renewed from time to time. The term "Rent" shall mean the aggregate monthly rental charge payable under the Master Lease, exclusive of utility surcharges or late fees unless expressly incorporated therein. The term "Shared Expenses" shall mean those recurring and non-recurring costs enumerated in the section titled Utilities and Shared Household Expenses. The term "Private Space" shall mean any bedroom or other area designated for the exclusive use of a particular Roommate. The term "Common Areas" shall mean all portions of the Premises not designated as Private Space.

    2. Words importing the singular shall include the plural and vice versa; words importing any gender shall include all genders; and references to persons shall include natural persons, corporations, partnerships, and other legal entities as the context requires.

    3. The headings and captions of the sections of this Agreement are inserted for convenience of reference only and shall not be deemed to limit, define, or otherwise affect the construction or interpretation of any provision hereof.

    4. References herein to "days" shall mean calendar days unless expressly denoted as "business days," in which case Saturdays, Sundays, and federal holidays recognized in the United States shall be excluded.

    5. Any reference to a statute, regulation, rule, or ordinance shall be construed as a reference to such enactment as the same may be amended, modified, re-enacted, or replaced from time to time.

    6. The recitals set forth above are hereby incorporated into and made a material part of this Agreement as if fully restated herein.

    7. Each Roommate acknowledges having had the opportunity to review this Agreement in its entirety, to seek independent legal counsel, and to negotiate the terms hereof, and no rule of construction shall apply to disfavor the drafter.

  2. Term of Occupancy

    1. The term of occupancy under this Agreement (the "Term") shall commence on [commencement date] and shall continue in full force and effect, co-terminous with the Master Lease, unless and until earlier terminated in accordance with the provisions hereof.

    2. In the event the Master Lease is renewed, extended, or converted to a month-to-month tenancy, this Agreement shall likewise continue in effect upon the same terms and conditions, unless the Roommates mutually agree in writing to amend or terminate the same.

    3. Each Roommate represents and warrants that he or she has read, understood, and received a true and complete copy of the Master Lease and agrees to be bound by all tenant covenants, conditions, and restrictions set forth therein, including without limitation those relating to use, occupancy, alterations, insurance, and quiet enjoyment.

    4. No Roommate shall take any unilateral action that would cause the Master Lease to terminate, be forfeited, or be declared in default, including without limitation refusing to pay his or her share of Rent, violating material house rules imposed by the landlord, or holding over without authorization.

    5. In the event the Master Lease is terminated by the landlord for any reason not attributable to the fault of a particular Roommate, this Agreement shall terminate automatically, without penalty to either Roommate, as of the effective date of such termination.

    6. Each Roommate shall vacate the Premises on or before the expiration or earlier termination of this Agreement, and shall remove all personal property and leave his or her Private Space and the Common Areas in broom-clean condition, reasonable wear and tear excepted.

  3. Rent and Payment Obligations

    1. The total monthly Rent payable under the Master Lease is [total monthly rent amount] dollars ($[amount]), which the Roommates agree shall be divided and borne in equal shares, such that each Roommate shall be responsible for the payment of [per-roommate rent amount] dollars ($[amount]) per month.

    2. Each Roommate shall remit his or her share of the Rent to [designated payor / landlord / shared account] not later than the [day] day of each calendar month, or such earlier date as may be necessary to ensure timely payment to the landlord in accordance with the Master Lease.

    3. In the event one Roommate advances funds on behalf of the other to prevent a default under the Master Lease, the non-paying Roommate shall reimburse the advancing Roommate within five (5) business days of written demand, together with any late fees, interest, or penalties incurred as a direct result of such delinquency.

    4. Any late fee, dishonored instrument charge, or other penalty assessed by the landlord by reason of a particular Roommate's failure to timely tender his or her share shall be borne exclusively by the delinquent Roommate, and shall not be apportioned between the Roommates.

    5. Payment shall be made by [electronic transfer / check / cash / designated payment platform], and each Roommate shall retain and, upon request, exhibit documentary evidence of payment for a period of not less than twelve (12) months.

    6. The Roommates acknowledge that notwithstanding the internal apportionment set forth herein, they may be jointly and severally liable to the landlord under the Master Lease, and nothing in this Agreement shall operate to limit or discharge any such liability as between the Roommates and the landlord.

    7. No set-off, counterclaim, or deduction of any kind shall be asserted by one Roommate against his or her Rent obligation on account of any dispute with the other Roommate, except as expressly permitted herein or by applicable law.

  4. Security Deposit

    1. The Roommates have deposited, or shall deposit, with the landlord a security deposit in the aggregate amount of [security deposit amount] dollars ($[amount]) (the "Security Deposit") pursuant to the terms of the Master Lease, of which each Roommate has contributed, or shall contribute, an equal share.

    2. Each Roommate's contribution to the Security Deposit shall remain the property of such Roommate and shall be refundable only upon the ultimate return of the Security Deposit by the landlord at the conclusion of the Master Lease.

    3. In the event the landlord deducts any portion of the Security Deposit on account of damage, cleaning, unpaid rent, or other charges, the deduction shall be allocated among the Roommates in accordance with fault, such that any Roommate whose act or omission (including that of such Roommate's guests) caused the deduction shall bear the entirety of the corresponding loss.

    4. Where the cause of any deduction is attributable to the Common Areas and cannot reasonably be ascribed to a particular Roommate, such deduction shall be borne equally by the Roommates.

    5. Upon return of the Security Deposit by the landlord, the holder of the deposit (or the Roommate receiving the refund check) shall promptly, and in no event later than ten (10) business days thereafter, remit to each other Roommate his or her proportionate share, as adjusted pursuant to the preceding clauses.

    6. No Roommate shall be entitled to recover his or her share of the Security Deposit directly from any other Roommate prior to the landlord's final accounting, except in cases of demonstrable bad faith, fraud, or willful misconduct.

    7. In the event of a mid-term substitution of a Roommate pursuant to the section titled Departure, Replacement, and Early Termination, the incoming Roommate shall reimburse the departing Roommate for the departing Roommate's share of the Security Deposit on hand, and the Security Deposit shall thereafter be deemed to be held proportionately for the account of the continuing and incoming Roommates.

  5. Utilities and Shared Household Expenses

    1. The Roommates shall share equally in the cost of all utilities and recurring household expenses attributable to the Premises, including without limitation electricity, natural gas, water and sewer, trash removal, internet service, basic cable or streaming service as mutually agreed, and such other services as the Roommates may from time to time designate (collectively, the "Shared Expenses").

    2. The Roommates shall mutually agree upon which of them shall hold each utility account in his or her name, and the account holder shall be responsible for ensuring timely payment of the applicable bill. The non-account holder shall reimburse the account holder for his or her equal share within seven (7) days of presentation of the invoice or payment confirmation.

    3. Common household consumables, including without limitation toilet paper, paper towels, hand soap, dish soap, cleaning supplies, light bulbs, and trash bags, shall be purchased on a rotating or mutually agreed basis, with the cost thereof shared equally.

    4. Groceries, personal toiletries, alcoholic beverages, pet supplies, and food items purchased for individual consumption shall be the sole responsibility of the Roommate purchasing or consuming the same, and shall not be deemed Shared Expenses.

    5. Extraordinary, non-recurring expenses in excess of [threshold amount] dollars ($[amount]) (such as new appliances, major furniture, or significant repairs not covered by the landlord) shall not be incurred as a Shared Expense without the prior written consent of all Roommates.

    6. Each Roommate shall exercise reasonable prudence in the consumption of utilities and shall endeavor to minimize waste. In the event one Roommate's consumption is grossly disproportionate (by way of example, due to extended visits by guests or the operation of unusual equipment), the Roommates shall confer in good faith to reallocate the applicable utility charge in a manner reflective of actual use.

    7. A written or electronic ledger of Shared Expenses shall be maintained by the Roommates, and reconciliation shall occur not less frequently than monthly to ensure accurate and timely settlement of accounts.

  6. Shared and Private Spaces

    1. Each Roommate shall have the exclusive right to occupy and use his or her designated Private Space, consisting of the bedroom identified as [Room A / Room B] and such ancillary storage or closet space as the Roommates may agree upon in writing.

    2. No Roommate shall enter the Private Space of another Roommate without the prior express consent of such Roommate, except in cases of bona fide emergency involving imminent risk to person or property, or as may be reasonably necessary to permit access by the landlord, emergency services, or authorized repair personnel.

    3. The Common Areas, including without limitation the kitchen, living room, dining area, hallways, bathrooms (unless designated as private), laundry area, balcony or patio, and any shared storage, shall be available for the reasonable use and enjoyment of both Roommates on a non-exclusive basis.

    4. No Roommate shall appropriate any Common Area for his or her exclusive use, store personal effects therein to the exclusion of the other Roommate, or install equipment or furnishings therein without the prior consent of the other Roommate.

    5. Use of shared appliances, furnishings, and equipment within the Common Areas shall be undertaken with due care, and each Roommate shall be responsible for cleaning up after his or her own use.

    6. Any damage caused to the Private Space of another Roommate, or to the personal property of another Roommate located within the Common Areas, by the negligent or willful act of a Roommate (or such Roommate's guest) shall be repaired or compensated for by the responsible Roommate.

    7. The allocation of Private Spaces and the designation of any additional or substitute spaces shall not be altered except by written agreement of the Roommates.

  7. Household Chores and Maintenance

    1. The Roommates shall share equally in the performance of household chores necessary to maintain the Premises in a clean, sanitary, and habitable condition, including without limitation sweeping and mopping, vacuuming, cleaning of kitchen surfaces and appliances, cleaning of shared bathrooms, taking out trash and recycling, and general tidying of Common Areas.

    2. The Roommates shall establish and maintain a mutually agreed chore schedule, whether on a weekly rotating basis or by division of specific tasks, and shall adhere to such schedule in good faith. The schedule may be modified from time to time by mutual written agreement.

    3. Each Roommate shall be solely responsible for cleaning his or her Private Space and for washing his or her own dishes, cookware, and personal laundry within a reasonable time after use.

    4. Perishable food items left in Common Areas or in the shared refrigerator beyond their reasonable useful life may be discarded by any Roommate without liability.

    5. Routine maintenance tasks, including replacement of light bulbs, filters, and batteries in smoke and carbon monoxide detectors, shall be performed on a shared basis, with the cost thereof treated as a Shared Expense.

    6. Any repair or maintenance obligation that is the responsibility of the landlord under the Master Lease shall be reported promptly to the landlord by the Roommate first becoming aware thereof, with notice to the other Roommate.

    7. In the event a Roommate persistently fails to perform his or her share of chores, the aggrieved Roommate may, after providing written notice and a reasonable opportunity to cure of not less than seven (7) days, engage a professional cleaning service and charge the non-performing Roommate for his or her proportionate share of the cost thereof.

    8. Neither Roommate shall undertake alterations, improvements, or installations to the Premises (including painting, drilling, or affixing of fixtures) without the prior written consent of the other Roommate and, where required, the landlord.

  8. House Rules and Quiet Hours

    1. The Roommates shall conduct themselves at all times in a manner that is respectful of the other's reasonable expectations of privacy, quiet, and peaceful enjoyment of the Premises.

    2. Quiet hours shall be observed daily from [10:00 p.m.] until [8:00 a.m.] (the "Quiet Hours"), during which time all Roommates and their guests shall refrain from producing noise audible from an adjacent room at a level likely to disturb sleep or concentration, including loud music, television, telephone conversations, and gatherings.

    3. Smoking and the use of combustible tobacco or cannabis products shall be prohibited within the interior of the Premises. Any permitted smoking shall take place only in such outdoor areas as may be allowed by the Master Lease and applicable law.

    4. The keeping of pets shall require the prior written consent of the other Roommate and, where required, the landlord. The pet-owning Roommate shall be solely responsible for the care, cleanliness, and conduct of such pet and for any damage occasioned thereby.

    5. Illegal activity of any kind, including without limitation the use, possession, or sale of controlled substances in violation of federal or state law, shall be strictly prohibited on the Premises.

    6. The use or storage on the Premises of firearms, explosives, hazardous chemicals, or other dangerous instrumentalities shall require the prior written consent of the other Roommate and compliance with all applicable laws.

    7. Common areas shall be kept free of personal clutter, and personal items left in Common Areas for an unreasonable period after notice may be relocated by the other Roommate to the owning Roommate's Private Space without liability.

    8. Additional house rules may be adopted from time to time by written agreement of the Roommates and, when so adopted, shall be deemed incorporated into this Agreement by reference.

  9. Overnight Guests and Visitors

    1. Each Roommate shall be entitled to receive overnight guests at the Premises, subject to the limitations set forth herein and to the terms of the Master Lease.

    2. An "overnight guest" shall mean any person, other than a Roommate, who sleeps or lodges at the Premises for any portion of any night. No overnight guest shall stay at the Premises for more than [three (3)] consecutive nights, nor more than [seven (7)] nights in any thirty (30) day period, without the prior express consent of the other Roommate, which consent shall not be unreasonably withheld.

    3. A guest whose stay exceeds the limits set forth in the preceding clause shall be deemed a "Long-Term Visitor," and shall not be permitted at the Premises absent the prior written consent of the other Roommate, which may be granted or withheld in such Roommate's sole and reasonable discretion.

    4. Where consent to a Long-Term Visitor is granted, the Roommates shall agree in writing upon an equitable contribution by the hosting Roommate (or the visitor) to the Shared Expenses to reflect the increased consumption of utilities and household consumables occasioned by such presence.

    5. The hosting Roommate shall be fully responsible for the conduct of his or her guests, including compliance with House Rules and Quiet Hours, and for any damage to the Premises or injury to persons caused by such guests.

    6. No guest shall be given keys, access codes, or unaccompanied access to the Premises without the prior consent of the other Roommate.

    7. Under no circumstances shall any guest be deemed to acquire tenancy rights, occupancy rights, or any other possessory interest in the Premises by reason of his or her presence thereat.

  10. Personal Property and Liability

    1. Each Roommate shall retain full and exclusive ownership of all personal property brought by such Roommate onto the Premises, and no commingling of ownership shall be presumed by reason of cohabitation.

    2. The Roommates shall make reasonable efforts to label or otherwise identify items of personal property kept in Common Areas, and shall maintain an informal inventory of jointly purchased items, if any, indicating the respective ownership shares.

    3. Each Roommate is strongly encouraged, and shall use best efforts, to obtain and maintain a policy of renter's insurance covering his or her personal property and personal liability during the Term, in such amounts as such Roommate deems appropriate.

    4. Neither Roommate shall be liable to the other for loss, theft, or damage to personal property arising from causes beyond such Roommate's reasonable control, including without limitation acts of third parties, fire, flood, or other casualty.

    5. A Roommate shall, however, be liable to the other for loss or damage to personal property caused by such Roommate's own negligence, willful misconduct, or breach of this Agreement, or by the acts of such Roommate's guests.

    6. Upon termination of this Agreement, each Roommate shall remove all of his or her personal property from the Premises not later than the date of such Roommate's departure. Any personal property remaining on the Premises more than [fourteen (14)] days after departure, following written notice, shall be deemed abandoned and may be disposed of by the remaining Roommate without liability.

    7. Neither Roommate shall sell, pledge, encumber, or otherwise dispose of any item of personal property belonging to the other without the prior written consent of the owner thereof.

  11. Departure, Replacement, and Early Termination

    1. Either Roommate may terminate his or her occupancy under this Agreement, prior to the natural expiration hereof, by delivering not less than thirty (30) days' prior written notice (the "Departure Notice") to the other Roommate specifying the intended date of departure.

    2. The departing Roommate (the "Departing Roommate") shall bear the primary responsibility for identifying, screening, and proposing a suitable replacement roommate (the "Proposed Replacement") acceptable to the remaining Roommate (the "Remaining Roommate"), whose consent shall not be unreasonably withheld, conditioned, or delayed, and acceptable to the landlord in accordance with the Master Lease.

    3. The Proposed Replacement shall, as a condition precedent to occupancy, execute a written joinder or counterpart to this Agreement, thereby assuming all rights and obligations of the Departing Roommate on a prospective basis.

    4. Until such time as a Proposed Replacement has been approved, has executed the applicable documentation, and has taken occupancy of the Premises, the Departing Roommate shall remain fully responsible for his or her share of Rent and Shared Expenses, notwithstanding the delivery of the Departure Notice or physical vacating of the Premises.

    5. In the event the Departing Roommate fails to secure a suitable Proposed Replacement within the notice period, the Departing Roommate shall continue to be liable for his or her share of Rent and Shared Expenses through the earlier of (i) the date a replacement is in fact secured and takes occupancy, or (ii) the expiration or termination of the Master Lease.

    6. Upon due substitution, the Security Deposit allocation shall be adjusted in accordance with the section titled Security Deposit, and the Departing Roommate shall receive his or her refund of such contribution from the incoming replacement, not from the landlord.

    7. Nothing in this section shall operate to release the Departing Roommate from any obligation owed directly to the landlord under the Master Lease absent a formal release or novation executed by the landlord.

    8. Early termination of this Agreement by mutual written consent of all Roommates shall be permitted at any time, upon such terms and conditions as the Roommates may then agree.

  12. Breach and Remedies

    1. A material breach of this Agreement shall be deemed to occur upon, without limitation, the failure of a Roommate timely to pay Rent or Shared Expenses, the persistent violation of House Rules, the unauthorized hosting of Long-Term Visitors, the willful damaging of the Premises, or any conduct that places the Master Lease in jeopardy.

    2. Upon the occurrence of a breach, the non-breaching Roommate shall deliver to the breaching Roommate a written notice (the "Default Notice") specifying the nature of the breach and demanding cure within a period of not less than ten (10) days, or such shorter period as may be reasonable in the circumstances.

    3. If the breach is not cured within the period specified in the Default Notice, the non-breaching Roommate shall be entitled to pursue any and all remedies available at law or in equity, including without limitation specific performance, injunctive relief, and recovery of monetary damages, including incidental and consequential damages where recoverable.

    4. The non-breaching Roommate shall further be entitled, but not obligated, to require the breaching Roommate to vacate the Premises in accordance with the procedures set forth in the section titled Departure, Replacement, and Early Termination, and the breaching Roommate shall thereupon be treated as a Departing Roommate for purposes of this Agreement, provided that the usual 30-day notice shall not apply where cure has not been effected.

    5. The breaching Roommate shall indemnify and hold the non-breaching Roommate harmless from and against any and all losses, damages, claims, penalties, late fees, legal fees, and other costs incurred by reason of such breach, including without limitation any default declared by the landlord under the Master Lease.

    6. The remedies set forth herein are cumulative and not exclusive, and the election of one remedy shall not preclude the pursuit of others. No forbearance or indulgence by the non-breaching Roommate shall be construed as a waiver of any right or remedy.

  13. Dispute Resolution and Governing Law

    1. The Roommates agree that any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity hereof, shall first be addressed through good-faith informal discussion between the Roommates, undertaken promptly upon notice of the matter in dispute.

    2. In the event such informal discussion does not resolve the dispute within fourteen (14) days of the initial written notice, the Roommates shall submit the matter to mediation before a neutral third-party mediator mutually selected by the Roommates, or, failing such mutual selection, before a mediator appointed by a reputable mediation service designated by either Roommate in [city, state].

    3. The costs and fees of the mediator shall be borne equally by the Roommates, with each Roommate bearing his or her own attorneys' fees and costs of participation, unless otherwise agreed or ordered.

    4. Mediation shall be a condition precedent to the commencement of any legal action between the Roommates with respect to any matter arising out of this Agreement, excepting only applications for emergency injunctive or equitable relief, or matters involving the Master Lease and the landlord.

    5. Should mediation fail to resolve the dispute within sixty (60) days after commencement thereof, either Roommate shall be free to pursue his or her remedies in a court of competent jurisdiction.

    6. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [state], without regard to its conflict of laws principles, and the Roommates irrevocably submit to the exclusive jurisdiction of the state and federal courts located in [county], [state] for any judicial proceedings not subject to mediation.

    7. Each Roommate hereby waives, to the fullest extent permitted by applicable law, any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement.

  14. Amendments and Entire Agreement

    1. No amendment, modification, or supplement to this Agreement shall be effective or binding upon the Roommates unless the same shall be in writing and executed by both Roommates.

    2. The Roommates may from time to time, by written instrument, adopt supplemental household rules, chore schedules, expense allocations, or other operational matters consistent with the terms hereof, and such instruments shall be deemed to form a part of this Agreement.

    3. This Agreement constitutes the entire agreement between the Roommates with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral, with respect to such subject matter.

    4. The Roommates acknowledge that in entering into this Agreement they have not relied upon any representation, warranty, promise, or inducement not expressly set forth herein.

    5. Nothing contained in this Agreement shall be deemed to amend, modify, or supersede any provision of the Master Lease, and in the event of any conflict between this Agreement and the Master Lease, the Master Lease shall control as between the Roommates and the landlord.

  15. Severability and Waiver

    1. If any provision of this Agreement, or the application thereof to any person or circumstance, is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision or application of this Agreement, which shall remain in full force and effect to the maximum extent permitted by law.

    2. The Roommates shall endeavor in good faith to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision the economic and legal effect of which comes as close as possible to that of the provision so stricken.

    3. No failure or delay on the part of either Roommate in exercising any right, power, or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

    4. No waiver of any provision of this Agreement, or of any breach hereof, shall be effective unless the same is set forth in a writing signed by the Roommate against whom such waiver is asserted, and any such waiver shall be effective only in the specific instance and for the specific purpose for which given.

    5. The acceptance by one Roommate of a late or partial payment, or the toleration of a prior breach, shall not constitute a waiver of the right to strict performance of any subsequent obligation.

  16. Notices

    1. All notices, demands, consents, requests, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when (i) delivered personally with written receipt, (ii) sent by overnight courier of national reputation with tracking, (iii) sent by certified or registered United States mail, return receipt requested, postage prepaid, or (iv) sent by electronic mail to the email address designated by the recipient, with delivery confirmation.

    2. Notices to Roommate A shall be addressed to [Roommate A address and email], and notices to Roommate B shall be addressed to [Roommate B address and email], or to such other address as either Roommate may from time to time designate by written notice given in accordance with this section.

    3. Notices shall be deemed received: upon actual delivery if hand-delivered; on the first business day after deposit with an overnight courier; on the third business day after mailing if sent by United States mail; and on the date of transmission if sent by electronic mail prior to 5:00 p.m. recipient's local time on a business day (otherwise on the next business day).

    4. Routine communications regarding day-to-day household matters may be exchanged by text message or other informal means, but formal notices of breach, Departure Notice, Default Notice, or termination shall be given only in strict accordance with the preceding clauses.

    5. Either Roommate may change his or her designated address or email for notice purposes by delivering notice of such change in accordance with this section.

IN WITNESS WHEREOF, the Roommates have executed this Roommate Agreement as of the Effective Date first above written.
