The Employer and the Employee are hereinafter referred to individually as a "Party" and collectively as the "Parties."
WHEREAS, the Employer and the Employee are parties to that certain employment agreement or offer letter dated [Date of Employment Agreement] (the "Employment Agreement"), pursuant to which the Employee is employed by the Employer in the position of [Position Title];

WHEREAS, the Parties desire to supplement, and not to supersede, the Employment Agreement by setting forth the specific rights, obligations, and expectations governing the Employee's remote work arrangement;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows.
Definitions and Interpretation
For purposes of this Agreement, the following capitalized terms shall have the meanings ascribed to them herein. "Remote Work" shall mean the performance by the Employee of the duties associated with the Employee's position from a location other than the Employer's offices, as authorized under this Agreement. "Remote Location" shall mean the primary designated residence or alternative premises identified in Section 3 at which the Employee is authorized to perform Remote Work. "Company Equipment" shall mean all hardware, software, peripherals, devices, access credentials, and related technology furnished by the Employer to the Employee pursuant to Section 6. "Confidential Information" shall have the meaning ascribed to such term in the Employment Agreement, and shall further include any proprietary, business, financial, technical, personnel, or customer information disclosed to, acquired by, or generated by the Employee in connection with the performance of Remote Work.
This Agreement shall be construed as a supplement to, and shall be read in conjunction with, the Employment Agreement. In the event of any conflict or inconsistency between this Agreement and the Employment Agreement with respect to matters specifically addressed herein, the provisions of this Agreement shall prevail; in all other respects, the Employment Agreement shall remain in full force and effect.
The headings and captions used in this Agreement are inserted for convenience of reference only and shall not be deemed to limit, define, or describe the scope or intent of any provision hereof.
Words importing the singular shall include the plural and vice versa, and words importing any gender shall include all genders, as the context may require.
The words "including," "include," and "includes" shall be deemed to be followed by the phrase "without limitation," and the words "herein," "hereof," and "hereunder" shall refer to this Agreement as a whole and not to any particular provision.
References to any statute, regulation, policy, or guideline shall be construed as references to such instrument as amended, modified, or supplemented from time to time.
Any ambiguity in the interpretation of this Agreement shall not be construed against the drafting Party, it being acknowledged that both Parties have had the opportunity to review and negotiate the terms hereof.
Scope and Eligibility for Remote Work
The Employer hereby authorizes the Employee to perform the duties of the Employee's position on a fully remote basis, meaning that the Employee shall ordinarily perform all work from the Remote Location rather than from the Employer's offices, subject to such periodic on-site attendance as may be reasonably required for meetings, training, or business purposes.
The Employee's eligibility to engage in Remote Work is contingent upon continued satisfactory performance, compliance with the Employer's policies, maintenance of a suitable Remote Location in accordance with Section 9, and the Employee's continued ability to fulfill all essential functions of the position from the Remote Location.
The Employer may, in its reasonable discretion, require the Employee to attend the Employer's offices or other designated locations for in-person meetings, training sessions, team events, client engagements, or other business purposes, upon reasonable advance notice when circumstances permit.
Nothing in this Agreement shall alter the Employee's status as an employee of the Employer, nor shall it modify the Employee's compensation, benefits, job title, reporting relationships, or essential duties, except as expressly set forth herein.
This Remote Work arrangement is personal to the Employee and may not be assigned, delegated, or transferred to any other individual.
The Employer reserves the right to reassess the Employee's eligibility for Remote Work from time to time based on operational needs, performance considerations, and policy changes, subject to the modification and termination procedures set forth in Section 12.
The Employee acknowledges that the privilege of Remote Work is granted in reliance upon the Employee's representations regarding the suitability of the Remote Location and the Employee's commitment to the obligations set forth herein.
Place of Work and Remote Location
The Employee shall perform Remote Work from the following designated primary Remote Location: [Street Address, City, State, ZIP Code]. The Employee shall not relocate the Remote Location or perform Remote Work from any other premises on a regular basis without the prior written consent of the Employer.
The Employee may, with the prior written approval of the Employer (which may be granted by electronic communication from the Employee's direct supervisor), perform Remote Work on an occasional and short-term basis from an alternative location within the United States, provided that such alternative location satisfies the workspace, safety, security, and connectivity requirements set forth in this Agreement.
The Employee shall not perform Remote Work from any location outside the United States without the express prior written consent of the Employer, which may be withheld in the Employer's sole discretion based on legal, tax, immigration, data protection, or operational considerations.
The Employee shall promptly notify the Employer in writing of any proposed permanent change to the Remote Location, and any such change shall be subject to the Employer's prior written approval, which shall not be unreasonably withheld.
The Employee represents and warrants that the Remote Location complies with all applicable zoning laws, lease provisions, homeowners' association rules, and other restrictions that may govern the use of the premises for business purposes, and the Employee shall be solely responsible for obtaining and maintaining any necessary permissions.
The Employee shall maintain the Remote Location as a dedicated and reasonably private workspace, free from undue distractions and conducive to the professional performance of the Employee's duties.
The Employer shall not be deemed to have taken possession or control of the Remote Location by virtue of this Agreement, and the Remote Location shall remain under the sole dominion and control of the Employee.
Working Hours, Core Availability, and Communication
The Employee's standard work schedule shall consist of approximately [Number] hours per week, structured around Core Hours of [Start Time] to [End Time] [Time Zone], Monday through Friday, during which the Employee shall be available, responsive, and engaged in work-related activities.
Outside of Core Hours, the Employee shall have reasonable flexibility to structure the remainder of the workday, provided that all assigned duties are performed in a timely manner, deadlines are met, scheduled meetings are attended, and overall weekly hour expectations are satisfied.
The Employee shall be reachable during Core Hours through the Employer's designated communication channels, including but not limited to email, instant messaging, video conferencing, and telephone, and shall respond to communications within such reasonable timeframes as are customary for the Employee's role.
The Employee shall accurately record and report all hours worked in accordance with the Employer's timekeeping policies and applicable wage and hour laws, and shall obtain prior approval for any overtime work in accordance with Employer policy.
The Employee shall observe the Employer's standard holidays and shall request and record paid time off, sick leave, and other absences in accordance with the Employer's established procedures.
The Employee shall provide reasonable advance notice to the Employee's supervisor of any planned absence from availability during Core Hours and shall promptly notify the supervisor of any unplanned unavailability.
The Employee shall participate in such regular check-ins, team meetings, performance reviews, and reporting cadences as the Employer may reasonably establish, and shall ensure that the Employee's calendar accurately reflects the Employee's availability.
The Employer reserves the right to modify Core Hours and communication expectations from time to time upon reasonable notice to the Employee, consistent with operational needs.
Duties, Performance Standards, and Reporting
The Employee shall faithfully, diligently, and competently perform all duties associated with the Employee's position, exercising the same degree of skill, care, and professionalism as would be expected if the Employee were working on-site at the Employer's offices.
The Employee's performance shall be evaluated according to the same standards, metrics, and procedures applicable to similarly situated employees, with such additional or modified measures as the Employer may reasonably establish to account for the remote nature of the work.
The Employee shall report to [Supervisor Title] or such other individual as the Employer may designate from time to time, and shall provide such written or oral reports regarding work progress, deliverables, and objectives as the supervisor may reasonably request.
The Employee shall not engage in any secondary employment, consulting arrangement, personal business, or other activity during working hours that would interfere with the full and faithful performance of the Employee's duties to the Employer.
The Employee shall ensure that any personal, family, or household responsibilities, including the care of dependents, do not interfere with the Employee's work obligations, and acknowledges that the Remote Location is not a substitute for dependent care arrangements.
The Employee shall promptly notify the Employer of any circumstances that may materially impair the Employee's ability to perform duties remotely, including illness, loss of connectivity, equipment failure, or disruption to the Remote Location.
Failure to meet performance expectations, maintain availability, or otherwise fulfill the obligations set forth herein may result in the modification, suspension, or termination of the Remote Work arrangement pursuant to Section 12, in addition to such other employment consequences as may be appropriate under the Employer's policies and the Employment Agreement.
Company Equipment and Technology
The Employer shall furnish to the Employee, at the Employer's expense, all equipment reasonably necessary for the performance of Remote Work, including but not limited to a laptop or desktop computer, monitor(s), keyboard, mouse, headset, and such software, licenses, and access credentials as may be required (collectively, the "Company Equipment").
Title to and ownership of all Company Equipment shall at all times remain with the Employer, and the Employee's possession thereof is for the exclusive purpose of performing duties under this Agreement.
The Employee shall use the Company Equipment solely for legitimate business purposes and in accordance with the Employer's acceptable use, information technology, and security policies, as such policies may be amended from time to time.
The Employee shall exercise reasonable care in the use, storage, and transportation of Company Equipment, shall protect it from theft, loss, damage, and unauthorized access, and shall not permit any third party, including family members, to use or access the Company Equipment.
The Employee shall promptly report to the Employer any loss, theft, damage, malfunction, or suspected compromise of any Company Equipment and shall cooperate fully with any investigation or remediation efforts.
The Employer shall be responsible for the installation, maintenance, repair, and replacement of Company Equipment, and the Employee shall not attempt to modify, repair, or install unauthorized software on such equipment without the prior consent of the Employer's information technology personnel.
The Employee shall not install Company software on personal devices, nor shall the Employee store Employer data on personal devices or personal cloud accounts, except as expressly authorized in writing by the Employer.
Upon termination of the Remote Work arrangement, the Employment Agreement, or upon the Employer's request, the Employee shall return all Company Equipment in accordance with Section 13.
Reimbursement of Home Office Expenses
The Employer shall reimburse the Employee for reasonable, actual, and documented out-of-pocket expenses incurred by the Employee in connection with the maintenance of the Remote Location, including a reasonable allocable portion of internet service, electricity attributable to work use, and office supplies necessary for the performance of duties.
Reimbursable expenses must be (i) reasonable in amount, (ii) directly attributable to the performance of Remote Work, (iii) supported by receipts, invoices, or other documentation satisfactory to the Employer, and (iv) submitted in accordance with the Employer's expense reimbursement policies and within [Number] days of being incurred.
The Employer may, in its discretion, establish monthly or annual caps on specific categories of reimbursable expenses, and shall communicate any such limits to the Employee in advance.
Expenses that are personal in nature, that would have been incurred regardless of the Employee's remote work status, or that are not supported by adequate documentation shall not be reimbursable.
The Employer shall reimburse approved expenses within [Number] days of receipt of a properly submitted and documented request, through such payment method as is customary for the Employer's expense reimbursements.
The Employee shall be solely responsible for determining and reporting any tax consequences of reimbursements received hereunder, and the Employer makes no representation regarding the tax treatment of such reimbursements. The Employer shall report reimbursements as required by applicable law.
Where required by the law of the state in which the Employee resides, the Employer shall reimburse all necessary business expenditures or losses incurred by the Employee in the discharge of duties under this Agreement, consistent with such legal requirements.
The Employee shall not incur any extraordinary or non-routine expense on the Employer's behalf without obtaining prior written authorization from the Employer.
Data Security, Confidentiality, and Intellectual Property
The Employee shall at all times safeguard the confidentiality, integrity, and availability of all Confidential Information and Employer data accessed, processed, or stored in connection with Remote Work, in accordance with the Employer's information security policies and applicable law.
The Employee shall access Employer systems and data solely through Employer-approved means, including the Employer's virtual private network, multi-factor authentication, and encryption tools, and shall not disable, circumvent, or impair any security controls.
The Employee shall ensure that the Remote Location provides reasonable physical security for Company Equipment and Confidential Information, including by locking screens when unattended, storing physical documents in secure locations, and preventing unauthorized viewing of screens or documents by household members, visitors, or passersby.
The Employee shall not print, copy, download, transmit, or retain Confidential Information except as necessary to perform the Employee's duties, and shall properly destroy or return all such information when no longer needed in accordance with the Employer's data retention and destruction policies.
The Employee shall promptly notify the Employer, and in no event later than [Number] hours after discovery, of any actual or suspected security incident, data breach, unauthorized access, loss of a device, or compromise of credentials, and shall cooperate fully with any resulting investigation.
All work product, inventions, discoveries, developments, improvements, software, documentation, and other materials created, conceived, or reduced to practice by the Employee in the course of performing Remote Work, whether individually or jointly with others, shall be the sole and exclusive property of the Employer, consistent with the terms of the Employment Agreement, and the Employee hereby assigns and agrees to assign all right, title, and interest therein to the Employer.
The Employee shall execute such documents and take such further actions as the Employer may reasonably request to perfect, record, or enforce the Employer's intellectual property rights in such work product.
The obligations set forth in this Section shall survive the termination of this Agreement, the Employment Agreement, and the Employee's employment with the Employer.
Health, Safety, and Workspace Requirements
The Employee shall establish and maintain a safe, ergonomic, and functional workspace at the Remote Location, suitable for the performance of the Employee's duties and compliant with applicable occupational health and safety standards to the extent they apply to home-based work.
The Employee shall ensure that the workspace is free from recognized hazards, including but not limited to tripping hazards, fire hazards, electrical hazards, and inadequate ventilation or lighting.
The Employee shall complete any workspace self-assessment, ergonomic evaluation, or safety training required by the Employer, and shall promptly implement any reasonable recommendations arising therefrom.
The Employee shall promptly report to the Employer any work-related injury, illness, or incident occurring at the Remote Location during working hours, in accordance with the Employer's incident reporting procedures and applicable workers' compensation laws.
The Employer shall have the right, upon reasonable advance notice and at a mutually agreeable time, to conduct a virtual or, where legally permissible and necessary, in-person inspection of the Remote Location to verify compliance with the workspace and safety requirements set forth herein.
The Employee shall take appropriate rest breaks, observe reasonable working hours, and attend to the Employee's own physical and mental well-being, recognizing that the boundaries between work and personal life may be less distinct in a remote setting.
The Employee's workers' compensation coverage shall apply to work-related injuries sustained at the Remote Location during the performance of duties, subject to the terms, conditions, and limitations of applicable law and the Employer's workers' compensation program.
Insurance, Liability, and Risk Allocation
The Employer shall maintain workers' compensation insurance as required by applicable law, which shall cover the Employee for injuries arising out of and in the course of the Employee's employment, including qualifying injuries occurring at the Remote Location.
The Employee shall be responsible for maintaining appropriate homeowners', renters', or similar insurance covering the Remote Location, and acknowledges that such personal insurance may not cover damage or liability arising from business use of the premises; the Employee is encouraged to consult with the Employee's insurer regarding appropriate coverage.
The Employer shall not be liable for any damage, loss, or injury to the Employee's personal property, the Remote Location, or any third party arising out of or in connection with the Employee's Remote Work, except to the extent such liability is imposed by law or arises from the Employer's negligence or willful misconduct.
The Employee shall indemnify and hold the Employer harmless from and against any claims, damages, losses, or expenses arising from (i) the Employee's gross negligence or willful misconduct, (ii) the Employee's material breach of this Agreement, or (iii) injury to third parties occurring at the Remote Location that is not attributable to the Employer.
The Employer shall indemnify and hold the Employee harmless from claims arising out of the proper performance of the Employee's duties within the scope of employment, to the extent provided under applicable law and the Employer's standard indemnification practices.
The Employee shall exercise reasonable precautions to prevent injury to visitors, household members, and third parties at the Remote Location, and acknowledges that the Employer does not control access to the Remote Location.
Neither Party shall be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement, except where such limitation is prohibited by applicable law.
Compliance with Employer Policies and Applicable Law
The Employee shall at all times comply with all policies, procedures, codes of conduct, handbooks, and guidelines of the Employer applicable to the Employee's employment, as the same may be amended, supplemented, or replaced from time to time, including without limitation policies pertaining to information security, acceptable use of technology, confidentiality, anti-harassment, equal employment opportunity, and ethical conduct.
The Employee acknowledges that all employment policies apply with equal force to Remote Work, and that performing duties remotely does not excuse or diminish the Employee's obligation to adhere to such policies.
The Employee shall comply with all federal, state, and local laws, regulations, and ordinances applicable to the performance of the Employee's duties at the Remote Location, including those relating to taxation, business licensing (if applicable), data protection, and employment.
The Employee shall promptly notify the Employer of any change in the Employee's circumstances that may affect compliance with applicable law or Employer policy, including any change in residence, immigration status, or legal capacity to perform the Employee's duties.
The Employer shall remain responsible for its obligations as an employer under applicable law, including wage and hour, anti-discrimination, workers' compensation, and leave laws, as such laws apply to employees performing Remote Work.
The Employee shall cooperate with any audit, investigation, or compliance review initiated by the Employer or by any regulatory authority with jurisdiction over the Employer or the Employee's activities.
Any violation of applicable law or Employer policy may result in disciplinary action, up to and including termination of employment, in addition to the modification or termination of the Remote Work arrangement under Section 12.
Modification, Suspension, and Termination of Remote Arrangement
Either Party may terminate the Remote Work arrangement set forth in this Agreement, with or without cause, upon not less than fourteen (14) calendar days' prior written notice to the other Party, following which the Employee shall return to on-site work at the Employer's designated office location.
The Employer may suspend or modify the Remote Work arrangement, in whole or in part, upon written notice to the Employee, in the event of (i) a material change in business needs or operational requirements, (ii) a decline in the Employee's performance, (iii) a material breach of this Agreement, (iv) a security incident attributable to the Employee, or (v) a change in applicable law that renders the arrangement impractical or unlawful.
The Employer may terminate the Remote Work arrangement with immediate effect, without the notice period set forth above, for cause, including but not limited to material breach of this Agreement, violation of the Employer's security or confidentiality policies, or conduct that would warrant disciplinary action under the Employer's policies.
Termination of the Remote Work arrangement shall not, in and of itself, constitute termination of the Employee's employment, and the Employment Agreement shall continue in full force and effect, with the Employee returning to perform duties on-site unless otherwise agreed in writing.
Termination of the Employee's employment with the Employer, for any reason, shall automatically terminate this Agreement as of the effective date of such employment termination.
The Parties may, by mutual written agreement, modify any term of this Agreement, including the Remote Location, Core Hours, or scope of Remote Work.
The expiration or termination of this Agreement shall not relieve either Party of any obligation that, by its nature, is intended to survive, including obligations relating to confidentiality, intellectual property, return of property, and indemnification.
Return of Company Property
Upon termination of this Agreement, the Employment Agreement, or the Employee's employment, or upon the Employer's request at any time, the Employee shall promptly return to the Employer all Company Equipment, Confidential Information, documents, records, keys, access cards, credentials, and any other property of the Employer in the Employee's possession or control.
Such return shall be effected within [Number] calendar days of the triggering event, by such method as the Employer may reasonably specify, including shipment via a prepaid carrier arranged by the Employer or in-person return at a designated location.
The Employee shall return all property in good working condition, reasonable wear and tear excepted, and in substantially the same condition as when received.
The Employee shall permanently delete all Employer data, Confidential Information, and related materials from any personal devices, personal cloud storage, or other locations under the Employee's control, and shall provide written certification of such deletion upon request.
The Employee shall not retain any copies, excerpts, summaries, or derivatives of Confidential Information or Employer data, in any form or medium, following the return of property.
The Employer shall reimburse the Employee for reasonable, pre-approved out-of-pocket costs incurred in connection with the return of Company Equipment, where such costs are not otherwise borne directly by the Employer.
Failure to timely return Company Equipment or to certify deletion of Employer data may result in the pursuit of such legal and equitable remedies as may be available to the Employer, including the recovery of replacement costs where permitted by law.
Governing Law and Dispute Resolution
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of [Governing State], without regard to its conflict of laws principles, and, to the extent applicable, the federal laws of the United States.
The Parties shall endeavor to resolve any dispute, controversy, or claim arising out of or relating to this Agreement amicably through good faith discussions between appropriate representatives of each Party.
If a dispute cannot be resolved through good faith discussions within [Number] days after written notice of the dispute, the Parties shall attempt in good faith to resolve the dispute through non-binding mediation administered by a mutually agreed mediator, with the costs of mediation to be shared equally.
If mediation does not resolve the dispute within [Number] days after its commencement, either Party may pursue such legal remedies as may be available, subject to any mandatory dispute resolution procedures contained in the Employment Agreement or applicable law.
The Parties hereby consent to the exclusive jurisdiction of the state and federal courts located in [County, State] for any judicial proceedings arising out of or relating to this Agreement, and waive any objection based on forum non conveniens or improper venue.
Nothing in this Section shall preclude either Party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its rights pending resolution of a dispute, particularly with respect to confidentiality, intellectual property, or return of property.
Each Party shall bear its own costs and attorneys' fees in connection with any dispute arising hereunder, except to the extent otherwise provided by applicable law or awarded by a court or arbitrator.
Miscellaneous Provisions
This Agreement, together with the Employment Agreement and the Employer's policies referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written, relating to such subject matter.
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties; provided, however, that the Employer may update its policies referenced herein in accordance with its ordinary policy-making procedures.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable, or if not possible, severed from this Agreement, and the remaining provisions shall continue in full force and effect.
The failure or delay of either Party to enforce any provision of this Agreement shall not constitute a waiver of such provision or of any other provision, nor shall it preclude subsequent enforcement.
Neither Party may assign, delegate, or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other Party, except that the Employer may assign this Agreement to any successor in interest by merger, acquisition, reorganization, or sale of substantially all of its assets.
All notices and other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by email with confirmation of receipt, or sent by nationally recognized overnight courier to the addresses set forth above or such other addresses as the Parties may designate in writing.
This Agreement may be executed in one or more counterparts, including by electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
The provisions of this Agreement that by their nature are intended to survive termination or expiration shall so survive, including without limitation those relating to confidentiality, intellectual property, return of property, indemnification, and governing law.
IN WITNESS WHEREOF, the Parties have executed this Remote Work Agreement as of the Effective Date first written above.
