PERSONAL TRAINING AGREEMENT
This Personal Training Agreement (hereinafter referred to as the "Agreement") is made and entered into as of [Effective Date] (the "Effective Date"), by and between [Trainer Full Legal Name], a sole trader having its principal place of business at [Trainer Address], operating under the trade name [Trainer Trade Name], if any (hereinafter referred to as the "Trainer"), and [Client Full Legal Name], an individual residing at [Client Address] (hereinafter referred to as the "Client"). The Trainer and the Client are hereinafter referred to collectively as the "Parties" and individually as a "Party."
WHEREAS, the Trainer is a self-employed personal fitness professional engaged in the provision of personal training, instruction, and related fitness services to individual clients;
WHEREAS, the Client desires to retain the Trainer to furnish such personal training services for the Client's personal benefit, and the Trainer is willing to provide such services upon the terms and conditions hereinafter set forth;
WHEREAS, the Parties have had the opportunity to review the terms of this Agreement, to seek independent professional advice regarding the same, and to negotiate any modifications hereto;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.
Definitions and Interpretation
In this Agreement, unless the context otherwise requires, the following terms shall have the meanings respectively ascribed to them below.
"Services" shall mean the personal training, fitness instruction, program design, demonstration, supervision, coaching, and ancillary consultative services to be rendered by the Trainer to the Client pursuant to the terms and conditions of this Agreement, including the design and oversight of each Training Session and all preparatory work reasonably incidental thereto.
"Training Session" shall mean a single, discrete personal training appointment conducted by the Trainer for the benefit of the Client, having a duration of [Session Duration in minutes] minutes, exclusive of any warm-up, cool-down, or administrative time unless otherwise expressly agreed in writing between the Parties.
"Package" shall mean a prepaid bundle of Training Sessions purchased by the Client pursuant to this Agreement, the quantity, price, and validity period of which shall be as set forth in the clauses on Fees and Package Payment hereinbelow.
"Facility" shall mean the gym, fitness studio, or other physical venue identified in this Agreement at which the Training Sessions shall be conducted, together with any substitute venue as may be mutually agreed in writing by the Parties from time to time.
"Confidential Information" shall have the meaning ascribed to it in the clauses on Confidentiality.
The headings used in this Agreement are for convenience of reference only and shall not affect the construction or interpretation hereof. Words importing the singular shall include the plural and vice versa; words importing any gender shall include every gender; and references to "including" shall be deemed to be followed by the words "without limitation."
Any reference herein to a clause, section, or sub-section shall, unless the context otherwise requires, be construed as a reference to a clause, section, or sub-section of this Agreement. References to "writing" or "written" shall include electronic communications by email to the addresses designated by the Parties.
Engagement of Personal Trainer
The Client hereby engages the Trainer, and the Trainer hereby accepts such engagement, to render the Services to the Client upon the terms and subject to the conditions set forth in this Agreement.
The Trainer shall render the Services as an independent sole trader and not as an employee, partner, joint venturer, or agent of the Client or of the Facility. Nothing contained herein shall be construed to create any relationship of employer and employee, principal and agent, or partnership between the Parties.
The Trainer shall be solely responsible for the payment of any and all taxes, contributions, levies, and governmental charges that may be assessed against the Trainer in connection with the fees received hereunder, and the Client shall have no obligation to withhold or remit any such amounts on the Trainer's behalf.
The Services shall be rendered personally by the Trainer. The Trainer shall not delegate, assign, or subcontract the performance of any Training Session to any third party without the prior written consent of the Client; provided, however, that the Trainer may, upon reasonable prior notice to the Client, arrange for a suitably qualified substitute trainer to conduct a Training Session in the event of the Trainer's illness, injury, or unavoidable absence, subject to the Client's right to decline such substitute and reschedule the Training Session without penalty.
The Trainer shall perform the Services with the degree of skill, care, and diligence that may reasonably be expected of a competent and duly qualified personal training professional, and in accordance with generally accepted industry standards and practices.
The Client acknowledges that the Trainer makes no guarantee, warranty, or representation whatsoever as to any particular physical, aesthetic, athletic, performance, or health outcome that may or may not result from the Client's participation in the Services, and that any such outcomes depend upon a multitude of factors beyond the Trainer's control, including the Client's own effort, nutrition, rest, genetics, and compliance with the Trainer's instructions.
Training Goals and Program
Promptly following the Effective Date, the Trainer shall consult with the Client in order to ascertain the Client's fitness objectives, current conditioning, exercise history, lifestyle, and preferences, and shall thereafter formulate a personalized training program designed to pursue the Client's stated goals (the "Program").
The Client's primary training goals, as disclosed to the Trainer, are presently identified as [description of Client's goals, e.g., weight management, strength development, cardiovascular conditioning, mobility, athletic performance, rehabilitation support]; such goals may be revised from time to time by mutual written agreement of the Parties.
The Trainer shall exercise professional judgment in selecting the modalities, exercises, intensities, volumes, and progressions comprising the Program, and shall periodically review and adjust the Program in response to the Client's progress, feedback, physical condition, and any changes in the Client's health status disclosed to the Trainer.
The Client shall diligently follow the instructions and guidance given by the Trainer during each Training Session, shall perform exercises with proper form to the best of the Client's ability, and shall promptly notify the Trainer of any discomfort, pain, dizziness, shortness of breath, or other adverse physical sensation experienced during or after any Training Session.
The Trainer may, in the Trainer's professional discretion, furnish the Client with supplemental written materials, exercise prescriptions, lifestyle recommendations, or general nutritional guidance of a non-medical nature; such materials shall remain educational in character and shall not be deemed to constitute medical, dietetic, physiotherapeutic, or psychological advice.
The Client acknowledges that physical conditioning is a gradual, non-linear process and that results, if any, vary significantly from individual to individual. The Client agrees that the Trainer shall not be responsible or liable in any manner for the Client's failure to achieve any particular goal, outcome, or level of improvement.
The Trainer reserves the right to decline to perform, modify, or terminate any particular exercise, drill, or activity if, in the Trainer's reasonable professional judgment, the performance thereof poses an undue risk to the health or safety of the Client.
Session Schedule and Location
The Training Sessions shall be conducted at [Name and Address of Gym or Fitness Studio] (the "Facility"), or at such alternative venue as the Parties may from time to time agree in writing.
The Client shall be solely responsible for securing and maintaining any membership, day-pass, access right, locker fee, parking charge, or other facility fee required by the Facility for the Client's entry and use of the premises, unless otherwise expressly agreed in writing between the Parties.
Training Sessions shall be scheduled by mutual agreement of the Parties, taking into account the respective availability of the Trainer, the Client, and the Facility. Standard scheduling communications shall be conducted by [preferred communication method, e.g., email, text message, scheduling application].
Each Training Session shall commence at the scheduled time. If the Client arrives late, the Training Session shall nevertheless conclude at the originally scheduled end time, and no credit, refund, or extension shall be due in respect of the lost time; if the Trainer arrives late, the Training Session shall be extended by the corresponding period or, if such extension is not practicable, the Client shall receive a pro rata credit toward a future Training Session.
Each Party shall present itself for Training Sessions in appropriate athletic attire and footwear and in a condition fit to participate in or supervise strenuous physical activity, as the case may be.
The Trainer shall not be responsible or liable for the condition, maintenance, cleanliness, safety, or security of the Facility, nor for any equipment located therein, nor for any act, omission, or negligence of the Facility, its personnel, or any third party present at the Facility.
The Client is responsible for the safekeeping of the Client's personal belongings brought to the Facility, and the Trainer shall not be liable for any loss, theft, or damage to such belongings.
Fees and Package Payment
In consideration for the Services, the Client shall purchase prepaid Packages of Training Sessions. The Client's initial Package shall consist of [number of sessions] Training Sessions at a total price of [total package price in US dollars] (the "Package Fee"), equating to a per-Session rate of [per-session rate] United States dollars.
The Package Fee shall be paid in full by the Client to the Trainer in advance, prior to the commencement of the first Training Session included in such Package, by [payment method, e.g., bank transfer, credit card, electronic payment platform]. No Training Session shall be conducted until the applicable Package Fee has been received in cleared funds.
All Training Sessions comprised within a Package must be utilized within [validity period, e.g., ninety (90) days] from the date of purchase of such Package (the "Validity Period"). Any Training Session not utilized within the Validity Period shall be forfeited and no refund, credit, or extension shall be due in respect thereof, except with the Trainer's prior written consent, which shall not be unreasonably withheld in cases of documented illness, injury, or other bona fide hardship.
The per-Session rate and any Package pricing may be revised by the Trainer upon not less than [notice period, e.g., thirty (30)] days' prior written notice to the Client; provided, however, that any such revision shall apply only to Packages purchased on or after the effective date of the revision and shall not affect Packages already paid for.
All fees are stated in United States dollars and are exclusive of any applicable sales, use, or similar taxes, which, if any, shall be the responsibility of the Party upon whom such taxes are lawfully imposed.
Payments not received when due shall render the Client's booking privileges suspended until such payments are made, and the Trainer may, in its discretion, decline to conduct further Training Sessions until all outstanding sums are discharged in full.
Save as expressly set forth in this Agreement or as required by applicable law, Package Fees are non-refundable once paid. In the event this Agreement is terminated prior to the exhaustion of a Package, the Client shall be entitled to a refund of the pro rata unused portion of the Package Fee only in the circumstances expressly contemplated by the clauses on Term and Termination.
Cancellation, Rescheduling, and No-Show Policy
The Client shall provide the Trainer with not less than twenty-four (24) hours' prior notice of any intention to cancel or reschedule a scheduled Training Session, such notice to be given by [designated notice method, e.g., text message or email].
Where notice of cancellation or rescheduling is given at least twenty-four (24) hours in advance of the scheduled commencement time of the Training Session, the Training Session shall be rescheduled, without penalty, to a mutually convenient date and time falling within the Validity Period of the applicable Package.
Where notice of cancellation or rescheduling is given less than twenty-four (24) hours in advance of the scheduled commencement time, or where the Client fails to attend a Training Session without any notice ("No-Show"), the Training Session shall be deemed utilized and shall be forfeited from the Client's Package, with no refund, credit, or make-up Training Session due.
Notwithstanding the foregoing, the Trainer may, in the Trainer's sole discretion, waive the late-cancellation or No-Show forfeiture in cases of documented medical emergency, bereavement, or other extraordinary circumstances beyond the Client's reasonable control.
In the event that the Trainer cancels or reschedules a Training Session for any reason other than those contemplated in the clauses on Force Majeure, the Trainer shall use reasonable endeavors to provide the Client with as much notice as practicable, and such Training Session shall be rescheduled at no additional cost to the Client; if a mutually convenient reschedule cannot be achieved within the Validity Period, the Validity Period shall be extended to the extent necessary to permit the rescheduled Training Session to occur, or, at the Client's election, the pro rata value of the affected Training Session shall be refunded.
Repeated late cancellations or No-Shows by the Client (meaning [number, e.g., three (3)] or more occurrences within any rolling [period, e.g., sixty (60)]-day period) shall entitle the Trainer, in the Trainer's sole discretion, to terminate this Agreement forthwith by written notice to the Client, without obligation to refund any portion of the Package Fees already utilized or forfeited.
Trainer Qualifications and Insurance
The Trainer represents and warrants that the Trainer holds, and shall maintain in good standing throughout the Term of this Agreement, a current personal training certification issued by a recognized certifying body, such certification being [certification name, e.g., NASM-CPT, ACE, NSCA-CPT, ACSM-CPT], and such additional qualifications as the Trainer may from time to time hold.
The Trainer further represents and warrants that the Trainer holds, and shall maintain throughout the Term of this Agreement, a current certification in cardiopulmonary resuscitation (CPR) and basic first aid issued by a recognized provider.
The Trainer shall, at the Trainer's own cost, procure and maintain in full force and effect throughout the Term of this Agreement professional liability insurance (also known as personal trainer liability insurance) with coverage limits of not less than [coverage amount, e.g., one million United States dollars ($1,000,000)] per occurrence, insuring against claims arising out of or in connection with the rendition of the Services.
Upon reasonable written request by the Client, the Trainer shall furnish the Client with a certificate of insurance or other reasonable evidence of the coverage required hereunder.
The Trainer shall comply with all applicable federal, state, and local laws, ordinances, regulations, and licensing requirements governing the provision of personal training services within the jurisdiction in which the Services are rendered.
The Trainer shall abide by the rules, regulations, policies, and codes of conduct of the Facility while present at the Facility and shall ensure that the Client is reasonably apprised of any such rules insofar as they govern the Client's participation in the Training Sessions.
Health Disclosure and Medical Clearance
Prior to the commencement of the first Training Session, the Client shall complete, sign, and deliver to the Trainer a health history questionnaire and physical activity readiness screening in such form as the Trainer may reasonably prescribe, in which the Client shall fully, accurately, and truthfully disclose all material facts concerning the Client's medical and physical condition, including without limitation any cardiovascular, respiratory, musculoskeletal, metabolic, neurological, or psychological condition, pregnancy, prior or current injury, surgery, medication, allergy, or other matter that could reasonably bear upon the Client's ability to engage safely in strenuous physical activity.
The Client is strongly advised, and the Trainer recommends, that the Client obtain a comprehensive physical examination from a licensed physician and secure the physician's clearance to participate in a program of vigorous physical exercise prior to commencing the Services. The Client's decision whether or not to obtain such examination and clearance shall be at the Client's own election and risk.
The Client shall promptly notify the Trainer, in writing or orally prior to the affected Training Session, of any change in the Client's health, physical condition, medication, or injury status that occurs during the Term of this Agreement and that could reasonably affect the Client's ability to participate safely in the Services.
The Client acknowledges that the Trainer is neither a licensed physician, physical therapist, dietician, psychologist, nor other healthcare professional, and that nothing provided by the Trainer in connection with the Services shall be construed as medical diagnosis, treatment, prescription, or advice. The Client shall consult appropriately qualified healthcare professionals in respect of any medical, nutritional, or therapeutic matter.
The Trainer may, in the Trainer's reasonable professional discretion, decline to commence or continue rendering the Services (in whole or in part) if, based on information disclosed by the Client or observed by the Trainer, the Trainer reasonably concludes that participation in the Services poses an unacceptable risk to the Client's health or safety absent medical clearance.
The Client agrees that the Trainer shall be entitled to rely upon the completeness and accuracy of the health disclosures made by the Client, and that any failure, omission, or misstatement on the part of the Client in making such disclosures shall relieve the Trainer of any and all liability for consequences arising from or related to the undisclosed or misrepresented condition.
Assumption of Risk
The Client acknowledges and understands that participation in personal training and physical exercise involves inherent and significant risks of bodily injury, illness, disability, and in extreme cases death, and that such risks cannot be eliminated regardless of the care taken by the Trainer or the Client.
Such risks include, without limitation: muscular strains, sprains, and tears; ligament, tendon, and joint injuries; bone fractures and bruising; cardiovascular events including heart attack and stroke; heat exhaustion, heat stroke, and dehydration; dizziness, fainting, and loss of consciousness; falls and collisions with equipment or other persons; aggravation of pre-existing conditions; and other risks of a type and nature that cannot be specifically foreseen or enumerated.
The Client voluntarily and knowingly assumes all such risks, both known and unknown, foreseen and unforeseen, inherent in or arising out of the Client's participation in the Services, the use of equipment at the Facility, and the Client's presence at the Facility.
The Client affirms that the Client's participation in the Services is wholly voluntary, that no person has coerced or compelled the Client to participate, and that the Client is free at any time to decline, pause, or discontinue any exercise, drill, or activity that the Client believes to be beyond the Client's capacity or comfort.
The Client agrees to exercise reasonable judgment and caution during each Training Session, to perform exercises only to the extent of the Client's then-current ability, and to immediately cease any exercise and inform the Trainer upon experiencing any unusual pain, discomfort, or symptom.
This assumption of risk shall be effective and binding upon the Client, the Client's spouse, heirs, executors, administrators, assigns, and personal representatives.
Waiver and Release of Liability
To the fullest extent permitted by applicable law, the Client, on behalf of the Client and the Client's spouse, heirs, executors, administrators, successors, assigns, and personal representatives, hereby irrevocably WAIVES, RELEASES, DISCHARGES, and COVENANTS NOT TO SUE the Trainer, together with the Trainer's agents, assistants, substitute trainers, insurers, and successors (collectively, the "Released Parties"), from and against any and all claims, demands, actions, causes of action, suits, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) of whatsoever kind or nature, whether in law or in equity, known or unknown, foreseen or unforeseen, arising out of or in any way connected with the Client's participation in the Services, use of equipment, or presence at the Facility.
The foregoing waiver and release shall extend to claims arising out of the ordinary negligence of any of the Released Parties, but shall not extend to any claim arising out of the gross negligence, recklessness, willful or wanton misconduct, or intentional wrongful act of the Released Parties, nor to any liability that, as a matter of law, cannot lawfully be released or waived.
The Client acknowledges that the Client has carefully read this waiver and release, fully understands its contents, and has had an opportunity to seek independent legal advice concerning the same, and that the Client is signing this Agreement voluntarily and of the Client's own free will.
The Client intends by this waiver and release to provide a full and unconditional release of liability to the Released Parties to the greatest extent permitted by law, and the Client expressly agrees that if any portion of this waiver and release is held to be invalid or unenforceable, the remainder shall continue in full force and effect.
The Client agrees that this waiver and release shall survive the termination of this Agreement and shall remain binding in perpetuity with respect to any Services rendered or any presence at the Facility occurring during the Term of this Agreement.
The consideration for this waiver and release includes the Trainer's agreement to provide the Services at the fees stated herein, which the Client acknowledges to be sufficient and valuable consideration.
Indemnification
The Client shall indemnify, defend, and hold harmless the Trainer and the Released Parties from and against any and all claims, demands, actions, suits, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (i) any inaccurate, incomplete, or misleading information provided by the Client regarding the Client's health, medical history, or physical condition; (ii) the Client's breach of any term, representation, warranty, or covenant of this Agreement; (iii) the Client's violation of any rule, regulation, or policy of the Facility; or (iv) any willful misconduct or grossly negligent act of the Client.
The Trainer shall indemnify, defend, and hold harmless the Client from and against any and all claims, demands, actions, suits, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (i) the Trainer's gross negligence, recklessness, or willful misconduct in the rendering of the Services; (ii) the Trainer's material breach of any term, representation, warranty, or covenant of this Agreement; or (iii) any claim that the Trainer has failed to maintain the certifications or insurance required under this Agreement.
The Party seeking indemnification (the "Indemnified Party") shall promptly notify the other Party (the "Indemnifying Party") in writing of any claim for which indemnification is sought, provided that any failure or delay in giving such notice shall not relieve the Indemnifying Party of its obligations hereunder except to the extent that the Indemnifying Party is materially prejudiced thereby.
The Indemnifying Party shall have the right, but not the obligation, to assume the defense of any such claim with counsel reasonably acceptable to the Indemnified Party. The Indemnified Party shall reasonably cooperate with the Indemnifying Party in the defense of such claim, at the Indemnifying Party's expense.
Neither Party shall settle or compromise any claim subject to indemnification hereunder in a manner that imposes any liability, admission of fault, or non-monetary obligation upon the other Party without such other Party's prior written consent, which consent shall not be unreasonably withheld or delayed.
The indemnification obligations set forth in this section shall survive the termination or expiration of this Agreement.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST OPPORTUNITIES, OR LOST ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PERFORMANCE OR NON-PERFORMANCE HEREOF, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Except in respect of liability arising from (i) a Party's gross negligence, willful misconduct, or fraud, (ii) a Party's indemnification obligations expressly set forth herein, or (iii) any liability that cannot, as a matter of applicable law, be limited, the aggregate cumulative liability of each Party to the other, arising out of or in connection with this Agreement, shall not exceed the total amount of Package Fees actually paid by the Client to the Trainer under this Agreement during the twelve (12) months preceding the event giving rise to the claim.
The limitations and exclusions of liability set forth in this section shall apply regardless of the form or theory of action, whether in contract, tort (including negligence), strict liability, warranty, or otherwise.
The Parties acknowledge that the limitations of liability set forth in this section constitute an essential element of the bargain between them, that the fees charged hereunder have been established in reliance upon such limitations, and that this Agreement would not have been entered into on the terms set forth herein in the absence of such limitations.
Nothing in this Agreement shall exclude or limit any liability that, under applicable law, cannot lawfully be excluded or limited, including without limitation liability for death or personal injury caused by a Party's gross negligence or willful misconduct, or liability for fraud or fraudulent misrepresentation.
Term and Termination
This Agreement shall commence on the Effective Date and shall continue in full force and effect until all Training Sessions comprised within any purchased Package or subsequently purchased Packages have been utilized, forfeited, or expired in accordance with the terms hereof, unless sooner terminated as provided herein (the "Term").
Either Party may terminate this Agreement at any time, with or without cause, upon not less than [notice period, e.g., fourteen (14)] days' prior written notice to the other Party.
Either Party may terminate this Agreement immediately by written notice to the other in the event that: (i) the other Party commits a material breach of this Agreement which, if capable of remedy, has not been remedied within [cure period, e.g., ten (10)] days of receipt of written notice specifying the breach and requiring its remedy; or (ii) the other Party becomes insolvent, makes an assignment for the benefit of creditors, or has a petition in bankruptcy filed by or against it.
The Trainer may terminate this Agreement immediately upon written notice to the Client in the event that the Client's conduct is abusive, threatening, harassing, or otherwise materially inappropriate toward the Trainer, Facility personnel, or other patrons of the Facility.
Upon termination of this Agreement by the Client for convenience, or by the Trainer for the Client's material breach, the Client shall be entitled to a pro rata refund of the Package Fee corresponding to any unused Training Sessions remaining in the Client's Package as of the effective date of termination, less a reasonable administrative fee not to exceed [administrative fee amount, e.g., $50]. Upon termination by the Client for the Trainer's material breach, the Client shall be entitled to a full pro rata refund of all unused Training Sessions, without administrative deduction.
Upon any termination of this Agreement, the Client shall promptly pay any amounts then owing but unpaid to the Trainer, and the Trainer shall promptly refund any amounts owing to the Client pursuant to the preceding clause.
The provisions of this Agreement which by their nature are intended to survive termination, including without limitation the clauses on Waiver and Release of Liability, Indemnification, Limitation of Liability, Confidentiality, Governing Law and Dispute Resolution, and Miscellaneous Provisions, shall survive the termination or expiration of this Agreement.
Representations and Warranties
Each Party represents and warrants to the other that: (i) it has full right, power, legal capacity, and authority to enter into and perform this Agreement; (ii) its execution and performance of this Agreement does not and will not violate any other agreement, obligation, or duty by which it is bound; and (iii) it is of the age of majority in its jurisdiction of residence.
The Trainer further represents and warrants that: (i) the Trainer holds and shall maintain the certifications and insurance required under the clauses on Trainer Qualifications and Insurance; (ii) the Trainer shall render the Services in a professional and workmanlike manner consistent with prevailing industry standards; and (iii) the Trainer shall comply with all applicable laws, regulations, and Facility rules in the performance of the Services.
The Client further represents and warrants that: (i) the Client has truthfully, completely, and accurately disclosed all material information concerning the Client's health and physical condition in accordance with the clauses on Health Disclosure and Medical Clearance; (ii) the Client has sufficient financial resources to pay the Package Fees as and when they fall due; and (iii) the Client is not aware of any medical condition that would render participation in the Services unsafe other than as disclosed to the Trainer.
Each Party acknowledges that it has had the opportunity to review this Agreement in its entirety, to ask questions regarding its contents, and to seek independent legal, medical, or other professional advice before executing the same.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE TRAINER MAKES NO, AND HEREBY DISCLAIMS ALL, OTHER REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACHIEVEMENT OF ANY SPECIFIC RESULT.
Confidentiality
"Confidential Information" means any non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with this Agreement, whether orally, in writing, electronically, or by observation, that is identified as confidential or that would reasonably be considered confidential given the nature of the information and the circumstances of its disclosure, including without limitation the Client's personal information, health information, body measurements, progress data, lifestyle details, and financial information, and the Trainer's proprietary training methodologies, program designs, pricing structures, and client lists.
The Receiving Party shall: (i) hold the Disclosing Party's Confidential Information in strict confidence; (ii) use such Confidential Information solely for the purpose of performing its obligations and exercising its rights under this Agreement; and (iii) not disclose such Confidential Information to any third party without the Disclosing Party's prior written consent, except as expressly permitted herein or required by law.
Confidential Information shall not include information that: (i) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (ii) was lawfully known to the Receiving Party free of any confidentiality obligation prior to disclosure by the Disclosing Party; (iii) is lawfully received by the Receiving Party from a third party not under any obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
The Receiving Party may disclose Confidential Information to the extent required by law, court order, or governmental authority, provided that, to the extent legally permissible, the Receiving Party gives the Disclosing Party prompt written notice of such requirement and reasonably cooperates with the Disclosing Party's efforts to obtain a protective order or other appropriate remedy.
The Trainer shall treat all health information disclosed by the Client with particular sensitivity and shall not use any such information for any purpose other than the design, delivery, and documentation of the Services.
The confidentiality obligations set forth in this section shall survive the termination or expiration of this Agreement for a period of [survival period, e.g., three (3)] years, provided that with respect to any Confidential Information constituting a trade secret or health information, such obligations shall survive indefinitely for so long as such information retains its character as such under applicable law.
Neither Party shall use the name, likeness, or testimonial of the other Party for marketing, promotional, or publicity purposes without the other Party's prior written consent, which may be withheld in such Party's sole discretion.
Force Majeure
Neither Party shall be deemed to be in breach of this Agreement, nor liable to the other, for any failure or delay in performing its obligations hereunder (other than an obligation to make payment of monies already due) to the extent that such failure or delay is caused by circumstances beyond the Party's reasonable control, including without limitation acts of God, natural disasters, pandemic or epidemic, government orders or restrictions, acts of war or terrorism, civil unrest, labor disputes, utility or facility outages, closure of the Facility by its operator, or serious illness or injury of the Trainer (each a "Force Majeure Event").
The Party affected by a Force Majeure Event shall promptly notify the other Party in writing of the occurrence, nature, and anticipated duration of such Force Majeure Event, and shall use commercially reasonable efforts to mitigate the effects thereof and to resume performance as soon as reasonably practicable.
Training Sessions that cannot be conducted by reason of a Force Majeure Event shall be rescheduled by mutual agreement to the earliest practicable date following the cessation of the Force Majeure Event, and the Validity Period of the affected Package shall be extended to the extent reasonably necessary to permit such rescheduling.
If a Force Majeure Event continues for a period of more than [duration, e.g., sixty (60)] consecutive days, either Party may terminate this Agreement upon written notice to the other, in which event the Client shall be entitled to a pro rata refund of the Package Fee attributable to any unused Training Sessions, without administrative deduction.
The occurrence of a Force Majeure Event shall not relieve either Party of any obligation that accrued prior to the onset of such event, nor of any obligation to make payment of sums already due and payable.
Governing Law and Dispute Resolution
This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [State], United States of America, without regard to its conflict-of-laws principles.
The Parties shall endeavor in good faith to resolve amicably any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, interpretation, or validity thereof (a "Dispute"), through direct negotiation between appropriately empowered representatives of each Party for a period of not less than [negotiation period, e.g., thirty (30)] days following written notice by one Party to the other of the existence of the Dispute.
If any Dispute is not resolved through negotiation within the period specified above, the Parties shall, prior to initiating any arbitration or litigation, attempt in good faith to resolve the Dispute through non-binding mediation administered by a mutually acceptable mediator in [City, State], with the costs of mediation to be shared equally between the Parties.
If mediation fails to resolve the Dispute within [mediation period, e.g., sixty (60)] days following its commencement, the Dispute shall be finally resolved by binding arbitration administered by [arbitration body, e.g., the American Arbitration Association] under its then-prevailing rules applicable to consumer or commercial disputes, as appropriate, before a single arbitrator seated in [City, State]. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property, Confidential Information, or other rights that cannot be adequately protected through monetary damages alone.
Each Party irrevocably waives, to the fullest extent permitted by law, any right to a trial by jury in any judicial proceeding permitted hereunder.
In any action or proceeding to enforce or interpret this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, in addition to such other relief as may be awarded.
Miscellaneous Provisions
This Agreement, together with any documents expressly incorporated by reference herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral, relating to such subject matter.
No amendment, modification, or supplement to this Agreement shall be valid or binding unless set forth in a writing signed by both Parties.
No waiver of any provision of this Agreement, or of any breach or default hereunder, shall be effective unless in writing and signed by the Party granting the waiver. No such waiver shall constitute a waiver of any other provision, breach, or default, whether or not similar.
Neither Party may assign, transfer, or delegate any of its rights or obligations under this Agreement without the prior written consent of the other Party; provided, however, that the Trainer may, with reasonable prior notice to the Client, assign this Agreement to a successor entity in connection with a change in the Trainer's business organization, so long as the successor assumes all obligations hereunder.
If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.
All notices, requests, consents, and other communications required or permitted hereunder shall be in writing and shall be delivered by hand, by nationally recognized courier service, by certified mail with return receipt requested, or by email to the addresses set forth beneath the Parties' respective signatures or to such other address as a Party may designate by written notice.
The Parties are independent contracting Parties, and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, agency, or fiduciary relationship between them.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which taken together shall constitute one and the same instrument. Signatures delivered by facsimile, PDF, or recognized electronic signature platform shall be deemed to be original signatures for all purposes hereunder.
The clauses on Waiver and Release of Liability, Assumption of Risk, Indemnification, Limitation of Liability, Confidentiality, Governing Law and Dispute Resolution, and this clause on Miscellaneous Provisions shall survive the expiration or termination of this Agreement.
IN WITNESS WHEREOF, the Parties hereto have executed this Personal Training Agreement as of the Effective Date first above written.
