Grant of License
Subject to the Licensee's compliance with the terms and conditions of this Agreement and payment of the License Fees set forth herein, the Licensor hereby grants to the Licensee, and the Licensee hereby accepts, a non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use the Software, in object code form only, solely for the Licensee's internal business operations during the Term of this Agreement.
The license granted hereunder shall authorize installation and use of the Software on the Licensee's own premises, computing equipment, or devices owned or lawfully controlled by the Licensee, and shall be limited to the number of Authorized Users, installations, servers, cores, or other units of measurement specified in [Scope of License Placeholder].
The Licensee may permit its Authorized Users to access and use the Software, provided that the Licensee shall remain fully responsible and liable for all acts and omissions of its Authorized Users as if such acts and omissions were those of the Licensee itself, and shall ensure that each Authorized User complies with the terms of this Agreement.
The Licensee shall be permitted to make a reasonable number of copies of the Software solely for archival, back-up, and disaster recovery purposes, provided that all such copies shall contain all proprietary notices, trademarks, legends, and markings that appear on the original Software.
The license granted hereunder is personal to the Licensee and may not be assigned, transferred, sublicensed, leased, rented, loaned, time-shared, or otherwise made available to any third party, whether for consideration or otherwise, without the prior written consent of the Licensor, except as expressly permitted in the Section entitled Miscellaneous Provisions.
All rights not expressly granted to the Licensee under this Agreement are reserved by the Licensor, and no additional license or right of any kind shall be implied by estoppel, course of dealing, course of performance, or otherwise.
Support Services and Updates
During the Term of this Agreement and subject to the Licensee's payment of any applicable support fees as set forth in [Support Fee Placeholder], the Licensor shall provide the Licensee with standard support services and regular Updates in accordance with the Licensor's then-current standard support policy, which support shall include telephone, email, or web-based assistance during the Licensor's standard business hours.
The Licensor shall use commercially reasonable efforts to respond to support requests within response and resolution times commensurate with the severity of the issue reported, as classified in accordance with the Licensor's standard support classification scheme in effect from time to time.
The Licensor shall make available to the Licensee all Updates to the Software that the Licensor generally makes available at no additional charge to its licensees under equivalent support arrangements, and the Licensee shall be entitled to install and use such Updates subject to the terms of this Agreement.
Updates furnished hereunder shall be deemed part of the Software for all purposes under this Agreement and shall be subject to the same license grant, restrictions, and other terms and conditions as apply to the Software.
Support services shall not include, and the Licensor shall have no obligation to provide, support in respect of (i) problems caused by use of the Software otherwise than in accordance with the Documentation; (ii) modifications or customizations to the Software made by any person other than the Licensor; (iii) use of the Software on hardware or operating environments not supported by the Licensor; or (iv) issues arising from third-party products, networks, or data.
The Licensee shall cooperate reasonably with the Licensor in connection with the provision of support services, including by providing timely access to such information, personnel, and systems as may reasonably be required by the Licensor to diagnose and resolve reported issues.
Support services shall be rendered remotely unless otherwise mutually agreed in writing; any on-site support requested by the Licensee shall be subject to a separate written agreement and the Licensor's then-current rates and expenses policy.
Scope of Permitted Use and Restrictions
The Licensee shall use the Software solely for its internal business purposes and strictly in accordance with the Documentation and the terms of this Agreement, and shall not use the Software to provide services to, or for the benefit of, any third party, whether on a service bureau, hosting, outsourcing, or similar basis.
The Licensee shall not, and shall not permit any Authorized User or third party to: (i) copy, reproduce, modify, adapt, translate, or create derivative works of the Software, except as expressly permitted hereunder; (ii) decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, underlying algorithms, structure, or organization of the Software, except to the extent such restriction is expressly prohibited by applicable mandatory law; (iii) remove, obscure, or alter any proprietary notices, labels, or markings affixed to or contained in the Software or Documentation.
The Licensee shall not sell, resell, distribute, rent, lease, lend, sublicense, assign, or otherwise transfer the Software or any rights therein to any third party, nor shall the Licensee grant any security interest in or over the Software.
The Licensee shall not use the Software in any manner that violates any applicable law or regulation, infringes any third-party rights, or that is intended to disrupt, damage, impair, or gain unauthorized access to any system, network, data, or service.
The Licensee shall implement and maintain reasonable security measures to prevent unauthorized access to or use of the Software, and shall promptly notify the Licensor in writing upon becoming aware of any such unauthorized access or use.
The Licensee shall maintain accurate records of its use and deployment of the Software sufficient to verify compliance with this Agreement, and shall, upon reasonable prior written notice and no more than once in any consecutive twelve (12) month period, permit the Licensor or its authorized representative, during normal business hours and in a manner that does not unreasonably interfere with the Licensee's business operations, to inspect such records solely for the purpose of verifying compliance; any such audit shall be conducted at the Licensor's sole cost and expense unless a material non-compliance is established.
The Licensee shall be responsible for procuring, installing, operating, and maintaining all hardware, operating systems, network infrastructure, third-party software, and other equipment and services necessary to utilize the Software.
Delivery and Installation
The Licensor shall deliver the Software to the Licensee by electronic means, including via download from a designated secure portal or by such other means as the Parties may mutually agree in writing, within [Delivery Period] following the Effective Date or receipt of any required payment, whichever is later.
Delivery shall be deemed complete when the Licensor has made the Software available to the Licensee by providing the necessary access credentials, download links, or physical media, as the case may be, and risk of loss shall pass to the Licensee upon such delivery.
Installation of the Software shall be the responsibility of the Licensee, who shall install and configure the Software on its own premises and equipment in accordance with the Documentation; installation services by the Licensor, if required by the Licensee, shall be the subject of a separate written agreement and additional charges.
The Licensee shall be solely responsible for ensuring that its hardware, operating environment, network, and third-party software meet the minimum system requirements specified in the Documentation, and the Licensor shall bear no responsibility for any failure of the Software to perform resulting from the Licensee's failure to satisfy such requirements.
The Software shall be deemed accepted by the Licensee upon delivery, and no formal acceptance testing procedure shall apply unless otherwise expressly agreed in writing by the Parties.
The Licensee shall promptly notify the Licensor in writing of any material defect or non-conformity in the delivered Software within [Notification Period] of delivery; failing which the Software shall be conclusively deemed to conform to the applicable specifications in all material respects.
Disclaimer of Warranties
Except for the express warranties set forth in the Section entitled Representations and Warranties, the Software and all services provided under this Agreement are furnished on an "as is" and "as available" basis, and the Licensor expressly disclaims all warranties, representations, conditions, and undertakings of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, satisfactory quality, accuracy, and any warranties arising from course of dealing, course of performance, or usage of trade.
The Licensor does not warrant that the Software will meet the Licensee's requirements, that the operation of the Software will be uninterrupted, timely, secure, or error-free, that all defects will be corrected, or that the Software is free from vulnerabilities, viruses, or other harmful components, save to the extent expressly provided herein.
The Licensor shall have no liability or obligation under any warranty herein with respect to any defect, non-conformity, or malfunction arising from or in connection with: (i) use of the Software otherwise than in accordance with the Documentation or this Agreement; (ii) modifications, alterations, or customizations to the Software not performed or authorized in writing by the Licensor; (iii) combination of the Software with any hardware, software, data, or services not supplied or approved by the Licensor; or (iv) any act, omission, or negligence of the Licensee or any third party.
No oral or written information or advice given by the Licensor or its representatives shall create any warranty or in any way increase the scope of the warranties expressly provided in this Agreement.
Nothing in this Section shall operate to exclude or limit any liability which cannot lawfully be excluded or limited under applicable mandatory law.
License Fees and Payment Terms
In consideration of the license granted hereunder, the Licensee shall pay to the Licensor a one-time, non-refundable license fee in the amount of [Amount] [Currency] (the "License Fee"), which shall become due and payable in accordance with the schedule set forth in this Section.
The License Fee shall be invoiced by the Licensor upon the Effective Date and shall be payable by the Licensee within [Payment Period] days of the date of the Licensor's invoice, by wire transfer to such bank account as the Licensor may designate in writing from time to time.
Any support, maintenance, Updates, additional user licenses, or professional services provided by the Licensor hereunder shall be invoiced separately at the Licensor's then-current rates and shall be payable in accordance with the terms of the applicable invoice.
All amounts payable under this Agreement are exclusive of any taxes, duties, levies, tariffs, or similar governmental assessments of any nature, including without limitation value-added, sales, use, withholding, and excise taxes, all of which shall be borne by the Licensee, with the sole exception of taxes imposed on the Licensor's net income.
Any sums not paid when due shall bear interest at the rate of [Interest Rate] per month, or the maximum rate permitted by applicable law if lower, calculated from the due date until the date of actual payment, together with all reasonable costs of collection, including legal fees.
All payments shall be made in [Currency] in full, without any set-off, counterclaim, deduction, or withholding of any kind, save as may be required by law; if the Licensee is required by law to make any deduction or withholding, the Licensee shall pay such additional amount as is necessary to ensure that the Licensor receives the full amount it would have received absent such deduction or withholding.
Non-payment of any sum due hereunder beyond [Grace Period] days after written demand shall constitute a material breach of this Agreement entitling the Licensor to suspend performance and/or terminate this Agreement in accordance with the Section entitled Term and Termination.
Indemnification
The Licensor shall indemnify, defend, and hold harmless the Licensee and its officers, directors, employees, and agents from and against any and all third-party claims, demands, actions, proceedings, losses, damages, liabilities, settlements, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any allegation that the Software, as furnished by the Licensor and used by the Licensee in accordance with this Agreement, infringes or misappropriates any Intellectual Property Rights of such third party.
If the use of the Software is enjoined, or in the Licensor's reasonable opinion is likely to be enjoined, by reason of an infringement claim, the Licensor shall, at its sole option and expense, either (i) procure for the Licensee the right to continue using the Software; (ii) replace or modify the Software so that it becomes non-infringing while retaining substantially equivalent functionality; or (iii) if neither of the foregoing is commercially practicable, terminate the license and refund to the Licensee a pro rata portion of the License Fee paid, calculated on a straight-line basis over a useful life of [Amortization Period] years.
The Licensor's indemnification obligations shall not apply to any claim arising from (i) modifications to the Software not made or authorized in writing by the Licensor; (ii) combination of the Software with products, services, data, or information not provided or approved by the Licensor; (iii) use of the Software other than in accordance with the Documentation or this Agreement; or (iv) continued use of any version of the Software after the Licensor has provided a non-infringing update or alternative.
The Licensee shall indemnify and hold harmless the Licensor from and against any third-party claims arising out of the Licensee's breach of the Section entitled Scope of Permitted Use and Restrictions or the Licensee's unlawful or unauthorized use of the Software.
As a condition to the indemnifying Party's obligations hereunder, the indemnified Party shall (i) promptly notify the indemnifying Party in writing of the claim; (ii) grant the indemnifying Party sole control over the defense and settlement thereof, provided that no settlement that imposes any liability or obligation on the indemnified Party shall be entered into without its prior written consent, such consent not to be unreasonably withheld; and (iii) provide reasonable cooperation at the indemnifying Party's expense.
The provisions of this Section state the entire liability of the Licensor, and the sole and exclusive remedy of the Licensee, with respect to any claim of infringement or misappropriation of third-party Intellectual Property Rights by the Software.
Intellectual Property Rights
The Licensee acknowledges and agrees that the Software, the Documentation, and all copies, modifications, enhancements, derivative works, and components thereof are and shall remain the sole and exclusive property of the Licensor and/or its licensors, and all Intellectual Property Rights therein shall vest and remain vested in the Licensor and/or its licensors.
Nothing contained in this Agreement shall be construed as transferring or assigning to the Licensee any ownership right, title, or interest in or to the Software, the Documentation, or any Intellectual Property Rights therein, other than the limited license expressly granted to the Licensee pursuant to the Section entitled Grant of License.
The Licensee shall not take any action that may be inconsistent with or prejudicial to the Licensor's ownership of, or Intellectual Property Rights in, the Software and Documentation, and shall not register or seek to register any Intellectual Property Rights in or in respect of the Software or any part thereof.
If the Licensee provides any suggestions, comments, feedback, ideas, enhancement requests, or recommendations regarding the Software (collectively, "Feedback"), the Licensor shall have a perpetual, irrevocable, royalty-free, worldwide right to use, exploit, incorporate, and sublicense such Feedback for any purpose, without any obligation or compensation to the Licensee.
The Licensee shall promptly notify the Licensor in writing upon becoming aware of any actual or threatened infringement, misappropriation, or unauthorized use of the Software or the Licensor's Intellectual Property Rights, and shall provide reasonable cooperation to the Licensor in any enforcement action undertaken by the Licensor.
All trademarks, service marks, trade names, logos, and brand identifiers associated with the Software are the exclusive property of the Licensor or its licensors, and the Licensee shall acquire no right or license to use any such marks except as expressly authorized in writing by the Licensor.
Representations and Warranties
Each Party represents and warrants to the other that: (i) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (ii) it has full corporate power and authority to enter into and perform this Agreement; (iii) the execution and performance of this Agreement have been duly authorized by all necessary corporate action; and (iv) this Agreement, when executed, shall constitute a valid and binding obligation enforceable in accordance with its terms.
Each Party represents and warrants that its execution, delivery, and performance of this Agreement does not and shall not conflict with, or constitute a breach of, any other agreement, obligation, or applicable law to which it is subject.
The Licensor represents and warrants that it is the lawful owner of, or has sufficient rights in, the Software to grant the license set forth in this Agreement, and that the Software, as delivered, does not to the Licensor's knowledge infringe any Intellectual Property Rights of any third party.
The Licensor warrants that, for a period of [Warranty Period] days following delivery of the Software (the "Warranty Period"), the Software shall perform in all material respects in accordance with the functional specifications set forth in the Documentation when used in accordance therewith.
In the event of a breach of the warranty set forth in the preceding clause during the Warranty Period, the Licensor shall, as the Licensee's sole and exclusive remedy, use commercially reasonable efforts to correct the non-conformity or, if unable to do so within a reasonable period, terminate the license and refund the License Fee paid by the Licensee.
The Licensee represents and warrants that it shall use the Software in accordance with this Agreement and all applicable laws and regulations, and that it shall not infringe any third-party rights in connection with its use of the Software.
Except as expressly set forth in this Agreement, no other representations or warranties, express or implied, are made by either Party, and all such other representations and warranties are hereby expressly disclaimed.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall either Party be liable to the other, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, or business interruption, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the aggregate liability of each Party under or in connection with this Agreement, from all causes of action and under all theories of liability, shall not exceed an amount equal to the total License Fees actually paid by the Licensee to the Licensor under this Agreement during the twelve (12) month period immediately preceding the event giving rise to the liability.
The limitations and exclusions of liability set forth in this Section shall apply regardless of the form of action, whether in contract, warranty, tort (including negligence), strict liability, or otherwise, and shall survive the termination or expiration of this Agreement.
The Parties expressly acknowledge and agree that the limitations and exclusions of liability contained in this Agreement reflect a deliberate and reasonable allocation of risk between them, and have been taken into account in determining the License Fees payable hereunder.
Nothing in this Agreement shall operate to exclude or limit either Party's liability for (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; (iii) willful misconduct; or (iv) any other liability which cannot lawfully be excluded or limited under applicable mandatory law.
The limitations set forth in this Section shall not apply to the Licensee's payment obligations in respect of the License Fees, nor to either Party's indemnification obligations in respect of third-party claims as set forth in the Section entitled Indemnification.
Confidentiality
"Confidential Information" shall mean all non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with this Agreement, whether in oral, written, electronic, or other form, that is marked or identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including without limitation the Software, Documentation, source code, technical data, business plans, financial information, customer and supplier information, and the terms of this Agreement.
The Receiving Party shall (i) hold the Confidential Information in strict confidence and use the same degree of care to protect it as it uses to protect its own confidential information of like importance, but in no event less than reasonable care; (ii) use the Confidential Information solely for the purpose of performing its obligations and exercising its rights under this Agreement; and (iii) not disclose Confidential Information to any third party except as expressly permitted herein.
The Receiving Party may disclose Confidential Information to its employees, officers, directors, agents, and professional advisors who have a legitimate need to know such information for the purposes of this Agreement, provided that such persons are bound by confidentiality obligations no less protective than those set forth herein, and the Receiving Party shall remain liable for any breach of this Section by such persons.
The obligations of confidentiality shall not apply to information that: (i) is or becomes publicly available through no breach of this Agreement by the Receiving Party; (ii) was lawfully in the Receiving Party's possession prior to disclosure by the Disclosing Party; (iii) is lawfully obtained from a third party not under any confidentiality obligation; or (iv) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.
If the Receiving Party is required by law, court order, or governmental authority to disclose Confidential Information, it shall, to the extent legally permissible, provide the Disclosing Party with prompt written notice to enable the Disclosing Party to seek a protective order or other appropriate remedy.
Upon termination or expiration of this Agreement, or upon the Disclosing Party's written request, the Receiving Party shall promptly return or destroy all Confidential Information in its possession or control, together with all copies, and shall certify such return or destruction in writing upon request.
The obligations of confidentiality set forth in this Section shall survive termination or expiration of this Agreement for a period of [Confidentiality Survival Period] years, and in the case of trade secrets, for so long as such information retains the status of a trade secret under applicable law.
Data Protection and Security
Each Party shall comply with all applicable data protection and privacy laws and regulations in connection with the performance of this Agreement, and shall implement appropriate technical and organizational measures to protect any personal data processed in connection herewith against unauthorized or unlawful processing and against accidental loss, destruction, or damage.
To the extent that the Licensor processes any personal data on behalf of the Licensee in connection with this Agreement, the Parties shall enter into a separate data processing agreement setting forth the subject matter, duration, nature and purpose of the processing, the types of personal data, and the categories of data subjects, as required by applicable law.
The Licensee shall be solely responsible for the lawfulness of any personal data provided to or processed through the Software, and for obtaining all necessary consents and providing all required notices to data subjects.
Each Party shall maintain reasonable administrative, physical, and technical safeguards designed to ensure the security, confidentiality, and integrity of information processed in connection with this Agreement, taking into account the state of the art, the costs of implementation, and the nature, scope, context, and purposes of processing.
In the event of a security incident or data breach affecting any data processed in connection with this Agreement, the affected Party shall notify the other Party without undue delay after becoming aware thereof, and shall cooperate reasonably in investigating, mitigating, and remediating the incident.
The Licensee acknowledges that the Licensor is not responsible for the backup or recovery of any data stored, processed, or transmitted using the Software on the Licensee's premises or equipment, and the Licensee shall implement its own appropriate backup, archival, and disaster recovery procedures.
Term and Termination
This Agreement shall commence on the Effective Date and shall continue in full force and effect in perpetuity, unless and until terminated earlier in accordance with the provisions of this Section (the "Term").
Either Party may terminate this Agreement forthwith by written notice to the other Party if the other Party commits a material breach of this Agreement and, where such breach is capable of remedy, fails to remedy the same within [Cure Period] days of receipt of written notice specifying the breach and requiring its remedy.
Either Party may terminate this Agreement forthwith by written notice to the other Party if the other Party becomes insolvent, makes an assignment for the benefit of creditors, files or has filed against it a petition in bankruptcy or reorganization, has a receiver, trustee, or liquidator appointed over all or a substantial part of its assets, or ceases or threatens to cease to carry on business.
The Licensor may terminate this Agreement, or suspend performance of its obligations hereunder, upon written notice to the Licensee if the Licensee fails to pay any undisputed amount when due and such failure continues for a period of [Payment Default Period] days following written notice from the Licensor.
The Licensee may terminate this Agreement at any time for convenience upon [Termination Notice Period] days' prior written notice to the Licensor; provided, however, that the Licensee shall not be entitled to any refund of License Fees already paid.
Termination of this Agreement for any reason shall be without prejudice to any rights or remedies of either Party accrued prior to the effective date of termination, and shall not relieve either Party of any obligations expressed to survive termination.
Consequences of Termination
Upon termination or expiration of this Agreement for any reason, (i) all licenses granted to the Licensee hereunder shall immediately terminate; (ii) the Licensee shall cease all use of the Software and Documentation; and (iii) the Licensee shall, within [Return Period] days thereafter, uninstall and either return to the Licensor or destroy all copies of the Software and Documentation in its possession or control, and shall certify such destruction in writing upon request by the Licensor.
Termination of this Agreement shall not relieve the Licensee of any obligation to pay License Fees, support fees, or other amounts that have accrued prior to the effective date of termination, all of which shall become immediately due and payable upon such termination.
Except as expressly provided in this Agreement, the Licensee shall not be entitled to any refund or credit of any License Fees or other amounts paid hereunder in the event of termination, regardless of the reason therefor.
The following Sections shall survive the termination or expiration of this Agreement: Definitions and Interpretation, Scope of Permitted Use and Restrictions (to the extent of accrued obligations), Disclaimer of Warranties, License Fees and Payment Terms (in respect of accrued amounts), Indemnification, Intellectual Property Rights, Limitation of Liability, Confidentiality, Consequences of Termination, Governing Law and Dispute Resolution, and Miscellaneous Provisions, together with any other provision which by its nature is intended to survive.
Each Party shall promptly return or destroy, at the other Party's option, all Confidential Information of the other Party in its possession or control upon termination, in accordance with the Section entitled Confidentiality.
Force Majeure
Neither Party shall be liable to the other for any delay in or failure to perform any of its obligations under this Agreement (other than payment obligations) to the extent such delay or failure is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, armed conflict, terrorism, civil unrest, epidemics, pandemics, government actions, embargoes, strikes, lock-outs, labor disputes, failures of public utilities, interruption of telecommunications or internet services, or failures of third-party service providers (each, a "Force Majeure Event").
The Party affected by a Force Majeure Event shall promptly notify the other Party in writing of the occurrence and nature of the Force Majeure Event, the obligations affected, and the anticipated duration of the delay, and shall use all commercially reasonable efforts to mitigate the effects of the Force Majeure Event and to resume performance of its obligations as soon as reasonably practicable.
The time for performance of the affected obligations shall be extended for a period equal to the duration of the Force Majeure Event, and neither Party shall be deemed in breach of this Agreement during such period in respect of the affected obligations.
If a Force Majeure Event continues for a period in excess of [Force Majeure Threshold] consecutive days, either Party shall be entitled to terminate this Agreement upon written notice to the other, without liability to either Party, save in respect of accrued rights and obligations.
The occurrence of a Force Majeure Event shall not excuse or delay the Licensee's obligation to pay any amounts due to the Licensor under this Agreement which have accrued prior to the Force Majeure Event.
Governing Law and Dispute Resolution
This Agreement, and any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, or validity thereof, shall be governed by and construed in accordance with the laws of [Governing Law Jurisdiction], without regard to its conflict of laws principles.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
The Parties shall endeavor to resolve amicably and in good faith any dispute, controversy, or claim arising out of or in connection with this Agreement through consultation and negotiation between senior representatives of each Party for a period of not less than [Negotiation Period] days from the date of written notice of the dispute by one Party to the other.
If any dispute is not resolved through good-faith negotiation within the aforementioned period, such dispute shall be finally resolved by [Arbitration or Litigation Forum] seated in [Seat of Arbitration or Court Jurisdiction], and the Parties hereby irrevocably submit to the exclusive jurisdiction of such forum.
The language of any arbitration or legal proceeding shall be [Language of Proceedings], and the arbitral award or judgment rendered shall be final and binding upon the Parties, and may be entered or enforced in any court of competent jurisdiction.
Notwithstanding the foregoing, either Party may seek interim, injunctive, or equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights, Confidential Information, or to prevent irreparable harm.
The prevailing Party in any dispute arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys' fees, costs, and expenses from the non-prevailing Party.
Miscellaneous Provisions
This Agreement, together with any documents expressly incorporated by reference herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, understandings, and agreements, whether written or oral, relating to such subject matter.
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both Parties; no waiver of any breach shall constitute a waiver of any subsequent breach of the same or any other provision.
Neither Party may assign, transfer, delegate, or subcontract any of its rights or obligations under this Agreement without the prior written consent of the other Party, such consent not to be unreasonably withheld; provided, however, that either Party may assign this Agreement in its entirety, without such consent, to a successor in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, upon written notice to the other Party.
If any provision of this Agreement is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely reflects their original intent.
All notices, requests, consents, and other communications required or permitted under this Agreement shall be in writing and shall be delivered personally, sent by nationally recognized courier service, or sent by email with confirmation of receipt, to the addresses set forth below the signature blocks or such other address as a Party may designate in writing from time to time.
The relationship of the Parties hereunder is that of independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the Parties.
This Agreement is for the sole benefit of the Parties hereto and their respective successors and permitted assigns, and shall not be deemed to confer any rights or remedies upon any other person or entity.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original but all of which taken together shall constitute one and the same instrument; counterparts may be exchanged by electronic transmission, and electronic signatures shall be deemed as effective as original handwritten signatures.
IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed by their duly authorized representatives as of the Effective Date first written above.
