    5. Each Party shall act in good faith and shall use commercially reasonable efforts to cooperate with the other Party in the performance of its respective obligations hereunder, in the achievement of the Project objectives, and in the fulfillment of the purposes of this Agreement.

    6. The Project shall be carried out primarily in the United States, with such activities conducted elsewhere as the Management Committee may from time to time approve.

    7. The Parties acknowledge and agree that the collaboration under this Agreement is non-exclusive, except as expressly provided in Section 12, and that each Party retains full freedom to conduct its own businesses outside the scope of the Project, subject to the restrictions set forth herein.

  3. Term and Commencement

    1. This Agreement shall become effective on the Effective Date and, unless earlier terminated in accordance with its terms, shall continue in full force and effect until the earlier of (i) the completion of the Project and the discharge in full of all obligations of the Parties hereunder, or (ii) [Term Duration, e.g., the [●] anniversary of the Effective Date] (the "Term").

    2. The Parties may, by mutual written agreement executed by their authorized representatives not less than [Number] days prior to the expiration of the Term, extend this Agreement for one or more additional periods on such terms as they may agree.

    3. Commencement of operational activities in connection with the Project shall occur promptly following the Effective Date, in accordance with the implementation plan and timetable approved by the Management Committee.

    4. The Parties shall use commercially reasonable efforts to achieve the Project milestones in accordance with the schedule established by the Management Committee, and shall promptly notify one another of any anticipated delay, impediment, or deviation from such schedule.

    5. Expiration or termination of this Agreement shall not affect any rights, obligations, or liabilities of the Parties which accrued prior to such expiration or termination, nor shall it affect any provisions hereof which by their nature are intended to survive.

    6. Those provisions of this Agreement which, by their nature or express terms, are intended to survive expiration or termination, including without limitation those relating to confidentiality, intellectual property, indemnification, limitation of liability, governing law, dispute resolution, and the consequences of termination, shall so survive.

  4. Contributions of the Parties

    1. Each Party shall make the Contributions set forth opposite its name below and as further elaborated and agreed in writing by the Management Committee from time to time.

    2. Party A shall contribute the following to the Project: (i) cash in the amount of [Dollar Amount]; (ii) [description of personnel, equipment, facilities, materials]; (iii) a non-exclusive, royalty-free, limited license to its Background Intellectual Property solely for use in the Project as further set forth in Section 8; and (iv) such additional contributions as may be agreed in writing by the Parties.

    4. For purposes of determining the proportionate interests of the Parties in the Project, each Contribution shall be assigned a monetary value as mutually agreed by the Parties and documented by the Management Committee, and such values shall establish each Party's "Contribution Percentage."

    5. Each Party shall make its Contributions in accordance with the timetable established by the Management Committee and shall bear all costs, expenses, taxes, and liabilities associated with its own Contributions, including any costs of preparing, transporting, installing, or delivering the same.

    6. Any additional capital contributions, in-kind contributions, or funding required for the Project beyond those initially committed shall be made by the Parties in proportion to their respective Contribution Percentages, unless otherwise unanimously agreed by the Management Committee.

    7. If a Party fails to make any Contribution when due and such failure continues for [Number] days after written notice from the non-defaulting Party, the non-defaulting Party shall have the right, in addition to any other remedies available at law or in equity, to (i) suspend its own performance under this Agreement, (ii) advance the defaulting Party's required contribution and seek reimbursement with interest at the rate of [Interest Rate] per annum, or (iii) proportionally adjust the Contribution Percentages to reflect the actual Contributions made.

    8. Except as expressly provided herein, no Party shall be entitled to interest on, or the return of, any Contribution made to the Project prior to the dissolution and winding up of the joint venture in accordance with Section 15.

  5. Governance and Management Committee

    1. The Parties shall establish a management committee (the "Management Committee") which shall have overall responsibility for the strategic direction, oversight, supervision, and policy decisions of the Project.

    2. The Management Committee shall consist of four (4) members, with each Party entitled to appoint two (2) representatives. Each Party may remove and replace its appointed representatives at any time upon written notice to the other Party. The chairperson of the Management Committee shall rotate annually between a representative designated by Party A and a representative designated by Party B, commencing with [Party A/Party B].

    3. Meetings of the Management Committee shall be held at least [Frequency, e.g., quarterly] and at such other times as either Party may reasonably request upon not less than [Number] days' prior written notice, which notice period may be waived with the consent of all members. Meetings may be held in person, by telephone, video conference, or by any other means permitting all participants to hear and communicate with one another.

    4. A quorum for any meeting of the Management Committee shall consist of at least one (1) representative appointed by each Party. All decisions of the Management Committee shall require the affirmative vote of a majority of the members present, provided that no decision shall be effective without the affirmative vote of at least one (1) representative appointed by each Party.

    5. Notwithstanding the foregoing, the following matters shall require the unanimous written consent of both Parties and shall not be delegated to the Management Committee or any officer: (i) any amendment to this Agreement; (ii) any material change to the scope, purpose, or budget of the Project; (iii) the admission of any additional party to the joint venture; (iv) the incurrence of indebtedness in excess of [Dollar Amount]; (v) any transaction with an Affiliate of either Party; (vi) the dissolution or termination of the joint venture; (vii) the licensing, assignment, or disposition of material Intellectual Property Rights; and (viii) the commencement or settlement of material litigation.

    6. Day-to-day management of the Project may be delegated by the Management Committee to one or more project managers or other personnel, who shall act within the authority granted to them by the Management Committee and report regularly to the Management Committee.

    7. In the event of a deadlock on any matter requiring Management Committee approval, the Parties shall first refer the matter to their respective chief executive officers (or equivalent senior executives) for good faith negotiation for a period of not less than [Number] days. If such negotiation fails to resolve the deadlock, the matter shall be referred to the dispute resolution procedures set forth in Section 17.

    8. Each Party shall bear its own costs and expenses associated with the participation of its appointed representatives on the Management Committee.

  6. Allocation of Profits and Losses

    1. All profits, revenues, losses, costs, and expenses of the Project shall be shared between the Parties in proportion to their respective Contribution Percentages as established pursuant to Section 4.

    2. For purposes of this Agreement, "Net Profits" shall mean the gross revenues attributable to the Project, less all operating expenses, cost of goods sold, taxes attributable to the Project, allocations of overhead approved by the Management Committee, and any reserves established by the Management Committee for working capital, contingencies, or anticipated expenditures.

    3. Distributions of Net Profits shall be made to the Parties on a [Frequency, e.g., quarterly] basis, within [Number] days following the close of each applicable period, subject to the retention of such reserves as the Management Committee may reasonably establish.

    4. Losses, costs, and liabilities attributable to the Project shall be borne by the Parties in proportion to their respective Contribution Percentages, provided that nothing herein shall limit a Party's liability to the other Party arising out of such Party's breach of this Agreement, willful misconduct, gross negligence, or fraud.

    5. Each Party shall be solely responsible for the preparation, filing, and payment of its own tax returns and tax liabilities arising from its participation in the Project, including without limitation income, franchise, and similar taxes imposed upon its share of the Net Profits.

    6. The Parties do not intend to create a tax partnership for United States federal income tax purposes, except to the extent that such characterization is required by applicable law. Each Party shall report its share of income, deductions, credits, and other tax items in a manner consistent with the characterization of the joint venture as determined by the Parties and their respective tax advisors.

    7. In the event of any adjustment to a Party's Contribution Percentage, the allocation of profits and losses shall be adjusted prospectively from the effective date of such adjustment, and no retroactive reallocation shall occur unless otherwise agreed by the Parties in writing.

  7. Books, Records, and Financial Reporting

    1. The Parties shall cause complete and accurate books of account and records to be maintained in respect of the Project in accordance with generally accepted accounting principles consistently applied in the United States.

    2. Such books and records shall be maintained at [Location] or such other location as the Management Committee may designate, and shall be preserved for a period of not less than [Number] years following the end of the fiscal year to which they relate, or such longer period as may be required by applicable law.

    3. The fiscal year of the Project shall be the calendar year, unless otherwise determined by unanimous resolution of the Management Committee.

    4. Each Party and its duly authorized representatives (including independent auditors) shall have the right, upon not less than [Number] days' prior written notice and during normal business hours, to inspect, examine, audit, and make copies of the books, records, accounts, and supporting documentation of the Project, at such Party's sole cost and expense, provided that if any such audit discloses a material discrepancy, the costs of the audit shall be borne by the Party responsible for the discrepancy.

    5. The Party designated by the Management Committee shall prepare and deliver to the other Party, within [Number] days following the end of each fiscal quarter, unaudited financial statements of the Project, and within [Number] days following the end of each fiscal year, audited annual financial statements prepared by an independent certified public accountant mutually acceptable to the Parties.

    6. The Management Committee shall approve an annual budget for the Project not less than [Number] days prior to the commencement of each fiscal year, which budget shall set forth projected revenues, expenditures, capital requirements, and distributions for the Project.

    7. Each Party shall promptly provide to the other Party and to the Project such financial, operational, and other information in its possession as may be reasonably necessary for the preparation of financial statements, tax returns, regulatory filings, and other reports required in connection with the Project.

  8. Intellectual Property Rights and Licenses

    1. Each Party shall retain all right, title, and interest in and to its own Background Intellectual Property, and nothing in this Agreement shall be construed as transferring or assigning any ownership interest in such Background Intellectual Property to the other Party.

    2. Subject to the terms and conditions of this Agreement, each Party hereby grants to the other Party a non-exclusive, royalty-free, non-transferable, non-sublicensable (except to subcontractors engaged by the other Party solely for purposes of the Project and bound by confidentiality and use restrictions no less protective than those set forth herein), limited license to use its Background Intellectual Property solely to the extent necessary for the performance of the Project during the Term.

    3. All Foreground Intellectual Property conceived, developed, or reduced to practice solely by a Party or its personnel in the course of the Project shall be owned exclusively by the Party whose personnel conceived, developed, or reduced the same to practice (the "Contributing Party").

    4. The Contributing Party hereby grants to the other Party a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, and exploit such Foreground Intellectual Property solely for purposes connected with the Project and for such other purposes as may be agreed by the Parties in writing. The scope, field of use, and other terms of such license shall be as further specified by the Management Committee at the time such Foreground Intellectual Property is created.

    5. Foreground Intellectual Property jointly conceived, developed, or reduced to practice by personnel of both Parties shall be jointly owned by the Parties in proportion to their respective Contribution Percentages, with each Party having the right to exploit such jointly owned Intellectual Property Rights without accounting to the other, subject to the restrictions on competition and confidentiality set forth in this Agreement.

    6. Each Party shall, and shall cause its personnel to, execute such assignments, declarations, and other documents and take such further actions as may reasonably be required to perfect, protect, and enforce ownership of Foreground Intellectual Property in accordance with this Section.

    7. Each Party shall promptly notify the other Party of any infringement, misappropriation, or unauthorized use of any Foreground Intellectual Property of which it becomes aware, and the Parties shall consult in good faith regarding appropriate enforcement actions, with the costs and recoveries of any enforcement actions to be allocated as mutually agreed.

    8. Upon expiration or termination of this Agreement, except as expressly provided herein or in Section 16, all licenses to Background Intellectual Property granted hereunder shall terminate, and each Party shall cease using the Background Intellectual Property of the other Party.

  9. Confidentiality and Non-Disclosure

    1. Each Receiving Party shall hold in strict confidence and shall not disclose to any third party, nor use for any purpose other than the performance of its obligations under this Agreement, any Confidential Information of the Disclosing Party, except as expressly permitted hereunder.

    2. The Receiving Party shall protect the Confidential Information of the Disclosing Party with at least the same degree of care that it uses to protect its own confidential information of similar importance, but in no event with less than reasonable care, and shall limit disclosure of such Confidential Information to those of its directors, officers, employees, agents, advisors, and permitted subcontractors who have a need to know such information for purposes of the Project and who are bound by written obligations of confidentiality no less protective than those set forth herein.

    3. The obligations of confidentiality set forth herein shall not apply to information that the Receiving Party can demonstrate by competent written evidence: (i) was already in its possession prior to disclosure by the Disclosing Party without obligation of confidentiality; (ii) is or becomes generally available to the public without breach of this Agreement by the Receiving Party; (iii) is lawfully received from a third party without obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

    4. If the Receiving Party is required by applicable law, regulation, or legal process to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy, and the Receiving Party shall disclose only that portion of the Confidential Information that is legally required to be disclosed.

    5. Upon expiration or termination of this Agreement, or upon the earlier written request of the Disclosing Party, the Receiving Party shall promptly return or, at the Disclosing Party's option, destroy all Confidential Information of the Disclosing Party in its possession or control, together with all copies, extracts, and derivatives thereof, and shall certify such return or destruction in writing, provided that the Receiving Party may retain one archival copy solely for compliance and legal purposes.

    6. The obligations of confidentiality set forth in this Section shall survive the expiration or termination of this Agreement for a period of [Number] years, or indefinitely with respect to Confidential Information constituting trade secrets, for so long as such information retains its character as a trade secret under applicable law.

    7. Each Party acknowledges that any breach of this Section may cause irreparable harm to the Disclosing Party for which monetary damages would be inadequate, and that the Disclosing Party shall be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law.

  10. Representations and Warranties

    1. Each Party represents and warrants to the other Party, as of the Effective Date, that it is a corporation duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation, and has all requisite corporate power and authority to own and operate its properties, to carry on its business as presently conducted, and to execute, deliver, and perform this Agreement.

    2. Each Party represents and warrants that the execution, delivery, and performance of this Agreement have been duly authorized by all necessary corporate action on its part, and that this Agreement constitutes its legal, valid, and binding obligation, enforceable against it in accordance with its terms, subject to applicable bankruptcy, insolvency, and similar laws affecting creditors' rights generally and to general principles of equity.

    3. Each Party represents and warrants that the execution, delivery, and performance of this Agreement, and the consummation of the transactions contemplated hereby, do not and will not (i) violate its organizational documents, (ii) violate any applicable law or order to which it is subject, or (iii) conflict with, or constitute a default under, any contract or agreement to which it is a party or by which it is bound.

    4. Each Party represents and warrants that it has obtained, or will obtain in a timely manner, all consents, approvals, authorizations, and licenses required for its performance of this Agreement.

    5. Each Party represents and warrants that it owns, or has the right to license, the Background Intellectual Property it is contributing or licensing to the Project, and that, to its knowledge, such contributions and licenses do not infringe or misappropriate the Intellectual Property Rights of any third party.

    6. Each Party represents and warrants that it is not a party to, nor subject to, any pending or threatened litigation, arbitration, investigation, or proceeding that could reasonably be expected to have a material adverse effect on its ability to perform its obligations hereunder.

    7. Each Party represents and warrants that it shall comply with all applicable laws, regulations, and ordinances in the performance of its obligations under this Agreement, including without limitation those relating to anti-corruption, export control, data protection, labor, and employment.

    8. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, EACH PARTY DISCLAIMS ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

  11. Covenants and Undertakings of the Parties

    1. Each Party covenants and agrees that, throughout the Term, it shall devote such personnel, resources, and attention to the Project as may reasonably be required for the diligent and timely performance of its obligations hereunder.

    2. Each Party shall act in good faith and shall deal fairly with the other Party in all matters arising under or in connection with this Agreement, and shall not take any action, or omit to take any action, that would frustrate the purposes of this Agreement or impair the ability of the other Party to realize the benefits contemplated hereunder.

    3. Each Party shall promptly notify the other Party in writing upon becoming aware of (i) any material breach of this Agreement by either Party, (ii) any event or circumstance that could reasonably be expected to have a material adverse effect on the Project, (iii) any claim, demand, or proceeding brought or threatened against it in connection with the Project, or (iv) any change in its ownership or control that could affect its ability to perform hereunder.

    4. Each Party shall maintain in full force and effect all licenses, permits, consents, and authorizations required for its performance of this Agreement, and shall comply with all applicable laws and regulations.

    5. Each Party shall maintain, at its own cost, insurance coverage of such types and in such amounts as are customary for businesses of similar size and nature engaged in similar activities, including without limitation commercial general liability, workers' compensation, and professional liability insurance, and shall, upon request, furnish evidence of such coverage to the other Party.

    6. Each Party shall cooperate reasonably with the other Party in connection with any audit, inspection, regulatory inquiry, or investigation relating to the Project, and shall furnish such information and assistance as may reasonably be requested.

    7. Neither Party shall make any public announcement or disclosure concerning this Agreement, the joint venture, or the Project, nor shall it use the name, trademark, or logo of the other Party, without the prior written consent of the other Party, except as may be required by applicable law or stock exchange rules.

  12. Exclusivity and Non-Competition

    1. During the Term and for a period of [Number] years thereafter, neither Party shall, directly or indirectly, within the geographic territory of [Territory], engage in, invest in, own, manage, operate, finance, control, advise, or render services to any business that competes directly with the Project as conducted under this Agreement.

    2. During the Term, each Party shall, with respect to the specific scope of the Project and solely within the field of use and geographic territory thereof, deal exclusively with the other Party and shall not pursue, alone or with any third party, any project, activity, or opportunity that is substantially identical in scope and purpose to the Project.

    3. The restrictions set forth in this Section shall not apply to (i) the general and existing business activities of either Party conducted independently of the Project and outside the specific scope of the Project; (ii) passive investments of less than [Percentage] of the outstanding voting securities of any publicly traded company; or (iii) any activity expressly permitted by the written consent of the other Party.

    4. During the Term and for a period of [Number] years thereafter, neither Party shall, directly or indirectly, solicit for employment or hire any employee of the other Party who was involved in the Project, provided that general solicitations not specifically directed at such employees shall not be deemed a breach of this provision.

    5. If any opportunity arises that falls within the scope of the Project, the Party becoming aware of such opportunity shall promptly present it to the Management Committee for consideration, and no Party shall pursue such opportunity independently without the prior approval of the other Party.

    6. The Parties acknowledge that the restrictions set forth in this Section are reasonable in scope, duration, and geographic extent, and are necessary for the protection of the legitimate business interests of each Party. If any provision of this Section is held to be unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable while preserving the Parties' intent to the maximum extent permitted by law.

  13. Liability and Indemnification

    1. Subject to the limitations set forth in this Section, each Party (the "Indemnifying Party") shall indemnify, defend, and hold harmless the other Party, its Affiliates, and their respective directors, officers, employees, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) (collectively, "Losses") arising out of or resulting from (i) any breach by the Indemnifying Party of any representation, warranty, covenant, or obligation under this Agreement; (ii) the gross negligence, willful misconduct, or fraud of the Indemnifying Party or its personnel; or (iii) any claim that the Background Intellectual Property contributed by the Indemnifying Party infringes or misappropriates the Intellectual Property Rights of any third party.

    2. The Indemnified Party shall promptly notify the Indemnifying Party in writing of any claim for which indemnification is sought, provided that the failure to provide prompt notice shall not relieve the Indemnifying Party of its obligations hereunder except to the extent that it is materially prejudiced thereby. The Indemnifying Party shall have the right to assume control of the defense and settlement of such claim with counsel reasonably acceptable to the Indemnified Party, provided that the Indemnifying Party shall not settle any claim in a manner that imposes any obligation or liability on the Indemnified Party, or that admits fault on its behalf, without its prior written consent.

    3. Losses arising from the operation of the Project that are not attributable to the breach, gross negligence, willful misconduct, or fraud of either Party shall be borne by the Parties in proportion to their respective Contribution Percentages, as set forth in Section 6.

    4. EXCEPT WITH RESPECT TO (i) BREACHES OF CONFIDENTIALITY OBLIGATIONS UNDER SECTION 9, (ii) INDEMNIFICATION OBLIGATIONS FOR THIRD-PARTY CLAIMS, (iii) INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, (iv) GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR (v) BREACHES OF SECTION 12, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    5. EXCEPT WITH RESPECT TO THE MATTERS LISTED IN THE IMMEDIATELY PRECEDING PARAGRAPH, THE AGGREGATE LIABILITY OF EACH PARTY UNDER THIS AGREEMENT SHALL NOT EXCEED [DOLLAR AMOUNT OR FORMULA, E.G., THE AGGREGATE AMOUNT OF SUCH PARTY'S CONTRIBUTIONS TO THE PROJECT].

    6. Each Party shall take commercially reasonable steps to mitigate any Losses for which it may seek indemnification under this Agreement.

  14. Transfer of Interests and Restrictions

    1. Except as expressly permitted in this Section, neither Party may sell, assign, transfer, pledge, encumber, or otherwise dispose of any of its rights, interests, or obligations under this Agreement, in whole or in part, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed.

    2. Notwithstanding the foregoing, either Party may assign this Agreement, in its entirety, without the consent of the other Party, to (i) an Affiliate of such Party, provided that the assigning Party remains jointly and severally liable with the assignee for all obligations hereunder; or (ii) a successor in interest in connection with a merger, consolidation, or sale of all or substantially all of its assets or stock, provided that such successor expressly assumes in writing all of the assigning Party's obligations hereunder and is not a direct competitor of the non-assigning Party.

    3. In the event that a Party undergoes a change of control to a direct competitor of the other Party, the other Party shall have the right, exercisable by written notice within [Number] days following the effective date of such change of control, to terminate this Agreement upon [Number] days' prior written notice.

    4. Any purported assignment, transfer, or encumbrance in violation of this Section shall be null and void and of no force or effect.

    5. If a Party desires to transfer its interest in the joint venture to a third party (other than as permitted above), it shall first offer such interest to the other Party by written notice setting forth the proposed terms of transfer (the "Offer Notice"). The receiving Party shall have [Number] days from receipt of the Offer Notice to accept such offer on the terms set forth therein. If the receiving Party does not accept, the offering Party may, within [Number] days thereafter, transfer the interest to a third party on terms no more favorable than those set forth in the Offer Notice, subject to the consent requirement set forth above.

    6. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective permitted successors and assigns.

  15. Termination, Exit, and Dissolution

    1. This Agreement may be terminated prior to the expiration of the Term under the following circumstances: (i) by mutual written agreement of the Parties; (ii) by either Party for Cause, as defined below; (iii) by either Party upon the completion of the Project as determined by the Management Committee; (iv) by either Party pursuant to Section 14 in connection with a change of control; or (v) upon the occurrence of a dissolution event as set forth in this Section.

    2. For purposes of this Agreement, "Cause" shall mean: (i) a material breach of this Agreement by the other Party that remains uncured for a period of [Number] days following written notice specifying such breach in reasonable detail, or, in the case of a breach not reasonably susceptible of cure within such period, that is not cured within a reasonable period thereafter, provided the breaching Party is diligently pursuing cure; (ii) the insolvency, bankruptcy, dissolution, or liquidation of the other Party, or the appointment of a receiver, trustee, or similar officer for the other Party or its assets, which is not dismissed within [Number] days; (iii) the assignment by the other Party for the benefit of creditors; (iv) the cessation of the other Party's business; or (v) the commission by the other Party of fraud, willful misconduct, or an act of material dishonesty relating to the Project.

    3. Either Party may terminate this Agreement if the Project becomes unlawful, impracticable, or commercially unviable, or if a force majeure event continues to prevent the performance of material obligations hereunder for a continuous period of more than [Number] days.

    4. Upon termination or expiration, the Parties shall promptly commence the orderly winding up and dissolution of the joint venture, which shall include completion of work in progress to the extent necessary, satisfaction of liabilities, collection of receivables, distribution of remaining assets, and the taking of such other actions as are reasonably necessary to conclude the affairs of the Project.

    5. The Management Committee shall oversee the winding up process and shall appoint one or more liquidators (which may include representatives of either or both Parties) to carry out the dissolution. All costs and expenses of the winding up shall be borne by the Parties in proportion to their respective Contribution Percentages.

    6. Upon the completion of the winding up, the remaining assets of the Project shall be distributed in the following order of priority: (i) first, to the payment of debts and liabilities of the Project to third parties; (ii) second, to the establishment of reasonable reserves for contingent or unforeseen liabilities; (iii) third, to the repayment of any loans or advances made by the Parties to the Project; and (iv) finally, to the Parties in proportion to their respective Contribution Percentages.

    7. Either Party may, upon [Number] days' prior written notice to the other Party, voluntarily withdraw from the joint venture at any time after [Date or Milestone], subject to the provisions governing dissolution and winding up set forth in this Section.

  16. Consequences of Termination

    1. Upon any termination or expiration of this Agreement, (i) all licenses granted hereunder with respect to Background Intellectual Property shall terminate, except as expressly provided in Section 8 or as otherwise agreed by the Parties; (ii) each Party shall return or destroy all Confidential Information of the other Party in accordance with Section 9; and (iii) each Party shall cease all use of the name, trademarks, and logos of the other Party.

    2. Any amounts owed between the Parties as of the effective date of termination shall be paid within [Number] days thereafter, together with interest at the rate of [Interest Rate] per annum from the date of termination until paid in full.

    3. The termination or expiration of this Agreement shall not relieve either Party of any obligation or liability accrued prior to such termination or expiration, nor affect any rights, remedies, or defenses available to either Party arising out of events occurring prior thereto.

    4. Each Party shall cooperate in good faith to effect an orderly transition of activities following termination, including the transfer of records, the completion of work in progress, and the notification of customers, suppliers, and other third parties as appropriate.

    5. Those provisions of this Agreement that by their nature or express terms are intended to survive termination or expiration shall so survive, including without limitation provisions relating to definitions, intellectual property, confidentiality, representations and warranties, indemnification, limitations of liability, governing law, dispute resolution, miscellaneous provisions, and the consequences of termination themselves.

    6. Each Party shall promptly deliver to the other Party copies of all records, data, work product, and other materials relating to the Project that are in its possession and that the other Party is entitled to receive under this Agreement.

    7. Neither Party shall, by reason of the termination or expiration of this Agreement, be entitled to any compensation, indemnity, reimbursement, or other payment on account of lost profits, lost business opportunities, goodwill, or expenditures made in reliance on the continuation of this Agreement, except as expressly provided herein.

  17. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [State] of the United States of America, without regard to its conflict of laws principles that would require the application of the laws of any other jurisdiction.

    2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, interpretation, or validity thereof, shall first be referred to senior executives of the Parties for good faith negotiation and attempted resolution. The Parties shall meet, in person or by videoconference, within [Number] days following written notice of a dispute, and shall negotiate in good faith for a period of not less than [Number] days.

    3. If the dispute is not resolved through negotiation within the period specified above, the Parties shall attempt to resolve the dispute through non-binding mediation administered by a mutually agreed mediator or mediation service, with the costs of mediation shared equally.

    4. If the dispute remains unresolved after mediation, it shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by [one (1) or three (3)] arbitrator(s) selected in accordance with such rules, and shall be seated in [City, State], United States. The language of the arbitration shall be English.

    5. The award rendered by the arbitrator(s) shall be final, non-appealable, and binding upon the Parties, and judgment on the award may be entered in any court of competent jurisdiction. Each Party shall bear its own costs and attorneys' fees, and the Parties shall share the fees and expenses of the arbitrator(s) and the arbitration tribunal equally, unless the arbitrator(s) determine otherwise.

    6. Notwithstanding the foregoing, either Party may seek injunctive, equitable, or other provisional relief in any court of competent jurisdiction to protect its Intellectual Property Rights, Confidential Information, or other rights that cannot be adequately remedied by monetary damages, without first exhausting the negotiation, mediation, and arbitration procedures set forth herein.

    7. During the pendency of any dispute, the Parties shall continue to perform their respective obligations under this Agreement, except to the extent that such performance is the subject matter of the dispute.

    8. Each Party irrevocably waives any objection it may now or hereafter have to the laying of venue of any proceeding permitted to be brought in a court as set forth herein, and waives any claim that any such proceeding has been brought in an inconvenient forum.

  18. Miscellaneous Provisions

    1. This Agreement, together with all exhibits and attachments hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties with respect to such subject matter.

    2. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a writing signed by both Parties. No waiver of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.

    3. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

    4. All notices, requests, demands, and other communications required or permitted under this Agreement shall be in writing and shall be deemed given when (i) delivered personally; (ii) sent by nationally recognized overnight courier with signature confirmation; (iii) sent by certified or registered mail, return receipt requested; or (iv) sent by electronic mail with confirmation of receipt, to the address of the receiving Party set forth above or such other address as may be designated by written notice.

    5. Neither Party shall be liable for any delay or failure in performance hereunder (other than payment obligations) to the extent such delay or failure results from causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, or widespread utility failures, provided that the affected Party promptly notifies the other Party and uses commercially reasonable efforts to resume performance as soon as practicable.

    6. The relationship of the Parties under this Agreement is that of independent contractors. Nothing in this Agreement shall be deemed to create a partnership, agency, employment, franchise, or fiduciary relationship between the Parties, except as expressly set forth herein with respect to the limited contractual joint venture.

    7. This Agreement is for the sole benefit of the Parties and their respective permitted successors and assigns, and nothing herein, whether express or implied, is intended to or shall confer upon any other Person any legal or equitable right, benefit, or remedy of any nature whatsoever.

    8. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by facsimile, electronic mail (including PDF), or electronic signature platforms shall be deemed to be original signatures for all purposes.

    9. Each Party shall bear its own costs and expenses, including attorneys' fees, incurred in connection with the negotiation, preparation, and execution of this Agreement, except as otherwise expressly provided herein.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized representatives as of the Effective Date first above written.
