AND: [Candidate Full Legal Name], an individual residing at [Candidate Residential Address] (hereinafter referred to as the "Candidate" or the "Employee").
The Company and the Candidate are hereinafter referred to individually as a "Party" and collectively as the "Parties."
WHEREAS, the Company is engaged in the business of [describe business/industry] and desires to engage qualified personnel to further its lawful commercial objectives;
WHEREAS, the Candidate possesses the skills, qualifications, and experience that the Company deems suitable for the position hereinafter described;
WHEREAS, the Company wishes to extend to the Candidate a conditional offer of employment upon the terms and conditions set forth herein, and the Candidate is willing to consider such offer; and
WHEREAS, the Parties desire to memorialize in writing the material terms and conditions upon which such employment, if accepted and consummated, shall be governed.
NOW, THEREFORE, the Company hereby extends the following offer of employment to the Candidate, subject to the terms, covenants, conditions, representations, and warranties set forth below.
Position and Reporting Line
The Company hereby offers the Candidate the position of [Job Title] (the "Position"), with such duties, responsibilities, and authorities as are customarily associated with such position and as may be assigned to the Candidate from time to time by the Company in its reasonable discretion, consistent with the Position's level and seniority.
The Candidate shall report directly to [Supervisor Name/Title] (the "Reporting Manager"), or to such other individual as the Company may designate from time to time in connection with any lawful reorganization, reassignment, or restructuring of its operations.
The Candidate shall devote substantially all of his or her business time, attention, skill, and best efforts to the faithful performance of the duties of the Position and shall discharge such duties in a diligent, competent, and professional manner, in accordance with the lawful directives of the Reporting Manager and the policies and procedures of the Company as the same may be in force from time to time.
During the term of employment, the Candidate shall not, without the prior written consent of the Company, engage in any other business activity, whether or not for pecuniary gain, that would materially interfere with the performance of the Candidate's duties hereunder or create an actual or apparent conflict of interest with the Company.
The Candidate acknowledges that the Position, title, duties, reporting relationships, and organizational structure may be modified by the Company from time to time in the ordinary course of business, provided that any such modification shall be consistent with the Candidate's experience and the general character of the Position offered herein.
Commencement of Employment
Subject to the satisfaction of the conditions precedent set forth herein, the Candidate's employment with the Company shall commence on [Start Date] (the "Commencement Date"), or on such other date as the Parties may mutually agree in writing.
In the event the Candidate fails, without reasonable cause acceptable to the Company, to commence employment on the Commencement Date, the Company shall have the right, at its sole discretion, to revoke this Offer Letter without further obligation or liability of any kind.
Should the Commencement Date be postponed by reason of circumstances outside the reasonable control of either Party, the Parties shall negotiate in good faith to establish a mutually acceptable alternative Commencement Date; provided, however, that if no such date is agreed within thirty (30) calendar days following the original Commencement Date, either Party may terminate this Offer Letter upon written notice to the other, without further obligation.
The Candidate's period of continuous service for purposes of accrual of benefits, seniority, and any other service-based entitlements shall be measured from the actual Commencement Date, unless otherwise expressly provided by applicable Company policy.
The Candidate shall, prior to or on the Commencement Date, present to the Company all documentation reasonably required to verify the Candidate's identity and legal authorization to work in the United States, in compliance with applicable federal immigration and employment eligibility laws.
Nature and Location of Employment
The Position is offered on a full-time basis, requiring the Candidate to work the standard business hours established by the Company, together with such additional hours as may reasonably be necessary for the proper discharge of the Candidate's duties.
The Candidate's primary place of work shall be the Company's premises located at [Work Location Address] within the United States (the "Work Location"), and the engagement is designated as an on-site role.
The Candidate acknowledges and agrees that the Company may, from time to time and upon reasonable prior notice, require the Candidate to perform services at other locations, including client sites, Company affiliates, or temporary assignments, consistent with the needs of the business and the nature of the Position.
The Candidate may be required to undertake domestic or international business travel as reasonably necessary for the performance of the duties of the Position, with all reasonable, documented, and pre-approved business expenses to be reimbursed in accordance with the Company's expense reimbursement policy then in effect.
Any permanent relocation of the Work Location to a geographic area materially distant from the originally designated Work Location shall be subject to reasonable advance written notice to the Candidate and, where applicable, discussion in good faith regarding reasonable transitional arrangements.
The Candidate shall comply with all workplace policies, procedures, codes of conduct, health and safety requirements, and security protocols adopted by the Company and in force at the Work Location from time to time.
Base Compensation and Payment Schedule
In consideration of the services to be rendered by the Candidate hereunder, the Company shall pay to the Candidate a base salary at the annualized rate of [Base Salary Amount in USD] United States Dollars (the "Base Salary"), subject to all applicable withholdings, deductions, and taxes required by law.
The Base Salary shall be paid in equal installments on a bi-weekly basis, in accordance with the Company's standard payroll practices and schedule as the same may be in effect from time to time, by direct deposit to a bank account designated by the Candidate or by such other lawful means as the Company may determine.
The Base Salary shall be subject to periodic review by the Company, in accordance with its ordinary compensation review cycles; provided, however, that nothing herein shall obligate the Company to grant any increase in the Base Salary, nor shall any such review create any entitlement on the part of the Candidate.
The Company shall withhold from all payments made to the Candidate hereunder such federal, state, local, and other taxes, contributions, and amounts as are required by applicable law or authorized by the Candidate in writing.
The Candidate shall be solely responsible for the timely filing of all personal tax returns and the payment of any additional taxes owed in respect of compensation received hereunder, to the extent not withheld by the Company.
If the Commencement Date or any date of cessation of employment falls on a day other than the first or last day of a pay period, the Base Salary payable for that pay period shall be prorated based on the number of days actually worked.
Discretionary Bonus and Incentive Compensation
The Candidate shall be eligible to participate in such discretionary bonus, incentive compensation, commission, or equity-based compensation programs as the Company may establish, maintain, modify, or terminate from time to time at its sole discretion, subject to the terms and conditions of the applicable plan documents.
Any bonus or incentive compensation shall be purely discretionary in nature and shall not form part of the Candidate's contractual compensation, nor shall any prior payment of a bonus give rise to any legitimate expectation of future payment.
Eligibility for, and the amount of, any such discretionary bonus or incentive compensation shall be determined by the Company based upon factors including, without limitation, individual performance, departmental performance, Company-wide financial results, and such other criteria as the Company may deem appropriate.
Except as expressly provided in the governing plan document, the Candidate must be actively employed by the Company and in good standing on the date any bonus or incentive compensation is paid in order to be eligible to receive the same; any entitlement shall not accrue on a pro rata basis prior to such payment date.
All bonus and incentive compensation payments shall be subject to applicable withholdings and deductions required by law, and shall be made in accordance with the Company's standard payroll practices.
The Company reserves the right, in its sole discretion, to amend, suspend, replace, or discontinue any discretionary bonus or incentive compensation program at any time, without the consent of, and without any liability or compensation to, the Candidate.
Employee Benefits and Paid Time Off
The Candidate shall be eligible to participate in the employee benefit plans and programs generally made available by the Company to its similarly situated full-time employees, including, without limitation, group health insurance, retirement savings plans, and such other benefits as may be in effect from time to time, subject in each case to the eligibility requirements, terms, and conditions of the governing plan documents.
The Candidate shall be entitled to paid time off, including vacation, sick leave, and holiday pay, in accordance with the Company's written policies then in effect, which policies may be amended by the Company from time to time in its discretion.
The Company reserves the right, in its sole discretion, to amend, modify, replace, suspend, or terminate any employee benefit plan or program at any time, provided that any such action shall not operate to divest the Candidate of benefits already vested and payable in accordance with the terms of the applicable plan.
Any descriptions of employee benefits provided to the Candidate, whether orally, in writing, or by electronic communication, are intended solely as summaries and shall not supersede the official plan documents, which shall govern in all respects in the event of any inconsistency.
The Candidate shall be responsible for timely completing and submitting all enrollment forms, elections, designations, and other documentation required for participation in any benefit plan or program, and shall promptly notify the Company of any change in circumstances that may affect such participation.
Reimbursement for ordinary and necessary business expenses incurred by the Candidate in the performance of the Candidate's duties shall be made in accordance with the Company's expense reimbursement policy then in effect, upon submission of appropriate documentation.
At-Will Employment
The Candidate's employment with the Company shall be on an "at-will" basis, meaning that either the Candidate or the Company may terminate the employment relationship at any time, with or without cause, with or without advance notice, and for any lawful reason or for no reason whatsoever.
Nothing contained in this Offer Letter, in any Company handbook, policy, procedure, communication, or practice shall be construed to create a contract of employment for a specified term, to limit the right of either Party to terminate the employment relationship, or to require any particular procedure for such termination.
Only the [Chief Executive Officer or other designated officer] of the Company shall have the authority to alter the at-will nature of the employment relationship, and any such alteration must be set forth in a written instrument expressly stating that the at-will relationship is being modified and signed by such officer.
Upon the termination of employment for any reason, the Candidate shall be entitled solely to (i) payment of Base Salary earned through the date of termination, (ii) reimbursement of properly incurred and documented business expenses, and (iii) such other amounts or benefits as may be required by applicable law or expressly provided under the terms of any benefit plan then in effect.
Upon the termination of employment, the Candidate shall promptly return to the Company all property, documents, records, data, equipment, and materials belonging to the Company or containing any Confidential Information (as defined herein), whether in tangible or electronic form.
The provisions of this Offer Letter relating to confidentiality, representations and warranties, governing law and dispute resolution, and any other provisions that by their nature are intended to survive, shall survive the termination of the Candidate's employment, regardless of the manner or cause thereof.
Conditions Precedent and Background Verification
This Offer Letter and the employment relationship contemplated hereby are expressly conditioned upon the Candidate's successful completion of a background verification check (the "Background Check") conducted by the Company or its designated third-party vendor, the results of which must be satisfactory to the Company in its reasonable discretion.
The Candidate shall cooperate fully and promptly with all aspects of the Background Check, including executing any consent forms, releases, and authorizations required thereby, and providing any documentation, information, or references reasonably requested by the Company or its vendor.
In the event the Background Check reveals information that the Company, acting reasonably and in accordance with applicable law, determines to be materially inconsistent with the information previously provided by the Candidate, or otherwise disqualifying for the Position, the Company shall have the right to withdraw this Offer Letter or, if employment has already commenced, to terminate the Candidate's employment without liability.
This Offer Letter is further conditioned upon (i) the Candidate's demonstration of legal authorization to work in the United States, (ii) the Candidate's execution and delivery of any additional documents reasonably required by the Company as a condition of employment, and (iii) the Candidate's compliance with all representations and warranties set forth herein.
The Candidate acknowledges that any adverse action taken by the Company on the basis of the Background Check shall be undertaken in accordance with all applicable federal, state, and local laws, including, without limitation, laws governing fair credit reporting and employment discrimination.
Prior to the Commencement Date, the Candidate shall promptly disclose to the Company any change in circumstances that may affect the Candidate's eligibility for the Position or the accuracy of any information previously provided to the Company.
Confidentiality and Protection of Proprietary Information
The Candidate acknowledges that, in the course of employment, the Candidate will have access to, be entrusted with, and may generate certain confidential and proprietary information of the Company and its affiliates, clients, customers, suppliers, and business partners, including, without limitation, trade secrets, business plans, financial information, customer and prospect lists, pricing information, technical data, software, methodologies, know-how, personnel information, and any information marked or treated as confidential (collectively, "Confidential Information").
The Candidate shall, both during and after the term of employment, hold all Confidential Information in strictest confidence, shall not disclose any Confidential Information to any third party except as expressly authorized by the Company in writing or as required in the proper performance of the Candidate's duties, and shall not use any Confidential Information for any purpose other than the performance of such duties.
All documents, records, materials, inventions, discoveries, works of authorship, software, data, and other tangible or intangible property embodying or relating to Confidential Information, whether created by the Candidate or others, shall be and remain the sole and exclusive property of the Company, and the Candidate shall acquire no right, title, or interest therein except as expressly granted in writing by the Company.
The Candidate shall promptly disclose to the Company all inventions, discoveries, improvements, and works of authorship conceived, developed, or reduced to practice by the Candidate, alone or jointly with others, during the term of employment and that relate to the business of the Company, and hereby assigns to the Company all right, title, and interest therein, to the fullest extent permitted by applicable law.
The obligations of confidentiality set forth herein shall not apply to information that (i) is or becomes generally available to the public through no fault of the Candidate, (ii) was rightfully known to the Candidate without obligation of confidentiality prior to disclosure by the Company, or (iii) is required to be disclosed by applicable law or legal process, provided that the Candidate promptly notifies the Company of such requirement and cooperates with any reasonable effort to limit the scope of disclosure.
Nothing herein shall be construed to prohibit the Candidate from engaging in any lawful whistleblower activity, reporting possible violations of law to any governmental agency, or participating in any investigation or proceeding conducted by such agency, in each case without prior notice to or authorization from the Company.
The Candidate acknowledges that the obligations set forth in this section are reasonable and necessary to protect the legitimate business interests of the Company, and that any breach or threatened breach thereof may cause the Company irreparable harm for which monetary damages would be an inadequate remedy, entitling the Company to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.
Representations and Warranties of the Candidate
The Candidate represents and warrants to the Company that the Candidate is under no contractual, statutory, fiduciary, or other obligation or restriction (including, without limitation, any non-competition, non-solicitation, or confidentiality agreement with any former employer) that would prevent, restrict, or interfere with the Candidate's acceptance of this offer or the full and proper performance of the Candidate's duties hereunder.
The Candidate represents and warrants that all information provided to the Company during the recruitment and application process, including, without limitation, information contained in the Candidate's resume, application, interviews, and references, is true, accurate, and complete in all material respects, and that no material information has been omitted therefrom.
The Candidate represents and warrants that the Candidate is legally authorized to work in the United States and shall provide, upon request, all documentation reasonably required to evidence such authorization.
The Candidate represents and warrants that the Candidate shall not, during the course of employment, use, disclose, or incorporate into any work product any confidential or proprietary information belonging to any former employer or other third party, and shall not bring onto the Company's premises or into the Company's systems any such information in any form.
The Candidate represents and warrants that the Candidate has had the opportunity to review this Offer Letter, to ask questions, and to consult with independent legal counsel of the Candidate's choosing prior to acceptance, and that the Candidate enters into this Offer Letter freely, knowingly, and voluntarily.
The Candidate agrees to indemnify and hold harmless the Company from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from any material breach by the Candidate of the representations and warranties set forth in this section.
Entire Agreement and Supersession of Prior Communications
This Offer Letter sets forth the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, discussions, communications, understandings, and agreements, whether oral or written, between the Parties relating to such subject matter.
The Candidate acknowledges that, in accepting this Offer Letter, the Candidate has not relied upon any representation, warranty, promise, or assurance made by or on behalf of the Company, whether oral or written, that is not expressly set forth herein.
No prior statement, representation, offer, or communication by any recruiter, employee, agent, or representative of the Company, whether oral or written, shall be of any force or effect unless and to the extent expressly incorporated into this Offer Letter.
In the event of any inconsistency between the terms of this Offer Letter and any Company policy, handbook, or benefit plan, the terms of this Offer Letter shall prevail, except (i) where such policy, handbook, or plan is required by law to prevail, or (ii) where the applicable benefit plan document is governed by federal law applicable to such plans.
The Parties acknowledge that this Offer Letter has been drafted jointly for the mutual benefit of the Parties and shall not be construed against either Party as the drafter thereof.
Amendment and Waiver
This Offer Letter may be amended, modified, or supplemented only by a written instrument expressly identified as an amendment hereto and duly executed by the Candidate and by an authorized officer of the Company; no oral modification shall be of any force or effect.
No waiver by either Party of any breach of, or default under, any provision of this Offer Letter shall be deemed a waiver of any subsequent or similar breach or default, nor shall any such waiver constitute a continuing waiver.
No failure or delay by either Party in exercising any right, power, or remedy under this Offer Letter shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof.
Any waiver of any provision of this Offer Letter must be in writing, must specifically identify the provision being waived, and must be signed by the Party granting such waiver in order to be effective.
The rights and remedies provided herein are cumulative and are not exclusive of any other rights or remedies available at law or in equity, and the election by either Party of any one or more remedies shall not preclude such Party from pursuing any other available remedies.
Governing Law and Dispute Resolution
This Offer Letter and all matters arising out of or relating to the Candidate's employment with the Company shall be governed by, and construed and enforced in accordance with, the laws of the State of [Governing State], without regard to its conflict of laws principles, and applicable federal laws of the United States.
The Parties shall endeavor to resolve any dispute, controversy, or claim arising out of or relating to this Offer Letter, or the breach, termination, or validity thereof, through good-faith negotiation between the Candidate and an authorized representative of the Company prior to initiating any formal proceedings.
If any dispute cannot be resolved by negotiation within thirty (30) calendar days of written notice from one Party to the other, the Parties shall consider in good faith submitting the matter to non-binding mediation administered by a mutually agreed mediator, with the costs of mediation to be shared equally.
Subject to the foregoing, each Party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in [County, State], for the purposes of any suit, action, or other proceeding arising out of or relating to this Offer Letter, and waives any objection to such venue based on forum non conveniens or similar grounds.
To the fullest extent permitted by applicable law, each Party irrevocably waives any right to trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Offer Letter or the employment relationship contemplated hereby.
If any provision of this Offer Letter is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, or if not susceptible of such modification, severed from this Offer Letter, and the remaining provisions shall continue in full force and effect.
