Intern-Friendly Internship Agreement Template
INTERNSHIP AGREEMENT
This Internship Agreement (the "Agreement") is made and entered into on [Effective Date] (the "Effective Date") by and between:
[Company Legal Name], a [entity type] duly organized and existing under the laws of [Country], having its registered office at [Company Registered Address], represented by [Representative Name] in the capacity of [Representative Title] (hereinafter referred to as the "Company");
and
[Intern Full Name], an individual residing at [Intern Address], holder of identification document number [ID Number] (hereinafter referred to as the "Intern");
(each a "Party" and collectively the "Parties").
WHEREAS, the Company carries on business in the field of [industry/sector] and is willing to offer the Intern a structured internship opportunity designed to further the Intern's practical education, professional development and acquisition of industry-relevant competencies;
WHEREAS, the Intern desires to undertake such internship with the Company upon the terms and subject to the conditions set forth herein, and represents having the requisite academic background, availability and interest to perform the duties contemplated hereby;
WHEREAS, the Parties wish to record in writing the terms governing the Intern's engagement, including but not limited to the duration, learning objectives, supervision, stipend, confidentiality, intellectual property and termination of the internship;
NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.
Appointment and Term of Internship
The Company hereby appoints the Intern to undertake an internship in the position of [Internship Title/Role] within the Company's [Department/Division], and the Intern hereby accepts such appointment, subject to and in accordance with the terms and conditions hereinafter set forth.
The internship shall commence on [Start Date] (the "Commencement Date") and, unless sooner terminated in accordance with the provisions hereof, shall expire automatically and without the need for any further act or notice on [End Date], such period not exceeding three (3) months in aggregate (the "Internship Term").
The Internship Term may be extended solely by mutual written agreement of the Parties executed prior to the expiration of the original Internship Term, and in no event shall any extension be presumed from the mere continuation of the Intern's attendance after the End Date.
The Parties expressly acknowledge and agree that this Agreement constitutes a fixed-term internship arrangement for educational and developmental purposes, and shall not be construed as creating a contract of indefinite employment, an apprenticeship, an agency, a partnership, a joint venture or any other relationship save and except that expressly set forth herein.
Nothing herein shall oblige either Party to enter into any further agreement, including without limitation any offer or acceptance of employment, upon or following the expiration of the Internship Term, and neither Party shall have any claim against the other on account of the non-renewal or non-conversion of the internship.
The first fourteen (14) calendar days of the Internship Term shall constitute an orientation period during which either Party may assess the suitability of the arrangement, without prejudice to the general right of early termination set forth elsewhere in this Agreement.
Place of Internship and Working Hours
The internship shall be performed primarily on-site at the Company's premises located at [Address of Workplace], or at such other premises of the Company within the same locality as may be designated by the Company from time to time upon reasonable prior notice to the Intern.
The Intern's regular schedule shall consist of [number] working hours per week, to be performed from [Start Time] to [End Time] on [Working Days], with a daily unpaid rest break of not less than [number] minutes, the whole subject always to the mandatory limits imposed by applicable law.
Occasional performance of duties on a remote or hybrid basis may be permitted only with the prior written consent of the Company, and such consent shall not, of itself, modify the on-site character of the internship as recorded in this clause.
The Intern shall be entitled to all public holidays officially recognized at the place of performance, and to such additional paid or unpaid leave as the Company may, in its sole discretion and in accordance with applicable law, from time to time grant.
The Intern shall observe punctuality and regular attendance, shall promptly notify the Supervisor (as hereinafter defined) of any absence or anticipated lateness, and shall provide, where reasonably requested, appropriate documentation substantiating any absence on grounds of illness or force majeure.
The Intern shall not be required or expected to perform duties outside of the regular schedule set forth above, save in exceptional circumstances mutually agreed in writing in advance, and any such additional time shall be compensated or offset in accordance with applicable law.
The Company reserves the right to adjust working hours and shift patterns on reasonable notice to accommodate operational requirements, provided that such adjustments remain compatible with the educational purpose of the internship and with the Intern's documented academic obligations, if any.
Representations and Warranties of the Intern
The Intern represents and warrants to the Company that the Intern is of full legal capacity to enter into this Agreement and, where applicable, has obtained all requisite consents (including parental, educational or immigration consents) necessary to lawfully undertake the internship contemplated hereby.
The Intern further represents and warrants that all information, credentials, academic records, prior work experience and personal particulars disclosed to the Company in connection with the application for and acceptance of the internship are true, accurate, complete and not misleading in any material respect.
The Intern represents and warrants that the execution and performance of this Agreement will not conflict with, breach or constitute a default under any other agreement, undertaking, confidentiality obligation or restrictive covenant to which the Intern is a party or by which the Intern may be bound.
The Intern represents that no information or materials belonging to any third party, including any former employer, academic institution or client, shall be introduced into the Company's premises, systems or work product without the lawful authorization of the owner thereof.
The Intern represents and warrants that the Intern holds, or will prior to the Commencement Date obtain, all permits, visas, licences, registrations and authorizations required under applicable law to lawfully participate in the internship at the agreed place of performance.
The Intern undertakes to notify the Company promptly in writing of any change in circumstances that would render any of the foregoing representations and warranties untrue, inaccurate or incomplete in any material respect at any time during the Internship Term.
Duties, Responsibilities and Learning Objectives
The Intern shall perform such duties as are reasonably assigned by the Supervisor and as are commensurate with the Intern's level of experience, the educational purpose of the internship and the role described in the first clause of this Agreement.
The principal duties and responsibilities of the Intern shall include, without limitation: (i) assisting the assigned team with ongoing projects and tasks; (ii) attending training sessions, meetings and workshops as scheduled; (iii) producing deliverables, reports or research outputs as directed; and (iv) such other activities as the Company may reasonably assign for the Intern's professional development.
The learning objectives of the internship shall comprise: (i) exposure to the practical operations of the Company's [Department/Division]; (ii) development of specific technical and professional competencies in [Area of Learning]; (iii) understanding of applicable industry standards and workflows; and (iv) cultivation of workplace skills including communication, teamwork and project management.
The Intern shall devote the Intern's full working time, attention and best efforts during the agreed working hours to the performance of assigned duties, and shall comply with all lawful instructions, policies, procedures and codes of conduct of the Company as communicated to the Intern from time to time.
The Intern shall maintain a learning journal or progress log, if so requested by the Company, and shall participate in good faith in all evaluation and feedback sessions scheduled during and at the conclusion of the Internship Term.
Upon the Company's reasonable request, the Company shall provide the Intern with a written certificate of completion and, where appropriate, a letter of recommendation reflecting the duration, scope and performance of the internship, which documents shall be of material value to the Intern's academic and professional progression.
The Intern shall not, during the Internship Term, undertake any other professional engagement that would materially interfere with the proper performance of the duties hereunder, save with the prior written consent of the Company, which consent shall not be unreasonably withheld in respect of academic obligations or incidental personal activities.
Supervision and Mentorship
The Company shall designate a qualified employee (the "Supervisor") to serve as the Intern's principal point of contact, to oversee the day-to-day performance of duties, to provide guidance and feedback and to administer the educational components of the internship.
The identity and contact details of the initial Supervisor shall be communicated to the Intern in writing on or before the Commencement Date, and the Company shall notify the Intern promptly of any change in the person occupying such role.
The Supervisor shall endeavor to meet with the Intern on a regular basis, not less frequently than once every two (2) weeks, to review progress against the learning objectives, discuss any difficulties encountered and plan upcoming assignments.
The Company shall provide the Intern with reasonable induction and training necessary to perform the assigned duties safely, competently and in accordance with the Company's policies, including training on relevant tools, systems and workplace procedures.
Where the Supervisor is unavailable for an extended period, the Company shall designate an alternate supervisor of comparable seniority to ensure continuity of mentorship, so that the Intern is at no time left without appropriate oversight.
The Intern shall be entitled to raise concerns regarding supervision, workload, conduct of personnel or any aspect of the internship with the Supervisor or, if the matter concerns the Supervisor, with [Alternative Contact / Human Resources], and the Company shall address such concerns in good faith and without reprisal of any kind against the Intern.
Stipend and Reimbursement of Expenses
In consideration of the Intern's participation in the internship, the Company shall pay to the Intern a monthly stipend in the gross amount of [Currency] [Amount] (the "Stipend"), which Stipend shall accrue from the Commencement Date and shall be payable monthly in arrears on or before the [number] day of each calendar month.
The Stipend shall be paid by electronic transfer to a bank account designated in writing by the Intern, and shall be subject to such withholdings, deductions and reporting obligations as may be required by applicable law.
Where the Internship Term commences or terminates during a calendar month, the Stipend payable in respect of that month shall be pro-rated on a daily basis by reference to the number of days during which the internship was actually in effect.
The Company shall reimburse the Intern for all reasonable, documented and pre-approved out-of-pocket expenses necessarily incurred by the Intern in the performance of duties hereunder, including travel undertaken on the Company's behalf, subject to the Company's expense policy in force from time to time.
Claims for reimbursement shall be submitted together with supporting receipts and documentation within thirty (30) days of the expense being incurred, and the Company shall settle approved claims within thirty (30) days of receipt of a conforming claim.
Save for the Stipend and reimbursable expenses expressly provided for herein, the Intern shall not be entitled to any further remuneration, benefits, bonuses, commissions, pension contributions, equity awards or allowances in respect of the internship, except as mandatorily required by applicable law.
The Intern shall be solely responsible for the declaration and payment of any personal taxes, social contributions or similar charges payable by the Intern in respect of the Stipend under applicable law, save for those which the Company is legally obliged to withhold at source.
Confidentiality and Non-Disclosure
For the purposes of this Agreement, "Confidential Information" means any and all information, in any form or medium, disclosed to or accessed by the Intern in connection with the internship concerning the Company, its affiliates, personnel, customers, suppliers or counterparties, including without limitation technical, commercial, financial, operational, strategic, personal and know-how information, whether or not expressly marked as confidential.
The Intern shall hold all Confidential Information in strict confidence, shall use the same solely for the proper performance of duties under this Agreement, and shall not, during the Internship Term or at any time thereafter, disclose, publish, divulge or make available any Confidential Information to any third party without the prior written consent of the Company.
The Intern shall exercise at least the same degree of care in protecting Confidential Information as the Intern would exercise in respect of the Intern's own confidential information of like importance, and in no event less than a reasonable standard of care, including by using secure storage, strong passwords and the Company's authorized systems.
The obligations of confidentiality shall not apply to information which: (i) is or becomes publicly known through no fault of the Intern; (ii) was lawfully in the Intern's possession prior to disclosure by the Company without an obligation of confidentiality; (iii) is lawfully obtained from a third party free of any confidentiality obligation; or (iv) is required to be disclosed by law, court order or competent regulatory authority, provided that the Intern gives the Company prompt prior written notice (to the extent lawfully permitted) to enable the Company to seek a protective remedy.
The Intern shall not make, retain or transmit any copies, extracts, summaries or reproductions of Confidential Information except as strictly necessary for the performance of duties, and shall not use Confidential Information for personal benefit or for the benefit of any third party, including any educational institution, prospective employer or publisher.
Upon the earlier of the expiration or termination of this Agreement or the Company's written request at any time, the Intern shall promptly return to the Company, or at the Company's option irretrievably destroy, all Confidential Information and all materials containing or derived therefrom in the Intern's possession or control, and shall certify in writing having done so.
The obligations of confidentiality set forth in this section shall survive the expiration or termination of this Agreement for a period of five (5) years, or for such longer period as the information concerned retains the character of a trade secret or is protected under applicable law.
Intellectual Property Rights and License to the Company
All inventions, works, designs, drawings, software, databases, reports, methodologies, improvements and other materials of any nature whatsoever created, developed, conceived, reduced to practice or first fixed by the Intern, whether alone or jointly with others, during and in the course of the internship and arising directly from or substantially relating to the Intern's duties hereunder (the "Internship Works") shall remain the sole and exclusive property of the Intern, who shall retain full ownership of all intellectual property rights therein.
Notwithstanding the Intern's retention of ownership, the Intern hereby grants to the Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to use, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, make, have made, create derivative works of and otherwise exploit the Internship Works in any and all media and for any purpose connected with the Company's business, including internal, commercial and promotional purposes (the "Licence").
The Licence shall take effect automatically upon the creation of each item of Internship Works, without the need for any further formality, consideration or acceptance, and shall survive the expiration or termination of this Agreement for any reason.
The Intern warrants that the Internship Works, as delivered to the Company, shall be original to the Intern or lawfully licensed, shall not infringe any intellectual property, moral or personality rights of any third party, and shall be free of malicious code, encumbrances and third-party claims.
The Intern shall promptly disclose to the Company all Internship Works and shall, at the Company's reasonable request and cost, execute such further documents and perform such further acts as may be necessary to perfect, record or enforce the Licence or to assist the Company in exercising its rights thereunder.
To the extent permitted by applicable law, the Intern waives, in favour of the Company and its successors, assigns and sub-licensees, any moral rights or equivalent rights the Intern may have in the Internship Works insofar as such waiver is necessary for the Company to enjoy the full benefit of the Licence; where such waiver is not permitted, the Intern undertakes not to assert such rights in a manner that would prevent the normal exploitation of the Licence.
Any intellectual property, materials, templates, know-how or background rights owned by the Company prior to the Commencement Date or developed independently of the internship shall remain the sole and exclusive property of the Company, and nothing in this Agreement shall be construed as transferring any right, title or interest therein to the Intern, save for a limited, revocable right to use the same strictly for the performance of duties hereunder.
Health, Safety and Workplace Conduct
The Company shall provide a safe and healthy working environment, in accordance with applicable health and safety laws and regulations, and shall take reasonable measures to prevent accidents, injuries, harassment, discrimination and occupational hazards affecting the Intern.
The Intern shall comply with all health and safety rules, policies and instructions in force at the place of performance, shall properly use any protective equipment supplied, and shall promptly report to the Supervisor any accident, injury, near-miss, hazard or unsafe condition of which the Intern becomes aware.
The Intern shall conduct himself or herself at all times in a professional, respectful and courteous manner, shall not engage in any form of harassment, bullying, discrimination, retaliation or violence, and shall refrain from the use, possession or distribution of illegal substances or alcohol on Company premises.
The Intern shall comply with the Company's policies on information security, acceptable use of IT resources, dress code, social media, anti-bribery and conflicts of interest, as the same may be in force and communicated to the Intern from time to time.
The Intern shall not, without the prior written authorization of the Company, make any public statement, give any interview, publish any post or otherwise communicate with the media concerning the Company, its personnel, clients or business.
The Intern shall be entitled to raise, in good faith and without fear of reprisal, any concern regarding workplace conduct, safety or ethics through the channels designated by the Company, and the Company shall investigate and address such concerns promptly, fairly and confidentially to the extent reasonably practicable.
Data Protection and Privacy
The Company shall process personal data relating to the Intern solely for purposes connected with the administration of the internship, including stipend payment, performance evaluation, training, legal compliance and the issuance of certificates and references, in accordance with applicable data protection laws.
The Intern shall likewise handle any personal data accessed in the course of the internship, whether relating to Company personnel, customers, suppliers or other data subjects, strictly in accordance with the Company's data protection policies, instructions of the Supervisor and applicable law.
The Intern shall not copy, extract, transmit, store or otherwise process personal data outside the Company's authorized systems or for any purpose unrelated to the performance of duties hereunder, and shall promptly report any suspected or actual personal data breach to the Supervisor.
The Intern consents to the retention by the Company of records relating to the internship for such period as may be necessary to comply with legal, regulatory and legitimate business requirements, after which such records shall be deleted or anonymized in accordance with the Company's retention schedule.
The Intern acknowledges having been informed of the Intern's rights under applicable data protection law, including the rights of access, rectification, erasure, restriction and objection, and of the identity of the controller and contact point for the exercise of such rights.
The obligations of this section shall survive the expiration or termination of this Agreement for so long as the Intern retains access, possession or control of any personal data obtained in connection with the internship.
Early Termination
Notwithstanding the fixed term established hereunder, either Party may terminate this Agreement for any reason or no reason upon giving the other Party not less than seven (7) days' prior written notice.
Either Party may terminate this Agreement with immediate effect, without any period of notice or indemnity, by written notice to the other Party in the event of a material breach by such other Party of any provision of this Agreement which, if capable of remedy, has not been remedied within seven (7) days of written notice requiring such remedy.
The Company may terminate this Agreement with immediate effect upon written notice to the Intern in the event of: (i) serious misconduct, dishonesty, insubordination or gross negligence by the Intern; (ii) breach by the Intern of the obligations relating to confidentiality, intellectual property, health and safety or data protection; or (iii) any act or omission by the Intern that brings or is likely to bring the Company into disrepute.
The Intern may terminate this Agreement with immediate effect upon written notice to the Company in the event that: (i) continuation of the internship would materially jeopardize the Intern's health, safety or academic standing; (ii) the Company fails to pay any undisputed Stipend when due and such failure continues for seven (7) days after written notice; or (iii) the Company commits a material breach of its obligations hereunder which is not remedied within the period specified in the preceding clauses.
This Agreement shall terminate automatically, without the need for any notice or act of either Party, upon the death or legally established permanent incapacity of the Intern, or upon the Intern ceasing to hold any permit, visa or authorization necessary to lawfully undertake the internship.
Any notice of early termination shall specify the ground relied upon and the effective date of termination, and shall be given in accordance with the notice provisions set forth elsewhere in this Agreement.
Consequences of Termination
Upon expiration or termination of this Agreement for any reason, the Intern shall promptly: (i) cease to hold himself or herself out as being associated with the Company; (ii) return all Company property, including equipment, access cards, documents, keys and Confidential Information in any form; and (iii) provide a reasonable handover of pending matters as requested by the Supervisor.
The Company shall pay to the Intern all accrued but unpaid Stipend and any undisputed reimbursable expenses up to and including the effective date of termination, pro-rated as applicable, within thirty (30) days of such effective date.
Expiration or termination of this Agreement shall not affect any rights or obligations of the Parties that have accrued prior to such expiration or termination, nor any provisions which by their nature are intended to survive, including those relating to confidentiality, intellectual property, data protection, indemnification, limitation of liability, governing law and dispute resolution.
Upon the Intern's request, and provided that the internship has been conducted for not less than thirty (30) days and the Intern is not in material breach of this Agreement, the Company shall issue a certificate confirming the dates, position and nature of the internship, and shall endeavor in good faith to provide a performance assessment reflective of the Intern's actual contribution.
The Licence granted to the Company in respect of the Internship Works shall continue in full force and effect notwithstanding the expiration or termination of this Agreement, and the Company shall remain entitled to exercise all rights thereunder without further payment or notice.
Neither Party shall, by reason of termination of this Agreement in accordance with its terms, be liable to the other for any loss of opportunity, loss of profits, loss of reputation or any consequential or indirect damages arising therefrom.
Indemnification and Limitation of Liability
The Company shall indemnify and hold the Intern harmless from and against any and all third-party claims, actions, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising directly out of the proper performance by the Intern of duties lawfully assigned under this Agreement, save to the extent such claims arise from the Intern's wilful misconduct, gross negligence or material breach of this Agreement.
The Intern shall indemnify and hold the Company harmless from and against any direct losses, damages, liabilities and reasonable costs incurred by the Company as a direct result of the Intern's wilful misconduct, fraud, gross negligence or material breach of the obligations relating to confidentiality, intellectual property or data protection hereunder.
The aggregate liability of the Intern to the Company under or in connection with this Agreement, whether in contract, tort (including negligence), statute or otherwise, shall not exceed an amount equal to the total Stipend actually paid to the Intern under this Agreement, save in cases of wilful misconduct, fraud or infringement of the Company's intellectual property rights.
Neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive or exemplary damages, nor for any loss of profits, loss of revenue, loss of business, loss of goodwill or loss of opportunity, whether or not foreseeable and whether or not advised of the possibility of such damages.
Nothing in this Agreement shall operate to exclude or limit any liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or any other liability expressly declared non-excludable under applicable law.
The Company confirms that it maintains, and shall maintain throughout the Internship Term, such insurance coverage as is appropriate for its business operations and as required by applicable law in respect of persons present at its premises, and such coverage shall extend to the Intern to the extent provided therein.
Notices
All notices, requests, consents, demands and other communications required or permitted to be given under this Agreement shall be in writing and in the English language, and shall be addressed to the receiving Party at the address set forth in the preamble hereto, or at such other address as such Party may designate by notice given in accordance with this section.

Notices shall be deemed to have been duly given: (i) upon actual receipt in the case of personal delivery; (ii) on the second business day following dispatch in the case of courier; (iii) on the fifth business day following posting in the case of registered mail; or (iv) upon confirmation of successful transmission in the case of electronic mail sent during ordinary business hours at the recipient's location, failing which on the next business day.
The address for notices to the Company shall be: [Company Notice Address], attention [Company Notice Contact], email [Company Notice Email].
The address for notices to the Intern shall be: [Intern Notice Address], email [Intern Notice Email].
Either Party may change its address or contact details for notices by written notice to the other Party given in accordance with this section, such change to take effect no earlier than five (5) business days after receipt.
Governing Law and Dispute Resolution
This Agreement shall be governed by, and construed and interpreted in accordance with, the laws of [Country/Jurisdiction], without regard to the conflict-of-laws principles thereof.
The Parties shall endeavor in good faith to resolve amicably any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach or termination, through direct negotiation between duly authorized representatives.
Any dispute not resolved by amicable negotiation within thirty (30) days of written notice by one Party to the other of the existence of the dispute shall be submitted to mediation administered by [Mediation Body] in accordance with its applicable rules, before any Party may resort to further proceedings.
If the dispute is not resolved by mediation within sixty (60) days of the appointment of the mediator, the dispute shall be finally settled by the competent courts of [City/Jurisdiction], to the exclusive jurisdiction of which the Parties hereby irrevocably submit.
Notwithstanding the foregoing, either Party shall at any time be entitled to seek interim, injunctive, protective or other equitable relief from any court of competent jurisdiction, including without limitation to protect its Confidential Information, intellectual property rights or personal data, without prejudice to its right to pursue the merits of the dispute in accordance with the preceding clauses.
Each Party shall bear its own costs incurred in connection with any dispute resolution process, save that the ultimately prevailing Party shall be entitled to recover its reasonable costs and legal fees to the extent permitted by applicable law or the award of the competent tribunal.
Miscellaneous Provisions
This Agreement, together with any documents expressly referred to herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral and written agreements, understandings, representations and negotiations between them relating thereto.
No amendment, variation or modification of this Agreement shall be effective unless made in writing and signed by duly authorized representatives of both Parties.
No failure or delay by either Party in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege.
If any provision of this Agreement is held by a court or tribunal of competent jurisdiction to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired, and the Parties shall negotiate in good faith a replacement provision that reflects as closely as possible the original intent of the Parties.
The Intern shall not assign, transfer, delegate or sub-contract any of its rights or obligations under this Agreement, the same being personal to the Intern; the Company may assign this Agreement to any affiliate or successor-in-interest in the context of a reorganization, merger, acquisition or sale of all or substantially all of its assets or business.
Neither Party shall be liable for any failure or delay in the performance of its obligations hereunder (other than payment obligations) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, governmental action or widespread utility or telecommunications failure, provided that such Party gives prompt notice and uses reasonable efforts to mitigate the effects thereof.
The headings in this Agreement are inserted for convenience of reference only and shall not affect its construction or interpretation; words denoting the singular shall include the plural and vice versa, and words denoting any gender shall include all genders.
This Agreement may be executed in any number of counterparts, each of which when executed shall constitute a duplicate original, but all the counterparts shall together constitute the one agreement; signatures delivered by electronic means (including scanned signatures or qualified electronic signatures) shall be deemed to have the same force and effect as original ink signatures.
