    2. The initial authorized capital stock of the Company, together with its certificate of incorporation, bylaws, and other organizational and governance documents, shall be prepared and adopted in a manner consistent with the terms and intent of this Agreement, and each Founder shall take all actions reasonably necessary or desirable to effectuate such incorporation and adoption, including the execution and delivery of all requisite instruments and filings.

    3. The purpose and principal business of the Company shall be to engage in the Business, which is more particularly described as [DESCRIPTION OF BUSINESS AND PRODUCT/SERVICE], and to carry on any and all lawful activities incidental, ancillary, or related thereto, as may be determined from time to time in accordance with the governance provisions of this Agreement.

    4. The principal place of business of the Company shall initially be located at [PRINCIPAL ADDRESS], or at such other location within the United States as may be determined by the Founders from time to time.

    5. Upon incorporation, the Company shall adopt and be bound by this Agreement by executing a joinder or counterpart hereto, and all references herein to obligations, rights, or actions of the Company shall thereupon take effect accordingly. Pending such incorporation, the Founders shall act in good faith to carry out the intent of this Agreement as if the Company were already in existence.

    6. The Founders shall jointly use commercially reasonable efforts to promote, develop, and advance the Business, to secure financing on reasonable terms as and when required, and to take all actions necessary or advisable to enable the Company to pursue its stated purpose.

    7. All reasonable and documented out-of-pocket expenses incurred by the Founders in connection with the formation, incorporation, and initial organization of the Company shall be reimbursed by the Company following its incorporation, subject to the production of supporting documentation and the approval procedures set forth herein.

  3. Founders' Roles and Responsibilities

    1. Each Founder shall serve the Company in the capacity set forth below, and shall perform such duties as are customarily associated with such position in a company of similar size, stage, and nature, together with such additional duties as may be mutually agreed:

    2. Founder 1 shall serve as [TITLE OF FOUNDER 1, e.g., Chief Executive Officer], with primary responsibility for [DESCRIPTION OF PRIMARY RESPONSIBILITIES OF FOUNDER 1, e.g., overall strategy, fundraising, business development, and corporate operations].

    3. Founder 2 shall serve as [TITLE OF FOUNDER 2, e.g., Chief Technology Officer], with primary responsibility for [DESCRIPTION OF PRIMARY RESPONSIBILITIES OF FOUNDER 2, e.g., product development, engineering, and technology strategy].

    4. Each Founder shall discharge his or her duties diligently, faithfully, competently, and in good faith, in a manner consistent with the best interests of the Company and its stockholders, and in accordance with all applicable laws, regulations, and policies of the Company as may be in effect from time to time.

    5. Each Founder shall initially be appointed to serve as a member of the Board of Directors of the Company (the "Board") upon its incorporation, and shall remain so appointed subject to the governance provisions of this Agreement and the organizational documents of the Company.

    6. The specific titles, scopes of responsibility, and reporting lines of the Founders may be modified from time to time by unanimous written agreement of the Founders, provided that no such modification shall reduce or impair the equity, vesting, or economic rights of any Founder hereunder without such Founder's prior written consent.

    7. Each Founder shall promptly disclose to the other Founder any actual or potential conflict of interest, business opportunity, or circumstance that could reasonably be expected to affect the performance of such Founder's duties to the Company or the interests of the Company.

    8. The Founders acknowledge and agree that the successful development of the Business depends upon their mutual cooperation, candor, and good faith, and each Founder covenants to communicate openly and regularly with the other Founder regarding all material aspects of the Business.

  4. Capital Contributions

    1. Each Founder shall make an initial capital contribution to the Company in the amount of $[CAPITAL CONTRIBUTION AMOUNT PER FOUNDER], payable in immediately available funds within [NUMBER] days following the date of incorporation of the Company, in exchange for the Shares to be issued to such Founder pursuant to Section 5 hereof.

    2. In addition to the cash contribution described above, each Founder may contribute to the Company such non-cash assets, including intellectual property, equipment, know-how, work product, or other tangible or intangible property, as the Founders may unanimously agree, with the value of any such non-cash contribution to be determined by unanimous agreement of the Founders and recorded in the books and records of the Company.

    3. No Founder shall be obligated to make any further capital contribution to the Company beyond the initial contribution set forth above, except as may be unanimously agreed in writing by the Founders.

    4. In the event that the Company requires additional capital for its operations prior to obtaining third-party financing, the Founders may, by unanimous agreement, elect to make additional pro rata capital contributions, or to procure bridge financing in the form of convertible instruments or shareholder loans on arm's-length terms.

    5. No Founder shall be entitled to interest on, or the return of, any capital contribution made to the Company, except as expressly provided in this Agreement or in the organizational documents of the Company, or as otherwise required by applicable law.

    6. All capital contributions made by the Founders shall be used solely for the purposes of the Business and the general corporate purposes of the Company, and shall not be used, directly or indirectly, for the personal benefit of any Founder.

  5. Equity Allocation and Issuance of Shares

    1. Subject to and effective upon incorporation of the Company, the Company shall issue to each Founder the number of Shares representing fifty percent (50%) of the Fully Diluted Capitalization of the Company as of the date of such issuance, before giving effect to any equity incentive pool, convertible securities, or future financing rounds (the "Founder Shares").

    2. The Founder Shares shall be issued at a purchase price per share equal to the par value thereof (or such other nominal price as the Founders may unanimously determine, taking into account tax considerations), and shall be fully paid and non-assessable upon issuance.

    3. Each Founder shall, concurrently with the issuance of the Founder Shares, execute and deliver to the Company a stock purchase agreement, a stock power endorsed in blank, and all such other documents as may be reasonably required to evidence such issuance and the restrictions applicable thereto.

    4. Each Founder shall timely file an election under Section 83(b) of the United States Internal Revenue Code of 1986, as amended, with respect to the Founder Shares issued to such Founder, within thirty (30) days of the issuance thereof, and shall promptly provide the Company with a copy of such filed election.

    5. The Founder Shares shall be subject to the vesting schedule, repurchase rights, transfer restrictions, and other terms and conditions set forth in this Agreement, each of which shall be reflected in the stock purchase agreement executed by each Founder and in the stock ledger of the Company.

    6. The Founders acknowledge and agree that the Company shall adopt an equity incentive plan (the "Equity Plan") in due course for the issuance of equity awards to employees, officers, directors, consultants, and advisors of the Company, with an initial pool size and material terms to be unanimously determined by the Founders.

    7. Any future issuance of equity securities by the Company, including in connection with a financing round or strategic transaction, shall dilute the holdings of the Founders on a pro rata basis, unless otherwise unanimously agreed in writing by the Founders.

  6. Vesting Schedule and Cliff

    1. Notwithstanding the issuance of the Founder Shares, the Founder Shares shall vest in favor of each Founder over a period of four (4) years commencing on such Founder's service commencement date (the "Vesting Commencement Date"), which, unless otherwise unanimously agreed in writing, shall be the Effective Date or, if later, the date on which such Founder commenced providing services to the Business.

    2. No portion of a Founder's Founder Shares shall vest until the first anniversary of such Founder's Vesting Commencement Date (the "Cliff Date"), on which date twenty-five percent (25%) of such Founder's Founder Shares shall vest in a single lump sum.

    3. Thereafter, the remaining seventy-five percent (75%) of a Founder's Founder Shares shall vest in equal monthly installments over the thirty-six (36) months following the Cliff Date, such that one thirty-sixth (1/36th) of such remaining Founder Shares shall vest on the same day of each calendar month following the Cliff Date, with all Founder Shares becoming fully vested on the fourth (4th) anniversary of the Vesting Commencement Date.

    4. Any Founder Shares that have not vested as of the date of a Founder's departure from the Company (whether by resignation, termination, death, disability, or otherwise) shall be referred to herein as "Unvested Shares," and shall be subject to the repurchase rights set forth in Section 13 hereof.

    5. In the event of a Change of Control of the Company (as such term is defined in the Equity Plan or, if not so defined, as unanimously determined by the Founders in writing), fifty percent (50%) of each Founder's then-Unvested Shares shall automatically accelerate and become vested immediately prior to the consummation of such Change of Control, and the remaining fifty percent (50%) of such Unvested Shares shall accelerate and become fully vested in the event that, within twelve (12) months following such Change of Control, such Founder's service is terminated without Cause or such Founder resigns for Good Reason (so-called "double-trigger" acceleration).

    6. Except as expressly provided herein, no vesting shall occur in respect of any period during which a Founder is not actively providing services to the Company, and the Founders may unanimously agree in writing to toll vesting during any approved leave of absence exceeding [NUMBER] consecutive days.

    7. The vesting provisions set forth in this Section shall be reflected in each Founder's stock purchase agreement with the Company and shall be binding upon the Founders, the Company, and their respective successors, assigns, heirs, and legal representatives.

  7. Time Commitment and Exclusivity

    1. Each Founder covenants and agrees to devote his or her full business time, attention, skill, and best efforts to the business, affairs, and advancement of the Company, on a substantially exclusive basis, for so long as such Founder remains engaged by the Company in any capacity.

    2. No Founder shall, during the period of his or her engagement with the Company, directly or indirectly engage in any other business, occupation, employment, consultancy, advisory role, or venture, whether or not for compensation, without the prior written consent of the other Founder, which consent shall not be unreasonably withheld in respect of de minimis or passive activities that do not interfere with such Founder's duties and do not create a conflict of interest.

    3. Notwithstanding the foregoing, each Founder may (a) manage his or her personal and family financial and legal affairs; (b) hold passive investments in publicly traded companies, provided that such holdings do not exceed [PERCENTAGE, e.g., two percent (2%)] of the outstanding equity of any such company; and (c) engage in reasonable charitable, civic, religious, academic, or community activities, in each case provided that such activities do not interfere with the performance of such Founder's duties to the Company or compete with the Business.

    4. Each Founder shall promptly disclose to the other Founder any outside activity, investment, directorship, or affiliation that could reasonably give rise to a conflict of interest or that could reasonably be expected to affect the time or attention devoted to the Company.

    5. In the event that a Founder desires to reduce his or her time commitment to the Company below full-time, such reduction shall be subject to the prior written approval of the other Founder, which approval may be conditioned upon a proportionate adjustment to such Founder's vesting, compensation, or responsibilities, as unanimously agreed by the Founders.

    6. Each Founder acknowledges that the time and exclusivity obligations set forth in this Section are material inducements to the other Founder entering into this Agreement, and that a breach of such obligations may cause irreparable harm to the Company and the non-breaching Founder.

  8. Assignment of Intellectual Property

    1. Each Founder hereby irrevocably assigns, transfers, and conveys to the Company, and shall cause to be assigned, transferred, and conveyed to the Company upon its incorporation, all of such Founder's right, title, and interest in and to any and all Intellectual Property that was conceived, developed, created, reduced to practice, acquired, or otherwise obtained by such Founder, in whole or in part, (a) in connection with the Business or in anticipation of the formation of the Company, prior to the Effective Date, or (b) at any time during such Founder's engagement with the Company that relates to the Business or is created using the resources of the Company (collectively, the "Assigned IP").

    2. Each Founder shall promptly and fully disclose to the Company all Assigned IP, and shall maintain adequate written records thereof, which records shall be and remain the sole and exclusive property of the Company.

    3. To the extent that any Assigned IP cannot be assigned by operation of law, each Founder hereby grants to the Company an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, sublicensable, transferable, exclusive license to use, reproduce, modify, create derivative works of, distribute, publicly perform and display, and otherwise exploit such Assigned IP in any manner and for any purpose.

    4. Each Founder hereby irrevocably waives, to the maximum extent permitted by applicable law, any and all moral rights, rights of attribution, rights of integrity, and other similar rights in and to the Assigned IP, in favor of the Company and its successors, assigns, licensees, and designees.

    5. Each Founder shall, at the Company's request and expense (but without additional compensation beyond that otherwise payable hereunder), execute and deliver all such further instruments and documents, and perform all such further acts, as may be necessary or desirable to perfect, record, enforce, or defend the Company's rights in and to the Assigned IP, including the preparation and prosecution of patent, copyright, and trademark applications.

    6. Each Founder irrevocably appoints the Company and its duly authorized officers and agents as such Founder's attorney-in-fact, coupled with an interest, with full power of substitution, to act for and in such Founder's name and stead to execute, verify, and file any documents and to take any lawful actions reasonably necessary to carry out the assignment and licensing provisions of this Section, if such Founder fails or refuses to do so within a reasonable period following written request.

    7. Each Founder represents and warrants that (a) all Assigned IP contributed by such Founder is or shall be free and clear of any liens, claims, encumbrances, or third-party rights; (b) such Founder has the full right and authority to make the assignment set forth in this Section; and (c) the Assigned IP does not and shall not infringe, misappropriate, or violate the Intellectual Property or other rights of any third party.

    8. Each Founder shall promptly disclose to the Company, prior to the Effective Date, a true and complete list of all pre-existing Intellectual Property owned by such Founder that is not being assigned to the Company hereunder, and shall grant to the Company a non-exclusive, worldwide, royalty-free, sublicensable license to use, modify, and incorporate any such pre-existing Intellectual Property as may be incorporated into any product, service, or deliverable of the Company.

  9. Confidentiality Obligations

    1. Each Founder acknowledges that, in connection with the formation and operation of the Business, such Founder has received and will receive confidential, proprietary, and trade secret information of the Company and of the other Founder, including without limitation business plans, financial information, customer and supplier information, technology, product designs, source code, know-how, strategies, forecasts, pricing, personnel information, and any other information that is designated as confidential or that would reasonably be understood to be confidential given its nature or the circumstances of its disclosure (collectively, "Confidential Information").

    2. Each Founder shall, during the term of this Agreement and at all times thereafter, (a) hold all Confidential Information in strict confidence; (b) not use any Confidential Information for any purpose other than the performance of such Founder's duties to the Company and the advancement of the Business; and (c) not disclose any Confidential Information to any third party, except with the prior written consent of the Company or as expressly permitted hereunder.

    3. The obligations set forth in this Section shall not apply to information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was lawfully in a Founder's possession prior to disclosure, free of any confidentiality obligation; (c) is lawfully obtained from a third party not under a duty of confidentiality; or (d) is independently developed without reference to or use of any Confidential Information.

    4. A Founder may disclose Confidential Information to the extent required by applicable law, regulation, or valid order of a court or governmental authority, provided that such Founder shall, to the extent legally permissible, give the Company prompt prior written notice of such requirement and cooperate with the Company's efforts to obtain a protective order or other appropriate remedy.

    5. Upon the termination of a Founder's engagement with the Company for any reason, or upon the earlier request of the Company, each Founder shall promptly return to the Company, or at the Company's option destroy, all Confidential Information in such Founder's possession or control, together with all copies, extracts, and derivatives thereof, and shall certify such return or destruction in writing.

    6. The obligations set forth in this Section shall survive the termination of this Agreement indefinitely with respect to trade secrets, and for a period of [NUMBER, e.g., five (5)] years with respect to all other Confidential Information.

  10. Non-Competition and Non-Solicitation

    1. Each Founder covenants and agrees that, during the term of such Founder's engagement with the Company and for a period of [NUMBER, e.g., twelve (12)] months following the cessation thereof (the "Restricted Period"), such Founder shall not, directly or indirectly, whether as owner, partner, shareholder, director, officer, employee, consultant, agent, or otherwise, engage in, participate in, finance, operate, or assist any business or venture that is competitive with the Business of the Company anywhere within [GEOGRAPHIC SCOPE, e.g., the United States and any other territory in which the Company is actively conducting business or has demonstrable plans to do so].

    2. The foregoing restriction shall not prohibit a Founder from holding passive investments of less than [PERCENTAGE, e.g., two percent (2%)] of the equity of any publicly traded company, provided such Founder does not actively participate in the management or operations thereof.

    3. Each Founder further covenants that, during the Restricted Period, such Founder shall not, directly or indirectly, (a) solicit, induce, encourage, or hire any employee, consultant, contractor, or advisor of the Company to terminate his, her, or its relationship with the Company; or (b) solicit, induce, or divert the business of any customer, client, supplier, vendor, licensee, or other business relation of the Company away from the Company.

    4. The Founders acknowledge and agree that the restrictions set forth in this Section are reasonable in scope, duration, and geography, are necessary for the protection of the legitimate business interests of the Company and the non-breaching Founder, and are an integral part of the consideration bargained for in connection with this Agreement.

    5. If any provision of this Section is held by a court of competent jurisdiction to be unenforceable by reason of its scope, duration, or geographic area, the court is hereby authorized to reduce the scope, duration, or geographic area of such provision to the maximum extent enforceable under applicable law and to enforce such provision as so modified.

    6. The Founders further acknowledge that any breach or threatened breach of this Section would cause irreparable harm to the Company and the non-breaching Founder, for which monetary damages would be an inadequate remedy, and that, accordingly, the Company and the non-breaching Founder shall be entitled to seek injunctive and other equitable relief to enforce the provisions hereof, without the necessity of posting a bond or proving actual damages.

  11. Decision-Making and Reserved Matters

    1. Except for the Reserved Matters set forth below, all decisions concerning the day-to-day operations and management of the Company shall be made by the Chief Executive Officer or such other officers of the Company as the Board may designate, within the scope of authority delegated by the Board.

    2. All other matters requiring the determination of the Founders or the Board shall be decided by majority vote of the Founders (acting in their capacities as directors or stockholders, as applicable), with each Founder entitled to one (1) vote on each such matter, provided that in the event of a tie or deadlock, the Founders shall engage in good-faith discussions for a period of not less than [NUMBER] days to resolve the matter before invoking the deadlock resolution procedure set forth in Section 17 hereof.

    3. Notwithstanding the foregoing, each of the following matters (the "Reserved Matters") shall require the unanimous written approval of both Founders (whether acting as directors, stockholders, or otherwise), and no such action shall be taken by the Company without such approval:

    4. (a) any amendment to the certificate of incorporation, bylaws, or other organizational documents of the Company; (b) any issuance, redemption, or repurchase of equity securities of the Company (other than pursuant to the Equity Plan or in accordance with the express terms of this Agreement); (c) any sale, merger, consolidation, reorganization, dissolution, liquidation, or winding up of the Company, or any sale of all or substantially all of its assets; (d) the approval of any annual business plan or budget of the Company, and any material deviation therefrom; (e) the incurrence of any indebtedness, guarantee, or encumbrance in excess of $[THRESHOLD AMOUNT]; (f) the entry into any transaction with a Founder or any affiliate thereof (other than ordinary-course compensation); (g) any material change in the nature or scope of the Business; (h) the hiring or termination of any executive officer of the Company, and the determination of such officer's compensation; (i) the commencement or settlement of any material litigation; (j) the declaration or payment of any dividend or distribution; and (k) the adoption or amendment of any equity incentive plan or any grant of equity thereunder.

    5. Meetings of the Founders (whether acting as directors or stockholders) may be held in person, telephonically, or by any means of electronic communication by which all participants can simultaneously hear or communicate with one another, and resolutions in writing signed by all Founders shall be as valid and effective as if duly adopted at a properly convened meeting.

    6. The Founders shall cause the Company to maintain complete and accurate minutes of all meetings of the Board and stockholders, and complete and accurate books and records of its business and affairs, which shall be available for inspection by each Founder at any reasonable time and upon reasonable notice.

    7. In the event of any disagreement between the Founders regarding whether a particular matter constitutes a Reserved Matter, such disagreement shall be resolved in favor of treating the matter as a Reserved Matter requiring unanimous consent.

  12. Departure of a Founder

    1. A Founder shall be deemed to have departed from the Company (such Founder, a "Departing Founder" and such event, a "Departure Event") upon the occurrence of any of the following: (a) voluntary resignation by such Founder from all positions with the Company; (b) termination by the Company of such Founder's engagement, with or without Cause; (c) death of such Founder; (d) permanent disability of such Founder, meaning the inability to perform the essential functions of such Founder's role for a continuous period of [NUMBER, e.g., one hundred twenty (120)] days or an aggregate of [NUMBER, e.g., one hundred eighty (180)] days in any twelve (12) month period; or (e) material breach by such Founder of this Agreement that remains uncured following written notice as provided herein.

    2. Upon a Departure Event, the Departing Founder shall promptly: (a) tender his or her resignation from all positions as officer, director, employee, and consultant of the Company and its subsidiaries; (b) return to the Company all Confidential Information, property, equipment, and records in his or her possession; (c) cooperate in the transition of his or her duties and responsibilities to such other person or persons as the Company may designate; and (d) execute all documents reasonably required to effectuate the foregoing.

    3. Any Founder may voluntarily resign from the Company upon not less than [NUMBER, e.g., sixty (60)] days' prior written notice to the other Founder, during which notice period such Founder shall continue to perform his or her duties in good faith unless otherwise agreed by the Founders.

    4. Termination of a Founder for Cause shall be effective only upon a determination by the non-terminating Founder, acting reasonably and in good faith, that Cause exists, following written notice to the Founder in question specifying the alleged grounds for Cause and, if the grounds are curable, a reasonable opportunity (not less than thirty (30) days) to cure.

    5. A Departing Founder shall remain bound by the obligations set forth in Sections 8 (Assignment of Intellectual Property), 9 (Confidentiality Obligations), and 10 (Non-Competition and Non-Solicitation) notwithstanding such Departure Event, in accordance with the respective terms thereof.

    6. The characterization of a Departure Event (as being for Cause, without Cause, for Good Reason, or otherwise) shall determine the application of the vesting and repurchase provisions set forth in Sections 6 and 13 hereof.

    7. Upon any Departure Event, the departing Founder's title and designation shall be removed from all Company communications, websites, and public materials, and the remaining Founder shall assume or reallocate the departing Founder's responsibilities as he or she deems appropriate.

  13. Repurchase of Unvested and Vested Equity

    1. Upon the occurrence of a Departure Event with respect to any Founder, the Company shall have the right, but not the obligation, exercisable at any time within one hundred eighty (180) days following such Departure Event (the "Repurchase Period"), to repurchase all or any portion of the Shares then held by such Departing Founder (or his or her successors, assigns, heirs, or legal representatives), in accordance with the terms set forth below.

    2. With respect to any Unvested Shares held by the Departing Founder as of the Departure Event, the Company shall have the right to repurchase such Unvested Shares at a price per share equal to the lesser of (a) the original purchase price per share paid by the Departing Founder for such Unvested Shares, or (b) the then-current fair market value per share, as determined in good faith by the Board (excluding the Departing Founder).

    3. With respect to any vested Shares held by the Departing Founder as of the Departure Event, the Company's repurchase right, and the applicable repurchase price, shall depend upon the nature of the Departure Event, as follows:

    4. (a) If the Departing Founder is terminated for Cause, or voluntarily resigns without Good Reason, the Company shall have the right to repurchase such vested Shares at a price per share equal to the lesser of (i) the original purchase price per share, or (ii) the then-current fair market value per share, as determined in good faith by the Board (excluding the Departing Founder);

    5. (b) If the Departing Founder is terminated without Cause, resigns for Good Reason, or departs by reason of death or permanent disability, the Company shall have the right to repurchase such vested Shares at a price per share equal to the then-current fair market value per share, as determined in good faith by the Board (excluding the Departing Founder, or, in the case of fair market value, as mutually agreed between the Company and the Departing Founder, or, failing agreement, by an independent appraiser selected jointly by the parties).

    6. The Company shall exercise its repurchase rights, if at all, by delivering written notice to the Departing Founder (or his or her representative) specifying the number of Shares to be repurchased and the applicable price. Closing of the repurchase shall occur within thirty (30) days following the delivery of such notice, with payment of the repurchase price in cash or, at the Company's election, by promissory note bearing interest at the applicable federal rate and payable in equal monthly installments over a period not exceeding [NUMBER, e.g., three (3)] years.

    7. If the Company fails to exercise its repurchase right in full during the Repurchase Period, the remaining Founder shall have a secondary right to purchase, on the same terms and conditions, any Shares not repurchased by the Company, which secondary right shall be exercisable for a period of thirty (30) days following expiration of the Company's Repurchase Period.

    8. Any Shares not repurchased pursuant to this Section shall remain subject to all other terms of this Agreement, including the restrictions on transfer set forth in Section 14 hereof.

  14. Restrictions on Transfer of Shares

    1. No Founder shall, directly or indirectly, sell, assign, transfer, pledge, hypothecate, encumber, or otherwise dispose of any Shares (each such transaction, a "Transfer"), whether voluntarily or by operation of law, except in accordance with the terms of this Agreement.

    2. Any proposed Transfer by a Founder (other than a Permitted Transfer, as defined below) shall first be subject to a right of first refusal in favor of the Company and the other Founder, exercisable in accordance with the procedures set forth below.

    3. A Founder proposing to Transfer any Shares (the "Transferring Founder") shall deliver written notice (a "Transfer Notice") to the Company and the other Founder, specifying (a) the number of Shares proposed to be Transferred, (b) the identity of the proposed transferee, (c) the price and other material terms of the proposed Transfer, and (d) a representation that the proposed Transfer is a bona fide arm's-length transaction. The Company shall have thirty (30) days following receipt of the Transfer Notice to elect to purchase all or any portion of the offered Shares on the same terms and conditions, and the other Founder shall have an additional fifteen (15) days following the lapse or waiver of the Company's right to elect to purchase any Shares not purchased by the Company.

    4. If the Company and the other Founder do not collectively elect to purchase all of the offered Shares, the Transferring Founder may Transfer the remaining offered Shares to the proposed transferee named in the Transfer Notice, on terms no more favorable to the transferee than those specified in the Transfer Notice, within sixty (60) days following expiration of the aforementioned election periods, failing which the restrictions of this Section shall again apply.

    5. Notwithstanding the foregoing, a Founder may Transfer Shares, without triggering the right of first refusal, to (a) a trust established for the benefit of such Founder or his or her immediate family members, or (b) immediate family members of such Founder for bona fide estate planning purposes (each, a "Permitted Transfer"), provided that in each case the transferee shall, as a condition of such Transfer, execute a joinder or counterpart to this Agreement and agree to be bound by all terms hereof.

    6. Any purported Transfer in violation of this Section shall be null and void ab initio, shall not be recognized by the Company, and shall not transfer any right, title, or interest in the subject Shares to the purported transferee.

    7. The Founders further agree to be bound by, and to execute as reasonably requested, customary drag-along, tag-along, co-sale, right of first refusal, and other transfer restrictions as may be adopted by the Company in connection with any future equity financing, provided that such restrictions apply equally to both Founders.

    8. Share certificates (if any) representing the Shares shall bear a legend referencing the restrictions set forth in this Section and such other restrictions as may be required under applicable securities laws.

  15. Representations and Warranties of the Founders

    1. Each Founder hereby represents and warrants to the other Founder and, upon its incorporation, to the Company, as of the Effective Date, as follows.

    2. Such Founder has the full legal right, power, capacity, and authority to execute, deliver, and perform this Agreement, and to consummate the transactions contemplated hereby, and this Agreement constitutes the legal, valid, and binding obligation of such Founder, enforceable against such Founder in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium, and similar laws affecting creditors' rights generally.

    3. The execution, delivery, and performance of this Agreement by such Founder does not and shall not (a) violate any applicable law, rule, regulation, judgment, order, or decree binding upon such Founder; (b) conflict with or result in a breach of any contract, agreement, or instrument to which such Founder is a party or by which such Founder is bound, including without limitation any employment, consulting, confidentiality, non-competition, non-solicitation, or invention-assignment agreement with any prior or current employer; or (c) require the consent, approval, or authorization of any third party, except as have been duly obtained.

    4. Such Founder is not currently a party to, or subject to, any agreement, order, judgment, or decree that restricts or purports to restrict such Founder's ability to carry out his or her duties to the Company or to engage in the Business as contemplated hereby.

    5. Such Founder has not misappropriated or otherwise improperly used or disclosed any confidential information, trade secret, or intellectual property of any former or current employer or other third party in connection with the Business, and shall not do so during the term of such Founder's engagement with the Company.

    6. All information provided by such Founder to the other Founder in connection with the negotiation and execution of this Agreement, including with respect to such Founder's background, experience, qualifications, and prior affiliations, is true, complete, and accurate in all material respects.

    7. Such Founder is not subject to any pending or, to such Founder's knowledge, threatened civil, criminal, regulatory, or administrative proceeding, and has not been convicted of any felony or crime involving fraud, dishonesty, or moral turpitude.

    8. The representations and warranties set forth in this Section shall survive the execution of this Agreement and the incorporation of the Company indefinitely, and each Founder shall indemnify and hold harmless the other Founder and the Company from and against any losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of such Founder's representations and warranties.

  16. Term and Termination

    1. This Agreement shall become effective as of the Effective Date and shall continue in full force and effect until the earliest to occur of the following (the "Term"): (a) the mutual written agreement of the Founders to terminate this Agreement; (b) the dissolution, liquidation, or winding up of the Company; (c) the consummation of an initial public offering of the equity securities of the Company; or (d) the consummation of a Change of Control of the Company.

    2. This Agreement may be terminated with respect to a particular Founder upon the occurrence of a Departure Event with respect to such Founder, provided that such termination shall not affect the surviving obligations set forth below or the rights and remedies accrued prior to such termination.

    3. Upon termination of this Agreement for any reason, the following Sections shall survive and remain in full force and effect in accordance with their respective terms: Section 1 (Definitions and Interpretation), Section 8 (Assignment of Intellectual Property), Section 9 (Confidentiality Obligations), Section 10 (Non-Competition and Non-Solicitation), Section 13 (Repurchase of Unvested and Vested Equity), Section 15 (Representations and Warranties of the Founders), Section 17 (Governing Law and Dispute Resolution), and Section 18 (Miscellaneous Provisions), together with any other provision that by its nature or express terms is intended to survive termination.

    4. Termination of this Agreement shall not relieve any Founder of any liability or obligation accrued or incurred prior to such termination, nor shall it preclude the exercise of any right or remedy available at law or in equity in respect of any breach hereof occurring prior to such termination.

    5. Upon termination of this Agreement, the Founders shall take all such actions as may be reasonably necessary to effect an orderly transition, including the execution and delivery of any instruments required to give effect to the termination or to the surviving provisions hereof.

    6. The provisions of this Agreement shall, upon and following the Company's execution of a stockholders' agreement, voting agreement, right of first refusal and co-sale agreement, or similar agreement executed by substantially all stockholders of the Company in connection with a bona fide equity financing, be deemed superseded to the extent (and only to the extent) that the subject matter is addressed in such subsequent agreement; provided, however, that the vesting, repurchase, and intellectual property assignment provisions hereof shall continue to apply unless and until expressly amended or superseded by a written instrument executed by both Founders.

  17. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [GOVERNING STATE], United States of America, without regard to any conflict of laws principles that would require the application of the laws of any other jurisdiction.

    2. The Founders shall use good-faith efforts to resolve any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity hereof (each, a "Dispute"), through amicable negotiation. Any Founder may initiate such negotiations by delivering written notice of the Dispute to the other Founder, and the Founders shall meet (in person or by electronic means) within fifteen (15) days of such notice to attempt to resolve the Dispute.

    3. If the Dispute is not resolved by negotiation within thirty (30) days after the initial notice, the Founders shall submit the Dispute to non-binding mediation administered by a mutually agreed mediator in [CITY, STATE], and shall share equally the fees and costs of the mediator.

    4. If the Dispute is not resolved by mediation within sixty (60) days after the commencement thereof, the Dispute shall be finally resolved by binding arbitration administered by [ARBITRATION BODY, e.g., the American Arbitration Association] in accordance with its then-prevailing commercial arbitration rules, by a single arbitrator mutually selected by the Founders (or, failing such agreement, appointed in accordance with such rules). The seat of arbitration shall be [CITY, STATE], the language of the arbitration shall be English, and the award of the arbitrator shall be final and binding upon the Founders and may be entered and enforced in any court of competent jurisdiction.

    5. Notwithstanding the foregoing, any Founder or the Company may seek interim, provisional, or injunctive relief from any court of competent jurisdiction to preserve the status quo or to prevent irreparable harm, including without limitation to enforce the provisions of Sections 8, 9, 10, and 14 of this Agreement, without being required first to exhaust the negotiation, mediation, or arbitration procedures set forth above.

    6. In any Dispute arising out of or relating to this Agreement, the substantially prevailing party shall be entitled to recover its reasonable attorneys' fees, costs, and expenses from the non-prevailing party, in addition to such other relief as may be awarded.

    7. Each Founder hereby irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY], [STATE], for the limited purpose of obtaining the equitable relief described above and for the enforcement of any arbitration award.

  18. Miscellaneous Provisions

    1. This Agreement, together with the organizational documents of the Company and any ancillary agreements expressly referenced herein, constitutes the entire agreement among the Founders with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, representations, and warranties, whether oral or written, with respect to such subject matter.

    2. No amendment, modification, waiver, or supplement of or to this Agreement shall be effective unless set forth in a written instrument duly executed by both Founders. No waiver of any provision hereof shall be deemed a waiver of any other provision, nor shall any waiver constitute a continuing waiver, unless expressly so stated in writing.

    3. Neither Founder may assign, delegate, or otherwise transfer this Agreement or any rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Founder; provided that this Agreement shall be binding upon and inure to the benefit of the Founders and their respective heirs, executors, administrators, legal representatives, successors, and permitted assigns.

    4. All notices, requests, consents, and other communications hereunder shall be in writing and shall be deemed duly given (a) upon personal delivery, (b) one (1) business day following transmission by nationally recognized overnight courier, (c) three (3) business days following deposit in the United States mail, postage prepaid and sent by certified or registered mail with return receipt requested, or (d) upon confirmed transmission by electronic mail, in each case addressed to the Founders at the addresses first set forth above (or at such other address as a Founder may designate by notice given in accordance with this Section).

    5. If any provision of this Agreement is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, or, if such modification is not possible, severed from this Agreement, and the remaining provisions hereof shall remain in full force and effect.

    6. Nothing contained in this Agreement shall be deemed to create any partnership, joint venture, agency, or fiduciary relationship between the Founders, except as expressly set forth herein or as arises by operation of law in connection with each Founder's duties as a director, officer, or stockholder of the Company.

    7. This Agreement is intended solely for the benefit of the Founders and, upon its incorporation, the Company, and nothing herein shall be construed to confer any rights or remedies upon any other person or entity, whether as a third-party beneficiary or otherwise.

    8. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by facsimile, electronic mail (including PDF), or other electronic transmission (including by electronic signature platform) shall be deemed as effective as delivery of a manually executed original counterpart.

    9. Each Founder acknowledges that such Founder has had the opportunity to consult with independent legal, tax, and financial counsel of such Founder's choosing in connection with this Agreement, and has either done so or voluntarily and knowingly waived such opportunity. This Agreement shall be construed as having been drafted jointly by the Founders, and no rule of construction against the drafter shall apply in the interpretation hereof.

IN WITNESS WHEREOF, the Founders have executed this Founders Agreement as of the Effective Date first above written.
