NON-COMPETE AGREEMENT

This Non-Compete Agreement (hereinafter referred to as the "Agreement") is made and entered into on this [Day] day of [Month], [Year] (the "Effective Date"), by and between [Employer Legal Name], a company duly incorporated and existing under the laws of [Country], having its registered office at [Registered Address] (hereinafter referred to as the "Employer"), and [Employee Full Name], an individual residing at [Residential Address], holding identification number [ID Number] (hereinafter referred to as the "Employee"). The Employer and the Employee shall hereinafter be referred to individually as a "Party" and collectively as the "Parties".

WHEREAS, the Employer carries on the business of [Description of Business] and has invested substantial resources in developing proprietary knowledge, goodwill, client relationships, trade secrets and confidential information constituting the lifeblood of its enterprise;

WHEREAS, the Employee has been engaged, or is about to be engaged, by the Employer pursuant to an employment arrangement dated [Date of Employment Contract], under which the Employee shall have access to, and shall acquire familiarity with, the Employer's confidential information, trade secrets, clientele, methodologies and strategic affairs;

WHEREAS, the Parties acknowledge that in the absence of appropriate protective covenants the Employer would suffer irreparable harm were the Employee to engage in competitive activity following cessation of the employment relationship;

WHEREAS, the Employee has freely and voluntarily agreed to accept the restrictions set forth herein in consideration of the benefits conferred upon the Employee by the Employer;

NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings hereinafter set forth, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the Parties hereby covenant and agree as follows.

  1. Definitions and Interpretation

    1. For the purposes of this Agreement, the term "Business" shall mean any and all commercial, professional, industrial, or ancillary activities carried on or planned to be carried on by the Employer during the term of the Employee's engagement, including without limitation the design, development, manufacture, marketing, sale, distribution, licensing or provision of products or services substantially similar to or competitive with those of the Employer.

    2. The term "Competitor" shall mean any natural or juridical person, firm, partnership, corporation, joint venture, unincorporated association or other entity which carries on, or intends to carry on, a business which competes directly or indirectly with the Business of the Employer, whether as principal, agent, shareholder, consultant, employee, contractor or otherwise.

    3. The term "Confidential Information" shall mean all non-public information in whatever form, whether written, oral, electronic or otherwise, relating to the Employer, its affiliates, clients, suppliers, finances, operations, methodologies, know-how, trade secrets, strategic plans, pricing structures, and client lists, acquired by the Employee in the course of or by reason of the employment relationship.

    4. The term "Clients" shall mean all natural or juridical persons who, during the twenty-four (24) months immediately preceding the Termination Date, were customers, clients or active prospects of the Employer with whom the Employee had material contact, dealings or in respect of whom the Employee possessed Confidential Information.

    5. The term "Restricted Period" shall mean the period of twelve (12) consecutive months commencing on the Termination Date, during which the restrictive covenants herein shall remain in full force and effect.

    6. The term "Termination Date" shall mean the date upon which the Employee's employment with the Employer ceases for any reason whatsoever, whether by resignation, dismissal, mutual agreement, retirement, redundancy or otherwise.

    7. Words importing the singular include the plural and vice versa; words importing any gender include every gender; references to persons include bodies corporate and unincorporated associations; and the headings herein are for convenience of reference only and shall not affect the construction or interpretation of this Agreement.

  2. Consideration

    1. In consideration of the Employee's undertakings and covenants set forth in this Agreement, the Employer shall pay to the Employee a lump sum payment in the amount of [Amount] [Currency] (the "Non-Compete Consideration"), payable within thirty (30) days following the Termination Date, subject to applicable withholdings and deductions required by law.

    2. The Non-Compete Consideration shall be payable only on condition that the Employee has, as of the date of payment, complied in all material respects with the restrictive covenants contained herein and has duly executed any confirmation or acknowledgment reasonably requested by the Employer in connection with the cessation of the employment relationship.

    3. The Employee hereby acknowledges and agrees that the Non-Compete Consideration constitutes good, valuable, sufficient and adequate consideration for the restrictive covenants undertaken by the Employee under this Agreement and that no further or additional consideration shall be due or payable by the Employer in respect thereof.

    4. In the event that the Employee materially breaches any of the restrictive covenants set forth herein, the Employer shall be entitled to withhold payment of any unpaid portion of the Non-Compete Consideration and, if any portion thereof has already been paid, to recover the same from the Employee as a liquidated debt, without prejudice to any other rights or remedies available to the Employer.

    5. The Employee hereby expressly waives any claim that the Non-Compete Consideration is inadequate or disproportionate to the burden of the restrictive covenants and agrees that the Employee has had full opportunity to consider the terms hereof and, where appropriate, to seek independent legal advice.

    6. The Non-Compete Consideration shall be in addition to, and not in substitution for, any statutory, contractual or customary entitlements accruing to the Employee upon termination of employment, save as may be expressly agreed otherwise in writing.

  3. Duration of Restrictions

    1. The restrictive covenants set forth in this Agreement shall come into effect on the Termination Date and shall remain in full force and effect throughout the Restricted Period, namely twelve (12) consecutive calendar months commencing on and from the Termination Date.

    2. The Restricted Period shall apply irrespective of the reason or manner of termination of the employment relationship, whether such termination be voluntary, involuntary, with or without cause, by resignation, dismissal, mutual consent, expiration, redundancy or otherwise.

    3. In the event that the Employee is found to have breached any of the restrictive covenants herein, the Restricted Period applicable to such breached covenant shall be extended by a period equal to the duration of the breach, so that the Employer shall enjoy the full benefit of the twelve (12) month period of compliance.

    4. The duration prescribed herein has been expressly negotiated and agreed between the Parties as being reasonable and no greater than is necessary to protect the legitimate business interests of the Employer, having regard to the nature of the Business and the position occupied by the Employee.

    5. Nothing in this section shall limit the operation of any obligation of confidentiality owed by the Employee to the Employer, which obligation shall subsist indefinitely in respect of trade secrets and for the period prescribed by applicable law in respect of other Confidential Information.

    6. Upon expiry of the Restricted Period, and subject to the Employee's continuing obligations of confidentiality, the Employee shall be free to engage in such lawful professional activity as the Employee may choose, without further restriction under this Agreement.

  4. Restrictive Covenants

    1. The Employee hereby covenants and undertakes that, during the Restricted Period, the Employee shall not, whether directly or indirectly, whether alone or jointly with others, whether on the Employee's own account or on behalf of or in conjunction with any other person, firm, company or entity, carry on, be engaged in, be employed by, be concerned with, be interested in, or provide services (whether paid or unpaid) to any Competitor.

    2. The Employee shall not, during the Restricted Period, hold any office, position or appointment, whether as director, officer, employee, consultant, agent, independent contractor, partner, shareholder (save as permitted below), licensor or otherwise, in or with any Competitor.

    3. The Employee shall not, during the Restricted Period, incorporate, establish, promote, finance, assist in setting up, or acquire any interest in any business or enterprise which is or is intended to be a Competitor.

    4. The prohibitions set forth in this section shall not preclude the Employee from holding, by way of bona fide personal investment, not more than one per cent (1%) of the issued share capital of any company whose shares are listed or dealt in on a recognized stock exchange, provided that the Employee takes no active part in the management or operation of such company.

    5. The Employee shall not, during the Restricted Period, use, disclose or exploit, for the benefit of any Competitor or any other third party, any Confidential Information, methodology, business model, strategy, pricing, know-how or goodwill of the Employer.

    6. The Employee further undertakes that the Employee shall not, during the Restricted Period, make any statement or representation, nor engage in any conduct, which may injure the business, goodwill, reputation or commercial interests of the Employer or any of its affiliates.

    7. The restrictions set forth in this section apply to any activity undertaken by the Employee in any capacity, including but not limited to as principal, partner, employee, consultant, advisor, agent, shareholder, financier, lender, licensor, licensee, franchisor, franchisee, trustee or otherwise.

  5. Non-Solicitation of Clients

    1. The Employee covenants and undertakes that, during the Restricted Period, the Employee shall not, whether directly or indirectly, solicit, canvass, approach, entice away or endeavor to solicit, canvass, approach or entice away from the Employer any Client, for the purpose of offering, supplying or procuring any goods or services competitive with the Business.

    2. The Employee shall not, during the Restricted Period, accept or deal with, nor cause or permit any other person to accept or deal with, any Client in connection with the provision of goods or services competitive with the Business of the Employer, whether or not such Client first approached the Employee.

    3. The Employee shall not, during the Restricted Period, interfere or seek to interfere with the continuance of supplies to the Employer (or the terms relating to such supplies) from any supplier who has supplied goods or services to the Employer during the twelve (12) months preceding the Termination Date.

    4. The restrictions contained in this section shall apply irrespective of whether the solicitation or dealing is initiated by the Employee, the Client, the supplier, or by any third party acting on behalf of any of them.

    5. The Employee acknowledges that the identities of Clients, their requirements, preferences, pricing arrangements and contact details constitute Confidential Information of the Employer and the goodwill associated therewith is a valuable asset of the Employer which the Employer is entitled to protect by means of the covenants herein.

    6. Any breach by the Employee of the covenants set forth in this section shall be deemed to cause irreparable damage to the Employer, which damage would be difficult to quantify but susceptible to the remedies set forth in this Agreement.

  6. Non-Solicitation of Staff

    1. The Employee covenants and undertakes that, during the Restricted Period, the Employee shall not, whether directly or indirectly, solicit, induce, encourage or endeavor to solicit, induce or encourage any director, officer, employee, consultant or independent contractor of the Employer (being a person with whom the Employee had material dealings during the twelve (12) months immediately preceding the Termination Date) to leave the service or engagement of the Employer.

    2. The Employee shall not, during the Restricted Period, employ, engage, hire, retain or offer employment or engagement to any such director, officer, employee, consultant or independent contractor of the Employer, whether on the Employee's own account or on behalf of or in conjunction with any other person or entity.

    3. The restrictions in this section shall apply irrespective of whether the person solicited would commit any breach of contract by reason of leaving the service or engagement of the Employer and irrespective of whether such person first approached the Employee.

    4. The Employee acknowledges that the Employer has invested substantial time, effort and resources in recruiting, training, developing and retaining its workforce, and that the stability and integrity of such workforce constitute a legitimate business interest worthy of protection.

    5. Nothing in this section shall preclude general advertising for personnel not specifically directed at the Employer's workforce, nor the hiring of any person who responds to such general advertisement without having been personally solicited by the Employee in contravention of this section.

    6. The Employee further undertakes not to disparage or make negative statements, orally or in writing, concerning the Employer's workforce, management or working conditions in any manner which could reasonably be expected to induce departures from the Employer's service.

  7. Geographic Scope

    1. The restrictive covenants set forth in this Agreement shall apply on a worldwide basis, the Parties expressly acknowledging and agreeing that the Business of the Employer is international in character, that the Employer serves and solicits Clients across multiple jurisdictions, and that the Confidential Information to which the Employee has had access is capable of being exploited in any country or territory.

    2. The Employee acknowledges and agrees that, having regard to the global nature of the Business, any restriction limited to a particular country, region or locality would be inadequate to protect the legitimate interests of the Employer.

    3. The geographic scope set forth herein shall apply to all forms of competitive activity, whether conducted in person, remotely, electronically, through the internet, through intermediaries or by any other means whatsoever.

    4. The Employee specifically acknowledges that the digital and remote means by which contemporary business is conducted render territorial limitations largely illusory, and that effective protection of the Employer's interests requires the worldwide scope stipulated herein.

    5. Without prejudice to the generality of the foregoing, the worldwide geographic scope shall apply in particular, but not exclusively, to all jurisdictions in which the Employer, as at the Termination Date, maintains an office, employs personnel, holds assets, services Clients, or has within the preceding twenty-four (24) months taken concrete steps toward establishing a commercial presence.

    6. In the event that the worldwide scope is held by a competent tribunal to be excessive in any particular jurisdiction, the geographic scope shall be reduced to the maximum extent permissible by the applicable law of that jurisdiction, without affecting the enforceability of the covenants in any other jurisdiction.

  8. Acknowledgments by the Employee

    1. The Employee hereby acknowledges and confirms that the Employee has carefully read and fully understands the terms of this Agreement and has had full and sufficient opportunity to seek independent legal advice prior to executing the same.

    2. The Employee acknowledges that the restrictive covenants contained herein are reasonable in scope, duration and geographic extent, and are no more than is necessary to protect the legitimate business interests of the Employer, including its Confidential Information, trade secrets, goodwill, client relationships and workforce stability.

    3. The Employee acknowledges that, by virtue of the Employee's position with the Employer, the Employee has or will have access to and acquire detailed knowledge of the Employer's Confidential Information, Clients, business methods and strategic plans, and that such knowledge if exploited in competition with the Employer would cause the Employer substantial and irreparable harm.

    4. The Employee acknowledges that the Non-Compete Consideration provided by the Employer under this Agreement constitutes fair, adequate and sufficient compensation for the restrictions imposed, and that the Employee has entered into this Agreement freely, voluntarily and without duress, coercion or undue influence of any kind.

    5. The Employee further acknowledges that the Employee possesses general skills, expertise and knowledge which will enable the Employee to earn a livelihood in non-competitive activities during the Restricted Period, and that the restrictions herein will not unreasonably impair the Employee's ability to pursue gainful occupation.

    6. The Employee acknowledges that the restrictive covenants set forth herein shall survive the termination of the employment relationship for any reason whatsoever and shall be enforceable against the Employee in accordance with their terms.

    7. The Employee acknowledges that the Employer is relying upon the covenants and acknowledgments contained herein in entering into or continuing the employment relationship and in providing the Non-Compete Consideration, and that but for such covenants and acknowledgments the Employer would not have done so.

  9. Remedies and Injunctive Relief

    1. The Employee acknowledges and agrees that any breach or threatened breach of the covenants contained in this Agreement would cause the Employer immediate, substantial and irreparable harm, for which monetary damages would not constitute an adequate remedy, and in respect of which the quantification of damages would be inherently difficult.

    2. Accordingly, the Employer shall be entitled, as its sole monetary-free remedy under this Agreement, to seek and obtain injunctive relief, including without limitation preliminary, interim, interlocutory and permanent injunctions, as well as orders of specific performance, from any court or tribunal of competent jurisdiction, to restrain any actual or threatened breach of this Agreement.

    3. The Employer shall be entitled to pursue such injunctive relief without the necessity of posting any bond, security or other undertaking as to damages, save to the extent that any such requirement is mandatory under the applicable law of the jurisdiction in which relief is sought.

    4. The right of the Employer to seek injunctive relief shall be cumulative with, and not in substitution for, any right to withhold or recover the Non-Compete Consideration pursuant to the terms of this Agreement.

    5. The Employee hereby waives any defense that an adequate remedy at law exists, and consents to the entry of injunctive relief against the Employee upon proof by the Employer of a breach or threatened breach of the covenants herein.

    6. In any proceeding brought by the Employer to enforce the covenants of this Agreement, the Employer shall be entitled to recover its reasonable attorneys' fees, costs and expenses incurred in connection therewith, provided that the Employer prevails in such proceedings.

    7. The failure of the Employer to seek enforcement of any provision of this Agreement on any one occasion shall not constitute a waiver of the Employer's right to seek enforcement of such provision or any other provision on any subsequent occasion.

  10. Reasonableness and Severability of Covenants

    1. The Parties expressly declare their intention that each of the restrictive covenants set forth in this Agreement shall be construed as a separate and independent covenant, severable from the other covenants, so that the invalidity or unenforceability of any one covenant shall not affect the validity or enforceability of any other covenant.

    2. The Parties have given careful consideration to the scope, duration and geographic extent of the restrictive covenants and consider them to be reasonable in all respects, having regard to the legitimate business interests of the Employer, the position and remuneration of the Employee, and the consideration provided hereunder.

    3. If any provision of this Agreement, or any part thereof, is held by a court or tribunal of competent jurisdiction to be invalid, void, unenforceable or unreasonable in any respect, the Parties agree that such provision shall be modified and reduced in scope, duration or geographic extent to the minimum extent necessary to render it valid and enforceable, and shall be given effect as so modified.

    4. In the event that any provision cannot be so modified without rendering it inconsistent with the intention of the Parties, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect without being impaired or invalidated in any manner.

    5. The Parties expressly authorize any court or tribunal having jurisdiction to "blue pencil" or otherwise modify the restrictive covenants herein in order to render them enforceable to the maximum extent permissible under applicable law.

    6. Each Party acknowledges that this Agreement has been negotiated at arm's length and that any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply to the interpretation of this Agreement.

  11. Confidentiality of Agreement

    1. The Employee shall keep the existence, contents and terms of this Agreement strictly confidential and shall not disclose the same to any third party, save as may be required by law, by order of a competent court or regulatory authority, or with the prior written consent of the Employer.

    2. Notwithstanding the foregoing, the Employee may disclose the terms of this Agreement to the Employee's professional legal and financial advisors, provided that such advisors are themselves bound by obligations of confidentiality equivalent to those set forth herein, and to the Employee's spouse or civil partner on the same basis.

    3. The Employee shall also be entitled to disclose the existence and scope of the restrictive covenants contained herein to any prospective employer or engager, to the extent necessary to enable such prospective employer or engager to assess compliance with the covenants, but shall not disclose any other terms of this Agreement without the prior written consent of the Employer.

    4. The Employer shall likewise treat the terms of this Agreement as confidential, save that the Employer may disclose the same to its directors, officers, employees, advisors, auditors, insurers and successors on a need-to-know basis, and as may be required by law or regulation.

    5. The obligations of confidentiality set forth in this section shall survive the termination or expiration of this Agreement and shall continue in effect indefinitely.

    6. Any breach of this section shall entitle the non-breaching Party to seek injunctive relief in accordance with the terms of this Agreement.

  12. Assignment and Successors

    1. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective heirs, executors, administrators, legal personal representatives, successors and permitted assigns.

    2. The Employer shall be entitled, without the consent of the Employee, to assign, transfer or novate this Agreement, in whole or in part, to any successor in title, parent, subsidiary, affiliate or purchaser of all or substantially all of the business or assets of the Employer, by way of merger, consolidation, reorganization, sale or otherwise.

    3. The Employee shall not be entitled to assign, transfer, delegate or otherwise dispose of any of the Employee's rights or obligations under this Agreement without the prior written consent of the Employer, which consent may be withheld in the Employer's sole and absolute discretion.

    4. Any purported assignment, transfer or delegation by the Employee in contravention of this section shall be void and of no effect.

    5. The restrictive covenants set forth herein shall operate for the benefit of the Employer and any successor, parent, subsidiary or affiliate thereof, each of which shall be entitled to enforce the covenants in its own name as if a party to this Agreement.

    6. Upon any assignment permitted by this section, references to the Employer shall be read as references to the assignee or successor, as the context may require.

  13. Entire Agreement

    1. This Agreement, together with the employment contract between the Parties dated [Date of Employment Contract], constitutes the entire agreement and understanding between the Parties with respect to the subject matter hereof, and supersedes and extinguishes all prior agreements, arrangements, understandings, representations and communications between the Parties, whether oral or written, relating to such subject matter.

    2. Each Party acknowledges that in entering into this Agreement it has not relied upon any statement, representation, warranty, assurance, promise or inducement (whether made negligently or innocently) other than those expressly set out in this Agreement.

    3. In the event of any conflict or inconsistency between the terms of this Agreement and the terms of the employment contract referred to above, the terms of this Agreement shall prevail in respect of matters relating to the restrictive covenants set forth herein.

    4. Nothing in this section shall exclude or limit any liability of either Party for fraud or fraudulent misrepresentation.

    5. Each Party acknowledges that it has had the opportunity to seek independent legal advice before entering into this Agreement and does so with full knowledge of the import and effect thereof.

  14. Amendments and Waiver

    1. No amendment, modification, variation or supplement to this Agreement shall be valid or effective unless made in writing and duly signed by, or on behalf of, both Parties.

    2. No waiver by either Party of any breach or default of the other Party under this Agreement shall be deemed a waiver of any subsequent or continuing breach or default of the same or any other provision.

    3. No failure or delay by either Party in exercising any right, power or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right, power or remedy.

    4. Any waiver granted by a Party must be in writing, signed by the waiving Party, and shall be effective only to the extent expressly stated therein.

    5. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.

  15. Notices

    1. Any notice, consent, demand, request or other communication required or permitted to be given under this Agreement shall be in writing and shall be delivered to the receiving Party at the address set forth in the preamble hereto, or to such other address as such Party may designate by notice given in accordance with this section.

    2. Notices may be delivered by hand, by internationally recognized courier service, by registered or certified mail with return receipt requested, or by electronic mail to such electronic address as the receiving Party has designated for such purpose: in respect of the Employer, [Employer Email], and in respect of the Employee, [Employee Email].

    3. Any notice shall be deemed effectively given: (i) upon personal delivery to the addressee; (ii) upon the second (2nd) business day following dispatch by courier; (iii) upon the fifth (5th) business day following dispatch by registered or certified mail; or (iv) upon confirmation of successful transmission in the case of electronic mail, provided no automated error or non-delivery message is received.

    4. Either Party may change its address or electronic mail address for the purposes of this section by giving the other Party not less than ten (10) days' prior written notice in accordance herewith.

    5. Notices shall be given in the English language, or accompanied by a certified translation thereof into English.

    6. The provisions of this section shall not apply to the service of process or any other documents in connection with any legal proceeding, which shall be effected in the manner prescribed by applicable law.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed and enforced in accordance with the laws of [Governing Law Jurisdiction], without regard to its conflict of laws principles.

    2. Subject to the right of the Employer to seek injunctive relief as provided herein, any dispute, controversy, difference or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach or termination, shall be referred to and finally resolved by arbitration administered by [Arbitration Institution] in accordance with its rules in force at the time of commencement of the arbitration.

    3. The seat of arbitration shall be [Seat of Arbitration], the arbitral tribunal shall consist of [Number] arbitrator(s), and the language of the arbitration shall be English.

    4. Notwithstanding the foregoing agreement to arbitrate, the Employer shall at all times be entitled to seek and obtain injunctive relief, interim measures, orders of specific performance and other equitable relief from any court or tribunal of competent jurisdiction in any jurisdiction worldwide, in order to protect its rights under this Agreement.

    5. The Employee hereby irrevocably submits to the jurisdiction of the courts of [Jurisdiction for Injunctive Relief] and of any other court having jurisdiction over the Employee or the Employee's assets, for the purposes of any application by the Employer for injunctive or equitable relief, and waives any objection to such jurisdiction on the grounds of inconvenient forum or otherwise.

    6. The prevailing Party in any dispute arising out of or in connection with this Agreement shall be entitled to recover from the non-prevailing Party its reasonable attorneys' fees, costs and expenses incurred in connection with such dispute.

    7. The arbitral award shall be final and binding upon the Parties, and judgment thereon may be entered in any court of competent jurisdiction.

IN WITNESS WHEREOF, the Parties hereto have executed this Non-Compete Agreement as of the Effective Date first above written.
