EMPLOYMENT AGREEMENT
This Employment Agreement (the "Agreement") is made and entered into on [Effective Date] (the "Effective Date"), by and between [Employer Legal Name], a company duly organized and existing under the laws of [Country], having its registered office at [Employer Address] (hereinafter referred to as the "Employer"), and [Employee Full Name], an individual residing at [Employee Address], holder of identification number [ID Number] (hereinafter referred to as the "Employee"). The Employer and the Employee are hereinafter individually referred to as a "Party" and collectively as the "Parties".
WHEREAS, the Employer is engaged in the business of [Description of Business] and desires to engage the services of the Employee on a full-time, indefinite basis, subject to the terms and conditions hereinafter set forth;
WHEREAS, the Employee possesses the requisite skills, qualifications, and experience to perform the duties associated with the position offered and is willing to enter into employment with the Employer upon the terms herein contained;
WHEREAS, the Parties desire to reduce their mutual understandings, rights, and obligations arising from such employment relationship into writing;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and undertakings herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties hereto, intending to be legally bound, do covenant and agree as follows.
Position and Duties
The Employer hereby engages the Employee in the position of [Job Title], and the Employee hereby accepts such engagement, upon the terms and conditions set forth in this Agreement, undertaking to devote his or her full working time, attention, skill, and best endeavors to the faithful performance of the duties incident to such position.
The Employee shall report directly to [Reporting Manager / Title] or to such other person as the Employer may designate from time to time, and shall perform such duties, functions, and responsibilities as are customarily associated with the position, together with such other duties as may reasonably be assigned by the Employer consistent with the Employee's position, qualifications, and experience.
The Employee shall at all times comply with all lawful and reasonable directions, policies, procedures, codes of conduct, and work rules of the Employer as may be in force from time to time, and shall use his or her best efforts to promote and protect the interests, reputation, and goodwill of the Employer.
The Employer reserves the right, acting reasonably, to vary the Employee's duties, responsibilities, title, and reporting lines from time to time to meet the changing needs of the business, provided that any such variation shall be commensurate with the Employee's status, skills, and experience and shall not result in any diminution of the Employee's remuneration or contractual benefits without the Employee's prior written consent.
During the term of employment, the Employee shall not, without the prior written consent of the Employer (such consent not to be unreasonably withheld), directly or indirectly engage in any other business, occupation, trade, or professional activity, whether or not for remuneration, which conflicts or interferes with the proper performance of his or her duties hereunder.
The Employee represents and warrants that in entering into this Agreement he or she is not in breach of any express or implied obligation to any third party, and that there exist no restrictive covenants, confidentiality undertakings, or other contractual impediments that would prevent or restrict the full performance of the duties hereunder.
The Employee acknowledges that he or she may be required, from time to time and in accordance with the reasonable requirements of the Employer, to undertake business travel within or outside [Country] in the proper discharge of his or her duties, the reasonable costs of which shall be reimbursed by the Employer in accordance with its prevailing expense policy.
Commencement and Probationary Period
The Employee's employment under this Agreement shall commence on [Start Date] (the "Commencement Date") and shall continue for an indefinite term thereafter, unless and until terminated in accordance with the provisions of this Agreement.
The first three (3) months of the Employee's employment, calculated from the Commencement Date, shall constitute a probationary period (the "Probationary Period"), during which the suitability of the Employee for continued employment with the Employer shall be assessed.
During the Probationary Period, either Party may terminate the employment relationship by giving the other Party not less than two (2) weeks' prior written notice, or payment in lieu of such notice at the Employer's sole election, without the requirement to state cause, and without liability other than for accrued but unpaid remuneration and benefits as of the effective date of termination.
The Employer may, at its sole discretion and by written notice to the Employee served prior to the expiration of the Probationary Period, extend the Probationary Period for a further period not exceeding three (3) months where the Employer considers that further assessment of the Employee's performance, conduct, or suitability is warranted.
Upon the successful completion of the Probationary Period, the Employee shall be deemed confirmed in his or her position, and the terms of this Agreement shall continue to apply in full force and effect, subject to the notice provisions applicable post-probation as set forth herein.
No prior service rendered by the Employee to any affiliated or associated entity, nor any prior engagement in a different capacity, shall count towards the Probationary Period unless expressly acknowledged in writing by the Employer.
Confirmation at the end of the Probationary Period shall not operate to waive the Employer's right to assess, review, or take disciplinary action in respect of the Employee's performance or conduct at any time thereafter in accordance with the Employer's prevailing policies and applicable law.
Employee Benefits
The Employee shall be entitled to participate in such employee benefit plans, schemes, and arrangements as the Employer may from time to time make generally available to employees of comparable seniority, subject to and in accordance with the terms, conditions, rules, and eligibility requirements of each such plan or arrangement as in force from time to time.
Without limiting the generality of the foregoing, the Employee shall be entitled, subject to applicable eligibility criteria, to coverage under the Employer's health insurance scheme, retirement or pension contribution arrangements, group life or disability coverage (where offered), and such other welfare benefits as may be designated by the Employer from time to time.
The Employer reserves the right, at its sole discretion and upon reasonable prior notice to the Employee, to amend, modify, supplement, suspend, or discontinue any employee benefit plan, scheme, or arrangement, in whole or in part, provided that any such change shall apply on a uniform and non-discriminatory basis to similarly situated employees and shall not materially diminish the aggregate value of the Employee's contractual entitlements without the Employee's prior written consent.
The Employee shall be entitled to reimbursement of all reasonable, necessary, and properly documented business expenses incurred in the proper discharge of his or her duties hereunder, in accordance with the Employer's expense reimbursement policy as amended from time to time, upon submission of appropriate receipts, invoices, or other evidence of expenditure.
The Employer shall provide, at its cost and expense, such equipment, tools, materials, and resources as are reasonably necessary for the proper performance of the Employee's duties, including, where applicable, a computer, mobile communication device, and access to the Employer's systems and premises.
The Employee shall be entitled to such additional discretionary benefits, allowances, or perquisites as may be specifically agreed in writing between the Parties or granted by the Employer from time to time, provided that no such discretionary grant shall create any legally binding entitlement to future grants of the same or similar nature.
All benefits conferred hereunder shall be subject to applicable withholdings, deductions, and reporting obligations required by law, and the Employee shall bear sole responsibility for any personal tax liability arising in respect of the receipt of such benefits, save to the extent otherwise required by applicable law.
Place of Work
The Employee's principal place of work shall be at the Employer's offices located at [Place of Work Address], or at such other location within reasonable commuting distance as the Employer may designate from time to time, upon reasonable prior notice to the Employee.
The Employee acknowledges and agrees that the nature of his or her duties may require occasional attendance at other offices, premises, client sites, or facilities of the Employer or its affiliates, whether within or outside [Country], and shall render such attendance as reasonably required by the Employer.
Where mutually agreed in writing by the Parties, the Employee may be permitted to perform all or part of his or her duties on a remote or hybrid basis, subject to and in accordance with the Employer's remote working policy as in force from time to time, including any requirements as to data security, equipment, insurance, and workspace standards.
In the event that the Employer requires the Employee to relocate his or her principal place of work to a location that is not within reasonable commuting distance of his or her current residence, such relocation shall be subject to the Employee's prior written consent, which shall not be unreasonably withheld, and the Employer shall bear the reasonable and documented costs of such relocation in accordance with its prevailing relocation policy.
The Employee shall, at all times whilst at any premises designated as a place of work, comply with all applicable health, safety, security, and workplace conduct policies and procedures of the Employer and of any third party controlling such premises.
The Employer shall take all reasonably practicable steps to ensure that the Employee's place of work is safe, suitable, and compliant with all applicable occupational health and safety requirements, and the Employee shall promptly report any hazard, risk, incident, or injury to the Employer.
Hours of Work
The Employee's standard working week shall consist of [Number] hours, exclusive of unpaid meal breaks, worked over such days as may be designated by the Employer, in accordance with a flexible working time arrangement as hereinafter described.
The Employer operates a flexible hours regime incorporating core hours, during which the Employee shall be present and available for work. The core hours shall be from [Core Start Time] to [Core End Time] on each regular working day, and the Employee may, subject to operational requirements and the reasonable directions of the Employer, schedule the balance of his or her working hours flexibly between [Flex Start Time] and [Flex End Time].
The Employee shall accurately record his or her working hours in such manner and by such means as the Employer may prescribe from time to time, and shall ensure that the aggregate hours worked meet the standard working week requirement.
The Employee acknowledges that the nature of his or her position may, from time to time, require the performance of duties outside of standard or core working hours, including on evenings, weekends, or public holidays, as reasonably necessary for the proper discharge of his or her responsibilities, and the remuneration provided under this Agreement is deemed to include compensation for all such reasonable additional time, save as otherwise required by applicable law.
The Employee shall be entitled to such rest breaks, daily and weekly rest periods, and maximum working time protections as are prescribed by applicable law, and shall not be required or permitted to work hours in excess of any statutory maximum without compliance with applicable legal requirements, including any required opt-out formalities.
Any variation to the Employee's regular working pattern or hours of work, whether temporary or permanent, shall be agreed in writing between the Parties or communicated by the Employer upon reasonable prior notice, subject to the preservation of the Employee's contractual entitlements.
Remuneration and Payment Schedule
In consideration of the full and proper performance by the Employee of his or her duties and obligations hereunder, the Employer shall pay to the Employee a gross base salary at the annual rate of [Currency] [Amount] (the "Base Salary"), payable in weekly installments in arrears.
The Base Salary shall be paid weekly, by electronic funds transfer to a bank account nominated by the Employee, on or before [Pay Day] of each week in respect of the week then ending, subject to all deductions and withholdings required by applicable law or authorized by the Employee in writing.
The Base Salary shall be reviewed by the Employer no less frequently than annually, provided that no review shall oblige the Employer to grant any increase, and any adjustment shall be made at the sole discretion of the Employer having regard to the Employee's performance, the financial performance of the Employer, and prevailing market conditions. The Employer shall not reduce the Base Salary without the Employee's prior written consent.
In addition to the Base Salary, the Employee may be eligible to participate in such bonus, incentive, or performance-based remuneration schemes as the Employer may establish from time to time, in accordance with the terms, conditions, and performance criteria of each such scheme, which may be amended by the Employer from time to time.
Any discretionary bonus awarded shall not form part of the Employee's contractual remuneration and shall not create any entitlement, expectation, or right to future awards of a similar nature. Entitlement to the payment of any bonus shall be conditional upon the Employee being actively employed and not under notice of termination (whether given or received) on the date of payment, save as otherwise required by applicable law.
The Employer shall deduct from the Employee's remuneration and remit to the appropriate authorities all income tax, social security contributions, and other statutory withholdings required by applicable law, and shall provide the Employee with such pay statements, slips, or records as are required by law.
The Employee hereby authorizes the Employer to deduct from any sums payable to the Employee any amounts owed by the Employee to the Employer, including, without limitation, overpayments of remuneration, advances, loans, or the value of unreturned Employer property, to the extent permitted by applicable law.
In the event of the termination of employment, the Employee shall be entitled to receive, within such period as may be prescribed by applicable law, all accrued but unpaid remuneration and benefits earned up to and including the effective date of termination.
Paid Time Off and Public Holidays
The Employee shall be entitled to [Number] working days of paid annual leave (the "Annual Leave") in each full calendar year of employment, accruing on a pro rata basis throughout the year, in addition to all public and statutory holidays recognized in [Country].
Annual Leave shall be taken at such times as are mutually convenient to the Parties and shall be subject to the prior written approval of the Employee's manager, which approval shall not be unreasonably withheld, having regard to the operational requirements of the Employer and the staffing needs of the Employee's team.
The Employee shall give such advance notice of a request for Annual Leave as the Employer may reasonably require, and the Employer reserves the right, upon reasonable prior notice, to require the Employee to take Annual Leave on specified dates, including during any shutdown period of the Employer's business.
Unused Annual Leave may be carried forward into the following calendar year only to the extent permitted by the Employer's leave policy in force from time to time, or as required by applicable law, failing which it shall lapse without compensation at the end of the calendar year in which it accrued.
Upon the termination of employment for any reason, the Employee shall be entitled to receive a payment in lieu of any accrued but untaken Annual Leave as of the effective date of termination, calculated on a pro rata basis by reference to the Base Salary. Conversely, where the Employee has taken Annual Leave in excess of the pro rata entitlement as of the date of termination, the Employer shall be entitled to deduct the value of such excess from any final payments due to the Employee.
The Employee shall be entitled to paid leave on each day officially recognized as a public holiday in [Country] falling within a day on which the Employee would otherwise be required to work, provided that where the Employee is required to work on such a public holiday, the Employee shall be granted compensatory time off or additional remuneration in accordance with the Employer's prevailing policy and applicable law.
The Employee may be entitled to such additional categories of leave (including, without limitation, parental leave, bereavement leave, jury duty leave, and compassionate leave) as are prescribed by applicable law or granted under the Employer's prevailing leave policies, subject to the eligibility criteria and procedures set out therein.
Intellectual Property Rights
For the purposes of this section, "Intellectual Property Rights" shall mean all intellectual and industrial property rights of whatsoever nature, whether registered or unregistered, including, without limitation, patents, utility models, inventions, copyrights (including rights in software and databases), trademarks, service marks, trade names, design rights, trade secrets, know-how, confidential information, moral rights, and all applications for and rights to apply for any of the foregoing, subsisting anywhere in the world.
The Employee hereby irrevocably and unconditionally assigns to the Employer, with full title guarantee and free from all encumbrances, all right, title, and interest, present and future, worldwide, in and to any and all Intellectual Property Rights created, conceived, developed, authored, invented, discovered, or reduced to practice by the Employee, whether alone or jointly with others, during the term of employment, that relate to or arise out of the Employee's duties, the business of the Employer, or that are created with the use of any of the Employer's resources, information, or facilities (collectively, the "Work Product").
The Employee acknowledges that all Work Product constituting original works of authorship shall, to the maximum extent permitted by applicable law, be deemed "works made for hire" or the equivalent, with the Employer being the sole and exclusive owner thereof from the moment of creation. To the extent that such characterization is not effective under applicable law, the foregoing assignment shall operate to vest full ownership in the Employer.
The Employee hereby irrevocably and unconditionally waives, to the fullest extent permitted by applicable law, all moral rights, droit moral, rights of paternity, integrity, attribution, and any analogous rights in and to the Work Product, in favour of the Employer and its successors, assigns, and licensees.
The Employee shall promptly, fully, and faithfully disclose to the Employer in writing all Work Product, and shall, at the Employer's cost and request, execute all such documents and do all such acts and things as may be necessary or desirable to vest, perfect, protect, register, enforce, or defend the Employer's rights in and to the Work Product throughout the world.
In the event that the Employee fails or refuses to execute any such document, the Employee hereby irrevocably appoints the Employer, with full power of substitution, as his or her attorney-in-fact to execute and deliver any such document in the Employee's name and on his or her behalf, such power being coupled with an interest.
The Employee shall not incorporate into any Work Product any pre-existing intellectual property owned by the Employee or by any third party without the prior written consent of the Employer, and in the event that any such incorporation occurs with such consent, the Employee hereby grants (or shall procure the grant) to the Employer a perpetual, irrevocable, royalty-free, worldwide, non-exclusive, sublicensable, and transferable license to use, modify, and exploit such pre-existing intellectual property as part of the Work Product.
Any Intellectual Property Rights created by the Employee outside the scope of his or her duties, without the use of any of the Employer's resources, information, or facilities, and which do not relate to the business of the Employer, shall remain the sole and exclusive property of the Employee.
Sick Leave and Other Absences
The Employee shall be entitled to paid sick leave in accordance with the Employer's prevailing sick leave policy and applicable law, provided that the Employee complies with the notification, certification, and other requirements set forth herein and in such policy.
In the event that the Employee is unable to attend work by reason of illness, injury, or incapacity, the Employee shall notify the Employer (or such person as the Employer may designate) as soon as reasonably practicable, and in any event no later than the commencement of the Employee's scheduled working day on the first day of absence, specifying the nature of the incapacity and the anticipated duration of the absence.
Where any absence by reason of illness or injury exceeds [Number] consecutive working days, or where otherwise reasonably required by the Employer, the Employee shall provide a medical certificate from a duly qualified medical practitioner, in such form and containing such information as the Employer may reasonably require, and shall continue to provide such certificates to cover the entirety of the absence.
The Employer reserves the right, at its own cost, to require the Employee to undergo a medical examination by a medical practitioner nominated by the Employer, and the Employee hereby consents to such examination and to the disclosure to the Employer of the results thereof to the extent relevant to his or her fitness to perform the duties hereunder.
Entitlement to paid sick leave shall be subject to compliance with the foregoing requirements, and the Employer reserves the right to withhold payment in respect of any period of absence in respect of which the Employee has failed to comply with such requirements.
The Employee shall be entitled to such other categories of statutory leave or absence (including, without limitation, parental, maternity, paternity, adoption, carer's, jury service, and public duties leave) as are prescribed by applicable law, upon compliance with the applicable statutory and procedural requirements.
Any absence from work other than in accordance with this Agreement or the Employer's prevailing policies shall be considered unauthorized and may result in the withholding of remuneration in respect of such absence and the initiation of disciplinary proceedings up to and including termination of employment.
Confidentiality and Non-Disclosure
For the purposes of this Agreement, "Confidential Information" shall mean any and all information, in whatsoever form or medium, relating to the business, affairs, operations, customers, clients, suppliers, employees, plans, finances, products, services, technology, intellectual property, know-how, trade secrets, methodologies, or prospects of the Employer, its affiliates, or any of their respective customers, clients, or business partners, which is disclosed to or obtained by the Employee in the course of or in connection with his or her employment, whether or not expressly designated as confidential.
The Employee covenants and agrees that, both during the term of employment and at all times thereafter without limitation of time, he or she shall hold all Confidential Information in strictest confidence, shall not disclose any Confidential Information to any third party, and shall not use any Confidential Information for any purpose other than the proper performance of his or her duties hereunder for the benefit of the Employer.
The obligations of confidentiality set forth herein shall not apply to information which: is or becomes publicly available other than through a breach of this Agreement by the Employee; was lawfully in the Employee's possession prior to disclosure by the Employer, free from any obligation of confidence; is lawfully received by the Employee from a third party entitled to disclose it without obligation of confidence; or is required to be disclosed by law, court order, or competent regulatory authority, provided that the Employee shall, to the extent lawfully permitted, give the Employer prompt prior written notice of such requirement to enable the Employer to seek a protective order or other appropriate remedy.
The Employee shall take all reasonable precautions to safeguard the Confidential Information in his or her possession or control, including compliance with all information security policies, protocols, and procedures of the Employer, and shall promptly notify the Employer upon becoming aware of any actual or suspected unauthorized access to, use of, or disclosure of Confidential Information.
The Employee shall not, without the prior written consent of the Employer, make or retain any copies, extracts, summaries, or other reproductions of any Confidential Information, except as strictly necessary for the proper performance of his or her duties.
Nothing in this Agreement shall prevent the Employee from making a protected disclosure (whistleblowing) as permitted by applicable law, nor from cooperating with any investigation lawfully conducted by any competent governmental or regulatory authority.
The Employee acknowledges that any breach of the confidentiality obligations set forth herein may cause the Employer irreparable harm for which monetary damages would be inadequate, and that the Employer shall be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity.
Employee Covenants and Obligations
The Employee covenants and agrees that at all times during the term of employment he or she shall act honestly, diligently, loyally, and in good faith towards the Employer, and shall use his or her best endeavors to promote, protect, and advance the business interests and reputation of the Employer.
The Employee shall at all times comply with all lawful policies, procedures, codes of conduct, ethical standards, and work rules of the Employer as in force and amended from time to time, and shall ensure that all his or her conduct, both inside and outside of work, is such as to maintain and uphold the standing of the Employer.
The Employee shall promptly disclose to the Employer in writing any actual, potential, or perceived conflict of interest between the Employee's personal, financial, or other interests and the interests of the Employer, and shall take such steps as the Employer may reasonably require to avoid, mitigate, or manage such conflict.
The Employee shall not, during the term of employment, directly or indirectly, accept from or offer to any third party any gift, favour, payment, benefit, or inducement that could reasonably be perceived as compromising the integrity or objectivity of his or her performance of duties hereunder, save as expressly permitted by the Employer's prevailing policies on gifts and hospitality.
The Employee shall comply with all applicable laws, regulations, and legal requirements in the performance of his or her duties, including, without limitation, those pertaining to anti-bribery, anti-corruption, anti-money laundering, sanctions, competition, data protection, and workplace health and safety.
The Employee shall promptly report to the Employer any conduct, event, or circumstance known to the Employee which constitutes, or may reasonably be suspected to constitute, a breach of any applicable law, regulation, Employer policy, or this Agreement, whether by the Employee, any other employee, officer, agent, or contractor of the Employer.
The Employee shall not, without the prior written consent of the Employer, make any public statement, publication, social media post, or press communication concerning the Employer, its business, or any of its personnel, which could reasonably be regarded as derogatory, detrimental, or otherwise harmful to the Employer's interests or reputation.
Termination of Employment
Following the successful completion of the Probationary Period, this Agreement and the Employee's employment hereunder may be terminated by either Party giving to the other not less than three (3) months' prior written notice of termination, without the requirement to state cause (save as required by applicable law).
The Employer may terminate the Employee's employment summarily, without notice or payment in lieu of notice, in the event of gross misconduct, serious breach of this Agreement, material dishonesty, criminal conviction materially affecting the Employee's ability to perform the duties hereunder, or any other conduct which, under applicable law, justifies summary dismissal.
The Employee's employment shall terminate automatically, without the need for notice by either Party, upon the Employee's death, or upon the Employee reaching the statutory retirement age (if any), or upon the Employee becoming permanently incapable, by reason of illness or injury, of performing the essential duties of the position with reasonable accommodation.
The Employer may, at its sole election, elect to make payment in lieu of all or any part of the applicable notice period, in which case such payment shall consist of the Employee's Base Salary that would otherwise have been payable during the unexpired portion of the notice period, less all applicable deductions and withholdings.
The termination of this Agreement, howsoever occasioned, shall be without prejudice to any rights or obligations of the Parties that have accrued prior to the effective date of termination, and shall not affect any provisions of this Agreement which are expressed to survive, or which by their nature are intended to survive, termination.
Upon the giving of notice of termination by either Party, the Employee shall cooperate fully with the Employer in effecting an orderly and effective transition of his or her duties, responsibilities, work-in-progress, and relationships to such other persons as the Employer may designate.
The Employer shall, following the effective date of termination, pay to the Employee all accrued but unpaid Base Salary, pay in lieu of accrued but untaken Annual Leave, and any other sums properly due to the Employee hereunder, subject to all lawful deductions.
Notice and Garden Leave
The notice periods set forth in this Agreement shall commence on the first day following the date on which the written notice of termination is actually received by the receiving Party, and shall be calculated inclusive of all days thereafter.
Written notice of termination shall be delivered personally, by registered or recorded delivery post, or by such other means as may be expressly agreed between the Parties in writing, to the Party's last known address or such other address as such Party may notify in writing for this purpose.
During any period of notice (whether given by the Employer or the Employee), the Employer shall be entitled, at its sole discretion, to require the Employee to take any or all of the following steps, in any combination: (i) to continue to perform his or her normal duties; (ii) to perform alternative duties commensurate with his or her status and skills; (iii) to remain away from the Employer's premises; or (iv) to refrain from contacting any clients, suppliers, employees, or other business contacts of the Employer (the Employee's placement on such restricted basis being hereinafter referred to as "Garden Leave").
During any period of Garden Leave, the Employee shall remain an employee of the Employer, shall continue to receive his or her Base Salary and contractual benefits in the ordinary course, and shall remain bound by all obligations under this Agreement, including, without limitation, duties of loyalty, confidentiality, and non-competition during the period of employment.
Whilst on Garden Leave, the Employee shall not, without the prior written consent of the Employer, undertake any work for, or provide any services to, any other person, firm, or company, and shall remain available at reasonable times to respond to any reasonable queries from the Employer concerning the Employee's duties or ongoing matters.
The Employer may, at any time during the notice period and in its sole discretion, waive all or any part of the remaining notice period and terminate the employment with immediate effect by making a payment in lieu of the balance of the notice period in accordance with this Agreement.
Any payment made in lieu of notice shall be subject to all applicable deductions and withholdings, and the Employee shall have no further claim against the Employer in respect of such notice period save as expressly provided herein or required by applicable law.
Return of Property
Upon the termination of employment for any reason whatsoever, or at any earlier time upon the request of the Employer, the Employee shall promptly return to the Employer all property of the Employer in his or her possession, custody, or control, in good condition (fair wear and tear excepted).
Such property shall include, without limitation, all computers, mobile devices, communication equipment, access cards, keys, credit cards, vehicles, documents, files, correspondence, notes, records, drawings, specifications, software, databases, data storage media, and all other materials belonging to the Employer or relating to its business, in whatever form or medium (including electronic form).
The Employee shall also deliver up all copies, extracts, summaries, and reproductions of any Confidential Information or other proprietary information of the Employer, and shall not retain any such materials in any form or medium whatsoever, whether on personal devices, cloud storage, email accounts, or otherwise.
The Employee shall, upon request, provide the Employer with a signed statement confirming full compliance with the obligations set forth in this section, and shall cooperate with the Employer in verifying such compliance, including, without limitation, by permitting the Employer or its nominated representatives to inspect any personal device or storage medium reasonably suspected of containing Employer property or Confidential Information.
The Employee shall promptly and permanently delete, in a manner such that recovery is not reasonably practicable, all electronic copies of Employer property and Confidential Information from any personal device, account, or storage medium under his or her control, and shall certify such deletion in writing to the Employer upon request.
The Employer shall be entitled to withhold any final payments due to the Employee until such time as the Employee has complied in full with the obligations set forth in this section, to the extent permitted by applicable law.
The Employee shall also, upon the Employer's request, transfer to the Employer, or to such nominee as the Employer may designate, any accounts, domain names, social media profiles, access credentials, or other digital assets created or maintained by the Employee in the course of his or her employment on behalf of or for the benefit of the Employer.
Data Protection
The Employee acknowledges that in the course of his or her employment, the Employer will collect, store, process, use, and transfer personal data relating to the Employee for purposes connected with the employment relationship, including, without limitation, the administration of remuneration, benefits, performance management, legal compliance, and business operations.
The Employer shall process the Employee's personal data in accordance with applicable data protection laws and regulations, and in accordance with its prevailing employee privacy notice, which shall be made available to the Employee and may be updated from time to time.
The Employee shall provide the Employer with such personal data as is reasonably necessary for the proper administration of the employment relationship, and shall promptly notify the Employer of any changes to such personal data (including, without limitation, changes of address, bank details, emergency contacts, or dependents).
The Employee consents, to the extent such consent is required under applicable law and is not otherwise provided for by another lawful basis, to the processing of his or her personal data by the Employer and its service providers for the purposes set forth herein, including the transfer of such data to affiliates and third parties within or outside [Country] where necessary and subject to appropriate safeguards.
In the performance of his or her duties, the Employee shall handle all personal data relating to any third party (including, without limitation, customers, clients, suppliers, and other employees) strictly in accordance with applicable data protection laws, the Employer's data protection policies, and any specific instructions issued by the Employer from time to time.
The Employee shall promptly notify the Employer upon becoming aware of any actual or suspected data breach, unauthorized access, loss, or disclosure of personal data, and shall cooperate fully with the Employer in investigating and remediating any such incident.
The Employee acknowledges that the Employer may, to the extent permitted by applicable law and in accordance with its prevailing policies, monitor the Employee's use of its systems, equipment, communications, and premises for legitimate business purposes, including the protection of its property, information, and personnel.
Governing Law and Dispute Resolution
This Agreement and any dispute, claim, or controversy arising out of or in connection with it (including any non-contractual disputes or claims) shall be governed by, and construed and interpreted in accordance with, the laws of [Country], without regard to its conflict of laws principles.
The Parties shall endeavor to resolve amicably, through good faith negotiation and discussion, any dispute, claim, or difference that may arise out of or in connection with this Agreement or the employment relationship, before resorting to any formal dispute resolution procedure.
Any dispute, claim, or difference which cannot be resolved through amicable negotiation within a reasonable period shall be submitted to the exclusive jurisdiction of the competent courts of [City/Jurisdiction], [Country], and the Parties hereby irrevocably submit to such jurisdiction, save that nothing herein shall preclude either Party from seeking urgent injunctive or interim relief from any court of competent jurisdiction.
Prior to the initiation of any formal legal proceedings, the Parties shall first follow and exhaust any applicable internal grievance, disciplinary, or dispute resolution procedure established by the Employer, as well as any mandatory statutory conciliation or mediation procedure prescribed by applicable law.
Nothing in this section shall operate to limit, exclude, or waive any right of the Employee under applicable mandatory law to bring a claim before a competent labor tribunal, employment court, or other adjudicatory body having mandatory jurisdiction over employment disputes in [Country].
Each Party shall bear its own costs and expenses incurred in connection with any dispute resolution procedure, save as otherwise provided by applicable law or ordered by a court of competent jurisdiction.
Miscellaneous Provisions
This Agreement, together with any documents expressly referred to herein, constitutes the entire agreement and understanding between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, representations, understandings, negotiations, and discussions, whether oral or written, between the Parties relating thereto.
No amendment, variation, modification, or supplement to this Agreement shall be effective unless made in writing and signed by or on behalf of both Parties.
No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.
If any provision of this Agreement is held by a court or other competent authority to be invalid, illegal, or unenforceable, in whole or in part, the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely reflects the original commercial intent.
The Employee may not assign, transfer, delegate, subcontract, or otherwise dispose of any of his or her rights or obligations under this Agreement, this Agreement being personal to the Employee. The Employer may assign or transfer its rights and obligations under this Agreement to any affiliate, successor in title, or purchaser of all or substantially all of its business or assets.
The headings and titles used in this Agreement are for convenience of reference only and shall not affect the construction or interpretation of this Agreement.
The provisions of this Agreement which by their nature are intended to survive the termination of this Agreement (including, without limitation, those relating to intellectual property, confidentiality, return of property, data protection, and governing law) shall continue in full force and effect notwithstanding such termination.
All notices and other communications under this Agreement shall be in writing and shall be delivered personally, sent by registered or recorded delivery post, or by such other means as the Parties may agree in writing, to the address of the recipient Party set forth in this Agreement or to such other address as such Party may notify in writing for this purpose.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which taken together shall constitute one and the same instrument. Signatures transmitted by electronic means or by scanned image shall be treated as original signatures for all purposes.
IN WITNESS WHEREOF, the Parties hereto have executed this Employment Agreement as of the Effective Date first above written.
