This Employee Confidentiality and Invention Assignment Agreement (this "Agreement") is made and entered into as of [Effective Date] (the "Effective Date"), by and between [Employer Legal Name], a [State of Incorporation] [entity type] having its principal place of business at [Employer Address] (the "Employer" or the "Company"), and [Employee Full Name], an individual residing at [Employee Address] (the "Employee"). The Employer and the Employee are hereinafter referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Employer is engaged in the business of designing, developing, marketing and commercializing [description of Employer's technology business], and in connection therewith has developed, acquired, licensed and compiled valuable proprietary and confidential information, trade secrets, know-how, and intellectual property;

WHEREAS, the Employer desires to employ the Employee, or to continue the Employee's employment, in the capacity of [Position/Title] on the terms and conditions set forth in a separate offer letter or employment agreement dated [Date] (the "Employment Agreement"), and in connection therewith will provide the Employee access to such confidential information and resources;

WHEREAS, the Employee acknowledges that the Employer's willingness to enter into such employment relationship, to grant such access, and to provide the compensation and benefits set forth in the Employment Agreement is expressly conditioned upon the Employee's execution and faithful performance of this Agreement; and

WHEREAS, the Parties desire by this Agreement to set forth the Employee's obligations with respect to the protection of confidential information, the ownership and assignment of inventions and work product, and related matters.

NOW, THEREFORE, in consideration of the Employee's employment or continued employment by the Employer, the compensation and benefits paid or to be paid to the Employee, the Employer's provision to the Employee of access to confidential information, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, agree as follows.

  1. Definitions and Interpretation

    1. For purposes of this Agreement, the term "Confidential Information" shall mean any and all non-public, proprietary, or confidential information, in any form or medium, that is disclosed to, learned by, developed by, or otherwise acquired by the Employee in connection with the Employee's employment with the Employer, including information concerning the Employer's business, affairs, products, services, customers, suppliers, employees, finances, operations, research, and strategic plans.

    2. The term "Inventions" shall mean any and all discoveries, developments, concepts, designs, ideas, know-how, improvements, inventions, trade secrets, techniques, methodologies, formulae, processes, algorithms, software, source code, object code, models, designs, mask works, databases, documentation, and other works of authorship, whether or not patentable, copyrightable, or otherwise protectable, and whether or not reduced to practice.

    3. The term "Prior Inventions" shall mean any Inventions that were conceived, created, developed, or reduced to practice by the Employee, alone or jointly with others, prior to the Employee's commencement of employment with the Employer and that belong solely to the Employee or jointly to the Employee with others.

    4. The term "Employment Period" shall mean the entire period during which the Employee is employed by the Employer, including any prior period of service and any period of extension, renewal, or change in position, title, or compensation.

    5. The term "Work Product" shall mean all Inventions, deliverables, materials, documents, reports, data, records, and other tangible and intangible outputs created, authored, developed, conceived, or reduced to practice by the Employee, alone or jointly with others, during the Employment Period and within the scope of the Employee's employment or using the Employer's resources.

    6. Headings used herein are for convenience of reference only and shall not affect the interpretation of this Agreement. References to the singular include the plural and vice versa, and references to any gender include all genders. The words "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation."

  2. Confidential Information

    1. The Employee acknowledges and agrees that Confidential Information includes, by way of example and without limitation: (i) technical information such as source and object code, algorithms, architectures, specifications, schematics, formulae, prototypes, test results, research data, know-how, and development plans; (ii) business information such as business plans, strategies, forecasts, budgets, pricing, costs, margins, marketing plans, sales data, customer and prospect lists, supplier lists, and vendor relationships; (iii) personnel information such as employee compensation, qualifications, and performance; (iv) financial information such as unpublished financial statements, projections, and investment data; and (v) any third-party information that the Employer is obligated to maintain in confidence.

    2. Confidential Information may be disclosed in oral, written, electronic, visual, or any other form, and whether or not expressly marked, labeled, or identified as "confidential" or "proprietary"; the absence of any such designation shall not disqualify information from being Confidential Information if a reasonable person would understand such information to be confidential in nature.

    3. The Employee acknowledges that the Confidential Information constitutes valuable, special, and unique assets of the Employer, developed or acquired at great expense, and that unauthorized use or disclosure would cause substantial and irreparable harm to the Employer.

    4. Confidential Information shall also include all notes, analyses, compilations, studies, interpretations, memoranda, and other documents or materials prepared by or on behalf of the Employee that contain, reflect, or are derived from Confidential Information, whether maintained in the Employer's systems or on the Employee's own devices to the extent authorized.

    5. Notwithstanding the foregoing, Confidential Information shall not include information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement or any other obligation of confidentiality by the Employee; (ii) was lawfully in the Employee's possession, without any obligation of confidentiality, prior to its disclosure by the Employer, as demonstrated by the Employee's contemporaneous written records; (iii) is lawfully received by the Employee from a third party having a bona fide right to disclose such information without restriction; or (iv) is independently developed by the Employee without use of or reference to any Confidential Information and outside the scope of the Employee's employment.

    6. Nothing in this Agreement shall prohibit or restrict the Employee from reporting possible violations of law or regulation to any governmental agency or entity, including making disclosures protected under applicable whistleblower provisions, or from participating in any such agency's investigation, and the Employee is not required to notify the Employer in advance of making any such report or disclosure.

    7. The Employee is further notified that, under applicable federal law, an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law, or (ii) in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.

  3. Non-Use and Non-Disclosure Obligations

    1. During the Employment Period and at all times thereafter, the Employee shall hold all Confidential Information in strict confidence and trust, shall take all reasonable precautions to prevent its unauthorized disclosure or use, and shall not, directly or indirectly, disclose, publish, communicate, or make available any Confidential Information to any person or entity other than those authorized representatives of the Employer who have a legitimate need to know such information in connection with the performance of their duties.

    2. The Employee shall not use any Confidential Information for any purpose other than the performance of the Employee's duties on behalf of the Employer in furtherance of the Employer's legitimate business interests, and shall not use any Confidential Information for the Employee's own benefit or for the benefit of any third party, whether or not in competition with the Employer.

    3. The Employee shall exercise at least the same degree of care in protecting the Confidential Information as the Employee uses to protect the Employee's own confidential and proprietary information of like importance, and in no event less than a reasonable degree of care.

    4. The Employee shall not copy, duplicate, reproduce, transmit, upload, download, store, or transfer any Confidential Information except as reasonably necessary for the performance of the Employee's duties, and shall maintain all such copies on systems and devices approved by the Employer and in accordance with the Employer's security policies and procedures.

    5. In the event that the Employee becomes legally compelled, by subpoena, court order, or other legal process, to disclose any Confidential Information, the Employee shall, to the extent legally permitted, promptly notify the Employer in writing so that the Employer may seek a protective order or other appropriate remedy, and shall cooperate reasonably with the Employer in connection therewith, and shall disclose only that portion of the Confidential Information that the Employee is legally required to disclose.

    6. The Employee shall promptly notify the Employer upon becoming aware of any actual or suspected unauthorized use, disclosure, loss, theft, or misappropriation of any Confidential Information, and shall reasonably assist the Employer in investigating and remedying the same.

    7. The obligations set forth in this section are in addition to, and not in limitation of, any other obligations of confidentiality or non-disclosure to which the Employee may be subject under law, contract, or the Employer's written policies.

  4. Ownership and Assignment of Inventions

    1. The Employee hereby agrees to promptly and fully disclose in writing to the Employer all Inventions and Work Product conceived, created, authored, developed, or first reduced to practice by the Employee, whether solely or jointly with others, during the Employment Period, regardless of whether such Inventions or Work Product are patentable, copyrightable, or otherwise protectable.

    2. The Employee hereby irrevocably assigns, and agrees to assign, to the Employer (or its designee) the Employee's entire right, title, and interest in and to all Inventions and Work Product that: (i) relate at the time of conception or reduction to practice to the Employer's business, products, services, or actual or demonstrably anticipated research or development; (ii) result from, or are suggested by, any work performed by the Employee for the Employer; or (iii) are developed in whole or in part using any of the Employer's time, equipment, supplies, facilities, Confidential Information, or other resources.

    3. Such assignment includes, without limitation, all associated intellectual property rights, including patent rights, copyright rights, trademark rights, trade secret rights, mask work rights, database rights, and all other proprietary rights recognized in any jurisdiction worldwide, together with all applications, registrations, renewals, and extensions thereof, and all rights to sue for past, present, and future infringement or misappropriation.

    4. To the extent any Work Product constitutes a "work made for hire" within the meaning of applicable copyright law, such Work Product shall be deemed a work made for hire and the Employer shall be deemed the author and sole owner thereof. To the extent any such Work Product does not qualify as a work made for hire, the Employee hereby assigns all right, title, and interest therein to the Employer as provided above.

    5. The Employee shall maintain adequate, current, and reasonably accessible written records of all Inventions and Work Product created during the Employment Period, in such form as may be reasonably specified by the Employer, which records shall be and remain the sole property of the Employer at all times.

    6. The Employee shall not incorporate into any Work Product any Prior Invention, open source software, third-party intellectual property, or other pre-existing material without the prior written consent of the Employer; if, with such consent, any such material is incorporated, the Employee hereby grants to the Employer a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to make, use, reproduce, modify, distribute, perform, display, and exploit such material as part of or in connection with the Work Product.

    7. The Employee acknowledges that no additional compensation beyond that provided under the Employment Agreement is or shall be due to the Employee by reason of any assignment made under this Agreement, except as expressly required by applicable law.

  5. Prior Inventions and Carve-Outs

    1. The Employee has set forth on a written schedule delivered to the Employer prior to or concurrently with the execution of this Agreement (or, if no such schedule is delivered, the Employee represents and warrants that there are no such Prior Inventions) a complete list of all Prior Inventions that the Employee wishes to exclude from the scope of assignment under this Agreement.

    2. If no such schedule is provided, or if any Invention is not specifically identified therein as a Prior Invention, the Employee hereby conclusively represents and warrants that there are no Prior Inventions requiring exclusion, and any Invention claimed by the Employee thereafter shall be deemed to be subject to assignment under this Agreement.

    3. The Employee shall not, during the Employment Period, incorporate into any Work Product, product, service, or other deliverable of the Employer any Prior Invention without the prior written consent of a duly authorized officer of the Employer.

    4. If, notwithstanding the foregoing, the Employee incorporates any Prior Invention into any Work Product, product, service, or deliverable of the Employer, with or without the Employer's prior consent, the Employee hereby grants to the Employer a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable (through multiple tiers), and transferable license to make, have made, use, offer to sell, sell, import, reproduce, modify, prepare derivative works of, distribute, publicly perform, publicly display, and otherwise exploit such Prior Invention, in whole or in part, in any form or medium, and for any purpose.

    5. The Employee represents that the Employee has the full right and authority to grant the foregoing license and that no third party has any rights in or to any Prior Invention that would be violated by such grant.

    6. Nothing in this Agreement shall be construed to assign to the Employer, or to require the Employee to disclose, any Prior Invention properly identified on the schedule referenced above, except to the extent such Prior Invention becomes subject to a license granted under this section.

  6. Statutory Exclusions from Assignment

    1. The Parties acknowledge that certain jurisdictions have enacted statutes that limit the enforceability of invention assignment provisions with respect to inventions developed by an employee entirely on the employee's own time, without the use of the employer's equipment, supplies, facilities, trade secrets, or confidential information, and that either (i) do not relate at the time of conception or reduction to practice to the employer's business or to the employer's actual or demonstrably anticipated research or development, or (ii) do not result from any work performed by the employee for the employer.

    2. To the extent that any such statutory limitation applies to the Employee's employment, the assignment of Inventions set forth in this Agreement shall not apply to, and shall be deemed to exclude, any Invention that qualifies for exclusion under such applicable statute, and this Agreement shall be interpreted and enforced in a manner consistent with such applicable law.

    3. The Employee shall bear the burden of establishing that any particular Invention qualifies for exclusion under this section and shall provide the Employer with such information and documentation as the Employer may reasonably request to make such determination.

    4. The Employee shall promptly disclose in writing to the Employer all Inventions that the Employee believes may qualify for exclusion under this section, so that the Employer may determine whether the Employer agrees with such characterization; such disclosure shall be made in confidence and shall not, by itself, constitute a waiver of any statutory exclusion.

    5. The Employee acknowledges that the Employer provides written notice of such statutory limitations by means of this section, and that this section is intended to satisfy any statutory notice requirement applicable to the Employee's state of employment.

    6. Nothing in this section shall limit, restrict, or modify the Employee's obligations with respect to Confidential Information, the Employer's rights with respect to Inventions and Work Product that do not qualify for statutory exclusion, or any license granted under this Agreement.

  7. Further Assurances and Power of Attorney

    1. The Employee shall, during and after the Employment Period, promptly execute and deliver all such further instruments and documents, and perform all such further acts, as the Employer may reasonably request to perfect, record, maintain, enforce, and defend the Employer's right, title, and interest in and to any Inventions, Work Product, or related intellectual property rights, including the preparation, filing, and prosecution of applications for patents, copyrights, trademarks, mask works, and other proprietary rights throughout the world.

    2. Such cooperation shall include, without limitation, the execution of assignments, declarations, oaths, affidavits, powers of attorney, and such other documents as may be necessary or appropriate, and the provision of testimony and evidence in connection with any proceeding relating to any such Invention, Work Product, or intellectual property right.

    3. The Employer shall reimburse the Employee for reasonable out-of-pocket expenses incurred in connection with such cooperation after the termination of employment, and, if such cooperation is required after the termination of employment and is not otherwise compensated, shall pay the Employee reasonable compensation at a rate no less than the Employee's final hourly rate of base compensation.

    4. If the Employer is unable, after reasonable effort, to secure the Employee's signature on any document needed in connection with the actions specified in this section, whether because of the Employee's physical or mental incapacity, unavailability, refusal, or for any other reason, the Employee hereby irrevocably designates and appoints the Employer and its duly authorized officers and agents as the Employee's agent and attorney-in-fact, coupled with an interest, to act for and on the Employee's behalf and in the Employee's name to execute and file any such document and to do all other lawfully permitted acts to further the purposes of this section with the same legal force and effect as if executed by the Employee.

    5. The foregoing power of attorney is intended to be, and is, irrevocable and shall survive the termination of this Agreement and the Employee's employment with the Employer.

    6. The Employee shall not take any action that would in any way adversely affect, impair, or encumber the Employer's right, title, or interest in or to any Invention, Work Product, or related intellectual property right.

  8. Work Product and Moral Rights

    1. The Employee acknowledges that the Work Product shall be the sole and exclusive property of the Employer, and the Employer shall have the unrestricted right to use, modify, distribute, publish, exploit, commercialize, sell, assign, license, or dispose of the Work Product, in whole or in part, in any manner and for any purpose, without any obligation to the Employee.

    2. To the fullest extent permitted by applicable law, the Employee hereby irrevocably waives, releases, and quitclaims in favor of the Employer any and all claims the Employee may have to "moral rights," "droit moral," rights of attribution, rights of integrity, rights to object to derogatory treatment, rights of disclosure, rights of withdrawal, and any similar rights, howsoever denominated, in any Work Product, in any jurisdiction worldwide.

    3. To the extent that any such moral rights may not be waived under applicable law, the Employee hereby agrees not to assert any such rights against the Employer, its successors, assigns, licensees, customers, or any other person or entity authorized by the Employer to use or exploit any Work Product.

    4. The Employee consents to the use of the Employee's name, likeness, and biographical information in connection with the development, marketing, distribution, and commercialization of the Work Product, to the extent reasonably related to the Employer's business, provided that such use is not materially disparaging to the Employee.

    5. The Employer shall have no obligation to use, exploit, commercialize, or distribute any Work Product, and nothing in this Agreement shall require the Employer to attribute authorship or inventorship to the Employee.

    6. The Employee shall not use any Work Product for any purpose other than the performance of the Employee's duties for the Employer, and shall not retain any copies of any Work Product following the termination of the Employee's employment, except as expressly authorized in writing by the Employer.

  9. Third-Party Information and Prior Obligations

    1. The Employee acknowledges that the Employer may from time to time receive from third parties, including customers, suppliers, licensors, and business partners, confidential or proprietary information subject to a duty on the Employer's part to maintain the confidentiality of such information and to use it only for limited purposes.

    2. The Employee shall treat all such third-party information as Confidential Information under this Agreement and shall not use or disclose any such information except as expressly permitted by the Employer and in accordance with the Employer's obligations to the applicable third party.

    3. The Employee represents and warrants that the Employee's employment with the Employer and the performance of the Employee's duties hereunder do not and will not breach any agreement, obligation, or duty owed by the Employee to any former employer, client, or other third party, including any agreement relating to confidentiality, non-competition, non-solicitation, or assignment of inventions.

    4. The Employee shall not disclose to the Employer, bring onto the Employer's premises, or use in the performance of the Employee's duties any confidential, proprietary, or trade secret information belonging to any former employer or other third party, except with the express written authorization of such third party and the Employer.

    5. The Employee shall not incorporate into any Work Product any materials, inventions, or intellectual property owned by any third party without the prior written consent of such third party and the Employer, and shall promptly inform the Employer of any such third-party rights that may be implicated by the Employee's work.

    6. The Employee shall indemnify, defend, and hold harmless the Employer from and against any claims, damages, losses, or expenses arising out of or relating to any breach by the Employee of the representations, warranties, or covenants set forth in this section.

    7. The Employee has provided the Employer with a true and complete list of all agreements and obligations with former employers or third parties that may restrict the Employee's activities on behalf of the Employer or require disclosure of inventions created during the Employment Period, or has confirmed in writing that no such agreements or obligations exist.

  10. Return of Materials and Property

    1. Upon the termination of the Employee's employment with the Employer for any reason, or at any earlier time upon the Employer's request, the Employee shall promptly deliver to the Employer all Confidential Information, Work Product, and other property of the Employer in the Employee's possession, custody, or control, including all documents, records, notes, files, data, drawings, specifications, computer equipment, mobile devices, access cards, keys, credentials, and all copies thereof, in any form or medium.

    2. The Employee shall not retain, and shall permanently delete or destroy, any copies, extracts, summaries, or derivatives of any Confidential Information or Work Product residing on any personal device, personal account, cloud storage service, or other location not controlled by the Employer, and shall certify such deletion or destruction in writing upon the Employer's request.

    3. The Employee shall cooperate reasonably with the Employer in identifying and locating any Confidential Information or Employer property that may be in the Employee's possession or control, and shall provide the Employer with reasonable access to any personal devices or accounts for the limited purpose of verifying the return or deletion of such information, to the extent permitted by law.

    4. The Employee shall not, following the termination of employment, access or attempt to access any of the Employer's computer systems, networks, databases, email accounts, or other electronic resources, except with the express prior written authorization of the Employer.

    5. The obligations of this section are independent of, and in addition to, the Employee's other obligations under this Agreement, and compliance with this section shall not relieve the Employee of any other obligation hereunder.

    6. Nothing in this section shall require the Employee to return or destroy personal property or personal information unrelated to the Employee's employment or the Employer's business, provided that such property or information is clearly identifiable as personal and does not contain or incorporate any Confidential Information.

  11. Duration and Survival of Obligations

    1. The Employee's obligations under this Agreement shall commence as of the Effective Date (or, if earlier, the date on which the Employee first received or had access to any Confidential Information) and shall continue in full force and effect throughout the Employment Period.

    2. The Employee's obligations with respect to Confidential Information other than trade secrets shall survive the termination of the Employee's employment for a period of [number] years following such termination.

    3. The Employee's obligations with respect to Confidential Information that constitutes a trade secret shall survive the termination of the Employee's employment and shall continue for so long as such information retains its status as a trade secret under applicable law.

    4. The Employee's obligations with respect to the assignment of Inventions and Work Product, the waiver of moral rights, the grant of licenses, further assurances, the power of attorney, return of materials, representations and warranties, remedies, and all other provisions of this Agreement that by their nature should survive termination, shall survive the termination of this Agreement and the Employee's employment indefinitely.

    5. The termination of the Employee's employment, whether voluntary or involuntary, with or without cause, shall not affect the enforceability of any provision of this Agreement that is intended to survive such termination.

    6. The Employee acknowledges that the time, geographic scope, and other limitations set forth in this Agreement are reasonable and necessary to protect the legitimate business interests of the Employer, and that the Employee's compliance with such obligations will not unreasonably restrict the Employee's ability to earn a livelihood.

    7. The Parties confirm that this Agreement does not impose any post-employment non-competition or non-solicitation restrictions upon the Employee, and that the Employee's obligations following termination are limited to those expressly set forth herein with respect to confidentiality, intellectual property, and related matters.

  12. Representations and Warranties of the Employee

    1. The Employee represents and warrants to the Employer that the Employee has the full right, power, and authority to enter into this Agreement and to perform the Employee's obligations hereunder, and that the execution and performance of this Agreement does not and will not conflict with or result in a breach of any agreement, obligation, or duty to which the Employee is a party or by which the Employee is bound.

    2. The Employee represents and warrants that the Employee has not entered into, and shall not enter into, any agreement, oral or written, that would conflict with the Employee's obligations under this Agreement or that would preclude the Employee from fully performing the Employee's duties for the Employer.

    3. The Employee represents and warrants that the Employee has disclosed to the Employer all Prior Inventions and all third-party agreements and obligations required to be disclosed under this Agreement, and that such disclosures are true, complete, and accurate.

    4. The Employee represents and warrants that the Employee has not and shall not use, in the performance of the Employee's duties for the Employer, any confidential or proprietary information belonging to any former employer or other third party, except as expressly authorized in writing by such third party and the Employer.

    5. The Employee represents and warrants that all Work Product shall be the original work of the Employee or shall be properly licensed for use by the Employer, and shall not infringe or misappropriate the intellectual property rights of any third party.

    6. The Employee acknowledges that the Employee has had the opportunity to review this Agreement with legal counsel of the Employee's own choosing, that the Employee has read and understands the terms of this Agreement, and that the Employee is entering into this Agreement knowingly and voluntarily.

    7. The Employee acknowledges that the Employer is relying on the representations, warranties, and covenants set forth in this Agreement in employing or continuing to employ the Employee and in granting the Employee access to Confidential Information.

  13. Remedies, Injunctive Relief, and Attorneys' Fees

    1. The Employee acknowledges and agrees that any breach or threatened breach of this Agreement by the Employee may cause the Employer irreparable harm for which monetary damages would be inadequate, and that the Employer shall be entitled to seek and obtain injunctive relief, specific performance, and other equitable remedies, in addition to any other remedies available at law or in equity, without the necessity of posting a bond or proving actual damages.

    2. The Employer's right to seek equitable relief shall be in addition to, and not in lieu of, the Employer's right to recover monetary damages, including compensatory damages, consequential damages, lost profits, disgorgement of profits, and any other damages available under applicable law.

    3. In the event of any action or proceeding brought by the Employer to enforce the terms of this Agreement, the prevailing Party shall be entitled to recover from the non-prevailing Party its reasonable attorneys' fees, court costs, expert witness fees, and other reasonable expenses incurred in connection with such action or proceeding.

    4. The Employee shall account for and pay over to the Employer all compensation, profits, royalties, and other benefits derived or received by the Employee or any third party as a result of any transaction constituting a breach of this Agreement.

    5. The exercise by the Employer of any remedy under this Agreement shall not preclude the Employer from pursuing any other remedy available under this Agreement, at law, or in equity, and all remedies shall be cumulative.

    6. No failure or delay by the Employer in exercising any right or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.

    7. The Employee agrees that any period of time during which the Employee is in breach of this Agreement shall be added to any applicable time-limited obligation hereunder, such that the Employer receives the full benefit of such time-limited obligation.

  14. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [Governing State], without regard to its conflict of laws principles.

    2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be brought exclusively in the state or federal courts located in [County], [Governing State], and each Party hereby irrevocably submits to the exclusive jurisdiction of such courts and waives any objection based on venue, forum non conveniens, or lack of personal jurisdiction.

    3. Notwithstanding the foregoing, the Employer shall have the right to seek injunctive or other equitable relief in any court of competent jurisdiction to enforce its rights under this Agreement or to prevent any actual or threatened breach hereof.

    4. Each Party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to this Agreement.

    5. The Parties agree that any action or proceeding arising out of or relating to this Agreement must be commenced within the applicable statute of limitations under the laws of the State of [Governing State], and no action or proceeding shall be commenced after the expiration of such period.

    6. The Parties shall endeavor in good faith to resolve any dispute arising out of or relating to this Agreement through informal negotiation prior to initiating any formal legal proceeding, provided that nothing in this clause shall preclude a Party from seeking immediate injunctive or other equitable relief as provided in this Agreement.

  15. Notices

    1. All notices, consents, requests, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when delivered personally, when sent by nationally recognized overnight courier service with proof of delivery, when sent by certified or registered mail (return receipt requested, postage prepaid), or when sent by email with confirmation of receipt, in each case addressed to the Party at its address set forth below or at such other address as such Party may designate by notice given in accordance with this section.

    2. If to the Employer: [Employer Legal Name], Attention: [Name/Title], [Employer Address], Email: [Email Address].

    3. If to the Employee: [Employee Full Name], [Employee Address], Email: [Email Address].

    4. Notices delivered personally shall be deemed given upon receipt; notices sent by overnight courier shall be deemed given on the next business day after deposit with the courier; notices sent by certified or registered mail shall be deemed given three (3) business days after deposit in the mail; and notices sent by email shall be deemed given upon confirmation of receipt.

    5. Any Party may change its address or email address for notice purposes by giving written notice of such change to the other Party in accordance with this section.

    6. The Employee shall promptly notify the Employer in writing of any change in the Employee's residential address or primary email address during and following the Employment Period, for so long as any obligation of the Employee under this Agreement remains in effect.

  16. Severability and Waiver

    1. If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, unenforceable, or void, such provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable while preserving, to the greatest extent possible, the original intent of the Parties, and the remaining provisions of this Agreement shall continue in full force and effect.

    2. If any provision cannot be so modified and must be severed, the remaining provisions of this Agreement shall remain in full force and effect, and the invalidity or unenforceability of such provision in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.

    3. No waiver by either Party of any breach of, or default under, this Agreement shall be effective unless in writing and signed by the waiving Party, and no such waiver shall constitute a waiver of any subsequent or other breach or default of the same or any other provision.

    4. The failure of either Party to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver or relinquishment to any extent of its right to assert or rely upon any such provision or right in that or any other instance.

    5. Any consent, approval, or authorization given by either Party under this Agreement shall be effective only if given in writing and shall apply only to the specific instance for which it is given.

    6. The rights and remedies of the Parties under this Agreement are cumulative and not alternative, and the exercise of one right or remedy shall not preclude the exercise of any other.

  17. Assignment and Successors

    1. This Agreement is personal to the Employee, and the Employee shall not assign, delegate, or otherwise transfer any of the Employee's rights or obligations under this Agreement without the prior written consent of the Employer.
