Words importing the singular number shall include the plural and vice versa; words importing any gender shall include every gender; and references to persons shall include natural persons, bodies corporate, partnerships and unincorporated associations.
References to any clause, sub-clause or recital shall be construed as references to the clauses, sub-clauses or recitals of this Deed. The recitals set out above form an integral and operative part of this Deed and shall be read and construed in conjunction with the operative provisions hereof.
The expressions "including," "includes" and "in particular" shall be construed as being by way of illustration and not of limitation, and shall not restrict the generality of any preceding words.
Subject Matter of the Sale
The Seller hereby agrees to sell, transfer, convey and assign unto the Buyer, and the Buyer hereby agrees to purchase and acquire from the Seller, absolutely and forever, the following movable goods: [Detailed description of Goods, including make, model, serial number(s), quantity, specifications and any distinguishing features] (hereinafter referred to as the "Goods").
The Goods are being sold together with all accessories, attachments, documentation and ancillary items (if any) listed as follows: [list of accessories/accompanying documents], which shall form an integral part of the Goods for the purposes of this Deed.
The Buyer confirms and acknowledges that it has, prior to the execution of this Deed, inspected and examined the Goods in detail, including their physical condition, functionality, specifications and suitability for the Buyer's intended purposes, and is fully satisfied therewith in all respects.
The Buyer further acknowledges that the sale of the Goods hereunder is effected on an "as is, where is" and "with all faults" basis, and that no representation has been made by the Seller as to the fitness of the Goods for any particular purpose beyond those expressly set forth in this Deed.
The quantity, description and condition of the Goods as recorded in this Deed shall be conclusive evidence of the Goods actually transferred, and no claim shall lie against the Seller in respect of any alleged discrepancy, shortage, defect or deficiency not raised at the time of Delivery and recorded in writing.
Nothing in this Deed shall oblige the Seller to supply or deliver any goods, items, parts, consumables or accessories other than those expressly identified in this clause as forming the Goods.
Seller's Representations and Warranties
The Seller represents and warrants to the Buyer, as at the Effective Date, that it is a duly incorporated and validly existing legal entity under the laws of [Country], and that it has the requisite corporate power, authority and capacity to enter into this Deed and to perform its obligations hereunder.
The Seller represents and warrants that the execution, delivery and performance of this Deed have been duly authorized by all necessary corporate action on the part of the Seller, and that this Deed constitutes a legal, valid and binding obligation of the Seller, enforceable against it in accordance with its terms.
The Seller represents and warrants that it is the sole, lawful and absolute owner of the Goods, and that the Goods are, as at the Effective Date, free from any mortgage, charge, lien, pledge, hypothecation, attachment or encumbrance of any nature whatsoever created by or through the Seller.
The Seller represents and warrants that it has not entered into any prior agreement or arrangement for the sale, transfer, assignment, lease or other disposition of the Goods or any part thereof, and that there is no pending litigation, suit, proceeding or claim known to the Seller which would prevent the lawful transfer of the Goods to the Buyer hereunder.
Save and except as expressly set forth in this clause, the Seller gives no representations, warranties, guarantees or undertakings whatsoever, whether express, implied, statutory or otherwise, in respect of the Goods, including, without limitation, any warranty as to merchantability, quality, condition, performance, durability, fitness for any particular purpose, compliance with any specifications or absence of latent or patent defects, all of which are hereby expressly excluded to the fullest extent permitted by applicable law.
The Buyer acknowledges that it has not relied upon any statement, representation, advertisement, promise, projection, forecast or warranty made or given by or on behalf of the Seller, whether orally or in writing, other than the representations and warranties expressly set forth in this clause.
The representations and warranties contained in this clause shall be true, correct and accurate as at the Effective Date, and shall not survive the Delivery of the Goods save in respect of any claim notified in writing by the Buyer to the Seller within [Number] days of the Delivery date, failing which all such representations and warranties shall be deemed to have been fully satisfied and discharged.
Purchase Price and Payment
In consideration of the sale, transfer and conveyance of the Goods by the Seller to the Buyer, the Buyer shall pay to the Seller the aggregate sum of [Amount] [Currency] (hereinafter referred to as the "Purchase Price"), being the agreed, final and full consideration for the Goods.
The Purchase Price shall be paid by the Buyer to the Seller in full, in a single lump sum, simultaneously with and as a condition precedent to the execution of this Deed, and no part of the Purchase Price shall be deferred, withheld, set off or made subject to any condition subsequent whatsoever.
Payment of the Purchase Price shall be made by [bank transfer / banker's draft / certified cheque / other agreed means] to the following account designated by the Seller: Account Holder: [Name]; Bank: [Bank Name]; Account Number: [Account Number]; [Other bank particulars as required].
The Seller shall, upon receipt of the Purchase Price in full and in cleared funds, issue a written receipt or acknowledgment to the Buyer evidencing such receipt, and the execution of this Deed by the Seller shall itself constitute conclusive proof of such receipt unless the contrary is expressly stated herein.
The Purchase Price is quoted exclusive of any applicable taxes, duties, levies, stamp charges or governmental impositions, which shall be borne by the Buyer in accordance with the clause titled Taxes, Duties and Expenses.
Any failure, delay or default by the Buyer in making payment of the Purchase Price in accordance with this clause shall entitle the Seller, without prejudice to any other rights or remedies available to it at law or in equity, to refuse Delivery of the Goods, to rescind this Deed forthwith by written notice, and to recover from the Buyer all costs, damages and expenses incurred as a consequence of such default.
All amounts payable hereunder shall be paid without any deduction, withholding, set-off or counterclaim whatsoever, and the Buyer shall gross up any payment required to be made under deduction of tax so that the net amount received by the Seller is equal to the amount that would have been received had no such deduction been required.
Delivery and Transfer of Possession
Delivery of the Goods shall be effected by the Seller to the Buyer at [Place of Delivery] on [Date of Delivery] or, where this Deed is executed simultaneously with Delivery, upon the execution hereof.
Delivery shall be deemed to have been duly made and accepted upon the physical handing over of the Goods by the Seller to the Buyer or its duly authorized representative at the agreed place of Delivery, and the Buyer taking actual or constructive possession thereof.
The Buyer shall, at the time of Delivery, inspect the Goods and satisfy itself as to their quantity, description, apparent condition and conformity with this Deed, and shall sign a delivery receipt or acknowledgment confirming receipt of the Goods in good order and condition.
Any objection, complaint, claim or dispute by the Buyer concerning the quantity, description or apparent condition of the Goods shall be raised and recorded in writing at the time of Delivery, failing which the Goods shall be conclusively deemed to have been delivered and accepted in full conformity with this Deed, and the Buyer shall thereafter be precluded from raising any such objection or claim.
All costs, charges and expenses relating to the collection, loading, transportation, carriage, insurance in transit and unloading of the Goods from the place of Delivery shall be borne exclusively by the Buyer, unless expressly agreed otherwise in writing by the Seller.
If the Buyer fails to take Delivery of the Goods on the date and at the place stipulated for Delivery, the Seller shall be entitled to store the Goods at the risk and cost of the Buyer, and to charge the Buyer reasonable storage, insurance and handling fees, and the Goods shall nevertheless be deemed to have been delivered for the purposes of passing of risk under this Deed.
The Seller shall deliver to the Buyer, concurrently with or as soon as practicable after Delivery, all such documents, manuals, certificates and records relating to the Goods as are in the Seller's possession and necessary for the Buyer's use and enjoyment thereof.
Force Majeure
Neither Party shall be liable to the other for any failure or delay in the performance of its obligations under this Deed (other than any obligation to pay money, which shall not be excused by this clause) to the extent such failure or delay is caused by an event or circumstance beyond the reasonable control of the affected Party (a "Force Majeure Event"), including, without limitation, acts of God, natural disasters, fire, flood, earthquake, war, armed conflict, terrorism, civil unrest, riot, strike, lockout, labor dispute, epidemic, pandemic, governmental order, embargo, or disruption of public utilities or transportation.
The Party affected by a Force Majeure Event shall promptly, and in any event within [Number] days of becoming aware thereof, notify the other Party in writing of the occurrence of such event, the nature thereof, and its anticipated duration and impact upon the performance of its obligations hereunder.
The affected Party shall use all reasonable endeavors to mitigate the effects of the Force Majeure Event and to resume full performance of its obligations under this Deed as soon as reasonably practicable.
The time for performance of the affected obligations shall be extended for a period equal to the duration of the Force Majeure Event, and neither Party shall be entitled to claim damages, costs or losses against the other arising from or in connection with such Force Majeure Event.
If a Force Majeure Event continues for a continuous period in excess of [Number] days, either Party may terminate this Deed forthwith by written notice to the other, in which event the Parties shall as far as possible be restored to their respective positions prior to the Effective Date, subject to adjustment for any Goods already delivered and any Purchase Price already paid.
The occurrence of a Force Majeure Event shall not relieve the Buyer from its obligation to pay any sums already due and payable to the Seller as at the date of such occurrence.
Taxes, Duties and Expenses
All taxes, duties, levies, cesses, imposts, stamp charges, registration fees and other governmental or statutory charges of any nature whatsoever, howsoever described, arising out of or in connection with the sale, transfer, conveyance or Delivery of the Goods under this Deed, shall be borne and paid exclusively by the Buyer.
The costs and expenses of preparation, execution, stamping and registration (if any) of this Deed shall be borne solely by the Buyer, and the Buyer shall promptly reimburse the Seller for any such sums as the Seller may be required to advance on the Buyer's behalf.
Each Party shall bear its own legal, professional and advisory fees and expenses incurred in connection with the negotiation, preparation and execution of this Deed.
If any withholding or deduction of tax is required by law to be made from any payment due by the Buyer to the Seller hereunder, the Buyer shall gross up the said payment so that the Seller receives the full amount it would have received had no such withholding or deduction been required.
The Buyer shall indemnify, defend and hold harmless the Seller against any and all claims, demands, assessments, penalties, interest, costs and expenses which may be made or levied against the Seller in respect of any tax, duty, levy or charge which is the responsibility of the Buyer under this clause.
Any income tax or similar direct tax imposed upon the Seller on the Purchase Price received shall be borne by the Seller, it being understood that the Buyer's obligations under this clause relate only to transaction-based and transfer-based taxes, duties and charges.
Passing of Title and Risk
Notwithstanding the Effective Date of this Deed, the title, ownership, property and interest in the Goods shall pass from the Seller to the Buyer only upon the Seller's receipt of the Purchase Price in full and in cleared funds, and upon Delivery of the Goods, whichever shall occur later.
Risk of loss, damage, deterioration, theft, destruction or diminution in value of the Goods shall pass from the Seller to the Buyer upon Delivery (or deemed Delivery) in accordance with the clause titled Delivery and Transfer of Possession, and the Buyer shall thereafter bear all such risks absolutely.
The Buyer is strongly advised to arrange, at its own cost and expense, appropriate insurance coverage in respect of the Goods with effect from the moment of Delivery, and the Seller shall bear no responsibility whatsoever for any loss or damage occurring after such moment.
Until title has passed to the Buyer, the Buyer shall hold the Goods (if already delivered) as bailee for the Seller, shall keep the Goods separately identifiable, and shall not sell, pledge, encumber or otherwise dispose of the same.
The Seller shall be entitled, without prejudice to any other rights or remedies, to repossess the Goods at any time prior to the passing of title in the event of any default by the Buyer in the payment of the Purchase Price, and the Buyer hereby grants the Seller and its agents an irrevocable license to enter any premises where the Goods may be located for the purposes of such repossession.
Upon passing of title and risk in accordance with this clause, the Buyer shall acquire absolute, unencumbered and indefeasible ownership of the Goods, subject only to the exclusions and limitations contained in this Deed.
Buyer's Acknowledgments and Obligations
The Buyer hereby acknowledges and confirms that it has had full and adequate opportunity to inspect, examine and test the Goods prior to the execution of this Deed, and is purchasing the Goods on an "as is, where is" and "with all faults" basis, in reliance solely upon its own inspection, judgment and investigation.
The Buyer acknowledges that it is entering into this Deed in its individual capacity, and that it has the full legal capacity and authority to execute this Deed and to perform its obligations hereunder, including the payment of the Purchase Price from lawful sources of funds.
The Buyer undertakes to use, operate, store, maintain and dispose of the Goods strictly in accordance with all applicable laws, regulations, safety standards, manufacturer's instructions and codes of practice, and shall not use the Goods for any unlawful, hazardous or improper purpose.
The Buyer shall indemnify, defend and hold harmless the Seller, its directors, officers, employees, agents and affiliates from and against any and all claims, actions, suits, proceedings, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with the Buyer's possession, use, operation, maintenance or disposal of the Goods on or after the date of Delivery.
The Buyer acknowledges that it has not been induced to enter into this Deed by any statement, representation, warranty or undertaking other than those expressly contained herein, and waives any right or remedy it may have in respect of any such extrinsic statement, representation, warranty or undertaking.
The Buyer shall not represent itself as an agent, partner, employee or representative of the Seller, and shall not make any statement or representation to any third party regarding the Goods which has not been expressly authorized in writing by the Seller.
The Buyer confirms its understanding that no after-sales support, servicing, maintenance, spare parts, upgrades or similar services are included within the scope of this Deed, save as expressly provided herein or separately agreed in writing between the Parties.
Disclaimer and Limitation of Liability
Save for the limited representations and warranties expressly set forth in the clause titled Seller's Representations and Warranties, the Seller hereby disclaims, to the fullest extent permitted by applicable law, all representations, warranties, conditions, terms and undertakings of any kind, whether express, implied, statutory, collateral or otherwise, in respect of the Goods, including without limitation any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, correspondence with description or sample, workmanship, performance or non-infringement.
The Seller shall not be liable to the Buyer, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss of goodwill, loss of data, loss of use, business interruption, or for any indirect, incidental, consequential, special, punitive or exemplary damages of any kind arising out of or in connection with this Deed or the Goods, howsoever arising.
The aggregate liability of the Seller to the Buyer under or in connection with this Deed, from any cause whatsoever and on any basis of liability, shall in no event exceed an amount equal to the Purchase Price actually received by the Seller hereunder.
Nothing in this Deed shall operate to exclude or limit the liability of either Party for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited under applicable law.
The Buyer acknowledges that the exclusions and limitations set forth in this clause are reasonable, having regard to the "as is" nature of the sale, the Buyer's opportunity to inspect the Goods, and the quantum of the Purchase Price agreed between the Parties, and that the Seller would not have entered into this Deed on the terms contained herein but for such exclusions and limitations.
Any claim by the Buyer against the Seller under or in connection with this Deed shall be forever barred and extinguished unless written notice thereof, specifying in reasonable detail the nature and quantum of the claim, is served upon the Seller within [Number] days of the Delivery date.
Notices
All notices, demands, requests, consents, approvals and other communications required or permitted to be given under or in connection with this Deed shall be in writing, in the English language, and shall be delivered by hand, by registered post with acknowledgment due, by internationally recognized courier service, or by electronic mail with confirmation of transmission, to the respective addresses of the Parties set forth below (or to such other address as a Party may designate by written notice given in accordance with this clause).
If to the Seller: [Seller Legal Name], Attention: [Name/Title], Address: [Address], Email: [Email Address].
If to the Buyer: [Buyer Full Name], Address: [Address], Email: [Email Address].
Notices shall be deemed to have been duly given and received: (i) if delivered by hand, upon actual receipt; (ii) if sent by registered post, on the fifth Business Day following the date of posting; (iii) if sent by courier, on the date of delivery as evidenced by the courier's receipt; and (iv) if sent by electronic mail, upon successful transmission to the recipient's email address, provided that no delivery failure notification is received by the sender.
Any notice given on a day which is not a Business Day, or after 5:00 p.m. local time at the place of receipt on a Business Day, shall be deemed to have been received on the next following Business Day.
Each Party shall promptly notify the other in writing of any change in its address or contact particulars for the purposes of this clause, failing which notices sent to the last notified address shall be deemed validly served.
Confidentiality
Each Party shall keep strictly confidential, and shall not disclose to any third party, the terms of this Deed, the Purchase Price, the negotiations leading to its execution, and any non-public information disclosed by or on behalf of the other Party in connection herewith (collectively, "Confidential Information").
The obligations of confidentiality shall not apply to information which: (i) is or becomes publicly available otherwise than through a breach of this Deed; (ii) was lawfully in the receiving Party's possession prior to disclosure by the other Party; (iii) is lawfully obtained from a third party free from any obligation of confidentiality; or (iv) is required to be disclosed by law, court order or any competent regulatory authority, in which case the disclosing Party shall, to the extent lawful, give prior written notice to the other Party.
Each Party may disclose Confidential Information to its directors, officers, employees, legal, financial and tax advisors on a strict "need-to-know" basis, provided that such recipients are bound by equivalent obligations of confidentiality.
The obligations of confidentiality contained in this clause shall survive the completion, termination or rescission of this Deed for a period of [Number] years.
Each Party acknowledges that damages alone may not be an adequate remedy for breach of this clause, and that the aggrieved Party shall be entitled to seek injunctive and other equitable relief in addition to any other remedy available at law.
Neither Party shall issue any press release, public statement or marketing communication concerning this Deed or the transactions contemplated hereby without the prior written consent of the other Party, save as may be required by law.
Entire Agreement
This Deed, together with any documents expressly incorporated herein by reference, constitutes the entire agreement and understanding between the Parties with respect to the subject matter hereof, and supersedes and extinguishes all prior agreements, understandings, negotiations, discussions, representations, warranties, undertakings and arrangements of any nature, whether written or oral, between the Parties relating thereto.
Each Party acknowledges that in entering into this Deed it has not relied upon, and shall have no remedy in respect of, any statement, representation, assurance, warranty or understanding (whether made negligently or innocently) of any person (whether party to this Deed or not) other than those expressly set out in this Deed.
Nothing in this clause shall operate to limit or exclude any liability for fraud or fraudulent misrepresentation.
In the event of any inconsistency or conflict between the provisions of this Deed and any prior correspondence, document or communication between the Parties, the provisions of this Deed shall prevail.
The Parties confirm that they have each had the opportunity to obtain independent legal advice prior to the execution of this Deed, and that they have entered into this Deed freely, voluntarily and with full understanding of its terms and consequences.
Amendments and Waivers
No amendment, variation, modification or supplement to this Deed shall be effective or binding upon the Parties unless made in writing and duly signed by, or on behalf of, both Parties.
No waiver by either Party of any breach or default by the other Party of any provision of this Deed shall be effective unless made in writing and signed by the waiving Party, and no such waiver shall constitute a waiver of any subsequent or continuing breach or default of the same or any other provision.
No failure or delay by either Party in exercising any right, power or remedy under this Deed shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right, power or remedy.
The rights and remedies provided in this Deed are cumulative and not exclusive of any rights or remedies provided by law or in equity.
Any amendment or waiver executed in accordance with this clause shall be binding upon the Parties and their respective successors and permitted assigns.
Severability
If any provision of this Deed is held by any court or other competent authority to be invalid, illegal or unenforceable, in whole or in part, under the law of any jurisdiction, such provision or part thereof shall, to that extent, be deemed severed from this Deed, and the validity, legality and enforceability of the remaining provisions of this Deed, and of such provision in any other jurisdiction, shall not in any way be affected or impaired thereby.
If any invalid, illegal or unenforceable provision would be valid, legal and enforceable if some part of it were deleted or modified, the provision shall apply with the minimum deletion or modification necessary to make it valid, legal and enforceable, while preserving as far as possible the Parties' original commercial intention.
The Parties shall, in such event, negotiate in good faith to replace the severed provision with a valid, legal and enforceable provision which, as far as possible, achieves the same economic and legal effect as the original provision.
The invalidity or unenforceability of any provision shall not affect the enforceability of this Deed as a whole, which shall continue in full force and effect to the maximum extent permitted by law.
Assignment
The Buyer shall not assign, transfer, novate, sub-contract, charge, declare a trust over, or otherwise dispose of any of its rights or obligations under this Deed, in whole or in part, without the prior written consent of the Seller, which consent may be granted, withheld or made subject to conditions in the Seller's absolute discretion.
The Seller shall be entitled to assign, transfer or novate all or any of its rights and obligations under this Deed to any affiliate, successor-in-interest, or purchaser of all or substantially all of its business or assets, without requiring the prior consent of the Buyer, provided that written notice of such assignment is given to the Buyer.
Any purported assignment or transfer in breach of this clause shall be null, void and of no effect whatsoever.
This Deed shall be binding upon, and shall enure to the benefit of, the Parties and their respective successors and permitted assigns.
Nothing in this Deed shall confer, or purport to confer, upon any third party any right, benefit or remedy of any nature whatsoever under or by reason of this Deed.
Governing Law and Dispute Resolution
This Deed, and any dispute, claim or controversy arising out of or in connection with it or its subject matter, formation, validity, interpretation, performance or termination (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of [Country/Jurisdiction], without regard to its conflict of laws principles.
The Parties shall endeavor, in the first instance, to resolve any dispute, controversy or claim arising out of or in connection with this Deed amicably through good-faith negotiations between their duly authorized representatives, within a period of [Number] days from the date on which written notice of the dispute is served by one Party upon the other.
In the event that the Parties fail to resolve such dispute amicably within the aforesaid period, the dispute shall be finally and exclusively submitted to [arbitration under the rules of [Arbitration Institution] by [Number] arbitrator(s) appointed in accordance with the said rules / the exclusive jurisdiction of the competent courts of [City/Country]].
The seat and venue of the arbitration (if applicable) shall be [City, Country], and the language of the arbitration proceedings shall be English. The award rendered by the arbitrator(s) shall be final, binding and enforceable upon the Parties.
Notwithstanding the foregoing, either Party shall be entitled to seek interim, provisional or injunctive relief from any court of competent jurisdiction in order to protect its rights or property pending the resolution of any dispute hereunder.
Each Party shall bear its own costs and expenses in connection with any dispute resolution proceedings, save that the arbitrator(s) or court may award costs to the prevailing Party in accordance with applicable rules.
IN WITNESS WHEREOF, the Parties hereto have executed this Deed of Sale on the day, month and year first above written, in two (2) original counterparts, each of which shall be deemed an original and together shall constitute one and the same instrument.
