This Convertible Note Agreement (this "Agreement") is made and entered into as of [EFFECTIVE DATE] (the "Effective Date"), by and between [COMPANY NAME], a [STATE OF INCORPORATION] corporation, having its principal place of business at [COMPANY ADDRESS] (the "Company"), and [INVESTOR NAME], a [STATE OF INCORPORATION] [ENTITY TYPE], having its principal place of business at [INVESTOR ADDRESS] (the "Investor"). The Company and the Investor are hereinafter referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Company is engaged in the business of [DESCRIPTION OF BUSINESS] and desires to obtain financing to further develop and expand its operations;

WHEREAS, the Investor desires to lend to the Company, and the Company desires to borrow from the Investor, the principal sum set forth herein, upon the terms and conditions set forth in this Agreement, pursuant to a convertible promissory note that may convert into equity securities of the Company upon the occurrence of certain events;

WHEREAS, the Parties intend that the indebtedness evidenced by this Agreement shall convert automatically into shares of the Company's capital stock upon a Qualified Financing, or be repaid or otherwise treated in accordance with the terms set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  1. Definitions and Interpretation

    1. For purposes of this Agreement, the following terms shall have the meanings ascribed to them below.

    2. "Change of Control" shall mean (a) any consolidation or merger of the Company with or into any other entity in which the holders of the Company's outstanding voting securities immediately prior to such consolidation or merger do not retain, directly or indirectly, a majority of the voting power of the surviving entity immediately following such transaction; (b) a sale, lease, exclusive license, or other disposition of all or substantially all of the assets of the Company; or (c) any transaction or series of related transactions in which a Person, or group of related Persons, acquires beneficial ownership of more than fifty percent (50%) of the Company's outstanding voting securities.

    3. "Conversion Price" shall mean the per share price at which the outstanding principal and accrued but unpaid interest under this Agreement shall convert into Conversion Shares, calculated in accordance with Section 5 hereof.

    4. "Conversion Shares" shall mean the shares of the Company's capital stock issuable upon conversion of this Agreement, which shall be of the same class and series as the equity securities issued in the Qualified Financing, except as otherwise expressly set forth herein.

    5. "Maturity Date" shall mean the date that is [NUMBER] months following the Effective Date, unless accelerated or extended in accordance with the terms of this Agreement.

    6. "Person" shall mean any individual, corporation, limited liability company, partnership, trust, joint venture, governmental authority, or other entity of any kind or nature.

    7. "Qualified Financing" shall mean the next bona fide transaction or series of related transactions following the Effective Date in which the Company issues and sells shares of its preferred stock for aggregate gross proceeds of not less than US$[QUALIFIED FINANCING THRESHOLD] (excluding the conversion of this Agreement and any other convertible securities), principally for the purpose of raising capital.

    8. In this Agreement, unless the context otherwise requires, words importing the singular include the plural and vice versa; references to any gender include all genders; the words "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation"; headings are for convenience of reference only and shall not affect the construction hereof; and references to Sections are to sections of this Agreement.

    9. Any reference to a statute, regulation, or governmental authority shall be deemed to include any successor thereto and any amendment, modification, or re-enactment thereof from time to time in force.

  2. Principal Amount and Interest

    1. Subject to the terms and conditions hereof, the Investor hereby agrees to lend to the Company, and the Company hereby agrees to borrow from the Investor, the aggregate principal amount of US$[PRINCIPAL AMOUNT] (the "Principal Amount"), to be advanced in a single disbursement on the Effective Date, or on such other date as the Parties may mutually agree in writing, by wire transfer of immediately available funds to an account designated by the Company.

    2. The Principal Amount shall be denominated in United States dollars, and all payments to be made hereunder, whether of principal, interest, or otherwise, shall be made in lawful currency of the United States of America.

    3. The outstanding Principal Amount shall bear simple interest at the rate of [INTEREST RATE]% per annum, computed on the basis of a 365-day year and the actual number of days elapsed from and including the date of disbursement to but excluding the date of repayment or conversion, as applicable.

    4. Interest shall accrue from the date of disbursement of the Principal Amount and shall continue to accrue until the entire outstanding Principal Amount and all accrued but unpaid interest thereon have been repaid in full or converted into Conversion Shares in accordance with this Agreement.

    5. Notwithstanding anything to the contrary contained herein, in no event shall the interest rate charged hereunder exceed the maximum rate permitted by applicable law, and if any payment of interest would exceed such maximum rate, the excess shall be deemed a payment of principal.

    6. Upon the occurrence and during the continuance of an Event of Default, the Principal Amount and all accrued but unpaid interest hereunder shall, at the Investor's election, bear interest at a rate equal to the lesser of (a) [DEFAULT INTEREST RATE]% per annum, and (b) the maximum rate permitted by applicable law, until such Event of Default is cured or waived in writing by the Investor.

    7. All computations of interest shall be made by the Company and shall, absent manifest error, be deemed conclusive.

  3. Maturity and Repayment

    1. Unless earlier converted or repaid in accordance with the terms of this Agreement, the entire outstanding Principal Amount, together with all accrued but unpaid interest thereon, shall become due and payable in full on the Maturity Date.

    2. If no Qualified Financing has occurred on or prior to the Maturity Date, the Company shall repay to the Investor the entire outstanding Principal Amount and all accrued but unpaid interest thereon in cash, by wire transfer of immediately available funds, on the Maturity Date.

    3. The Company shall provide the Investor with written notice of the upcoming Maturity Date not less than [NOTICE PERIOD] days prior thereto, specifying the aggregate amount anticipated to be due and payable and the wire transfer instructions to be used for such repayment.

    4. The Maturity Date may be extended only by the written agreement of both Parties, and any such extension shall be set forth in a written instrument executed by duly authorized representatives of each Party.

    5. All payments made by the Company hereunder shall be applied first to accrued but unpaid interest, and thereafter to the outstanding Principal Amount.

    6. Upon full repayment of the Principal Amount and all accrued but unpaid interest, this Agreement shall terminate and be of no further force or effect, and the Investor shall promptly surrender this Agreement to the Company marked "paid in full," and shall execute and deliver such further instruments as the Company may reasonably request to evidence the discharge of the Company's obligations hereunder.

    7. Nothing in this Section shall limit the Investor's right to pursue any remedies available to it under this Agreement or applicable law in the event of the Company's failure to make any payment when due.

  4. Conversion upon Qualified Financing

    1. In the event that the Company consummates a Qualified Financing prior to the Maturity Date and prior to the repayment in full of this Agreement, the entire outstanding Principal Amount together with all accrued but unpaid interest thereon shall automatically convert, without any further action on the part of the Investor, into Conversion Shares of the same class and series as the equity securities issued in such Qualified Financing, at the Conversion Price determined in accordance with Section 5 hereof.

    2. The Company shall provide the Investor with written notice of the anticipated closing of a Qualified Financing not less than [NOTICE PERIOD] days prior to such closing (or such shorter period as may be practicable under the circumstances), together with reasonable details regarding the terms of such financing, including the pre-money valuation, per share price, and principal rights, preferences, and privileges of the equity securities to be issued therein.

    3. The conversion contemplated by this Section shall be effective immediately upon, and shall be conditioned upon, the closing of the Qualified Financing, and the Conversion Shares shall be deemed to be issued and outstanding as of such closing.

    4. As a condition to the issuance of Conversion Shares, the Investor shall execute and deliver, at or prior to the closing of the Qualified Financing, the definitive agreements and ancillary documents executed by the other investors in such Qualified Financing, including any stock purchase agreement, investors' rights agreement, right of first refusal and co-sale agreement, voting agreement, and such other customary documents as may be entered into in connection therewith.

    5. The Conversion Shares shall have the same rights, preferences, privileges, and restrictions as the equity securities issued in the Qualified Financing, except that the liquidation preference of the Conversion Shares, if calculated by reference to an issue price, shall be based on the Conversion Price (as opposed to the per share price paid by other investors in the Qualified Financing), unless the Investor elects otherwise in writing.

    6. No fractional Conversion Shares shall be issued upon conversion of this Agreement. In lieu of any fractional share to which the Investor would otherwise be entitled, the Company shall pay the Investor cash in an amount equal to such fraction multiplied by the Conversion Price.

    7. Upon conversion in accordance with this Section, this Agreement shall be deemed cancelled and all obligations of the Company hereunder shall be deemed satisfied in full, and the Investor shall surrender this Agreement to the Company for cancellation.

  5. Valuation Cap and Conversion Discount

    1. The "Conversion Price" applicable to conversion under Section 4 shall be equal to the lesser of (a) the Discount Price, and (b) the Valuation Cap Price, each determined as set forth below.

    2. The "Discount Price" shall mean the per share price paid by investors purchasing equity securities in the Qualified Financing, multiplied by [100% minus the Conversion Discount], where the "Conversion Discount" shall be [DISCOUNT PERCENTAGE]% (such that, for the avoidance of doubt, if the Conversion Discount is twenty percent (20%), the Discount Price shall equal eighty percent (80%) of the per share price paid by investors in the Qualified Financing).

    3. The "Valuation Cap Price" shall mean the quotient obtained by dividing (a) US$[VALUATION CAP] (the "Valuation Cap"), by (b) the Company Capitalization, where "Company Capitalization" shall mean the sum, as of immediately prior to the initial closing of the Qualified Financing (and without duplication), of (i) the number of shares of the Company's capital stock then issued and outstanding, assuming conversion or exchange of all outstanding securities convertible into or exchangeable for capital stock and the exercise of all outstanding options and warrants, (ii) the number of shares of common stock reserved and available for future grant under any equity incentive plan of the Company then in effect (including any increase to such plan to be effected in connection with the Qualified Financing), and (iii) any other shares that would be included under the Company's standard capitalization table convention for such purposes, but excluding the Conversion Shares to be issued upon conversion of this Agreement and any other convertible securities converting in connection with the Qualified Financing.

    4. If the Valuation Cap Price is lower than the Discount Price, the conversion shall occur at the Valuation Cap Price; if the Discount Price is lower than or equal to the Valuation Cap Price, the conversion shall occur at the Discount Price.

    5. In the event the Conversion Shares issuable upon conversion by reference to the Valuation Cap Price would otherwise constitute a class or series of securities with rights, preferences, and privileges that differ materially and adversely from those of the equity securities issued in the Qualified Financing, the Company may, at its option, create and issue a sub-series or "shadow" class of such equity securities with substantially identical rights, preferences, and privileges, except that the liquidation preference, dividend rate, and conversion ratio (if applicable) shall be based on the applicable Conversion Price.

    6. The calculation of the Conversion Price shall be made in good faith by the Company and reflected in writing delivered to the Investor at or prior to the closing of the Qualified Financing, together with reasonable supporting detail regarding the Company Capitalization and the per share price paid in the Qualified Financing.

  6. Treatment upon Sale of the Company

    1. In the event of a Change of Control prior to the Maturity Date and prior to the conversion or repayment in full of this Agreement, the Company shall, in lieu of conversion, pay to the Investor, immediately prior to and conditioned upon the consummation of such Change of Control, an amount in cash equal to [MULTIPLE, e.g., two (2)] times the outstanding Principal Amount, together with all accrued but unpaid interest thereon through the date of such payment (the "Change of Control Payment").

    2. The Company shall provide the Investor with written notice of any anticipated Change of Control not less than [NOTICE PERIOD] days prior to the consummation thereof (or such shorter period as may be practicable under the circumstances), together with reasonable details regarding the material terms of such transaction, including the identity of the acquirer, the aggregate consideration, the form of consideration, and the anticipated closing date.

    3. The Change of Control Payment shall be payable by wire transfer of immediately available funds to an account designated in writing by the Investor, and shall be made at or substantially concurrently with the closing of the Change of Control transaction.

    4. Upon receipt by the Investor of the Change of Control Payment in full, this Agreement shall be deemed cancelled and all obligations of the Company hereunder shall be deemed satisfied in full, and the Investor shall surrender this Agreement to the Company for cancellation.

    5. If the consideration payable in the Change of Control transaction consists in whole or in part of non-cash consideration, the Company and the Investor shall negotiate in good faith to agree upon a reasonable cash equivalent, failing which the fair market value of such non-cash consideration shall be determined by an independent appraiser mutually acceptable to the Parties, the cost of which shall be borne equally by the Parties.

    6. The provisions of this Section shall apply notwithstanding anything to the contrary contained in Section 4 or Section 5, and the Investor shall have no right to convert this Agreement in connection with a Change of Control except as expressly provided herein.

    7. Nothing in this Section shall be construed to grant the Investor any right to approve or veto a Change of Control, and the Company shall retain full discretion with respect to the negotiation and consummation of any such transaction, subject only to its payment obligations hereunder.

  7. Mechanics of Conversion

    1. As promptly as practicable (and in no event later than [NUMBER] business days) following the conversion of this Agreement in accordance with Section 4, the Company shall issue and deliver to the Investor a certificate or certificates (or evidence of book-entry issuance) representing the Conversion Shares to which the Investor is entitled hereunder.

    2. The Investor shall surrender this Agreement to the Company at or prior to the closing of the Qualified Financing, and such surrender shall be a condition precedent to the issuance of the Conversion Shares; provided that the Company shall not refuse to issue Conversion Shares on the grounds of non-surrender if the Investor has provided a customary lost note affidavit and indemnity reasonably acceptable to the Company.

    3. All Conversion Shares, when issued in accordance with the terms hereof, shall be duly authorized, validly issued, fully paid, and non-assessable, and shall be free and clear of all liens, encumbrances, and restrictions, other than restrictions on transfer imposed by applicable federal and state securities laws and by the definitive agreements executed in connection with the Qualified Financing.

    4. The Investor acknowledges and agrees that the Conversion Shares will be issued in a transaction exempt from registration under the Securities Act of 1933, as amended, and may bear a legend restricting transfer in accordance with applicable securities laws.

    5. The Company shall bear all costs and expenses incurred by it in connection with the issuance of the Conversion Shares, including any issuance taxes (other than income taxes payable by the Investor); provided that the Investor shall bear any transfer taxes or similar charges payable in respect of any transfer of Conversion Shares to a Person other than the Investor.

    6. If any Conversion Shares are to be issued in a name other than that of the Investor, the Investor shall provide the Company with such documentation as the Company may reasonably request to confirm the eligibility of the proposed transferee and compliance with applicable securities laws.

    7. Upon the issuance of the Conversion Shares as provided herein, this Agreement shall be deemed cancelled, and all obligations of the Company hereunder (other than those which by their terms survive termination) shall be deemed fully satisfied and discharged.

  8. Prepayment Restrictions

    1. The Company shall not have the right to prepay all or any portion of the outstanding Principal Amount or accrued but unpaid interest hereunder prior to the Maturity Date without the prior written consent of the Investor, which consent may be granted or withheld in the Investor's sole and absolute discretion.

    2. Any prepayment made in violation of this Section shall be deemed null and void, and the Investor shall be entitled to return such prepayment to the Company and to continue to accrue interest and to exercise all rights hereunder as if no such prepayment had been tendered.

    3. In the event the Investor consents in writing to a prepayment, such prepayment shall be applied first to accrued but unpaid interest, and thereafter to the outstanding Principal Amount, and shall be made by wire transfer of immediately available funds to an account designated by the Investor.

    4. The restriction on prepayment set forth in this Section shall not limit or impair the Company's obligation to make any payment required pursuant to Section 6 in connection with a Change of Control, or to effect any conversion required pursuant to Section 4 in connection with a Qualified Financing.

    5. Nothing in this Section shall be construed to limit the Investor's right to accelerate the obligations hereunder upon the occurrence of an Event of Default.

  9. Representations and Warranties of the Company

    1. The Company hereby represents and warrants to the Investor, as of the Effective Date, as follows.

    2. The Company is a corporation duly organized, validly existing, and in good standing under the laws of the State of [STATE OF INCORPORATION], and has all requisite corporate power and authority to own and operate its properties, to carry on its business as now conducted, and to execute, deliver, and perform its obligations under this Agreement.

    3. The execution, delivery, and performance by the Company of this Agreement have been duly authorized by all necessary corporate action, and this Agreement constitutes the legal, valid, and binding obligation of the Company, enforceable against the Company in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium, and similar laws affecting creditors' rights generally and to general principles of equity.

    4. The execution, delivery, and performance of this Agreement, and the consummation of the transactions contemplated hereby, do not and will not (a) violate any provision of the Company's certificate of incorporation or bylaws, (b) violate any applicable law, rule, or regulation, or any judgment, order, or decree binding on the Company, or (c) result in a material breach of or default under any material agreement to which the Company is a party or by which it or its assets are bound.

    5. All consents, approvals, authorizations, and filings required to be obtained or made by the Company in connection with the execution, delivery, and performance of this Agreement have been obtained or made, or will be obtained or made in a timely manner.

    6. The Conversion Shares, when issued in accordance with this Agreement, will be duly authorized, validly issued, fully paid, and non-assessable, and will be free and clear of all liens and encumbrances, other than restrictions on transfer under applicable securities laws and the definitive agreements executed in connection with the Qualified Financing.

    7. There is no action, suit, proceeding, or investigation pending or, to the Company's knowledge, threatened against the Company that, individually or in the aggregate, would reasonably be expected to have a material adverse effect on the Company's ability to perform its obligations under this Agreement.

    8. The Company has made available to the Investor all material information reasonably requested by the Investor concerning the Company's business, financial condition, and prospects, and no such information, when taken as a whole, contains any untrue statement of a material fact or omits to state a material fact necessary to make the statements therein not misleading.

  10. Representations and Warranties of the Investor

    1. The Investor hereby represents and warrants to the Company, as of the Effective Date, as follows.

    2. The Investor is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization, and has all requisite power and authority to execute, deliver, and perform its obligations under this Agreement.

    3. 4. The Investor is an "accredited investor" as such term is defined in Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, as amended, and is acquiring this Agreement and any Conversion Shares issuable hereunder for its own account, for investment purposes only, and not with a view to or for sale in connection with any distribution thereof in violation of applicable securities laws.

    5. The Investor has sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of the investment contemplated hereby, is able to bear the economic risk of such investment (including the risk of total loss), and has had the opportunity to ask questions of and receive answers from the Company concerning the Company and the terms and conditions of this investment.

    6. The Investor acknowledges that this Agreement and any Conversion Shares issuable hereunder have not been registered under the Securities Act of 1933, as amended, or any state securities laws, and may not be transferred or resold except pursuant to an effective registration statement or an applicable exemption from registration.

    7. The Investor has sufficient funds available to make the loan contemplated by this Agreement, and the consummation of the transactions contemplated hereby does not and will not violate any agreement to which the Investor is a party or by which it is bound.

  11. Covenants of the Company

    1. From and after the Effective Date and until the earlier of the conversion in full of this Agreement or the repayment in full of all amounts due hereunder, the Company shall comply with the covenants set forth in this Section.

    2. The Company shall use the proceeds of the loan evidenced by this Agreement solely for working capital and general corporate purposes, and not for any other purpose without the prior written consent of the Investor.

    3. The Company shall maintain its corporate existence in good standing in its jurisdiction of incorporation and shall preserve its material rights, licenses, permits, and franchises necessary to the conduct of its business.

    4. The Company shall maintain books of account and records in accordance with generally accepted accounting principles consistently applied, and shall, upon reasonable request and not more than once per calendar quarter, provide the Investor with such financial information regarding the Company as the Investor may reasonably request, subject to the Investor's agreement to maintain the confidentiality thereof.

    5. The Company shall promptly notify the Investor in writing of (a) the occurrence of any Event of Default or any event that, with the passage of time or giving of notice, would constitute an Event of Default, (b) the commencement of any material litigation or governmental proceeding against the Company, and (c) the anticipated consummation of any Qualified Financing or Change of Control.

    6. The Company shall comply in all material respects with all applicable laws, rules, and regulations binding on the Company or its business, and shall timely pay all taxes, assessments, and other governmental charges imposed upon it, except such as are being contested in good faith by appropriate proceedings.

    7. The Company shall not, without the prior written consent of the Investor, incur or permit to exist any indebtedness for borrowed money that is contractually senior in right of payment to this Agreement, other than (a) ordinary course trade payables, (b) secured bank debt or equipment financing arrangements, and (c) other indebtedness incurred in the ordinary course of business consistent with past practice and not exceeding US$[THRESHOLD] in aggregate principal amount outstanding at any time.

  12. Events of Default and Remedies

    1. Each of the following events shall constitute an "Event of Default" under this Agreement.

    2. The Company shall fail to pay any Principal Amount or accrued interest when due hereunder, and such failure shall continue uncured for a period of [NUMBER] business days after the Investor has provided the Company with written notice thereof.

    3. The Company shall materially breach any representation, warranty, or covenant contained in this Agreement, and such breach, if capable of cure, shall continue uncured for a period of [NUMBER] days after the Investor has provided the Company with written notice thereof.

    4. The Company shall (a) commence any voluntary case under any bankruptcy, insolvency, reorganization, or similar law, (b) consent to the entry of an order for relief in an involuntary case under any such law, (c) make a general assignment for the benefit of creditors, or (d) admit in writing its inability to pay its debts generally as they become due.

    5. An involuntary case or other proceeding shall be commenced against the Company seeking liquidation, reorganization, or other relief under any bankruptcy, insolvency, or similar law, or seeking the appointment of a trustee, receiver, liquidator, or custodian of the Company or any substantial part of its property, and such proceeding shall remain undismissed and unstayed for a period of sixty (60) consecutive days.

    6. The Company shall default on any other indebtedness for borrowed money in an aggregate principal amount exceeding US$[THRESHOLD], and such default shall result in the acceleration of such indebtedness.

    7. Upon the occurrence and during the continuance of any Event of Default, the Investor may, by written notice to the Company, declare the entire outstanding Principal Amount, together with all accrued but unpaid interest thereon and all other amounts payable hereunder, to be immediately due and payable, whereupon the same shall become immediately due and payable without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by the Company; provided that, upon the occurrence of an Event of Default described in the two preceding clauses relating to bankruptcy and insolvency, such acceleration shall occur automatically without the requirement of notice from the Investor.

    8. Upon acceleration of this Agreement, the Investor shall be entitled to pursue any and all remedies available to it at law or in equity, including the right to recover from the Company all reasonable costs and expenses (including reasonable attorneys' fees) incurred in enforcing its rights hereunder. The rights and remedies of the Investor hereunder are cumulative and not exclusive of any other rights or remedies provided by law or equity.

  13. Subordination and Ranking

    1. The indebtedness evidenced by this Agreement shall rank at least pari passu in right of payment with all other unsecured indebtedness for borrowed money of the Company, except for such indebtedness as may be entitled to preference solely by operation of mandatory provisions of applicable law.

    2. The indebtedness evidenced by this Agreement shall be subordinated in right of payment to any secured indebtedness of the Company incurred in connection with bank financing, equipment financing, or similar senior credit facilities now existing or hereafter arising (collectively, "Senior Debt"), and the Investor agrees to execute such customary subordination agreements as any holder of Senior Debt may reasonably require, provided that such subordination agreements do not materially impair the Investor's rights under this Agreement in a manner inconsistent with customary market practice.

    3. In the event the Company issues additional convertible notes or similar convertible instruments after the Effective Date, such instruments shall rank pari passu with this Agreement, and payments and conversions shall be made ratably among all such instruments, unless the Investor consents otherwise in writing.

    4. The Company shall not, without the prior written consent of the Investor, incur any indebtedness that is contractually senior to this Agreement except as expressly permitted under Section 11.

    5. Upon any distribution of assets of the Company in connection with any dissolution, winding up, liquidation, or reorganization (other than a Change of Control treated in accordance with Section 6), the holders of Senior Debt shall first be entitled to receive payment in full before the Investor is entitled to receive any payment hereunder.

    6. Nothing contained in this Section shall impair, as between the Company and the Investor, the obligation of the Company to pay to the Investor the Principal Amount and accrued but unpaid interest hereunder in accordance with the terms of this Agreement.

    7. The provisions of this Section are for the benefit of the holders of Senior Debt, and such holders shall be entitled to enforce the subordination provisions hereof as third party beneficiaries, provided that no such holder may amend or waive any provision of this Section without the written consent of the Investor.

  14. Transfer and Assignment Restrictions

    1. This Agreement, and all rights and obligations hereunder, may not be transferred or assigned by the Company without the prior written consent of the Investor, which consent may be granted or withheld in the Investor's sole and absolute discretion. Any purported assignment in violation of this Section shall be null and void ab initio.

    2. The Investor may not transfer or assign this Agreement, in whole or in part, without the prior written consent of the Company, which consent shall not be unreasonably withheld, conditioned, or delayed; provided, however, that the Investor may transfer or assign this Agreement without such consent to any affiliate of the Investor, so long as such affiliate is an accredited investor and agrees in writing to be bound by all the terms and conditions of this Agreement.

    3. Any transfer or assignment permitted hereunder shall be subject to compliance with all applicable federal and state securities laws, and the transferee shall execute and deliver to the Company such investor representations, accredited investor certifications, and other documentation as the Company may reasonably request to confirm compliance therewith.

    4. The Investor shall provide the Company with prompt written notice of any permitted transfer or assignment hereunder, together with the name and address of the transferee and such other information as the Company may reasonably request to maintain its records.

    5. Upon any permitted transfer or assignment, this Agreement shall be binding upon, and inure to the benefit of, the Parties hereto and their respective successors and permitted assigns.

    6. Nothing in this Agreement, express or implied, is intended to confer upon any Person other than the Parties hereto and their respective permitted successors and assigns any rights, remedies, obligations, or liabilities under or by reason of this Agreement, except as expressly provided in Section 13 with respect to holders of Senior Debt.

  15. Notices

    1. All notices, requests, demands, consents, and other communications required or permitted to be given hereunder shall be in writing and shall be deemed to have been duly given (a) when delivered personally, (b) one (1) business day after being sent by nationally recognized overnight courier with tracking confirmation, (c) three (3) business days after being sent by registered or certified mail, return receipt requested, postage prepaid, or (d) upon confirmation of successful transmission when sent by electronic mail (provided that no bounce-back or non-delivery notification is received), in each case to the addresses set forth below or to such other address as a Party may designate by written notice to the other Party in accordance with this Section.

    2. If to the Company: [COMPANY NAME], Attention: [RECIPIENT NAME/TITLE], Address: [COMPANY ADDRESS], Email: [COMPANY EMAIL].

    3. If to the Investor: [INVESTOR NAME], Attention: [RECIPIENT NAME/TITLE], Address: [INVESTOR ADDRESS], Email: [INVESTOR EMAIL].

    4. A Party may change its address or other notice particulars for purposes of this Agreement by giving written notice of such change to the other Party in accordance with this Section, and such change shall be effective upon receipt.

    5. Notices sent to legal counsel for a Party shall not constitute notice to such Party, unless such counsel has been expressly designated for such purpose by written notice from such Party to the other Party.

    6. Any notice given hereunder shall be deemed received on the next business day if delivered after 5:00 p.m. local time at the place of receipt or on a day that is not a business day at the place of receipt.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [GOVERNING STATE], without giving effect to any choice of law or conflict of law principles that would require the application of the laws of any other jurisdiction.

    2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity hereof, shall first be the subject of good faith negotiations between senior representatives of the Parties for a period of not less than thirty (30) days following written notice from one Party to the other identifying the nature of the dispute and the relief sought.

    3. If the dispute is not resolved through such negotiations, the Parties agree to submit the dispute to confidential binding arbitration administered by [ARBITRATION INSTITUTION] in accordance with its then-prevailing commercial arbitration rules, before a single arbitrator mutually selected by the Parties or, failing agreement, appointed in accordance with such rules.

    4. The seat of arbitration shall be [CITY, STATE], and the language of the arbitration shall be English. The arbitrator's award shall be final and binding on the Parties, and judgment upon such award may be entered in any court of competent jurisdiction.

    5. Notwithstanding the foregoing, either Party may seek interim or injunctive relief from a court of competent jurisdiction in aid of arbitration or to prevent irreparable harm, without being deemed to have waived its right to arbitrate the underlying dispute.

    6. Each Party irrevocably consents to the exclusive jurisdiction of the state and federal courts located in [COUNTY, STATE] for the limited purposes of enforcing any arbitration award, seeking injunctive relief as permitted herein, and resolving any dispute not subject to arbitration under this Agreement.

    7. Each Party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in respect of any proceeding directly or indirectly arising out of or relating to this Agreement.

    8. The prevailing Party in any arbitration or litigation arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party.

  17. Miscellaneous Provisions

    1. This Agreement, together with any instruments executed in connection herewith, constitutes the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties with respect to such subject matter.

    2. This Agreement may be amended, modified, or supplemented only by a written instrument signed by duly authorized representatives of both Parties, and no waiver of any provision hereof shall be effective unless set forth in writing and signed by the Party against whom such waiver is sought to be enforced.

    3. No failure or delay by either Party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or privilege hereunder.

    4. If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.

    5. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission (including PDF or electronic signature services) shall be deemed to have the same legal effect as original signatures.

    6. The Parties are independent contracting parties, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between them.

    7. Each Party shall bear its own costs and expenses (including legal fees) incurred in connection with the negotiation, execution, and delivery of this Agreement, except as otherwise expressly provided herein.

    8. The provisions of this Agreement that by their nature are intended to survive termination or expiration (including provisions relating to representations and warranties, confidentiality, indemnification, governing law, and dispute resolution) shall so survive.

    9. The Parties acknowledge that they have each had the opportunity to consult with legal counsel of their own choosing in connection with this Agreement, and this Agreement shall not be construed against either Party as the drafter.

IN WITNESS WHEREOF, the Parties hereto have caused this Convertible Note Agreement to be executed by their duly authorized representatives as of the Effective Date first above written.
