COACHING AGREEMENT
This Coaching Agreement (hereinafter referred to as the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between [Coach Full Legal Name], an individual/entity organized and existing under the laws of the State of [State], with a principal place of business located at [Coach Address] (hereinafter referred to as the "Coach"), and [Client Full Legal Name], an individual residing at [Client Address] (hereinafter referred to as the "Client"). The Coach and the Client are hereinafter referred to individually as a "Party" and collectively as the "Parties."
WHEREAS, the Coach is engaged in the business of providing professional coaching services and holds experience, methodologies, and expertise relevant to the Client's personal development objectives;
WHEREAS, the Client, acting in the Client's personal capacity and solely for personal, non-commercial purposes, desires to retain the Coach to provide a series of coaching sessions in accordance with the terms and conditions set forth herein;
WHEREAS, the Parties have discussed the nature, scope, and limitations of the coaching relationship and wish to memorialize their mutual understandings and obligations in a binding written agreement;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and undertakings contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.
Definitions and Interpretation
For the purposes of this Agreement, the following terms shall have the meanings ascribed to them herein. "Coaching Services" shall mean the professional coaching, guidance, discussion, questioning, and support activities to be rendered by the Coach to the Client pursuant to the terms of this Agreement, as further described in the section titled Engagement and Scope of Coaching Services.
"Session" shall mean an individual coaching meeting conducted between the Coach and the Client via the online video platform designated by the Coach, of the duration specified in this Agreement, and forming part of the Package purchased by the Client hereunder.
"Package" shall mean the pre-paid bundle consisting of [number] Sessions to be delivered over the duration of this Agreement, acquired by the Client in a single upfront payment as more particularly set forth in the section titled Fees and Payment Terms.
"Confidential Information" shall mean any and all non-public information, whether oral, written, electronic, or in any other form, disclosed by one Party to the other in connection with this Agreement, including, without limitation, personal circumstances, goals, strategies, methodologies, materials, and the fact and content of the coaching relationship itself.
"Coaching Materials" shall mean any workbooks, handouts, templates, exercises, assessments, recordings, written notes, methodologies, frameworks, and other content developed, used, or provided by the Coach in connection with the Coaching Services.
Words importing the singular shall include the plural and vice versa; words importing any gender shall include all other genders; and references to persons shall include natural persons, corporations, partnerships, and other legal entities.
Section headings are inserted solely for convenience of reference and shall not be deemed to affect the construction or interpretation of any provision of this Agreement. In the event of any ambiguity, this Agreement shall not be construed against the Party that drafted it, both Parties having had the opportunity to review and negotiate its terms.
Engagement and Scope of Coaching Services
The Coach hereby agrees to provide, and the Client hereby agrees to accept, the Coaching Services on the terms and subject to the conditions set forth in this Agreement. The engagement shall commence on the Effective Date and shall continue until completion of the Package or earlier termination in accordance with the provisions hereof.
The Coaching Services shall consist of a Package of [number] Sessions, each of approximately [number] minutes in duration, focused upon personal development themes mutually identified by the Parties, which may include, without limitation, [areas of focus, e.g., life direction, career exploration, personal effectiveness, mindset, habits, and goal attainment].
The Coach shall perform the Coaching Services with reasonable care, skill, and diligence consistent with generally accepted professional coaching standards, and shall devote such time and attention as is reasonably necessary to the proper performance of the Coaching Services.
The scope of this engagement is strictly limited to coaching and expressly excludes the provision of psychotherapy, mental health counseling, psychological evaluation, medical advice, legal advice, financial or investment advice, tax advice, accounting services, or any other licensed professional service. The Coach makes no representation that the Coaching Services constitute, substitute for, or are equivalent to any such regulated services.
Any expansion of the scope of the Coaching Services, including additional sessions, programs, or modalities beyond those comprised within the Package, shall require a separate written agreement or addendum signed by both Parties and may be subject to additional fees.
The Coach may, in the Coach's reasonable discretion, decline to address any topic that falls outside the Coach's competency or that the Coach determines, in good faith, to be inappropriate for coaching, and shall where appropriate suggest that the Client seek assistance from a qualified licensed professional.
The Client acknowledges that the Coach is engaged as an independent contractor and that nothing in this Agreement shall be construed to create a partnership, joint venture, employment, agency, or fiduciary relationship between the Parties.
Coaching Goals and Methodology
At or prior to the commencement of the Coaching Services, the Parties shall collaboratively identify and document the Client's primary coaching objectives, desired outcomes, and areas of focus (collectively, the "Coaching Goals"), which shall serve as the general framework for the Sessions during the term of this Agreement.
The Coaching Goals may be reviewed, refined, modified, added to, or wholly replaced from time to time by mutual agreement of the Parties as the engagement progresses, and the Client expressly acknowledges that evolution of goals is a natural and expected feature of the coaching process.
The Coach shall employ such coaching methodologies, frameworks, inquiries, exercises, assessments, and techniques as the Coach, in the Coach's professional judgment, deems appropriate to support the Client in pursuit of the Coaching Goals, and reserves the right to adapt the approach from Session to Session.
The coaching methodology is premised upon the fundamental assumption that the Client is a creative, resourceful, and whole adult who is fully capable of generating the Client's own insights, decisions, and courses of action, and that the Coach's role is to facilitate reflection and self-discovery rather than to prescribe solutions.
The Coach may, from time to time, suggest or assign reflective exercises, reading, journaling, action steps, or other activities to be undertaken by the Client between Sessions. The Client's engagement with any such activities shall remain at the Client's sole discretion and responsibility.
Progress toward the Coaching Goals shall be assessed through ongoing dialogue between the Parties, and either Party may raise concerns regarding progress or methodology at any time, which concerns the other Party shall consider in good faith.
The Coach does not warrant that any particular methodology will be suitable for any particular objective, and the selection and application of coaching methods remains a matter of the Coach's professional discretion.
Session Schedule, Format, and Delivery
All Sessions shall be conducted remotely by means of online video conferencing utilizing a platform designated by the Coach, including without limitation [Zoom/Google Meet/Microsoft Teams/other], the credentials or access link for which shall be communicated by the Coach to the Client in advance of each Session.
The Sessions shall be scheduled by mutual agreement of the Parties, with target frequency of approximately [frequency, e.g., one Session per week or every two weeks], and shall be held during such times as are mutually convenient within the Coach's ordinary business hours of [business hours], prevailing in the Coach's time zone of [time zone].
Each Session shall commence at the agreed time and shall continue for a duration of approximately [number] minutes. In the event that the Client arrives late, the Session shall nonetheless terminate at its scheduled conclusion, and the Client shall not be entitled to any extension or make-up time on account of such tardiness.
The Client is solely responsible for ensuring that the Client possesses the technical equipment, internet connectivity, software, hardware, lighting, environment, and privacy conditions necessary to participate meaningfully in each Session, and the Coach shall bear no responsibility for interruptions, delays, or deficiencies attributable to the Client's technology or environment.
In the event of a technical failure, disconnection, or service interruption that materially impairs a Session, the Parties shall use reasonable efforts to reconnect; if the Session cannot reasonably be continued, the remaining portion shall be rescheduled, provided that the failure was not primarily attributable to the fault of the Client.
Sessions shall not be recorded by either Party without the express prior written consent of the other Party. Any recording that is made shall be used solely for the purposes expressly agreed between the Parties and shall otherwise be treated as Confidential Information.
Between scheduled Sessions, communications shall be limited to brief logistical matters such as scheduling, unless the Parties have expressly agreed to additional between-Session support, and the Coach is under no obligation to provide substantive coaching outside the Sessions themselves.
Fees and Payment Terms
In consideration of the Coaching Services, the Client shall pay to the Coach the sum of [currency amount] (the "Package Fee"), representing full payment for the entire Package of [number] Sessions, which Package Fee shall be payable in full and in advance of the first Session.
Payment of the Package Fee shall be made by [payment method, e.g., bank transfer, credit card, electronic payment platform] to the account or payee designated by the Coach, and no Sessions shall be scheduled or commence until the Package Fee has been received by the Coach in cleared funds.
All amounts stated in this Agreement are exclusive of any applicable sales, use, value added, or similar taxes, which, if any, shall be the responsibility of the Client and shall be added to the Package Fee as required by applicable law.
Each Party shall bear its own bank charges, transaction fees, currency conversion costs, and similar expenses associated with the making or receipt of payment, except that any payment platform surcharge expressly notified by the Coach in advance shall be payable by the Client.
The Package Fee is non-refundable except as expressly provided in the section titled Term and Early Termination, and the Client acknowledges that the Coach reserves time and resources on the Client's behalf in reliance upon the Client's upfront commitment.
Any Sessions comprising the Package shall be used by the Client within [number] months of the Effective Date (the "Package Validity Period"), after which any unused Sessions shall be forfeited without refund, unless otherwise agreed in writing by the Coach.
Any additional services, additional Sessions beyond the Package, or materials provided outside the scope of this Agreement shall be invoiced separately, and such invoices shall be payable within [number] days of issuance.
In the event any undisputed amount owed to the Coach remains unpaid beyond its due date, the Coach shall be entitled, without prejudice to any other remedy, to suspend performance of the Coaching Services until payment is received and to charge interest on the overdue amount at the rate of [percentage] per month or the maximum rate permitted by applicable law, whichever is lower.
Rescheduling and Cancellation Policy
Either Party may reschedule or cancel an individual Session without charge or forfeiture provided that such Party gives the other Party notice of the cancellation or rescheduling request not less than 24 hours in advance of the scheduled start time of the Session concerned.
Where the Client cancels or seeks to reschedule a Session with less than 24 hours' notice, or fails to attend a scheduled Session (a "No-Show"), such Session shall be deemed to have been delivered and shall be deducted from the Session count comprising the Package, without refund or credit.
Notwithstanding the foregoing, the Coach may, in the Coach's sole and absolute discretion, waive the late-cancellation or No-Show forfeiture in cases of documented emergency, serious illness, or other extraordinary circumstances presented in good faith by the Client.
In the event the Coach cancels or reschedules a Session for any reason, the Coach shall promptly offer the Client reasonable alternative times for the Session to be rescheduled, and no Session so cancelled by the Coach shall be deducted from the Package until actually delivered.
Rescheduled Sessions shall be conducted within the Package Validity Period, failing which, subject to clause above, they shall be forfeited unless the delay in rescheduling is attributable to the Coach.
All requests to reschedule or cancel shall be communicated in writing (which, for this purpose, shall include email or any other written electronic communication channel designated by the Coach) and shall be deemed effective upon receipt by the recipient Party.
Repeated late cancellations or No-Shows by the Client may, at the Coach's reasonable discretion, be treated as a material breach of this Agreement and may entitle the Coach to terminate the engagement pursuant to the section titled Term and Early Termination.
Client Responsibilities and Acknowledgments
The Client acknowledges and agrees that the Client is engaging the Coach as a private individual for personal, non-commercial purposes, that participation in the Coaching Services is wholly voluntary, and that the Client bears sole and ultimate responsibility for the Client's choices, decisions, actions, and inactions, both during and following the engagement.
The Client agrees to engage with the Coaching Services openly, honestly, and in good faith, to attend Sessions punctually and prepared, and to communicate candidly regarding the Client's circumstances, objectives, and reactions to the coaching process.
The Client represents that the Client is at least eighteen (18) years of age, is of sound mind, has the legal capacity to enter into this Agreement, and is not presently in a mental, emotional, or physical state that would render coaching inappropriate or unsafe.
The Client acknowledges that the Coaching Services are not a substitute for medical, psychological, psychiatric, legal, financial, or other licensed professional advice or treatment, and the Client undertakes to seek such professional services independently whenever appropriate.
If the Client is currently or subsequently becomes under the care of a mental health professional or treating physician for any condition that may affect the Client's capacity to engage in coaching, the Client is encouraged to consult with such professional prior to and during the engagement.
The Client shall provide the Coach with such information as the Coach may reasonably request from time to time in connection with the delivery of the Coaching Services, and acknowledges that the depth and quality of the coaching outcomes are directly influenced by the accuracy and completeness of such information.
The Client assumes full responsibility for implementing, or declining to implement, any insights, ideas, or action steps arising from the Sessions, and acknowledges that the Coach shall not direct, supervise, or oversee the Client's conduct outside of the Sessions.
No Guarantee of Results and Disclaimer
The Client expressly acknowledges and agrees that the Coach makes no representation, warranty, guarantee, or assurance, whether express or implied, as to any specific result, outcome, benefit, achievement, income, improvement, or transformation that the Client may obtain from the Coaching Services.
The Client's results from the Coaching Services depend upon numerous factors wholly or partially outside the Coach's control, including, without limitation, the Client's own commitment, effort, honesty, implementation, external circumstances, and inherent capabilities, and the Coach shall have no responsibility for any such factors.
Any statements, examples, case studies, testimonials, or illustrations communicated by the Coach, whether during Sessions, on the Coach's website, or in marketing materials, are provided for illustrative purposes only and shall not be construed as a guarantee that any similar result will be achieved by the Client.
The Coach does not diagnose, treat, cure, prevent, or alleviate any physical, mental, emotional, or medical condition, and the Coaching Services shall not be relied upon by the Client as medical, psychological, psychiatric, legal, tax, financial, investment, or other professional advice.
Except as expressly set forth in this Agreement, and to the fullest extent permitted by applicable law, the Coach disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.
The Client acknowledges that the Client's reliance upon the Coaching Services, and upon any materials, statements, or recommendations arising therefrom, is at the Client's sole risk, and the Client releases the Coach from any claims arising from such reliance to the fullest extent permitted by law.
Confidentiality and Non-Disclosure
Each Party (the "Receiving Party") undertakes to the other (the "Disclosing Party") to hold in strict confidence all Confidential Information of the Disclosing Party, to use such Confidential Information solely for the purpose of performing its obligations and exercising its rights under this Agreement, and not to disclose such Confidential Information to any third party except as expressly permitted hereunder.
The Coach, in particular, undertakes to maintain the confidentiality of all personal information, circumstances, communications, and content shared by the Client in the course of the engagement, and shall not disclose the same to any third party without the Client's prior written consent, save as required by law.
The foregoing obligations of confidentiality shall not apply to information that: is or becomes publicly available otherwise than through a breach of this Agreement; was lawfully in the Receiving Party's possession prior to disclosure by the Disclosing Party; is lawfully received from a third party under no obligation of confidentiality; or is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.
The Receiving Party may disclose Confidential Information to the extent required by applicable law, court order, or governmental authority of competent jurisdiction, provided that, where lawful and reasonably practicable, the Receiving Party gives the Disclosing Party prompt notice of such requirement to afford it the opportunity to seek a protective order or similar relief.
Notwithstanding anything to the contrary, the Coach may disclose Confidential Information where the Coach, acting in good faith, believes such disclosure is necessary to prevent imminent harm to the Client or any other person, or in response to a credible threat to life or safety.
The Coach may share general, anonymized, non-identifying descriptions of coaching work with supervisors, mentors, or peer professionals for the purpose of maintaining and improving professional practice, provided that no reasonably identifying details regarding the Client are disclosed.
The obligations of confidentiality set forth in this section shall survive the expiration or termination of this Agreement for a period of [number] years and, with respect to Confidential Information constituting a trade secret, for so long as such information retains its status as a trade secret under applicable law.
Intellectual Property Rights in Coaching Materials
As between the Parties, the Coach shall retain all right, title, and interest in and to the Coaching Materials, including, without limitation, all copyrights, trademarks, trade secrets, methodologies, frameworks, know-how, and other intellectual property rights embodied therein, whether created prior to, during, or after the term of this Agreement.
Subject to the Client's full and timely payment of the Package Fee and compliance with this Agreement, the Coach hereby grants to the Client a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Coaching Materials provided to the Client solely for the Client's own personal, non-commercial purposes in connection with the Client's engagement in the Coaching Services.
The Client shall not copy, reproduce, modify, translate, adapt, distribute, publish, display, transmit, sell, license, sublicense, rent, lease, or otherwise exploit any Coaching Materials, nor create any derivative works therefrom, nor remove any proprietary notices contained therein, without the Coach's prior written consent.
Any notes, insights, journaling, work product, or writings created by the Client in response to or during the Coaching Services shall belong to the Client, provided that nothing in this clause shall be construed to grant the Client any rights in the underlying Coaching Materials, methodologies, or frameworks of the Coach.
The Client shall not record (whether by audio, video, screen capture, or otherwise) any Session, nor transcribe or republish the content of any Session, without the Coach's prior express written consent.
Any feedback, suggestions, or ideas provided by the Client to the Coach regarding the Coaching Services or the Coaching Materials may be used by the Coach without obligation, compensation, or attribution to the Client, provided that any such use shall be in accordance with the confidentiality obligations set forth herein.
Upon termination of this Agreement, the license granted to the Client with respect to the Coaching Materials shall terminate, and the Client shall cease all further use of such Coaching Materials, except that the Client may retain copies of materials specifically delivered to the Client for personal reference purposes.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall either Party be liable to the other, whether in contract, tort (including negligence), strict liability, or otherwise, for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with this Agreement, including, without limitation, loss of profits, loss of business, loss of opportunity, loss of goodwill, or loss of data, even if advised of the possibility of such damages.
The aggregate liability of each Party to the other arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total amount of the Package Fee actually paid by the Client to the Coach under this Agreement in the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations set forth in this section shall not apply to: (i) liability arising from fraud or willful misconduct; (ii) a Party's indemnification obligations under this Agreement; (iii) a Party's breach of its confidentiality obligations; or (iv) any other liability which cannot be limited or excluded as a matter of applicable law.
The Client acknowledges that the fees payable under this Agreement reflect the allocation of risk set forth herein, and that the Coach would not enter into this Agreement without such limitations of liability.
Each Party shall take reasonable steps to mitigate any loss or damage that it may suffer arising out of any matter giving rise to a claim under or in connection with this Agreement.
No claim may be brought by either Party against the other more than one (1) year after the cause of action for such claim first arose, except where applicable law prohibits such limitation, in which case the shortest period permitted by law shall apply.
Indemnification
The Client shall indemnify, defend, and hold harmless the Coach and the Coach's affiliates, employees, agents, successors, and assigns (collectively, the "Coach Indemnitees") from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) any action or omission of the Client in reliance on, or in consequence of, the Coaching Services; (ii) the Client's breach of any representation, warranty, covenant, or obligation under this Agreement; or (iii) the Client's violation of any applicable law or the rights of any third party.
The Coach shall indemnify, defend, and hold harmless the Client from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) the Coach's breach of its confidentiality obligations under this Agreement; (ii) the Coach's gross negligence or willful misconduct in the performance of the Coaching Services; or (iii) any third-party claim that the Coaching Materials, as provided by the Coach and used by the Client in accordance with this Agreement, infringe such third party's intellectual property rights.
The Party seeking indemnification (the "Indemnified Party") shall provide the indemnifying Party (the "Indemnifying Party") with prompt written notice of any claim for which indemnification is sought, provided that failure to give such prompt notice shall not relieve the Indemnifying Party of its obligations hereunder except to the extent that it is materially prejudiced thereby.
The Indemnifying Party shall have the right to assume and control the defense and settlement of any claim for which it is obligated to indemnify, using counsel of its own choosing reasonably acceptable to the Indemnified Party, and the Indemnified Party shall cooperate reasonably in such defense at the Indemnifying Party's expense.
The Indemnifying Party shall not settle any claim in a manner that imposes any non-indemnified obligation, admission of liability, or non-monetary relief upon the Indemnified Party without the Indemnified Party's prior written consent, such consent not to be unreasonably withheld or delayed.
The indemnification obligations set forth in this section shall survive the expiration or termination of this Agreement.
Term and Early Termination
This Agreement shall commence on the Effective Date and shall continue in force until the earlier of: (i) the delivery of all Sessions comprising the Package; (ii) the expiration of the Package Validity Period; or (iii) earlier termination in accordance with this section (the "Term").
Either Party may terminate this Agreement for convenience and without cause by giving the other Party not less than [number] days' prior written notice of termination.
Either Party may terminate this Agreement with immediate effect by written notice to the other Party if: (i) the other Party commits a material breach of this Agreement and, where such breach is capable of remedy, fails to remedy the same within [number] days of receipt of written notice specifying the breach and requiring its remedy; or (ii) the other Party becomes insolvent, enters into bankruptcy, makes an assignment for the benefit of creditors, or ceases to carry on business.
The Coach may terminate this Agreement with immediate effect, upon written notice to the Client, if the Coach reasonably determines in good faith that the continuation of the coaching relationship is unsuitable, unsafe, or not in the Client's best interests, including, without limitation, where the Client would be better served by a licensed professional in another discipline.
In the event of termination by the Client for convenience, or by the Coach for the Client's material breach, the Client shall not be entitled to any refund of the Package Fee for Sessions already delivered and shall forfeit any undelivered Sessions, except that the Coach may, in its sole discretion, offer a pro-rata refund for unused Sessions.
In the event of termination by the Coach for convenience, or by the Client for the Coach's material breach, the Coach shall refund to the Client a pro-rata portion of the Package Fee corresponding to the undelivered Sessions, calculated on the basis of the per-Session value of the Package.
Upon termination of this Agreement for any reason: (i) each Party shall promptly pay to the other any undisputed amounts then owing; (ii) each Party shall return or destroy the other Party's Confidential Information in its possession, save as required to be retained by law; and (iii) all provisions of this Agreement that by their nature should survive termination, including those relating to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution, shall so survive.
Governing Law and Dispute Resolution
This Agreement, and any dispute, controversy, or claim arising out of or in connection with it or its subject matter (whether contractual or non-contractual), shall be governed by and construed in accordance with the laws of the State of [Governing State], United States of America, without regard to its conflict of laws principles.
The Parties shall endeavor in good faith to resolve any dispute, controversy, or claim arising out of or in connection with this Agreement through direct negotiation between them, which negotiation shall commence promptly upon written notice from one Party to the other identifying the dispute.
If any dispute is not resolved by direct negotiation within thirty (30) days after the delivery of the initial notice, the Parties shall first attempt in good faith to resolve the dispute through confidential mediation, administered by a mediator mutually agreed upon by the Parties, or in default of agreement, by a mediator appointed by [mediation organization or body]. The costs of mediation shall be shared equally between the Parties.
If the dispute is not resolved by mediation within sixty (60) days after the appointment of the mediator, the dispute shall be finally resolved by binding arbitration administered by [arbitration body, e.g., American Arbitration Association] under its then-applicable rules, by a single arbitrator, with the arbitration conducted in [City, State] in the English language.
Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction, and the arbitrator shall have the authority to award any remedy that would be available in a court of law or equity, except that the arbitrator shall not have the authority to award punitive damages or damages otherwise excluded under this Agreement.
Notwithstanding the foregoing, either Party may seek interim or injunctive relief in a court of competent jurisdiction to protect its Confidential Information or intellectual property rights, pending the outcome of mediation or arbitration.
Each Party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in [County, State] for any judicial proceedings permitted by this Agreement, and waives any objection to venue or forum non conveniens in such courts.
Notices
All notices, requests, consents, demands, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given when delivered: (i) personally; (ii) by nationally recognized overnight courier; (iii) by certified or registered mail, return receipt requested, postage prepaid; or (iv) by email, with delivery confirmed by response or by subsequent written confirmation.
Notices to the Coach shall be sent to: [Coach Name], [Coach Address], email: [Coach Email], or to such other address as the Coach may designate from time to time by written notice to the Client.
Notices to the Client shall be sent to: [Client Name], [Client Address], email: [Client Email], or to such other address as the Client may designate from time to time by written notice to the Coach.
Notices shall be deemed received: upon personal delivery; one (1) business day after deposit with an overnight courier; three (3) business days after deposit in the mail if sent by certified or registered mail; or upon transmission if sent by email during normal business hours of the recipient (and otherwise on the next business day), provided that no error or non-delivery message is received by the sender.
Routine, operational communications relating to session scheduling, logistics, and ordinary administrative matters may be exchanged by email or any other channel designated by the Coach, without compliance with the formalities of this section.
Each Party shall promptly notify the other in writing of any change in its contact details, and shall remain responsible for any failure or delay in receipt of notices caused by the failure to do so.
Entire Agreement and Amendments
This Agreement, including all its sections, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations, and discussions, whether oral or written, between the Parties with respect to such subject matter.
Each Party acknowledges that, in entering into this Agreement, it has not relied upon any statement, representation, warranty, or assurance (whether made negligently or innocently) other than those expressly set out in this Agreement, and waives any claim based on any such extraneous statement, representation, warranty, or assurance.
No modification, amendment, supplement, or variation of this Agreement shall be effective unless made in writing and signed by both Parties, provided that the Coach may, from time to time, update the Coach's general operational policies on reasonable notice to the Client, so long as such updates do not materially alter the Client's rights or obligations under this Agreement.
No course of dealing, course of performance, or usage of trade shall be deemed to amend or modify any provision of this Agreement, nor shall any oral statement or informal correspondence have such effect.
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Executed counterparts transmitted by electronic means (including PDF or recognized e-signature platforms) shall be deemed to be originals for all purposes.
Severability and Waiver
If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement, which shall remain in full force and effect.
Upon a determination that any provision is invalid, illegal, or unenforceable, the Parties shall negotiate in good faith to modify such provision so as to effect the original intent of the Parties as closely as possible in a mutually acceptable, lawful, and enforceable manner.
No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.
No waiver of any provision of this Agreement, or of any breach or default thereof, shall be effective unless in writing and signed by the Party against whom such waiver is to be enforced, and any such waiver shall be effective only in the specific instance and for the specific purpose for which given.
The rights and remedies provided by this Agreement are cumulative and are in addition to, and not exclusive of, any rights and remedies provided by law or in equity, except as expressly limited herein.
The Parties agree that the mutual covenants and obligations set forth in this Agreement are to be construed and enforced to the maximum extent permitted by law, and that no provision shall be more narrowly construed than necessary to render it enforceable.
Assignment and Miscellaneous Provisions
Neither Party may assign, transfer, delegate, or subcontract any of its rights or obligations under this Agreement without the prior written consent of the other Party, except that the Coach may assign this Agreement in connection with a merger, reorganization, or sale of all or substantially all of the Coach's business or assets, upon written notice to the Client.
The Coaching Services are personal in nature; the Client's rights under this Agreement are personal to the Client and may not be transferred, assigned, or used by any other person.
This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns, and nothing herein, express or implied, is intended to confer upon any third party any rights, remedies, or benefits under or by reason of this Agreement.
Neither Party shall be liable for any delay or failure to perform any obligation under this Agreement (other than an obligation to make payment) to the extent that such delay or failure is caused by circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, epidemics, pandemics, government action, war, civil unrest, terrorism, labor disputes, utility failures, or interruption of internet or telecommunications services, provided that the affected Party gives prompt notice to the other and uses reasonable efforts to resume performance.
The Parties are and shall remain independent contractors with respect to each other, and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, agency, or franchise relationship between them. Neither Party shall have the authority to bind or create any obligation on behalf of the other.
The recitals set forth at the beginning of this Agreement are hereby incorporated into and made a part of this Agreement, and the Parties acknowledge the truth thereof.
Each Party shall, at its own cost, execute and deliver such further documents and instruments and take such other actions as may be reasonably necessary or desirable to carry out the intent and purposes of this Agreement.
IN WITNESS WHEREOF, the Parties have executed this Coaching Agreement as of the Effective Date first written above.
