Any reference to a statute, regulation, or legal instrument shall be construed as a reference to such statute, regulation, or instrument as from time to time amended, consolidated, modified, extended, re-enacted, or replaced.
Scope of Services

The Services shall encompass, without limitation, the preparation and delivery of the following Deliverables: [Description of Deliverables], each of which shall conform in all material respects to the specifications, standards, and criteria set forth herein or as subsequently agreed in writing between the Parties.
The scope of the Services as defined herein is comprehensive and exhaustive, and no additional work, task, service, or deliverable shall be undertaken by the Service Provider at the Client's expense except pursuant to a written variation duly executed by both Parties in accordance with the provisions of this Agreement.
Any proposed modification, expansion, reduction, or other variation to the scope of the Services shall be initiated by a written change request submitted by either Party, specifying the nature of the proposed change, its anticipated impact on timing and fees, and the reasons therefor, and no such change shall take effect unless and until countersigned by the Client.
The Service Provider acknowledges and agrees that the Client is engaging the Services in a personal, non-commercial capacity, and that the Services and Deliverables shall be fit for the Client's personal purposes as communicated to the Service Provider prior to the Effective Date.
The Service Provider shall exercise due diligence in ascertaining the Client's requirements and shall promptly notify the Client in writing of any ambiguity, inconsistency, or omission in the stated scope which may affect the proper performance of the Services.
Nothing in this section shall be construed as obligating the Client to accept or pay for any work performed outside the agreed scope, nor as entitling the Service Provider to any additional compensation in respect of such unauthorized work.
Milestones and Deadlines
The Service Provider shall perform the Services and deliver the Deliverables in accordance with the following Milestones and corresponding deadlines, which the Parties hereby acknowledge are of the essence of this Agreement:
Milestone 1: [Description of Milestone 1], to be completed and delivered on or before [Date];

Should the Client identify deficiencies in any Deliverable, the Service Provider shall, at its sole cost and expense, promptly remedy such deficiencies and resubmit the corrected Deliverables within [Number] business days, whereupon the review and acceptance procedure set forth above shall apply mutatis mutandis.
Any delay in the completion of a Milestone attributable to the Service Provider shall entitle the Client, without prejudice to any other rights or remedies available at law or under this Agreement, to claim liquidated damages at the rate of [Percentage] percent of the Fees allocable to the delayed Milestone for each [Day/Week] of delay, up to a maximum of [Percentage] percent of such Fees.
Time shall be of the essence with respect to each and every Milestone and deadline set forth herein, and the Service Provider shall not be entitled to any extension of time save with the prior written consent of the Client, which consent may be withheld in the Client's sole and absolute discretion.
In the event that the Service Provider anticipates or becomes aware of any circumstance likely to cause delay in the achievement of any Milestone, it shall forthwith notify the Client in writing, setting forth the cause, expected duration, and proposed mitigation measures.
Place and Manner of Performance
The Services shall be performed primarily at the Client's premises located at [Client Location Address], or at such other location as the Client may from time to time designate in writing, and the Service Provider shall deploy its personnel and resources accordingly.

The Service Provider shall ensure the orderly conduct of its personnel while at the Client's premises and shall be liable for any damage caused to the Client's property, premises, or belongings as a result of any negligent act or omission on the part of such personnel.
The Service Provider shall maintain the Client's premises in a clean and orderly condition during the performance of the Services and shall, upon completion of each attendance, remove all tools, equipment, waste materials, and debris generated in the course of its work.
Where the Service Provider reasonably requires access to utilities, workspace, or facilities at the Client's premises, the Client shall afford such reasonable access as may be necessary for the proper performance of the Services, provided that such requirements have been communicated to the Client in advance.
Obligations of the Service Provider
The Service Provider shall perform the Services with the highest degree of professional skill, diligence, care, and workmanship customarily exercised by established practitioners in the relevant field and shall ensure that the Services conform in all respects to the standards reasonably expected of a competent and reputable service provider.
The Service Provider shall deploy sufficient personnel of appropriate qualifications, experience, and competence to perform the Services in accordance with the Milestones and deadlines set forth herein, and shall not substitute key personnel without the prior written consent of the Client.
The Service Provider shall comply with all applicable laws, regulations, codes of practice, and professional standards relevant to the performance of the Services and shall obtain, maintain, and renew at its own expense all licenses, permits, authorizations, and registrations required for the lawful conduct of its business and the rendering of the Services.
The Service Provider shall maintain, at its own cost, adequate professional indemnity, public liability, and such other insurance coverage as is customary and appropriate for a service provider of its nature and scale, in amounts sufficient to cover its liabilities under this Agreement, and shall furnish evidence of such coverage upon the Client's reasonable request.
The Service Provider shall keep the Client regularly informed as to the progress of the Services, promptly report any issues, risks, or impediments which may affect the performance of this Agreement, and furnish such reports, updates, and information as the Client may from time to time reasonably request.
The Service Provider shall ensure that all its personnel engaged in the performance of the Services are bound by obligations of confidentiality, non-solicitation, and intellectual property assignment no less onerous than those contained in this Agreement, and shall remain fully responsible for the acts and omissions of such personnel.
The Service Provider shall perform the Services as an independent contractor and nothing in this Agreement shall be construed as creating a relationship of employment, agency, partnership, or joint venture between the Parties.
The Service Provider warrants that the performance of its obligations hereunder will not infringe upon, violate, or conflict with the rights of any third party, nor cause the Client to incur any liability to any such third party.
Obligations of the Client
The Client shall provide the Service Provider with such information, documentation, and access as is reasonably necessary for the proper performance of the Services, within reasonable timeframes following written request by the Service Provider.
The Client shall review and respond to requests for approval, feedback, or acceptance of Deliverables within the periods specified herein, and shall not unreasonably withhold, delay, or condition any such approval or acceptance.
The Client shall afford the Service Provider's personnel reasonable access to the Client's premises during agreed working hours for the purpose of performing the Services, subject to compliance by such personnel with the Client's reasonable rules and requirements.
The Client shall pay the Fees in the manner and at the times stipulated in the section titled Fees and Payment Terms, subject to the Service Provider's due performance of the corresponding Milestones and compliance with the invoicing requirements set forth herein.
The Client shall designate a point of contact for all day-to-day communications relating to the performance of this Agreement and shall notify the Service Provider in writing of any change in such designation.
The Client shall not be obligated to furnish any equipment, tools, materials, or supplies to the Service Provider, save as may be expressly agreed in writing, and the Client's obligations hereunder shall be limited to those expressly set forth in this Agreement.
The Client reserves the right to inspect, audit, and verify the Service Provider's performance of the Services at any reasonable time, and the Service Provider shall cooperate fully with any such inspection, audit, or verification.
Fees and Payment Terms
In consideration of the due and proper performance of the Services, the Client shall pay to the Service Provider the aggregate sum of [Amount] [Currency] (the "Fees"), exclusive of any applicable taxes, which Fees shall be apportioned among the Milestones as follows:
Milestone 1: [Amount] [Currency]; Milestone 2: [Amount] [Currency]; Milestone 3: [Amount] [Currency]; Milestone [N]: [Amount] [Currency].
Payment of each Milestone installment shall become due only upon the Client's unconditional written acceptance of the corresponding Deliverables in accordance with the acceptance procedure set forth in the section titled Milestones and Deadlines, and shall be payable within [Number] days of the Client's receipt of a valid and compliant invoice from the Service Provider.
Each invoice issued by the Service Provider shall identify the relevant Milestone, reference this Agreement, specify the amount payable, and include such other particulars as the Client may reasonably require, and shall be accompanied by evidence of the Client's written acceptance of the corresponding Deliverables.
The Fees are inclusive of all costs, expenses, overheads, charges, and disbursements incurred by the Service Provider in the performance of the Services, and no additional sum shall be payable by the Client save as expressly provided herein or agreed in writing in advance.
All taxes, levies, duties, withholdings, and governmental charges payable in respect of the Fees or the Services shall be borne by the Service Provider, save to the extent that any such tax is required by law to be borne by the Client, in which case the Fees shall be deemed to include such tax.
The Client shall be entitled to withhold or set off against any sums due to the Service Provider any amounts owed by the Service Provider to the Client under this Agreement, whether in respect of liquidated damages, defective performance, overpayment, or otherwise.
In the event of any bona fide dispute as to any portion of an invoice, the Client shall be entitled to withhold payment of the disputed portion without such withholding constituting a breach of this Agreement, and the Parties shall endeavor in good faith to resolve such dispute promptly.
Payment shall be made by bank transfer to such account as the Service Provider may from time to time designate in writing, and payment shall be deemed to have been made upon the initiation of the relevant transfer by the Client's bank.
Representations and Warranties
The Service Provider represents, warrants, and undertakes to the Client that it possesses the full right, power, authority, and capacity to enter into this Agreement and to perform the obligations hereunder, and that this Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms.
The Service Provider further represents and warrants that it holds, and shall maintain throughout the Term, all licenses, permits, qualifications, registrations, and authorizations required by law for the lawful conduct of its business and the performance of the Services.
The Service Provider represents and warrants that the Services shall be performed in a professional, workmanlike, timely, and competent manner, in accordance with the highest standards of the profession and in conformity with all specifications, requirements, and acceptance criteria set forth herein.
The Service Provider represents and warrants that all Deliverables shall be free from material defects in design, workmanship, and materials, shall conform to the agreed specifications, and shall be fit for the purposes communicated by the Client prior to the Effective Date.
The Service Provider represents and warrants that neither the performance of the Services nor the use of the Deliverables by the Client shall infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right of any third party.
The Service Provider represents and warrants that it has not and shall not offer, give, or receive any bribe, kickback, inducement, or other improper payment or benefit in connection with this Agreement or the Services, and that it shall comply with all applicable anti-corruption and anti-bribery laws.
The Client represents and warrants that it has the legal capacity to enter into this Agreement and that the information provided by it to the Service Provider for the purpose of this engagement is, to the best of its knowledge, accurate and complete in all material respects.
The warranties set forth in this section are in addition to, and not in substitution for, any warranties, conditions, or guarantees implied by law in favor of the Client, and the Service Provider acknowledges that no such implied warranty, condition, or guarantee is excluded or diminished by this Agreement.
Confidentiality
Each Party (the "Receiving Party") undertakes to the other (the "Disclosing Party") to hold in strictest confidence all Confidential Information of the Disclosing Party, and to use such Confidential Information solely for the purposes of performing its obligations or exercising its rights under this Agreement and for no other purpose whatsoever.
The Receiving Party shall apply to the Disclosing Party's Confidential Information no lesser standard of care than it applies to its own confidential information of similar nature and importance, and in any event no less than a reasonable standard of care.
The Receiving Party shall not disclose any Confidential Information of the Disclosing Party to any third party without the prior written consent of the Disclosing Party, save that it may disclose such information to its personnel, advisors, and representatives on a strict need-to-know basis, provided that such recipients are bound by obligations of confidentiality no less stringent than those contained herein.
The obligations of confidentiality set forth herein shall not apply to information which: is or becomes publicly available otherwise than through breach of this Agreement; was lawfully in the Receiving Party's possession prior to receipt from the Disclosing Party and free of any obligation of confidence; is independently developed by the Receiving Party without use of or reference to the Confidential Information; or is lawfully received from a third party free of any obligation of confidence.
The Receiving Party may disclose Confidential Information to the extent required by law, regulation, court order, or competent governmental or regulatory authority, provided that, where lawfully permitted, it shall give the Disclosing Party prompt written notice of such requirement so as to afford the Disclosing Party an opportunity to seek protective relief.
The Service Provider acknowledges that it may, in the course of attending the Client's premises, come into contact with sensitive personal information concerning the Client and the Client's household, and the Service Provider undertakes to treat all such information with the utmost discretion and respect for the Client's privacy.
Upon termination or expiration of this Agreement, or at any earlier time upon the Disclosing Party's written request, the Receiving Party shall promptly return or, at the Disclosing Party's election, destroy all Confidential Information in its possession or control, and shall certify such return or destruction in writing.
The obligations of confidentiality set forth in this section shall survive the termination or expiration of this Agreement for a period of [Number] years, or indefinitely in respect of any Confidential Information which constitutes a trade secret or personal data under applicable law.
Intellectual Property Rights
All intellectual property rights, including without limitation copyrights, patents, trademarks, trade secrets, moral rights, database rights, and all other proprietary rights, in and to any and all Deliverables, work products, inventions, discoveries, improvements, materials, documents, data, and other items created, developed, produced, or furnished by the Service Provider in the performance of the Services (collectively, the "Work Product") shall vest exclusively in the Client upon creation.
To the extent that any intellectual property rights in any Work Product do not vest automatically in the Client by operation of law, the Service Provider hereby irrevocably and unconditionally assigns, transfers, and conveys to the Client, with full title guarantee and free from all encumbrances, all such rights throughout the world and for the full term of such rights, including all renewals, extensions, and reversions thereof.
The Service Provider shall, at the Client's request and expense, execute such further documents, deeds, and instruments and perform such further acts as the Client may reasonably require to perfect, record, or evidence the Client's ownership of the Work Product, including the filing and prosecution of applications for registration of intellectual property rights.
The Service Provider hereby irrevocably waives, to the fullest extent permitted by applicable law, all moral rights and rights of a similar nature which it may have in or to the Work Product, and warrants that it has obtained equivalent waivers from any of its personnel involved in the creation of the Work Product.
The Service Provider warrants that it shall not incorporate into any Work Product any pre-existing materials, open source materials, or third-party materials without the Client's prior written consent, and that in the event any such materials are so incorporated with the Client's consent, the Service Provider shall grant or procure for the Client a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, modify, and exploit such materials as part of the Work Product.
The Service Provider shall not use the Client's name, likeness, image, or any Work Product for any purpose, including marketing, promotional, or portfolio purposes, without the Client's prior written consent.
No license, right, or interest in or to any intellectual property of the Client is granted to the Service Provider under this Agreement save to the extent strictly necessary for the performance of the Services, and any such license shall terminate automatically upon termination or expiration of this Agreement.
Limitation of Liability
The Service Provider's liability under or in connection with this Agreement, whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise, shall not be limited or excluded in respect of: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; breach of its confidentiality obligations; breach of its intellectual property obligations and warranties; its indemnification obligations hereunder; or any other liability which cannot be lawfully limited or excluded.
Subject to the foregoing, the aggregate liability of the Service Provider under or in connection with this Agreement shall not be deemed limited and shall extend to the full amount of all direct, indirect, consequential, and incidental losses, damages, costs, and expenses actually incurred by the Client as a result of the Service Provider's breach, act, omission, or default.
The Client shall not be liable to the Service Provider for any indirect, consequential, special, incidental, or punitive damages of any kind arising out of or in connection with this Agreement, howsoever caused.
The Client's aggregate liability to the Service Provider under or in connection with this Agreement, whether in contract, tort, or otherwise, shall in no event exceed the total amount of unpaid Fees actually due and payable by the Client in respect of Services properly performed and accepted as at the date on which the relevant liability arose.
Nothing in this section shall operate to exclude or limit any liability of either Party which cannot lawfully be excluded or limited under applicable law, including any liability for death or personal injury caused by negligence or for fraud.
The Service Provider acknowledges that the limitations set forth in favor of the Client reflect the fact that the Client is contracting as a consumer in a personal capacity, and that any attempt to impose onerous or unexpected limitations upon the Client would be contrary to the spirit of this Agreement.
Each Party shall take all reasonable steps to mitigate any loss or damage which it may suffer in consequence of any breach by the other Party of its obligations hereunder.
Indemnification
The Service Provider shall indemnify, defend, and hold harmless the Client, and the Client's family members, representatives, successors, and assigns, from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and expenses) arising out of or in connection with: any breach by the Service Provider of any representation, warranty, covenant, or obligation under this Agreement; any negligent, reckless, or willful act or omission of the Service Provider or its personnel; any claim by a third party that the Services or Deliverables infringe or misappropriate any intellectual property or proprietary right; any claim brought by any employee, agent, subcontractor, or representative of the Service Provider; any damage to property, personal injury, or death caused by the Service Provider or its personnel; and any breach of applicable law or regulation by the Service Provider.
The Client shall promptly notify the Service Provider in writing of any claim in respect of which indemnification is sought hereunder, provided that any delay in providing such notice shall not relieve the Service Provider of its indemnification obligations save to the extent that the Service Provider is materially prejudiced thereby.
The Service Provider shall, at its own cost, assume and conduct the defense of any claim in respect of which it is required to indemnify the Client, using counsel reasonably acceptable to the Client, provided that the Client shall have the right to participate in such defense with counsel of its own choosing at its own expense.
The Service Provider shall not settle, compromise, or admit liability in respect of any claim indemnified hereunder without the Client's prior written consent, which consent shall not be unreasonably withheld, where such settlement, compromise, or admission would impose any obligation or liability upon the Client or restrict the Client's rights.
The Client shall provide the Service Provider with such reasonable assistance as the Service Provider may require in the defense of any indemnified claim, at the Service Provider's cost.
The indemnification obligations set forth in this section are in addition to, and not in substitution for, any other rights or remedies available to the Client under this Agreement or at law.
The indemnification obligations of the Service Provider shall survive the termination or expiration of this Agreement.
Term and Termination
This Agreement shall commence on the Effective Date and shall remain in full force and effect until the completion of all Milestones and the full discharge of all obligations of the Parties hereunder, unless earlier terminated in accordance with the provisions of this section (the "Term").
The Client may terminate this Agreement at any time, in whole or in part, for its convenience and without cause, upon the giving of [Number] days' prior written notice to the Service Provider. Upon such termination, the Client shall pay the Service Provider for all Milestones duly completed and accepted prior to the effective date of termination, and no further sum shall be payable by the Client.
The Service Provider may terminate this Agreement for its convenience upon the giving of not less than [Number] days' prior written notice to the Client, provided that such termination shall not take effect prior to the completion of any Milestone then in progress, and the Service Provider shall take all reasonable steps to ensure an orderly handover of the Services and Deliverables to the Client or to a successor service provider nominated by the Client.
Either Party may terminate this Agreement forthwith by written notice to the other in the event of: a material breach by the other Party of any provision of this Agreement which, if capable of remedy, is not remedied within [Number] days of written notice requiring its remedy; the other Party becoming insolvent, bankrupt, or unable to pay its debts as they fall due; or the other Party ceasing or threatening to cease to carry on business.
Upon termination of this Agreement for any reason: the Service Provider shall immediately cease performance of the Services; the Service Provider shall deliver to the Client all Deliverables, Work Products, materials, documents, and Confidential Information in its possession or control; and each Party shall return or destroy the other's Confidential Information in accordance with the section titled Confidentiality.
Termination of this Agreement shall be without prejudice to any rights, remedies, or obligations of either Party which have accrued prior to the date of termination.
The provisions of this Agreement which by their nature are intended to survive termination, including those relating to confidentiality, intellectual property, limitation of liability, indemnification, and governing law, shall survive termination or expiration of this Agreement.
Force Majeure
Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, armed conflict, acts of terrorism, civil unrest, strikes, lockouts, labor disputes not involving its own workforce, epidemics, pandemics, or governmental actions ("Force Majeure Event"), excluding financial difficulties or inability to pay.
The Party affected by a Force Majeure Event shall promptly notify the other Party in writing, specifying the nature of the event, its expected duration, and the obligations affected, and shall use all reasonable endeavors to mitigate the effects of such event and resume performance as soon as reasonably practicable.
During the continuance of a Force Majeure Event, the affected Party's obligations shall be suspended to the extent affected by such event, and the time for performance shall be extended for a period equivalent to the period of delay caused by the Force Majeure Event.
If a Force Majeure Event continues for a period in excess of [Number] days, the Client shall be entitled to terminate this Agreement forthwith by written notice to the Service Provider without further liability, and the Client shall be liable only for Milestones duly completed and accepted prior to the commencement of the Force Majeure Event.
The occurrence of a Force Majeure Event shall not relieve either Party of its obligations which have accrued prior to the occurrence of such event, including without limitation the Client's obligation to pay for Milestones completed and accepted prior to such event.
The Service Provider shall bear the risk of its own personnel, subcontractors, and resources, and matters internal to its organization shall not constitute Force Majeure Events for the purposes of this section.
Notices
All notices, consents, approvals, requests, and other communications required or permitted to be given under this Agreement shall be in writing in the English language and shall be delivered personally, sent by registered or certified mail with return receipt requested, by reputable overnight courier, or by electronic mail with confirmation of receipt.
Notices to the Service Provider shall be addressed to: [Service Provider Name], [Address], Attention: [Contact Person], Email: [Email Address].
Notices to the Client shall be addressed to: [Client Name], [Address], Email: [Email Address].
A notice shall be deemed duly given: if delivered personally, upon delivery; if sent by registered mail, upon receipt or refusal of receipt; if sent by overnight courier, on the next business day after dispatch; and if sent by electronic mail, upon confirmation of receipt by the recipient, provided that any notice received outside business hours shall be deemed received on the next business day.
Either Party may change its address or contact details for the service of notices by giving written notice of such change to the other Party in accordance with this section, and such change shall take effect [Number] business days after receipt of such notice.
Notices relating to the termination of this Agreement, breach, or legal proceedings shall not be effective if sent solely by electronic mail and shall additionally be sent by registered mail or overnight courier to be effective.
Governing Law and Dispute Resolution
This Agreement shall be governed by, construed, and interpreted in accordance with the laws of [Country/Jurisdiction], without regard to its conflict of laws principles.
The Parties shall endeavor in good faith to resolve any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, through amicable negotiations between duly authorized representatives of each Party.
Should such negotiations fail to resolve the dispute within [Number] days of written notice by one Party to the other of the existence of a dispute, the Parties shall submit the matter to mediation administered by a mutually agreed mediator in [City, Country], the costs of which shall be borne equally by the Parties.
In the event that the dispute is not resolved through mediation within [Number] days of its commencement, the dispute shall be finally submitted to the exclusive jurisdiction of the competent courts of [City, Country], to which the Parties hereby irrevocably submit.
Notwithstanding the foregoing, the Client shall be entitled to seek injunctive, equitable, or other urgent interim relief in any court of competent jurisdiction without first exhausting the negotiation and mediation procedures set forth herein.
Nothing in this section shall deprive the Client of any mandatory protections afforded by the laws of the Client's place of residence, and the Service Provider acknowledges that the Client shall retain all consumer rights and protections to which it is entitled under applicable law.
Each Party shall bear its own costs and expenses in connection with any dispute resolution proceedings, save that the prevailing Party shall be entitled to recover its reasonable legal fees and expenses from the non-prevailing Party.
Miscellaneous Provisions
This Agreement, together with any documents expressly incorporated by reference herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, representations, and agreements, whether written or oral, relating to such subject matter.
No amendment, modification, or variation of this Agreement shall be effective unless made in writing and signed by both Parties.
No waiver by either Party of any breach or default of any provision of this Agreement shall constitute a waiver of any subsequent breach or default of the same or any other provision, and no failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall continue in full force and effect, and the Parties shall endeavor in good faith to replace the invalid provision with a valid provision which most closely reflects the original intent of the Parties.
The Service Provider shall not assign, transfer, subcontract, or otherwise dispose of any of its rights or obligations under this Agreement without the prior written consent of the Client. The Client may assign or transfer its rights and obligations under this Agreement to any third party upon written notice to the Service Provider.
Nothing in this Agreement shall create or be deemed to create any partnership, joint venture, agency, employment, or fiduciary relationship between the Parties, and neither Party shall have the authority to bind the other in any manner whatsoever.
This Agreement is made solely for the benefit of the Parties and their permitted successors and assigns, and no third party shall have any right to enforce any provision hereof.
This Agreement may be executed in any number of counterparts, each of which when executed shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures and copies shall be deemed valid and binding to the same extent as original signatures.
The Parties confirm that they have had the opportunity to seek independent legal advice prior to entering into this Agreement, and that the terms hereof have been freely negotiated and mutually agreed.
IN WITNESS WHEREOF, the Parties hereto have executed this Service Agreement as of the Effective Date first above written.
