NOW, THEREFORE, in consideration of the mutual covenants, representations, warranties, and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

Any reference to a statute shall be deemed to refer to such statute as amended or re-enacted from time to time.

  2. Scope of Catering Services

    1. The Caterer shall furnish to the Client the catering Services described in this Agreement, including the planning, procurement, preparation, cooking, transportation, presentation, and service of food and beverages for the Event in accordance with the specifications agreed between the Parties.

    2. The Services shall further include such ancillary services as the Parties have mutually agreed upon in writing, which may include [bar service], [cake cutting], [buffet or plated service], [tableware setup], [linen placement], and [post-service cleanup of catering areas].

    3. The Caterer shall perform the Services in a professional, workmanlike, and timely manner, consistent with the standards of care and skill customarily observed by reputable catering businesses operating in the geographic area in which the Event is held.

    4. Any additional services not expressly described herein, including but not limited to [floral arrangements], [entertainment], [photography], or [venue decoration beyond catering tables], are expressly excluded unless separately agreed in writing and subject to additional charges.

    5. The Caterer reserves the right to subcontract discrete elements of the Services to qualified third-party vendors, provided that the Caterer shall remain fully responsible to the Client for the performance of any such subcontractor and the quality of the Services rendered.

    6. Any material modification to the scope of Services after the Effective Date shall be documented in a written change order signed by both Parties, which shall set forth the modification and any corresponding adjustment to the Total Contract Price and timeline.

  3. Event Details and Venue

    1. The Event shall be held on [Event Date], commencing at [Start Time] and concluding at [End Time] (such period, together with reasonable setup and breakdown time, the "Service Period").

    2. The Event shall be held at the following Venue: [Venue Name and Address]. The Client represents and warrants that it has secured, or shall secure prior to the Event, all necessary rights, permissions, and reservations required for the Caterer to access and perform the Services at the Venue.

    3. The nature of the Event is [description of event, e.g., wedding reception, birthday celebration, anniversary dinner], and the Services shall be tailored accordingly, as reflected in the menu and service style mutually agreed by the Parties.

    4. The Client shall provide the Caterer with the name and contact information of the Venue coordinator or other on-site representative not less than [number] days prior to the Event, in order to facilitate coordination of logistics, delivery, access, and setup.

    5. Should the Venue impose any restrictions, rules, or requirements upon vendors (including, without limitation, insurance, licensing, parking, loading, noise, open flame, alcohol service, or waste disposal requirements), the Client shall notify the Caterer in writing of all such restrictions promptly upon becoming aware thereof, and in any event not less than [number] days prior to the Event.

    6. Any change in Event date, time, or Venue requested by the Client after the Effective Date shall be subject to the Caterer's availability and written consent, and may result in additional charges or treatment as a cancellation in accordance with Section 13.

    7. The Caterer shall not be responsible for any damage to, or condition of, the Venue arising from circumstances beyond its reasonable control, nor for any failure of the Venue to meet the requirements necessary for safe and sanitary preparation or service of food and beverages.

  4. Menu Selection and Dietary Requirements

    1. The Caterer shall prepare and serve the menu items mutually agreed upon by the Parties in writing (the "Menu"), which shall be finalized not later than the Cut-Off Date. The Menu shall specify the courses, dishes, service style, and any beverage selections.

    2. The Client may request modifications to the Menu prior to the Cut-Off Date, subject to the Caterer's confirmation of feasibility and any corresponding adjustment to the Total Contract Price. After the Cut-Off Date, no further changes to the Menu shall be accepted except with the Caterer's written consent.

    3. The Client shall inform the Caterer in writing, not later than the Cut-Off Date, of any special dietary requirements, allergies, intolerances, or religious or cultural restrictions applicable to any guest, together with the number of guests affected and the specific nature of each requirement.

    4. While the Caterer shall use commercially reasonable efforts to accommodate disclosed dietary requirements and to prevent cross-contact, the Caterer does not operate an allergen-free kitchen and cannot guarantee that any dish is entirely free from any allergen. The Client acknowledges and accepts the inherent risks of serving food to guests with allergies or intolerances.

    5. The Caterer reserves the right to substitute Menu items of equivalent or superior quality in the event that any ingredient becomes unavailable or impracticable to procure, provided that the Caterer shall endeavor to notify the Client in advance of any such substitution where reasonably practicable.

    6. Tastings, if offered, shall be scheduled and conducted on mutually agreeable dates and may be subject to additional charges as set forth in the Menu confirmation. Any Menu adjustments resulting from a tasting must be documented in writing to be binding.

    7. The Client shall be solely responsible for communicating the contents and ingredients of served items to its guests and for addressing any guest-specific dietary concerns not disclosed to the Caterer in advance.

  5. Guest Count and Cut-Off Date

    1. The Client shall provide the Caterer with a preliminary Guest Count upon execution of this Agreement, which figure shall be used for initial planning purposes only.

    2. The Client shall confirm the final Guest Count in writing to the Caterer not later than [number] days prior to the Event (the "Cut-Off Date"). The Guest Count so confirmed shall constitute the minimum number of guests for which the Client shall be charged.

    3. Upward adjustments to the Guest Count after the Cut-Off Date may be accommodated subject to the Caterer's availability of food, personnel, and equipment, and shall result in a pro-rata increase in the Total Contract Price, together with any applicable surcharge for late changes as determined by the Caterer.

    4. Downward adjustments to the Guest Count after the Cut-Off Date shall not entitle the Client to any reduction in the Total Contract Price, and the Client shall remain liable for the full charges based upon the Guest Count confirmed as of the Cut-Off Date.

    5. If the Client fails to confirm a final Guest Count by the Cut-Off Date, the preliminary Guest Count provided at the Effective Date shall be deemed the final Guest Count, and the Caterer shall prepare and charge accordingly.

    6. The Caterer shall prepare food in quantities sufficient to serve the final Guest Count, and shall not be obligated to provide service to guests in excess thereof. Any guests served in excess of the final Guest Count shall be billed at the applicable per-person rate, together with any late-addition surcharge.

  6. Pricing, Deposit, and Payment Terms

    1. The Total Contract Price for the Services shall be [Amount] United States Dollars (USD [$amount]), calculated on a per-person basis of [$amount] per guest multiplied by the Guest Count, together with such additional charges, fees, taxes, and gratuities as are set forth herein or in the Menu confirmation.

    2. Upon execution of this Agreement, the Client shall pay to the Caterer a non-refundable Deposit in the amount of [Amount] United States Dollars (USD [$amount]), or [percentage] percent of the estimated Total Contract Price, which shall serve to reserve the Event date and secure the Caterer's commitment of resources. The Deposit shall be applied against the Total Contract Price.

    3. The remaining balance of the Total Contract Price shall be due and payable in full not later than [number] days prior to the Event. The Caterer shall have no obligation to perform the Services if full payment has not been received by such date.

    4. Any additional charges arising from post-Cut-Off Date adjustments, late additions, overtime, or incidental charges incurred during or after the Event shall be invoiced to the Client within [number] days following the Event and shall be due and payable within [number] days of invoice.

    5. All amounts payable hereunder are exclusive of applicable sales, use, and similar taxes, which shall be added to each invoice and borne by the Client. A service charge or gratuity of [percentage] percent may be added as specified in the Menu confirmation.

    6. Payment shall be made by [check, bank transfer, credit card, or other agreed method]. Any payment made by credit card may be subject to a processing fee of [percentage] percent.

    7. Any amount not paid when due shall accrue interest at the rate of [percentage] percent per month, or the maximum rate permitted by applicable law, whichever is lower, from the date due until paid in full. The Client shall further reimburse the Caterer for all reasonable costs of collection, including reasonable attorneys' fees.

  7. Service Staff, Equipment, and Rentals

    1. The Caterer shall provide service staff in such numbers and categories as the Caterer determines appropriate for the proper performance of the Services, taking into account the Guest Count, Menu, service style, and Venue configuration.

    2. Staff shall be dressed in attire appropriate to the nature of the Event and shall conduct themselves in a professional and courteous manner throughout the Service Period. The Caterer shall remain the sole employer of its staff and shall be responsible for their compensation, benefits, payroll taxes, and workers' compensation.

    3. The Caterer shall provide standard catering equipment reasonably required to prepare, transport, present, and serve the Menu, including [serving platters], [chafing dishes], [utensils], and [service tables] customary for the service style selected.

    4. Rental items beyond the Caterer's standard equipment, including but not limited to [china], [glassware], [flatware], [linens], [tables], [chairs], [tenting], and [specialty service pieces], shall be arranged by the Caterer at the Client's cost, or by the Client directly, as mutually agreed and reflected in the Menu confirmation.

    5. The Client shall be responsible for any loss of, or damage to, rental items occurring during the Event by reason of acts or omissions of the Client, its guests, or third parties not under the Caterer's control, and shall reimburse the Caterer for the replacement or repair cost of any such items.

    6. Overtime service beyond the agreed Service Period shall be charged at the rate of [$amount] per staff member per hour (or portion thereof), and shall be payable upon invoice following the Event.

    7. The Caterer may substitute equipment and personnel of equivalent or superior quality as operational circumstances require, provided that such substitution does not materially diminish the quality of the Services.

  8. Delivery, Setup, and Breakdown

    1. The Caterer shall deliver food, beverages, equipment, and staff to the Venue at such time as is reasonably necessary to permit proper setup prior to the commencement of the Service Period, taking into account the complexity of the Menu and service style.

    2. The Client shall ensure that the Caterer has access to the Venue not less than [number] hours prior to the scheduled commencement of the Event for the purpose of setup, and for not less than [number] hours following the conclusion of the Event for the purpose of breakdown.

    3. The Caterer shall perform setup of the catering areas, including arrangement of serving tables, chafing dishes, and service equipment, in a manner consistent with the service style agreed upon by the Parties and the physical constraints of the Venue.

    4. Following the conclusion of the Service Period, the Caterer shall perform breakdown of the catering areas, including removal of catering equipment, rental items supplied by the Caterer, and food waste generated by the catering operation. The Caterer shall leave the catering areas in a condition reasonably comparable to that in which they were found.

    5. The Caterer shall not be responsible for setup, breakdown, or cleanup of areas or items not directly related to the catering Services, including guest seating areas, decorations, or Venue facilities, unless expressly agreed in writing.

    6. In the event of delays in access, setup, or breakdown caused by the Client, the Venue, or circumstances beyond the Caterer's reasonable control, the Caterer shall not be liable for any resulting delay or impairment in the Services, and the Client shall remain liable for the full Total Contract Price together with any additional charges incurred.

  9. Client Obligations and Access

    1. The Client shall provide, or shall cause the Venue to provide, adequate and safe working space for the Caterer's preparation, service, and staging activities, together with reasonable access to [electrical power], [potable water], [refrigeration space if required], [waste disposal facilities], and [restroom facilities] for the Caterer's staff.

    2. The Client shall ensure that the Venue is in a condition suitable for the safe preparation and service of food and beverages, and that all Venue requirements, permits, and approvals necessary for the Event have been obtained.

    3. The Client shall be responsible for the conduct of its guests and shall take reasonable measures to prevent any interference with the Caterer's performance of the Services, any harassment or endangerment of the Caterer's staff, and any misuse of catering equipment or rental items.

    4. The Client shall timely furnish to the Caterer all information reasonably required for the performance of the Services, including the final Guest Count, Menu confirmations, dietary requirements, Venue restrictions, and timing details for the Event.

    5. The Client shall designate a single point of contact who shall have authority to make decisions on behalf of the Client during the Event, and shall provide the Caterer with the name and contact details of such person not less than [number] days prior to the Event.

    6. If alcohol is to be served at the Event, the Client shall comply with all applicable laws relating thereto, and shall obtain any required permits unless the Caterer has expressly agreed in writing to procure such permits and provide licensed bar service.

    7. The Client acknowledges that failure to fulfill the obligations in this Section 9 may impair the Caterer's ability to perform the Services, and the Caterer shall not be liable for any resulting deficiency in the Services.

  10. Food Safety, Licensing, and Compliance

    1. The Caterer represents and warrants that it holds, and shall maintain throughout the term of this Agreement, all licenses, permits, and registrations required by applicable federal, state, and local law for the conduct of its catering business, including, where applicable, food service permits and health department certifications.

    2. The Caterer shall prepare, handle, store, transport, and serve all food and beverages in accordance with applicable food safety laws, regulations, and industry best practices, including appropriate standards for temperature control, hygiene, and sanitation.

    3. The Caterer's personnel engaged in food handling shall possess such food handler certifications or training as are required by the jurisdiction in which the Event is held.

    4. The Client acknowledges that perishable food items served at the Event are intended for consumption during the Service Period, and the Caterer shall not be responsible for the quality or safety of any food items retained, removed, or consumed following the conclusion of the Service Period, except as handled by the Caterer in accordance with applicable law.

    5. The Caterer shall not be responsible for any food or beverage items brought to the Event by the Client, its guests, or any third party not engaged by the Caterer, and such items shall be the sole responsibility of the party providing them.

    6. Each Party shall comply with all applicable laws, ordinances, and regulations in connection with its performance under this Agreement, including, as applicable, laws governing public gatherings, noise, parking, and alcohol service.

    7. Should any governmental authority issue a directive, order, or restriction affecting the lawful conduct of the Event, the Parties shall confer in good faith regarding modifications to the Services or rescheduling of the Event, subject to the provisions of Section 15.

  11. Insurance and Liability

    1. The Caterer shall maintain, at its own expense and throughout the term of this Agreement, (a) commercial general liability insurance with limits of not less than [$amount] per occurrence and [$amount] in the aggregate; (b) workers' compensation insurance as required by applicable law; and (c) such additional coverage as is customary for catering businesses of comparable size and scope.

    2. Upon the Client's reasonable written request, the Caterer shall furnish a certificate of insurance evidencing the coverage required hereunder, and shall name the Client or the Venue as additional insured where reasonably requested and permitted by the Caterer's policy.

    3. Each Party shall be liable for direct damages caused by its own negligence, willful misconduct, or breach of this Agreement, subject to the limitations set forth in this Section 11.

    4. To the maximum extent permitted by applicable law, in no event shall either Party be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, lost profits, loss of enjoyment, or loss of goodwill, arising out of or in connection with this Agreement, regardless of the theory of liability.

    5. The aggregate liability of the Caterer to the Client arising out of or in connection with this Agreement shall not exceed an amount equal to the Total Contract Price actually paid by the Client to the Caterer hereunder; provided, however, that such limitation shall not apply to liability arising from gross negligence, willful misconduct, fraud, or any matter that cannot be lawfully limited.

    6. The Client acknowledges that the Caterer is not responsible for the acts or omissions of guests, the Venue, Venue staff, or third-party vendors not engaged by the Caterer, and shall have no liability for loss, damage, or injury arising from such acts or omissions.

    7. The limitations and exclusions set forth in this Section 11 reflect an informed voluntary allocation of risk between the Parties, and shall survive the termination or expiration of this Agreement.

  12. Indemnification

    1. The Client shall indemnify, defend, and hold harmless the Caterer and its officers, directors, employees, agents, and subcontractors (the "Caterer Indemnitees") from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) the acts or omissions of the Client or its guests at the Event; (b) the Client's breach of any representation, warranty, or obligation under this Agreement; (c) the condition of the Venue; or (d) consumption of food or beverages not supplied by the Caterer.

    2. The Caterer shall indemnify, defend, and hold harmless the Client (the "Client Indemnitees") from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) the gross negligence or willful misconduct of the Caterer in the performance of the Services; (b) bodily injury or property damage caused by the Caterer's employees or subcontractors in the performance of the Services; or (c) the Caterer's breach of any representation, warranty, or obligation under this Agreement.

    3. The indemnifying Party's obligations under this Section 12 are conditioned upon the indemnified Party (a) providing prompt written notice of any claim for which indemnification is sought; (b) tendering sole control of the defense and settlement of such claim to the indemnifying Party; and (c) providing reasonable cooperation in the defense thereof at the indemnifying Party's expense.

    4. Neither Party shall settle any claim in a manner that imposes any obligation or liability on the indemnified Party without such Party's prior written consent, which shall not be unreasonably withheld.

    5. The indemnification obligations set forth in this Section 12 shall survive the termination or expiration of this Agreement.

  13. Cancellation and Refund Schedule

    1. The Client may cancel the Event by delivering written notice of cancellation to the Caterer. The amount payable upon cancellation shall be determined by reference to the date on which written notice of cancellation is received by the Caterer, in accordance with the sliding scale set forth below.

    2. If written notice of cancellation is received more than [number] days prior to the Event, the Client shall forfeit the Deposit only, and shall be entitled to a refund of any amounts paid in excess of the Deposit.

    3. If written notice of cancellation is received between [number] days and [number] days prior to the Event, the Client shall be liable for [percentage] percent of the Total Contract Price, and any payments made in excess of such amount shall be refunded.

    4. If written notice of cancellation is received between [number] days and [number] days prior to the Event, the Client shall be liable for [percentage] percent of the Total Contract Price, and any payments made in excess of such amount shall be refunded.

    5. If written notice of cancellation is received less than [number] days prior to the Event, or if the Client fails to appear at the Event, the Client shall be liable for the full Total Contract Price, and no refund shall be due.

    6. If the Caterer cancels the Event other than for an uncured material breach by the Client or an event of Force Majeure, the Caterer shall refund to the Client all amounts previously paid hereunder, including the Deposit, and the Caterer shall use reasonable efforts to assist the Client in identifying a replacement caterer.

    7. Postponement of the Event requested by the Client shall be treated as a cancellation for purposes of this Section 13 unless the Caterer agrees in writing to reschedule the Event to a mutually acceptable alternative date, in which case the Deposit and payments made shall be applied to the rescheduled Event, subject to any reasonable rescheduling fee.

  14. Termination

    1. Either Party may terminate this Agreement upon written notice to the other Party in the event of a material breach by the other Party that remains uncured for a period of [number] days following receipt of written notice specifying the nature of the breach in reasonable detail.

    2. Either Party may terminate this Agreement immediately upon written notice if the other Party (a) becomes insolvent or makes a general assignment for the benefit of creditors; (b) files or has filed against it a petition in bankruptcy that is not dismissed within [number] days; or (c) ceases to conduct business in the ordinary course.

    3. Termination by the Client in the absence of material breach by the Caterer shall be treated as a cancellation and subject to the sliding scale set forth in Section 13.

    4. Upon termination of this Agreement for any reason, the Client shall pay to the Caterer all amounts due and payable for Services properly rendered and expenses reasonably incurred prior to the effective date of termination, including non-cancellable commitments made in reliance upon this Agreement.

    5. Termination of this Agreement shall not affect any rights or obligations of the Parties that have accrued prior to the effective date of termination, nor any provisions that by their nature are intended to survive termination, including Sections 11, 12, 15, 16, and 17.

  15. Force Majeure

    1. Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement (other than payment obligations accrued prior to the Force Majeure event) to the extent that such failure or delay results from an event beyond the reasonable control of such Party ("Force Majeure"), including, without limitation, acts of God, fire, flood, earthquake, severe weather, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, strikes, utility failures, or acts or orders of governmental authorities.

    2. The Party affected by a Force Majeure event shall promptly notify the other Party in writing, describing the nature of the event and its anticipated duration and effect upon such Party's performance.

    3. Upon the occurrence of a Force Majeure event, the Parties shall confer in good faith regarding the rescheduling of the Event to a mutually acceptable alternative date within [number] months following the originally scheduled date, in which case amounts previously paid by the Client shall be applied to the rescheduled Event.

    4. If the Parties are unable to agree upon a rescheduled date within [number] days following the Force Majeure event, or if the rescheduled Event itself becomes impracticable by reason of Force Majeure, either Party may terminate this Agreement by written notice to the other, without further liability except for amounts owed for Services already rendered or expenses reasonably incurred.

    5. In the event of termination pursuant to this Section 15, the Caterer shall refund to the Client any amounts paid by the Client that exceed the sum of (a) Services actually rendered as of the date of termination; and (b) reasonable, documented, non-recoverable costs incurred by the Caterer in reliance upon this Agreement.

  16. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], United States of America, without regard to its conflict-of-laws principles.

    2. The Parties shall attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to this Agreement through direct negotiation between authorized representatives of the Parties for a period of not less than [number] days following written notice of the dispute.

    3. If any dispute is not resolved through direct negotiation, the Parties agree to submit the dispute to non-binding mediation administered by a mutually agreed mediator in [City, State], with the costs of mediation shared equally between the Parties.

    4. If any dispute remains unresolved following mediation, the Parties consent to the exclusive jurisdiction of the state and federal courts located in [County, State] for the resolution of such dispute, and each Party waives any objection to venue in such courts.

    5. Each Party irrevocably waives any right it may have to a trial by jury in respect of any proceeding arising out of or relating to this Agreement.

    6. In any action or proceeding to enforce or interpret this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party, in addition to any other relief to which it may be entitled.

  17. Miscellaneous Provisions

    1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether oral or written, relating to such subject matter.

    2. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. No waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

    3. Neither Party may assign or transfer this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party; provided, however, that the Caterer may assign this Agreement to any successor in interest resulting from a merger, acquisition, or sale of substantially all of its assets.

    4. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

    5. All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier, to the addresses set forth in the preamble (or such other address as a Party may designate by written notice).

    6. The relationship of the Parties is that of independent contractors. Nothing in this Agreement shall be deemed to create any partnership, joint venture, agency, or employment relationship between the Parties.

    7. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission (including by email in PDF format or by electronic signature platform) shall be as effective as delivery of an original.

    8. Nothing in this Agreement shall confer any rights or remedies upon any person or entity other than the Parties and their respective permitted successors and assigns.

IN WITNESS WHEREOF, the Parties have executed this Catering Services Agreement as of the Effective Date first above written.
