"Material Adverse Effect" means any event, change, condition, circumstance, or occurrence that, individually or in the aggregate, has had or would reasonably be expected to have a material adverse effect upon the Business, the Assets, the financial condition, results of operations, or prospects of the Business, taken as a whole.
The headings and captions herein are inserted for convenience of reference only and shall not affect the construction or interpretation hereof. Words importing the singular include the plural and vice versa; words importing any gender include all genders; and the words "include," "includes," and "including" shall be deemed followed by the phrase "without limitation."
Sale and Purchase of the Business
Subject to the terms and conditions of this Agreement, at the Closing, the Seller shall sell, convey, assign, transfer, and deliver to the Buyer, and the Buyer shall purchase, acquire, and accept from the Seller, all of the Seller's right, title, and interest in and to the Business as a going concern, together with all of the Assets, free and clear of all Encumbrances other than the Permitted Encumbrances (if any) expressly set forth herein.
The Assets to be sold hereunder shall include, without limitation: (i) all tangible personal property, machinery, equipment, furniture, fixtures, tools, and supplies used in the Business (the "Equipment"); (ii) all inventory of raw materials, work in progress, and finished goods (the "Inventory"); (iii) all right, title, and interest of the Seller in and to the contracts, leases, licenses, purchase orders, and other agreements of the Business to be assumed by the Buyer (the "Assumed Contracts"); (iv) all intellectual property of the Business, including trade names, trademarks, service marks, trade dress, logos, copyrights, trade secrets, know-how, domain names, websites, software, and goodwill symbolized thereby (the "Intellectual Property"); (v) all customer lists, supplier lists, pricing data, marketing materials, and business records (the "Books and Records"); and (vi) all permits, licenses, and governmental authorizations relating to the Business to the extent transferable.
The sale and purchase hereunder expressly excludes the Excluded Assets, which shall be retained by the Seller and shall not be transferred to the Buyer.
The Parties acknowledge and agree that the Business is being sold as a going concern, and that the Assets constitute all property reasonably necessary for the continued operation of the Business substantially as presently conducted.
Title to and risk of loss with respect to the Assets shall pass from the Seller to the Buyer upon the completion of the Closing.
The Seller shall execute and deliver at Closing a Bill of Sale, Assignment and Assumption Agreement, assignments of Intellectual Property, and such other instruments of conveyance and transfer as the Buyer may reasonably request to vest in the Buyer good and marketable title to the Assets.
Each Party shall bear its own expenses in connection with the preparation of transfer documentation, except that all sales, use, transfer, documentary, and similar taxes arising out of the sale of the Assets shall be borne [BY THE BUYER / BY THE SELLER / EQUALLY BY THE PARTIES].
Purchase Price and Payment
The aggregate purchase price for the Business and the Assets shall be the sum of [PURCHASE PRICE IN WORDS] United States Dollars (US$[PURCHASE PRICE]) (the "Purchase Price"), subject to adjustment as expressly provided in this Agreement.
The Purchase Price shall be payable in full by the Buyer to the Seller at the Closing, by wire transfer of immediately available funds to the bank account designated in writing by the Seller not less than three (3) Business Days prior to the Closing Date.
The Purchase Price shall be allocated among the Assets in accordance with an allocation schedule to be mutually agreed upon by the Parties on or before the Closing Date, prepared in a manner consistent with applicable United States federal income tax requirements. The Parties agree to report the transactions contemplated hereby consistently with such allocation for all tax purposes and to prepare and file all required tax forms accordingly.
The Purchase Price shall be adjusted at Closing to reflect (i) the value of the Inventory determined pursuant to the inventory procedures set forth herein, and (ii) prorations of prepaid items and other adjustments as expressly provided herein.
All payments to be made by the Buyer hereunder shall be made in United States Dollars, without set-off, counterclaim, deduction, or withholding of any kind, except as may be required by applicable law.
Each Party shall be responsible for its own income taxes arising from the transactions contemplated by this Agreement, and nothing herein shall be construed as the assumption by one Party of the other Party's income tax liability.
Any Purchase Price adjustments required to be made after the Closing shall be settled by payment in immediately available funds within thirty (30) days after final determination of the amount in question.
Inventory and Prepaid Items
Not less than two (2) Business Days prior to the Closing Date, the Parties, acting jointly or through their respective representatives, shall conduct a physical count of the Inventory of the Business and shall prepare a written inventory list reflecting the quantity and condition of each item (the "Inventory List").
The Inventory shall be valued at the Seller's actual cost, determined on a first-in, first-out basis, or on such other valuation basis as the Parties may mutually agree in writing, provided that obsolete, damaged, or unsalable items shall be excluded or valued at an agreed discount.
In the event the Parties cannot agree upon the valuation of any Inventory item, such disputed item shall be referred to an independent appraiser mutually acceptable to the Parties, whose determination shall be final and binding. The fees of the independent appraiser shall be shared equally by the Parties.
Prepaid expenses of the Business, including but not limited to prepaid rent, prepaid insurance, utility deposits, maintenance contracts, and similar prepayments benefiting periods after the Closing (the "Prepaid Items"), shall be prorated as of the Closing Date, and the Buyer shall reimburse the Seller for the portion of such Prepaid Items attributable to periods following the Closing.
Conversely, any items accrued but unpaid as of the Closing Date that relate to periods prior to the Closing (including accrued utilities, rent, and similar expenses) shall be prorated and credited to the Buyer against the Purchase Price.
Customer deposits, gift cards, store credits, and similar prepayments received by the Seller prior to the Closing in respect of goods to be delivered or services to be performed by the Business after the Closing shall be assumed by the Buyer, and the Seller shall credit the aggregate amount thereof against the Purchase Price at Closing.
The Parties shall cooperate in good faith to resolve any post-Closing adjustments to the Inventory valuation or prepaid-item prorations within thirty (30) days after the Closing Date.
Assumed and Excluded Liabilities
Effective as of the Closing, the Buyer shall assume, and shall thereafter pay, perform, and discharge when due, only the following liabilities and obligations of the Seller (the "Assumed Liabilities"): (i) all obligations of the Seller arising on or after the Closing Date under the Assumed Contracts; (ii) obligations in respect of customer deposits, gift cards, and store credits for which a credit has been given to the Buyer pursuant to this Agreement; and (iii) such other liabilities as are expressly identified in writing by the Parties and assumed by the Buyer at Closing.
Except for the Assumed Liabilities expressly set forth above, the Buyer shall not assume, and shall have no responsibility whatsoever for, any debt, liability, or obligation of the Seller, whether known or unknown, fixed or contingent, matured or unmatured, liquidated or unliquidated (the "Excluded Liabilities"), all of which shall remain the sole responsibility of the Seller.
Without limiting the generality of the foregoing, the Excluded Liabilities shall include: (i) all accounts payable and accrued expenses of the Business arising prior to the Closing; (ii) all indebtedness for borrowed money of the Seller; (iii) all tax liabilities of the Seller arising prior to the Closing; (iv) all liabilities arising out of or relating to any litigation, claim, or proceeding commenced or arising from events occurring prior to the Closing; (v) all employee-related liabilities arising prior to the Closing, including accrued wages, benefits, bonuses, vacation, and severance; (vi) all liabilities arising under or relating to any environmental law in respect of actions or omissions occurring prior to the Closing; and (vii) all product liability claims relating to products sold by the Seller prior to the Closing.
The Seller shall indemnify, defend, and hold harmless the Buyer from and against any and all losses, damages, liabilities, costs, and expenses arising out of or relating to the Excluded Liabilities, subject to and in accordance with the indemnification provisions of this Agreement.
The Buyer shall indemnify, defend, and hold harmless the Seller from and against any and all losses, damages, liabilities, costs, and expenses arising out of or relating to the Assumed Liabilities, except to the extent such losses relate to breaches by the Seller prior to Closing.
The assumption by the Buyer of the Assumed Liabilities shall not enlarge any rights of third parties under contracts or arrangements with the Buyer or the Seller and shall not create any third-party beneficiary rights hereunder.
Closing
The Closing of the transactions contemplated by this Agreement shall take place on [CLOSING DATE], or such other date as the Parties may mutually agree in writing (the "Closing Date"), at the offices of [CLOSING LOCATION] or by means of electronic exchange of executed documents and wire transfer of funds.
At the Closing, the Seller shall deliver to the Buyer: (i) a duly executed Bill of Sale conveying the Assets; (ii) duly executed Assignment and Assumption Agreements for the Assumed Contracts; (iii) duly executed assignments of all Intellectual Property, including trademark and domain-name transfers in recordable form; (iv) consents of third parties required for the assignment of material Assumed Contracts; (v) resolutions of the Seller's governing body authorizing the transactions contemplated hereby; (vi) a certificate of good standing of the Seller from its jurisdiction of formation, dated within ten (10) days of the Closing; (vii) possession of the Assets, including keys, access codes, passwords, and books and records; and (viii) such other instruments and documents as the Buyer may reasonably request.
At the Closing, the Buyer shall deliver to the Seller: (i) the Purchase Price by wire transfer of immediately available funds; (ii) a duly executed Assignment and Assumption Agreement with respect to the Assumed Liabilities; (iii) resolutions of the Buyer's governing body authorizing the transactions contemplated hereby; (iv) a certificate of good standing of the Buyer from its jurisdiction of formation, dated within ten (10) days of the Closing; and (v) such other instruments and documents as the Seller may reasonably request.
All deliveries and payments at the Closing shall be deemed to occur simultaneously, and no delivery or payment shall be deemed complete until all deliveries and payments have been made.
The effective time of the Closing shall be 11:59 p.m. local time at the Business premises on the Closing Date, and the Business shall be operated for the account of the Seller through such time and for the account of the Buyer thereafter.
If the Closing has not occurred on or before [OUTSIDE DATE] due to the failure of any condition precedent (other than through the fault of the Party seeking to terminate), either Party may terminate this Agreement upon written notice to the other, whereupon neither Party shall have any further liability hereunder except for obligations that expressly survive termination.
Conditions Precedent to Closing
The obligations of the Buyer to consummate the transactions contemplated hereby are subject to the satisfaction, or waiver by the Buyer in writing, at or prior to the Closing, of the following conditions: (i) the representations and warranties of the Seller shall be true and correct in all material respects as of the Closing Date; (ii) the Seller shall have performed and complied in all material respects with all covenants and agreements required to be performed by it prior to the Closing; (iii) no Material Adverse Effect shall have occurred with respect to the Business between the Effective Date and the Closing Date; (iv) all required third-party consents and governmental approvals shall have been obtained; (v) the Seller shall have delivered all closing deliverables required of it hereunder; and (vi) no injunction, order, or decree of any court or governmental authority shall be in effect that prohibits the consummation of the transactions contemplated hereby.
The obligations of the Seller to consummate the transactions contemplated hereby are subject to the satisfaction, or waiver by the Seller in writing, at or prior to the Closing, of the following conditions: (i) the representations and warranties of the Buyer shall be true and correct in all material respects as of the Closing Date; (ii) the Buyer shall have performed and complied in all material respects with all covenants and agreements required to be performed by it prior to the Closing; (iii) the Buyer shall have tendered the Purchase Price and delivered all other closing deliverables required of it hereunder; and (iv) no injunction, order, or decree of any court or governmental authority shall be in effect that prohibits the consummation of the transactions contemplated hereby.
The Buyer shall have had a reasonable opportunity, prior to the Closing, to complete its due diligence investigation of the Business, including review of financial, legal, operational, and tax matters, and the results of such investigation shall be reasonably satisfactory to the Buyer.
The Seller shall have obtained releases and payoff letters sufficient to discharge all Encumbrances on the Assets other than Permitted Encumbrances, and shall have delivered to the Buyer evidence satisfactory to the Buyer that all such Encumbrances will be released at or promptly following the Closing.
The landlord of the Business premises (if applicable) shall have delivered a consent to assignment or a new lease on terms reasonably acceptable to the Buyer.
Each Party shall use its commercially reasonable efforts to cause the conditions precedent to be satisfied as promptly as practicable, and shall promptly notify the other Party of any event, condition, or circumstance that would reasonably be expected to cause any condition not to be satisfied.
A Party's waiver of any condition shall not constitute a waiver of any other condition or of any right or remedy arising from a breach of this Agreement.
Transition and Training
For a period commencing on the Closing Date and continuing for not less than one (1) month and not more than three (3) months thereafter, as reasonably required by the Buyer and as mutually agreed between the Parties (the "Transition Period"), the Seller shall provide to the Buyer such training, consultation, and transitional assistance as may be reasonably necessary to enable the Buyer to assume the operation of the Business in an orderly manner.
Transitional services shall include, without limitation: (i) orientation of the Buyer and its designated personnel in the operations, systems, procedures, and practices of the Business; (ii) introductions to key customers, suppliers, vendors, landlords, and service providers; (iii) assistance in the transition of accounts, utilities, licenses, and permits; (iv) training in the use of proprietary systems, software, and processes; and (v) such other reasonable transitional support as may be mutually agreed.
During the Transition Period, the Seller shall make itself (and, if applicable, its principal officers familiar with the Business) available to the Buyer for a reasonable number of hours per week, not to exceed [NUMBER] hours per week, without additional compensation beyond the Purchase Price.
Transitional services requested by the Buyer in excess of the hours set forth above shall be compensated at the rate of US$[HOURLY RATE] per hour, payable monthly in arrears upon presentation of a reasonably detailed invoice.
The Seller shall provide the transitional services in a professional and workmanlike manner consistent with the standards historically applied in the operation of the Business.
The Buyer shall make its personnel reasonably available to receive training and transitional assistance, and shall cooperate in good faith with the Seller in the orderly transition of the Business.
Nothing in this Section shall be construed to create an employment, partnership, or joint-venture relationship between the Parties, and the Seller shall at all times during the Transition Period be an independent contractor with respect to transitional services.
Any expenses incurred by the Seller in the provision of transitional services, other than ordinary travel within the local metropolitan area, shall be subject to the prior written approval of the Buyer and shall be reimbursed by the Buyer upon presentation of appropriate documentation.
Non-Competition and Non-Solicitation
In consideration of the sale of the Business and the Goodwill associated therewith, and as a material inducement to the Buyer to enter into this Agreement and consummate the transactions contemplated hereby, the Seller covenants and agrees that for a period of two (2) years commencing on the Closing Date (the "Restricted Period"), the Seller shall not, directly or indirectly, whether as owner, partner, member, shareholder (other than as a passive holder of less than five percent (5%) of the publicly traded equity of a public company), director, officer, employee, consultant, agent, lender, or otherwise, engage in, carry on, assist, or have any financial interest in any business that competes with the Business as conducted by the Buyer within a radius of [NUMBER] miles of [CITY, STATE] (the "Restricted Territory").
During the Restricted Period, the Seller shall not, directly or indirectly, solicit, induce, or attempt to induce any customer, supplier, vendor, licensee, or other business relation of the Business as of the Closing Date, or during the twelve (12) months immediately preceding the Closing Date, to cease doing business with the Buyer, to reduce the amount of business done with the Buyer, or to transfer business to any competitor of the Buyer.
During the Restricted Period, the Seller shall not, directly or indirectly, solicit for employment, hire, or engage as an independent contractor any individual who is or was within the twelve (12) months immediately preceding such solicitation an employee of the Business or of the Buyer, provided that general advertising not specifically directed at such individuals shall not constitute a violation of this covenant.
The Seller acknowledges and agrees that the restrictions set forth in this Section are reasonable in scope, duration, and geographic area, are necessary to protect the legitimate business interests of the Buyer and the value of the Goodwill being purchased, and are supported by adequate consideration.
The Seller further acknowledges that any breach of the covenants contained in this Section would result in irreparable harm to the Buyer for which monetary damages would be inadequate, and that the Buyer shall be entitled to seek injunctive relief and specific performance, in addition to all other remedies available at law or in equity, without the necessity of posting bond or proving actual damages.
If any provision of this Section is held by a court of competent jurisdiction to be unenforceable due to its scope, duration, or geographic area, such provision shall be modified to the minimum extent necessary to render it enforceable, and shall be enforced as so modified.
The Restricted Period shall be tolled during any period in which the Seller is in breach of any covenant set forth in this Section.
Employees
The Buyer shall have no obligation to employ any employees of the Seller after the Closing. The Buyer may, in its sole discretion, offer employment to such of the Seller's employees as the Buyer deems appropriate, upon such terms and conditions as the Buyer may determine.
The Seller shall be responsible for and shall pay all wages, salaries, commissions, bonuses, accrued vacation and sick pay, severance, and other compensation and benefits owed to its employees for all periods through the Closing Date, and shall timely remit all applicable employment taxes and withholdings.
With respect to those employees of the Seller who accept employment with the Buyer effective as of the Closing (the "Transferred Employees"), the Seller shall terminate such employees' employment with the Seller effective immediately prior to the Closing, and the Buyer shall employ such Transferred Employees on the terms offered by the Buyer.
The Seller shall remain solely responsible for all liabilities and obligations arising out of or relating to the employment or termination of its employees prior to the Closing, including claims for wrongful termination, discrimination, harassment, workers' compensation, and benefits.
The Buyer shall be responsible for all liabilities and obligations arising out of its employment of the Transferred Employees from and after the Closing.
The Seller shall cooperate reasonably with the Buyer in facilitating the orderly transition of the Transferred Employees and shall not take any action to discourage any employee from accepting employment with the Buyer.
Neither Party intends by this Section to confer any rights upon any employee as a third-party beneficiary, and no employee shall have any right to continued employment or any other right by reason of this Agreement.
Representations and Warranties of the Seller
The Seller represents and warrants to the Buyer, as of the Effective Date and as of the Closing Date, that the Seller is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation, and has full corporate power and authority to own, operate, and conduct the Business as presently conducted and to execute, deliver, and perform this Agreement.
The execution, delivery, and performance of this Agreement by the Seller have been duly authorized by all requisite corporate action, and this Agreement constitutes the legal, valid, and binding obligation of the Seller, enforceable against the Seller in accordance with its terms, subject to bankruptcy, insolvency, and similar laws affecting creditors' rights generally and to general principles of equity.
The Seller has good and marketable title to all of the Assets, free and clear of all Encumbrances other than Permitted Encumbrances, and at the Closing shall convey such title to the Buyer. The Assets are in good operating condition and repair, ordinary wear and tear excepted, and are sufficient to conduct the Business as presently conducted.
The financial statements of the Business delivered to the Buyer have been prepared in accordance with the Seller's historical practices consistently applied, and fairly present in all material respects the financial condition and results of operations of the Business as of the dates and for the periods indicated.
The Business has been conducted in material compliance with all applicable laws, rules, regulations, and governmental orders, and the Seller holds all permits, licenses, and governmental authorizations necessary for the conduct of the Business as presently conducted, all of which are in full force and effect.
There is no action, suit, claim, investigation, or proceeding pending or, to the Seller's knowledge, threatened against the Seller or the Business that would reasonably be expected to have a Material Adverse Effect or that challenges the transactions contemplated by this Agreement.
The Seller has filed all tax returns required to be filed and has paid all taxes shown as due thereon; there are no tax liens on any of the Assets other than liens for taxes not yet due and payable.
The Assumed Contracts are in full force and effect, and neither the Seller nor, to the Seller's knowledge, any other party thereto is in material default thereunder.
Except as expressly set forth in this Agreement, the Seller makes no representations or warranties, express or implied, with respect to the Business or the Assets, and all other warranties, including any implied warranty of merchantability or fitness for a particular purpose, are hereby expressly disclaimed.
Representations and Warranties of the Buyer
The Buyer represents and warrants to the Seller, as of the Effective Date and as of the Closing Date, that the Buyer is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation, and has full corporate power and authority to execute, deliver, and perform this Agreement and to consummate the transactions contemplated hereby.
The execution, delivery, and performance of this Agreement by the Buyer have been duly authorized by all requisite corporate action, and this Agreement constitutes the legal, valid, and binding obligation of the Buyer, enforceable against the Buyer in accordance with its terms, subject to bankruptcy, insolvency, and similar laws affecting creditors' rights generally and to general principles of equity.
Neither the execution and delivery of this Agreement by the Buyer nor the consummation by the Buyer of the transactions contemplated hereby will conflict with or result in a breach of any provision of the Buyer's organizational documents or any material agreement or instrument to which the Buyer is a party.
The Buyer has, or at the Closing will have, sufficient funds available to pay the Purchase Price and to consummate the transactions contemplated by this Agreement.
There is no action, suit, claim, investigation, or proceeding pending or, to the Buyer's knowledge, threatened against the Buyer that would reasonably be expected to prevent or materially delay the consummation of the transactions contemplated hereby.
The Buyer acknowledges that it has had the opportunity to conduct an independent due diligence investigation of the Business and has had access to such information, documents, and personnel of the Seller as it has deemed necessary, and that it is entering into this Agreement based on the results of such investigation and the express representations and warranties of the Seller set forth herein.
No broker, finder, or investment banker is entitled to any brokerage, finder's, or similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Buyer.
Covenants of the Parties
Between the Effective Date and the Closing Date, the Seller shall conduct the Business in the ordinary course consistent with past practice, shall use commercially reasonable efforts to preserve intact the Business organization and goodwill, to retain the services of key employees, and to maintain satisfactory relationships with customers, suppliers, licensors, and other persons having business relationships with the Business.
Between the Effective Date and the Closing Date, the Seller shall not, without the prior written consent of the Buyer: (i) sell, transfer, or dispose of any material Asset other than in the ordinary course of business; (ii) create or permit to exist any Encumbrance on any Asset other than Permitted Encumbrances; (iii) amend, terminate, or waive any material right under any Assumed Contract; (iv) increase the compensation payable to any employee other than in the ordinary course; or (v) take any other action that would reasonably be expected to cause any representation or warranty of the Seller to be untrue in any material respect as of the Closing.
Between the Effective Date and the Closing Date, the Seller shall afford the Buyer and its representatives reasonable access, upon reasonable prior notice and during normal business hours, to the Books and Records, personnel, and premises of the Business, for purposes of completing due diligence and preparing for the transition.
Each Party shall use commercially reasonable efforts to obtain, as promptly as practicable, all consents, approvals, and authorizations of third parties and governmental authorities required in connection with the transactions contemplated by this Agreement.
The Seller shall promptly notify the Buyer in writing of any event, condition, or circumstance occurring between the Effective Date and the Closing Date that would reasonably be expected to constitute a Material Adverse Effect or a breach of any representation, warranty, or covenant of the Seller hereunder.
Following the Closing, the Seller shall promptly refer to the Buyer all inquiries, orders, and communications relating to the Business, and shall remit to the Buyer any payments received by the Seller that are properly attributable to the Business from and after the Closing.
The Parties shall cooperate in good faith in connection with the preparation and filing of all tax returns and reports relating to the Business and the transactions contemplated hereby, and shall provide one another with such records and information as may reasonably be requested in connection therewith.
Each Party shall execute and deliver such further instruments and documents, and take such further actions, as may reasonably be necessary or desirable to effectuate the purposes and intent of this Agreement.
Indemnification and Limitation of Liability
The Seller shall indemnify, defend, and hold harmless the Buyer and its officers, directors, employees, affiliates, successors, and assigns (the "Buyer Indemnitees") from and against any and all losses, damages, liabilities, claims, demands, actions, judgments, costs, and expenses (including reasonable attorneys' fees and costs of investigation) (collectively, "Losses") suffered or incurred by any Buyer Indemnitee arising out of or resulting from: (i) any breach of any representation or warranty of the Seller contained in this Agreement; (ii) any breach of any covenant or agreement of the Seller contained in this Agreement; or (iii) any Excluded Liability.
The Buyer shall indemnify, defend, and hold harmless the Seller and its officers, directors, employees, affiliates, successors, and assigns (the "Seller Indemnitees") from and against any and all Losses suffered or incurred by any Seller Indemnitee arising out of or resulting from: (i) any breach of any representation or warranty of the Buyer contained in this Agreement; (ii) any breach of any covenant or agreement of the Buyer contained in this Agreement; or (iii) any Assumed Liability.
The representations and warranties of the Parties contained in this Agreement shall survive the Closing for a period of eighteen (18) months, except that representations and warranties relating to title to the Assets, due authorization, and tax matters shall survive until the expiration of the applicable statute of limitations. The covenants and agreements of the Parties shall survive in accordance with their respective terms.
No Party shall be entitled to indemnification hereunder unless and until the aggregate Losses suffered by the indemnified Party exceed US$[DEDUCTIBLE AMOUNT] (the "Basket"), whereupon such Party shall be entitled to recover all Losses from the first dollar; provided, that the Basket shall not apply to Losses arising from fraud, intentional misrepresentation, breaches of representations relating to title or authorization, or Excluded Liabilities or Assumed Liabilities.
The aggregate liability of the Seller for indemnification under this Agreement shall not exceed an amount equal to the Purchase Price actually received by the Seller; provided, however, that such cap shall not apply to Losses arising from fraud or intentional misrepresentation by the Seller.
In no event shall either Party be liable to the other for any consequential, incidental, special, exemplary, or punitive damages, or for lost profits or lost business opportunities, except to the extent such damages are awarded to a third party in a Third-Party Claim for which indemnification is otherwise available hereunder.
The indemnified Party shall give prompt written notice to the indemnifying Party of any claim for indemnification, and the indemnifying Party shall have the right to assume and control the defense of any third-party claim with counsel reasonably acceptable to the indemnified Party. The indemnifying Party shall not settle any claim without the prior written consent of the indemnified Party (not to be unreasonably withheld), unless such settlement includes a full release of the indemnified Party and provides solely for monetary relief paid by the indemnifying Party.
The indemnification remedies set forth in this Section shall be the sole and exclusive remedies of the Parties with respect to any breach of this Agreement, except for (i) claims based on fraud or intentional misrepresentation, (ii) claims for injunctive or equitable relief, and (iii) claims for specific performance.
Confidentiality
Each Party acknowledges that it has received or will receive from the other Party certain non-public, proprietary, and confidential information concerning the business, operations, finances, customers, suppliers, employees, and affairs of the other Party (the "Confidential Information").
Each receiving Party shall hold the disclosing Party's Confidential Information in strict confidence, shall not disclose such Confidential Information to any third party except to its directors, officers, employees, attorneys, accountants, and advisors who have a need to know such information for purposes of the transactions contemplated hereby and who are bound by comparable obligations of confidentiality, and shall not use such Confidential Information for any purpose other than the evaluation and consummation of the transactions contemplated by this Agreement.
Confidential Information shall not include information that: (i) is or becomes generally available to the public through no breach of this Agreement; (ii) was known to the receiving Party on a non-confidential basis prior to disclosure by the disclosing Party; (iii) is lawfully received from a third party not under an obligation of confidentiality; or (iv) is independently developed by the receiving Party without use of the Confidential Information.
From and after the Closing, all Confidential Information relating to the Business shall belong exclusively to the Buyer, and the Seller shall hold such information in confidence and shall not use or disclose it except as expressly permitted by this Agreement or as required by law.
If a receiving Party is compelled by legal process or governmental authority to disclose any Confidential Information, it shall provide the disclosing Party with prompt written notice of such requirement (to the extent legally permitted) so that the disclosing Party may seek a protective order or other appropriate remedy.
The obligations of confidentiality set forth in this Section shall survive the Closing and any termination of this Agreement for a period of five (5) years, provided that trade secrets shall be maintained in confidence for so long as such information constitutes a trade secret under applicable law.
Each Party acknowledges that any breach of this Section would cause irreparable harm to the other Party for which monetary damages would be inadequate, and that the non-breaching Party shall be entitled to seek injunctive relief in addition to all other available remedies.
Notices
All notices, requests, consents, demands, and other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly given: (i) when delivered personally; (ii) one (1) Business Day after dispatch by a nationally recognized overnight courier service; (iii) three (3) Business Days after being sent by registered or certified mail, return receipt requested, postage prepaid; or (iv) upon confirmation of successful transmission if sent by email, provided a copy is also sent by one of the foregoing methods.
Notices to the Seller shall be addressed to: [SELLER NAME], Attention: [CONTACT PERSON], [SELLER ADDRESS], Email: [SELLER EMAIL].
Notices to the Buyer shall be addressed to: [BUYER NAME], Attention: [CONTACT PERSON], [BUYER ADDRESS], Email: [BUYER EMAIL].
Either Party may change its address or other contact information for notices hereunder by giving written notice to the other Party in accordance with this Section.
Any notice given to counsel for a Party shall not constitute notice to such Party unless this Agreement expressly so provides.
Governing Law and Dispute Resolution
This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of [GOVERNING STATE], without regard to its conflict-of-laws principles.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved as follows. The Parties shall first attempt in good faith to resolve the dispute through direct negotiation between senior representatives of each Party for a period of not less than thirty (30) days.
If the dispute is not resolved by direct negotiation, the Parties shall submit the dispute to mediation administered by a mutually agreed mediator in [CITY, STATE], with the costs of mediation to be shared equally by the Parties.
If the dispute is not resolved within sixty (60) days after the commencement of mediation, the dispute shall be finally resolved by binding arbitration administered by [ARBITRATION ADMINISTRATOR] under its then-current commercial arbitration rules, with the arbitration to be conducted in [CITY, STATE] by a single arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either Party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute through the procedures set forth above, without waiving the obligation to arbitrate the underlying dispute.
Each Party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in [COUNTY, STATE] for purposes of any judicial proceeding permitted hereunder.
Each Party irrevocably waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any proceeding directly or indirectly arising out of or relating to this Agreement.
In any action or proceeding to enforce this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing Party.
Miscellaneous Provisions
This Agreement, together with all documents and instruments to be executed and delivered in connection herewith, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
No amendment, modification, or supplement to this Agreement shall be effective unless in writing and signed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom the waiver is sought to be enforced, and no such waiver shall constitute a continuing waiver.
Neither Party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other Party, except that the Buyer may assign this Agreement to an affiliate or to a successor in connection with a merger, consolidation, or sale of all or substantially all of its assets, without such consent.
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect, provided that the economic and legal substance of the transactions contemplated hereby is not materially impaired.
This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission (including PDF or recognized electronic signature platforms) shall have the same force and effect as original signatures.
Each Party shall bear its own costs and expenses, including attorneys' and accountants' fees, incurred in connection with the negotiation, preparation, and consummation of this Agreement and the transactions contemplated hereby, except as otherwise expressly provided herein.
Nothing in this Agreement, express or implied, is intended to confer upon any person or entity other than the Parties and their respective permitted successors and assigns any rights, remedies, or obligations under or by reason of this Agreement.
The relationship between the Parties is that of independent contracting parties; nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the Parties.
Neither Party shall be liable for any failure or delay in performance of its obligations hereunder (other than payment obligations) to the extent such failure or delay is caused by an event beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, governmental action, or natural disaster, provided that the affected Party gives prompt notice and uses commercially reasonable efforts to resume performance.
IN WITNESS WHEREOF, the Parties have caused this Business Sale Agreement to be executed by their duly authorized representatives as of the Effective Date first above written.
