This Beta Testing Agreement (this "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between [Company Legal Name], a [State of Incorporation] [entity type] with its principal place of business located at [Company Address] (hereinafter referred to as the "Company"), and [Tester Legal Name], a [State of Incorporation] [entity type] with its principal place of business located at [Tester Address] (hereinafter referred to as the "Tester"). The Company and the Tester are each referred to herein individually as a "Party" and collectively as the "Parties."

WHEREAS, the Company has developed or is in the process of developing certain proprietary software, platform, service, or technology identified as [Beta Product Name] (the "Beta Product"), which has not yet been released for general commercial availability and which the Company desires to make available on a limited pre-release basis for testing, evaluation, and feedback purposes;

WHEREAS, the Tester is a business entity possessing the technical capability, operational environment, and relevant expertise necessary to evaluate the Beta Product in a reasonable, good-faith manner and to provide meaningful feedback to the Company regarding the performance, functionality, usability, and defects of the Beta Product;

WHEREAS, the Company desires to grant the Tester limited, non-exclusive access to the Beta Product solely for internal testing and evaluation purposes, and the Tester desires to accept such access, subject to the terms, conditions, limitations, and restrictions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows.

  1. Definitions and Interpretation

    1. For the purposes of this Agreement, the capitalized terms set forth below shall have the meanings ascribed to them in this Section, and such defined terms shall apply uniformly throughout the Agreement unless the context clearly requires otherwise.

    2. "Beta Product" means the pre-release version of the software, application, service, platform, feature, module, or technology identified as [Beta Product Name], including any related documentation, interfaces, application programming interfaces, updates, patches, modifications, enhancements, bug fixes, and successor versions thereof made available by the Company to the Tester during the Beta Period, in each case whether delivered or accessed in whole or in part.

    3. "Beta Period" means the period commencing on the Effective Date and continuing for a term of three (3) months thereafter, unless earlier terminated in accordance with the provisions of this Agreement or extended by the mutual written agreement of the Parties.

    4. "Confidential Information" means any and all non-public information, in any form or medium, disclosed by or on behalf of one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with this Agreement or the Beta Product, including without limitation the Beta Product itself, its existence, features, performance characteristics, source and object code, architecture, documentation, screenshots, benchmark results, pricing, business plans, trade secrets, and any Feedback provided hereunder, together with all materials derived therefrom.

    5. "Feedback" means any and all suggestions, comments, ideas, improvements, enhancement requests, recommendations, bug reports, defect reports, error logs, test results, evaluations, reviews, data, information, or other input provided by the Tester or its Authorized Users to the Company regarding the Beta Product, whether provided orally, in writing, electronically, or in any other form.

    6. "Authorized Users" means the Tester's employees, contractors, and agents who are bound by written obligations of confidentiality and use at least as restrictive as those set forth herein, and who have been specifically designated by the Tester to access and use the Beta Product solely for the purposes contemplated by this Agreement.

    7. "Usage Data" means data regarding the configuration, performance, operation, and use of the Beta Product, including log files, error reports, telemetry data, feature utilization metrics, session duration, system environment information, and similar technical and operational data generated through the Tester's and its Authorized Users' use of the Beta Product.

    8. In this Agreement, unless the context otherwise requires: (i) the singular includes the plural and vice versa; (ii) references to any gender include all genders; (iii) the words "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation"; (iv) section headings are for convenience only and shall not affect the interpretation of this Agreement; and (v) references to Sections are to Sections of this Agreement unless otherwise specified.

  2. Grant of Access and Permitted Use

    1. Subject to the Tester's continuing compliance with all of the terms, conditions, and restrictions set forth in this Agreement, the Company hereby grants to the Tester, during the Beta Period, a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Beta Product via cloud or web-based means solely for the internal business purposes of evaluating, testing, and providing Feedback regarding the Beta Product (the "Permitted Use").

    2. The Tester shall access the Beta Product only through the credentials, uniform resource locators, interfaces, or endpoints designated by the Company and shall not permit access to any person other than its Authorized Users. The Tester shall be fully responsible for all acts and omissions of its Authorized Users as if they were acts and omissions of the Tester itself.

    3. The Tester acknowledges and agrees that the Beta Product is a pre-release, experimental version made available for testing purposes only, and that the right of access granted hereunder does not constitute a sale, lease, license for production use, or other transfer of any ownership or commercial-use rights in the Beta Product.

    4. The Tester shall not, and shall not permit any third party to: (i) use the Beta Product for any production, commercial, or revenue-generating purpose; (ii) copy, modify, translate, create derivative works of, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, ideas, or algorithms of the Beta Product, except to the extent such restriction is prohibited by applicable law; (iii) sell, resell, rent, lease, sublicense, distribute, transmit, or otherwise make the Beta Product available to any third party; (iv) remove, obscure, or alter any proprietary notices, labels, or marks on or in the Beta Product; or (v) use the Beta Product to develop, build, or support any product or service that is competitive with the Beta Product.

    5. The Tester shall not use the Beta Product in a manner that violates any applicable law, regulation, or third-party right, nor shall the Tester upload, process, or transmit through the Beta Product any content that is unlawful, infringing, defamatory, obscene, or that contains malicious code, viruses, or other harmful components.

    6. The Company reserves the right, in its sole discretion and at any time, to modify, suspend, limit, update, restrict, or discontinue, in whole or in part, access to the Beta Product, with or without notice to the Tester, and the Tester shall have no claim against the Company arising from any such modification, suspension, limitation, or discontinuation.

    7. Any use of the Beta Product by the Tester or its Authorized Users beyond the scope of the Permitted Use shall constitute a material breach of this Agreement and shall entitle the Company to immediately suspend or terminate the Tester's access to the Beta Product without liability.

  3. Term and Termination of Beta

    1. This Agreement shall commence on the Effective Date and, unless earlier terminated as provided herein, shall continue in full force and effect for the duration of the Beta Period, upon the expiration of which this Agreement shall automatically terminate without the requirement of any further notice or action by either Party.

    2. The Parties may, by mutual written agreement executed by their respective authorized representatives, extend the Beta Period for one or more additional periods on such terms as they may mutually agree.

    3. Either Party may terminate this Agreement at any time, with or without cause, upon the provision of not less than seven (7) days' prior written notice to the other Party.

    4. Either Party may terminate this Agreement immediately upon written notice to the other Party in the event that the other Party: (i) materially breaches any provision of this Agreement and fails to cure such breach, if curable, within ten (10) days following receipt of written notice specifying such breach; (ii) becomes insolvent, makes an assignment for the benefit of creditors, or becomes the subject of any voluntary or involuntary bankruptcy, receivership, or similar proceeding; or (iii) ceases to conduct business in the ordinary course.

    5. The Company may, in addition to its other rights hereunder, immediately suspend or terminate the Tester's access to the Beta Product, in whole or in part, if the Company determines, in its reasonable discretion, that the Tester or any of its Authorized Users has violated or is likely to violate any provision of this Agreement, or that such suspension or termination is necessary to protect the Beta Product, the Company's systems, or any third party.

    6. Upon the expiration or termination of this Agreement for any reason: (i) all rights of access and use granted to the Tester hereunder shall immediately cease; (ii) the Tester shall promptly cease all use of the Beta Product; (iii) the Tester shall, at the Company's election, return to the Company or destroy all Confidential Information and all copies thereof in its possession or control, and shall certify such return or destruction in writing upon the Company's request; and (iv) the Company may deactivate the Tester's and its Authorized Users' access credentials and may delete any Tester data stored within the Beta Product environment, subject only to any legal retention obligations of the Company.

    7. The following Sections shall survive the expiration or termination of this Agreement to the extent necessary to give effect to their intended purpose: Definitions and Interpretation; Confidentiality; Feedback and Bug Reports; Ownership and Intellectual Property Rights; Data Collection and Privacy; No Compensation; Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law and Dispute Resolution; Notices; and Miscellaneous Provisions.

  4. Delivery and Technical Requirements

    1. The Company shall make the Beta Product available to the Tester by means of cloud-based or web-based access, through the uniform resource locator(s), hosted environment, or online portal designated by the Company at [Access URL / Portal]. The Company shall provide the Tester with such user credentials, authentication tokens, or access keys as may be necessary to enable access by the Tester's Authorized Users.

    2. The Company shall endeavor to make the Beta Product reasonably available during the Beta Period; however, the Tester acknowledges and agrees that, as a pre-release offering, the Beta Product may be subject to scheduled or unscheduled downtime, maintenance windows, outages, interruptions, and performance degradation, and that no uptime, availability, response time, or service level commitment of any kind is made by the Company in respect of the Beta Product.

    3. The Tester shall be solely responsible for procuring and maintaining, at its own cost and expense, all hardware, software, operating systems, internet connectivity, bandwidth, browsers, mobile devices, and other equipment, services, and infrastructure necessary to access and use the Beta Product in accordance with any technical requirements communicated by the Company from time to time.

    4. The Tester shall be solely responsible for safeguarding its access credentials and shall promptly notify the Company of any suspected or actual unauthorized access to or use of the Beta Product or any compromise of its credentials. The Tester shall be liable for all activities occurring under its credentials, whether or not authorized.

    5. The Company may, from time to time and in its sole discretion, deploy updates, upgrades, modifications, patches, bug fixes, or new versions of the Beta Product, which shall be deemed part of the Beta Product and subject to the terms of this Agreement. The Tester shall promptly implement or accept any such updates as may be required by the Company for continued access.

    6. The Tester shall not attempt to circumvent, disable, or interfere with any security, authentication, access control, usage limitation, rate-limiting, or monitoring mechanism of the Beta Product.

  5. Tester Obligations and Restrictions

    1. The Tester shall use the Beta Product diligently, in good faith, and in a reasonable manner commensurate with the testing and evaluation purposes contemplated by this Agreement, and shall allocate sufficient personnel, time, and resources to meaningfully exercise the features and functionality of the Beta Product.

    2. The Tester shall ensure that all of its Authorized Users are bound by written obligations of confidentiality, non-use, and intellectual property assignment that are no less protective of the Company than those set forth in this Agreement, and the Tester shall remain fully liable for compliance by its Authorized Users with the terms hereof.

    3. The Tester shall promptly report to the Company any bugs, defects, errors, malfunctions, security vulnerabilities, performance issues, or other anomalies encountered during the Tester's use of the Beta Product, with sufficient detail to enable the Company to reproduce and address the issue.

    4. The Tester shall not publish, present, demonstrate, disclose, benchmark, or publicly comment upon the Beta Product, its features, performance, or any Feedback relating thereto, nor shall the Tester use the Beta Product in any public demonstration, press release, marketing material, trade show, or client-facing engagement, without the prior written consent of the Company.

    5. The Tester shall not use the Beta Product to process, store, or transmit any sensitive personal data, protected health information, payment card data, government-classified information, or any other information subject to specialized regulatory protections, unless expressly authorized in writing by the Company in advance.

    6. The Tester shall comply with all applicable federal, state, and local laws, rules, and regulations in connection with its use of the Beta Product, including without limitation those relating to export control, data protection, privacy, intellectual property, and anti-corruption.

    7. The Tester shall cooperate reasonably with the Company in connection with the testing process, including by responding to reasonable inquiries, participating in surveys, interviews, or structured feedback sessions, and providing requested usage information, in each case within a reasonable period following the Company's request.

    8. The Tester shall not use the Beta Product in any manner that could damage, disable, overburden, or impair the Company's systems or networks, or interfere with any other party's use and enjoyment of the Beta Product or related services.

  6. Confidentiality

    1. Each Receiving Party acknowledges that in connection with this Agreement it may receive, access, or become aware of Confidential Information of the Disclosing Party. The Receiving Party shall hold all such Confidential Information in strict confidence, shall use at least the same degree of care to prevent unauthorized use, disclosure, or dissemination thereof as it uses to protect its own confidential information of similar nature and importance (but in no event less than a reasonable degree of care), and shall use the Confidential Information solely for the purpose of performing its obligations and exercising its rights under this Agreement.

    2. The Receiving Party shall not disclose any Confidential Information to any third party except to its employees, contractors, advisors, and agents who have a bona fide need to know such information for purposes of this Agreement and who are bound by written confidentiality obligations no less protective than those set forth herein. The Receiving Party shall remain fully responsible for any breach of this Section by any person to whom it discloses Confidential Information.

    3. The obligations of confidentiality set forth herein shall not apply to any information that the Receiving Party can demonstrate by competent evidence: (i) was already lawfully known to the Receiving Party without any obligation of confidentiality prior to disclosure by the Disclosing Party; (ii) is or becomes generally available to the public through no fault or breach of the Receiving Party; (iii) is lawfully obtained by the Receiving Party from a third party having the right to disclose it without restriction; or (iv) is independently developed by the Receiving Party without use of or reference to the Confidential Information.

    4. If the Receiving Party is required by law, regulation, subpoena, court order, or other legal process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide the Disclosing Party with prompt prior written notice of such requirement so that the Disclosing Party may seek a protective order or other appropriate remedy, and shall cooperate reasonably with the Disclosing Party in connection therewith. Any disclosure shall be limited to that portion of the Confidential Information legally required to be disclosed.

    5. The Tester acknowledges that the Beta Product and all information relating thereto, including its existence, features, performance, and any Feedback, constitute the Confidential Information of the Company, and the Tester shall treat such information accordingly, regardless of whether such information is marked or identified as confidential.

    6. The obligations of confidentiality set forth in this Section shall survive the expiration or termination of this Agreement and shall continue for a period of five (5) years thereafter; provided, however, that with respect to any Confidential Information that constitutes a trade secret under applicable law, the obligations of confidentiality shall continue for so long as such information retains its status as a trade secret.

    7. Upon the expiration or termination of this Agreement, or upon the Disclosing Party's written request at any time, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party in its possession or control, together with all copies, extracts, and summaries thereof, and shall certify such return or destruction in writing upon request.

    8. The Parties acknowledge that any breach of the confidentiality obligations set forth herein may cause the Disclosing Party irreparable harm for which monetary damages would be inadequate, and that the Disclosing Party shall accordingly be entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law or in equity, without the necessity of posting a bond or proving actual damages.

  7. Feedback and Bug Reports

    1. The Tester is encouraged and expected to provide the Company with Feedback regarding the Beta Product on a regular basis throughout the Beta Period, including structured bug reports, defect descriptions, reproduction steps, performance observations, usability comments, feature suggestions, and other evaluative input.

    2. Feedback shall be submitted through such channels, in such form, and with such frequency as the Company may reasonably designate from time to time, including without limitation via designated email addresses, ticketing systems, feedback portals, surveys, or scheduled review sessions.

    3. The Tester hereby irrevocably assigns to the Company all right, title, and interest, including all intellectual property rights, in and to any and all Feedback provided by the Tester or its Authorized Users to the Company, and the Company shall be free to use, disclose, reproduce, license, distribute, exploit, incorporate into its products and services, and otherwise commercialize such Feedback in any manner and for any purpose, without any obligation, compensation, attribution, or restriction of any kind owed to the Tester.

    4. To the extent that any Feedback cannot, as a matter of applicable law, be so assigned to the Company, the Tester hereby grants to the Company a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit such Feedback for any purpose, by any means, and through any medium now known or hereafter devised.

    5. The Tester represents and warrants that: (i) all Feedback is provided voluntarily and without expectation of payment, consideration, or any obligation on the part of the Company; (ii) the Tester has all rights necessary to provide the Feedback and to grant the rights set forth in this Section; and (iii) the Feedback does not infringe or misappropriate any intellectual property, confidentiality, privacy, or other right of any third party.

    6. The Tester shall not include in any Feedback any information that constitutes its own trade secret or that is subject to any confidentiality obligation to a third party. The Company shall have no obligation to maintain the confidentiality of any Feedback submitted by the Tester, except to the extent such Feedback contains Confidential Information of the Tester expressly identified as such at the time of disclosure.

    7. The Company shall have no obligation to implement, respond to, acknowledge, or act upon any Feedback, and the Tester shall acquire no right in any resulting product, service, feature, modification, or improvement by virtue of having submitted Feedback.

  8. Ownership and Intellectual Property Rights

    1. As between the Parties, the Company is and shall remain the sole and exclusive owner of all right, title, and interest, including all patent, copyright, trademark, trade secret, moral rights, and other intellectual property rights, in and to the Beta Product and all components, modifications, enhancements, updates, derivative works, documentation, and related materials thereof, whether created before, during, or after the Beta Period.

    2. No right, title, or interest in or to the Beta Product or any Company intellectual property is transferred, granted, or licensed to the Tester other than the limited right of access expressly set forth in Section 2. All rights not expressly granted herein are reserved to the Company.

    3. The Tester shall not acquire any ownership interest in or to the Beta Product, any Feedback, any derivatives thereof, or any improvements, modifications, or enhancements to the Beta Product arising out of or in connection with this Agreement, regardless of whether such improvements, modifications, or enhancements are based on or inspired by Feedback provided by the Tester.

    4. As between the Parties, the Tester shall retain all right, title, and interest in and to its pre-existing intellectual property and its data (other than Feedback and Usage Data assigned or licensed to the Company hereunder) that the Tester uploads, inputs, or processes through the Beta Product in the course of its testing activities.

    5. The Tester shall not file or prosecute any patent application, trademark application, copyright registration, or other intellectual property application that incorporates, claims, or is based upon any aspect of the Beta Product or any Feedback. Any such application filed in breach of this Section shall be, and the Tester hereby agrees to assign to the Company, the sole and exclusive property of the Company.

    6. The Tester shall not use the Company's trademarks, service marks, trade names, logos, or branding in any manner, including in any press release, publication, website, or marketing material, without the prior written consent of the Company.

    7. The Tester shall promptly notify the Company upon becoming aware of any actual or suspected infringement, misappropriation, or unauthorized use of the Beta Product or any Company intellectual property by any third party, and shall provide reasonable cooperation to the Company in connection with the investigation and enforcement of such rights.

  9. Data Collection and Privacy

    1. The Tester acknowledges and agrees that, in connection with the Tester's and its Authorized Users' use of the Beta Product, the Company shall collect, process, store, and use Usage Data, as well as any Feedback and bug reports submitted by the Tester, in each case for the purposes described in this Section and in connection with the Company's operation, development, improvement, and evaluation of the Beta Product.

    2. The Company may use Usage Data, Feedback, and bug reports to: (i) operate, monitor, maintain, support, troubleshoot, and secure the Beta Product; (ii) analyze and improve the Beta Product and develop new products, features, and services; (iii) generate aggregated, anonymized, or de-identified statistics, benchmarks, and analytics, which the Company may use and disclose for any lawful business purpose; and (iv) comply with legal obligations and enforce its rights hereunder.

    3. The Tester represents and warrants that, with respect to any data provided to or processed through the Beta Product by the Tester or its Authorized Users, the Tester has obtained all necessary consents, authorizations, and legal bases, and has provided all necessary notices, required under applicable law to permit the collection, processing, use, and disclosure of such data by the Company as contemplated by this Agreement.

    4. The Tester shall not submit, upload, or transmit through the Beta Product any personal data, sensitive personal data, or regulated data unless expressly authorized in writing by the Company, and the Tester acknowledges that the Beta Product is not represented to meet any specific regulatory compliance standard. The Tester shall be solely responsible for any such data submitted in contravention of this provision.

    5. Each Party shall implement and maintain reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and security of data processed in connection with this Agreement, taking into account the pre-release and experimental nature of the Beta Product.

    6. The Company's collection, use, and disclosure of personal information, if any, shall be governed by the Company's then-current privacy policy, available at [Privacy Policy URL], as the same may be updated from time to time, which policy is incorporated herein by reference solely with respect to the handling of such personal information.

    7. Upon the expiration or termination of this Agreement, the Company may delete any Tester data stored within the Beta Product environment at any time thereafter, subject to any legal retention obligations, and the Company shall have no obligation to retain, return, or make available such data except as may be required by applicable law.

  10. No Compensation

    1. The Tester acknowledges and agrees that its participation in the beta testing program contemplated by this Agreement is entirely voluntary, and that no fees, royalties, commissions, remuneration, reimbursement, equity, benefits, or other compensation of any kind shall be payable by the Company to the Tester or any Authorized User in consideration of such participation, the provision of Feedback, or any other activities undertaken hereunder.

    2. The Tester hereby waives, releases, and relinquishes any and all claims it may have, now or in the future, to any form of compensation, consideration, royalty, or payment in connection with its participation in the beta testing program, the provision of Feedback, or the Company's use, exploitation, or commercialization of such Feedback.

    3. The Tester shall bear its own costs and expenses incurred in connection with its participation in the beta testing program, including without limitation the costs of personnel time, hardware, software, internet connectivity, travel, and any other resources utilized in testing the Beta Product.

    4. Nothing in this Agreement shall be construed to create any employment, agency, partnership, joint venture, or franchise relationship between the Parties, and neither Party shall have any authority to bind the other or to incur any obligation on behalf of the other.

    5. The Tester acknowledges that the sole consideration received by it under this Agreement is the opportunity to access and evaluate the Beta Product on a pre-release basis, and that such opportunity constitutes good and valuable consideration for the Tester's obligations hereunder.

  11. Disclaimer of Warranties

    1. THE TESTER EXPRESSLY ACKNOWLEDGES AND AGREES THAT THE BETA PRODUCT IS A PRE-RELEASE, EXPERIMENTAL, AND UNFINISHED PRODUCT PROVIDED SOLELY FOR TESTING AND EVALUATION PURPOSES, AND IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

    2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY HEREBY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE BETA PRODUCT, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.

    3. WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT, GUARANTEE, OR REPRESENT THAT THE BETA PRODUCT WILL: (I) MEET THE TESTER'S REQUIREMENTS OR EXPECTATIONS; (II) OPERATE UNINTERRUPTED, SECURE, OR ERROR-FREE; (III) BE FREE FROM BUGS, DEFECTS, VULNERABILITIES, OR HARMFUL COMPONENTS; (IV) PRODUCE ACCURATE OR RELIABLE RESULTS; (V) BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, SOFTWARE, OR SYSTEM; OR (VI) BE RELEASED FOR GENERAL AVAILABILITY, IN ANY FORM, AT ANY PARTICULAR TIME, OR AT ALL.

    4. THE TESTER ACKNOWLEDGES THAT THE BETA PRODUCT MAY CONTAIN SIGNIFICANT ERRORS, DEFECTS, OR SECURITY VULNERABILITIES, AND MAY CAUSE SYSTEM FAILURE, DATA LOSS, DATA CORRUPTION, OR OTHER HARM. THE TESTER SHALL BEAR THE ENTIRE RISK ARISING OUT OF OR RELATING TO ITS USE OF THE BETA PRODUCT, AND SHALL BE SOLELY RESPONSIBLE FOR TAKING APPROPRIATE PRECAUTIONS, INCLUDING BACKING UP ANY DATA USED IN CONNECTION WITH THE BETA PRODUCT.

    5. NO ADVICE, INFORMATION, OR STATEMENT, WHETHER ORAL OR WRITTEN, OBTAINED BY THE TESTER FROM THE COMPANY OR THROUGH THE BETA PRODUCT SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

    6. THE COMPANY SHALL HAVE NO OBLIGATION TO PROVIDE SUPPORT, MAINTENANCE, TRAINING, UPDATES, UPGRADES, OR ERROR CORRECTIONS WITH RESPECT TO THE BETA PRODUCT, EXCEPT AS THE COMPANY MAY ELECT TO PROVIDE IN ITS SOLE DISCRETION.

    7. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO THE TESTER TO THE EXTENT PROHIBITED BY APPLICABLE LAW; IN SUCH JURISDICTIONS, THE COMPANY'S WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

  12. Limitation of Liability

    1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY, UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST BUSINESS OPPORTUNITIES, LOST SAVINGS, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE BETA PRODUCT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF THE COMPANY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE BETA PRODUCT, REGARDLESS OF THE FORM OR THEORY OF ACTION, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100.00), WHICH THE PARTIES AGREE IS A REASONABLE ALLOCATION OF RISK GIVEN THE EXPERIMENTAL AND NO-COST NATURE OF THE BETA PRODUCT.

    3. THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY SET FORTH HEREIN AND SHALL FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES, WITHOUT WHICH THE COMPANY WOULD NOT HAVE PROVIDED THE BETA PRODUCT TO THE TESTER.

    4. NOTWITHSTANDING THE FOREGOING, THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL NOT APPLY TO: (I) A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER THIS AGREEMENT; (II) THE TESTER'S BREACH OF ITS OBLIGATIONS WITH RESPECT TO CONFIDENTIALITY, INTELLECTUAL PROPERTY, OR THE PERMITTED USE; (III) A PARTY'S GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT; OR (IV) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

    5. EACH PARTY ACKNOWLEDGES THAT IT HAS REVIEWED AND UNDERSTANDS THE LIMITATIONS SET FORTH IN THIS SECTION, THAT SUCH LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK, AND THAT SUCH LIMITATIONS ARE A MATERIAL INDUCEMENT TO THE OTHER PARTY'S ENTRY INTO THIS AGREEMENT.

  13. Indemnification

    1. The Tester shall defend, indemnify, and hold harmless the Company and its affiliates, and their respective officers, directors, employees, agents, successors, and assigns (collectively, the "Company Indemnitees"), from and against any and all third-party claims, actions, suits, proceedings, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (collectively, "Losses") arising out of or relating to: (i) the Tester's or any Authorized User's breach of this Agreement; (ii) the Tester's or any Authorized User's use of the Beta Product in violation of this Agreement or applicable law; (iii) any data, content, or materials uploaded, processed, or transmitted by the Tester through the Beta Product; or (iv) the Tester's gross negligence or willful misconduct.

    2. The Company shall defend, indemnify, and hold harmless the Tester and its affiliates, and their respective officers, directors, employees, agents, successors, and assigns (collectively, the "Tester Indemnitees"), from and against any and all Losses arising out of a third-party claim alleging that the Beta Product, as provided by the Company and used by the Tester in accordance with this Agreement, directly infringes any U.S. patent, copyright, or trademark of such third party; provided, however, that the Company shall have no obligation under this provision to the extent any such claim arises from: (i) the Tester's modification of the Beta Product; (ii) the combination of the Beta Product with any product, service, data, or material not provided by the Company; (iii) use of the Beta Product other than in accordance with this Agreement; or (iv) the Tester's continued use of the Beta Product after being notified of an alleged infringement or being provided with a non-infringing alternative.

    3. The indemnified party shall: (i) promptly notify the indemnifying party in writing of any claim for which indemnification is sought (provided that failure to do so shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby); (ii) grant the indemnifying party sole control over the defense and settlement of the claim; and (iii) provide the indemnifying party with reasonable cooperation and assistance, at the indemnifying party's expense, in connection with the defense and settlement thereof.

    4. The indemnifying party shall not enter into any settlement that imposes any liability or obligation on, or admits any wrongdoing by, the indemnified party, without the indemnified party's prior written consent, which shall not be unreasonably withheld.

    5. The indemnification obligations set forth in this Section constitute each Party's sole and exclusive liability, and the other Party's sole and exclusive remedy, with respect to third-party claims of the types described herein.

  14. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by, construed under, and enforced in accordance with the laws of the State of [Governing State], United States of America, without regard to its conflict of laws principles or rules that would require the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

    2. The Parties shall first attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof (a "Dispute"), through informal negotiations between designated senior representatives of each Party, which negotiations shall commence promptly upon written notice from one Party to the other identifying the Dispute.

    3. If any Dispute is not resolved through such informal negotiations within thirty (30) days following the date of the initial notice, either Party may submit the Dispute to binding arbitration administered by [Arbitration Administrator, e.g., the American Arbitration Association] in accordance with its then-current Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the Parties, or, failing such agreement, appointed in accordance with the applicable rules.

    4. The arbitration shall be conducted in the English language and shall take place in [City, State], United States of America. The decision of the arbitrator shall be final and binding upon the Parties, and judgment upon the award may be entered in any court of competent jurisdiction.

    5. Notwithstanding the foregoing, either Party may seek interim, provisional, or injunctive relief from any court of competent jurisdiction in order to protect its rights pending the outcome of arbitration, including without limitation to enforce the confidentiality and intellectual property provisions of this Agreement.

    6. Each Party irrevocably waives any right it may have to a trial by jury in connection with any action or proceeding arising out of or relating to this Agreement. Neither Party shall participate in any class, consolidated, or representative action against the other Party arising out of or relating to this Agreement.

    7. The prevailing Party in any arbitration or legal proceeding arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and costs incurred in connection with such proceeding, in addition to any other relief to which it may be entitled.

  16. Assignment

    1. The Tester shall not assign, transfer, delegate, or subcontract this Agreement or any of its rights or obligations hereunder, in whole or in part, whether voluntarily, by operation of law, or otherwise (including in connection with a merger, acquisition, change of control, or sale of substantially all of its assets), without the prior written consent of the Company, which consent may be withheld in the Company's sole discretion. Any purported assignment in violation of this Section shall be null and void and of no force or effect.

    2. The Company may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, in whole or in part, without the Tester's consent, including without limitation to any affiliate, successor-in-interest, or acquirer of all or substantially all of the Company's business or assets to which this Agreement relates.

    3. Subject to the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective permitted successors and assigns.

    4. A change of control of the Tester, whether by merger, consolidation, sale of equity, sale of assets, or otherwise, shall be deemed an assignment of this Agreement by the Tester for purposes of this Section.

  17. Miscellaneous Provisions

    1. This Agreement, together with any documents expressly incorporated herein by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, representations, and communications, whether oral or written, between the Parties relating to such subject matter.

    2. No amendment, modification, supplement, or waiver of any provision of this Agreement shall be effective unless set forth in a writing signed by authorized representatives of both Parties. No waiver of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default.

    3. If any provision of this Agreement is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, in whole or in part, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if such modification is not possible, shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

    4. The Parties are and shall remain independent contractors, and nothing in this Agreement shall be construed to create any partnership, joint venture, agency, employment, or fiduciary relationship between them. Neither Party shall have the authority to bind, obligate, or incur any liability on behalf of the other Party.

    5. Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement (other than payment obligations, if any) to the extent such delay or failure results from any cause beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, pandemics, epidemics, failures of the internet or utility services, or cyberattacks.

    6. This Agreement is for the sole benefit of the Parties and their respective permitted successors and assigns, and nothing herein, express or implied, is intended to or shall confer upon any other person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.

    7. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission (including by electronic signature platforms or portable document format) shall be deemed to have the same force and effect as original signatures.

    8. The headings and captions used in this Agreement are for convenience of reference only and shall not affect the construction or interpretation of any provision hereof. This Agreement shall be construed as if drafted jointly by the Parties, and no presumption or burden of proof shall arise favoring or disfavoring any Party by virtue of authorship.

    9. Each Party represents and warrants that it has full right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that the person executing this Agreement on its behalf has been duly authorized to do so.

IN WITNESS WHEREOF, the Parties hereto have caused this Beta Testing Agreement to be executed by their duly authorized representatives as of the Effective Date first written above.
