Event Management Agreement Template
This Event Management Agreement ("Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
[Client Name], a company/corporation organized and existing under the laws of [Jurisdiction], whose principal place of business is at [Client Address] ("Client");
and
[Event Manager Name], a company/corporation organized and existing under the laws of [Jurisdiction], whose principal place of business is at [Event Manager Address] ("Event Manager").
WHEREAS, the Client desires to engage the Event Manager to provide event management services for the event described herein; and
WHEREAS, the Event Manager represents that it has the necessary expertise, resources, and personnel to provide such services;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
Definitions and Interpretation
For purposes of this Agreement, the following terms shall have the respective meanings assigned to them below. Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to them in this section.
"Event" means the event to be managed and organized by the Event Manager, as described in Section [Event Specifications and Deliverables].
"Services" refers to the event management and related services to be provided by the Event Manager, as detailed in Section [Scope of Services].
"Deliverables" means all materials, documents, and tangible results to be provided by the Event Manager to the Client in connection with the Event.
"Force Majeure Event" has the meaning set forth in Section [Force Majeure].
"Fees" refers to the compensation to be paid to the Event Manager by the Client as provided in Section [Fees, Expenses, and Payment Terms].
"Intellectual Property" means all copyrights, trademarks, trade secrets, know-how, and other proprietary rights in any Deliverables or materials provided under this Agreement.
Any reference to a "person" includes a natural person, corporate or unincorporated body, and references to a "party" include its successors and permitted assigns.
Headings are for convenience only and shall not affect the interpretation of this Agreement. Words importing the singular include the plural and vice versa.
The words "including," "includes," and "in particular" shall be construed as illustrative and not limiting.
References to Sections are to sections of this Agreement unless otherwise specified.
No provision of this Agreement shall be construed adversely against a party solely on the ground that the party was responsible for its preparation.
In the event of any inconsistency between the main body of the Agreement and any placeholder text, the parties shall confer in good faith to resolve such inconsistency.
Engagement of Event Manager
The Client hereby engages the Event Manager, and the Event Manager hereby accepts such engagement, to provide the Services with respect to the Event in accordance with the terms and conditions set forth in this Agreement.
The Event Manager shall act as an independent contractor and not as an employee, agent, or partner of the Client. Nothing herein shall create any joint venture, partnership, or employment relationship between the parties.
The Event Manager shall provide the Services using personnel possessing the requisite expertise, skill, and qualifications, and shall ensure that such personnel perform the Services with reasonable care, skill, and diligence.
The Event Manager may subcontract portions of the Services to third parties with the prior written consent of the Client, provided that the Event Manager remains fully responsible for the performance of Services by any such subcontractors.
The Client shall provide to the Event Manager all necessary access to its premises, personnel, information, and resources as reasonably required for the Event Manager to perform the Services.
Both parties shall cooperate in good faith and communicate regularly to facilitate the smooth delivery of the Event.
The Event Manager shall comply with all reasonable instructions and requirements of the Client, provided that such instructions do not materially alter the scope of Services or result in increased costs or time for performance, unless otherwise agreed in writing.
Scope of Services
The Services to be rendered by the Event Manager under this Agreement shall include, but not be limited to, the overall planning, coordination, and management of the Event as mutually agreed upon by the parties.
Specific Services may include event conceptualization, budgeting, vendor management, venue selection, logistics coordination, attendee registration, on-site supervision, and post-event evaluation.
The Event Manager shall be responsible for engaging and managing vendors, negotiating contracts as required, coordinating all operational aspects of the Event, and ensuring timely delivery of all Services.
The Event Manager shall prepare and submit to the Client a detailed project plan, including timelines, milestones, and deliverables, for the Client’s approval prior to commencement of the Services.
The Event Manager shall provide regular progress updates to the Client, including written reports at agreed-upon intervals, and shall promptly notify the Client of any material issues or risks affecting the Event.
The Event Manager shall ensure all Services are performed in a professional and workmanlike manner, consistent with industry standards.
Any additional services requested by the Client that are outside the initial scope shall be subject to a separate agreement or a written amendment, including any applicable changes in Fees or timelines.
Event Specifications and Deliverables
The Event shall be held on [Event Date(s)], at [Event Venue/Location], unless otherwise agreed in writing by the parties.
The Event Manager shall deliver the following key deliverables to the Client: [Insert detailed description of deliverables and outcomes expected from Event Manager, e.g., event schedule, marketing materials, vendor contracts, attendee lists, post-event reports].
The Event Manager shall ensure that all deliverables are provided in the format, quantity, and quality specified in this Agreement or as otherwise agreed in writing by the parties.
The Event Manager shall submit all deliverables to the Client for review and approval within the timeframes specified in the project plan.
The Client shall have [number] days from receipt of each deliverable to review and either approve or provide written notice of any deficiencies. The Event Manager shall promptly address any deficiencies and resubmit the deliverable for approval.
The Event Manager shall ensure that all deliverables comply with all applicable laws and regulations and do not infringe on any third-party intellectual property rights.
Any modifications to the event specifications or deliverables shall be subject to the change process described in Section [Changes and Amendments].
Obligations of the Client
The Client shall provide timely access to all information, documentation, personnel, and resources that are reasonably required by the Event Manager to perform the Services.
The Client shall appoint a designated representative with authority to make decisions and provide approvals on behalf of the Client for all matters relating to the Event.
The Client shall review all deliverables and provide feedback or approvals within the timeframes specified herein, and shall not unreasonably withhold or delay such approvals.
The Client shall be responsible for securing all necessary permits, licenses, and authorizations for the Event unless expressly delegated to the Event Manager in writing.
The Client shall make all payments for Fees and reimbursable expenses in accordance with the terms specified in this Agreement.
The Client shall provide the Event Manager with prior written notice of any material requirements, expectations, or restrictions concerning the Event.
The Client shall comply with all applicable laws and regulations relating to the Event, including but not limited to health and safety requirements, public gathering restrictions, and insurance obligations.
Obligations of the Event Manager
The Event Manager shall perform the Services with reasonable care, skill, and diligence, and in accordance with professional standards prevailing in the event management industry.
The Event Manager shall ensure that all personnel and subcontractors engaged in the performance of the Services are qualified and properly supervised.
The Event Manager shall comply with all applicable laws, regulations, and standards relevant to the Services and the Event, including without limitation any health and safety, labor, or public safety requirements.
The Event Manager shall promptly notify the Client in writing of any circumstance that may affect the timely or proper delivery of the Services or the occurrence of the Event.
The Event Manager shall maintain accurate records of all expenses and costs incurred in connection with the Event and shall provide supporting documentation to the Client upon request.
The Event Manager shall act in good faith and in the best interests of the Client in performing its obligations under this Agreement.
The Event Manager shall not enter into any commitments or incur any liabilities on behalf of the Client without the Client’s prior written consent, except as expressly authorized in this Agreement.
